Performance Security

Performance Security = 5% of Bid/Contract Price as irrevocable bank guarantee; Additional Performance Security applies for low bids.

• Within 28/30 days of LOA (wording mixed); option to submit 50% before agreement signing and balance within 30 days of signing.
• Additional PS: if bid lower than 10% but up to 20% of estimated cost — 20% of (Est-10%Est − Bid); if lower than 20% — 30% of that difference.

• On Contractor Default, Retention Money may be appropriated as Damages; on Termination it is treated as Performance Security.

Advance payment

Interest-bearing mobilisation advance 10% of Contract Price (two 5% instalments) at Bank Rate + 3%; optional extra 5% against new key equipment.

• BG for 110% of each instalment required; recovery @15% of each Stage Payment, fully repaid before 80% of Scheduled Construction Period.
• Interest compounded annually on reducing balance; recovered with advance recovery.

Payment terms (Works)

Lump-sum Contract Price paid by stage payments; 90% interim release on Engineer recommendation, then IPC; back-to-back on client payment to IRCON-AMRIL JV.

• Stage Payment Statement by 7th of month; Engineer broadly determines amount in 10 days and recommends 90% release; Authority pays electronically within 10 days of recommendation; IPC in 15 days of statement.
• IRCON deducts labour cess @1% (or prescribed rate) and statutory deductions from RA bills.
• Critical: Payment to contractor released only on receipt of payment from client (PWD, Manipur) to IRCON_AMRIL JV; delay does not entitle contractor to damages.
• Price variation per Art. 19.10 of CA; Contract Price includes duties/taxes/royalty/cess as on Base Date.

Maintenance payments

Separate maintenance payments during Maintenance Period per Art. 14.1 percentages of Contract Price (rigid pavement schedule spans 10 years).

• For rigid pavement with 10-year Maintenance Period: 0.25% each for years 1–3; 0.5% each for years 4–7; 0.75% each for years 8–10; amounts inclusive of taxes and WPI-adjustable under 19.12.
• Monthly lump sum = 1/12 of annual maintenance cost.

Essential Qualifying Criteria not applicable

This is a Limited Tender; Eligibility Criteria / Essential Qualifying Criteria are expressly Not Applicable.

• No turnover, net worth, or past-work value thresholds are prescribed in Annexure-V.
• Bidders still need requisite experience and financial capacity as stated in the invitation language, but no measurable EQC is set.

Bidder constitution and place of registration

Individual/Sole Proprietor, Partnership Firm or Company may bid; must be registered anywhere in India (NCB); JV not permitted.

• Upload constitution documents (Partnership Deed, Registration Certificate, MoA/AoA etc.) attested by authorised signatory with Notary-attested PoA.
• Foreign single-entity bidder not permitted in NCB unless legally registered in India; foreign as JV member N/A because JV not permitted.
• Partnership firm must be legally valid, in existence/formed prior to tender, with own PAN/TAN.

Debarment / non-performance / Integrity Pact

Bidders must not be debarred/blacklisted/suspended or declared non-performer (last 2 years); Affidavit and Integrity Pact compliance mandatory.

Land-border bidder restrictions

Bidders from countries sharing a land border with India must be registered with the Competent Authority; Model Certificate required in Affidavit.

Project description and location

EPC construction of rigid pavement and lined drain on selected roads under Highway South Division, Package 4 — total 111.182 km in Imphal city, Manipur.

• Client/Owner and Employer/Executing Agency named as Project Director, PIU, EAP, Public Works Department, Manipur; tender invited by IRCON.
• Site comprises selected roads of Imphal city under Highway South Division.

Scope under EPC Agreement

Design, construction of Project Road and Project Facilities per Schedules A–D; maintenance per Schedule-E; site facilities per Schedule-X through currency including DLP.

• Includes detailed engineering design and construction plus maintenance; value engineering encouraged with Employer’s written agreement.
• KIT scope summary: Road work, Minor Bridges/structures, traffic signs, project facilities and other works as per Article 2 of Contract Agreement.

Pavement mix and quantities (Package 4)

Highway South Division summary ~111.18 km: mainly Short Panel PC (45.61 km), ICBP (32.18 km), Short Panel FDR (22.68 km), Flexible (10.72 km).

• Breakdown: MDR 39.45 km; ODR 0.92 km; Inter Village/Local Street Roads 70.81 km.
• Schedule-A describes single/intermediate lane project roads with rigid pavement (ICBP, Short Panel Concrete/White Topping) and flexible pavement on riverbank roads, with lined drain and utility chamber.

Completion schedule and milestones

Scheduled Completion Date = 638th day from Appointed Date; four payment milestones in Schedule-J.

• Milestone-I: 5th month — ≥20% Contract Price staged.
• Milestone-II: 11th month — ≥45%.
• Milestone-III: 16th month — ≥75%.
• Milestone-IV: 21st month — ≥100%.
• Designs/drawings to be approved by Authority’s Engineer within 90 days from Appointed Date.

Defect Liability / Maintenance period: 60 months vs 10 years (rigid)

KIT states DLP 60 months citing Art. 14.1; EPC Art. 17.1 sets 10 years for rigid pavement and Art. 14.1 uses 5/10-year options — rigid work points to 10 years; Works Requirements also say 5 years.

• Work title is Rigid Pavement, so Art. 17.1(b) 10-year DLP and Art. 14.1(b) 10-year maintenance payment schedule are the specific EPC terms.
• KIT SI.35 and Scope of Works ‘5 years’ conflict with that specific rigid-pavement rule — seek written clarification; until then treat EPC pavement-type rule as the more specific contract term for execution, while noting KIT’s 60-month statement for bid-stage risk.

Performance Security submission timeline: 28 vs 30 days / staged option

KIT requires PS within 28 days of LOA; EPC 7.1 says within 30 (Twenty Eight) days and allows 50% before signing + balance 30 days after signing.

• Plan for the stricter staged compliance path in Art. 7.1(ii) and confirm with IRCON which clock (28 vs 30) they will enforce.

Schedule-J milestone amounts vs Art. 10.3 example

Schedule-J Milestone-I requires ≥20% by 5th month; Art. 10.3 example refers to Stage Payments of 10% on 180th day for Milestone-I.

• Schedule-J is the Project Completion Schedule expressly referenced by Art. 10.3(ii); the 10%/180-day figure appears to be a leftover example inconsistent with Schedule-J.

EMD payable-at place incomplete in KIT

KIT EMD line says Pay order/DD should be payable at (blank) and refers to ITT Cl.9; ITT says payable at place given in KIT; NEFT instructions specify New Delhi.

• Practically use IRCON New Delhi instruments/NEFT account details in ITT C9; still a documentation gap for PO/DD payable branch/city.

Single Packet vs separate Technical/Financial bid uploads

KIT says Single Packet, while Notice 8.0 requires separate Technical Bid and Financial Bid uploads on the portal.

Back-to-back payment risk and cash-flow protection

Seek confirmation/softening of Art. 19.5(viii): contractor paid only after PWD Manipur pays IRCON-AMRIL JV, with no damages for delay.

• Ask whether mobilisation advance is also back-to-back; maximum expected lag; any escrow/interest on delayed certified amounts.

EMD instrument payable city and physical submission logistics

Clarify quantum/process when Authority’s Engineer/PWD levies LD/penalty on IRCON that is fully borne by contractor, and responsibility for local issues/ROW residual risks.

• Art. 4 places full quality/safety/PCOD delay penalties on contractor; Art. 10.3 allows deduction of PWD-imposed delay damages.

Back-to-back payment — high cash-flow risk

Contractor payment only after PWD Manipur pays IRCON-AMRIL JV; delay gives no damages right.

• Similar back-to-back language also appears for other payment contexts; price financing risk for ~₹130 Cr EPC + long maintenance.

Delay damages / LD up to 10% and termination
