Broad open-ended scope vs fixed man-month fee

Scope spans master planning, DPR preparation/vetting, PPP, GIS land systems, legal support, MIS and capacity building without volume caps.

Payment is essentially time-based EMI of professional fees, but deliverable acceptance and default clauses allow penalties if quality/objectives not met.
High performance/reputation exposure in heritage/tourism-sensitive PKDA jurisdiction.

One-sided process and IP / liability terms

PKDA may cancel process without liability; IP in project outputs vests in PKDA; liability capped at fees except carve-outs.

Limitation of liability does not apply to indemnity, fraud/willful misconduct, confidentiality breach, IP infringement.
Indemnity is broad and survives termination.
Force Majeure delay >1 month allows PKDA to cancel without compensating agency.
Disputes: amicable negotiation then civil court at Puri (no arbitration); pre-bid arbitration request rejected.

INR 100 Cr average turnover, 10-year existence, >=100 consultants, and Rs 5 Cr+ PMU-type credential create a steep PQ gate; tech pass mark 70 with 30-mark presentation.

Payment acceptance dependency

Monthly payment only after invoice + attendance and Authority acceptance/satisfaction of deliverables/work.
