In continuation of First Envelope of our Bid, we hereby submit the Second Envelope of the Bid, both of which shall be read together and in conjunction with each other, and shall be construed as an integral part of our Bid. offer to enter into a Long-Term Agreement (LTA) with POWERGRID. The LTA shall define the technical and commercial terms and conditions etc. for entering into Project Specific Agreement(s) (PSAs) up to the defined BESS capacity during the validity period of the LTA. Under such PSAs, we shall undertake the design, engineering, manufacture, testing, supply, transportation, delivery, installation, erection, commissioning and putting into satisfactory operation of the Facilities, including carrying out Trial Operation and Performance & Guarantee Tests as specified in the Technical Specifications, as well as Comprehensive Operation and Maintenance of the Facilities, all in full conformity with the requirements of the Bidding Documents, under the above-named package in full conformity with the said Bidding Documents for the sum of Rs. 0 or such other sums as may be determined in accordance with the terms and conditions of the Bidding Documents.

The above amounts are in accordance with the price schedules attached herewith and are made part of this bid.

We are aware that the Price Schedules do not generally give a full description of the Work to be performed under each item and we shall be deemed to have read the Technical Specifications and other sections of the Bidding Documents and Drawings to ascertain the full scope of Work included in each item while filling-in the rates and prices. We agree that the entered rates and prices shall be deemed to include for the full scope as aforesaid, including overheads and profit.

We declare that as specified in Clause 22.5, Section –II:ITB, Vol.-I of the Bidding Documents, prices quoted by us in the Price Schedules in Second Envelope shall be on ‘Firm’ basis during the entire currency of contract and shall not be subject to price variation, what-so-ever during contract execution.

We understand that in the price schedules, where there are errors between the total of the amounts given under the column for the price Breakdown and the amount given under the Total Price, the former shall prevail and the latter will be corrected accordingly. We further understand that where there are discrepancies between amounts stated in figures and amounts stated in words, the amount stated in words shall prevail. Similarly, any discrepancy in the total bid price and that of the summation of Schedule price (price indicated in a Schedule indicating the total of that schedule), the total bid price shall be corrected to reflect the actual summation of the Schedule prices.

We declare that items left blank in the Schedules will be deemed to have been included in other items. The TOTAL for each Schedule and the TOTAL of Grand Summary shall be deemed to be the total price for executing the Facilities and sections thereof in complete accordance with the Contract, whether or not each individual item has been priced.

We confirm that except as otherwise specifically provided our Bid Prices in this Second Envelope include all taxes, duties, levies and charges as may be assessed on us/our Associate (applicable for Foreign Bidder), our Sub-Contractor/Sub-Vendor or their employees by all municipal, state or national government authorities in connection with the Facilities, in and outside of India.

100% of applicable Taxes and Duties i.e GST which are payable by the Employer/Owner (as applicable) under the Contract, shall be reimbursed by the Employer/Owner (as applicable) on production of satisfactory documentary evidence by the Contractor in accordance with the provisions of the Bidding Documents.

We further understand that notwithstanding 3.0 above, in case of award on us, you shall also bear and pay/reimburse to us, GST applicable on supplies by us to you, imposed on the Plant & Equipment including Mandatory Spare Parts to be incorporated into the Facilities including Type Test charges for Type test to be conducted specified in Schedule No. 1, Installation Services specified in Schedule No. 3, Charges for Training to be imparted specified in Schedule No. 4a and Comprehensive Maintenance Charges specified in Schedule No. 4b of the Price Schedule in this Second Envelope by the Indian Laws.

We confirm that we have also registered/we shall also get registered in the GST Network with a GSTIN, in all the states where the project is located and the states from which we shall make our supply of goods.

Joint Venture (JV) Firms

(i) the bid, and in case of successful bid, the specified Form of Agreement shall be signed so as to be legally binding on all partners. (Form enclosed)

(ii) one of the partners shall be nominated as Lead Partner, and the Lead Partner shall be authorized to incur liabilities and receive instructions for and on behalf of any and all partners of the Joint Venture, and the entire execution of the Contract shall be done with the Lead Partner and payment under the contract shall be received by the Lead Partner on behalf of the Joint Venture as per power conferred to him in the Power of Attorney. We are a Micro and Small Enterprise (MSE) registered with

a designated Authority of GoI under the Public Procurement Policy for MSEs order 2012, Notification dated 01/06/2020 and 26/06/2020 including subsequent amendments, read in conjunction with related notifications issued from time to time for such enterprises. (applicable for MSE only)

SCHEDULES

Bill of Quantities (unpriced): In line with the requirements of the Bidding documents, we enclose herewith the unpriced Bill of Quantity indicating item-wise break-down for each constituent and the item description, country of origin, type & designation, quantity etc. duly filled-in as per the Proforma given in Schedule-1, Section-I of Bid Form & Price Schedule, Volume-III of the Bidding Documents.

We are aware that the Price Schedules and the Bill of Quantities given in the Bidding Documents do not generally give a full description of the Work to be performed under each item and we shall be deemed to have read the Technical Specifications and other sections of the Bidding Documents and Drawings to ascertain the full scope of Work included in each item while filling-in the rates and prices in Second Stage (Price) Bid. We agree that the rates and prices to be quoted in Second Stage Bid shall be deemed to include and account for the full scope as aforesaid, including overheads and profit.

We declare that as specified in the ITB Clause 22.5, Volume-I of the Bidding Documents, prices to be quoted by us in the Price Schedules shall be Firm basis during the entire currency of contract and shall not be subject to Price variation what-so-ever during contract execution

We confirm that except as otherwise specifically provided our Bid Prices in Second Stage Bid shall include all taxes, duties, levies and charges as may be assessed on us, our Sub-Contractor/Sub-Vendor or their employees by all municipal, state or national government authorities in connection with the Facilities, in and outside of India.

100% of applicable Taxes and Duties i.e. GST which are payable by the Employer under the Contract, shall be reimbursed by the Employer on production of satisfactory documentary evidence by the Contractor in accordance with the provisions of the Bidding Documents.

We further understand that notwithstanding 4.0 above, in case of award on us, you shall also bear and pay/reimburse to us, GST in respect of supplies by us imposed on the Plant & Equipment including Mandatory Spare Parts to be incorporated into the Facilities including Type Test charges for Type test to be conducted specified in Schedule No. 1 (of Second stage bid), Instalation Services specified in Schedule No. 3 (of Second Stage bid), Charges for Training to be imparted in India specified in Schedule-4a (of Second Stage bid) and Operation and Maintenance Charges in Schedule-4b (of Second Stage bid) by the Indian Laws.

We confirm that we have also registered/we shall also get registered in the GST Network with a GSTIN, in all the states where the project is located and the states from which we shall make our supply of goods

Construction of the Contract

We declare that we have studied GCC Sub-Clause 2.1 relating to mode of contracting for Domestic Bidders and we are making this proposal with a stipulation that you shall award us two separate Contracts viz. ‘First Contract’ For Ex-works supply of all equipments and materials including mandatory spares and Type Tests to be conducted (whether in India or abroad) and ‘Second Contract’ For providing all services i.e. inland transportation for delivery at site, In-transit insurance, unloading, handling at site, installation, Testing and commissioning including performance testing in respect of all the equipments supplied under the "First Contract", Training to be imparted (whether in India or abroad), Comprehensive Maintenance after Taking Over and any other services specified in the Contract Documents. We declare that the award of two contracts will not in any way dilute our responsibility for successful operation of plant/equipment and fulfillment of all obligations as per Bidding Documents and that all two Contracts will have a cross-fall breach clause i.e. a breach in one contract will automatically be classified as a breach of other contracts which will confer on you the right to terminate the other Contract at our risk and cost.

whose capacity and experiences are enclosed with our Bid as our Associate(s) for the purpose of executing the ‘Second Contract’ and / or the ‘Third Contract’ and written unequivocal consent of the above mentioned proposed Associate(s) to work as your independent Contractor, on the same terms and conditions as offered by us to you in this bid, is also enclosed with the Bid Form. We shall, however, be overall responsible for the execution of all the three Contracts.

We further undertake, if invited to do so by you and at our own cost, to attend a clarification meeting at a place of your choice for the purposes of reviewing our First Stage Bid and duly noting all amendments and additions thereof and noting omissions there from that you may require.

We further undertake, upon receiving your written invitation, to proceed with the preparation of our Second Stage Bid, updating our First Stage Bid in accordance with the requirements from the Memorandum of the clarification meeting and completing our commercial bid for performing the Facilities in accordance with our updated technical bid.

# (For Joint Venture only) We, the partners of Joint Venture submitting this bid, do agree and confirm that in case of Award of Contract on the Joint Venture, we shall be jointly and severally liable and responsible for the execution of the Contract in accordance with Contract terms and conditions.

We, hereby, declare that only the persons or firms interested in this proposal as principals are named here and that no other persons or firms other than those mentioned herein have any interest in this proposal or in the Contract to be entered into, if the award is made on us, that this proposal is made without any connection with any other person, firm or party likewise submitting a proposal is in all respects for and in good faith, without collusion or fraud.

We, hereby, declare that we, along with our associate/ collaborators/ sub-contractors/ sub-vendors/consultants/ service providers shall strictly adhere to the POWERGRID Whistle Blower and Fraud Prevention Policy. We, along with our associate / collaborator / subcontractors / sub-vendors / consultants / service providers shall observe the highest standard of ethics and shall not indulge or allow anybody else working in our organization to indulge in fraudulent activities during execution of the contract and would immediately apprise the Employer about any fraud or suspected fraud as soon as it comes to our notice.
