Special Terms and Conditions Name of work:- Comprehensive Annual Maintenance Contract (CAMC) for DATA LOGGER Systems over E route for a period of Three Years (36 Months) of Nagpur Division of SEC Railway. 1) Comprehensive maintenance of EFFTRONICS Make DATA LOGGER system on E route to be done, which is microprocessor based electronic equipment used for analyzing the failures of Relay interlocking/Electronic interlocking system. This is like a black box, which stores all the information regarding the changes take place in relays, AC/DC voltages and DC current along with the date & Time. This includes maintenance of communication system (Modems) and Software part of Auto VDU including updating of Antivirus/ Malware protection also. 2) Comprehensive maintenance and upkeep of Hardware, Software & Peripheral equipments of DATA LOGGER family including UPS & Printers to be done as per the Annexure "A". 3) Attending to each and every minor and major system breakdowns, critical and other failures including stand by system. This includes restoration of the system by substituting with spare card/ Module if required. 4) Periodic inspection/maintenance will be carried out once in two Months to test, adjust and check up proper working of all systems and to take preventive action. 5) The contractor shall maintain adequate spares minimum 10% all type, with recoupment time to time in case its quantity becomes less than 10% for satisfactory performance of the systems during the total period of AMC. Quantity should be such that at least one DATA LOPGGER system can be restored in case of complete system breakdown. No other charges will be applicable on spares. 6) Provide spares during breakdown of the system & repairing / replacement of defective cards/ modules/ subsystem/system part either in hardware or software or in any form handed over by Railway within one month. 7) Replacement / Repairing of the defective cards, modules/ subsystems free of cost and it is covered under the purview of AMC except damages occurred in case of unforeseen circumstances such as flood, earthquakes, sabotage, terrorist activity, fire etc. The damages due to High Voltage /Lightening shall be covering under AMC. The OEM should take due care in providing required for protection of DATA LOGGER equipments during the course of AMC. 8) All latest guidelines issued by RDSO time to time in connection with Data logger and RDSO letter no. STS/E/Data Logger. Vol. XX dated 12.09.2011 w.r.t to Data Logger network, Analog and digital inputs, Fault logics, alarms and SMS etc. shall be ensured in all stations covered under AMC as this requires minor software modification. However, hardware, networking equipments any required for this shall be provided by Railways. 9) Modification/Alteration required by Railway for improvement in Data Logger network system shall be covered under the scope of this AMC. However any additional equipment required for enhancement in Data Logger network other than minor software modification is to be done by OEM without any charges. Hardware will be provided by Railway.

(ii) General Conditions:- 1. The Tenderer shall be the Original equipment manufacturer of the equipment. 2. As per present norm AMC will be operated for Data Loggers, FEP's, FAS, Server, RTU's Peripheral's (UPS, Printer & Connecting Cables) over NAG Division as listed in the tender schedule. The quantity may be extended to cover other stations at the same rate if the administration desired so by mutual under standing with firm. 3. The Railways and the OEM may at any time mutually agree to include in this contract additional equipment or and features which too shall be covered by all the terms and conditions of this contract and charges which shall become payable to the contract of the remaining tenancy with effect from the data of their inclusion. 4. AMC can be terminated at anytime depending on overall performance of services rendered by the firm during the period of contract at its own discretion by giving show cause notice. The payment up to the date of termination will be released to the firm by Railway. The contractor has no right to claim damages for loss of profit or other reasons from the Railway. 5. If any damages are caused to the Railway equipment handed over for repairs an appropriate amount as decided shall be deducted from payments due to the contractor. 6. I.R. Rules, Signal Engineering Manual and all the Concerned JPO's/circulars, Safety Rules all the concerned JPO/circulars should be followed during execution of the maintenance works. 7. The contractor shall abide by all the labor Laws of Country/ State. 8. Variation in contract quantities :- The variation in contract quantities is as per New Clause 42(4) to Indian Railways General Conditions of Contract (Ref: Item-9 to Railway Board's letter no. 2007/CE- I/CT/18, dated 28.09.2007 and item-2 to letter no. 2007/CE- I/CT/18 pt. XII, dated 31.12.2010). 9. The period of AMC is Three years. New CAMC shall start from the next day after expiry of the existing extended CAMC. 10. Consignee of this work - SSE/Signal/Gondia/West.

iii) Safety Measures by Service Engineers/Contractor's Staffs:- 1. Necessary Personnel safety equipments like insulated tools, Earth Tester, digital Millimeter with proper calibration certificate, Anti-ESD wrist Bands, Portable vacuum cleaner etc should be kept available by the contractor for the persons employed at the site and maintained in the conditions suitable for immediate use. The contractor shall take adequate measures to ensure proper use of equipment by those concerned. 2. The contractor shall take all precautionary measures in order to ensure protection of his own personnel moving about or working on Railway Premises, and shall abide by all the Railway Regulations and also ensure that the same are followed by his representatives, agents, servants or sub contractors or workmen. The firm is therefore, be bound under these clauses to give notice to them about the provisions of this clause and the consequent liability of the contractor under the agreement. 3. The works must be carried out most carefully in such a way that they do not interfere with Railway Operation except as agreed by the Railways. 4. The contractors employee and workmen shall not for any reason operate any appliances nor installations of the railway concerning the safety of the train movement, but they should whenever necessarily notify to the qualified staff who will then take necessary steps. 5. The contractor shall see that no damage is caused to Railway Signaling and transmission wires, station installation, communication lines electrical devices, trains of any kind, fencing as well as any rolling stock and in general to all Railway installation and equipments. If any damage is cause to or suffered by a Railway property by or as an consequence of the acts or unlawful omissions of the contractor, its employees and workmen or other persons connected with it, the necessary repairs or replacements shall be affected by the railways at the risk and cost of the contractor. The said expenses shall be recovered from the money due and payable to the contractor or by other appropriated process.

(iv) Contractor's Liability Costs, Damages etc: 1. All Costs, damages and expenses which the Railway may have incurred or suffered and which are recoverable from the contractor under the terms of this contract or the relevant law may at the discretion of the Railways, be recovered by deducting requisite amounts from any money due and payable or refundable to the contractor or any account whatsoever or by legal proceedings. The Railway also reserves the right and shall be entitled to retain payments due to the contractor under this contract and to set off the same against all claims whether arising out of this contract or out of any other transaction whatsoever against the contractor in exercising this right the Railway shall not act unreasonably. 2. In the event of any breach of the aforesaid conditions, the contractor shall in addition to through himself open to action for contravention of terms of the agreement and or for criminal breach trust, be liable to account to government for all moneys advantageous or profit resulting or which in the usual course would have resulted by reason of such breach. 3. The contractor shall take utmost care while carrying out the works including excavation so as not to cause any damage to the existing Railway underground and other cables. In case cable is damaged by the contractor due to fault of his personnel, he is liable for a penalty of Rs. ONE LAKH ONLY for each case, for the loss caused to the Railway. His work is also liable to be stopped till such time he takes measures which are certified to be satisfactory by the executing supervisor.

(v) Site Facilities :- 1. To enable the contractor to discharge their obligations under this contract, Railway shall provide required assistance to the contractor for free and easy access to equipment. 2 . For necessary co-ordination during trouble shooting or faults, Railways shall make available to the contractor free of charge appropriate staff familiar with Railways. 3. If at site any item is to be physically moved in connection with the carrying out of contracted maintenance service then for this purpose Railway may provide to the contractor on request necessary held and man power without charge. 4 . No Railway free passes shall be issued to the contractor or his workmen for travel by trains. Only identification letters shall be issued to individual employed on the work. 5. For the transport of materials from stores to work spot, no octori shall be paid by the Railway and only way bill shall be issued by the Railway engineer covering the material issued.

(vi) Schedule of activity for execution of AMC :- 1. The service engineer shall visit Bi-monthly at every installation with all necessary tools and equipments to carry the routine checks for preventive maintenance and adjust all Hardware and Software components of the equipment and keep DATA LOGGER installation dust free to ensure the requirements covered under the scope of AMC. 2. Fault logics as per guidelines of RDSO and any other fault logics for safe operation of train as instructed by HQ shall be created by CAMC service engineer and implemented accordingly. 3. The service engineer shall check all DATA LOGGER equipments. i.e. Cards, Module, Sub system, System, Part either in Hardware or in Software or in any form, installation and Updating of Antivirus software in FAS in presence of Railway Supervisor (JE/SSE). The details regarding checking should be recorded in the maintenance register (Performa duly approved by Railway), which is kept at each station by the firm. 4. Before starting of AMC a joint inspection of stations shall be carried out by representative of Firm and Railways. 5. Records of measurements of various parameters, their adjustments and replacement of modules/cards/equipments during the visit shall be maintained as the Performa given by Railway and be got counter signed by the representative of Sr. DSTE/NGP during every visit at a station. Contractor shall maintain a register at each location for recording the details as per this Performa. 6. A separate register is to be maintained by the contractor at each station during the period of AMC the details regarding the time of information received, failure/breakdown attended and its rectification, its nature, material repaired/replaced and signature of the service Engineer and the authorized representative of Sr. DSTE/NGP should be recorded. DSTE/ADSTE of the section will finally certify the quality of maintenance work done by the contractor as per schedule and condition of AMC. DSTE/NGP 5 7. The failure record Register (Performa duly approved by Railway) should be supplied by the firm at each station 8. The message in case of failure shall be given by the Railway representative to the service engineer on phone/fax or SMS or any other means. There shall be no limit on the breakdown calls. 9. After getting the message the contractor should attend the break down or failure within 12 hours. If rectification is taken more than 24 hours then stand by system will be provided by the firm. 10. The OEM shall prepare report on Faults Noticed & Troubleshooting done. 11. To attend system failure call from Client. a) Diagnose cause of failure, rectify the fault, restart the system and put the system back to normal operation. b) To replace any defective equipment to restore the DATA LOGGER system. 12. After rectification to breakdown by the firm, authorized representative of Sr. DSTE/ NGP will inspect and certify the rectification. 13. No faulty cards/ module / equipment shall be allowed to remain in the system for a period more than 24 hours from the time of reporting the failure to the service engineer. The required card/module shall be warranted to perform the published specification and to be free from defects in workmanship and materials under normal and proper use and maintenance.

14. If the service engineer feels that the failure is due to any other reason, which is beyond his purview the same, should be reasonably supported by reports/ measurements/readings etc. Railway decision in this regard shall be final. 15. The contractor should have adequate stock of spares required for restoration of any of the modules of the system within prescribed time limit. The firm shall arrange the required tools. The firm shall keep vital material required for maintenance / replacement readily available at different stations/locations within scope of CAMC. 16. The contractor shall replace certain components such as EPROM batteries, condensers etc, having limited life as part of preventive maintenance. 17. The OEM shall maintain a round the clock helpline in the form of a call centre/ website so that calls can be logged. The firms' engineer or supervisor shall be available on telephone round the clock for passing on the information by railway in case of failure. In case of Odd hour's failures and emergences even on holidays and Sundays, the firm shall render normal service. 18. The contractor shall provide training to the Railway maintenance personnel about basic maintenance and also front line of fault rectification. Contractor shall also prepare & make available maintenance & fault rectification manual at all sites. 19. The OEM shall provide service personnel having minimum qualification and adequate experience in the maintenance of DATA LOGGEER shall be posted at NGP for round the clock manning at central fault control/NGP plus additionally at least one more exclusive staff for attending datalogger related failures and discharging AMC obligations at G, NIR, CWA, NAB & NGP respectively to cover the equipments in Annual maintenance contract. These DSTE/NGP 6 details of service personnel will be provided in their offer. The service personnel employed by the OEM should be exclusive for the purpose of AMC contract and should not be utilized for any other purpose such as construction installation/ maintenance of other equipments/locations. 20. The technical compatibility of the service engineer posted at various stations under this AMC shall be first tested by Railways. The firm under taking AMC shall ensure that only properly trained personnel having requisite technical capability only shall be posted for AMC. 21. Necessary authority (Identity Card) will be arranged by the Railway to the representative of the firm during the AMC period for work at site. The firm will provide man power for assisting in removing/fixing of any component of Data Logger during the maintenance and service of the equipment. The Railway staff will be available for inspecting the firm's maintenance and service work of equipment only. 22. During the period of maintenance contract no third party will be allowed to undertake any repairing / servicing of the system unless the firm performing the AMC has given prior consent, but the firm will allow the Railway staff to perform maintenance activities. 23. Topping up/cleaning and maintenance of Data Logger battery shall be done by the firm. Railway will replace battery after 3-4 years from the date of provision of battery (on condition basis). In case of any operational defective like leakage, crack in sealing compound same will be rectified by the firm. 24. Annual Maintenance of UPS, Printers and other peripherals used for Data Logger Networking system shall be maintain if any of the item provided at station.

25. Requirements of Up time and down time:- a. Working hours for the system shall be considered as 24 hours per day. b. UP Time : 1. The contractor must ensure UP time of at least 99.9% for entire system being offered under the tender up to the end of AMC period of Three years. 2. The up time shall be calculated on monthly basis. c. Down Time: a) Down time is defined as the duration for which the system as a whole or any part is not available for the purpose it is installed. b) The down time shall 6.1.1 be reckoned from the time the contractors Representative has been informed by means of Telephone/ SMS/Fax or any other method at the address as specified by the contractor within jurisdiction of Railway. iii. Every month, summary of UP time and down time of each system shall be jointly signed along with the Railway Representative. At the end of every quarter the MTBF and MTRR is to be calculated jointly by the firm's representative and the representative of Sr. DSTE/Co./NAG

(vii) Payment and Deduction: 1. Payment for AMC will be made on completion of every quarter (i.e 3 Months) @ 25% of the contractual amount for the year on the basis of maintenance log book maintained by Sr. DSTE/Co./NAG or his authorized representative & duly signed by both the parties. 2. The contractor should attend the break down or failure within 12 hours after getting the message, if he fails to do so, a penalty will be charged as per breakdown or failure @ Rs. 100/- per hour for first slot of four hours and @ Rs. 200/- in second slot of four hours and so on in Geometric progression. If rectification is taken more than 24 hours for Data logger then stand by system shall be provided by the firm. 3. No payment for the month for the number of systems/system will be done if the down time is more than 24 Hours for that system/systems.

3. Certificate of satisfactory performance which is the basis of payment. The certificate of satisfactory performance will be issued by representative of Sr. DSTE/Nagpur/SECR.

4.The repaired equipments will carry repairing warranty for a period of six months from the date of handing over of the sets to consignee. In case of same failure of the repaired cards within warranty period is noticed then firm has to repair again the same equipments/cards free of cost. with warranty for a period of another six months from the date of handing over of the set to consignee

A)General : 1)The contract will be govern by the general conditions of the contract & special conditions of contract as applicable to S.E.C.Railway. 2)In case any contradiction between general condition of contract & special conditions of contract, special conditions of contract will prevail over general conditions of contract. 3)Consignee of the work:-SSE/Signal/Gondia/West. 4)Sr.DPO/NGP's Letter No. P/R/NGP/Policy/Contract Labour/09 Dated 02.09.2009 for implementation of contract Labour (R&A) Act should be observed. 5)The contractor has to submit two contact number for fault reporting & passing other necessary information's 6)The rate quoted by the Contractor should be inclusive of all types of taxes , duties etc. 7)The contractor to display the following information's on steel board of size not less than 1m x 1m at all project sites for better appreciation of the project to railway officials and to the public as well. Name of the organization / Railway. -(1)Name of the project.(2) Approx. cost of project.(3)Expected date of completion.(4) Name and address of the contractor.(5) Address of engineer-in -charge.(As per Railway Board's no:-2014/CE-I/CT/)/21/1,dt:-10.11.14.)

B)Materials : 1The Railway may issue certain materials from the Railway store to expedite the work, if the contractor due to unavoidable circumstances will delay the same in supply or if the material is not included in the items to be supplied in this tender but required during execution of the work. 2)Materials to be supplied by the contractor are to be supplied to consignee at his depot. The contractor has to load, unload & transport the materials required for work from the store depots of the division to the work site . 3)The contractor shall furnish guarantee certificate of materials/equipment supplied by him for a period not less than one year after commissioning or as per policy of the OEM which ever is higher.

C) Inspection : 1) Inspection of materials : The materials/equipments to be supplied by the tenderer shall be inspected by RDSO/RITES /Railway's Representative before dispatch of the materials as specified against each item in the schedule .The cost of inspection ,and transport to the respective work site shall be borne by the tenderer.If required by Railway Engineer,these materials/equipments shall be subjected to the further inspection at the work site also and the cost thereof shall be borne by tenderer .However inspection will be carried out by the representative of Sr. DSTE/NGP/SECR if specifically not mentioned against the item. 2) All the tools / instrument required for execution & inspection will have to brought by the contractor on his own cost. 3) The equipments/materials as per RDSO specifications are to be procured from the RDSO approved sources only. The guidelines stipulated for stores procurement will hold good for procuring these items from RDSO approved Part I and Part II sources, where both sources are available. The major/bulk procurement should be done from RDSO approved Part I and only educational orders should be placed on RDSO approved Part II. Present stipulations states that maximum 15% of the total quantities can be procured from RDSO approved Part II source. The items so procured from RDSO approved Part I and Part II firms in 17:3 proportions should strictly match in their specification, size, quality, configuration so that they are interchangeable/replaceable. The equipments/ materials as per RDSO specifications can be taken fully from RDSO Part II approved sources only if there are no Part I RDSO approved sources for the same.

(E) Contract Labour (R&A) Act, 1970 ProvisionsThe following provisions of Contract Labour (R&A) Act- 1970 shall be followed strictly.(i) The payment to the contract labourers should be made through bank/cheque.(ii) Identity Card should be issued to all contract workers.(iii) Necessary steps should be taken to deduct Provident fund from the payment made to the contract labour and ensure that the same is credited to their Provident fund account.(iv) Medical facilities from ESI, if applicable

(F) Coverage of all construction workers under the ambit of Employees Provident Funds &Miscellaneous provisions Act 1952The tenderer has to ensure the following:- 1.That all workers employed in the construction work in railways establishment are registered under UAN. 2.Compliance in respect of construction /other contractual workers deployed by them through contractors/sub contractors. 3.Compliance of construction workers engaged through contractors/sub contractors, it is necessary to not only ensure separate ECRs containing provident fund account number of their workers, but also copies of wages/salary register and attendance register. 4. Remittances of provident Fund and ECR should be verified from EPFO website before releasing the bills to avoid manipulation /misappropriation of provident fund dues by contractors /sub contractors. 5.Mention PF account number and UAN number on identity card of each worker including those engaged through contractors/sub contractors. 6.UAN number of all workers has to be activated by contractor so that the workers can get their e- passbook and even know about deposit of provident fund by the contractor last month along with PF balance just by giving a missed call from their registered mobile number.

G.The Contractor shall cordon the working area in colony and station premises at the time of work.

H. The Contractor shall clear the debris, left over material from site after completion of work,and then only final bill will be released.

I. The contractor shall take utmost care while carrying out the works so as not to cause any damage to the existing Railway underground and other cables. In case Cable isdamaged by the contractor due to fault of his personal, he is liable for a penality as per SECR's JPO No.SECR/S&T/Policy/959 dt.16.07.12, for the loss caused to the Railway. His work isalso liable to be stopped till such time he takes measures which are certified to be satisfactoryby the executing supervisors.

J. (3) In terms of provisions of clause 26A.1 to the General conditions of contract (GCC) , and R.B. letter No. 2012/CE- I/CT/O/20 dt. 10.05.2013 contractor shall employ following Qualified Engineers during execution of the allotted work:- (a) One Qualified Graduate Engineer when cost of work to be executed is Rs. 200 lakh and above ,and (b) One Qualified Diploma Holder Engineer when cost of work to be executed is more than Rs. 25 Lakh, but less than Rs. 200 Lakh. (4).Further in case the contractor fails to employ the Qualified Engineer , as aforesaid in para 3 above, he ,in terms of provisions of clause 26A.2 to the General conditions of contract , shall be liable to pay an amount of Rs. 40,000 and Rs. 25,000 for each month or part thereof for the default period for the provisions ,as contained in para 3 (a) and 3(b) above respectively.
