The firm must have a valid Electrical License issued by any state with in India and shall upload documentary proof of the same, failing which offer shall be summarily rejected

In case of any discrepancy noticed at any stage i.e. evaluation of tenders, execution of work or final payment of the contract, the master copy available with the railway Administration shall be final and binding upon me/us.

Tenderer/s have to deposit Earnest Money Deposit (EMD)/ Bid Security through Gate-Way payment of IREPS portal only. Scanned copy of transaction ID/Receipts shall be uploaded along-with e tender. Payment of EMD / Bid Security or TDC in form of Demand Draft, Banker's Cheque, Cash Deposit Receipts or in Cash shall not be considered. (Railway Board's letter no 2015/CE-I/CT/5/1 dated 31st August 2016). Note- If the payment for TDC & EMD / Bid Security not made (if not exempted as perextant rules), offer will be summarily rejected.

Please enter the percentage of local content in the material being offered. Please enter 0 for fully imported items, and 100 for fully indigenous items. The definition and calculation of local content shall be in accordance with the Make in India policy as incorporated in the tender conditions.

The Railway Reserve the right to accept in whole or in part or reject any tender or all tenders without assigning any reason forsuch action.

Quoted Rates shall be inclusive of all statuary taxes like GST, building cess, any allowance, license fee, royalty charges etc. aslegally leviable by State, Central Government and/or any other local body/authority

GST, Income tax and TDS on GST will be as per extent rule prevailing as on date.

The successful bidder shall have to submit a Performance Guarantee (PG) within 21 (Twenty one) days from the date of issue of Letter of Acceptance (LOA). Extension of time for submission of PG beyond 21 (Twenty one) days and upto 60 days from the date of issue of LOA may be given by the Authority who is competent to sign the contract agreement. However, a penal interest of 12% per annum shall be charged for the delay beyond 21(Twenty one) days, i.e. from 22nd day after the date of issue of LOA. Further, if the 60th day happens to be a declared holiday in the concerned office of the Railway, submission of PG can be accepted on the next working day. In all other cases, if the Contractor fails to submit the requisite PG even after 60 days from the date of issue of LOA, the contract is liable to be terminated. In case contract is terminated railway shall be entitled to forfeit Earnest Money Deposit and other dues payable against that contract. In case a tenderer has not submitted Earnest Money Deposit on the strength of their registration as a Startup recognized by Department of Industrial Policy and Promotion (DIPP) under Ministry of Commerce and Industry, DIPP shall be informed to this effect. The failed Contractor shall be debarred from participating in re-tender for that work.

The successful bidder shall submit the Performance Guarantee (PG) in any of the following forms, amounting to 5 percent of thecontract value: (a) A deposit of Cash (b) Irrevocable Bank Guarantee (c) Government Securities including State Loan Bonds at 5 percent below the market value (d) Deposit Receipts, Pay Orders, Demand Drafts and Guarantee Bonds. These forms of Performance Guarantee could be either of the State Bank of India or of any of the Nationalized Banks (e) Guarantee Bonds executed or Deposits Receipts tendered by all Scheduled Banks (f) A Deposit in the Post Office Saving Bank (g) A Deposit in the National Savings Certificates (h) Twelve years National Defence Certificates (i) Ten years Defence Deposits (j) National Defence Bonds and (k) Unit Trust Certificates at 5 percent below market value or at the face value whichever is less. Also FDR in favour of PFA/MCF-RBL free from any encumbrance may be accept

GCC-2022 with up to date correction slip and Indian Railways UNIFIED Standard Specification, Relevant IS-CODEs and latest guide line of Railway board /RDSO are part of this tender document. In the Special Conditions of Contract "General Condition of Contract" shall mean general Conditions of Contract- April 2022 of Indian Railways. Standard Specifications shall mean " Indian Railways Unified standard specifications. (works and materials) Vol - I & II".

Dissolution of contractor's firm- If the contractor's firm is dissolved due to death or retirement of any partner or for anyreason before duly completing the work or any part of it undertaken by the Principal Agreement, the partners shall remain jointly severally and personally liable to complete the whole work to the satisfaction of the Railway and to pay compensation for loss, sustained if any, by the Railway due to such dissolution. The amount of such compensation shall be decided by the Engineer and his decision in the matter shall be final and binding on the Tenderers.

Tenderer/s should submit their offer strictly in accordance with the terms and conditions of the tender document. Tenderer should not quote any deviation from the tender document and should not quote any conditions. Nevertheless, as an exception, if any unavoidable deviations or conditions are quoted by the tenderer/s, financial impact of each of such conditions / deviations on their quoted unit rates, in terms of Rupees per unit rate, shall be clearly mentioned by the tenderer in the tender offer. If any of the deviation / condition has no financial impact on the quoted rates, in such cases also, the tenderer must clearly mention its financial impact as 'NIL'. This is required for proper financial evaluation of such conditional / deviated offers. Conditional offers / offers with deviations, without quantified financial impact of each of the condition / deviation on the quoted rates, shall be considered as"incomplete" and shall be summarily rejected'

Special condition for tax deduction in respect of works contracts value more than Rs. 5,000/- each, a deduction of 2% on thegross payment from each of the contractor's bills shall be made in terms of section 194(C) of the Income Tax Act of 1961 & 1991. Surcharge will also be deducted along with Income Tax as per extent rules applicable time to time. The Railway will advise/recover GST amount (if leviable in a particular state/case where the work is going on) from each bill while making payment to the contractors. The recovery shall be governed as per the guidelines & rates prescribed by the concerned authorities from time to time. Any Other taxes contractor shall bear in full all taxes and royalties levied by the State Government and/or Central government from time to time. This would be entirely a matter between the contractor and State Government/or Central government. Railway will recover the taxes and royalties through final bills if the contractor fails to pay the taxes and royalties to the Government.

Following details, inspection register and records shall bemaintained by contractor. The Contractors shall maintainaccurate records, plans and charts showing the dates andprogress of all main operations and the Engineer shall haveaccess to this information at all reasonable times. Records ofquality assurance tests made shall be handed over to theEngineers representative after carrying out the tests. Thefollowing registers shall be maintained at site by theContractors. (I) Site Order Register: The Contractors shallpromptly acknowledge by putting his signature in the site orderagainst any order given therein by the Engineer or hisrepresentative or his superior officers and comply with them.The Compliance shall be reported by the contractors to theEngineer in time so that it can be checked. (II) Labour Register:This register will be maintained to show daily strength of labourin different categories employed by the Contractors. (III) LOGbook of events: All events are required to be chronologicallylogged in this book shift wise and date se. (IV) equipment's,machines and inventory of other main items registers shall bemaintained by the contractor

Disaster management- All the available vehicles andequipment's of the contractor can be drafted by the RailwayAdministration in case of accidents/ natural calamities involvinghuman lives. The payment for such drafting shall be madeaccording to the rates as shall be fixed by the Engineer.However, if the contractor is not satisfied with the decision ofthe Engineer in this respect he may appeal to the ChiefEngineer within 30 Days of getting the decision of the Engineer,supported by analysis of the rates claimed. The Chief Engineer'sdecision after hearing both the parties in the matter would befinal and binding on the contractor and the Railway".

Emergency work- In the event of any accident or failureoccurring in the execution of work/arising out of it which in theopinion of the Engineer requires immediate attention, theRailway may bring its own workmen or other agency/agencies toexecute or partly execute the necessary work or carry out worksif the Engineer-in-charge considers that the contractor(s) is/arenot in a position to do so in time without giving any notice andcharge the cost thereof, to be determined by the Engineer-incharge, to the contractor.

Damage by accident/ flood/ tides or natural calamities- The Contractor shall take all precautions against damages from accidents, floods tides or other natural occurrences. He shall not be entitled to any compensation for his tools, plants, materials, machines and other equipment lost or damaged by any cause what so ever. The Contractor shall be liable to make good the damage to any structure or part of a structure, plant or material of every description belonging to the Railway covered under the contract, lost or damaged by him due to any cause during the course of execution of work. The railway administration will not be liable to pay the contractor any charge for rectification or repair to any damage which may have occurred from any cause what so ever.

Price variation clause (PVC) in works contract is dealt with in accordance with in accordance with provisions of item 46A ofGCC-2022. In order to simplify and enhance the pace of the works, it has been decided to remove the PVC clause in all works contract tenders having value less than Rs. 5 Crore. Authority item No. 8.0 of Railway Board Letter No.2017/Trans/01/Policy dated 08.02.2018 (or as per latest guideline of Railway board).

JOINT VENTURE (JV): Guidelines regarding for participation of Joint Venture firms in works tender are detailed in instructions to tenderer and guidelines for tender & contract. This clause shall be applicable for works tenders of value more than Rs. 10.0 Crore or as approved and communicated by Railway Board from time to time. (Authority Railway Boards letter No. 2002 /CEI /CT/37 /JV /Part-VIII dated 14.12.2012).

The Security Deposit shall be 5% of the contract value. The BidSecurity submitted by the Contractor with his tender will beretained/encashed by the Railways as part of security for thedue and faithful fulfillment of the contract by the Contractor.Provided further that, if Contractor submits the Cash or TermDeposit Receipt issued from a Scheduled commercial bank ofIndia or irrevocable Bank Guarantee Bond from a Scheduledcommercial bank of India, either towards the Full SecurityDepositor the Part Security Deposit equal to or more than BidSecurity, the Railway shall return the Bid Security, to theContractor. Balance of Security Deposit may be deposited bythe Contractor in cash or Term Deposit Receipt issued fromScheduled commercial bank of India or irrevocable BankGuarantee bond issued from Scheduled commercial bank ofIndia, or may be recovered at the rate of 6% of the bill amounttill the full Security Deposit is recovered. Provided also that incase of defaulting Contractor, the Railway may retain anyamount due for payment to the Contractor on the pending "onaccount bills" so that the amounts so retained (includingamount guaranteed through Performance Guarantee) may notexceed 10% of the total value of the contract. The IrrevocableBank Guarantee submitted towards Security deposit shall beinitially valid up to the stipulated date of Maintenance periodplus 60 days and shall be extended from time to time,depending upon extension of contract granted in terms ofClause 17A and 17B of the Standard General Conditions ofContract. Note: Security Deposit deposited in cash by theContractor or recovered from the running bills of a Contractor orsubmitted by contractor as Term Deposit Receipt(s) can berefunded/returned to the contractor, in lieu of irrevocable BankGuarantee bond issued from scheduled commercial bank ofIndia, to be submitted by him, for an amount equal to or morethan the already available Security Deposit, provided howeverthat, in a contract of value less than Rs. 50 Crore, such refund/return of the already available Security Deposit is permitted upto two times and in a contract of value equal to or more thanRs. 50 Crore, such refund / return of the already availableSecurity Deposit is permitted up to three times.16.(2) (i) Refundof Security Deposit: Security Deposit mentioned in sub clause(1) above shall bereturned to the Contractor along with or after,the following:(a) Final Payment of the Contract as per clause 51.(1) and(b) Execution of Final Supplementary Agreement orCertification by Engineer that Railway has No claim onContractor. and(c) Maintenance Certificate issued, on expiry ofthe maintenance period as per clause 50.(1), in caseapplicable.16. (2) (ii) Forfeiture of Security Deposit: Wheneverthe contract is rescinded as a whole under clause 62 (1) of theseconditions, the Security Deposit already with railways under thecontract shall be forfeited. However, in case the contract isrescinded in part or parts under clause 62 (1) of theseconditions, the Security Deposit shall not be forfeited.16. (3) Nointerest shall be payable upon the Bid Security and SecurityDeposit or amounts payable to the Contractor under theContract, but Government Securities deposited in terms of Sub Clause 16.(4)(b) of this clause will be payable with Interestaccured thereon

E- Tendering Notice: With the implementation of e tendering in Railway works contracts through IREPS, Board (ME&FC) have decided to advertisement of the works tender in news paper invited through e procurement website (i.e. IREPS). (Authority - Railway board letter no. 2018/CE-I/CT/8, New Delhi, dated:07.01.2019

Validity of Tender: With such a system of self-certification of credential, tender finalization should also be speeded up. It has accordingly been decided that the tender validity period should be reduced to 45 days for single packet and 60 days for two packet system of tendering (in place of the present limit of 90days and 120 days) for tenders having affidavit-based system of credential verification. (Authority item No. 3.2 (c) of Railway board's Letter No. 2017/ Trans/01/Policy dated 08.02.2018)

Before uploading e-tender, the tenderer shall be deemed to have satisfied himself by actual inspection of the site and locality of the works, that all conditions liable to be encountered during the execution of the works are taken into account and that the rates he enters in the e-tender are adequate and all inclusive to accord with the provisions in Clause-37 of the Standard General Conditions of Contract Part-II for the completion of works to the entire satisfaction of the Engineer. When work is tendered for by a firm or company, the tender shall be digitally signed to enter into commitments on their behalf

Tenderers will examine the various provisions of The Central Goods and Services Tax Act, 2017(CGST)/ Integrated Goods and Services Tax Act, 2017(IGST)/ Union Territory Goods and Services Tax Act, 2017(UTGST)/ respective state's State Good sand Services Tax Act (SGST) also, as notified by Central/State Govt. & as amended from time to time and applicable taxes before bidding. Tenderers will ensure that full benefit of Input Tax Credit (ITC) likely to be availed by them is duly considered while quoting rates.

The successful tenderer who is liable to be registered under CGST/ IGST/ UTGST/ SGST Act shall submit GSTIN along with other details required under CGST/ IGST/ UTGST/ SGST Act to railway immediately after the award of contract, without which no payment shall be released to the Contractor. The Contractor shall be responsible for deposition of applicable GST to the concerned authority

In case the successful tenderer is not liable to be registered under CGST/ IGST/ UTGST/ SGST Act, the railway shall deduct 19.1.1 the applicable GST from his/their bills under reverse charge mechanism (RCM) and deposit the same to the concerned authority.

Employment/Partnership etc. of Retired Railway Employees: (a)Should a tenderer be a retired Engineer of the gazetted rank or any other gazetted officer working before his retirement ,whether in the executive or administrative capacity or whether holding a pensionable post or not, in the Engineering or any other department of any of the railways owned and administered by the President of India for the time being, or should a tenderer being partnership firm /company / joint venture (JV) / registered society / registered trust etc have as one of its partners a retired Engineer or retired gazetted officer as aforesaid, or should a tenderer being an incorporated company have any such retired Engineer or retired officer as one of its directors or should a tenderer have in his employment any retired Engineer or retired gazetted officer as aforesaid, the full information as to the date of retirement of such Engineer or gazetted officer from the said service and in case where such Engineer or officer had not retired from government service at least 1 year prior to the date of submission of the tender as to whether permission for taking such contract, or if the Contractor be a partnership firm or an incorporated company, to become a partner or director as the case may be, or to take the employment under the Contractor, has been obtained by the tenderer or the Engineer or officer, as the case may be from the President of India or any officer, duly authorized by him in this behalf, shall be clearly stated in writing at the time of submitting the tender. Tenders without the information above referred to or a statement to the effect that no such retired Engineer or retired gazetted officer is so associated with the tenderer, as the case may be, shall be rejected.

(b) Should a tenderer or Contractor being an individual on the list of approved Contractors, have a relative (s) or in the case of partnership firm/ company / joint venture (jv) / registered society / registered trust etc. one or more of his shareholder(s)or a relative(s) of the shareholder(s) employed in gazetted capacity in the Engineering or any other department of the_____________ railway, the authority inviting tenders shall be informed of the fact at the time of submission of tender, failing which the tender may be disqualified/ rejected or if such fact subsequently comes to light, the contract may be rescinded in accordance with provision in clause 62 of standard general conditions of contract.

All the terms and conditions shall be applicable as per GCC 2022 Indian Railways with latest correction slips. If any discrepancies available in the conditions in tender document, the conditions available in GCC- 2022 with latest correction slip or latest guide line of Railway Board will be applicable.
