i) Part A: Provision of Online monitoring & control of electrical assets over MLG area of MLG(HQ) Unit.ii) Part B: Comprehensive Annual maintenance Contract (CAMC) of loT devices for monitoring electrical general assets for a period of 08 (Eight)years in IR-NIYANTRAC

The tenderer must have minimum average annual contractual turnover of [V/N or 'V' whichever is less; where V = Advertised value of the tender in crores of Rupees N= Number of years prescribed for completion of work for which bids have been invited. The average annual contractual turnover shall be calculated as an average of "total contractual payments" in the previous three financial years, as per the audited balance sheet. However, in case balance sheet of the previous year is yet to be prepared/ audited, the audited balance sheet of the fourth previous year shall be considered for calculating average annual contractual turnover. The tenderers shall submit requisite information as per Annexure-VIB, along with copies of Audited Balance Sheets duly certified by the Chartered Accountant/ Certificate from Chartered Accountant duly supported by Audited Balance Sheet.

Tenderer should submit their bank account no., name of the bank and bank specific code no. in separate sheet, Current valid GST registration no. and PAN CARD

Any firm recognized by Department of Industrial Policy and Promotion (DIPP) as 'Startups' shall be exempted from payment of Bid Securitydetailed above. 2. Labour Cooperative Societies shall submit only 50% of above Bid Security detailed above.

The tenderer are advised to submit the Bid Security with the tender for the due performance with the stipulation to keep the offer open till such date as specified in the tender, under the conditions of tender. The Bid Security shall be deposited either in cash through e payment gateway or submitted as Bank Guarantee bond from a scheduled commercial bank of India or as mentioned in tender documents. The Bank Guarantee bond shall be as per Annexure-VIA and shall be valid for a period of 90days beyond the bid validity period.

The similar nature of work for this work should be "Design, supply, erection, testing and commissioning of IOT devices/IFD (Intelligent Field Devices) for Cloud/Web based monitoring/control/automation of assets like Pumps, lighting, fans, Lifts, Escalators, Electric Substation, Energy metering etc. with or without AMC. No any credential from any private organization will be acceptable.

Tenderer must have to submit valid Electrical Contractor license as per Indian Electricity Rules for the respective category of works issued by Government Electrical License Board on or before closing date of tender. Copy of which should be submitted along with the tender offer, otherwise tender will be summarily rejected. Tenderer should also submit letter of confirmation of employment of electrical supervisor along with current and valid electrical supervisor license of the engaged supervisor for the respective category of works, otherwise tenderer offer would summarily rejected.

The tenderer must have successfully completed or substantially completed any one of the following categories of work(s) during last 07(seven) years, ending last day of month previous to the one in which tender is invited: (i)Three similar works each costing not less than theamount equal to 30% of advertised value of the tender, or (ii)Two similar works each costing not less than the amount equal to 40% of advertised value of the tender, or (iii)One similar work costing not less than the amount equal to 60% of advertised value of the tender. (b) (1)In case of tenders for composite works (e.g. works involving more than one distinct component, such as Civil Engineering works, S&T works, Electrical works, OHE works etc. and in the case of major bridges - substructure, super structure etc.), tenderer must have successfully completed or substantially completed any one of the following categories of work(s) during last 07 (seven) years, ending last day of month previous to the one in which tender is invited: (i)Three similar works each costing not less than the amount equal to 30% of advertised value of each component of tender, or (ii)Two similar works each costing not less than the amount equal to 40% of advertised value of each component of tender, or (iii)One similar work each costing not less than the amount equal to 60% of advertised value of each component of tender. Note for b(1): Separate completed works of minimum required values shall also be considered for fulfilment of technical eligibility criteria for different components.

Please enter the percentage of local content in the material being offered. Please enter 0 for fully imported items, and 100 for fully indigenous items. The definition and calculation of local content shall be in accordance with the Make in India policy as incorporated in the tender conditions.

The tenderers are required to observe the website to find out if any correction slips issued subsequent to uploading of theTender . Railway reserves the right to make any additions/alterations to the tender uploaded and issue corrigendum to the same effect. In case the tenderer fails to take note of the above corrigendum, the additions and alterations entered/effected in the corrigendum shall be binding upon the tenderer and no claim whatsoever will be entertained by Railway

1)The Tenderer is hereby advised to study the tender documentin www.ireps.gov.in portal carefully and may also ascertain thenature quantum of work and working condition beforesubmission of his offer. (2) The submission of the tender will bedeemed to imply that this memorandum and all documentsenclosed have been studied and understood and that theTenderer is aware of the full scope of the work to be done. TheTenderer(s) shall quote his / their rates as a percentage above orbelow the Schedule of Rates of NF Railway as applicable to HQexcept where he/they are required to quote item rates and musttender for all the items shown in the Schedule of approximatequantities attached. The quantities shown in the attachedSchedule are given as a guide and are approximate only and aresubject to variation according to the needs of the Railway. TheRailway does not guarantee work under each item of theSchedule. The tenderer(s) shall quote rates / rebates only atspecified place in Tender Form supplied by Railway. Any revisionof rates / rebates submitted (quoted) through a separate letterwhether enclosed with the bid (Tender Form) or submittedseparately or mentioned elsewhere in the document other thanspecified place shall be summarily ignored and will not beconsidered. 4.Tenders containing erasures and/or alterations oftender documents are liable to be rejected. Any correction madeby tender(s) in his/their entries must be attested by him / them.5.The works are required to be completed within a period of 90days from the date of issue of acceptance letter.

The tenderer are advised to submit the Bid Security of Rs.399100/- for this instant tender. The Bid Security shall bedeposited either in cash through e payment gateway orsubmitted as Bank Guarantee bond from a scheduledcommercial bank of India or as mentioned in tender documents.The Bank Guarantee bond shall be as per Annexure- VIA andshall be valid for a period of 90 days beyond the bid validityperiod. Any firm recognized by Department of Industrial Policyand Promotion (DIPP) as 'Startups' shall be exempted frompayment of Bid Security detailed above. Labour CooperativeSocieties shall submit only 50% of above Bid Security detailedabove.

In case, submission of Bid Security in the form of BankGuarantee, following shall be ensured: i. A scanned copy of theBank Guarantee shall be uploaded on e- procurementPortal(IREPS) while applying to the tender. ii. The original BankGuarantee should be delivered in person to SSE/Tender in theoffice of Dy.CEE/PS/MLG/HQ, Maligaon within 5 working daysbefore closing date for submission of bids. iii. Non submission ofscanned copy of Bank Guarantee with the bid on e- tenderingportal (IREPS) and/or non submission of original Bank Guaranteewithin the specified period shall lead to summary rejection ofbid. iv. The Tender Security shall remain valid for a period of90days beyond the validity period for the Tender. v. The detailsof the BG, physically submitted should match with the detailsavailable in the scanned copy and the data entered during bidsubmission time, failing which the bid will be rejected vi. TheBank Guarantee shall be placed in an envelope, which shall besealed. The envelope shall clearly bear the identification "Bid forthe ***** Project" and shall clearly indicate the name andaddress of the Bidder. In addition, the Bid Due Date should beindicated on the right hand top corner of the envelope. vii. Theenvelope shall be addressed to the officer and address asmentioned in the tender document. viii. If the envelope is notsealed and marked as instructed above, the Authority assumesno responsibility for the misplacement or premature opening ofthe contents of the Bid submitted and consequent losses, if any,suffered by the Bidder.

The Tenderer(s) shall keep the offer open for a minimum periodof 60 days from the date of closing of the Tender. It isunderstood that the tender documents have been issued to theTenderer(s) and the Tenderer(s), is / are permitted to tender inconsideration of the stipulation on his / their part that aftersubmitting his / their tender subject to the period beingextended further, if required by mutual agreement from time totime, he will not resile from his offer or modify the terms andconditions thereof in a manner not acceptable to Railway. Shouldthe tenderer fail to observe or comply with the foregoingtipulation, the amount deposited or Bank guarantee bondsubmitted as Bid Security for the due performance of the abovestipulation, shall be forfeited to the Railway.

Compliance with the GST Act, 2017 under Clause No.6 ofGCC2022 (Care In Submission of Tenders :)(a) (i)Beforesubmitting a tender, the tenderer will be deemed to havesatisfied himself by actual inspection of the site and locality ofthe works, that all conditions liable to be encountered during theexecution of the works are taken into account and that the rateshe enters in the tender forms are adequate and all inclusive toaccord with the provisions in Clause-37 of the Standard GeneralConditions of Contract for the completion of works to the entiresatisfaction of the Engineer. (a) (ii) Tenderers will examine thevarious provisions of The Central Goods and Services Tax Act,2017(CGST)/ Integrated Goods and Services Tax Act,2017(IGST)/ Union Territory Goods and Services Tax Act,2017(UTGST)/ respective state's State Goods and Services TaxAct (SGST) also, as notified by Central/State Govt.& as amendedfrom time to time and applicable taxes before bidding.Tenderers will ensure that full benefit of Input Tax Credit (ITC)likely to be availed by them is duly considered while quotingrates. (a)(iii) The successful tenderer who is liable to beregistered under CGST/IGST/UTGST/SGST Act shall submit GSTINalong with other details required under CGST/IGST/UTGST/SGSTAct to railway immediately after the award of contract, withoutwhich no payment shall be released to the Contractor. TheContractor shall be responsible for deposition of applicable GSTto the concerned authority. (a)(iv) In case the successfultenderer is not liable to be registered under CGST/IGST/UTGST/SGST Act, the railway shall deduct the applicable GST fromhis/their bills under reverse charge mechanism (RCM) anddeposit the same to the concerned authority. (b)When work istendered for by a firm or company, the tender shall be signedby the individual legally authorized to enter into commitmentson their behalf. (c)The Railway will not be bound by any powerof attorney granted by the tenderer or by changes in thecomposition of the firm made subsequent to the execution of thecontract. It may, however, recognize such power of attorney andchanges after obtaining proper legal advice, the cost of whichwill be chargeable to the Contractor.

Security Deposit: The Security Deposit shall be 5% of thecontract value. The Bid Security submitted by the Contractorwith his tender will be retained/ encashed by the Railways aspart of security for the due and faithful fulfillment of the contractby the Contractor. Provided further that, if Contractor submitsthe Cash or Term Deposit Receipt issued from a Scheduledcommercial bank of India or irrevocable Bank Guarantee Bondfrom a Scheduled commercial bank of India, either towards theFull Security Depositor the Part Security Deposit equal to ormore than Bid Security, the Railway shall return the Bid Security,to the Contractor. Balance of Security Deposit may be depositedby the Contractor in cash or Term Deposit Receipt issued fromScheduled commercial bank of India or irrevocable BankGuarantee bond issued from Scheduled commercial bank ofIndia, or may be recovered at the rate of 6% of the bill amounttill the full Security Deposit is recovered. Provided also that incase of defaulting Contractor, the Railway may retain anyamount due for payment to the Contractor on the pending "onaccount bills" so that the amounts so retained (including amountguaranteed through Performance Guarantee) may not exceed10% of the total value of the contract. The Irrevocable BankGuarantee submitted towards Security deposit shall be initiallyvalid up to the stipulated date of Maintenance period plus 60days and shall be extended from time to time, depending uponextension of contract granted in terms of Clause 17A and 17B ofthe Standard General Conditions of Contract. Note: SecurityDeposit deposited in cash by the Contractor or recovered fromthe running bills of a Contractor or submitted by contractor asTerm Deposit Receipt(s) can be refunded /returned to thecontractor, in lieu of irrevocable Bank Guarantee bond issuedfrom scheduled commercial bank of India, to be submitted byhim, for an amount equal to or more than the already availableSecurity Deposit, provided however that, in a contract of valueless than Rs. 50 Crore, such refund/ return of the alreadyavailable Security Deposit is permitted up to two times and in acontract of value equal to or more than Rs. 50 Crore, suchrefund / return of the already available Security Deposit ispermitted up to three times.

Refund of Security Deposit: Security Deposit mentioned in subclause (1) above shall be returned to the Contractor along withor after, the following: (a)Final Payment of the Contract as perclause 51.(1) and (b) Execution of Final SupplementaryAgreement or Certification by Engineer that Railway has NoClaim on Contractor and (c) Maintenance Certificate issued, onexpiry of the maintenance period as per clause 50.(1), in caseapplicable. 16. (2) (ii) Forfeiture of Security Deposit: Wheneverthe contract is rescinded as a whole under clause 62 (1) of theseconditions, the Security Deposit already with railways under thecontract shall be forfeited. However, in case the contract isrescinded in part or parts under clause 62 (1) of theseconditions, the Security Deposit shall not be forfeited. 16.(3) Nointerest shall be payable upon the Bid Security and SecurityDeposit or amounts payable to the Contractor under theContract, but Government Securities deposited in terms of SubClause 16.(4) (b) of this clause will be payable with interestaccrued thereon.

Performance Guarantee The procedure for obtainingPerformance Guarantee is outlined below: (a) The successfulbidder shall have to submit a Performance Guarantee (PG)within 21 (Twenty one) days from the date of issue of Letter ofAcceptance (LOA). Extension of time for submission of PGbeyond 21 (Twenty one) days and upto 60 days from the date ofissue of LOA may be given by the Authority who is competent tosign the contract agreement. However, a penal interest of 12%per annum shall be charged for the delay beyond 21(Twentyone) days, i.e. from 22ndday after the date of issue of LOA.Further, if the 60thday happens to be a declared holiday in theconcerned office of the Railway, submission of PG can beaccepted on the next working day. In all other cases, if theContractor fails to submit the requisite PG even after 60 daysfrom the date of issue of LOA, the contract is liable to beterminated. In case contract is terminated railway shall beentitled to forfeit Bid Security and other dues payable to thecontractor against that particular contract, subject to maximumof PG amount. In case a tenderer has not submitted Bid Securityon the strength of their registration as a Startup recognized byDepartment of Industrial Policy and Promotion (DIPP) underMinistry of Commerce and Industry, DIPP shall be informed tothis effect. The failed Contractor shall be debarred fromparticipating in re-tender for that work. (b) The successful biddershall submit the Performance Guarantee (PG) in any of thefollowing forms, amounting to 5% of the original contract value:-(i) A deposit of Cash; (ii) Irrevocable Bank Guarantee

(iii) Government Securities including State Loan Bonds at 5%below the market value; (iv) Pay Orders and Demand Draftstendered by any Scheduled commercial Bank of India; (v)Guarantee Bonds executed or Deposits Receipts tendered byany Scheduled Commercial Bank of India; (vi) Deposit in the PostOffice Saving Bank; (vii) Deposit in the National SavingsCertificates; (viii) Twelve years National Defence Certificates;(ix) Ten years Defence Deposits; (x) National Defence Bondsand (xi) Unit Trust Certificates at 5% below market value or atthe face value whichever is less. Also, FDR in favour of FA&CAO(free from any encumbrance) may be accepted. (c) ThePerformance Guarantee shall be submitted by the successfulbidder after the Letter of Acceptance (LOA) has been issued, butbefore signing of the contract agreement. This P.G. shall beinitially valid upto the stipulated date of completion plus 60 daysbeyond that. In case, the time for completion of work getsextended, the Contractor shall get the validity of P.G. extendedto cover such extended time for completion of work plus 60days. (d) The value of PG to be submitted by the Contractor isbased on original contract value and shall not change due tosubsequent variation(s) in the original contract value. (e) ThePerformance Guarantee (PG) shall be released after physicalcompletion of the work based on 'Completion Certificate' issuedby the competent authority stating that the Contractor hascompleted the work in all respects satisfactorily. (f) Wheneverthe contract is rescinded, the Performance Guarantee alreadysubmitted for the contract shall be encashed. (g) The Engineershall not make a claim under the Performance Guarantee exceptfor amounts to which the President of India is entitled under thecontract (not withstanding and/or without prejudice to any otherprovisions in the contract agreement) in the event of: (i) Failureby the Contractor to extend the validity of the PerformanceGuarantee as described herein above, in which event theEngineer may claim the full amount of the PerformanceGuarantee. (ii) Failure by the Contractor to pay President of Indiaany amount due, either as agreed by the Contractor ordetermined under any of the Clauses/Conditions of theAgreement, within 30 days of the service of notice to this effectby Engineer. (iii) The Contract being determined or rescindedunder clause 62 of these conditions

Force Majeure Clause: If at any time, during the continuance ofthis contract, the performance in whole or in part by either partyof any obligation under this contract shall be prevented ordelayed by reason of any war, hostility, acts of public enemy,civil commotion, sabotage, serious loss or damage by fire,explosions, epidemics/pandemics, strikes, lockouts or acts ofGod (hereinafter, referred to events) provided, notice of thehappening of any such event is given by either party to theother within 30 days from the date of occurrence thereof,neither party shall by reason of such event, be entitled toterminate this contract nor shall either party have any claim fordamages against the other in respect of such non- performanceor delay in performance, and works under the contract shall beresumed as soon as practicable after such event has come to anend or ceased to exist, and the decision of the Engineer as towhether the works have been so resumed or 50 shall be finaland conclusive, PROVIDED FURTHER that if the performance inwhole or in part of any obligation under this contract isprevented or delayed by reason of any such event for a periodexceeding 120 days, either party may at its option terminate thecontract by giving notice to the other party.

The new tax structure shall be applicable as per the provisions of the GST Act, implemented with effect from 01.07.2017, along with any subsequent amendments issued thereafter.
