List of Financial Resources with Certificates
The Bidder Should have satisfactorily constructed, completed&commissioned at least One(1) No of 66kV or above voltageclass Sub-Station on Total or Partial Turnkey Basis in the last 10 years preceding the date of bid submission and shall be in satisfactory service for a minimum period of One(1) year prior to the date of submission of the Bid.OR The Bidder shall have experience of carrying out similar work related to 220kV Voltage class
Notwithstanding the above, if it is found that the performance vis a - vis works awarded to theBidder by KPTCL is either behind schedule or not satisfactory, KPTCL will be at liberty to disqualify the Bidder and reject its Bid at the time of techno-commercial evaluation
information furnished by the Bidder / Bidders found to be false at any stage of tendering / execution, then the KPTCL, at its discretion may take action against such Bidder / Bidders. If false information is found at the Tendering stage KPTCL may forfeit the EMD paid, disqualify the offer of such Bidder, Black list the Firm etc.., and if false information is found at execution stage then KPTCL may cancel the works awarded, forfeit the Bank Guarantee furnished against the performance of the contract, Black list the Firm, besides initiating action for recovery of excess money paid by KPTCL, if any, after getting the works executed from other contractors, levy liquidated damages etc.
Before Bidding for the above works, the Bidder shall fully familiarize himself with the Site conditions and General arrangements, etc and examine contents and instruction of bid documents and fully inform himself as to all conditions and matters, which may, in any way, affect the contract or cost thereof. Though the Owner shall endeavour to provide the information, it shall not be binding for the Owner to provide the same. The Bidders are advised to visit the Sub-Station and acquaint themselves with the Topography, infrastructure, Soil conditions and Design Philosophy. The Bidders shall be fully responsible for providing all Equipments, Materials, System and Services specified in their Scope or otherwise which are required to complete the Construction and successful Commissioning of the works in all respects in this package. Non- familiarity with the Site conditions will not be considered for extra Claims and for not carrying out the Work in strict conformity with Drawings and Specifications
Litigation: The Tendere shall provide detailed information on any litigation or arbitration arising out of contracts completed or under execution by it over the last five years with KPTCL. A history of awards involving litigations against the bidder may result in rejection of bid.
The Tenderer/bidder should not have been Blacklisted/disqualified for non-performance in any of the Government utilities in the past five years as on date of Bid opening. Then in such cases, the offer of the bidder will be summarily rejected.
Bidder to source the supply of equipment/material from KPTCL approved Vendors only as per the revised QR for Vendor registration, available in the KPTCL website i.e., https://kptcl.karnataka.gov.in, Link Tender& Procurement application for Vendor registration. Further, a certificate is to be submitted/uploaded by the Bidder agreeing to source the equipment/material for the work from the Vendors who meet the eligibility clauses regarding restrictions on procurement from a country which shares a land border with India as specified in Annexure - XVII of the tender document
To be qualified for Award, Bidders shall provide satisfactory evidence to the Owner of their capability and adequacy of resources to carry out the Contract effectively. Bids shall include the following information and Separate document Files have been specifically created for uploading the following qualifying documents. (as stated in NIT clause No:3.10)
Bankers Certificate for assessing the Liquid Assets (Letter of Credit/ Certificate from banks meeting fund requirement) to assess Lines of Credit and availability of other Financial resources
Bidder shall be financially sound and shall submit audited financial reports for last five years preceding the date of Bid submission. Bidder shall have adequate knowledge of Sub-Stations and Transmission Lines Design procedures including Quality Control and shall have infrastructure and Erection facilities and capacity to execute the Works.
Audited financial statements including Balance sheets, Profit and Loss statements, Turnover Certificate, Auditors Reports of the last five years preceding the date of bid submission of the Bidder.
A Bidder shall submit only one tender in the same tendering process.
The source of supply of equipment/ materials for bought out goods, covered under the scope of the Contractor, shall be only from approved Vendor of KPTCL. Technical parameters of the bought out materials/ equipments shall be clearly furnished.
Tender is laible for rejection where zonal Chief Engineers CEE(T&P) have issued notices in respect ofongoing works in the last 6 months as on date of bid submission invoking Risk & Cost clause and where the work is not completed/charged
Restriction on Land Border SharingAny Bidder from a country which shares a land with India will be eligible to bid in this tender only if the bidder is registered with the Competent Authority as per the provision of Government Order No. FD455 EXP-12 2020 Bengaluru dated 01.04.2023

2 PRICES AND VALIDITY :
2.1 We declare that the Prices stated in our Proposal are in accordance with subject Bid Documents (including Clause No.40 of "Conditions of Contract (CC)" & Clause No.12 of Instruction to Tenderers (ITT) of Bid Documents. We further declare that all Ex-works price/CIF components of Spares, Maintenance and Testing Equipments and other charges viz., Freight and Insurance, Type Test charges and other charges stated in our proposal shall be as per the Tender conditions. All the Price and other terms and conditions of this Proposal are valid during the Performance of the Contract.
2.2 All Taxes and Duties, such as CGST, SGST, IGST, UTGST, Custom Duties on imports, Levies, Surcharge/Cess etc., if any, applicable on the transaction are included in the Bid Price and shall be to Our account and the Owner is not having any liability whatsoever on this account, whatever may be the contrary elsewhere in the Bid documents. However the component of Taxes & Duties included in the Bid Price are separately indicated in Schedule - 2 for TDS purpose. We further confirm that our Bid Prices as quoted in Schedule-I, include all import Duties and levies including Licence fees lawfully payable by us on imported items and all other Taxes, Duties and Levies applicable on Bought-out Components, Materials, Equipment and other items and confirm that any such Taxes, Duties and Levies additionally payable shall be to our account. We further confirm that no Sales Tax in any form shall be payable by Owner either for Bought-out items which are despatched by our Sub-Suppliers directly to the Project Site or for items Supplied directly by us.
2.3 We declare that we have noted and considered Clause No.39 of Conditions of Contract (CC ), Clause No. 11.11 of Instruction to Tenderers(ITT) of Bid Documents regarding Taxes and Duties and quoted our Prices accordingly. We further agree for TDS as per Statutory stipulations.
2.4 The Bid Prices, the Price components of the various items in our Scope of Supply, Erection including Testing & Commisisoning, Civil and Mandatory spares is quoted in Itemwise Financial Bid in e-Procurement Portal for this proposal..
3 CONSTRUCTION OF THE CONTRACT : We, declare that we are making the Offer on the basis of Single Contract for the entire Scope of the Package in accordance with Clause No.26.2 of Instruction to Tenderers (ITT) of Bid Document.
4 We having studied Clause No.39 of Conditions of Contract (CC ), Clause No. 11.11 of Instruction to Tenderers(ITT) of Bid Documents , relating to Tax and we hereby, declare that if any income-tax, surcharge on income tax or any other corporate tax is attracted under the law, we agree to pay the same.
5 Bid Security/ EMD : We have enclosed a Bid Security through e-Payment mode for a sum of Rs.10.00Lakhs and remaining amount of Rs.................................................. ( above Rs.10 Lakhs) in the form of Bank Guarantee in original and two copies of the original valid for a period of 225 days from the date of opening of bids, and liable to be forfeited in accordance with Bid Documents. 6.1 We declare that the Works shall be performed strictly in accordance with the Specifications and Documents except for the variations and Deviations, all of which have been detailed out exhaustively in the following Schedules, irrespective of whatever has been stated to the contrary anywhere else in our Proposal.

7 PERFORMANCE GUARANTEE ; We declare that the ratings and performance figures of the equipment to be supplied and erected by us are guaranteed. The Guaranteed particulas of different equiment in our Scope are enclosed in Data Requirement Sheets.
8 BID PRICING : We further, declare that the Prices stated in our Proposal are in accordance with your ITT & SCC & all other relevant clauses of Bid Documents.
9 PRICE ADJUSTMENT : We declare that the Prices quoted by us are in accordance Clause No. 40 of Section-5 :Conditions of Contract (CC)
10 SPECIAL TOOLS AND TACKLES : We have given a list of Special Tools and Tackles in Schedule - 7 and Prices thereof are included in our lumpsum Bid Price. We further agree that any items of Special Tools and Tackles, though not included in the aforesaid list, but required for effective Erection, Testing, Commissioning & Operation of the Equipments of Substations & Transmission lines shall also be furnished by us, at no extra cost to you.
11 ADDITIONAL INFORMATION : In addition to the information called for in these Proposal Sheets, we have included with this Proposal, additional information as listed in Schedule - 8. We further confirm that such additional information does not imply any additional deviation beyond those covered in Schedule - 5 & 6 and in case of any contraction between these additional information and other provisions of Bid, the later will prevail.
12 QUALIFICATION DATA : We confirm having submitted the Qualification Data, as required by you in your Bid Documents in e-Procurement Portal along with this Proposal. Further we have filled in the information for Qualification Requirements in Schedule 9. In case you require any further information in this regard, We agree to furnish the same in time.
13 WORK SCHEDULE : If this Proposal is accepted by you, we agree to submit Engineering Data, Provide Services and complete the entire Work from time to time, in accordance with Schedules indicated in the Proposal. We fully understand that the Time Schedule stipulated in this Proposal is the essence of the Contract, if awarded. The completion schedule of the various Major Key Phases of the Work is indicated in Schedule - 11.

for Karnataka Power Transmission Corporation Ltd. having its registered office at Kaveri Bhavan , Bangalore 560 009 , Karnataka (hereinafter called the "Owner"). The leader of the consortium shall abide by the general terms and conditions specified by the Purchaser. WHEREAS the Owner invited bids as per the above mentioned specifications for the design, manufacture, supply and erection, testing and commissioning of Equipments/Materials stipulated in the bidding documents under subject package
NAME OF THE WORK
AND WHEREAS Section-I ( Volume-1: Clause No. 11:- Qualifying Requirement), forming part of the bidding documents, stipulates that a consortium meeting the requirements of Section-I, ( Invitation of Bid) applicable may bid, provided the Consortium fulfills all other requirements of specification and in such a case, the Bid shall be signed by the members so as to legally bind the members and who will be jointly and severally liable to perform the Contract and all obligations hereunder.
The above clause further states that the consortium agreement shall be attached to the bid and the contract performance guarantee will be as per the format enclosed with the bidding document without any restriction or liability for either party.
AND WHEREAS the bid has been submitted to the Owner vide proposal No dated
by Lead Company based on the Constituent agreement between all the consortium under these presents and the bid in accordance with the requirements of Specifications (Qualification Requirements).
NOW THEREFORE THIS UNDERTAKING WITNESSETH AS UNDER:
In consideration of the above premises and agreements all the partners to this consortium members do hereby now agree as follows:
1 In Consideration of the award of the Contract by the Owner to the Consortium members, we , the members to the consortium agreement do hereby agree that M/s
shall act as Lead Company and further declare and confirm that we shall jointly and severally be bound up to the Owner for the successful performance of the contract and shall be fully responsible for the design, manufacture, supply and successful performance of the equipments in accordance with the Contract.
2 In case of any breach of the said contract by the Lead company or other constituent of the Consortium agreement, the Lead company do hereby agree to be fully responsible for the successful performance of the contract and to carryout all the obligations and responsibilities under the contract in accordance with the requirements of the Contract--VOID
3 Further, if the Owner suffers any loss or damage on account of any breach in the contract or any shortfall in the performance of the equipment in meeting the performance guaranteed as per the specification in terms of the contract, the Lead company of these presents undertake to promptly make good such loss or damages caused to the Owner, on its demand without any demur. It shall not be necessary or obligatory for the Owner to proceed against Lead Partner to these presents before proceeding against or dealing with the other Partner (s).
4 The Financial liability of the members of the consortium agreement to the Owner, with respect to any of the claims arising out of performance or non-performance of the obligations set forth in the said agreement, read in conjunction with the relevant conditions of the contract shall, however not be limited in any way so as to restrict or limit the liabilities of any of the members of the agreement.
5 It is expressly understood and agreed between the members to this consortium agreement that the responsibilities and obligations of each of the partners shall be as delineated hereunder (To be incorporated suitably by the member to this agreement). However, each member of the consortium will be severally and jointly responsible for the faithful performance of the contract. It is further agreed by the member that the above sharing of responsibilities and obligations shall not in any way be a limitation of joint and several responsibilities of the members under this contract.

6 This Consortium agreement shall be constructed and interpreted in accordance with the laws of India and the courts of Bangalore shall have the exclusive jurisdiction in all matters arising there under.
7 In case of an award of a Contract, we the Consortium members do hereby agree that we shall be jointly & severally responsible for the works respectively executed and Lead company shall furnishing a contract performance security from a bank in favor of the PURCHASER in the forms acceptable to purchaser for value of Five percent (5%) of the total Contract Price plus additional security for unbalanced tenders in accordance with Clause 25.5 & 29 of ITT and Clause 43 of the CC (Conditions of Contract).
8 It is further agreed that the Consortium agreement shall be irrevocable and shall form an integral part of the contract, and shall continue to be enforceable till the owner discharges the same. It shall be effective from the date first mentioned above for all purposes and intents.
