A. Service and support

1. All Items to have minimum 1year warranty period.

2. Rates should be including Transportation, installation, Fixing of material,

manpower and additional tools tackles in each unit.

3. BPCL reserves the right to cancel the requirement in partial or full

proportion in case requirement changes.

4. All Material with accessories for installation/commissioning is in vendor

Scope and Need to be safely delivered to the address below:

B. TERMS AND CONDITIONS:

1. The supplier must ensure each activity as per all the Scope of Work, Terms and

Conditions of the Tender.

2. The intending vendor should inspect the site at his own expense and make himself

familiar with exact scope and criteria of supply. Non-familiarity of the site

requirement will not be a reason either for extra claim or for not supplying the

material in conformity with the requirements, drawings and specifications.

3. In case of contractor negligence whenever there is a loss to the company/

neighbors due to nonadherence to the scope of job, Terms and conditions of the

Tender; penal amount as fixed by company will be debited from contractor’s

payment. Job to be executed as per the directions of BPCL officer.

4. Payments will be made within 15 days after completion of the job as per the Scope

of Work. No advance payments will be made.

5. If informed by officer, Work should also be carried on weekly off days to prevent

any disturbance to operations.

6. Contractor shall appoint a full-time supervisor for proper supervision and control.

7. Contractor shall be responsible for any misconduct of the workmen employed by

8. Job must be completed within 120 days of the issue of work order for the same.

9. Contract workmen engaged by the Contractor shall not construe under any

circumstances to be in the employment of BPCL.

10. Scope of supply will include supply of accessories required for the work if any as

per the above-mentioned scope.

11. Vendor’s engineer will be carrying special tools, PPEs required for the work of

installation, testing & commissioning of ACs.

12. Works to be completed satisfactorily as per the timelines in the PO that shall be

issued later for the same.

13. Scope includes supply of quantity as per issued Purchase Order quantity.

14. It is not necessary for BPCL to purchase all the tender quantity.

15. The contractor must ensure each activity mentioned in the General Contract

Conditions (GCC), Special Terms and Conditions & Scope of Work is followed

during execution of the subject job.

16. Payments will be made after receipt of material & completion of works

satisfactorily only. No advance payments will be made.

17. All other Standard terms & conditions as per tender form will be applicable.

18. Online submission of the tender under the digital signature of the authorized

signatory shall be considered as token of having read, understood and totally

accepted all the terms and conditions.

19. The vendors who are currently on BPCLs Holiday List or with other PSU Oil

marketing companies, i.e. HPCL and IOCL will not be considered.

20. If BPCL is unable to evaluate any offer for want of information, such offer will not

22. BPCLs decision on any matter regarding short listing of Vendors shall be final and

any applicant shall not enter any correspondence with BPCL unless asked for.

23. Forming Cartel and quoting rates in groups would disqualify the supplier.

24. Bids submitted after the due date and time as mentioned above, or not in the

prescribed format is liable to be rejected. BPCL does not take any responsibility

for any delay in sub-mission of online bids due to connectivity problems or non-

availability of site and/or other documents to be uploaded online. No claims on

this account shall be entertained.

25. Based on the information and documents submitted, the parties who are found to

be commercially eligible shall qualify for the next round of the tender viz. price bid.

C. SPECIAL TERMS AND CONDITIONS:

JOB COMPLETION PERIOD (CDD):

The time schedule for completion of supply and installation work at site is 30 days from

date of issue of PO/LOI/issue of GEM contract/E-mail communication for starting of work

whichever is earlier. Any delay in supply beyond the delivery period will lead to invoking

Payment terms are "15 days from the date of receipts of materials / completion of

installation or 15 days from the receipt of the bill, whichever is later" given that the bill is

submitted with complete set of documents.

Period of Contract/ Completion period:

Time is the essence of this contract.

The period of Contract includes the time required for testing, rectifications, if any, re-

testing and completion of work in all respects to the entire satisfaction of the Engineer-

in-Charge. The vendor should submit detailed work schedule to the location in charge

within one week from the receipt of PO/LOI whichever is earlier.

The supply and installation shall be completed within 30 days from the date of issue of

PO / LOI or date of advice from location in charge / engineer in-charge whichever is earlier.

COMPENSATION FOR DELAY (Price reduction clause/LD clause)

Price Reduction:

In case of any delay in completion of the work beyond the CDD, the BPCL shall be entitled

to be paid Liquidated Damages by the Contractor. The liquidated damages shall be

initially at the rate of 0.5% (half percent) of the total contract value for every week of the

delay subject to a maximum of 5% of the total contract value. The liquidated damages

shall be recovered by the Owner out of the amounts payable to the Contractor or from

any Bank Guarantees or Deposits furnished by the Contractor or the Retention Money

retained from the Bills of the Contractor, either under this contract or any other contract.

RETENTION MONEY

10% of the Purchase order value will be held as retention money or the vendor should

submit bank guarantee for the equivalent amount. Same shall be released after the

defect’s liability period of one year from the date of invoice/receipt of material at site,

whichever is later.

DELIVERY, PACKING & FORWARDING

Materials to be delivered on Door - Delivery basis at the site irrespective of the quantity.

Packing/unpacking/freight charges to be borne by the supplier.

D. BID QUALIFICATION CRITERIA

1. Bidders should upload self-attested & stamped documents mentioned below. The

Bidders found eligible in Technical Bid are only considered for Price Bid Evaluation

& Award of job. The tenderer must read, understand, accept, fill, Sign, stamp and

upload these documents on GEM Portal. All the following documents are to be

uploaded & are mandatory.

2. Scanned copy of DD as applicable towards EMD / if tenderer is seeking any

exemption from EMD, then they should upload the applicable authenticated

documents say certificate confirming eligibility for benefits of public procurement

policy from CA (Format Attached).

13. The vendor should not be a suspended / blacklisted vendor under any OMC. BPCL

has a right to enquire regarding suspension / blacklisting of any vendor across

OMC and bids of such vendors will be rejected.

14. The vendor should not have been terminated from any contract / PO across OMC.

Bids of such vendors will be rejected.

15. The vendor should not have received letters / GEM ticket for not complying with

any of the contract / PO terms and conditions. Bids of such vendors will be

G. TERMINATION OF CONTRACT

1. The owner may terminate the contract at any stage of the construction/work for

reasons to be recorded in the letter of termination.

2. The Owner inter alia may terminate the Contract for any or all of the following reasons

that the contractor

a) has abandoned the work/Contract.

b) has failed to commence the work or has without any lawful excuse under these

conditions suspended the work for 15 consecutive days.

c) has failed to remove materials from the site or to pull down and replace the work within

15 days after receiving from the Engineer written notice that the said materials or work

were condemned and/or rejected by the Engineer under specified conditions.

d) has neglected or failed to observe and perform all or any of the terms acts, matters or

things under this Contract to be observed and performed by the Contractor.

e) has to the detriment of good workmanship or in defiance of the Engineer's instructions

to the contrary sub-let any part of the Contract.

f) has acted in any manner to the detrimental interest, reputation, dignity, name or

prestige of the Owner.

g) has stopped attending work without any prior notice and prior permission for a period

h) has become untraceable.

i) has without authority acted in violation of the terms and conditions of this contract and

has committed breach of terms of the contract in best judgement of the owner.

j) has been declared insolvent/bankrupt.

k) in the event of sudden death of the Contractor.

3. The owner on termination of such contract shall have the right to appropriate the

Security Deposit and Retention Money and invoke the Bank Guarantee furnished by the

contractor and to appropriate the same towards the amounts due and payable by the

contractor as per the conditions of Contract and return to the contractor excess money,

if any, left over.

4. In case of Termination of the contract, Owner shall have the right to carry out the

unexecuted portion of the work either by themselves or through any other contractor(s)

at the risk and cost of the Contractor. In view of paucity of time, Owner shall have the right

to place such unexecuted portion of the work on any nominated contractor(s). However,

the overall liability of the Contractor shall be restricted to 100 % of the total contract

5. The contractor within or at the time fixed by the Owner shall depute his authorised

representative for taking joint final measurements of the works executed thus far and

submit the final bill for the work as per joint final measurement within 15 days of the date

of joint final measurement. If the contractor fails to depute their representative for joint

measurement, the owner shall take the measurement with their Engineer-in-

Charge/Site-in-Charge or any other outside representatives. Such a measurement shall

be final and binding on the parties and shall not be questioned by the Contractor and no

dispute can be raised by the Contractor on the same.

6. The Owner may enter upon and take possession of the works and all plant, tools,

scaffoldings, sheds, machinery, power operated tools and steel, cement and other

materials of the contract at the site or around the site and use or employ the same for

completion of the work or employ any other contractor or other person or persons to

complete the works. The Contractor shall not in any way object or interrupt or do any act,

matter or thing to prevent or hinder such actions, other Contractor or other persons

employed for completing and finishing or using the materials and plant for the works.

When the works shall be completed or as soon thereafter the Engineer shall give a notice

in writing to the contractor to remove surplus materials and plant, if any, and belonging

to the contractor except else provided elsewhere in the contract and should the

contractor fail to do so within a period of 15 days after receipt thereof the Owner may sell

the same by public auction and shall give credit to the contractor for the amount realised.

The Owner shall thereafter ascertain and certify in writing under his hand what (if

anything) shall be due or payable to or by the Owner for the value of the plant and

materials so taken possession and the expense or loss which the Owner shall have been

put to in procuring the works, to be so completed, and the amount if any, owing to the

Contractor and the amount which shall be so certified shall thereupon be paid by the

Owner to the Contractor or by the Contractor to the Owner, as the case may, and the

Certificate of the Owner shall be final and conclusive between the parties.

7. When the contract is terminated by the Owner for all or any of the reasons mentioned

above the Contractor shall not have any right to claim compensation on account of such

ALTERNATE ARRANGEMENT:

A. In case the Successful Bidder / Supplier fails to perform any of the jobs or part of any

given job mentioned herewith, as required & to the satisfaction of the Plant authorities,

Corporation is at freedom to make an alternate arrangement to perform the same. The

differential cost & any incidental expenses for arranging alternate sources shall be

debited to the Successful Bidder / Supplier's account, for the above-mentioned

B. The Successful Bidder/ Supplier shall indemnify the Corporation for any loss, damage,

deterioration or loss of product / materials, property arising from any act of negligence on

the part of the Successful Bidder / Supplier suffered by the Corporation.

C. The Corporation's decision in this regard to the amount of loss / damage suffered shall

be final and shall be deducted from the amounts payable to the Successful Bidder /

H. PENALTY CLAUSES:

1. The party will be given three warning letters from BPCL in case of any deviation from

their contractual understandings, unsatisfactory performances and further repetition will

lead to termination of the party at BPCL's own discretion.

2. BPCL reserves the right to terminate the contract if the performance of the party is

poor/ found unsatisfactory with one-month notice and even without giving any reasons

3. In case party fails to perform the specified jobs as given herewith and as required within

the nominal period, BPCL reserves the right to get the work done by any external party

and corresponding amount shall be debited from the contract value.

4. In case of any accidents happen inside/outside the plant to the contractor or to the

contractor's men it is the responsibility of the contractor towards the expense and the

responsibility of the same lies with the contractor.

5. The parties receiving the tender are advised to visit the plant and get apprised of the

actual quantum/ nature of job and site conditions before submission of the

quotations/tender enquiries.
