1.1 General Requirements

1.1.1 The Tenderer's attention is drawn to the General Conditions of Contract, Special

Conditions of Contract, Work’s Requirements (General specifications and

Technical Specifications) and Drawings, which are to be read in conjunction with

the Bill of Quantities. This Preamble shall serve as a definitive guide to the

measurement of quantities and payment.

1.1.2 This Contract is for Design, Supply, Installation, Testing, Commissioning and

Training for Clean Agent based panel flooding protection system for Traction

system of Surat Metro Rail Project Phase-I for Gujarat Metro Rail Corporation

Limited. The Contract includes the following but is not limited to:

1.1.2.1 Verification of site data, drawings, programs for execution, schedule of ordering,

schedule of receipt.

1.1.2.2 The procurement of the whole equipment including:

a) tools, testing equipment,

1.1.2.3 The on-site erection and setting to work of the electrical fixed installations

described in the relevant Basic Design documents,

1.1.2.4 The Type testing in NABL accredited LAB, in-plant testing, and acceptance tests,

1.1.2.5 The on-site testing,

1.1.2.6 The commissioning of installation, and acceptance protocols,

1.1.2.7 The supply of relevant documentation mainly including:

a) Installation, execution, and as-built drawings,

b) Test procedures,

c) Maintenance operation manuals: The Contractor is required to submit 3 hard

copies colour (all drawings in A-3) and soft copies of all the documents,

1.1.2.8 Training in India.

1.1.2.9 Design, Supply, Installation, Commissioning and Training for this contract.

1.1.3 Quantities under the Tender have been estimated to cover the above works /

1.2 PROCUREMENT PROGRAM

1.2.1 The Contractor shall submit a detailed works program as per the provisions of the

GS and TS. This shall also include a detailed procurement program.

1.2.2 The Contractor shall obtain approval of works program and procurement program

from Engineer before commencing with the procurement of material.

1.2.3 The procurement of the material shall be planned in a such a that the material

reaches in advance of the proposed erection plan for the same.

1.3 TENDER PRICES

1.3.1 The Tenderer's attention is drawn to the following facts while quoting the prices for

1.3.2 The rates and prices quoted for each item in the Bill of Quantities shall be inclusive

of all central/State/Local Taxes (except GST and custom duties which will be paid

extra as applicable), levies, cess and all other incidental charges required to fulfil

the tender conditions including statutory deductions viz. TDS towards income

tax/GST/Labour cess and any other taxes etc. For further detail please refer

GCC/SCC. The details of all Taxes / Duties/Levies etc for the Quoted price are

required to be furnished separately as estimated by the tenderer as per Annexure-

A. The payment against paid GST will be released only after submission of

documentary proof and display of payment proof online and as per the Engineer’s

recommendation.

1.3.3 The Tenderer should note that GMRC will not make any separate payment towards

any taxes, duties, levies or any other charges leviable, etc. except GST

1.4 PRICE VARIATION

1.5.1 For the purpose of this Contract, all unit quantities given in the Bills of Quantities

are the estimated quantities of the Works and are intended in the first instance to

provide a common basis for Tendering and Tender Evaluation. When a contract

has been entered into, the function of priced Bills of Quantities is to provide for the

valuation of the work executed. No alteration of any rate or price shall be allowed

on account of any difference between the quantities billed and the actual quantities

measured from the drawings.

1.5.2 The Tenderer shall make himself completely acquainted with all conditions,

obligations, specifications, drawings, etc. of the Tender Documents before giving

his prices. He shall have no right to claim any price revision on the basis of

ignorance of the Tender Documents or local conditions, or to make any claims as

regards the integrity of the unit prices of the Bills of Quantities.

1.6 UNITS AND CURRENCY

1.6.1 All sizes and quantities entered in the Bills of Quantities are in metric units.

1.6.2 The Tenderer shall fill in each column with unit rate or lump sum, whichever the

case may be, for each bill item of the various Bills, on the basis of the Tender

Documents and pre-tender survey.

1.6.3 The Tenderer has to quote only in INR currency.

1.7 RATES & SUMS TO BE FOR WORK FINISHED COMPLETE

1.7.1 Tenderers shall be deemed to have read the Work’s Requirements and other parts

of the Tender Documents and reviewed the Drawings to ascertain the full scope of

the requirements included in each item prior to filling in the rates and prices. The

entered rates and prices shall be deemed to include the full scope of the Contract,

including overheads and profits and shall bear a proper relationship to the cost of

carrying out the work described.

1.7.2 Notwithstanding any limits that may be implied by the wording of the individual

items and/or the explanations in the Preamble, the rates and prices, which the

Tenderer enters in the Bill of Quantities, shall be for the work finished complete in

1.7.3 The Tenderer shall be deemed to have taken full account of all requirements,

liabilities, obligations and risks, whether expressed or implied, and to have priced

the items accordingly. The Items in the Bills of Quantities are the only items against

which payment will be made. The cost of any item of work not specifically described

or measured in the Bills of Quantities but required for the execution of the Contract

shall be included in the rates and prices for the measured items in the Bills of

Quantities. The rates and prices shall therefore include for all incidental and

contingent expenses and risks of every kind necessary to supply, install, test and

commission (including Integrated Testing and Commissioning) complete, and

remedying any defects in the whole of the Works in accordance with the Contract.

1.8 ALLOWANCES IN RATES AND PRICES

1.8.1 Full allowance shall be made in the rates and prices against the various items in

the Bills of Quantities for all costs involved in performing the following except to the

extent that work is specifically described and paid for in the Bills of Quantities. The

list below is not exhaustive and the Tenderers are expected to take all costs

involved while quoting the rates and prices that will not be subject to variation on

a) all setting out and final survey work;

b) all kind of design and simulation through Software tools.

c) Temporary access routes and construction of barricades, diversion for shifting

of equipment from factory to ASS-TSS, RSS.

d) Construction of store for storage of equipment, tools, spares.

e) Paying fees and giving notices to authorities.

f) safety precautions and all measures to prevent erosion and suppress fire and

g) Interference to works by persons, vehicles and the lie being legitimate users of

the facilities on or on the vicinity of the site.

h) The protection and safety of GMRCL train and services.

i) supplying, maintaining and removing on completion, the Contractors own

accommodation, offices, depots, stores, workshops, transport, welfare services

j) and other facilities including telephones and facsimile machines and all charges

in connection therewith;

k) the supply, inspection, testing, packaging and transportation of materials and

of the Works as specified including the provision and use of equipment and

arrangements for the Engineer's Inspectors and others;

l) providing, transporting to the Site, setting to work, operating (including all fuel

and consumable stores), maintaining and removing from the Site upon

completion all Construction Plant and Contractor's Equipment necessary for the

execution of the Works and including the cost of all tests and other

requirements in respect of such; plant and equipment;

m) working adjacent to or across existing services and installations;

n) complying with the requirements of the Employer in regard to Safety and

Health, Quality Assurance, Environmental and project implementation plans

and making periodical submissions;

o) co-ordination and interference to the Works by the works of Designated

Contractors and others employed by GMRC being legitimate users of the

facilities on or in the vicinity of the Site;

p) remedying of defects and shrinkage, and works of amendment, reconstruction,

replacement of other faults, fair wear and tear excepted, during Defects Liability

q) Insurance, including all risks in supply, erection, storage, transit, third party,

Workmen’s Compensation and others;

r) All tools, and equipment required for all tests prior and after delivery and for

testing and commissioning installed systems;

s) Carrying out all modifications to the given drawings, preparing construction

detailed drawings and supplying originals, copies, and electronic files in

accordance with employer’s requirement.

t) Marine Insurance

u) All risk Insurance after arrival of goods in India

v) Custom clearance / Port Clearance

w) Handling at Port of arrival in India

x) Inland transportation from port of arrival to site of work

y) Various bank guarantees / warranties/undertakings

1.9 NON-PRICED ITEMS

1.9.1 Items against which no rate or price is entered by the Tenderer whether quantities

are stated or not, shall be regarded as covered by other rates in the Bills of

Quantities and no any additional payment shall be done by employer. Bidder has

to quote against all item as provided in BOQ spread sheet and price against the all

items as listed in BOQ spread sheet shall be considered for Price Bid Evaluation.

1.10 TENDER PRICING

1.10.1 The Tenderer shall take regard of the actual site conditions and the estimated

quantities entered in the various bills. The Tenderer shall price his tender

accordingly and the rates and prices entered against a bill line item shall be the full

and only price paid for all work performed against that item except as described in

the Tender Documents.

1.10.2 The Tenderer shall quote the rates and prices in words as well as in figures in the

summary sheet. Any cutting/overwriting in Bill of Quantities shall be initialled by

the authorized representative of the Tenderer.

1.11 MEASUREMENT AND PAYMENT

1.11.1 The measurement and payment described is for the purpose of making a valuation

of the work acceptable to the Engineer, and Interim Payments to the Contractor,

as work proceeds. The Works as executed will be measured for assessment of

progress for interim payments in accordance with the method adopted in the

relevant standard/Specification, the Bills of Quantities and under the items as set

forth notwithstanding any custom to the contrary.

1.11.2 For the measurement of “Numbers” and “Sets” these shall be by count, using

dimensions and contents as described in the specifications and relevant drawings.

1.11.3 For the purposes of making interim payment for line items described as “Set”, the

Contractor shall submit with his tender a breakdown of the rates making up the

total for those items for which the Contractor may wish to receive interim payments.

These breakdowns shall be subject to the approval of the Engineer, and no interim

payment shall be made on such items until the breakdown has been approved.

1.11.4 Notwithstanding anything stated herein, the Engineer retains the right to withhold

payment on any pay item due for payment when the works to be performed are not

performed, or are not carried out to the Engineer’s satisfaction in accordance with

Specifications and Drawings.

1.11.5 Prices so assigned in the BOQ for supply items shall be for the full compensation

for supplying, installation, Testing, commissioning and integration of items as per

drawing and specifications.

1.11.5.A Prices so filled by Bidder while submitting the financial bid shall be of full

compensation for supply, installation, testing, commissioning, integration of Gas

flooding system. Bidder shall quote the prices in excel BOQ after taking the due

consideration of all Technical Specifications, Drawings, General Specifications,

SCC and GCC, NIT, ITT, FOT and other tender document, clarifications and

addendum issued in this regards. At the time of execution, bidder shall not raise

any claim of NS item for the reason being same is mentioned in Technical

specification but not covered in BOQ.

1.11.6 Milestone-1: - 10% of total price quoted in BOQ item no. 1, 2 and

(Acceptance of Design & Detail Engineering) (For KD-1 to KD-12)

1.11.6.1 “Notice of No objection “or “notice of No Objection subject to…” to be issued by

the “Engineer of GMRCL” in respect of the design and other documents for Gas

Flooding System. The compensation shall include for the preparation,

submission, and all the subsequent revisions, changes required and re-

submittals as necessary during the design phase as required by the “Engineer”

or documents, design calculations, test procedures etc. and finalization of the

1.11.6.2 Issue of “No- Objection” or “No-Objection subject to…” For the vendor and

technical proposal of all major equipments

1.11.6.3 The 10% of supply price payment shall be payable after the Acceptance of

Design and Detailed engineering for all the ASS, TSS, RSS and Depot.

1.11.7 Milestone-2: 50% of total price quoted under BOQ item no. 1, 2 and

(Supply of Gas flooding system along with its supporting

accessories) (For KD-13 to KD-18)

1.11.7.1 The compensation under Milestone-2 shall be the 60% of supply price payment

payable after the supply of the Gas Flooding System along with associated

accessories for the ASS/TSS, Depot and RSS.

1.11.7.2 The price under this milestone shall include for the establishing and carrying

out of manufacture/procurement; operation of quality assurance programme at

places of manufacture; carrying out of type tests, prototype tests, factory

acceptance tests, tests before shipment; inspection, packing, crating, shipping

to Port of entry India, including insurances, bank guarantees, and transfer from

offshore factory to port and all storage costs at factory and port etc.

1.11.7.3 Compensation for items listed in this milestone, shall include for all costs

incurred in procurement/manufacture, testing, inspection, shipping, hauling, off-

loading, storing at site in Surat (Storage location to be approved by GMRCL)

1.11.7.4 Compensation under Milestone 2 shall include for the all also custom clearance

activities including all formalities, liaising with the custom authority/custom

house agents as well as transportation of goods to the site at Surat. This also

includes price payable for Port Handling, Port Clearance, Local Transportation

to Surat, Storage in approved Warehousing, loading at storage points or

warehouses and transportation to site, offloading and moving to the point of

1.11.7.5 Payment will be made for the items delivered and stored in a place and manner

approved by the Engineer as per billing breakup approved by the Employer for

this item. Payment on delivery at site under this milestone shall be made

against thee submission of following documents:

a. Certificate of Type Test.

b. Certificate of Factory Acceptance Test

c. Certification of inspection by GMRCL Engineer

d. Provision of safe custody bank guarantee

e. Proof of insurance

f. Technical literature and equipment drawing

g. Package list and TS compliance.

1.11.8 Milestone-3: - 20% of total price quoted under BOQ item no. 1, 2,

(Installation, Testing & Commissioning including Integration with

SCADA at OCC level) (For KD-19 to KD-24)

1.11.8.1 The compensation under Milestone-3 shall be 10% of supply price and 80% of

erection price for the Installation of plant and equipment supplied under the

contract in accordance with the drawings and specifications. Compensation

shall include for preparation, submittal and revisions as required by the

Engineer of installation plans and procedures; co-ordination with other

Designated Contractors, GMRC; conduct of approved pre-commissioning tests

as directed by the Engineer on equipment, sub systems, and systems;. The

compensation under this item shall be for the installation of Gas Flooding

system for putting the system in successful operation.

1.11.8.2 The compensation under this milestone shall be for completing the Gas

Flooding system commissioning at all RSS, Depot, ASS/TSS and integration of

SCADA at OCC as per specifications.

1.11.8.3 The compensation under this item shall be covered for supply and installation

of all kind of supporting accessories for the installation and commissioning of

Gas Flooding system. The compensation under this milestone shall be for fully

complying the ERTS specifications, Drawings and BOQ.

1.11.8.4 Prices for installation/erection of items of plant and equipment shall be for the

full compensation for the installation/erection of plant and equipment in

accordance with the drawings and specifications. Compensation shall include

for all costs incurred for transporting to location, off-loading and moving to point

of installation/erection; provision of specified foundations; preparing for

installation/erection and mounting on foundations; supply of left out items,

aligning, fastenings and securing devices; adjusting as necessary, making

good and clearing the location on completion, all to the approval of the

1.11.8.5 The compensation under this milestone-4 shall be for the testing and

commissioning of Plant and equipment forming the Works in accordance with

the specifications. Compensation shall include for all testing and putting-to-

work of all equipment, sub-systems, and systems; re-testing, fault finding,

adjustments and reworking as necessary; submittal of all test reports and other

documents all to the approval of the Engineer. Payment will be made after

certification by the Contractor and acceptance by the Engineer that the sub-

systems and systems, including all equipment have successfully completed the

test procedures, and have been set-to-work and that all test results and other

documentation, as described in the specifications, have been approved by the

1.11.8.6 Compensation shall include for preparation for submittal, revisions, as required

by GMRCL engineer for testing plan and procedures, coordination with

designated contractors and GMRCL department, conduct of appropriated test

as listed in specifications and directed by Engineer on sub-system, system,

equipment, etc.

1.11.8.7 Compensation shall include for completion of all kind of site testing and

integrated testing of Gas Flooding system installed at all station with SCADA

system at all RSS, Depot and at OCC, configuration of SCADA system for

remote monitoring and operation as defined in the specifications.

1.11.8.8 Compensation shall include re-testing, fault finding, rectification, adjustment,

re-working as necessary and replacement of defective parts. Submittal of all

test reports and all other documents for approval of engineer of GMRCL.

1.11.9 Milestone-4&5: - 5% of total quoted price after completion of DLP period of

1st year. Balance final 5% of total quoted price after completion of DLP period

1.11.9.1 The compensation under Milestone-5 & 6 shall be 5% of the supply price and

paid only after the completion of the first year of the Defect Liability Period

(DLP), and the remaining 5% of the supply price shall be paid after the

completion of the second year of the Defect Liability Period (DLP) and

discharging its obligations including all corrective and preventive maintenance

of installed system under the DLP as provided in the specifications. In the DLP

period the all kind of corrective and preventive maintenance will be done by

contractor as per approved schedule.
