This estimate is given as a rough guide only. The work is required to be completed within 6 (Six) months as per

the terms of the contract conditions. Contractors whose names are borne on the approved list of contractors of

the Gujarat State R&B Department / W.R.D. in Class 'D' and above will be permitted to tender. Not more than

one tender shall be submitted by a contractor or by a firm of contractors.

A.P.M.C., Nadiad reserves the right to reject any or all tenders without assigning any reason, to relax or waive

any condition of eligibility, and to negotiate with the L1 bidder, without any liability whatsoever to the bidders.

Bidders shall submit their bids strictly in accordance with the terms, conditions, and formats prescribed in this

tender document. Conditional bids, incomplete bids, or bids not accompanied by the requisite EMD and Tender

Fee shall be summarily rejected.

1.1 Mode of Submission

Bids shall be submitted online, in electronic format, on the e-tendering portal www.nprocure.com (internet site

for e-tender: http://tender.nprocure.com), in the two-bid system comprising a Technical Bid and a Price Bid,

submitted separately as detailed in Clause 6 of this Volume. Payment of Tender Fee and EMD shall be submitted

online by scanning at the time of uploading the bid; the original Demand Draft(s) shall additionally be sent by

Speed Post/R.P.A.D./Courier to reach A.P.M.C., Nadiad within the period specified from the last date of

uploading, failing which the bid is liable to rejection.

1.2 Corrigendum / Addendum

Before the deadline for submission of bids, the Employer (A.P.M.C., Nadiad) may modify the tender document

by issuing an agenda/corrigendum, which shall be uploaded on www.nprocure.com and shall form an integral

part of this tender document. Bidders are advised to regularly check the portal until the last date of bid

3. INSTRUCTIONS TO BIDDERS (ITB)

3.1.1 The Employer, as defined in the Tender Data Sheet, invites bids for the work described in the Notice

Inviting Tender. The successful bidder shall be required to complete the work within the stipulated Period of

Completion, in accordance with the Conditions of Contract, Technical Specifications, and approved drawings.

3.1.2 The bidder shall bear all costs associated with the preparation and submission of its bid, and the Employer

shall in no case be responsible or liable for those costs, regardless of the conduct or outcome of the tendering

3.1.3 The bidder is expected to examine all instructions, forms, terms, and specifications in the tender document.

Failure to furnish all information required or submission of a bid not substantially responsive to the tender

document in every respect shall be at the bidder's risk and may result in rejection of the bid.

3.2 Eligible Bidders

3.2.1 The tender is open only to contractors meeting the eligibility and qualification criteria specified in Volume

2 of this tender document.

3.2.2 A bidder shall not have a conflict of interest. Any bidder found to have a conflict of interest shall be

disqualified. A conflict of interest includes, but is not limited to, having a controlling partner in common with

another bidder, receiving subsidy from another bidder, or having the same legal representative for purposes of

3.2.3 A firm blacklisted, debarred, or under suspension by any Government Department, Public Sector

Undertaking, Municipal Corporation, or Autonomous Body in India as on the date of bid submission shall not be

eligible to participate.

3.3 Cost and Language of Bid

3.3.1 The bid, and all correspondence and documents relating to the bid exchanged between the bidder and the

Employer, shall be in English (or Gujarati/Hindi, as permitted). Supporting documents and printed literature

furnished by the bidder in another language shall be accompanied by an accurate translation into the language

3.4 Documents Comprising the Bid

The bid shall comprise the following, submitted in two separate covers/folders:

● Cover I – Technical Bid: Eligibility documents, EMD, cost of tender document, technical proposal,

undertakings, and all forms specified in Volume 5, excluding priced BOQ.

● Cover II – Financial Bid: Priced Bill of Quantities (Volume 6) / Percentage quoted over estimated cost, as

applicable to the mode of contract.

3.5 Clarification of Tender Documents

A prospective bidder requiring any clarification on the tender document may notify the Employer in writing at

the address specified in the Tender Data Sheet, up to the date specified for the Pre-Bid Meeting. The Employer

shall respond in writing to any request received, and shall upload such clarification, without identifying the

source of the enquiry, to all prospective bidders.

3.6 Amendment of Tender Documents

At any time prior to the last date of bid submission, the Employer may, for any reason, whether at its own

initiative or in response to a clarification requested by a prospective bidder, modify the tender document by

issuing a corrigendum/addendum. All prospective bidders shall be deemed to have received such

corrigendum/addendum and it shall be binding on them. To provide prospective bidders reasonable time to take

an amendment into account, the Employer may, at its discretion, extend the last date of bid submission.

3.7 Signing of Bid

The bid shall be signed by the bidder or a person(s) duly authorized to bind the bidder to the contract. The letter

of authorization/power of attorney shall be furnished along with the bid. All pages of the bid, where entries or

amendments have been made, shall be initialled by the person(s) signing the bid.

4. BID SUBMISSION PROCEDURE

4.1 Bidders shall submit their bids in the two-bid system, comprising a Technical Bid and a Financial Bid,

submitted in separate sealed covers, both of which shall be enclosed in a single outer sealed cover super-scribed

with the Tender Notice Number, Name of Work, and 'DO NOT OPEN BEFORE [Date and Time]'.

4.2 Where bids are invited through an e-tendering portal, bidders shall upload scanned copies of all requisite

documents in the prescribed format, and submit the priced Financial Bid through the online BOQ template

provided on the portal, without altering its structure.

4.3 Bids received after the last date and time specified for submission shall not be accepted under any

circumstances, and shall be returned unopened, save where the delay is attributable to a failure of the e-

tendering portal, duly certified by the portal administrator.

4.4 Each page of the Technical Bid shall be numbered serially and indexed. The bidder shall submit one original

and [one] copy of the Technical Bid, clearly marked 'ORIGINAL' and 'COPY' respectively.

4.5 Alteration, if any, made while filling the tender must be attested by full signature of the person(s) signing the

tender, failing which the tender is liable to be rejected.

4.6 The bidder shall not be permitted to modify, substitute, or withdraw its bid after the last date and time fixed

for bid submission, except to the extent permitted under Clause 7 (Bid Validity) of this Volume.

5. BID SECURITY / EMD CONDITIONS

5.1 The bidder shall furnish, as part of its Technical Bid, an Earnest Money Deposit (EMD) of ₹ 1,35,000.00, in the

form of a Demand Draft from any Nationalized/Scheduled Bank, drawn in favour of "A.P.M.C., Nadiad", payable

at Nadiad, valid up to 180 days. The scanned copy of the DD shall be submitted online at the time of uploading

the bid on www.nprocure.com, and shall be deemed to mean that the EMD is received for the purpose of

opening the bid; the original DD shall additionally be sent by Speed Post/R.P.A.D./Courier so as to reach A.P.M.C.,

Variyali Market Yard, Outside Salun Darwaja, Nadiad – 387001, within the period specified in the Tender Notice.

5.2 Bids not accompanied by EMD in the acceptable form and amount shall be treated as non-responsive and

shall be summarily rejected. A DD issued after the last date of submission of the tender shall not be considered

valid or accepted in any case. A.P.M.C., Nadiad shall only consider those documents which are submitted online;

the Tender Fee and EMD shall additionally be verified physically on receipt of the original DD.

5.3 The EMD of unsuccessful bidders shall be refunded/discharged as promptly as possible, and in any case

within 30 days of finalization of the tender, without any interest.

5.4 The EMD of the successful bidder shall be retained and adjusted towards the Security Deposit payable under

The EMD shall be forfeited, without prejudice to any other right or remedy of the Employer, if the bidder:

● Withdraws or modifies its bid during the period of bid validity specified by the bidder in the Form of Bid;

● Being the successful bidder, fails to deposit the Security Deposit or fails to sign the Agreement within

the period specified after acceptance of the tender; or

● Furnishes false, fabricated, or misleading information/documents in support of its eligibility or

6. BID VALIDITY

6.1 The bid shall remain valid for a period of 180 days from the date of opening of the Price Bid, as specified in

the Tender Data Sheet. A bid valid for a shorter period shall be rejected by the Employer as non-responsive.

6.2 In exceptional circumstances, the Employer may request the bidder's consent to an extension of the bid

validity period. The request and the response thereto shall be made in writing. A bidder may refuse the request

without forfeiting its EMD. A bidder agreeing to the request shall not be permitted to modify its bid, and shall be

required to extend the validity of its EMD correspondingly.

7. PRE-BID MEETING PROCEDURE

7.1 A Pre-Bid Meeting shall be held on the date, time, and venue specified in the Notice Inviting Tender, for the

purpose of clarifying any doubts and issues relating to the tender document, scope of work, site conditions, and

technical specifications.

7.2 Prospective bidders are encouraged to submit their queries in writing, at least [3] days prior to the Pre-Bid

Meeting, to enable the Employer to prepare adequate responses.

7.3 The minutes of the Pre-Bid Meeting, including the queries raised and clarifications given, shall be

uploaded/circulated to all prospective bidders and shall, upon issue, form an integral part of the tender

7.4 Non-attendance at the Pre-Bid Meeting shall not be a cause for disqualification of a bidder, and shall not

relieve the bidder of the responsibility of carefully examining the tender document and the site.

7.5 It shall be presumed that the bidder has visited and inspected the site and its surroundings and has obtained

all information regarding risks, contingencies, and other circumstances which may affect or influence its bid,

prior to submission of the bid. A Site Visit Certificate (Volume 5) shall be submitted along with the Technical Bid.

8. OPENING OF TECHNICAL & FINANCIAL BIDS

8.1 Opening of Technical Bids

8.1.1 The Employer shall open the Technical Bids in the presence of bidders or their authorized representatives

who choose to attend, at the time, date, and place specified in the Notice Inviting Tender.

8.1.2 The bidders' names, presence/absence of EMD, and such other details as the Employer may consider

appropriate shall be announced and recorded in the minutes at the time of opening.

8.2 Evaluation of Technical Bids

8.2.1 The Technical Bids shall be evaluated strictly in accordance with the eligibility and qualification criteria

specified in Volume 2. Bidders may be required to furnish clarifications or additional documents in support of

their eligibility, without being permitted to alter the substance of their bid.

8.2.2 Only bidders found technically qualified shall be intimated in writing/through the portal, and their Financial

Bids shall be opened on a subsequent date, notified to the qualified bidders.

8.3 Opening of Financial Bids

8.3.1 The Financial Bids of technically qualified bidders shall be opened in the presence of such bidders or their

authorized representatives who choose to attend.

8.3.2 The name of the bidder, the total quoted amount / percentage quoted, and any discounts or rebates

offered shall be read out and recorded at the time of opening.

9. EVALUATION METHODOLOGY

9.1 The Employer shall evaluate and compare only those bids determined to be substantially responsive,

technically and commercially, to the terms and conditions of the tender document.

9.2 The Financial Bids of technically qualified bidders shall be evaluated on the basis of the total quoted price /

quoted percentage above or below the estimated cost put to tender, arithmetically corrected where necessary,

in accordance with the following principles:

9.3 The bid with the lowest evaluated cost (L1), among those found technically qualified and substantially

responsive, shall ordinarily be recommended for award, subject to the bidder's demonstrated bid capacity and

post-qualification verification.

9.4 The Employer reserves the right to seek clarifications from any bidder regarding its bid without changing the

substance or price of the bid.

9.5 The decision of the Employer/Tender Accepting Authority regarding qualification and evaluation of bids shall

be final and binding, subject to the applicable grievance redressal mechanism, if any, under the Client's

procurement policy.

10. AWARD OF CONTRACT

10.1 The Employer shall award the contract to the bidder whose bid has been determined to be substantially

responsive and has been determined as the lowest evaluated bid (L1), and who is further determined to be

qualified to perform the contract satisfactorily, subject to Clause 9 above.

10.2 Prior to the expiry of the bid validity period, the Employer shall notify the successful bidder in writing, by a

Letter of Acceptance (LOA), that its bid has been accepted.

10.3 The successful bidder shall, within 10 days of receipt of the intimation of acceptance, deposit 2.5% (50%) of

the Security Deposit in the form of DD/FDR, and shall thereafter be called upon to sign the Agreement in the

Form provided in Volume 5. No Performance Bond is required for this work, in view of the estimated cost

exceeding ₹35 lakh, as per the applicable Government Resolution; the balance 2.5% (50%) of the Security

Deposit shall be recovered from Running Account Bills. If the Security Deposit is not paid within the specified

time, the Work Order shall not be issued till the issue about delay is finally decided by the competent authority.

10.4 Failure of the successful bidder to furnish the Security Deposit or to sign the Agreement within the

stipulated period shall constitute sufficient ground for annulment of the award and forfeiture of the EMD, and

the Employer may thereupon award the contract to the next lowest evaluated bidder or call for fresh bids, at its

billing) on this work shall be borne by the Agency/Contractor. All rates quoted by the bidder on the e-tendering

system shall accordingly be understood as inclusive of GST and all other applicable taxes and duties, and no

separate claim for GST shall be entertained by the Employer over and above the accepted rates, save as may be

varied by a subsequent Government Circular applicable to the contract.

1. CONTRACTOR REGISTRATION REQUIREMENTS (PRE-QUALIFICATION)

1.1 The bidder shall hold a valid Registration Certificate as a Government Approved Contractor of Class 'D' and

above, on the approved list of contractors of the Gujarat State R&B Department / W.R.D., valid as on the date of

bid submission and throughout the currency of the contract.

1.2 The bidder shall submit self-attested copies of the following documents along with the Technical Bid, as Pre-

1.4 The bidder shall also furnish valid registration/undertaking under the Contract Labour (Regulation &

Abolition) Act, 1970, and the Building & Other Construction Workers (Regulation of Employment & Conditions of

2. TURNOVER CRITERIA

2.1 The bidder's average annual financial turnover from construction/works contracts, during the last three (3)

financial years immediately preceding the date of bid submission, shall not be less than 30% of the Estimated

Amount put to Tender, i.e., not less than ₹ 40,33,214.85 (30% of ₹1,34,44,050.00).

2.2 Turnover shall be certified by a practicing Chartered Accountant, supported by audited Balance Sheets and

3. BANK SOLVENCY

3.1 The bidder shall submit a Solvency Certificate from a Nationalized/Scheduled Bank or a Revenue Officer, in

the format prescribed in Volume 5, for the current calendar year, certifying a solvency amount of not less than

20% of the Estimated Tender Amount, i.e., not less than ₹ 26,88,809.90, plus the value of works on hand still to

be executed by the bidder.

3.2 If the bidder fails to produce such a Solvency Certificate, the tender shall not be considered, unless the

bidder is exempted in writing by A.P.M.C., Nadiad.

3.3 The Employer reserves the right to verify the authenticity of the Solvency Certificate directly with the issuing

bank, and any adverse finding shall render the bid liable for rejection and may attract debarment.

4. SIMILAR WORK EXPERIENCE

4.1 The bidder shall have satisfactorily completed, as a prime contractor, for Government or Semi-Government

bodies, during the last five (5) years reckoned from the date of bid submission, similar nature works (Certificate

in Form 3A) of the following minimum value:

● One (1) work of not less than 80% of the Estimated Amount (i.e., not less than ₹ 1,07,55,239.60); OR

● Two (2) works, each of not less than 50% of the Estimated Amount (i.e., not less than ₹

● Three (3) works, each of not less than 40% of the Estimated Amount (i.e., not less than ₹

4.2 'Similar nature work' shall mean construction of R.C.C. roads, storm water pipelines/drainage, paver block

work, or other cement concrete/civil works of comparable nature, as more particularly described in the Scope of

Work (Volume 3).

4.3 Completion Certificates in Form 3A, issued by the Employer of the referred works, indicating the value, scope,

and date of completion, shall be submitted along with copies of work orders.

4.4 Bidders shall also submit a Declaration of Works on Hand (Annexure-5), showing all works currently in

progress with the contractor and the value of work remaining to be executed in each case, up to the month

preceding the month in which this tender is invited, duly certified by the concerned officer.

4.5 Mandatory Criteria — Experience of Work with APMC: In addition to the general similar work experience

criteria at Clause 4.1 above, the bidder MUST have satisfactorily executed and completed at least one (1) work

for any Agricultural Produce Market Committee (A.P.M.C.)/Market Yard/Sub-Yard in Gujarat, of any value,

during the last seven (7) years. The bidder shall submit documentary proof of such work, including a copy of the

Work Order and a Completion Certificate issued by the concerned A.P.M.C., along with the Technical Bid. A

bidder failing to demonstrate prior experience of having worked with an A.P.M.C. shall be considered non-

responsive and shall not be qualified for opening of its Price Bid, notwithstanding compliance with all other

eligibility criteria in this Volume.

5. EPF / PF & LABOUR COMPLIANCE

5.1 The bidder shall submit its EPF/PF account number and registration certificate along with the Technical Bid.

5.2 The successful bidder shall be solely responsible for compliance with the EPF & MP Act, 1952, the Minimum

Wages Act, 1948, the Contract Labour (Regulation & Abolition) Act, 1970, the Gujarat Contract Labour

(Regulation & Abolition) Rules, 1972, and other applicable labour laws, in respect of all workers engaged directly

or through sub-contractors at the site, and shall obtain the Labour Licence from the District Assistant Labour

Commissioner before starting the work, submitting two true copies to the Deputy Executive Officer.

6. GST & PAN REQUIREMENTS

6.1 The bidder shall possess a valid Permanent Account Number (PAN) and a valid GST Registration Certificate,

self-attested copies of which shall be submitted along with the Technical Bid. Non-submission shall render the

bid liable for rejection.

6.2 GST Clause: As per Circular No. GST/1017/1097/GST Cell (Finance Department, Government of Gujarat)

dated 15-09-2018, applicable from 01-10-2018, GST (1% CGST + 1% SGST, i.e., 2% in aggregate, or the rate

applicable at the time of billing) on this work shall be borne by the Agency/Contractor. All rates shall be quoted

on the e-Tendering System inclusive of GST and all other applicable taxes; no separate claim for GST shall be

entertained over and above the accepted rates.

7. LITIGATION HISTORY

7.1 The bidder shall furnish a statement of all litigation, arbitration, or disputes (pending or concluded) in which

it has been involved during the last five (5) years, whether as claimant or respondent, including the employer's

name, nature of dispute, amount in dispute, and current status.

7.2 Suppression or misrepresentation of litigation history shall be treated as material misrepresentation,

entailing rejection of the bid and/or forfeiture of EMD/Security Deposit, and may result in

debarment/registration being kept in abeyance for three years, as provided under the Terms & Conditions of

Contract (Volume 4).

8. BID CAPACITY

8.1 The bidder's available Bid Capacity shall be assessed on the basis of maximum value of civil engineering

works executed in any one year during the last five years (updated to current price level), the number of years

prescribed for completion of this work (6 months), and the balance value of existing commitments/works on

hand, in accordance with the standard formula:

Assessed Available Bid Capacity = (A × N × 2) – B

● A = Maximum value of civil engineering works executed in any one year during the last five years

(updated to current price level).

● N = Number of years prescribed for completion of the works for which bids are invited (i.e., 0.5 years for

the 6-month Completion Period of this work).

● B = Value, at current price level, of the existing commitments and works on hand (as per the Declaration

at Annexure-5) to be completed during the period N.

8.2 Bidders whose Assessed Available Bid Capacity is less than the Estimated Amount put to Tender shall be

considered non-responsive.

9. JOINT VENTURE CONDITIONS (IF APPLICABLE)

9.1 Not more than one tender shall be submitted by a contractor or by a firm of contractors. No two or more

concerns in which an individual is interested as a proprietor and/or a partner shall tender for the execution of

the same work; if they do so, all such tenders shall be liable to be rejected.

9.2 Where the Employer permits bidding through a Joint Venture for a particular tender, this shall be expressly

stated in the Tender Data Sheet, and the JV shall be subject to conditions including a registered JV Agreement,

joint and several liability of all partners, and a Lead Partner holding not less than 51% share authorized to bind

10. DISQUALIFICATION CRITERIA

A tender shall be considered liable to rejection, and the bidder disqualified, where any of the following

conditions exist:

● The bidder does not fulfil all or any of the Pre-Qualification Criteria specified in Clause 1 of this Volume,

or the tender is submitted incomplete in any respect.

● The bidder fails to demonstrate, with documentary proof, prior experience of having satisfactorily

executed at least one work for an A.P.M.C./Market Yard/Sub-Yard in Gujarat, as mandated under Clause

4.5 of this Volume.

● The tender is not accompanied by valid Tender Fee and EMD in the acceptable form and amount.

● The tender is conditional, or the bidder proposes any alteration in the work specified, in the time

allowed, or in any condition of Schedule-B or the Specifications.

● The bidder has been found to have submitted false, fabricated, or materially misleading

documents/information, which may additionally attract punishment as decided by A.P.M.C., Nadiad.

● The tender is witnessed by a contractor who has himself tendered, or who may tender, for the same

work; such tenders (both the tenderer's and the witnessing contractor's) shall be liable to rejection.

11.1 For works where the Employer determines that quality of execution methodology, technical capability, and

key personnel merit weighted evaluation alongside price — in addition to, or in lieu of, the standard L1 (lowest

framework may be adopted, on the basis of the marking structure below. This methodology is provided as a

● The Financial Score shall be computed as: Sf = 100 × Fm / F, where Sf is the standardized financial score

● The combined score shall be computed as: Combined Score = (0.70 × T) + (0.30 × Sf), and the bidder

securing the highest Combined Score shall ordinarily be recommended for award, subject to the

Employer's post-qualification verification.

11.5 The Employer/A.P.M.C. reserves the right to verify the claims made by bidders and to carry out capability

assessment; its decision on qualification and scoring shall be final. The Employer may, in its absolute discretion,

waive any condition/requirement of this Clause 11 in respect of any or all bidders, and may adopt the standard

L1 methodology of Volume 1 in lieu of QCBS, where QCBS is not expressly notified for the work.

QUALIFICATION MARKING SYSTEM

12.1 This Clause sets out a documents checklist and a detailed, points-based Technical Qualification Marking

System, adapted from the standard framework used by Gujarat municipal/market committee authorities for

works of this nature. Where the Employer notifies, in the Tender Data Sheet/NIT, that bids for this work shall be

evaluated under this points-based system (in lieu of, or supplementing, the Pre-Qualification Criteria of Clause

and/or the QCBS framework of Clause 11), the following shall apply.

1. DETAILED SCOPE OF WORK

1.1 The Scope of Work under this contract is the Construction of R.C.C. Road and Storm Water Pipeline for

Sardar Patel Sub Yard, Piplag, at Piplag, Taluka Nadiad, District Kheda, comprising (without limitation) the

following items of work as detailed in Schedule-B of the Bill of Quantities (Volume 6) and the approved drawings:

● Demolition, including stacking of serviceable materials and disposal of unserviceable materials with all

lead and lift (including R.C.C. work, where applicable).

● Excavation for foundations of walls, columns, plinth beams, pipe trenches, etc., including shoring,

strutting, bailing out surface water, pumping of water if required, ramming, watering, and consolidating

in 15 cm to 30 cm layers, and disposal of surplus excavated material with lead up to 50 m and all lift.

● Providing and laying Granular Sub-Base (GSB) material of Grading-III, P.I. not more than 6, spread in

layers not exceeding 150 mm compacted thickness, consolidated by 8–10 tonne power roller, as per

MoRTH Table 400-1, 400-2.

● Providing and laying Plain Cement Concrete (P.C.C.) 1:3:6 (1-Cement : 3-Coarse Sand : 6-Hand Broken

Stone Aggregate 40 mm nominal size), excluding formwork.

● Supplying and stacking Quarry Spalls at site, spreading stone aggregate (40 mm to 63 mm, hand-broken)

for W.B.M., and rolling/consolidating soling with 8 to 12 tonne power roller.

● Supplying and laying Polythene sheet (150 gsm) over damp-proof course / below flooring or roof

terracing / in foundation trenches.

● Providing TMT Bar FE 500D reinforcement for R.C.C. work, including bending, binding, and placing in

position complete.

● Providing and laying controlled cement concrete M-20 (M-200) for road work, including trimix/vacuum

dewatering process using vacuum dewatering equipment, floater, surface vibrator, groove-making,

rough finish, and curing complete.

● Construction of Manholes with R.C.C. top slab (1:2:4 mix), foundation concrete (1:3:6 mix), inside

plastering (1:3 C.M.), 230 mm brick masonry walls (1:5 C.M.), C.I. cover and frame (560 mm dia., min.

128 kg total weight) — Type-A, 0.90 m depth, for 150 mm dia. sewer, or as per drawing/schedule.

● Providing and laying Non-Pressure NP4 Class R.C.C. Pipes with collars for the Storm Water

Pipeline/culverts, 600 mm dia. (and other diameters as per drawings), including setting and jointing in

C.M. 1:2, as per IS 458:1971.

● All incidental, ancillary, and enabling works necessary for the complete and satisfactory functioning of

the R.C.C. Road and Storm Water Pipeline, whether or not specifically itemized in the BOQ, unless

expressly excluded in writing by the Engineer-in-Charge.

1.2 The contractor shall provide, at its own cost, all labour, materials, tools, plant, machinery, temporary works,

scaffolding, and supervision necessary for the due execution and completion of the works described above, and

for remedying any defects therein.

1.3 Quantities shown in the BOQ/Schedule-B are approximate; no claim shall be entertained for quantities

executed being less than those in the tender. Where the quantity of any item exceeds the tendered quantity by

more than 30%, the excess quantity shall be paid at the rate derived in accordance with Clause 13 of the Terms

& Conditions of Contract (Volume 4).

2.3 All bought-out materials shall be accompanied by manufacturer's test certificates, and the Engineer-in-

Charge shall be entitled to call for independent testing at the contractor's cost.

4. WORKMANSHIP STANDARDS

4.1 The contractor shall execute the whole and every part of the work in the most substantial and workman-like

manner, both as regards materials and otherwise, in strict accordance with the specifications, drawings, and the

4.2 The contractor shall employ full-time technically qualified site staff throughout execution, per Clause 17 of

Volume 4: two graduate and three diploma Civil Engineers where the cost of work exceeds ₹50 lakh; one

graduate and two diploma Civil Engineers where the cost is between ₹15 lakh and ₹50 lakh; and correspondingly

lesser staffing for smaller cost bands, as set out in Volume

4.3 Any work found not in accordance with the specifications or drawings shall be liable to rejection, and shall be

rectified, dismantled, or reconstructed by the contractor at its own cost, without extension of time or additional

5. TESTING REQUIREMENTS

5.1 All field and laboratory tests shall be carried out at the frequency prescribed in the Schedule for Testing of

Materials (Clause 7 below), through GERI (Gujarat Engineering Research Institute) or another Government-

recognized (R&B) laboratory.

5.2 Cube Testing: C.C. cube samples (1:2:4 mix, or as per grade specified) shall be taken and tested for

compressive strength at the frequency of 1 sample per 1–5 cu.m. (1 No.), 6–15 cu.m. (2 Nos.), 16–20 cu.m. (3

Nos.), 21–50 cu.m. (4 Nos.), and 4 + 1 for every additional cu.m. or part thereof above 51 cu.m., in accordance

with IS 456-2000 and IS

5.3 The contractor shall pay 1% of the Estimated Cost put to Tender towards all testing of materials, which shall

be deducted from the contractor's bills; the testing shall be carried out at GERI, and the result shall be binding

on both the contractor and the Government/A.P.M.C. The process of bill payment shall commence only after

submission of the material testing/C.C. cube testing results.

5.4 The charges for material testing/C.C. cube testing, and for third-party inspection of the works (by a third

party appointed by A.P.M.C.), shall be borne by the contractor to whom the tender is awarded.

6. QUALITY ASSURANCE / QUALITY CONTROL (QA/QC)

6.1 The contractor shall construct, at its own cost, a pucca site testing laboratory of minimum 25 sq.m. area, duly

connected with water and electric supply, and shall provide and install instruments conforming to IS Standards

for the tests prescribed in the specifications (e.g., Penetration Test – IS 1203; Softening Point Test – IS 1204;

Ductility Test – IS 1208; Viscosity Test – IS 1206; Specific Gravity Test – IS 1202, where bituminous/allied works

are involved), calibrated periodically as per R&B Department G.R. No. SSR-1099-IB/91(9)-C dated 26-7-1999.

6.2 No material shall be incorporated into the permanent works without prior testing/approval as prescribed,

and Material Test Results/C.C. Cube Test Results shall be submitted before processing of bill payments, as noted

in Clause 5.3 above.

7. SCHEDULE FOR TESTING OF MATERIALS

For ensuring quality control and workmanship, the tests below, corresponding to the material concerned, shall

be taken at the periodic intervals stipulated. All materials shall be tested at a Government-recognized (R&B)

Laboratory or the field laboratory of GERI, for which 1% of the Estimated Amount put to Tender shall be

recovered from the contractor's R.A. Bills/Final Bill, as testing charges payable by the Government to GERI (if

actual charges exceed 1%, no excess recovery shall be made from the contractor, per B&C Department

Resolution dated 10th May 1985, TNC/1085(4)-S).

8. SAFETY REQUIREMENTS

8.1 The contractor shall be solely and fully responsible for the safety of all persons employed on the works, third

parties, and the general public, and for the protection of the works and adjoining structures/property,

throughout the currency of the contract, in accordance with Clause 20, 20A, and 20B (scaffolds, working

platforms, hoisting appliances) of the Terms & Conditions of Contract (Volume 4).

8.2 The contractor shall provide adequate barricading, warning signage, fencing, and lighting at excavations and

hazardous locations to protect the public from accidents, and shall bear the cost of defending any legal

proceedings and any damages/costs awarded on account of neglect of such precautions (Clause 20 of Volume 4).

8.3 The contractor shall provide necessary personal safety equipment and first-aid apparatus for use of persons

employed on site, maintained in suitable condition for immediate use, in accordance with Clause 32-B of Volume

8.4 No person below the age of 15 years shall be employed on the works (Clause 38 of Volume 4).

9. DAMAGE TO EXISTING UTILITIES & THIRD-PARTY INSPECTION

9.1 The agency shall take care that existing drainage lines, water supply lines, or telephone cables are not

damaged during execution of the work. Any damage caused during construction shall be repaired by the agency

at its own cost.

9.2 All works covered under this tender package shall be inspected by a third party appointed by A.P.M.C. The

charges for such third-party inspection shall be borne by the agency to whom the tender is awarded.

10. LABOUR COMPLIANCE

10.1 The contractor shall comply with all applicable labour laws, including the Minimum Wages Act, 1948, the

Contract Labour (Regulation & Abolition) Act, 1970 and the Gujarat Rules, 1972, the Employees' Compensation

Act, 1923, and the EPF & MP Act, 1952, in respect of all workers engaged directly or through sub-contractors,

and shall obtain the requisite Labour Licence before starting the work, submitting copies to the Deputy Executive

Officer as required under Clause 64 of Volume

10.2 The contractor shall provide drinking water, sanitation, shed, and shelter facilities to workers/labourers

employed on the works, and shall comply with Clause 39(A) of Volume 4 in this regard, failing which the

Engineer-in-Charge may arrange the same at the contractor's cost.

10.3 Employment of any person below the age of 15 years is strictly prohibited (Clause 38 of Volume 4). Fair and

reasonable wages shall be paid to all workmen (Clause 39(A) and 44 of Volume 4).

CONDITIONS OF CONTRACT

In this Contract, unless the context otherwise requires, the following expressions shall have the meanings

assigned to them:

● "Employer" / "Client" means [Client Name], acting through the Competent Authority, and includes its

successors and permitted assigns.

● "Contractor" means the person, firm, company, or Joint Venture whose bid has been accepted by the

Employer, and includes its legal representatives, successors, and permitted assigns.

● "Engineer-in-Charge" means the officer designated by the Employer to supervise and administer the

Contract on its behalf.

● "Contract" means the Agreement entered into between the Employer and the Contractor, together with

all documents referred to therein, including this tender document, the accepted BOQ, drawings,

specifications, and all addenda/corrigenda issued.

● "Contract Price" means the sum accepted or determined in accordance with the Contract, payable to

the Contractor for full and proper execution and completion of its obligations under the Contract.

● "Site" means the land and other places on, under, in, or through which the Works are to be executed,

and any other land or places provided by the Employer for the purposes of the Contract.

● "Works" means the works to be executed in accordance with the Contract, including all temporary

works, and any variation thereto.

● "Completion Period" means the period specified in the Tender Data Sheet for completion of the Works,

reckoned from the date of issue of the Work Order/Letter of Acceptance.

● "Defect Liability Period" (DLP) means the period stated in the Tender Data Sheet, calculated from the

date of completion of the Works, during which the Contractor is responsible for making good defects.

● "Day" means a calendar day, and "Month" means a calendar month, unless otherwise specified.

2. SCOPE OF CONTRACT

2.1 The Contractor shall execute, complete, and remedy any defects in the Works in strict accordance with the

provisions of the Contract, including the Technical Specifications (Volume 3), approved drawings, and the Bill of

Quantities (Volume 6).

2.2 The Contractor shall provide all supervision, labour, materials, plant, equipment, and other things, whether

of a temporary or permanent nature, required in and for the execution and completion of the Works, and the

remedying of any defects therein, except as may be expressly provided otherwise in the Contract.

2.3 The Contract constitutes the entire agreement between the parties, and no oral or written representation,

warranty, or understanding, prior to the date of the Contract, shall be binding on either party except to the

extent incorporated in the Contract.

3. TIME FOR COMPLETION

3.1 The Contractor shall commence the Works within [7/15] days from the date of issue of the Work Order, and

shall proceed with the Works with due expedition and without delay, so as to complete the entire Works within

the Completion Period specified in the Tender Data Sheet.

3.2 The Contractor shall submit a detailed Time-Linked Programme/Bar Chart (using CPM/PERT/MS Project or

equivalent) within 15 days of issue of the Work Order, for approval of the Engineer-in-Charge, and shall update

the same monthly to reflect actual progress.

4. EXTENSION OF TIME

4.1 The Contractor shall be entitled to a fair and reasonable extension of time for completion of the Works,

without imposition of Liquidated Damages, where delay is caused by:

● Force Majeure events, as defined in Clause 12 of this Volume;

● Any act, omission, or default of the Employer or its agents, including delay in handing over site,

drawings, or approvals;

● Variations/additional works ordered by the Engineer-in-Charge materially affecting the critical path of

● Abnormally adverse weather conditions, or other cause beyond the reasonable control of the

Contractor, not attributable to its default.

4.2 The Contractor shall give written notice of any event likely to cause delay within 7 days of occurrence, and

shall submit a detailed claim for extension of time, with supporting documentation, within 30 days of cessation

of the delay event. The Engineer-in-Charge shall examine and recommend the extension of time to the

Competent Authority for approval, ordinarily within 30 days of receipt of the complete claim.

5. LIQUIDATED DAMAGES

5.1 If the Contractor fails to complete the Works within the Completion Period of 6 (Six) months (as extended

under Clause 4 above), the Contractor shall pay to the Employer, as Liquidated Damages for such default and not

as a penalty, a sum at the rate of 0.10% (zero point one zero percent) of the Contract Value per day of delay,

from the date of delay up to the date of completion and handing over of the work to A.P.M.C., Nadiad, subject

to an aggregate maximum of 10% (ten percent) of the Estimated Amount put to Tender.

5.2 Delay entailing recovery of the maximum 10% Liquidated Damages shall be sufficient cause for termination

of the Contract, forfeiture of the Security Deposit (including any Performance Bond, where applicable) in respect

of works estimated to cost more than ₹15 lakh, and the Contractor's registration may also be kept in abeyance

for three years from the date so fixed, in accordance with the Terms & Conditions applicable to Gujarat

Government/APMC works contracts.

5.3 The Employer shall be entitled to deduct such Liquidated Damages from any monies due to the Contractor

under the Contract, including the Security Deposit, without prejudice to any other right or remedy available to

the Employer under the Contract or in law, including the right to terminate the Contract.

5.4 Recovery of Liquidated Damages shall not relieve the Contractor of its obligation to complete the Works, nor

from any other obligation or liability under the Contract.

6. SECURITY DEPOSIT & PERFORMANCE BOND

6.1 The Contractor shall deposit a Security Deposit of 5% of the Estimated Cost, of which 2.5% (50%) shall be

paid in the form of Demand Draft/Fixed Deposit Receipt within ten (10) days from the date of receipt of the

acceptance of the tender. If the Security Deposit is not paid within the specified time, the Work Order shall not

be issued until the delay is finally decided by the Competent Authority. The remaining 2.5% (50%) of the Security

Deposit shall be deducted from the Contractor's Running Account (R.A.) Bills.

6.2 No separate Performance Bond is required for this work, the estimated cost exceeding ₹35 lakh, as per the

applicable Government Resolution/policy of A.P.M.C., Nadiad in force as on the date of this tender. Where a

Performance Bond is required for any other work under this framework, it shall be furnished as a Bank

Guarantee and released in the manner directed by the Employer.

6.3 The Security Deposit shall be released to the Contractor after expiry of the Defect Liability Period, subject to

satisfactory rectification of all notified defects.

6.4 The Insurance Company's bond shall not be accepted against the Security Deposit.

7. PAYMENT TERMS

7.1 Payments to the Contractor shall be made in accordance with monthly Running Account (R.A.) Bills, on the

basis of measured/certified work done as recorded in the Measurement Book, subject to statutory deductions

applicable by law (Income Tax TDS, labour cess under the BOCW Cess Act, 1996, and any other deduction as

applicable by law or contract).

7.2 GST Clause: As per Circular No. GST/1017/1097/GST Cell (Finance Department, Government of Gujarat)

dated 15-09-2018, applicable from 01-10-2018, GST (1% CGST + 1% SGST, i.e., 2% in aggregate, or such rate as

may be applicable at the time of billing) on this work shall be borne by the Agency/Contractor. All rates quoted

by the Contractor on the e-Tendering System shall accordingly be understood as inclusive of GST and all other

applicable taxes and duties; no separate claim for GST shall be entertained by the Employer over and above the

accepted rates.

7.3 No payment shall be made for any work estimated to cost less than ₹1,000 until the whole of such work is

completed and a Completion Certificate is given. For works estimated to cost more than ₹1,000, the Contractor

shall be entitled to receive payment proportionate to the part of the work approved and passed by the Engineer-

in-Charge, on submission of a monthly bill; such intermediate payments shall be regarded as payments on

account only, and shall not preclude the Engineer-in-Charge from requiring defective work to be removed and

8. RUNNING ACCOUNT (RA) BILLS

8.1 The Contractor shall submit Running Account (RA) Bills at intervals not exceeding [one month], or upon

completion of specified milestones, whichever the Contract Data prescribes, supported by measurement sheets

jointly recorded and signed by the Contractor and the Engineer-in-Charge/his representative in the

Measurement Book (MB).

8.2 The Engineer-in-Charge shall verify and certify each RA Bill within [10] working days of submission, and

payment shall be released within [21-30] days of certification, subject to availability of budgetary sanction/funds.

8.3 RA Bills shall be treated as advance payments on account, subject to final adjustment in the Final Bill, and

shall not constitute admission of the quality, quantity, or value of work by the Employer.

9. RETENTION MONEY

9.1 The Employer shall deduct Retention Money at the rate of [5-10]% from each RA Bill, subject to an overall

ceiling as specified in the Contract Data, to be adjusted against the Security Deposit obligations of the Contractor.

9.2 Retention Money, together with the Security Deposit, shall be released to the Contractor after satisfactory

completion of the Defect Liability Period and issuance of the Defect Liability Certificate, less any amounts due to

the Employer on account of unrectified defects or other claims.

10. VARIATION / EXTRA ITEMS

10.1 The Engineer-in-Charge may, by written order, direct the Contractor to carry out variations to the Works,

including additions, omissions, substitutions, or changes in specification, quantity, or sequence, within the

general scope of the Contract.

10.2 Rates for items covered under the BOQ shall apply for variations in quantity, and rates for extra items not

covered in the BOQ shall be derived from the rate analysis based on prevailing Schedule of Rates (SOR) of [the

relevant Government Department], with the same percentage above/below as quoted by the Contractor in its

Financial Bid, or as mutually agreed in writing prior to execution of such extra items.

10.3 No claim for variation/extra item shall be entertained unless executed pursuant to a prior written

order/approval of the Engineer-in-Charge/Competent Authority. Variations exceeding the threshold specified in

the Contract Data (e.g., beyond 25% of Contract Price) shall require approval of the Competent Authority prior

11.1 The Contractor shall, at its own cost, take out and maintain, from the date of commencement until the end

of the Defect Liability Period, the following insurances, in the joint names of the Employer and the Contractor:

● Contractor's All Risk (CAR) Insurance, covering the full Contract Price plus specified escalation, against

loss or damage to the Works, materials, and equipment;

● Third Party Liability Insurance, covering death or injury to any person, and loss or damage to property,

arising out of the execution of the Works, with a minimum cover as specified in the Contract Data;

● Workmen's Compensation / Employees' Compensation Insurance, covering all workers employed on the

Works, in compliance with the Employees' Compensation Act, 1923;

● Insurance for Contractor's Equipment and Plant brought to site, against all risks of loss or damage.

11.2 The Contractor shall furnish copies of all insurance policies and premium payment receipts to the Engineer-

in-Charge prior to commencement of the Works, and shall keep such insurances valid and in force throughout

the currency of the Contract, including any extended period.

12. FORCE MAJEURE

12.1 Neither party shall be liable for any failure or delay in performance of its obligations under the Contract, to

the extent that such failure or delay is caused by a Force Majeure event, being an event beyond the reasonable

control of the affected party, including but not limited to acts of God, war, riot, civil commotion,

epidemic/pandemic, earthquake, flood, fire, or governmental action/restriction, which could not have been

avoided by the exercise of reasonable diligence.

12.2 The party affected by a Force Majeure event shall give written notice to the other party within 7 days of the

commencement of such event, and shall use all reasonable endeavours to mitigate its effects. The Completion

Period shall be extended by a period equal to the duration of the Force Majeure event, without imposition of

Liquidated Damages, subject to Clause 4 above.

12.3 If a Force Majeure event continues for a continuous period exceeding [90] days, either party may terminate

the Contract by written notice, without penalty, save for payment for work executed and expenses reasonably

and necessarily incurred by the Contractor up to the date of termination.

13. TERMINATION

13.1 The Employer may, without prejudice to any other right or remedy, terminate the Contract by written

notice to the Contractor, with immediate effect or as specified in the notice, in any of the following events:

● The Contractor fails to commence the Works within the stipulated period, or suspends the Works

without reasonable cause for a continuous period exceeding 28 days;

● The Contractor fails to proceed with the Works with due diligence, and, after receipt of a written notice

specifying the default, fails to remedy the same within 15 days;

● The Contractor becomes insolvent, is wound up, or enters into any arrangement with its creditors;

● The Contractor is found to have engaged in fraud, corruption, coercion, or collusive practices in relation

to the Contract;

● The Contractor sub-lets or assigns the whole or any part of the Contract without the prior written

consent of the Employer.

13.2 Upon termination, the Employer may take possession of the Site and the Works, complete the Works itself

or through another contractor, and recover from the Contractor any additional cost incurred over and above the

balance Contract Price, in addition to forfeiting the Security Deposit and any other amounts due, without

prejudice to the Employer's right to claim further damages.

13.3 The Contractor may, by written notice, terminate the Contract if the Employer fails to make payment of an

undisputed certified amount for a continuous period exceeding 60 days after certification, subject to a prior

notice of 30 days to cure such default.

14. DEFECT LIABILITY

14.1 The Contractor shall be responsible for making good, at its own cost, any defect, shrinkage, or other fault in

the Works arising from defective materials, workmanship, or design (where design is within the Contractor's

scope), which may appear or be discovered within one (1) year (the Defect Liability Period) from the actual date

of completion of the work.

14.2 The Engineer-in-Charge shall notify the Contractor in writing of any defect observed, and the Contractor

shall make good the same within 15 days of receipt of such notice. Failure to do so shall entitle the Engineer-in-

Charge to rectify, remove, or re-execute the work at the risk and cost of the Contractor, and to appropriate the

whole or any part of the Security Deposit towards the expenses so incurred.

14.3 Upon satisfactory completion of the Defect Liability Period and rectification of all notified defects, the

Engineer-in-Charge shall issue a Defect Liability Certificate (format in Volume 5), upon which the Security

Deposit shall be released.

15. DISPUTE RESOLUTION – ARBITRATION TRIBUNAL, GUJARAT STATE

15.1 Disputes relating to this Contract, whether arising during the progress of the work or after completion or

abandonment thereof, in respect of the matters specified in Clause 26 of the General Rules and Directions (rates

for tools/materials taken under Clause 5; reduction in rates for incomplete items; rates for additional/altered

work; compensation for materials/loss under Clause 15/15A; compensation for damages under Clause 23; and

payment for work without specification under Clause 33), shall be referred to the Arbitration Tribunal, Gujarat

State, constituted under the Gujarat Public Works Contracts Disputes Arbitration Tribunal Act,

15.2 The provisions of the Arbitration and Conciliation Act, 1996 shall, insofar as they are inconsistent with the

provisions of the Gujarat Public Works Contracts Disputes Arbitration Tribunal Act, 1992, cease to apply to any

dispute arising from this works contract, and all arbitration proceedings in relation to such disputes shall stand

transferred to the said Tribunal.

15.3 The Award of the Tribunal shall be a speaking award, giving reasons and calculations for every item of claim,

and shall be binding on all departments of the State, A.P.M.C., and Public Sector Enterprises of Gujarat.

15.4 In the event of any dispute leading the Contractor or A.P.M.C. to approach a Court of Law, such proceedings

shall lie within the jurisdiction of the Courts of the place where the site of the work is situated.

15.5 Reference to arbitration/Tribunal proceedings under this Clause shall not affect the Engineer-in-Charge's

right under Clause 5 (Volume 4/General Rules) to take possession of tools, plant, and materials on site; shall not

preclude the Engineer-in-Charge from utilizing or removing materials purchased by the Contractor during a

period of suspension under Clause 15/15A; and shall not entitle the Contractor to stop progress of the work or

of any additional/altered work ordered under Clause 14/33 of the General Rules and Directions.

15.6 Notwithstanding the existence of a dispute or reference to the Tribunal, the Contractor shall proceed with

the execution of the Works with due diligence, and the Employer shall continue to make payments in terms of

the Contract in respect of matters not under dispute.
