SPECIAL TERMS AND CONDITIONS

The terms and condition of this section will be read in conjunction with general terms and condition

of tender. However, wherever, ambiguity observed, terms and condition mentioned under Special

Terms and Condition will supersede the General Terms and Condition of tender.

Tenders are invited Hiring of Closed Body AC (Petrol/Diesel) Jeep type SUV/MUV preferably

having (nine and nine plus seater) passing in up to date condition along with driver for

Hrs for Two Years, maximum 3000 KM per month (offered Vehicle Model shall not have

registered before 3 years as on the date of tender opening) for EE Testing, Palanpur with

head quarter at 220kv Palanpur S/S under Palanpur Division of Palanpur Circle.

The vehicle to be offered for hiring shall be in up-to-date condition including the tubes, tyres, engine as

well as condition of outside body.

1. The touring journey covers the area within Gujarat State and as per the instructions of the

Officer. “Agency Finalized under ARC has to carry out work in to nearby circle in case of emergency”.

3. The rates quoted shall be on ANNUAL RATE CONTRACT basis. Thus, rates quoted shall remain valid

for complete period of order. The rates must be inclusive of the salary of driver, cost of fuel, oil

and other consumables, wear & tear of tyres & tubes and maintenance charges including

material cost to keep the vehicle in full working and smooth condition.

4. PERIOD OF CONTRACT: The period of contract is 24 Months. However, contract may be extended

further for 12 months (In- 2 Segments of One Year each) on mutual agreement as per same rate,

terms and condition for maximum two times.I.e. Total Extension can be given of two years in two

segments of one year each, if required. However, in case of poor service provided by the contractor,

circle head shall be empowered to terminate the contract after one year of commencement of

8. The travelling of vehicle per month is limited for 3000 KM. However, for utilization of excess KM

9. The arrangement of expenditure for driver at anywhere in Gujarat shall have to be done by the

arrangement and shall be washed/service at regular intervals of a week. Vehicle shall always be

kept neat and clean.

11. The bills for travelling of the vehicle shall be paid on monthly basis. No advance for hiring of

vehicle shall be paid. The bill in triplicate should be forwarded to concerned engineer and payment

will be made by A/c payee cheque only. Income tax if any will be deducted at source from monthly

certified any duly signed by the officers travelling the vehicle. In absence of these requirements

the bill will not be paid.

13. The toll taxes to be paid during official travelling of vehicle shall be reimbursed to the contractor

on production of receipt duly signed by GETCO authority who have travelled or directed a travel. All

road tolls / bridge tolls shall be reimbursed on production of proof of payment along with monthly

RA bills. Fastag is compulsory as per govt rules.

14. In case of accident to the vehicle, the driver or occupants of the vehicle at the time of the accident,

the whole and sole responsibility of vehicle owner/ the contractor during accident to pay

compensation or damages to the persons, involved as per law or Act and the GETCO will not be

responsible for any claim on this account.

15. In case of poor service provided by the contractor, Circle head is empowered to terminate the

contract as per GETCO terms & condition.

16. In case of any dispute or any discrepancy, the decision of Superintending Engineer, Transmission

Circle, Palanpur will be final and binding to the contractor. Any dispute or difference arising under

and in connection with the contract shall be subject to exclusive jurisdiction of Palanpur.

17. If contractor fails to execute the order successfully, the order will be got completed through other

agency and if required to pay higher rate in that case difference of rate will be recovered from the

18. The contractor shall follow all rules and regulations pertaining to the vehicle and its

running/working such as RTO, traffic, etc. scrupulously. Any consequences arising due to non-

observance of any such rules shall be borne by the contractor.

19. Head Quarter of vehicle will be at 66kv Lalawada S/S and journey kilometres will be considered

from Head Quarters to Head Quarters.

20. Agreement: As per GETCO’s rules, contractor will have to enter into an agreement on Stamp paper

of Rs. 300/- with the GETCO in prescribed format before execution of work. The cost of stamp

fees shall be borne by the contractor.

21. The contractor will have to execute an indemnity bond on stamp paper of Rs. 300/- at his cost

before commencement of order stating that for any accidents or damages to the contractor’s

staff/equipments or any other persons/vehicle due to non- observance of safety measures,

GETCO shall not be responsible.

22. Contractor will start hiring services from the date of commencement letter/order issued from

concern Division office after submission of self attested documents of Vehicle Registration,

Insurance copy of Vehicle & Driver, Driver’s Driving license and Medical fitness certificate of

23. Formula for considering price variation: No price variation will be payable on cost of oil/tyres,

tubes etc. Only changes in price of Petrol/Diesel will be adjustable. For every one- rupee rise/fall

in the price of Diesel per litter, following adjustment will be given.

24.1. For every Ten paisa increase in prices of fuel price of one paisa per KM shall be payable and for every Ten

paisa decrease in prices of fuel, price of One paisa per Km shall be deductible. this will be applicable to

the actual Km travelled during the month

24.2 Petrol/Diesel difference

With changes in petrol / diesel prices on daily basis, Contractor has to provide details of prices of fuel on

particular day when fuel is filled. Contractor has to provide “Self attested copy of fuel bill” whenever fuel

is filled by the agency during the month. On the basis of such fuel bill of the agency, diesel difference will

be paid / recovered taking actual k.m. travelled during the period between two bills.

25.EMD: All the Bidders will be required to pay Tender Fees with applicable GST and EMD as mentioned in the

Tender document either in Cash (up to Rs. 10,000/- only) at the office address specified in the tender document or

by RTGS/ NET/online

26. The ‘Earnest Money Deposit’ paid herewith should be absolutely forfeited by the GETCO if the full

amount of specified security deposit is not paid in specified time by the successful bidder and in case If a

Bidder withdraws its bid during the period of bid validity specified by the bidder in bid form. On forfeiture

of EMD, SD or guarantee under the terms and conditions of this tender, applicable GST will also be

recovered from the bidder / contractor and GETCO reserves all rights of such recovery of such forfeited

amount along with GST.

27. SECURITY DEPOSIT: The 5% of tender value is required to be paid by Demand Draft in favour

of “Gujarat Energy Transmission Corporation Limited” or by NEFT/RTGS/Online on acceptance of tender

as security deposit at Circle Office, Palanpur. The Security Deposit will be paid within 10 days of receipt

28. The criteria mentioned is for technical scrutiny after opening the technical bid. However, the

GETCO reserves the right to award the work to one or more bidders, considering their technical and

financial capacity OR to reject any or all tenders or accept any tender without assigning any reason

without assigning any reasons thereof.

29. Vehicle supplied should be comprehensively insured. Attested copy of insurance policy

should be submitted to this office before placement of order. Insurance for driver should also be

arranged by the contractor and attested copy of the same should

be submitted to this office. Moreover, compliances & follow all contact & labour laws.

30. The successful tenderer will have to provide full details such as Phone No / Mobile phone

No. / Full addresses, Name of responsible person etc for contacting him at any time. Any offer not

fulfilling this requirement will be out right rejected.

32. Vehicle will have to be sent along with well-experienced, well-dressed driver having good manners

with necessary tools and tackles and Contact facility (Mobile-Phone) to meet the normal breakdown while

on road. The driver sent with the vehicle shall have valid license for driving as per RTO and

insurance rules and Taxi badge. The driver shall be well versed with R.T.O. rules. The driver shall

be preferably below the age of 40 yrs. and never above 55years. The lodging and boarding of driver

shall born by contractor.

33. No tools, tackles and manpower for execution of order will be provided by GETCO.

34. The driver should be provided with enough money to cover the cost of diesel, repairs and incidental

expenditure while in journey. Driver should provide mobile phone facility for communication. Driver

should always keep all documents relating to vehicle such as R.C. Books, insurance, Valid LMV Cab license

and PUC Certificate or any other important documents in original copy with vehicle.

35. The driver should be fully instructed for the good behaviour and to drive the vehicle only in

accordance to the clear directives of Officer In charge and as per RTO rules. In case, if driving is found

rough, contractor shall have to change the driver with genuine one.

36. The contractor shall be immunizing company’s personal against any claim arising out of accident or

misbehaviour of the drivers. The vehicle shall be kept properly insured all the time to cover the 3rd party

risk and simultaneously immunize company on account of likely claims from public, police dept etc.

37. The prices quoted by the Contractor should be Inclusive of GST. The same will be r e i m b u r s e d as

a p p l i c a b l e o n l y a g a i n s t s u b m i s s i o n o f d o c u m e n t a r y p r o o f o f payment of GST submitted to

concern office along with monthly bill. If service provider is not liable for GST due to turnover does not

exceed prescribed limit under Finance Act, 1994 and rules, notification published there under time to

time then it has to submit declaration on non judicial stamp paper of Rs.300 for the same each year. In

that case, service provider is not liable to pay GST and GST portion is reduced to that extent.

38. The general use of vehicle is for line maintenance work to transport man & material, used on

Kaccha/ Pakka road/Bullock cart way where vehicle approach is possible.

39. During the period of maintenance, breakdown of the vehicle, when the vehicle may not be sent,

the contractor will have to send another vehicle of same class and model year. In case of failure to

meet this condition, another vehicle shall be hired by the GETCO from the market at the prevailing

market rates and difference of amount paid, if any, shall be recovered from the contractor’s bill.

40. The validity of the tender shall be 180 days from the date of opening of tender.

41. Conditional tender will not be accepted and straight away be rejected.

42. The contractor is bound to furnish his rate justification in the form of rate analysis, if asked.

43. For participation in tender, the ownership of vehicle is not necessary. Contractor can provide third party’s

vehicle. In such case, bidder shall have to execute the agreement binding that the whole responsibility about any

risks shall pertain to him & not to third party. The format of same is attached herewith. (Annexure- Undertaking cum

indemnity Bond) The provided third party vehicle shall be same throughout the contract period. In case, only one

time change of vehicle shall be allowed, meeting all the terms of contract & on taking prior approval of competent

Failing to produce such proof EMD / SD paid by the contractor shall be forfeited.

44. Full size carrier should be provided on vehicle. In case of closed body vehicle, proper shielding (roof)

to be provided.

45. Rates for excess Kms travelled by hired vehicle, beyond km /month is admissible occasionally, with

written permission of Circle head.

46. It is advised to all tender participants to submit application for EMD refund with advance stamp

receipt along with copy of Online transaction receipt. So except Lowest bidder EMD can be released

47. if contractor fails to provide the vehicle on any day as per contract, penalty of Rs:

2000.00 per vehicle /day or actual paid by corporation whichever is higher will be

recovered from the current bill or he has to arrange other acceptable vehicle

48. If Closed Body Non-AC (Petrol/Diesel) Jeep Equivalent vehicle require facility with

carrier stand on roof; agency shall provide Carrier facility at his own cost.

If the Supplier/Contractor has opted for the Composition scheme of GST, the same must be clearly

specified with valid Declaration & Certificate from Department. In the event of withdrawal/cessation of the

Supplier from Composition scheme during the tenure of the contract, the rate (i.e. price) mentioned in the

price bid shall be final and any additional GST will have to be borne by the tenderer himself. In no case

additional amount towards GST or otherwise will be paid / reimbursed to supplier/contractor. Further

Statutory Variation clause will not be applicable in case of Supplier / Contractor has opted for Composition

Scheme under GST.

Also, please mention separate applicable HSN / SAC Code and rate of GST and Cess as applicable for

each item of GoodS/Service. If not specifically mentioned, then COMPANY will have the option to take the

prices as exclusive of taxes and duties at maximum higher slab rates for the evaluation of the tenders.

The offers having price INCLUSIVE OF GST and Cess is likely to be rejected if the rate of GST and Cess is not

mentioned clearly unless the bidder has opted for Composition Scheme under GST Act, which should be

clearly indicated in the price bid. COMPANY may at its discretion consider such offer with presumption of

highest applicable rate of VAT/GST/Cess prevailing when the price quoted is inclusive of GST and Cess. The

offered prices to be indicated in online mode of tender in the format given (i.e. Schedule-B). The price bid

submitted in physical mode shall not be considered.

Every bidder shall inform their GSTIN No. of the registered place(s) wherefrom the bidder intends to supply

the goods / services, meaning thereby the bidder has to supply the goods / services from the relevant

declared / registered place of supply only.

50.0 Goods and Service Tax (GST) :

taxable goods and/or services within the original contractual delivery period. The amount of GST,

Percentage (%) of GST and Cess as applicable should clearly be indicated separately. (GST/Cess means all

applicable Tax/Cess under GST Laws. GST Laws means IGST Act, GST (Compensation to the State for Loss of

Revenue) Act, CGST Act, UTGST Act and SGSCT Act, 2017and all related ancilliary legislations).

You shall have to submit a C.A Certificate & duly authorized Signatory of successful bidder, certifying that

you have not claimed Refund of any applicable GST and Cess, charged to COMPANY or shall not claim any

such Refund, on a future date, from the concerned Authorities and if, any Refund, in respect of such GST

and Cess, is claimed by you, it will be immediately passed on to the COMPANY, without COMPANY making

any specific Claim, for the same, either from the Department or from you.

If the Supplier/Contractor has opted for the Composition scheme of GST, the same must be clearly

specified with valid Declaration & Certificate from Department. In the event of withdrawal/cessation of the

Supplier from Composition scheme during the tenure of the contract, the rate mentioned in the price bid

shall be final and any additional GST will have to be borne by the tenderer. In no case additional amount

towards tax or otherwise will be paid / reimbursed to supplier/contractor. Further Statutory Variation

Contractor has to provide Tax invoice in a standard format as per CGST act, CGST rules 2017 and GST

invoicing rules containing all details as provided Act and rules. Contractor / Supplier has to mentioned GST

no. of GETCO 24AABCG4029R2ZC in the invoice invariably failure of which payment will not be made.

GST at the applicable rate will be levied on the total of schedule B. GST will be subject to CGST, SGST,

UTGST, IGST act and rules, regulation and notifications issued by government from time to time.

Contractor has to classify the supply / services according to the HSN / SAC of CGST Act, 2017. GETCO also

reserve the right of classification in case of any misclassification of goods / services.

Further, any additional liability of GST (later on due to wrong mentioning of GST rate, mis-interpretation of

HSN/SAC Code, etc.) over and above as charged in the invoice shall be borne by the Supplier/Contractor.

However, any refund received by the supplier / contractor on account of GST charged from the company;

such refund shall have to be passed on to the company, along with interest if any. Such refund along with

interest needs to be passed on suo-moto by the supplier / contractor.

The amount of GST in the invoice will be reimbursed subject to matching of transaction in GST return. In

case of mismatch, amount of GST will be retained from the subsequent invoice of the contractor. For final

bills, GST will be retained and reimbursed on matching the same in GST return and after receipt of request

from the contractor.

Further, the Company has a right to recover the amount of GST along with penal interest at the rate of 15%

and you should inform such changes to COMPANY from time to time.

52.00 GST Registration:

GENERAL CONDITIONS OF CONTRACT

1. The contractor shall be required to supply diesel driven closed body vehicle having Taxi / Maxi passing

from RTO of the models not before t h r e e years as on the date of tender opening and strictly in

accordance with the specification laid down in the tender papers. Any vehicle not confirming to the said

specifications shall not be accepted

1.1 It is strictly instruction to provide same vehicle mentioned during tender. No vehicle will be

altered after confirming in Tender documents.

1.2 For Provide new vehicle, agency has to mention document of Model provided with

estimate/quotation o f authorised dealer. Also, it is compulsory to provide new vehicle after

confirming in Tender documents. Contractor has to pay additional deposit of RS 5000.00 (Only by

NEFT/RTGS/Online) submitted at Circle Office Palanpur.In case contractor has submitted Quotation for

New Vehicle and fail to provide new vehicle mention in quotation then GETCO has full right to forfeit the

additional deposit Rs 5000.00 paid by the Contractor

2. The vehicles intended to be placed for hiring must have the following documents completed in all

respects and produced to Engineer In charge for verifying:

2.1. Registration certificate book with tax paid up-to-date.

2.2. Vehicle Insurance certificate covering period up-to-date.

2.3. Vehicle Fitness Certificate.

2.4. Road permits for vehicle.

2.5. Registration as “TAXI” or “MAXI” (nine or nine plus seater passing).

2.6 Copy of Road Tax

2.7 Quotation mention with Seating capacity 1+8 minimum and with airbag

4. The vehicles when in service shall have to be parked at the GETCO’s premises or as near as the work

site is possible.

5. The contractor shall ensure that representative on his behalf is deputed by him to keep in touch with

the Engineer with regard to detailing of vehicles, providing arrangements for substitutes in case of any

vehicles going off road looking after to general need of vehicle.

6. The c o n t r a c t o r s h a l l a l s o m a k e h i s o wn a r r a n g e m e n t s f o r r e f u e l l i n g , r e p a i r s a n d

maintenance of his vehicle and provide other vehicle during maintenance or repair period with all above-

mentioned conditions.

7. The contractor must follow all the rules, regulations and enactments of the labour laws relating to

engagements of persons by him with PF registration.

8. Contractor should register with RPFC for PF for driver provided by him. Also, submit last

PF submission Challan of respective authority.

9. The vehicle once inspected and approved by the authorised representative of GETCO for hire shall

not be changed or s u b s t i t u t e d by the contractor except on orders from the Engineer or on becoming

defective/off road due to accident, breakdown, etc. In such an event, the contractor shall have given

immediate intimation to the In-charge Engineer. Where a change of vehicle is likely to last for more than

one-week prior approval of the authority shall have to be taken.

10. The speedometers of the vehicles must be maintained with full accuracy and in working

condition/order at all times. Any defect noticed therein must be rectified at the earliest in a period not

exceeding two days. Till such time, the Kms. of journeys for various places shall be decided by the

users/Engineers.

11. No interest shall be paid by the GETCO on Security deposit/EMD.

24. Tender fee paid for purpose of tender papers is non-refundable.

13. The security deposit shall be refunded to successful bidder only after satisfactory completion

of the contract or on its termination by the GETCO due to its own reasons. The GETCO reserves the right

to recover any dues, outstanding against the contractors, from the Security Deposit or towards any loss

caused to the GETCO owing to negligence or default of the contractor, his servants or agents. The refund

shall be done only on production of No Objection Certificates of all concerned Officers.

14. The rates quoted by the bidder in the schedule of rates must include all charges of every type such as

f u e l , taxes, and levies maintenance / repairs, driver o r contractor’s servant/agent wages, GST

arrangements should any hired vehicle go off road.

16. In case any vehicle remains absent or fails to report for duty or a vehicle if provided, as a substitute is

not in an acceptable condition, the GETCO shall recover penalty at the rate hereinafter specified. And in

case of un-acceptance of substituted vehicle, any journey covered by it may also be disallowed apart

from recovering penalty as if the vehicle is

17. GETCO shall have right to hire vehicle from other agency at the risk and cost of contractor in case

same will not be satisfied by contractor whole contract will be cancelled.

19. In case of mentioning of registered vehicle for tender requirement then vehicle not under service

20. Accident liability : The contractor shall at all- time indemnifies GETCO and its officers, employees and

agent against all third party claims, what so ever (Including but not limited to) property losses/ damages,

personal accident, injury or death of persons of any sub- contractor, and/or agents of the contractor and/or

of GETCO, damage to the property of GETCO, arising out by the Hired vehicle, the contractor shall bare at his

own cost and initiative at all times till the successful completion of the contract period. Contractor shall have

to maintain comprehensive insurance policy in respect of all insurable liabilities, under Motor vehicle Act,

workman’s compensation act, Personal injuries act, Emergency risk insurance act, Approved by

Secretary/GETCO

STATUTORY VARIATION:

Any statutory increase or decrease in the taxes and duties including GST and Cess as applicable or in the

event of introduction of new tax/cess or cessation of existing tax/cess subsequent to suppliers offer if it

takes place within the original contractual delivery date will be to COMPANY’s account subject to the claim

being supported by documentary evidence. However, if any decrease takes place after the contractual

delivery date, the advantage will have to be passed on to COMPANY. Statutory Variation clause will not be

applicable in case of Supplier / Contractor has opted for Composition Scheme under GST.

to in the specification, terms and conditions prescribed in the order letter,

covering letter arid other letters and schedule of price which for the purpose of

identification have been signed by

plus seater) passing in up to date condition along with driver for 12 Hrs for Two

Years, maximum 3000 KM per month (offered Vehicle Model shall not have

registered before 3 years as on the date of tender opening) for EE Testing,

Palanpur with head quarter at 220kv Palanpur S/S under Palanpur Division of

NOW THIS AGREEMENT WITNESSES AND IT IS HEREBY AGREED AND

1. The contractors shall do and perform all works and things in this contract

mentioned and described or which are implied therein or there from

respectively or are reasonably necessary for the completion of the works as

mentioned and at the times, in the manner and subject to the terms

conditions and stipulations contained in this contract, and in consideration

of the due provision, executions, construction and completion of the

works agreed to by the contractors as aforesaid, the Corporation doth

hereby covenant with the contractor to pay all the sums of money as and

when they become due and payable to the contractors under the

provisions of the contract. Such payment to be made at such times and in

such manner as is provided by the contract.

2. The conditions and covenants stipulated hereinbefore in this contract, are

subject to and without prejudice to the rights of the Corporation to enforce

penalty for delays and / or any other rights whatsoever including the right to

reject and cancel on default or breach by the contractors of the conditions and

the covenants as stipulated in the general conditions, specifications, forms, or

tender schedule, drawing, etc. attached with Corporation’s Order

3. The contracts value, extent of wo rk s / supply, completion / delivery

dates, specifications and other relevant matters may be altered by mutual

agreement and if so altered shall not be deemed or construed to mean or apply

to affect or alter other terms and conditions of the contract and the general

conditions and the contract so altered or revised shall be and shall always be

deemed to have been subject to and without prejudice to said stipulation.

person/vehicle due to non-observance of safety measures or non-compliance of any other statutory or

Further we the CONTRACTOR agree that the GETCO shall be sole judge of and as to whether

there has been any breach of the guidelines as per Annexure-A of this bond and as to the

extent of the loss, damages, costs, charges and expenses caused to or suffered by the

because of the change in the constitution of the GETCO or for the extension of the time limit

a. That t h e CONTRACTOR u n d e r t a k e s / undertake to indemnity a n d keep harmless the

GETCO from all claims, actions, proceedings and risk, damage danger to any person whether

belonging or not belonging to the. CONTRACTOR.

b. That the CONTRACTOR shall keep harmless the GETCO from all claims,

compensation, damages any proceedings in respect of any of its employee / workmen

under the Workmen Compensation Act or any other laws for the time being in force.

c. That, if during the course of execution of work as stated in the contract order mentioned

hereinabove issued by the OBLIGEE, it is found that the CONTRACTOR has not complied

with guidelines as per Annexure-A or terms and conditions / formalities within the meaning

of Employees’ State Insurance Act,1948 (ESI) or Workmen Compensation Act 1923 or any

other laws relating to the Labour Welfare for the time being in force, and also has not

observed the safety norms in accordance with the law prevailing at the place of work/job to

the satisfaction of the GETCO, the GETCO shall have the right to stop the execution of

work/job and the period of such stoppage shall not be taken into account for the calculation of the

total period of completion of work for which the CONTRACTOR is responsible to

complete the work/job and it will be deemed that discontinuance was due to default of the

d.That, if any time, due to exigency, GETCO as the Principle Employer, becomes liable

to pay any such compensation mentioned hereinabove, whether on failure of the CONTRACTOR

or for any other reason, the GETCO shall have the right to recover the said amount from any

e. That the CONTRACTOR is/are aware and accept that for the persistent or repeated

violation of any guidelines as per Annexure-A and terms and conditions mentioned in this Safety

cum Indemnity Bond, GETCO shall have right to terminate the contract of work issued to the

performed or as per GETCO norms shall have the jurisdiction to decide the rights & liabilities of

the parties while adjudicating the matter of claims under this Safety Cum Indemnity Bond.

h. This Safety cum Indemnity Bond shall continue and hold good until it is released b y

the G E T C O i n W riting o n t h e C o n t r a c t o r ’ s a p p l i c a t i o n a f t e r t h e Contractor has

discharged all his obligations under the order mentioned hereinabove and submitted a “NO

DEMAND CERTIFICATE” from the GETCO under the said order. The Safety cum Indemnity

Bond shall be valid for a CONTRACT PERIOD and renewable thereof (Claim Period).

i. This Safety cum Indemnity Bond and the guidelines as per Annexure-A herein contained

are in addition to and not by way of limitation or substitution for any other guarantee, indemnities
