Setting-up, Operations and Management of Station Transit Lounge facility at Thivim Railway Station over Konkan Railway

Annual Turnover: The bidder shall have minimum total annual turnover of Rs. 1.50 Cr (Rs one Cr & fifty lakh) in each of the last three financial years. The bidder shall submit copy of Balance sheet and Profit & Loss Account duly certified by Chartered Accountant and Income Tax Returns for the FY 2021-22, 2022-23 and 2023-24.

II) Status of bidder : a) Individual / Proprietor: Please enclosed relevant documents. b) Partnership Firm: Registered under the Partnership Act., 1932. Please enclose details of partners along with certificate of registration, details of their business and partnership deed etc., duly attested by Notary. c) Joint Venture / Consortium: In case of Joint Venture: a. Separate identity/name shall be given to the Joint Venture. b. The Bid should be submitted in the name of the JV. c. Maximum number of partners in the JV shall be limited to 5 (five). d. One of the members of the JV shall be its lead member who shall have not less than 26% share of interest in the JV. The other members shall have a share of not less than 10% each. e. An entity participating in this tendering process either as a single entity or as a member of JV shall not be permitted to participate as a member of another JV. In other words, participation by an entity in the tendering process as a member of a JV will be tantamount to participation in the bidding process and that entity shall not be permitted to participate as a single entity. All Bids of all such entities will be rejected if provisions of this para are violated and bid security will be forfeited f. Joint and Several Liability - Members of the JV to which the contract is awarded, shall be jointly and severally liable to KRCL for execution of the work in accordance with conditions of this tender document. The JV members shall also be liable jointly and severally for the loss, damages caused to the KRCL during the course of execution of the contract or due to non-execution of the contract or part thereof. g. Duration of the Joint Venture Agreement - shall be valid during the entire currency of the License including the period of extension, if any. h. Governing Laws - The Joint Venture Agreement shall in all respect be governed by and interpreted in accordance with Indian Laws. i. The JV shall authorize a representative (lead partner only) who shall have the authority to conduct all business and sign the documents for and on behalf of JV during the bidding process and subsequent stages. j. A copy of Memorandum of Understanding (MOU) duly executed by the JV members on a stamp paper duly notarized shall be submitted by the JV along with the Bid. The complete details of the members of the JV, their share and responsibility in the JV particularly with reference to financial, technical and other obligations shall be furnished in the MOU. k. The constitution of the JV/Consortium shall not be allowed to be modified after submission of the Bid by the JV/Consortium except when modification becomes inevitable due to succession laws etc., and the reconstituted JV should still fulfill the original eligibility criteria and selection criteria of the tender and the terms and conditions for the members of the JV/Consortium therein, based on which selection is contemplated. However, the Lead Member shall continue to be the Lead Member of the JV. Failure to observe this requirement would render the offer invalid. l. On award of License to a JV, Performance Guarantee shall be submitted by the JV as per Bid conditions. All the Guarantees like Performance Guarantee/Bank Guarantee etc. shall be accepted only in the name of the JV and no splitting of guarantees amongst the members of the JV shall be permitted. m. On issue of LOA, the MOU/JV agreement among the members of the JV to whom the work has been awarded, with the same

Company: competent to enter into contract under the Indian Contract Act 1872. Please enclose copy of Memorandum & Articles of Association, Certificate of Incorporation and Certificate of Commencement of Business.

Experience: Bidder shall have minimum 3 (three) years experience in Operation & Management of Executive / VIP lounge OR minimum 3 (three) years experience in the field of Hotel industry along with Wellness / Spa facility as on date of opening of tender. Certificate showing details of experience shall be enclosed..

The bidder shall submit Earnest Money Deposit through on-line.

Bank Solvency Certificate issued by Nationalized / Scheduled Bank for an amount of Rs. 25 lakh and not older than one year, shall be attached.

Details of Permanent Account No. (P A N) issued by IT authorities and copy of GST registration.

No due certificate from station-in-charge/office-in-charge, in the case of existing contractors of KRCL

Any other documents relevant to this notification.

The intending tenderer is advised to study the tender papers carefully. Any submission of a Bid by the Bidder shall be deemed to have been done after a careful study and examination of these documents with full understanding of the implication thereof. These conditions and specifications shall be deemed to have been accepted unless otherwise, specifically commented upon by the Bidder in his/her Bid. Failure to adhere to any one or all these instructions may render his offer liable to be ignored without any reference.

License fee: The amount quoted by the successful bidder shall be the provisional license fee for the first year. However, the actual license fee will be calculated & levied by conducting sale survey for three consecutive days in the month as decided by the KRCL to work out the actual license fee i.e. 12% of sale. Net sales shall mean all sales of services, consumables and merchandise from the licensed premises after deducting therefrom the applicable taxes and discounts. The Licensee shall be liable to pay the difference, if any, between the provisional licence fee & actual licence fee within the stipulated time as advised by KRCL. In case 12% of annual sale proceeds assessed is found lesser than the provisional license fee, then the provisional license fee shall be continued as license fee. Downward revision of Licence fee shall not occur at any time. From second year onwards, license fee shall be increased over the previous year's license fee, by Three (3) % every year.

Tariff revision : The entry fee, tariff of resting beds and add on service charges will not be changed upto three years from the commencement of contract period. The licensee can submit the request for the revision of tariff on completion of every three years with proper justification for approval of KRCL. If approved then it will be implemented.

The successful bidder shall be required to submit a Conceptual plan duly showing the overview and the overall design / specifications to KRCL for scrutiny and will be executed on receipt of proper written approval of KRCL. KRCL name, logo slogans, messages shall be provided at prominent locations.

The intending Bidder is advised to physically check the locations of the Transit Lounge at the Thivim Railway Station over Konkan Railway. The intending Bidders can take help of commercial Supervisor to check the locations of the tender area from the date of issue of Notice Inviting Tender. Any submission of a Bid by the Bidder for the tender area shall be deemed to have been done after careful checking and understanding of the location and latest position of tender area. Any difficulty being faced by the Bidder during the execution of Contract shall not be entertained by KRCL.

KRCL will hand over open space ad-measuring area of 307.08 sq.m. available on the first floor i.e. above the Executive lounge & restaurant of THIVIM railway station,.This space will be handed over on "as is where is basis" and free from all encumbrances to the successful tenderer for Setting up, Operation and Management of Station Transit Lounge facility at THIVIM Railway Station with his (licensee) own cost & risk. Rest of the area i.e. 399 sq.m. can be kept as "open space". In case, additional area is permitted to the licensee from this open space, then license fee will be charged on pro - rata basis

Additional area: The licensee may be permitted to use extra area for operation of Station transit Lounge, with prior permission of KRCL in writing, provided that space / area is available. In such case, licensee will bear the cost of construction both interior / exterior and will pay license fee on pro-rata basis after 45 days OR date of actual commencement of service at this extended area, whichever is earlier.

Period for renovation / modification works: The renovation / modification and other related works shall be completed within 180 days from the date of physical possession of site and the Station Transit lounge shall be made functional in all respect within this period. The license fee will not be levied for this period. The date of the commencement of the Contract shall be starts from 180 days or actual commencement of the contract whichever is earlier. In case the Licensee fails to complete the renovation / modification work within a period of 180 days, the contract shall be terminated. In such case the EMD shall be forfeited and the Licensee may also be banned from participating in any such Tender of KRCL for the next 3 years.

Period of license: Under this Contract, licensee is permitted 180 days period for Setting up and other related works without levy of license fee. Hence date of commencement of Contract period shall be made applicable on completion of 180 days period or actual commencement of Contract whichever is earlier. The period of the Contract (unless determined under any provisions hereinafter contained in that behalf) shall be initially 9 (nine) years and extendable upto 12 years depending upon the performance. However, unsatisfactory performance of the licensee shall lead to short term termination of the contract duly observing the procedural terms of the contract. At the end of the contract period, the contractor shall hand over the premises in good working condition.

Power supply: If KRCL provides power supply, the Licensee will approach KRCL / Electrical department for electricity connection. The charges regarding electricity connection / meter, electric power consumption charges shall be paid by the Licensee on time. Delay in payment shall result in penalty imposed upon licensee. 21. Service charge on energy consumption: KRCL will levy Service charge on actual energy consumption at the unit as per the extant policy of Electrical Dept and the GST @ 18% will be made applicable. NOC for power supply: In case KRCL does not provide power supply, a necessary NOC will be issued by KRCL Electrical Department to the licensee for availing Power Supply from the State Electricity board. The Licensee shall make his own arrangement for availing power supply.

Service charge on energy consumption: KRCL will levy Service charge on actual energy consumption at the unit as per the extant policy of Electrical Dept and the GST @ 18% will be made applicable.

NOC for power supply: In case KRCL does not provide power supply, a necessary NOC will be issued by KRCL Electrical Department to the licensee for availing Power Supply from the State Electricity board. The Licensee shall make his own arrangement for availing power supply.
