(b) The Applicant may download the tender document along with Addendum (if any) from
(n) Procurement’s site https://tender.nprocure.com. The bidder shall submit the same

(c) Any Corrigendum / Addendum / Clarifications issued by GMRC for the RFP shall be

(d) The bidder to ensure that submission of Technical Proposal (RFP) is to be made Online
& in Physical form. There shall not be any change in Online & Physical submission. In
case of any discrepancy in submission of Technical Proposal (RFP) between physical
and online form, the Technical Bid submitted online will prevail and will be considered
for evaluation.
(e) Any alterations in Eligibility Criteria and terms of the Tender Document, or any
amendment to the Tender Document, etc. will not be published in the newspapers
but the same will be uploaded on (n)Procurement, as mentioned above.
(f) The tenderers may obtain further information/clarification, if any, in respect of these

A. General Provisions
1 Definitions 1.1 "Affiliate(s)" means an individual or an entity that directly or
indirectly controls, is controlled by, or is under common control with
the Consultant.
1.2 "Applicable law" means the laws and any other instruments having
the force of law in the Client’s country, or in such other country as
may be specified in the Data Sheet, as they may be issued and in
force from time to time.
1.4 "Client" means the implementing agency that signs the Contract for
the Services with the selected Consultant.
1.5 "Consultant" means a legally-established professional consulting
firm or an entity that may provide or provides the Services to the
Client under the Contract.
1.6 "Contract" means a legally binding written agreement signed
between the Client and the Consultant. It includes all the attached
documents listed in its Clause 1 (the General Conditions of
Contract (GCC), the Special Conditions of Contract (SCC), and the
1.7 "Data Sheet" means an integral part of the Instructions to
Consultants (ITC) Section II that is used to reflect specific country
and assignment conditions to supplement, but not to over-write, the
provisions of the ITC.
1.8 "Day" means a calendar day.
1.9 "Experts" means, collectively, Key Experts, Non-Key Experts, or
any other personnel of the Consultant, Subconsultant or Joint
Venture member(s).
1.10 "Joint Venture (JV)" means an association with or without a legal
personality distinct from that of its members, of more than one
Consultant where one member has the authority to conduct all
business for and on behalf of any and all the members of the JV,
and where the members of the JV are jointly and severally liable to
the Client for the performance of the Contract.
1.11 "Key Expert(s)" means an individual professional provided by the
Consultant or its Subconsultant, whose skills, qualifications,
knowledge and experience are critical to the performance of the
Services under the Contract and whose CV is taken into account in
the technical evaluation of the Consultant’s Proposal.
1.12 "ITC" (this Section I of the RFP) means the Instructions to
Consultants that provide the shortlisted Consultants with all
information they need to prepare their Proposals.
1.13 "LOI" means the Letter of Invitation being sent by the Client to the
shortlisted Consultants.
1.14 "Non-Key Expert(s)" means an individual professional provided by
the Consultant or its Subconsultant and who is assigned to perform
the Services or any part thereof under the Contract and whose CVs
are not evaluated individually.
1.15 "Proposal" means the technical Proposal and the financial

Proposal of the Consultant.
1.16 "RFP" means the Request for Proposals to be prepared by the
Client for the selection of Consultants.
1.17 "Services" means the consulting services work to be performed by
the Consultant pursuant to the Contract.
1.18 "Subconsultant" means an entity to whom the Consultant intends
to subcontract any part of the Services while remaining responsible
to the Client during the performance of the Contract.
1.19 "TORs" (this Section VII of the RFP) means the Terms of
Reference that explain the objectives, scope of work, activities, and
tasks to be performed, respective responsibilities of the Client and
the Consultant, and expected results and deliverables of the
2 Introduction 2.1 The Client named in the Data Sheet intends to select a Consultant
from those listed in the Letter of Invitation, in accordance with the
method of selection specified in the Data Sheet.
2.2 The shortlisted Consultants are invited to submit a technical
Proposal and a financial Proposal for the Services named in the
Data Sheet. The Proposal will be the basis for negotiating and
ultimately signing the Contract with the selected Consultant.
2.3 The Consultants should take into account the Applicable law in
preparing their Proposals. They may attend a pre-Proposal
conference if one is specified in the Data Sheet. Attending any
such pre-Proposal conference is optional and is at the Consultants’
2.4 The Client will timely provide, at no cost to the Consultants, the
inputs, relevant project data, and reports required for the
preparation of the Consultant’s Proposal as specified in the Data
3 Conflict of interest 3.1 The Consultant is required to provide professional, objective, and
impartial advice, at all times holding the Client’s interests
paramount, strictly avoiding conflicts with other assignments or its
own corporate interests, and acting without any consideration for
3.2 The Consultant has an obligation to disclose to the Client any
situation of actual or potential conflict of interest that impacts its
capacity to serve the best interest of its Client. Failure to disclose
such situations may lead to the rejection of the Consultant’s
Proposal or the termination of its Contract.
3.3 Without limitation on the generality of the foregoing, and unless
stated otherwise in the Data Sheet, the Consultant shall not be
hired under the circumstances set forth below:
3.3.1 Conflicting activities
3.3.1.1 Conflict between consulting activities and
procurement of goods, works or non-consulting
services: a firm that has been engaged by the Client
to provide goods, works, or non-consulting services
for a project, or any of its Affiliates, shall be
disqualified from providing consulting services
resulting from or directly related to those goods,
works, or non-consulting services. Conversely, a firm

hired to provide consulting services for the
preparation or implementation of a project, or any of
its Affiliates, shall be disqualified from subsequently
providing goods or works or non-consulting services
resulting from or directly related to the consulting
services for such preparation or implementation.
3.3.2 Conflicting assignments
3.3.2.1 Conflict among consulting assignments: a Consultant
(including its Experts and Subconsultants) or any of
its Affiliates shall not be hired for any assignment
that, by its nature, may be in conflict with another
assignment of the Consultant for the same or for
another Client.
3.3.3 Conflicting relationships
3.3.3.1 Relationship with the Client's staff: a Consultant
(including its Experts and Subconsultants) that has a
close business or family relationship with a
professional staff of the Client who are directly or
indirectly involved in any part of (i) the preparation of
the Terms of Reference for the Services, (ii) the
selection process for the Contract, or (iii) the
supervision of the Contract, may not be awarded a
Contract, unless the conflict stemming from this
relationship has been resolved in a manner
acceptable to Client throughout the selection process
and the execution of the Contract.
4 Unfair competitive 4.1 Fairness and transparency in the selection process require that the
advantage Consultants or their Affiliates competing for a specific assignment
do not derive a competitive advantage from having provided
consulting services related to the assignment in question. To that
end, the Client shall indicate in the Data Sheet and make available
to all shortlisted Consultants together with this RFP all information
that would in that respect give such Consultant any unfair
competitive advantage over other competing Consultants.
5 Corrupt and 5.1 Client requires compliance with its policy in regard to corrupt and
fraudulent fraudulent practices as set forth in Section VI.
5.2 In further pursuance of this policy, Consultant shall permit and shall
cause its Experts, Subconsultants, subcontractors, or suppliers to
permit Employer to inspect all accounts, records, and other
documents relating to the submission of the Proposal and Contract
performance (in case of an award), and to have them audited by
auditors appointed by Employer.
6 Eligibility 6.1 Client financing may benefit to Consultants (firms, including Joint
Ventures and their individual members) from all countries to offer
consulting services for Client-financed projects subject to
compliance with the eligibility criteria specified in Section V.
6.2 Furthermore, it is the Consultant’s responsibility to ensure that its
Experts, Joint Venture members, Subconsultants, agents (declared
or not), subcontractors, service providers, suppliers and/or their
employees meet the eligibility requirements as established by
Employer in the Section V.
6.3 Government officials and civil servants of the Client’s country are
not eligible to be included as Experts in the Consultant’s Proposal

unless such engagement does not conflict with the Applicable law,
and they (i) are on leave of absence without pay, or have resigned
or retired; (ii) are not being hired by the same agency they were
working for before going on leave of absence without pay,
resigning, or retiring; and (iii) their hiring would not create a conflict
B. Preparation of Proposals
7 General 7.1 In preparing the Proposal, the Consultant is expected to examine
considerations the RFP in detail. Material deficiencies in providing the information
requested in the RFP may result in rejection of the Proposal.
8 Cost of preparation 8.1 The Consultant shall bear all costs associated with the preparation
of Proposal and submission of its Proposal, and the Client shall not be
responsible or liable for those costs, regardless of the conduct or
outcome of the selection process.
9 Language 9.1 The Proposal, as well as all correspondence and documents
relating to the Proposal exchanged between the Consultant and the
Client shall be written in the language(s) specified in the Data
10 Documents 10.1 The Proposal shall comprise the documents and forms listed in the
comprising the Data Sheet.
10.2 The Consultant shall furnish information on commissions, gratuities,
and fees, if any, paid or to be paid to agents or any other party
relating to this Proposal and, if awarded, Contract execution.
11 Only one Proposal 11.1 The Consultant shall submit only one Proposal, either in its own
name or as a member of a Joint Venture. If a Consultant (including
any Joint Venture member) submits or participates in more than
one Proposal, all such Proposals shall be disqualified and rejected.
This does not, however, unless otherwise stated in the Data Sheet,
preclude a Subconsultant, or the Consultant’s staff from
participating as Key Experts and Non-Key Experts in more than one
12 Proposal validity 12.1 The Data Sheet indicates the period during which the Consultant’s
Proposal must remain valid after the Proposal submission deadline.
12.2 During this period, the Consultant shall maintain its original
Proposal without any change, including the availability of the Key
Experts, the proposed rates and the total price.
12.3 If it is established that any Key Expert nominated in the
Consultant’s Proposal was not available at the time of Proposal
submission or was included in the Proposal without his/her
confirmation, such Proposal shall be disqualified and rejected for
further evaluation.
12.4 Extension of validity period
12.4.1 The Client will make its best effort to complete the
negotiations within the Proposal’s validity period. However,
should the need arise, the Client may request, in writing, all
Consultants who submitted Proposals prior to the
submission deadline to extend the Proposals’ validity.
12.4.2 If the Consultant agrees to extend the validity of its
Proposal, it shall be done without any change in the original
Proposal and with the confirmation of the availability of the

12.4.3 The Consultant has the right to refuse to extend the validity
of its Proposal in which case such Proposal will not be
further evaluated.
12.5 Substitution of Key Experts in case of extension of validity period
12.5.1 If any of the Key Experts become unavailable for the
extended validity period, the Consultant shall provide a
written adequate justification and evidence satisfactory to
the Client together with the substitution request. In such
case, a replacement Key Expert shall have equal or better
qualifications and experience than those of the originally
proposed Key Expert. The technical evaluation score,
however, will remain to be based on the evaluation of the
CV of the original Key Expert.
12.5.2 If the Consultant fails to provide a replacement Key Expert
with equal or better qualifications, or if the provided
reasons for the replacement or justification are
unacceptable to the Client, such Proposal will be rejected.
12.6 Subcontracting
12.6.1 Lead Consultant shall not subcontract the whole of the

amendment of RFP during the period indicated in the Data Sheet before the Proposals’
submission deadline. Any request for clarification must be sent in
writing, or by standard electronic means, to the Client’s address
indicated in the Data Sheet. The Client will respond in writing, or by
standard electronic means, and will send written copies of the
response (including an explanation of the query but without
identifying its source) to all shortlisted Consultants. Should the
Client deem it necessary to amend the RFP as a result of a
clarification, it shall do so following the procedure described below:
13.1.1 At any time before the Proposal submission deadline, the
Client may amend the RFP by issuing an amendment in
writing or by standard electronic means. The amendment
shall be sent to all shortlisted Consultants and will be
binding on them. The shortlisted Consultants shall
acknowledge receipt of all amendments in writing.
13.1.2 If the amendment is substantial, the Client shall extend the
Proposal submission deadline to give the shortlisted
Consultants reasonable time to take an amendment into
account in their Proposals.
13.2 The Consultant may submit a modified Proposal or a modification to
any part of it at any time prior to the Proposal submission deadline.
No modifications to the technical or financial Proposal shall be
accepted after the deadline.
14 Preparation of 14.1 While preparing the Proposal, the Consultant must give particular
Proposals – attention to the following:
consideration 14.1.1 If a shortlisted Consultant considers that it may enhance its
expertise for the Services by associating with other
consultants in the form of a Joint Venture, it may do so with
either (i) non-shortlisted Consultant(s), or (ii) shortlisted
Consultants if permitted in the Data Sheet. Association

with a non-shortlisted Consultant shall be subject to
approval of the Client. When associating with non-
shortlisted firms in the form of a Joint Venture, the
shortlisted Consultant shall be a lead member. If shortlisted
Consultants associate with each other, any of them can be
14.1.2 The Client may indicate in the Data Sheet the estimated
Key Experts’ time input (expressed in person-month) or the
Client’s estimated total cost of the Services, but not both.
This estimate is indicative and the Proposal shall be based
on the Consultant’s own estimates for the same.
14.1.3 If stated in the Data Sheet, the Consultant shall include in
its Proposal at least the same time input (in the same unit
as indicated in the Data Sheet) of Key Experts, failing
which the financial Proposal will be rejected.
14.1.4 For assignments under the Fixed-Budget selection method,
the estimated Key Experts’ time input is not disclosed.
Total available budget, with an indication whether it is
inclusive or exclusive of taxes, is given in the Data Sheet,
and the financial Proposal shall not exceed this budget.
15 Technical Proposal 15.1 The technical Proposal shall not include any financial information. A
format and content technical Proposal containing material financial information shall be
declared non-responsive.
15.1.1 Consultant shall not propose alternative Key Experts. Only
one CV shall be submitted for each Key Expert position.
Failure to comply with this requirement will make the
Proposal non-responsive.
15.1.2 Variations are not allowed.
15.2 The technical Proposal shall be prepared using the standard forms
provided in Section III of the RFP.
16 Financial Proposal 16.1 The financial Proposal shall be prepared using the standard forms
provided in Section IV of the RFP. It shall list all costs associated
with the Services, including (a) remuneration of Key Experts and
Non-Key Experts, (b) other expenses indicated in the Data Sheet.
16.2 Price adjustment
For assignments with a duration exceeding 18 months, a price
adjustment provision of remuneration rates applies if so stated in
the Data Sheet.
The financial Proposal should clearly estimate, as a separate
amount, the taxes, duties, fees, levies and other charges imposed
in the Client’s country under the Applicable law, on the Consultants,
the Subconsultants, and their Experts (other than nationals or
permanent residents of the Client’s country), as stated in the Data
Sheet. The Consultant and its Subconsultants and Experts are
responsible for meeting all tax liabilities arising out of the Contract
unless stated otherwise in the Data Sheet. Information on taxes in
the Client’s country is provided in the Data Sheet.
16.4 Currency of Proposal
The Consultant may express the price for its Services in the
currency or currencies as stated in the Data Sheet. If indicated in

the Data Sheet, the portion of the price representing local cost shall
be stated in the local currency.
16.5 Currency of payment
Payment under the Contract shall be made in the currency or
currencies in which the payment is requested in the Proposal.
C. Submission, Opening and Evaluation
17 Submission, 17.1 The Consultant shall submit a signed and complete Proposal
sealing and comprising the documents and forms in accordance with Clause
marketing of (Documents comprising Proposal). The submission can be done by
Proposals mail or by hand. If authorized in the Data Sheet, the Consultant
may choose to submit its Proposals electronically.
17.2 An authorized representative of the Consultant shall sign the
original submission letters in the required format for both the
technical Proposal and the financial Proposal and shall initial all
pages of both. The authorization shall be in the form of a written
power of attorney attached to the technical Proposal.
17.2.1 A Proposal submitted by a Joint Venture shall be signed by
all members so as to be legally binding on all members, or
by an authorized representative who has a written power of
attorney signed by each member’s authorized
representative.
17.3 Any modifications, revisions, interlineations, erasures, or
overwriting shall be valid only if they are signed or initialed by the
person signing the Proposal.
17.4 The signed technical and financial Proposals shall be marked
"ORIGINAL", and its copies marked "COPY" as appropriate. The
number of copies is indicated in the Data Sheet. All copies shall be
made from the signed original. If there are discrepancies between
the original and the copies, the original shall prevail.
17.5 The original and all the copies of the technical Proposal shall be
placed inside of a sealed envelope clearly marked "TECHNICAL
PROPOSAL, [Name of the Services]", reference number, name
and address of the Consultant, and with a warning "DO NOT OPEN
UNTIL TECHNICAL PROPOSAL OPENING".
17.6 Similarly, the original financial Proposal shall be placed inside of a
sealed envelope clearly marked "FINANCIAL PROPOSAL, [name
of the Services]", reference number, name and address of the
Consultant, and with a warning "DO NOT OPEN WITH THE
TECHNICAL PROPOSAL".
17.7 The sealed envelopes containing the technical and financial
Proposals shall be placed into one outer envelope and sealed. This
outer envelope shall bear the submission address, RFP reference
number, the name of the Services, Consultant’s name and the
address, and shall be clearly marked "DO NOT OPEN BEFORE
TECHNICAL PROPOSAL OPENING".
17.8 If the envelopes and packages with the Proposal are not sealed
and marked as required, the Client will assume no responsibility for
the misplacement, loss, or premature opening of the Proposal.
17.9 The Proposal or its modifications must be sent to the address
indicated in the Data Sheet and received by the Client no later than
the deadline indicated in the Data Sheet, or any extension to this
Tender no. GMRC/GEC/AHMEDABAD/PH-2A, 2B & 3A/2026 Page 8 of

deadline. Any Proposal or its modification received by the Client
after the deadline shall be declared late and rejected, and promptly
returned unopened.
18 Confidentiality 18.1 From the time the Proposals are opened to the time the Contract is
awarded, the Consultant should not contact the Client on any
matter related to its technical and/or financial Proposal. Information
relating to the evaluation of Proposals and award recommendations
shall not be disclosed to the Consultants who submitted the
Proposals or to any other party not officially concerned with the
process, until the publication of the Contract award information.
18.2 Any attempt by shortlisted Consultants or anyone on behalf of the
Consultant to influence improperly the Client in the evaluation of the
Proposals or Contract award decisions may result in the rejection of
18.3 Notwithstanding the above provisions, from the time of the
Proposals’ opening to the time of Contract award publication, if a
Consultant wishes to contact the Client on any matter related to the
selection process, it should do so only in writing.
19 Opening of 19.1 The Client’s evaluation committee shall conduct the opening of the
technical technical Proposals in the presence of the shortlisted Consultants’
Proposals authorized representatives who choose to attend (in person, or
online if this option is offered in the Data Sheet). The opening date,
time and address are stated in the Data Sheet. The envelopes with
the financial Proposal shall remain sealed and shall be securely
stored with a reputable public auditor or independent authority until
they are opened in accordance with Clause 23 of the ITC.
19.2 At the opening of the technical Proposals the following shall be read
out: (i) the name of the Consultant or, in case of a Joint Venture,
the name of the Joint Venture, the name of the lead member and
the names of all members; (ii) the presence or absence of a duly
sealed envelope with the financial Proposal; (iii) any modifications
to the Proposal submitted prior to Proposal submission deadline;
and (iv) any other information deemed appropriate or as indicated
in the Data Sheet.
20 Proposals 20.1 Subject to provision of Sub-Clause 15.1 of the ITC, the evaluators
evaluation of the technical Proposals shall have no access to the financial
Proposals until the technical evaluation is concluded.
20.2 The Consultant is not permitted to alter or modify its Proposal in
any way after the Proposal submission deadline except as
permitted under Sub-Clause 12.7 of this ITC. While evaluating the
Proposals, the Client will conduct the evaluation solely on the basis
of the submitted technical and financial Proposals.
21 Evaluation of 21.1 The Client’s evaluation committee shall evaluate the technical
technical Proposals on the basis of their responsiveness to the Terms of
Proposals Reference and the RFP, applying the evaluation criteria,
sub-criteria, and point system specified in the Data Sheet. Each
responsive Proposal will be given a technical score. A Proposal
shall be rejected at this stage if it does not respond to important
aspects of the RFP or if it fails to achieve the minimum technical
score indicated in the Data Sheet.
22 Financial 22.1 Following the ranking of the technical Proposals, when the selection
Proposals for QBS is based on quality only (QBS), the top-ranked Consultant is invited
to negotiate the Contract. Only the financial Proposal of the
technically top-ranked Consultant is opened by the Client’s
evaluation committee. All other financial Proposals are returned
unopened after the Contract negotiations are successfully

concluded and the Contract is signed.
23 Public opening of 23.1 After the technical evaluation is completed, the Client shall notify
financial Proposals those Consultants whose Proposals were considered
(for Quality and non-responsive to the RFP and TOR or did not meet the minimum
Cost Based qualifying technical score (and shall provide information relating to
Selection (QCBS), the Consultant’s overall technical score) that their financial
Fixed Budget Proposals will be returned unopened after completing the selection
Selection (FBS), process and Contract signing. The Client shall simultaneously notify
and Least-Cost in writing those Consultants that have achieved the minimum
Selection (LCS) overall technical score and inform them of the date, time and
methods) location for the opening of the financial Proposals. The opening
date should allow the Consultants sufficient time to make
arrangements for attending the opening. The Consultant’s
attendance at the opening of the financial Proposals (in person, or
online if such option is indicated in the Data Sheet) is optional and
is at the Consultant’s choice.
23.2 The financial Proposals shall be opened by the Client’s evaluation
committee in the presence of the representatives of those
Consultants whose Proposals have passed the minimum technical
score. At the opening, the names of the Consultants, the overall
technical scores, and the total prices shall be read aloud and
recorded. Copies of the record shall be sent to all Consultants who
submitted Proposals.
24 Correction of 24.1 Activities and items described in the technical Proposal but not
errors priced in the financial Proposal, shall be assumed to be included in
the prices of other activities or items, and no corrections will be
made to the financial Proposal.
24.2 Time-based Contracts
In the case of a time-based Contract, the Client’s evaluation
committee will (a) correct any computational or arithmetical errors,
and (b) adjust the prices if they fail to reflect all inputs included for
the respective activities or items in the technical Proposal. In case
of discrepancy between (i) a partial amount (sub-total) and the total
amount, or (ii) between the amount derived by multiplication of unit
price with quantity and the total price, or (iii) between words and
figures, the former will prevail. In case of discrepancy between the
technical and financial Proposals in indicating quantities of input,
the technical Proposal prevails and the Client’s evaluation
committee shall correct the quantification indicated in the financial
Proposal so as to make it consistent with the one indicated in the
technical Proposal, apply the relevant unit price included in the
financial Proposal to the corrected quantity, and correct the total
24.3 Lump-sum Contracts
In the case of a lump-sum Contract, the Consultant is deemed to
have included all inputs that are necessary to perform the Services
in the financial Proposal, so neither arithmetical corrections nor
price adjustments shall be made. The total price, net of taxes
understood as per Clause ITC 25 below, specified in the financial
Proposal (form FIN-1) shall be considered as the offered price.
25 Taxes 25.1 The Client’s evaluation of the Consultant’s financial Proposal shall
exclude taxes and duties in the Client’s country in accordance with
the instructions in the Data Sheet.

26 Conversion to 26.1 For the evaluation purposes, prices shall be converted to a single
single currency currency using the selling rates of exchange, source and date
indicated in the Data Sheet.
27 Combined quality 27.1 In the case of quality and cost based selection (QCBS), the total
and cost evaluation score is calculated by weighting the technical and financial scores
(for QCBS, FBS, and adding them as per the formula and instructions in the Data
and LCS methods) Sheet. The Consultant achieving the highest combined technical
and financial score will be invited for negotiations.
27.2 In the case of fixed budget selection (FBS), those Proposals that
exceed the budget indicated in Sub-Clause 14.1.4 of the Data
Sheet shall be rejected. The Client will select the Consultant that
submitted the highest-ranked technical Proposal, and invite such
Consultant to negotiate the Contract.
27.3 In the case of least-cost selection (LCS), the Client will select the
Consultant with the lowest evaluated total price among those
consultants that achieved the minimum technical score, and invite
such Consultant to negotiate the Contract.
28 Abnormally low 28.1 If the financial Proposal is twenty per cent (20%) or more, lower
financial Proposal than the Client’s estimate, and unless the Client provides
justification that the estimate is inaccurate, the Client shall require
the Consultants to produce detailed price analyses for any or all
items of the financial Proposal, to demonstrate the internal
consistency of those prices and priced quantities with the
methodology, resources and schedule proposed, as well as the
Terms of Reference (TORs). Notwithstanding provisions of
Sub-Clause ITC 24.1 which shall not apply, if inconsistencies are
evidenced, the financial Proposal shall be declared non-compliant
D. Negotiations and Award
29 Negotiations 29.1 The negotiations will be held at the date and address indicated in
the Data Sheet with the Consultant’s representative(s) who must
have written power of attorney to negotiate and sign a Contract on
behalf of the Consultant.
29.2 The Client shall prepare minutes of negotiations that are signed by
the Client and the Consultant’s authorized representative.
29.3 Availability of Key Experts
29.3.1 The invited Consultant shall confirm the availability of all
Key Experts included in the Proposal as a pre-requisite to
the negotiations, or, if applicable, a replacement in
accordance with Clause 12 of the ITC. Failure to confirm
the Key Experts’ availability may result in the rejection of
the Consultant’s Proposal and the Client proceeding to
negotiate the Contract with the next-ranked Consultant.
29.3.2 Notwithstanding the above, the substitution of Key Experts
at the negotiations may be considered if due solely to
circumstances outside the reasonable control of and not
foreseeable by the Consultant, including but not limited to
death or medical incapacity. In such case, the Consultant
shall offer a substitute Key Expert within the period of time
specified in the letter of invitation to negotiate the Contract,
who shall have equivalent or better qualifications and
experience than the original Key Expert.

29.4 Technical negotiations
29.4.1 The negotiations include discussions about the Terms of
Reference (TORs), the proposed methodology, the Client’s
inputs, the special conditions of the Contract, and finalizing
the “Description of Services” part of the Contract. These
discussions shall not substantially alter the original scope
of services under the TORs or the terms of the Contract
and shall not modify the ranking of the Proposals.
29.5 Financial negotiations
29.5.1 The negotiations include the clarification of the Consultant’s
tax liability in the Client’s country and how it should be
reflected in the Contract.
29.5.2 If the selection method included cost as a factor in the
evaluation, the total price stated in the financial Proposal
for a lump-sum Contract shall not be negotiated.
29.5.3 In the case of a time-based Contract, unit rates
negotiations shall not take place, except when the offered
Key Experts and Non-Key Experts’ remuneration rates are
much higher than the typically charged rates by
Consultants in similar contracts. In such case, the Client
may ask for clarifications and, if the fees are very high, ask
to change the rates.
30 Conclusion of 30.1 The negotiations are concluded with a review of the finalized draft
negotiations Contract, which then shall be initialed by the Client and the
Consultant’s authorized representative.
30.2 If the negotiations fail, the Client shall inform the Consultant in
writing of all pending issues and disagreements and provide a final
opportunity to the Consultant to respond. If disagreement persists,
the Client shall terminate the negotiations informing the Consultant
of the reasons for doing so. The Client will invite the next-ranked
Consultant to negotiate a Contract. Once the Client commences
negotiations with the next-ranked Consultant, the Client shall not
reopen the earlier negotiations.
30.3 The Client reserves the right to annul the RFP process and reject
all Proposals at any time prior to Contract award, without thereby
incurring any liability to Consultants.
31 Award of Contract 31.1 After completing the negotiations the Client shall sign the Contract;
if applicable, publish the award information; and promptly notify the
other shortlisted Consultants.
31.2 The Consultant is expected to commence the Services on the date
and at the location specified in the Data Sheet.

ITC 1.2 1. Applicable law: The governing law for the purpose of tendering process including this
prequalification process are the laws of India and courts of Ahmedabad shall have full
jurisdiction considering any matter arising out of this RFP and the tendering process.

The tenderer will follow the “Public Procurement (Preference to Make in India), Order
2017” as per office order No. P-45021/2/2017-B.E.-II dated 15 June 2017 as revised vide

issued by the Department of Industrial Policy and Promotion, Ministry of Commerce and

ITC 2.4 The Client will provide the following inputs, project data, reports, etc. to facilitate
the preparation of the Proposals:Refer Attachment 3 to Data Sheet.
ITC 3.3 In case a member of a Consortium or its affiliate has already been appointed or will be
appointed as a ‘Detailed Design Consultant (DDC)’ for the Ahmedabad Metro Project,
i) It may undertake to accept the following modifications of GEC’s Terms of
Reference to prevent any Conflict of Interest with DDC Contract(s):
a. Proof checking of the design done by DDC shall be carried out by an independant
third party selected by the Employer (wherever DDC Contract does not provide for
independent Proof Checker) and the costs for the same shall be borne by the
GEC, if it is not included in DDC Contract price.
b. Review of the concerned Detailed Design (i.e. in the scope of GEC as per TOR)
may be performed by the GEC but will be neither a condition of approval of the
Detailed Design Consultant’s deliverables nor a condition to the payment of its
services by GMRC. Consequently, any adaptation, correction or modification of the
Detailed Design that would arise from the design review shall be made by the GEC
itself, at its own cost, without asking additional manpower/ expert(s) or other costs.
In addition, designer’s liability will be transferred to the GEC and it will assume full
technical responsibility for the Detailed Design.
c. Approval of the concerned Detailed Design (i.e. in the scope of GEC as per TOR)
and payment certification for the concerned Detailed Design Consultant services
shall be withdrawn from the GEC’s Terms of Reference and performed directly by
GMRC itself, based on the results of the independent proof-checking and on
GMRC’s own assessement of the DDC’s performance.
ii) An Undertaking shall be submitted by each member of the Consortium in the bid
confirming it will comply with all the mentioned provisions as per the format
provided in Attachment 4 to Data Sheet.
(a) The Terms of Reference of the GEC will be modified accordingly before the
signing of the contract. The Terms of Reference of the concerned Detailed Design
Consultant services could also be amended accordingly if considered necessary
by the Employer.
ITC 4.1 The RFP document has been prepared by GMRC without involvement of any Consultant.
B. Preparation of Proposals
ITC 9.1 The RFP application prepared by the Applicant and all correspondence and
documents related to the RFP, and exchange by the Applicant and GMRC shall be
written in English. Any printed literature furnished by the Applicant may be written
in another language as long as such literature is accompanied by a translation of
its pertinent passages in English, in which case, for purpose of interpretation of the
RFP, the English translation shall govern.All accurate translations must be notarized
by a notary of respective country and legalized by the concerned Ministry of External
Affairs/ Ministry of Foreign Affairs/ Embassy/ High Commission of India in respective
countries. However, in case such entity is from a country which has signed The Hague
Legislation Convention 1961, then the said translation is not required to be legalized by
the Indian Embassy if it carries a conforming Appostille certificate.

ITC 11.1 The Applicant shall submit only one application, either in its own name or as a member of
a Joint Venture (JV)/ Consortium. In case of a JV/consortium the number of partners shall
be limited to 4 (four) and each partner must have minimum 20% partnership. The
JV/Consortium as a whole must satisfy both Technical and Financial Eligibility criteria but
the members shall be jointly and severally responsible. If an Applicant (including any JV
member/ Consortium) submits or participates in more than one application, those
applications shall be all rejected. However, the same Subconsultant may participate in
several applications.
Experiences and qualifications of Subconsultants are not taken into account in the
evaluation of the applications.
Interested Applicants must provide information evidencing that they are qualified and
experienced to perform those Services. For that purpose, documented evidence of recent
and similar services shall be submitted.
Participation of Subconsultants, Key Experts and Non-Key Experts in more than
one Technical Proposal is permissible.
ITC 12.1 Offer shall be valid for the period of 180 days (both days inclusive i.e. the date of
submission of application and the last date of period of validity of the application)
from the latest Date of Submission of Application. In exceptional circumstances,
prior to expiry of original validity period, GMRC may request Applicant to extend

by any Applicant who fails to extend the period of validity of its bid in line with the

DDC, documentation, reporting to funding agencies, problem solving skills they adopted
for supervision team and periodical upgradation of supervision team, vendor registration

work plan differentiated by phases and showing milestones; personnel structure; internal
processes; task overview, distribution and sequence; engagement with other
consultants/stakeholders, etc.). Bidder should further raise critical points (if any) with
respect to the assignment and elaborate on potential risks and mitigation measures for the
execution of the assignment/timely completion.

allowed during the deployment stage. Change of 5 CV’s initially proposed in RFP will lead
to a penalty of 0.1% of agreement value. For change of more than 15 CV’s, could lead to
Contract termination, if GMRC judges that this will jeopardize the implementation of the

ITC 25.1 The evaluation will be carried out on the basis of the Consultant’s financial Proposal
excluding all taxes, duties and fees identified in Sub-Clauses 43.1 and 43.2 of the Special
Conditions of Contract.
Applicable taxes, duties and fees shall be added, if needed, to the Contract Price on a
separate line with a reference to the Sub-Clauses 43.1 and 43.2 of the Special Conditions
of Contract for payment modalities.

ITC 27.1 The evaluation will be carried out separately for Technical and Financial Proposals. The
weightage for technical proposals will be 70% (Seventy per cent) (as mentioned in ITC
21.1 of Data Sheet) and weightage for financial proposals will be 30% (Thirty per cent).
Combined and final evaluation will be based on total score marked by the bidder for their
technical and financial offer.
Proposal with the lowest cost may be given a financial score of 100 (Hundred) and other
proposals given financial scores that are inversely proportional to their prices w.r.t. the
lowest offer. Similarly, proposal with the highest technical marks (as allotted by the
evaluation committee) shall be given a score of 100 (Hundred) and other proposals be
given technical score that are proportional to their marks w.r.t. the highest technical
marks. The total score, both technical and financial, shall be obtained by weighing the
quality and cost scores and adding them up. On the basis of the combined weighted
score for quality and cost, the consultant shall be ranked in terms of the total score
obtained. The proposal obtaining the highest total combined score in evaluation of quality
and cost will be ranked as H-1 followed by the proposals securing lesser marks as H-2, H-
3 etc. In the event two or more bids have the same score in final ranking, the bid with
highest technical score will be H-1.
In such a case, an Evaluated Bid Score (B) will be calculated for each responsive Bid
using the following formula, which permits a comprehensive assessment of the Bid price
and the technical merits of each Bid:

C low = the lowest of all Evaluated Bid Prices among responsive Bids

Attachment 4: UNDERTAKING
It is confirmed and declared that we as a Consortium commit to comply with all the provisions
mentioned in Instruction to Consultant and Data Sheet - Clause 3.3 related to the Conflict of Interest.
In case any of the members of our Consortium or their affiliates is already part of providing any
Detailed Design Consultant Services that are defined as conflicting as per RFP documents, we hereby
undertake that:
i) The Proof Checking for such services (i.e. in the scope of GEC) shall be carried out by an
independent party as decided or may be decided by the Employer and selected by him.
The costs for the same shall be borne by us, if it is not included in DDC Contract price.
ii) We shall perform the Review of the concerned Detailed Design but this review will be
neither a condition of approval of the Detailed Design Consultant deliverables nor a
condition to the payment of its services by the Employer. Consequently, we shall make
any adaptation, correction or modification of the Detailed Design that would arise from the
design review at our own costs (without asking additional manpower/ expert(s) or other
costs). In addition, Designer’s liability will be transferred to us and we will assume full
technical responsibility for the Detailed Design.
iii) Approval of the concerned Detailed Design and payment certification for the concerned
Detailed Design Consultant services shall be withdrawn from our scope of works and
performed directly by the Employer itself.
iv) The Terms of Reference of the GEC’s services will be modified accordingly before the
signing of the contract. The Terms of Reference of the concerned Detailed Design
Consultant services could also be amended accordingly if required by the Employer.
STAMP & SIGNATURE OF AUTHORIZED SIGNATORY
1. In case of Consortium, the undertaking shall be counter signed and stamped by each member of
the Consortium.

A. Minimum Eligibility Criteria:
(i) Work Experience
The Applicants will be qualified only if they have successfully completed work(s),completion date(s) of
which falling during last seven years ending last day of the month previous to the month of EOI
submission as given below :
(i) At least one “Similar Consultancy Work” * of value of Rs. 136.09 crore or more
(ii) Two “ Similar Consultancy Work” *each of value of Rs.85.05 crore or more.
(iii) Three “Similar Consultancy Work” *each of value of Rs. 68.04 crore or more.
If the above “Similar Consultancy Work”* of value as under (i) / (ii) / (iii) has been done by the foreign
partner of JV/consortium and was done in the country of the foreign partner then in addition to this
work, the foreign partner must have done at least one “Similar Consultancy Work”* equal to or more
than Rs.68.04 Crore outside the country of the foreign partner.
* “Similar Consultancy Work” for this contract shall be consultancy such as general engineering/
project consultancy works which, inter alia include activities involving the work of preliminary/ detailed
designs/ proof checking of designs/ system integration, procurement assistance, construction
management, project management and supervision including inspection, safety and quality,
assistance in testing and commissioning of Metro Rail/ Light Rail/ High Speed Rail/ Railways.
The similarity shall be based on the physical size, complexity, methods/technology and/or other
characteristics described in Scope of Services.
The details shall be submitted as per relevant format prescribed in Annexure-1.
(ii) Financial Standing:
The Applicant must have a minimum Average Annual Turnover of Rs. 102.07 Crore from Consultancy

The Applicant (applies to each individual member in case of a Joint Venture/Consortium) should not
been blacklisted or debarred as on the due date of submission of bid. The Undertaking/ Self-
declaration shall be submitted as per relevant format prescribed in Annexure-3.

i. The applicant shall submit details of works executed by them for the works to be considered for
qualification of work experience criteria in a format prescribed in Annexure-1. Documentary proof
such as completion certificates from client clearly indicating the nature/scope of work, actual
completion cost and actual date of completion for such work should be submitted. The offers
submitted without this documentary proof shall not be evaluated. In case the work is executed for
private client, copy of work order, bill of quantities, bill wise details of payment received certified by
Practicing Chartered Accountant (CA), T.D.S certificates for all payments received and copy of
final/last bill paid by client shall also be submitted along with the completion certificate.
ii. Applicants are required to submit the relevant information in connection with para- A – Minimum
Eligibility Criteria for shortlisting of applicants in the relevant format only. The client may not
evaluate the proposals received with the information in different format. In case the desired
information is not submitted in the prescribed format and instead the company‘s profiles, reports
etc. are only annexed with the application, client may not extract the information from these
documents in order to evaluate the application. It is, therefore, advised that all the relevant
information should be furnished in the prescribed formats only.
iii. The evaluation shall be done based on the information furnished by the applicant along with the
application and any unsolicited supplementary information may not be entertained. Client, however,
reserve the right to make enquiries from relevant authorities/parties in relation with the information
iv. For completed works, value of work done shall be updated to last day of the month previous to the
month of EOI/ tender submission price level assuming 5% inflation for Indian Rupees every year
and 2% for foreign currency portions per year. The exchange rate of foreign currency shall be
applicable 28 days before the submission date of tender.
v. In case of Joint Venture/Consortium, full value of the work, if done by the same joint venture shall
be considered. However, if the qualifying work(s) were done by them in JV/Consortium having
different constituents/members, then the value of work as per their percentage participation in such
JV/Consortium shall be considered.
vi. For any on going works, the Applicant must have completed atleast 70% of the Project value and
should be certified by the Employer, to be considered for evaluation.
vii. Financial data for last three audited financial years (2022-23, 2023-2024, 2024-2025) has to be
submitted by the applicant in the format prescribed in Annexure-2 along with audited balance
sheets. The financial data shall be certified by Practicing Chartered Accountant / Statutory Auditor
of the company with his stamp and signature in original. In case audited balance sheet of the last
financial year is not made available by the applicant, then the applicant has to submit an affidavit
certifying that the balance sheet has actually not been audited so far‘, as per format prescribed in
Annexure-2A. In such a case the financial data of previous 2 audited financial years will be taken
into consideration for evaluation. If audited balance sheet of any year other than the last year is not
submitted, the application may be considered as non-responsive and can be disqualified.
viii. The Applicants qualifying the Minimum Eligibility Criteria shall be further shortlisted
considering the Evaluation criteria for Key Experience as mentioned in Point B below.

B. Evaluation for Shortlisting of Applicants/ Consultants
1. The evaluation of the application shall be done to establish the capability of the applicant as
brought out in Para-A – Minimum Eligibility Criteria above.
2. The Applicants fulfilling the above minimum eligibility Criteria should have the experience in
working/ holding responsibility in atleast Key Level Position/ Expert for Contract having minimum
value 40% of the Estimate i.e Rs. 68.04 Crore or more in Metro Rail/ Light Rail/ High Speed Rail
system/ Railways during last seven years ending last day of the month previous to the month of
tender submission. The Contract may include/cover any technical areas like Civil Structures
(Stations/Elevated/ At Grade), Tracks,Rolling Stock, Signalling System, Telecom, Automatic Fare
Collection/ Platform Screen Door, Traction/ Third Rail, Depots/ Workshops, E&M/ Station
Integration and other such related facilities for Metro Rail/ Light Rail/ High Speed Rail/ Railways.
3. The Applicant (including the JV members) should have atleast six (6) nos of in-house skilled
technical back-up experts provided to the on-site experts and should have Local
representatives/partners (i.e office in India). The Applicant should possess Quality assurance
procedures and certifications i.e. specify the type or the label of the certification: for example, ISO
9001 or environmental and social certification.
The applicant shall submit details as required above in the relevant format prescribed in Annexure-
4 along with the supporting documentary proof. For point 2, the details to be filled in S.N. 1 to 4 of
Annexure-4 and for point 3, the details to be filled in S.N. 5 to 7 of Annexure-4.
4. The evaluation of the Application for shortlisting as per the details provided in Annexure-4 will be
done as per the procedure detailed below :
a) The Applicant must have at least one experience in each criterion; otherwise the
application will be disqualifed.
b) In case of Joint Venture, each member of JV has to submit the Annexure-4 individually. For
each experience submitted by the Applicant, check the boxes of the criteria which are met
by the experience.
c) The ranking of Applicants is based on the greatest number of criterion fulfilled (boxes

a. The criteria A to I as classified above are the technical areas for which key level position/ Expert are to be considered. SN 1 to 4 are the

3. The eligibility criteria for SN 6 & 7 of Annexure – 4 are mentioned as below ;
a. The Consulting Firm/ Applicant should have Local representatives/partners (i.e office in India) for qualifying in SN 6. Further it may be noted the for
Applicant participating as JV/ Consortium, only 1 tick (✓) will be considered for evaluating the rank.
b. The Consulting Firm/ Applicant should possess Quality assurance procedures and certifications i.e. specify the type or the label of the certification:
for example, ISO 9001 or environmental and social certification for qualifying in SN

will qualify/ shortlist a maximum of six (6) Applicants for next stage of RFP.
7. In case of Tie in Total ticks between the Applicants , then the Applicant with highest Annual Turnover will be given priority in shortlisting. The annual
turnover of JV/Consortium will be based on percentage participation of each member and that will be considered for shortlisting.

IV Duty Travel to Site, to be paid as per actuals within the Total limit as indicated herein
by GMRC for the Contract period as revised from time to time and as approved by
a. Type of the vehicles shall not be of higher category as compared to that of GMRCL. The base
rates to be reimbursed (excluding GST) for vehicle per month shall not be more than base
rates awarded by GMRC (excluding GST) in the tenders of GMRC. If it is more than GMRC
base rates, GMRC will pay amount limited to the base rates of the tenders awarded by
b. Prior approval of GMRC is needed for number and type of vehicles,
engagement and utilization of vehicles in the form of vehicle deployment schedule in advance.

V Mobilization of Experts
The remuneration of any Experts (Key/ Non-Key) other than those specified in Attachment 2 of
Data Sheet mobilized for short or long duration as may be required due to specific
requirements for Civil & System works, with prior approval of GMRC.
Travel Cost on official duties out of Ahmedabad/Gandhinagar as decided and approved by
GMRC for meetings, discussions, inspection, training, FAT and Prototype inspection, the
travelling (to and fro), Boarding, lodging, and other expenses, shall be reimbursible as per
GMRC business travel rules.
C Provisional Sums
Provisional Sums for Maintenance of office, electricity bills, Office Supplies, Utilities and
Communications & Misc. Charges, Office Equipment, Reports, drawings and Documents
Printing, cafeteria/pantry (to be paid as per ‘actuals’ subject to upper limit). However, the rates
of items should not be greater than that of GMRC for similar items. In the case, if it is greater
than GMRC, then GMRC will pay amount limited to the rate approved for GMRC’s in house
purpose or rates conevyed by GMRC. Prior approval of GMRC is needed for purchase/
expense to be reimbursed. The tentative list of such items is mentioned below. The Consultant
to submit the exhaustive list required for the Project. The approval for the
type/quantities/specifications/rates will be given by GMRC from time to time as the situation

Section VII – Terms of Reference
1. Background & Objectives
1.1 Gujarat Metro Rail Corporation (GMRC) Limited is a special purpose vehicle of the
Government of Gujarat set up for the purpose of implementing the Ahmedabad Metro
Rail Project PH-2A,2B & 3A & B.
The aim of this contract is to obtain General Engineering Consultancy (GEC) Services for
overall project management (incl. contract and financial management), reporting to
GMRC and coordinating with ESHS Consultant, relevant stakeholders (such as
Accompanying Measures Consultants, MMI Consultant, SMC etc.), procurement, Design
review and/or Proof checking (wherever specified herein in the RFP document)
construction, testing and commissioning of the Ahmedabad Metro Rail Project-Phase-2B
and 2A and Phase 3A of GMRC including scope specified civil engineering structures
(Elevated, Underground, Depot & other places), tracks, signalling, AFC, PSD BIM,
Multimodal integration, Traction and Third Rail system, Electrical & Mechanical (E&M)
services (Elevated, Underground, Depot and other places), SCADA, Lifts & Escalators,
telecom facilities, traction arrangements, air conditioning & ventilation, rolling stock,
maintenance depots, stations, operation planning including degraded mode of operation,
operation control center, offices, noise & vibrations mitigation measures, residential
buildings etc. all works/items specified in DPR or as may be ordered by GMRC for
commissioning of Ahmedabad Metro Project Phase – 2A, 2B & 3A.
The services shall include tender packaging, preparation and finalization of tender
documents remaining on date of GEC becoming on-board / signing of contract
agreement of civil and system contracts including preparing the conceptual plans for
project as a whole , assisting GMRC to finalise the contracts for system/ civil works
wherever required, evaluation of tenders, proof checking of designs and review &
approval of designs of DDC E&M, DDC Traction and system work (E&M, Traction &
Power Supply) where the contract is on design and construct basis as decided by
GMRC for Construct basis System Contract. GEC is also expected to carry out complete
checking, verification and approval to all system contract design submissions wherever
applicable, including that of rolling stock, certification of vendor sources and inspection of
vendor items wherever needed, supervision of all construction activities, installation of
systems and commissioning of rolling stock, integration of systems, ensuring
specifications, standards, safety and quality at worksites, monitoring and reporting the
progress of all works, supervision of system trials and system integration and ensuring
testing and commissioning of the entire line in stages as per the target dates laid, at the
same time exercising utmost cost control measures. Scope will also include ISA, Depot
plant and machineries, Security equipments, FAT inspections etc.
1.2 The scope of work includes but is not limited to Management of whole project, Fixing
System’s (E&M & Traction) Detailed design consultants, works & procurement
contract(s), executional works and procurement of works, Design and build contract(s)
including preparation of tender documents (consisting of Pre-qualification criteria,
Evaluation criteria, Specifications, BOQ, Special Conditions, etc. It will be one stage
three envelope procedure) and rendering any other assistance to GMRC during
tendering process and finalization of the tenders. It also includes the services of Project
and Construction Management Consultants during execution of the project.

1.3 As regards the Operation and Maintenance of various Metro sections Projects, the contracting
authority will decide on an appropriate arrangement in due course. The scope of
work under the current terms of reference thus excludes O&M services in relation to post
construction operation and maintenance of the project line.
1.4 Arranging Training of O&M staff of GMRC during the construction stage, inclusive of the
testing and commissioning stage shall be the responsibility of the GEC.
1.5 In development of the project designs and its execution, the desired
objectives anticipated by GMRC would be:
1.5.1 Economy, durability, environment – friendliness like solar power utilisation and others,
passenger comfort, quality of service as well as safety, concern for environment and
health aspects of workers in construction, maintenance and operation,
1.5.2 Speed and optimal cost of construction, to ensure that construction works are done
while respecting the time line and the planned budget.
1.5.3 Maintainability, reliability and renewability of the system in the context of the Indian socio-
economic and technological environment with international standard. The focus will also
be on ensuring construction with life cycle low maintenance cost.
1.5.4 Phased construction and commissioning of the project so as to provide early relief to the
city commuters.
1.5.5 Integration with other modes of transport to improve accessibility and ridership of the
Metro Rail Projects.
1.5.6 Adoption of the State-of- the- art technology, commercial and revenue management
1.5.7 Meeting with various statutory requirements like those specified by RDSO, CMRS, Fire
authorities, EIG, Lift & Escalator inspector, DOT, BSNL, emergency services like Police,
Ambulance, Disaster management, Fire service etc.
1.6 Property Development:
The GMRC intends to exploit the space within the Metro premises, commercially,
through property development. This activity may be taken up either along with or
independent of other Project activities. The designs for the Project should make
provision, however, for subsequent activity of property development too. The stations
wherever feasible in the whole system may be developed for commercial use. GMRC
may also do commercial development on the depot land area. The nature of work for
property development will be only preliminary studies, the detailed studies or Transit
Oriented Development (TOD) studies are not included in the Scope of Service.
1.7 It is intended to have ‘Seamless travel’ for metro commuters. It will involve integration of
various modes of travel. It is also intended to have common ticketing (to comply statutory
government guideline / government recommendation) of various modes of travel, viz.
metro, bus, Railway, Highspeed Rail, local taxis, other forms of rail based urban

transport, taxies, and any other recommended mode of transport etc. Suitable models of
seamless travel will be developed as per the MMI Consultant.
1.8 The planning, design and construction of terminal stations/ Interchange for the Metro
project should be such that any subsequent extension of the lines, could be implemented
with the least expenditure.
1.10 Technical Standards & Specifications
The recommended design criteria, specifications, standards and codes of practice will be
in accordance with the relevant Indian codes of practice/specifications. Where the
standards and specifications are not available in the Indian codes of practice /
specifications, International codes of practice/ specifications will be adopted with the
approval of GMRC wherever they are helpful.
2. Data and information to be provided by GMRC.
All relevant information has been provided in DPR. GMRC shall provide all relevant
information available till the selection of the consultant. However, this shall not be a pre-
condition for fulfillment of consultant’s obligations.
· Current status of implementation (status of implementation is mentioned in
Procurement plan-Annexure-1);
• Existing studies including EIA/ ESMP, SIA/RAP; SEP; GAP;
• Required or already granted permissions - Necessary statutory permission will
be obtained by GMRC.
• Results of investigations and studies carried out (e.g. -Preliminary Soil
investigation, Noise & Vibration Study for construction phase)
• Studies in progress (Flood& Climate Change Study, MMI study, detailed soil
• Outstanding task – Noise & Vibration study for operational stage
3. Scope and obligation of services for the General Engineering Consultant (GEC)
1. The scope of GEC’s services covered in para 1 above includes consultancy for
planning, Organization of kick-off workshop with Contractors including introduction in FC
procedures (Payment Disbursement, Procurement), Establishment of a Project
Monitoring and Evaluation System including Baseline studies, Mid-term review, Training
measures of vendors/ contractors, Execution and/or monitoring of accompanying
measures, Financial management , Establishment of Stakeholder Coordination
Mechanisms, proof checking of preliminary design and detailed designs for all system
contract excluding DDC-E&M – review & approval of preliminary design & detailed
design of DDC-E&M, DDC Traction and all system & Civil Contracts, proof checking of
preliminary design & detailed design of DDC Traction for formulating of Technical
specifications, assistance in procurement, systems integration, contract administration
(including assistance for arbitration, Dispute Board during currency of GEC Contract),
project management, construction / erection supervision (including monitoring of
statutory obligations), formation of tenders and contracts, interface management,

management of contractor’s obligations during DLP, payment certification, testing and
commissioning of Ahmedabad Metro Project Phase-2B, 2A and 3A
Note- Proof checking requires additional and separate level of design check by
independent person / agency other than the originator of the design.
Review-Involves checking of the Proof checked designs by GEC for its overall integration
and correctness.
Approval means it is the authorization/ notice of no objection for the implementation of the
reviewed and accepted design.
All technical, financial and contract management powers will be exercised by GMRC.
GEC will have necessary powers to advice, guide, recommend and supervise the
implementation of the project within the approvals obtained from GMRC. The GEC will
obtain GMRC’s approval to all matters that lie within their scope of services. Any
subsequent changes to the Project detail will also be put up to GMRC along with time
and cost implications for approval.
The services of the General Engineering Consultant, is further broadly summarized
under the following heads:
i) Review and, if necessary, supplement the details given in DPR for Ahmedabad Metro
Project, Phase-2B, 2A and 3AI as required by with GMRC on recommendation of GEC or
ii) Review and approval, proof checking (excluding DDC E&M) of designs prepared by the
Detailed Design Consultants in respect of works awarded to contractors on construct only
for DDC(Traction) & DDC(E&M ) and design submitted by contractors for design and
build basis contracts or any other relevant design as requested by GMRC.
iii) Rendering assistance to GMRC in selection of contractors / suppliers / detailed design
consultants (where applicable), other specified consultamts like ISA, Resident inspectors
at factories (Factory inspection consultant) etc. and other related services to Metro Rail
iv) To Prepare tender documents for various “Design and Build” and “Construct Only”
contract packages with its cost estimate based on actual market rates certified by GEC,
DPR and latest LARs for similar items of work prevalent in other metro as the case may be
asked by GMRC and assist in prebid conference, tender clarification process, evaluation,
negotiation (if necessary) of bids invited by GMRC and award of contracts. The
prequalification and tender documents shall be compiled in accordance with the lenders
Procurement Guidelines and SBDs
v) Preparation of Traffic, Management plan, Safety, Health and Environment Management
plan and monitoring and implementing all issues including statutory matters related with
vi) Construction supervision including contract administration (including assistance in
Arbitration, Dispute Board during currency of GEC contract), safety, quality and
environment aspects and programming and monitoring of work progress as well as all
statutory obligations.
vii) Testing and Commissioning of the entire system in stages and future managment of
DLP obligations by the contractors.
viii) Preparation of various Manuals as detailed in para 3.7.

ix) Preparation of Disaster Management Plan and safeguard plan against outbreak of
Pandemic like Covid-19 and precautions during execution of GEC Contract Including risk
against flooding and adverse climate events.
x) Preparation of Security plan which include security manning of work sites, stations and
depot during whole project cycle.
xi) Developing of various Quality Assurance Plans (QAPs)
xii) Planning and arranging training to the personnel of GMRC in operation, maintenance and
repair of various equipments, plants and the system as a whole.
xiii) Framing Property Development proposal for stations, depots as per DPR and at other
stations both inside and outside the station box area. The PD proposal should include all
E&M works like LV distribution, HVAC, fire fighting, etc.
xiv) GEC will also coordinate with National Highway/ local authorities/ AMC, GMC, AUDA,
GUDA on safety where they plan flyovers on alignment common with that of GMRC.
GEC will assists GMRC in correspondence, drawing, estimate technical input etc. while
coordinating with NHAI,NHRCL, Indian Railway and other Government/ State Authorities/
xv) GEC will assist GMRC in keeping the Commissioner of Metro Railway Safety (CMRS)
Government of India/ SMC informed about project design/construction and obtaining
intermediate approvals as required.
xvi) GEC will ensure adherence, to the ‘standards’ prescribed by GMRC, by contractors with
regard to safety of works, safety of adjoining and overlying structures, safety of workmen
and safety of public during construction stage
xvii) GEC will certify the quantum of work done, its quality and the payments to be made to
various agencies (including DDC-E&M which is part of Civil DDC, DDC-Traction and
DDC-SES etc.) engaged in the implementation of the project.
xviii) GEC will coordinate review/monitor the efforts of all contractors, consultants, suppliers
and manufacturers for scope of works under GEC.
xix) GEC will carry out Construction/Erection supervision at various levels.
xx) GEC will provide proper interface coordination so as to assure timely completion of all
works on time and commissioning of the various sections according to the
implementation schedule drawn up.
xxi) GEC will assist GMRC in ensuring the tests, trials and commissioning of the system
(including RDSO oscillation & EBD trials and obtaining final sanction from Commissioner
for Metro Railway Safety). GEC will also assist GMRC in obtaining approvals from
various statutory authorities during construction and comissioning phase like RDSO,
CMRS, Fire authority, EIG, Lift & Escalator inspector, DOT, BSNL etc. and opening of
metro for passenger services.
xxii) GEC will provide schemes for integration with other modes of transport including related
transportation planning and assist GMRC in putting in place a mechanism of ‘seamless
travel’ through various means of public/private transport with common ticketing and
complete AFC integration with the latest guideline issued by the government.

GEC should seek coordination with MMI Consultant and experts under Accompanying
Measure (the latter working on e.g. harmonization of schedules of different modes of
transport, integrated ticketing, last mile connectivity). Also coordination with SMC should
be sought by the GEC.
xxiii) GEC will advise GMRC on various options of property development with respect to
optimal utilization and integration of the separable commercial land available with GMRC
including exploitation of airspace at various stations and depots
xxiv) GEC will prepare site /working front plans, in consultation with various contractors, to
enable smooth working and ensuring completion of works as targeted/ scheduled.
xxv) GEC will prepare road traffic diversion plans in consultation with traffic police authorities to
ensure that traffic flow is not hampered during construction.
xxvi) GEC will prepare workable, proper, ‘muck disposable plans’ in consultation with relevant
authorities, particularly since a large quantity of muck will be generated from excavation
of elevated and Elevated portions.
xxvii) In regard to co-ordination of activities to be carried out by the local authorities and other
Government departments, the role of GEC would be to frame and put up to GMRC,
detailed proposals for being discussed and resolved by GMRC, in various co-ordination
groups set up by the Government of India/ State Government of Gujarat. GEC will
provide to GMRC all technical data, sketches, drawings, and also attend the co-
ordination meetings along with GMRC for obtaining approval of proposals from these co-
ordination groups.
xxviii) GEC should ensure that social and environmental aspects including noise and
vibrations are in compliance with the requirements of international financiers including
requirements of ESMP documents as agreed with Lender and list of regulations
mentioned therein.
GEC Expert(s) should review the noise and vibration studies produced by the
Consultant (engaged by GEC). The Consultant hired by GMRC directly and/or through
Design & Built contractor(s) shall provide all the detailed technical elements as per the
agreed provisions of ESMP documents as reviewed by GEC, concerning:
i) The technical specifications to be implemented during the construction phase in
order to minimize the noise and vibration of the construction worksite (This is in
addition to the studies carried out by GMRC, the report of which viz. the EIA and its
ancillary studies will be made available by GMRC to the Consultant/GEC);
ii) The detailed design of the project (infrastructure, rolling stock, noise abatement
measures) to be implemented during the operation phase so that the Ahmedabad
metro meets the standards set by the Indian government and international
iii) Monitoring to be implemented in the construction phase and then in the operational
phase to enable verification of compliance with GMRC commitments.
GEC should examine the Consultant(s)’ report and produce an expert report on each
deliverable, delivered by such Consultant(s), namely-
a) The initial status report(s) on (i) & (ii) above for execution stage;
b) The technical specifications & detailed design stage Noise abatement measures to
be taken during execution stage-

All reports will be reviewed by GMRC
xxxii) Cordination with power supply authority for availing of electrical power for various RSSs
and removal of electrical transmission lines/cables which are infringing the civil
xxxiii) Rendering assistance to GMRC in selection through tender process of detail design
consultancies for construction only packages yet to finalized, if required by GMRC.
xxxiv) Prepare and implement necessary Implementation-Schedule using MS Project/Primavera
of latest version in order to complete the Project under time-schedule and with utmost
prudence to achieve the completion within the monetary schedule.
xxxv) Review and preparation/ compilation of As-built drawings and submit to GMRC for approval,
wherever required.
xxxvi) Preparation of operation planning of corridors including degraded mode operations
and operation plan of depots
xxxvii) To undertake the development of all the plans, procedures and analysis of the RAMS
and system assurance activities of the Project.
xxxviii) To ensure the integrated safety of the metro system and to submit Overall Safety
xxxix) GEC will prepare utility (water, sewerage, electrical, BSNL, gasline, etc.) diversion plans in
co-ordination with Contractor, land acquisition plan for shifting of utilities and assist GMRC
in submitting to utility owning agencies for its approval.
xxxx) GEC will prepare required land Acquisition plan for construction of viaduct, station (Civil
Structures except Depot and Elevated Corridor) and for other facilitating work and its
submission to GMRC and will also assist GMRC in co-ordination with concenred
Government authorities.
xxxxi) Assisting GMRC in Land Acquisition, implementation/ adaptation resettlement action plan, if
xxxxii) To prepare , monitor, report complaints by workers, third parties and any litigation on all
issues including statutory matters related to safety, health and Environment .
xxxxiii) Preparation of operation planning of Corridor including degraded mode of operation.
xxxxiv) Confidentiality – The GEC shall keep secret and confidential and shall not disclose to any
third party, not use in any unauthorized manner any confidential information regarding the
present processing technology and the business affairs of the GMRC which the GEC may
have acquired through the negotiations, discussions, examination of drawings, designs,
process layout, use of infrastructures, etc., leading to the conclusions of this agreement.
The parties further agree not to use such information for any purpose whatsoever except in

the manner expressly provided for in this agreement. The obligations hereunder shall
survive any termination or cancellation of this Agreement.
xxxxv) Titles to documents – Titles to all technical data including, but not limited to specifications,
drawings, bills of materials, flow diagrams, layout details and the contents thereof,
furnished by GMRC to the Contractor shall remain with GMRC
.xxxxvi) The GEC shall not use or divulge the data to others except to the extent necessary in
connection with the performance by the Contractor.
xxxxvii) Patents – The GEC shall at all times indemnify GMRC against all claims which may be
made in respect of the items for infringement of any right protected by patent, registration
of design or trade mark.
xxxxviii) Wherever needed, the site office personnel of the GEC shall be supported by the Head
Office of GEC for back office works at no additional cost to GMRC.
3.1 Review and supplement the details given in DPR/ Concept report or any other report of
Metro Rail Projects as available with GMRC.
The GEC shall review and where ever necessary supplement the details, design criteria,
specifications, drawings, reports (including climate change risk study) , etc., with the object of
deciding on the parameters/details to be included in the tender documents. The task will be in
the following four stages for the items of work in the scope of work. However, GEC may suggest
improvements/ modification in design during execution of items of work to which design / proof
checking of design / review of design is not in their scope.
- Preliminary investigations
- Preliminary system design.
- Preliminary design
- Operations and Maintenance integration.
3.1.1 Preliminary investigations:
This activity may cover review, revalidation & supplementation as ordered by GMRC that is not part
of any civil DDC Contract in which an independent proof checker has been assigned work directly
reporting to GMRC.
1. Previous feasibility studies
2. Previous Topographic survey and mapping (its review and recommendation)
3. Previous Geo-technical survey (its review and recommendation)
4. Previous Utility investigation.
5. Previous Investigation of the existing and future buildings, structures, land use and urban
development plans along the routes.
6. Previous Investigation of records and documents on the buildings and the constructions
along the routes.
7. Development of various design basis reports and draft SoD for metro.
8. Multi-modal integration (MMI) component of works
3.1.2 Preliminary system design:
This will cover the following, but not limited to;
1. Physical Locations of all stations and detailing of route alignment.

3.1.3 Preliminary design:
This will cover the following, but not limited to;

any other as ordered by GMRC
4. Outline of all stations street level, concourse and platform level as per Metro Rail system
5. Outline of rail car including Rolling Stock design performance. Train operation and
inspection diagram.
6. Outline of railcar depots, inspection facilities and workshops.
7. Outline of substations and power supply system.
8. Outline of signaling system.
9. Outline of telecommunication system.
10. Outline of total integration of controlling train operation, traffic, passengers guidance and
monitoring, disaster prevention, air-conditioning and ventilation, sales management, power
supply, railcar and facility inspection and maintenance, and general administration.
11. Outline of buildings for head and branch offices, and control centers.
12. Outline of inspection and maintenance of equipments & depot.
13. Outline of physical stock and distribution base.
14. Phased construction schedule.
15. Construction cost, annual budget estimation and cash flow.
16. Train operation and inspection diagram.
17. Outline of Automatic Fare Collection system and integration with different transport
18. Train operation & Inspection diagram.
For various components mentioned above, the GEC will also prepare prelimanary design and
specifications including TOR (Scope of services) for Detailed design consultant(DDC) tenders (other
than civil elevated corridors and depots) wherever applicable, and other consultancy tenders(like
ISA,FIC,UG-SES etc.)
3.1.4 Optimization of Operations and Maintenance Practices
This will cover, but not limited to the following:
1. Optimization of power supply capacity during peak and off peak hours.

2. Comparison between manual maintenance and investment for man-saving maintenance
3. Conflict among centralized control, independent control and central monitoring and
decentralized autonomous control.
4. Electric corrosion by DC stray currents against Elevated metallic utilities like water pipes
or any equipment with geomagnetism, and also interference by various power supplies
with control signals in particular and harmonics/inductive interference by DC traction units of

5. Prepare Operation & Maintenance plan for GMRC.
3.2 Role and Responsibility of GEC, GMRC and DDC engaged by GMRC/Contractor (Design &
Build Contract) in Civil & System Contracts including Design procedures and criteria
3.2.1 Finalization of outline design criteria, specifications, standards and codes of practice
to be followed for other than elevated corridor and depots
The recommended design criteria, specifications, standards and codes of practice will
be in accordance with the relevant Indian codes of practice/specifications. Where the
standards and specifications, are not available in the Indian Codes of
practice/specifications, International codes of practice/specifications will be adopted with
the approval of GMRC. The recommended criteria, specifications, etc. will become part
of tender design, on acceptance by GMRC.
The recommended specifications, and design criteria will also cover the methods of
construction, design of temporary works, disposal of excavated materials, as also the
external environment under which the work would be required to be executed. The
specifications will also prescribe the tests and acceptance standards for various
components of works.
It is to be ensured that the designs and specifications will meet the project requirement at
reasonable cost, without imposing any limitations in regard to competitive bidding. GMRC
intends to go completely green and would be harnessing solar energy at stations,
depots, viaducts and other buildings. Design approach should take into account of this.
3.2.2 The Detailed Design Consultant (DDC) has been engaged or going to be engaged by
GMRC for Elevated stations & Depot for developing the Civil work tender, architectural and
E&M tenders. Civil work tenders for Elevated sections will be on "Design and Construct" or
"Construct Only".
The Proof checking and approval of Civil structural and Architectural design by the DDC for
elevated Stations Depot will not be in the scope of GEC. However, review & payment
certification of design by DDC contract will be in scope of GEC, with following scope
• While checking/reviewing the designs, the Consultant (GEC) will ensure that designs
and drawings are functionally complementary for the multi-disciplinary works and the
construction activity on such works is not hampered or delayed for want of timely
availability of the designs and drawings.
• The Consultant (GEC) shall normally provide written comments on permanent or
temporary design and drawings within 7 (seven) working days of its receipt from Civil

Contractor or GMRC and in case the proof checking/ design review takes more than
15 days, a penalty of Rs. 10,000 per day will be imposed.
All submission made by Contractor/ DDC/ GEC, under one Contract, done in one
week will be treated as one submission for the purpose of deciding the amount of
penalty. For counting the seven (7) working days, the day on which last submission of
which is made will be the deciding day and review should be completed within 1 week
from the last day.
• After receiving revised design and drawings from Contractor, the Consultant (GEC)
shall recheck the design / drawings within 3 (three) working days. GEC shall send
these proof checked design and Drawing of Construction reference (CRD) stage and
Good for Construction (GFC) stage for its NOC or approval of GMRC within three (3)
days, as the case may be.
• GEC shall ensure and coordinate that any design and drawing submitted by Design
Built Contractor shall be given NOC or approval within 18 days of its submission to
avoid delay in execution of the Project.
• The Consultant (GEC) shall be provided hard copy of design and drawings. The
Consultant (GEC) shall proof check design and drawings by doing independent design
calculations by software other than that used by DDC. The Consultant (GEC) shall
also check Rail Structure Interaction for stress in rail/track in tunnels.
• The Consultant (GEC) shall organize fortnightly engineering review meetings to
expedite proof checking of design / drawings.
Over all technical responsibility of design reviewed by GEC, its implementation, and
execution of design as agreed by GMRC will be responsibility of GEC.
3.2.3 E&M work tenders for Elevated sections & Depot will be on "Design and Construct" or
"Construct Only". The Consultant (GEC) will proof check (excluding DDC-E&M), review
and approve the detailed designs and drawings prepared by DDC-E&M & DDC-Traction
and the contractor, for their fitness for adoption in the project. The payments to DDC will be
certified by the Consultant (GEC).
While checking the designs submitted by DDC-E&M & DDC-Traction and all the
contractors, the Consultant (GEC) will ensure that designs and drawings are functionally
complementary for the multi-disciplinary works and the construction activity on such works
is not hampered or delayed for want of timely availability of the designs and drawings.
The Consultant (GEC) shall provide written comments on design and drawings within
(seven) days of its receipt. After receiving revised design and drawings from DDC-E&M &
DDC-Traction and all the contractors, the Consultant (GEC) shall recheck the design
/drawings within 3 (three) working days and instruct DDC-E&M & DDC-Traction and all the
contractor to comply their observations. In case the proof checking/ design review takes
more than 15 days, a penalty of Rs. 10,000 per day will be imposed. All submission made
by Contractor/ DDC/ GEC, under one Contract, done in one week will be treated as one
submission for the purpose of deciding the amount of penalty. For counting the seven (7)
working days, the day on which last submission of which is made will be the deciding day
and review should be completed within 1 week from the last day.
The Consultant (GEC) shall be provided hard copy of design and drawings. The Consultant
(GEC) shall proof check design (excluding DDC-E&M) and drawings by doing independent

the contractors. The Consultant (GEC) shall also check Rail Structure Interaction for stress
in rail/track and horizontal forces on piers due to LWR.
The Consultant (GEC) shall organize weekly engineering review meetings to expedite
proof checking and/or review & approval of design / drawings submitted by DDC-E&M &
DDC-Traction and all the contractors.
The responsibility for preparation of Bill of Quantities (BOQ) on basis of the approved
drawings will be that of DDC-E&M & Traction, but the BOQs will be checked & verified by
3.2.3.1 Review of Detailed Designs submitted by Contractors/DDC.
The General Consultant shall review and check the design, including drawings and other
related documents submitted by the contractor and DDC-E&M, DDC-Traction & DDC-UG-
SES for conformity with the Specifications and the GMRC's requirements and good
engineering practices. Particular emphasis shall be given to the system planning and
design in aspects of impact on the environment including flood and climate change risk
study and urban activities, as well as effects on the scheduling of works.
The scope of Proof checking for Pre and post E&M tenders are or/ and will be in scope of
DDC Civil engaged by GMRC is mentioned in Clause 3.2.2 & 3.2.3.
Overall technical responsibility of design, its implementation and execution of design as
agreed by GMRC will be responsibility of GEC.
3.2.4 The tentative role of the Detailed Design consultants (DDC), GEC and GMRC are follows
other than as mentioned herein-above,:
(i) The designs and drawings will be developed by DDC, on the criteria, specifications, and
format, as laid down by GEC and approved by GMRC.
(ii) GEC will proof check (excluding DDC E&M) and review & approve the designs and
drawings, for their fitness for adoption in the project. The payments to DDC will be certified

3.2.4.3 The bids for construction will be invited, taking into account the sequence and time
schedule decided in consultation with GMRC
3.3 Preparation of tender packages and tender documents (for applicable Civil and
System scope of work):-
3.3.1 Based on tender designs, and accepted design criteria, specifications, standards

and codes of practice, the general consultant shall prepare a suitable tender document and
estimated cost for the various tender packages.
3.3.2 The tender and contract documents (including Undertaking) for the agreed tender packages
will include followings with concurrence of GMRC or/and as per SBD of Financing Agency/
- Notice Inviting Tenders (NIT)
- Form of Tender (FOT)
- Instructions to Tenderers (ITT)
- General Conditions of Contract (GCC)
- Special Conditions of Contract (SCC)
- Technical Specifications (TS) and General Specification
- Bill of Quantities (BOQ) (wherever required).
- Tender Drawings.
- Form of Contract.
- Pre-qualification documents (PQD)
- Pre-qualification criteria (PQC)
- Tender evaluation criteria.
- Safety, Health, Environment and Quality (SHEQ) documents for construction and Systems
3.3.3 The bids would be invited by GMRC on the basis of the tender documents prepared by the
GEC and accepted by GMRC as per the procurement guidelines. GEC shall ensure the
following as a minimum:
1. Preparation of advertisement or invitations for qualified Bidders to prepare a bid;
• Ensure that the procurement notices are advertised on the website Germany Trade and
Invest (www.gtai.de) [in case of International Competitive Bidding] and in at least one
newspaper of national circulation in the Employer’s Country or in the official gazette, or
on a widely used website or electronic portal with free national and international access
(such as www.dgmarket.com);
• Ensure that the notification is given in sufficient time [45 to 60 days] to enable
prospective Bidders to prepare and submit their Bids;
2. Assist the Employer in preparing and implementing the pre-bid meeting(s);
3. Ensure that ESHS specific issues are emphasized and inform that upon contract award,
the successful Bidder must comply with the agreed Code of Conduct;
4. Assist the Employer in promptly responding in coordination with the Employer to requests
for clarifications from Bidders.
3.3.4 GEC will review and supplement the design criteria/specifications given for various
Systems, Rolling Stock and Depots
3.3.5 The tender design for Rolling stock to be used in Metro Projects will be prepared by GEC,
in a manner that it is consistent with the final design of corridors, track, stations, and the
associated equipment, maintaining safety clearances and ventilation/air conditioning
3.3.6 The tender design for the rolling stock should be fully compatible with Signaling and Train
Control System, traction power system, desired operational system, transport capacity.
The recommended designs should satisfy the criteria of economy in initial cost, operating
as well as maintenance cost as also life cycle cost.

3.3.7 The tender design is required to spell out the basic system design covering grade of
automation, the propulsion, brake and auxiliary power supply system in addition to the main
structure and safety aspects, in sufficient detail, so as to enable the bidders to make
competitive bids.
3.3.8 The tender documents for the Systems, Rolling Stock and Depots shall be prepared, on the
same lines as in para 3.2.4 above, with suitable modifications. The tender documents will
provide for the appraisal standard for evaluation of Technical proposals from the tenders
for supply of Rail cars and other Rolling stock.
3.3.9 Preparation of Tender design and Tender documents for procurement of Systems, Rolling
Stock, Track, Solar Panels procurement & Installation. However, post tender all validation
need to be done by GEC for all those tenders floated by GMRC prior to positioning of GEC.
3.3.10 Invitation of bids for supply of the required Systems, Rolling Stock and Depot equipment,
plant and machinery will be done by GMRC, based on the tender design, specifications and
acceptance criteria as approved by the GMRC on recommendations of the GEC.
3.3.11 The Guideline issued by MoHUA, DIPP and other other Government Authorities (like for Make
in India) for procurement of various systems shall be incorporated.
3.3.12 There will be separate tender for each item broadly, as enclosed in Annexure –
3.4 Selection of contractors/suppliers/ detailed design consultants
The GEC shall assist GMRC in the process of selection of contractors, suppliers,
Consultants, service provider and DDC (wherever applicable or asked by GMRC) . The
scope of services to be rendered by the GEC in this regard shall include, but not
necessarily be limited to:
3.4.1 Pre-qualification of contractors for bidding
GEC shall undertake all following necessary works regarding preparation for
announcement, receiving and evaluation of contractor's, suppliers, service providers,
consultant and DDC (wherever applicable as asked by GMRC) documents and
recommending to GMRC the pre-qualified list for their acceptance.
1. Preparation of advertisement for invitations to prequalify; ensure that the procurement
notices are advertised on the website Germany Trade and Invest (www.gtai.de) [in case of
Inter-national Competitive Bidding] and in at least one newspaper of national circulation in
the Employer’s Country or in the official gazette, or on a widely used website or electronic
portal with free national and international access (such as www.dgmarket.com);
2. Ensure that the notification shall be given with [indicate number of days, usually 30] days’
notice to enable prospective Applicants to obtain Prequalification Documents and prepare
and submit their applications;
3. Assistance to the Employer in promptly responding to requests for clarifications from Appli-
4. Assistance to the Employer in evaluating the applications according to the pre-defined
criteria and proposing a short list of qualified Applicants;
5. Assistance to the Employer in preparing an Evaluation Report in accordance with the
relevant reporting requirements of the lenders. Ensure that the report is transparent and
sufficiently in-formative instead of merely stating “complied”, “yes” or “no” and complies
with lenders format requirements
6. Assist the Employer in informing the unsuccessful Applicants.

3.4.2 Evaluation of the tender proposals and recommendations for the selection of the
contractors, suppliers, service providers, consultant and DDC (wherever applicable
as asked by GMRC) for all contracts
i) Prepare formal evaluation criteria and procedures for evaluation of the proposals,
obtain approval for the same from GMRC and assist GMRC to invite bids from prequalified
ii) Perform independent evaluation of all tender proposals for all contracts received including
ranking of the tenderers.
iii) Prepare a confidential Executive Evaluation Summary Report. This report should
contain a concise set of basis and justification for:
(a) Ranking of the tenders including the recommendations concerning whether negotiations
should be initiated with any of the tenderers.
(b) Prepare Tender Evaluation Report and presentation documents.
(c) To make a presentation pertaining to the recommendations to a committee and/or a
working group that may be set up by GMRC.
3.4.3 Negotiations/ Interactions with Tenderers
1) Prepare information and data to be used in the negotiations/clarifications to be asked by
GMRC from bidders.
2) Assist GMRC in negotiations/clarifications with the selected tenderer(s) and record minutes
of all meetings.
3) Assist GMRC in analysis and evaluation of the results of
negotiations/clarifications in all aspects in order to be able to select the most suitable
3.4.4 GEC will assist GMRC in preparation of Contract agreements and consolidated Document-
Books containing all matters related to the formed contracts.
3.5 Supervision and Monitoring
The GEC shall be responsible for supervising and monitoring as Engineer, for all project
activities as detailed in Clause 1.1. Suitable methods and systems shall be developed by
GEC for ensuring implementation to the desired quality and safety, compliance to time
schedule and compliance to environmental norms. They shall also design suitable
information systems to report to GMRC, with latter’s approval. The items will include site
handing over to Contractor by GEC/GMRC but not be limited to the following..
3.5.1 Site Visits
1) To undertake visits to the construction sites incl. off site facilities such as casting yards,
worker camps, afforestation site, major dump sites etc., monitor the contractor’s activities
for ensuring quality, health and safety and working and labour conditions and conformity

to contract specifications, drawings and time frame. It should be noted that though the
responsibility for correctness, completeness and adequacy of the works constructed by the
contractors and for compliance with statutory obligations remain with the contractors, GEC
will be responsible for any deficiency in the performance of the contractors and appraise
GMRC on timely basis, otherwise appropriate action will be taken by GMRC like
demobilization of expert, penalty on GEC, etc.
2) To monitor Contractor's activities with goal of minimizing adverse effects on public health
and safety, traffic, residential and commercial activity, and the environment.
3) GEC shall keep GMRC informed of their findings and recommendations resulting from
these site visits. The responsibility and urgency of taking corrective measures lies with

3.5.2 Inspection, Testing and Commissioning
1. To have close coordination with the manufacturers who will follow the design,
manufacture, Prototype, FAT, installation, testing (including intergrated testing) and
commissioning of all plant equipment, rolling stock, signaling, automatic fare collection,
power supply and control equipment, L&E, Telecom, E&M, PSD etc.
2. To advise the GMRC on the final acceptance of the system based on the results of the
prototype, serial and/or system test.
3. During the maintenance period after the completion, the GEC shall provide adequate
and relevant staff to undertake necessary follow-up and monitoring and reporting to
GMRC on completeness of all works, proper execution of works of all parties and any
components of works to be checked up and maintained according to construction/supply
contracts. Manage DLP obligation of various contractors.
3.5.3 Information Programmes
1. To develop public information programmes Including the media to be used in close
cooperation with GMRC and inform the general public on:
a) The project in general
b) The design of stations and other passenger facilities, incl. traffic integration facilities,
c) Temporary restrictions to traffic and anticipated nuisance such as noisy activities and
other encroachments on urban life.
2. To assist GMRC in maintaining public approval of the Project and to foster willingness to
put up with temporary inconveniences caused by construction.
3.5.4 Budgeting and Accounting
1) Estimate overall programme cost relating to the master implementation schedule
2) Assess the financial position and project short terms, medium term and long-term financial
3) Certify all required contract payments required to be made by GMRC
and satisfy GMRC about any observations on the same.

4) Further, GEC will assist GMRC in submission of disbursement claims to
Funding Institution.
5) Preparation of various financial report (such as asset capitalization, etc.) after revenue
operation or taking over
3.5.5 In the course of performing the Supervisory functions for the Project, GEC will
1) Monitor all contract works in progress and identify any schedule or coordination conflicts,
recommend measures to eliminate or mitigate problems and implement the recommended
measures with the approval of GMRC.
2) Conduct Performance reviews as desired by GMRC and suggest value engineering for
temporary/permanent designs carried out by DDC/Contractors and certify all work
performed by Contractors. GEC shall forward two copies of all engineering drawings,
calculations and data to GMRC as soon as the documents are available.
3.5.6 Continuous coordination will be required with various local authorities like SMC and govt.
departments for resolution of issues related to the implementation of the project. While the
main coordinating agency will be GMRC, the General Consultant will be associated
wherever required, to provide technical support, by way of data, drawings, sketches, and
technical aspects of the issues.
3.5.7 In addition to above and as per agreed ESMP document with lender, the Consultant (GEC)
will be required to programme and monitor the statutory obligations (including the contract
labour regulations and evaluation act and other acts related with labour welfare activities or
for whatever activities it may pertain) performed by all the Contractors, notwithstanding that
the primary responsibility for observations and performance of statutory obligations/
responsibilities and consequences thereof rests with the Contractor.
3.6 Testing including trial runs and Commissioning of the entire system
i) The completed sections of the Metro Projects can be opened to passenger
movements only after the sections are certified fit for passenger traffic by the
Commissioner of Metro Railway Safety (CMRS) and the sanction is accorded by
the Government under the relevant law for opening the section for passenger
ii) GMRC will submit all necessary documents and have discussions etc. with
CMRS both at the design stage and construction stage to obtain intermediate
approvals. GEC will assist GMRC, in all respects, in obtaining these approvals.
iii) Prior to the invitation to the CMRS for inspection of the line, the sections
intended to be opened for traffic will be required to be subjected to the requisite
trial tests. GEC will plan, arrange, supervise and certify all these trial tests, well in
advance of the trial runs .
iv) GEC will enable GMRC, giving all necessary assistance, to conduct the tests. The
shortfalls noticed during the tests will be arranged to be rectified by GEC through
the contractors. In order that the deficiencies are limited to the minimum, the
design and construction of the Metro Rail Projects should take due consideration of

the requirements under the relevant laws for opening of a Metro Rail system for the
Public Carriage of Passengers and Government Guidelines.
v) All information as required to be furnished to the CMRS & RDSO in connection
with the section to be opened to traffic shall be tabulated and furnished by GEC to
GMRC, for seeking the certification of CMRS & RDSO for opening of the
section(s) to traffic.
3.7 Preparation of Manuals for construction, administration, operation and maintenance
of Metro Projects
GMRC set up for construction, management, operation and maintenance of
the Metro Rail would require to prescribe Instruction Manuals for all its facets of
functioning. GEC would be required to develop draft manuals for being approved and
issued by GMRC, for regulating the functioning of the Metro.
The Manuals to be developed are (indicative):
i) Track Manual
ii) Civil Works Manual
iii) Signaling Manual
iv) Telecommunication Manual
v) Commercial Manual
vi) Operating Manual
vii) Accident and Safety Manual
viii) Rolling Stock Manual
ix) Electrical Traction manual
x) Safety, Health, Environmental Manual
xi) Quality Assurance Manual
xii) Manual for lifts and escalators.
xiii) Climate Control
xvii) Depot operation manual
These Manuals are intended to form the basis of the training of Operations and
Maintenance personnel for the Metro Rail Project. The Consultant (GEC) would also assist
in preparation of operation planning of corridors including degraded mode operations and
operation plan of depots.
3.8 Training of Personnel of GMRC.
GEC will plan and design the training modules for personnel of GMRC in operation,
maintenance and repairs of various equipments and plants supplied by various suppliers,
at OEM's premises. GEC will also plan and design training modules for these personnel
and their trainers in operation, maintenance and repairs of the system as a whole and will
provide training to them in these areas. The training will have to be arranged before
commencement of the trials and will continue upto commissioning of the system The
numbers of trainees, content of trainings, duration, location, complementarity with
trainings to be provided by the suppliers/ GEC shall be mutually agreed between GMRC
3.9 Software Application Requirement

Gujarat MetroRail Corporation Ltd. envisages e-project management where the need for the
documentation in hard copies has to be bare minimum. In pursuance of this goal a separate
digital platform including BIM (Building Information Modeling) is being created by GMRC/
provided in respective Contract by the Contractors and GEC shall use this digital platform
for delivering the project. The GEC should adapt to working on this digital platform.
During the process of development of Integrated Digital Platform, the GEC shall participate in
the same as directed by GMRC. Participation of GEC in the process will ensure GEC gaining
the acquaintance of the same upfront.
The success of the digital platform solely depends on the understanding and efficient
application of the same by the GEC. The GEC should have adequate expertise to coordinate
with the contractor and understand their digital outputs and give the relevant feedback to
GMRC and its Owner’s Support Office (OSO).
The GEC should verify the inputs given by the contractor through the virtual Building
Information Model and attempt to regulate and optimize contractor’s working through the
same. It is the responsibility of the GEC to analyze the construction planning and monitor
the actual construction progress to ensure that the digital platform is being used
efficiently. Also, the GEC should have in its team people having the relevant knowledge of
various technologies related to the digital platform so that the benefits of the platform are
being utilized effectively and to suggest any improvements.
It is to note that the contractor will be BIM compliant and would be supplying the
coordinated BIM model in a mutually agreed form; as an additional deliverable which will have
to be studied / analyzed by the GEC. Also, time and cost information of the planned works
and the actual construction progress will have to analyzed and accumulated by the GEC
and sent to GMRC/OSO using the digital platform.
The GEC has the responsibility of auditing and approval of the Building Information Model
provided by the contractor
The project planning information uploaded by the contractor on the Integrated Digital
Platform shall be aggregated and analyzed by GEC and the same shall be embedded in the
project management platform for further use of GMRC or the Owner Support Office.
It is imperative for the GEC to have a members in the team for analyzing the time and cost
information being provided by the contractor in its desired digital format. It should have the
technical knowhow of handling the planning information and ensuring it is suitable for
conversion to 4D and 5D in the digital platform.
It is the responsibility of the GEC to study the BIM generated coordination reports by the
contractor and approve the drawings after the multidisciplinary clashes are resolved by the
The GEC should verify the quantities and cost of the modeled components provided by the
contractor through the virtual model. It should inform GMRC / OSO about any discrepancies
in quantities generated by the BIM model and the actual quantity in the bills.
The engineering team of GEC should have the relevant software and IT knowledge to be
able to coordinate with the IT team of the Integrated Digital Implementation Agency and that
of the contractors. They should study and accumulate the relevant project management
information given by the contractor which should be further analyzed and generate reports
through the digital platform.
The BIM expert / manager of the GEC should be conversant with the following
international standards and methodologies for digital delivery of the projects.

a) PAS 1192-2 2013- “Specification for information management for the capital/delivery
phase of construction projects using building information modeling”

solution that will support the Digital Project Office may include Oracle, SAP,
Microsoft Dynamics, CMiC, RiB AG, AutoDesk, Bentley, Trimble, Synchro etc.
The objective of the Integrated Digital project is to develop a working environment that enables
higher efficiency and effectiveness, not only in internal functions, but also across the entire
ecosystem of the Employer including Contractors. It will include the following class of software

contractor, analyze them, give relevant suggestions and then transmit the information to the

digitized format. Appropriate triggers shall generate dashboards and management reports every time
an event causes a substantial shift in the project risk or a deviation in processes is developed.
The envisaged system would expedite decision-making, ensure better planning and coordination
between different functions, better data management, effective reporting, knowledge management
etc. Program management shall provide senior management with critical information related to various
contracts, activities and funds in the form of management dashboards with inbuilt triggers to ensure
timely decision-making.
The GEC should therefore be an important agency to enforce that the above system is being
effectively used by the contractor and other stakeholders associated with the project. It should also
study the effectiveness of the solution in a periodic manner and suggest ways and means to
enhance the present process. It is instrumental for the GEC to understand the various aspects of the
digital platform and have the technical expertise to infer and extract information from the BIM and
ERP digital platform.
The GEC should have the technical expertise to inspect the digital deliverables provided by the
contractor on a regular basis and give feedback to GMRC and OSO on the same. It should also be
able to instruct and take relevant decisions based on these digital inputs provided by the contractor.
Some of the digital inputs to be provided by the contractor to GEC would be:

Upload / definition of Project Plans (or ensure that the Contractors do the same) as per the
template and using software defined by the Employer;

Maintenance and updating of uploaded Project Plans in software used by the Employer;
Upload of drawings / designs created by the Contractor as per the classification and on the
software platform defined by the Employer;
Asset details / Non graphical information need to be updated in the system in the format
prescribed by the Employer;
Employer is in the process of implementing an Enterprise wide cloud based IT system
project titled “Integrated Project Management Platform”. The objective of the IT project is to
develop a working environment that enables higher efficiency and effectiveness, not only

The effective use of such IT platform requires availability of front end of web-based
system at all requisite locations i.e. with Employers’ various offices, Engineer’s offices,
Contractors’ end, major sub-contractors’ end, design consultant ends etc. with certain
definite users’ rights. Data uploading by various authorized and trained users is key to
effective implementation of the IT system.
3.4 Further Responsibilities of General Consultant
The following will be further responsibilities of the General Consultant.
4.1 GEC shall at all times exercise all reasonable skill, care and diligence, in the discharge of
his duties. GEC shall also be responsible for the accuracy and completeness of his
works and commissioning of Metro Project.
4.2 GEC will be responsible to ensure that the goods and services used on the Project
are appropriate, suitable and are reasonably costed. The designs and specification
adopted on the project should be such that they, in no way, limit the requirements
regarding competitive bidding. It is also essential that the GEC is and remains
demonstrably impartial in the performance of its duties.
4.3 In performance of all services, the GEC shall function in close co-ordination with

4.4 The functions/activities of GEC, including quality assurance and quality control and
safety at work site will be monitored by GMRC through the advices rendered by GEC.
Required assistance for the same will be provided by GEC. However, GEC shall have
overall responsibility in Quality Assurance, quality control and safety matters.
4.5 GEC as Engineer will advise GMRC for engagement of all contractors, suppliers,
manufacturers and other consultants and then be responsible for coordinating the effort
and activities of all such agencies.
4.6 GEC shall maintain full records relating to all aspects of the work covered by the
project. Such records shall be made available at all times to the GMRC for inspection.
Mere acceptance by GMRC shall not relieve GEC of their professional obligations to
correct at their own cost any errors in their work.
4.7 GEC will assist GMRC for obtaining necessary environmental approvals as required from
GOI/GOG, statutory bodies, Government authorities and other relevant authorities .
GEC shall monitor the progress in these matters and report to GMRC.
4.8 The tracings and other originals of all plans, drawings, engineering specifications and
similar materials, and any data and all records or documents pertaining to the work,
including soft copies thereof, shall be treated as confidential by GEC and shall not,
without written consent of GMRC, be made available to any person and shall be
delivered to GMRC upon completion of the work and shall become the property of
GMRC. However, GEC may retain, for his own record, copies of the said plans and

Dispute Board), System integration and Safety, Quality & Environment Management as

4.12 GEC shall prepare SOD of Civil & Track works and System and assist GMRC for its
submissions to concerned local authorities for its approval.
4.13 GEC will refrain from making un wanted advice or unjustified penalties without
concurrence of GMRC on the Contractor/ Manufactures/ Suppliers, which may be
brought by Contractor in arbitration or dispute board which shall impact on GMRC at later
stage. All penalties, liquidated damages, recoveries under contract will be imposed only
on approval of GMRC / HOD incharge of contract administration.
4.14 The Scope of work shall also include Independent Quality, Safety Monitoring Review of
Interfacing & Project implementation plans and reporting of the GMRC as stipulated
4.14.1 Preparation of Quality and Safety Monitoring Plan (QSMP).
A Plan shall be prepared for sample inspections, audits and verifications of the
adherence to the Quality Assurance Plan and Safety Manual as adopted by the
