5.1 The fees paid for on line tender document will not be refunded under any circumstances

4. INSTRUCTIONS TO THE TENDERERS

A.1 Online offer should be submitted complete in all respects with all schedules, documents

etc. of the tender document. Physical offers shall be received in GEDA office up to the

date and time as mentioned in the tender form.

A.2 GEDA reserves the rights to reject any or all the Offers or accept any Offer in total or in

part or may divide the work among various Tenderers, without assigning any reason

A.3 Tenders should be accompanied with requisite Earnest Money Deposit (EMD). Any

Tender not accompanied by adequate Earnest Money Deposit (EMD) shall be

disqualified and no further consideration shall be given to such Tender. Tenderers may

note that no relaxation in this regard shall be made. Tenderers having valid certificates

of “Udyam Registration” for the tendered item AND are having valid registration with

CSPO/NSIC/ of that particular product will be exempted from depositing the EMD.

NSIC/ Entrepreneur Memorandum Part 2/ Udhyog Aadhar Memorandum registration

for other than tendered item will not be taken in to consideration and in such case;

Tenderers will be required to submit requisite EMD with their tender.

A.4 Earnest Money Deposit (EMD) of unsuccessful Tenderers shall be returned back upon

finalization of tenders. Earnest Money Deposit of successful Tenderer will be retained

as Security Deposit.

A.5 If any information provided by the Tenderers is found to be concealed, suppressed or

incorrect at later date or during finalization of the tender or the Tenderers withdraws

their offer during finalization of the tender, the tender shall be liable to be rejected and

company shall be debarred from executing any business with GEDA for the period of

years and the EMD of such Tenderers shall be forfeited.

A.6 Validity of the offer should be one year from the date of submission of tender. Without

this validity, the Offers shall be rejected. The validity may be further extended for One

year on mutual agreement between GEDA and the tenderer agreeing to the same

terms & conditions and price quoted.

A.7 Before submission of the Offer, Tenderers are required to make themselves fully

conversant with the scope of the work, technical requirements and specifications, etc.,

so that no ambiguity arises on a later date in this respect.

A.8 All information in the Offer shall be in English. Information in any other language should

be accompanied by its translation in English. Failure to comply with this may disqualify

A.9 If the Tenderers finds discrepancies in, or omissions from the specifications or other

documents or if he is in doubt as to their meaning, he should at once intimate GEDA and

obtain clarification in writing within 10 days from the date of announcement of tender,

prior to submitting his Offer. Any representation/ requests after 10 days from the date

of announcement of tender shall not be entertained.

A.10 Any approach from the Tenderers, his representative or his agent to influence the

decision on the Offer, officially or otherwise, shall render the Offer liable to be

summarily rejected.

A.11 The sealed Physical tender marked as “Tender for Outsourcing of Energy Conservation

A.17 Only notarized copies of documents will be submitted in support of claims made by

the party and party shall bring the original copies of documents for verification by

GEDA officials. Details of similar work done ONLY in last three years along with copies

of the work orders and certificates from the customers to be attached with the tender.

A.18 If work is not found during demonstration period, GEDA may take the mobile Van back

in their possession without giving any reason and may assign the work to other qualified

bidder party, if required.

A.19 Tenderer whose tender is rejected due to any reason for this assignment cannot

participate in this tender.

A.20 Tender Estimated Cost is Rs. 20 Lakhs.

6. UNDER TAKING OF THE TENDERER

and terms and conditions of the contract, special conditions, Schedule of Rates and other

documents and Rules referred in the tender document for conducting Demonstration in the

8. SCOPE OF WORK

The scope of work for “E-Tender for Outsourcing of Energy Conservation Mobile Van – “Urja

Mitra-Home” for carrying out Demonstrations in the state of Gujarat”.

GEDA has Energy Conservation Mobile Van – “Urja Mitra-Home”, which is equipped with energy

conservation devices & equipment and moving across the state of Gujarat for educating different

segments of people about Energy Conservation, Energy Efficiency and its importance.

The Mobile Van -Urja-Mitra-Home” is equipped with lighting kit and other Home appliances viz.

Refrigerator, Air Conditioner, Television and many other important messages. The Mobile Van

“Urja Mitra –Home” is targeted for arranging demonstrations in Degree collages, Exhibitions,

academic institute, social gathering, women clubs and many such target groups.

The Scope of work is as follows:

 Tenderer has to keep the VAN in their possession, operate, and maintain the same during

the contract period. Fuel Charges, Regular Cleaning, routine maintenance, regular services

of the Van and working devices installed in the VAN will be responsibility of the selected

organization. The Tenderer has to quote for total expenses for operating and maintaining

mobile Van. No extra charges will be paid for any routine maintenance of the Van.

 Tenderer has to get complete insurance of the van against all possible loss including staff

recruited and have to pay regular premium before due date of the expiring of the insurance.

If fail, Tenderer has to bear complete loss for the same.

 Tenderer has to identify suitable beneficiaries for demonstrations viz. Academic institutes,

industries, exhibitions and social gathering for demonstration of “Urja Mitra-Home”.

 The selected Tenderer shall be responsible for appointing dedicated personnel, preferably

a degree or diploma holder in engineering, who are well-versed with the operations of the

Mobile Demonstration Van. The recruited staff must be capable of conducting interactive

demonstrations lasting 3 to 4 hours in English, Gujarati, and Hindi. These demonstrations

should cover the following key topics:

 Introduction to the Climate Change Department, Gujarat Energy Development

Agency (GEDA), and the Bureau of Energy Efficiency (BEE).

 Awareness and promotion of Energy Conservation practices.

 Overview and functionality of Energy Efficient appliances and technologies installed

in the Mobile Van.

 Detailed explanation of the seven thematic areas under Mission LiFE (Lifestyle for

 Role of Renewable Energy in mitigating climate change.

 Government initiatives and schemes related to Energy Efficiency and Renewable

Energy, including the PM-KUSUM Scheme, Star Labelling Programme, and Solar

Rooftop initiatives.

 Importance of behavioral change and community participation in achieving

sustainable development goals.

 The selected organization has to recruit dedicated Driver and helper for operating the Van.

 Maximum 2 demonstrations will be allowed in one day.

 A total of 200 demonstrations must be conducted over the duration of the project and to

be completed by February

 An additional 50 (fifty) demonstrations may be allotted to the selected bidder, only after

satisfactory review of the initially completed demonstrations. These additional

demonstrations shall be carried out at the same price and under the same terms and

 Demonstrations should be organized evenly throughout all districts of the state. The

schedule of demonstrations must be intimated to GEDA about a week in advance.

 Selected organization has to pay TA/DA and allowances to their staff during demonstration

to be taken place all over the Gujarat. GEDA will not arrange or pay any extra cost for the

same. The Tenderer are instructed not to ask for arranging any facility from the host

organization during visit.

 Demonstration Schedule with list of sites should prepared and submitted to GEDA during

beginning of each month programme.

 Duration for submission of work report shall be “bi monthly”. The report should include

color print of the 3-4 photographs of each demonstration in hard copy.

 Organization shall maintain a logbook of the Demon VAN and Collect Certificates from host

organization for satisfactory demonstration of the Van. Any claim without certificate will

not be accepted.

 The organization who is allotted work order of Outsourcing of Energy Conservation Mobile

Van – “Urja Mitra-Industries” for carrying out Demonstrations in the state of Gujarat at

the time of this tender cannot apply for this tender. If they apply their application will not

be considered and it will be rejected.

 Tenderers should have experience of working with industries and industrial association on

capacity building and training program on Energy Conservation and Renewable Energy.

 Tenderers should have experience to deal with public for creating awareness on Energy

Conservation or similar projects.

 Tenderers should have dedicated staff or can hire the staff require for operating and

maintaining mobile Van can only apply.

 Tenderers should have enough space with shed to keep the mobile Van safely. If the

tenderer doesn’t have proper shed, then they need to give consent that if they get the work

order for the same then they need to construct it and send photos to GEDA in 2 months of

 Tenderers should have Average Annual financial turnover during the last 3years, ending

31st March of the previous financial year, should be at least Rs. 40 Lakhs. (i.e. 2023-24,

“Similar work” refers to engagement with industries, academic institutions, and industrial

associations for conducting capacity-building and training programs in the areas of Energy

conducted a minimum of 100 such demonstrations/programs.

 Tenderer should submit the proof of experience with Work orders and Work Completion

certificate of respective work order.

10. GUIDELINES & SPECIFIC TERMS & CONDITION

1. The tenderer shall be responsible for all legal obligations such as taxation and registration

under the relevant Acts, and for all legal obligations of different kinds.

2. Conditional tenders and canvassing whether directly or indirectly shall be liable to

Energy Development Agency payable at Gandhinagar. The Security Deposit can also be

submitted in the form of Bank Guarantee issued by Nationalized Bank, ICICI Bank, IDBI

Bank, AXIS Bank, HDFC Bank, Kotak Mahindra Bank, Yes Bank, IndusInd Bank, Saurastra

the form of Demand Draft will be retained till completion of the work. No interest will be

paid on the Security Deposit. The Earnest Money Deposit of the successful Tenderers will

be retained as security deposit and will form part of the total security deposit required to

be deposited by the successful Tenderers.

Any question, dispute or difference whatsoever arises between GEDA and Bidder, in

connection with this agreement except as to matters, the decision for which has been

specifically provided, either party may forthwith give to the other notice in writing of

existence of such questions, dispute, difference and the same shall be referred to the sole

arbitration of a person nominated by Director GEDA. This reference shall be governed by

Indian Arbitration Act prevailing at the time of dispute and the rules made there under. The

award in such arbitration shall be final and binding on all the parties. Work under the

agreement shall continue during the arbitration proceedings unless the GEDA or the

Arbitrator directs otherwise. Jurisdiction of Court will be Gandhinagar, Gujarat in case of

any legal dispute.

11. GENERAL CONDITIONS OF CONTRACT

(1) DEFINITION OF TERMS:

In writing these General Conditions of Contract, the specification and bill of quantity, the

following works shall have the meanings hereby indicated unless there is something in the

subject matter or content inconsistent with the subject.

GEDA shall mean the Gujarat Energy Development Agency represented through the

The "Engineer in charge" shall mean the Engineer or Engineers authorized by Director, for

the purpose of this contract. GEDA Engineer shall mean any Engineering person or personnel

authorized by GEDA.

"The Contractor" shall mean the successful Tenderer awarded with the contract or their

successors and permitted assigns. Contract Price shall mean the sum named in or calculated

in accordance with the provisions of the contract as the contract price. General Conditions

shall mean these General conditions of Contract.

"Month" shall mean calendar month. "Writing” shall include any manuscript, typewritten;

printed or other statement reproduced in any visible form whether under seal or under hand.

The term "Contract" shall mean and include the general conditions, specifications, schedules,

drawings, and supply orders, issued against the contract schedule of price or their final

general conditions, any special conditions applying to the particular contract specification

and drawings. Terms and conditions not herein defined shall have the same meaning as are

assigned to them in the Indian Contract Act.

The term “Tenderer” shall mean the organization/Institute who is applying for the tender.

(2) Tenderers whose Demand Draft of EMD and Tender fees not received physically on the day

of opening technical bid shall be summarily rejected.

(3) There shall be no liability on GEDA to pay any interest on the E.M.D.

(4) Submission of Bid Document does not indicate that tenderer is qualified for awarding the

(9) OPENING OF BIDS:

The envelope containing Bids would be opened on the specified date & time at GEDA Office,

Gandhinagar by a committee constituted by Director, GEDA, in the presence of intending

Tenderers. On the date specified in the Tender notice, following procedure will be adopted

for opening of the tenders: -

(9.1) TECHNICAL BIDS:

Technical Bid of all Tenderers will be opened to verify & scrutinize its contents as per

requirements. If the various documents contained in this bid do not meet the requirements

of the GEDA, the Bid opening authority will record a note accordingly, the said Tenderer’s

Financial Bid may not be considered for further action, and the same may be recorded.

(9.2) FINANCIAL BIDS:

Financial Bid of only those Tenderers who has fulfilled the requirements stipulated in

technical Bid above shall be opened by the bid opening authority. Detailed scrutiny of the

components of the technical Bid m a y take some time as it involves evaluating financial

capabilities, technical capabilities, references, etc. and soundness of the technical proposal

and also asking for missing information, clarification or compliance with bid documents. It

may not be possible to open the financial bid on the same day of opening of Technical Bid.

The financial bid shall be read out to all the Tenderers or their representatives who will be

present at the time of opening thereof.

(10) In case any corrections/alteration done in tender, the Tenderers should sign the same

otherwise tenders may not be considered.

(11) Offers through Telegraph/Fax/mail etc. received in open will not be considered.

(12) GEDA reserves full rights to accept or reject all or any bid partially or fully without

assigning any reason thereto. All bids, in which any of the prescribed conditions is not

fulfilled or the bids puts forth any condition including that of conditional rebate, shall be

liable to be rejected.

Such requirement test and/or analysis as may be specified by GEDA in order of

precedence given above.

(13) INSPECTION:

GEDA officers will inspect the works and facility before awarding the work. In case, the facility

and staff are not found according to requirement of the tender then GEDA will reject the offer.

(14) GEDA shall have the right to alter, amend, omit, or otherwise vary the quantum of work,

by notice in writing to the Tenderer. The Tenderer shall carry out such variation in

accordance with the rates specified in the contract so far as they may apply and where such

rates are not available; those will be mutually agreed between GEDA and the Tenderer.

(15) TENDERERS DEFAULT LIABILITY:

GEDA may upon written notice of default to the Tenderer, terminate the contract in

circumstances detailed hereunder: -

• If the Tenderer fails to complete the Nos. of demonstration within the time specified

in the contract/ order or within the period for which extension has been granted by

GEDA to the Tenderer.

• If the Tenderer fails to comply with any of the provisions of this contract.

• In the event GEDA does not terminate the contract, the Tenderer shall continue the

performance of the contract/ order in which case he shall be liable to GEDA for

penalty for delay as set out in this contract until the work is completed.

(16) In the event of any of the part or devices or the body part of Mobile Van-Urja-Mitra-

Industries is damaged by the tenderer during operation or otherwise not in conformity with

the requirements of this tender, GEDA shall either reject the order or advise the Tenderer

to rectify the same. The Tenderer on receipt of such notices should rectify or replace the

damaged part free of cost within 10 days. If the Tenderer fails to do so,

• GEDA will invoke bank guarantee submitted as Security Deposit if immediate action

for correction is not taken by tenderer.

• GEDA will debarred/black list Tenderer for 03 years and will inform all the concern

departments about the services of the tenderer.

• Damage of the Van will not be accepted under any conditions and shall be rejected

outright without compensation. The Tenderer shall be liable for any loss/damage of

(17) If the Nos of demonstration is delayed due to any reason beyond the control of the tenderer,

the Tenderer shall without delay inform GEDA in writing of his claim for an extension of time.

GEDA on receipt of such information may agree to extend the contract date as may be

reasonable but without prejudice to other terms and conditions of the contract.

(18) In case of accident of vehicle it is full responsibility of tenderer to repair and restore the

operation/fully function of mobile van of their cost.

(19) FORCE MAJEURE:

Force majeure is herein defined as any cause, which is beyond the control of the Successful

bidder or the GEDA as the case may be which they could not foresee or with a reasonable

amount of diligence could not have foreseen and which substantially affect the performance of

the contract, such as:

(19.1) Natural phenomena such as flood, draughts Cyclone, earthquake and epidemics,

declaration of war.

(19.2) Acts of any government, including but not limited to war, declared or undeclared

priorities, quantities, embargoes, providing either party shall within fifteen (15) days, from the

occurrence of such a cause notify the other in writing of such cases.

(19.3) The Successful bidder will advise, in the event of his having resort to this clause by a

registered letter duly certified by the statutory authorities, the beginning and end of the cause

of delay, within fifteen days of the occurrence and cessation of such Force Majeure condition.

In the event of delay lasting over two months, if arising out of Force Majeure, the contract may

be terminated at the discretion of the GEDA.

(19.4) For delay arising out of Force Majeure, the Successful bidder will not claim extension in

completion date for a period exceeding the period of delay attributable to the causes of force

Majeure and neither company nor he Successful bidder shall be liable to pay extra costs (like

increase in rates, remobilization, advance, idle charges for labour and machinery etc.) provided

it is mutually established that the Force Majeure conditions did actually exist.

(19.5) If any of the Force Majeure conditions exists in the place of operation of the Successful

bidder even at the time of submission of bid, he will categorically specify them in his bid and

state whether they have been taken into consideration in their quotations.

(19.6) The Successful bidder or the GEDA shall not be liable for delays in performing his

obligations resulting from any force majeure cause as referred to and/ or defined above. The

date of completion will, subject to hereinafter provided, be extended by a reasonable time.

If the Tenderer fails to complete the order within the phased schedule specified in the

work order or any extension granted there to, GEDA will recover from the tenderer as

penalty a sum of one percent (1%) of the contract price of the uncompleted portion of the

work each 1 week of delay. The total penalty shall not exceed 10 % (Ten percent) of the

contract price of the uncompleted portion of work.

(21) TERMS OF PAYMENT:

The following terms of payment shall apply for the tender: -

a) Payment will be made based on the exact count of demonstrations complete, following

GEDA's specified Terms. This means payment will adjust accordingly depending on

how many demonstrations are delivered.

b) In case the demonstration is found to be unsatisfactory—whether due to inadequate

planning, poor content delivery, or overall execution—GEDA reserves the right to

impose a penalty of up to 30% value of the demonstration. Additionally, GEDA may

cancel the work order awarded to the tenderer without any obligation to provide

further justification.

c) Security deposit will be released against completion of the project and handing over

the van in same condition as handed over by GEDA.

(22) Any dispute arising out of the contract shall be subject to the jurisdiction of court at

(23) The Tenderer shall treat the details of the specifications and other documents as private and

confidential and they shall not be reproduced without written authorization from GEDA.

(24) The Successful Tenderer shall have to accept and acknowledge the work order with GEDA

within 15 days of the receipt of the work order.

(25) If the Bidder fails to execute the work, GEDA reserves the right to cancel the order and forfeit

the Security Deposit.
