GENERAL CONDITIONS OF CONTRACT

1. The contractor will have to give the following undertaking.

A. Should this tender be accepted I/we hereby agree to abide by and fulfill all terms and

provisions of the Tender and contract of works as applicable and default there of to forfeit

and pay to the PGVCL the sum of money due.

B. The full value of earnest money deposit paid herewith should be absolute forfeited to the

PGVCL, should I/We not deposit the full amount of specific security deposit, within specified

C. The contractor shall co-operate with the PGVCL in recording measurement etc. a

expeditiously as possible and he shall fulfill all the requirements which are necessary to

finalize his outstanding bills within one month from the date of completion of work, failing

which the PGVCL shall finalize the account on the bas of its records and pay-him-such

amount as found due to him together will the amount of Security Deposit, if any, remaining

payable to him after deducting there from the amount due by him to the PGVCL for shortage

of materials rectification. Incomplete work, etc and the PGVCL shall not entertain any

D. The competent authority can delete any item in schedule ‘B’ in the tender if he feels that the

rate quoted by the contractor for that item is abnormally high when compared to the estimated

H. The contractor will have to take insurance of suitable amount for his labours.

I. The contractor will have to give the Bank Guarantee, against solvency which will be 20% of

contract value No. materials will be issued if contractor fails to furnish the Bank guarantee

of appropriate value.

J. Should this tender be accepted, I/We hereby agree to abide by and fulfill all the terms and

condition of "Tender contract for “work" as applicable and in default thereof to forfeit and

pay to the Company the sum of money due.

K. The full value of the "Earnest Money Deposit" paid herewith should be absolutely forfeited

to Company should I/We do not deposit the full amount of specified Security Deposit.

L. Every contactor shall except the registered contractor on the approved list of the Company

unless exempted by the Superintending Engineer/ Account Officer jointly of the concerned

circle, produce along with his tender a solvency certificate from Mamlatdar of the Taluka

within which he resides or Banker's certificate of his financial stability. If he fails to produce

such certificate such tenders are liable to be rejected.

M. Contract booklet of Paschim Gujarat Vij Company Limited for General terms and conditions

of this work is applicable to the contractor quoting for this tender is deemed to have gone

through this book of contract booklet and same will be treated as binding of him.

N. The contractor should be responsible for any damage/accident to their staff/personal and

company's materials.

O. Earnest Money Deposit.

Bidders are requested to pay an earnest money deposit (1 % of estimated cost) by Cash/ Demand

Draft only in the favour of PGVCL only of any Scheduled Bank at _______or the amount as

specified in the tender notice. Payment of EMD in any other form shall not be accepted.

The EMD shall be submitted along with submission of Tender only. Tenders not accompanied by

EMD shall be rejected as non- responsive. If during the tender validity period, the tenderer withdraws

his tender, the EMD shall be forfeited and the tenderer may be disqualified from tendering for further

works. The EMD will be returned promptly to the unsuccessful tenderer beyond L-3. The EMD will

be returned to the successful tenderer and remaining unsuccessful tenderer after successful tenderer

furnishes the Security Deposit for performance and duly enters in to the contract. If he fails to furnish

the S.D. or to execute the contract for the work offered to him, his EMD shall be forfeited and the

tenderer may be disqualified from tendering for further work.

P. Validity of Tenders

All tenders shall be open for acceptance by the PGVCL period of 90 days from the date of

opening the tenders and may be further extended to 30 days if required and the tenderers shall

be bound to execute the work on acceptance of his tender within this period.

Q. Acceptance of Tenders.

(a) The PGVCL does not bind it self to accept the lowest or any tender neither will any reason

be assigned for the rejection it is also not binding on the PGVCL to disclose any analysis

reports on the tender.

(b) Accepting authority reserves the right of rejection of any or all tenders with out assigning

any reason thereof.

(c) Any tender which does not comply with the above requirements is liable to be rejected.

R. Security Deposit

The lowest tenderer whose tender is accepted shall have to pay 5% security deposit of the tender cost

on receipt of LOI & payable in cash/DD before issuing of order.

The security deposit will be refunded only after the completion of guarantee period of 1 year of work

completed or finalization of final bill whichever is later.

If Security Deposit is not paid within 7 days of issue of LOI, EMD paid will be forfeited and PGVCL

will not deal with party for the period of two years & tender will be cancel without any notice.

S. Jurisdiction

Any disputes difference arising under out of or in connection with the contract shall be

subject to the exclusive jurisdiction of BOTAD.

T. If any accident will occur while erection work than contractor have to pay compensation to

concern labour. No compensation shall be abided to the company for any kind of damage to

man power or materials

U. The place should be equipped with CCTV and security and should under

the BOtad division office..

V. if Any Agency is accused in criminal case or is having pending Civil

suite, against him/her firm by PGVCL or against PGVCL filed by him/her

firm, is not eligible to take part in this tender:” ( All agencies taking part

in this tender has to submit notarized self declaration for above matter

4.23 Conflict of Interest among Bidders/ Agents.-

A bidder shall not have conflict of interest with other bidders for particular quoted item. Such conflict of

interest can lead to anti-competitive practices to· the detriment of Procuring Entity's interests. The bidder

found to have a conflict of interest shall be Disqualified. A bidder may be considered to have a conflict-of-

interest Wi.th one or more· Parties in this bidding process for particular quoted Item, if

A ) they have proprietor/ partner(s)/ Director(s) in common; or

B ) they receive or have received any direct or indirect subsidy/ financial 'stake from Any of them: or

C) They have the same legal representative/agent for purposes of this bid; or

D) They have relationship with each other, directly or through common third parties, that puts them in a

position to have access to information about or influence on the bid of another bidder: or

E) bidder participates in more than one hid in this bidding process, Participation by a bidder in more than

one Bid Will result in the disqualification of all bids in which the parties are involved. However, this

does not limit the inclusion of the components/ sub-assembly/ assemblies from one bidding manufacturer

in more than one bid.

F). in cases of agents quoting in offshore. procurements, on behalf of their principal manufacturers, one

agent cannot represent two manufacturers or quote on their behalf in: a particular tender enquiry. One

manufacturer can also authorize only on. e agent/ ·dealer. There can be only one bid from the following:

1. The principal manufacturer directly or through one Indian agent on his behalf; And

2. Indian/ foreign agent on behalf of only one principal.

G) A Bidder or any ·of its affiliates participated as a consultant in the preparation of the design or technical

specifications of the contract that Is the subject of the Bid:

H) in case of a holding company having more than one independently manufacturing units, or more than one

unit having common business ownership/ management, only one unit should quote. Similar restrictions

would apply to closely related sister companies. Bidders must proactively declare such sister/ common

business/ management units in same/ sister line of business.

I) Bidder shall not act in contravention/ violation to the provisions of competition act, as amended from

time to time. Every bidder should, at the time of submission of bid, give a declaration, that bidder shall
