PROJECT BACKGROUND OF RECTIFICATION TENDER

This Tender Document has been prepared with reference to the original Tender No. GERMI/SOLAR-FSPV/GERMI-

GSEG/01 dated 21st February, 2024, issued by the Gujarat Energy Research and Management Institute (GERMI) for Design,

Engineering, Supply & Procurement, Erection, Testing and Commissioning of the 50 kW (AC) Grid Connected Floating

This Tender is issued to engage a competent Contractor to execute the balance/rectification Scope of Work described in

Section 5 below, in a time-bound manner.

Except where expressly modified herein, all Definitions, Interpretations, Instructions to Bidders, General Terms and

1.1 About the Company

1.1.1 About Gujarat Energy Research & Management Institute (GERMI)

Gujarat Energy Research & Management Institute (GERMI) is a centre of excellence in industry learning, set up to develop

human resource assets to cater to the petroleum and allied energy sectors, improve the knowledge base of policy makers and

technologists and provide an edge to leaders to compete in the global arena.

GERMI has executed various megawatt and kilowatt-scale ground-mounted, rooftop and floating solar PV power plants in

the capacity of advisor, implementing agency, project management consultant (PMC) and third-party engineer/inspector

(TPE/TPI). GERMI has conducted various training programmes for solar industry professionals throughout the country and

has gained wide knowledge in the sector.

1.1.2 About Gujarat State Energy Generation Ltd (GSEGL)

Gujarat State Energy Generation Limited (GSEGL), Hazira, Surat, is the owner of the premises and of the Raw Water cum

Fire Water Reservoir on which the Floating Solar Photovoltaic Project has been installed. This Tender is issued by GERMI

on behalf of GSEGL.

1.2 About the Project

i. The 50 kW (AC) Grid Connected Floating Solar Photovoltaic (FSPV) Project was implemented at the Raw Water

cum Fire Water Reservoir of Gujarat State Energy Generation Ltd (GSEG), Hazira, Gujarat, with the objective of

generating and supplying green energy to the premises. The generated solar power is utilised through a net metering

system, reducing the fossil-fuel-based electricity load on the main grid and making the GSEG premises self-

sustainable from the point of view of electricity, to the extent possible.

ii. The Project stands commissioned and is presently in a working/generating condition. A joint site inspection has,

however, identified a defined list of incomplete, deficient or damaged works requiring rectification, completion and

iii. GERMI has now decided to undertake a bidding process for the selection of a Contractor to execute the

balance/rectification Scope of Work (the “Contractor”). The details of the works which the Company requires to be

carried out in the present instance, and for which Bids are hereby invited, are described in Section 5 of this Tender.

The overall responsibility for the complete Scope of Work rests with the Bidder.

1.3 Objective of this Tender

The objective of this Tender is to engage a qualified and experienced EPC/O&M Contractor to:

• Rectify all civil, electrical, structural and mechanical deficiencies identified during the site observation of the

commissioned 50 kW FSPV Project at GSEG, Hazira;

• Complete all pending safety, firefighting, floating-structure, and documentation-related deliverables under the

Original Contract;

• Carry out testing, Performance Ratio (PR) verification, and re-commissioning support of the Plant; and

• Hand over the Plant in a fully compliant, safe, and warranted operating condition, utilising to the extent possible the

spare materials already available at Site (Section 6).

3 INSTRUCTION TO BIDDERS

3.1 General Instructions

3.1.1 The current document is the request for proposal, which is issued to all potential Bidders, requesting a proposal for

execution of the balance/rectification Scope of Work of the Project on a fixed price basis. A Contractor would be

selected through a bidding process for execution of the said works.

3.1.2 Except as modified in this Section, all General Instructions, Local Conditions, Clarification and Amendment

procedures, Bid Acceptance/Rejection rights, and Bid Submission procedures set out in Sections 3 and 4 of the

Original Tender No. GERMI/SOLAR-FSPV/GERMI-GSEG/01 dated 21st February, 2024 shall apply mutatis

mutandis to this Tender.

3.1.3 The Company expects Bidders to confirm compliance with the Tender terms, conditions and specifications at the

time of submission of Bids, failing which the Bids are liable to be rejected. Hence, Bidders in their own interest

are advised to submit their Bids complete in all respects, conforming to all terms and conditions of this Tender.

3.1.4 Before submitting the Tender, the instructions may be read carefully regarding submission of the Tender. If any

Bidder finds discrepancies or omissions in the Tender documents, or is in doubt as to the true meaning of any part,

it shall obtain clarification from the Tender issuing office in writing before the due date for submission of queries.

3.1.5 Site visit and verification of information – The site data of the Project is provided only as a preliminary reference

by way of assistance to Bidders, who are expected to carry out their own surveys, investigations and detailed

examination of the Project before submitting their Bids. Nothing contained in the site data shall be binding on

GERMI nor confer any right on the Bidders, and GERMI shall have no liability whatsoever in relation to or arising

out of any or all contents of the site data. For this Tender, the site visit is MANDATORY (refer Clause 3.3).

3.1.6 Bids shall be evaluated based on the information/documents available in the Bid. Hence, Bidders are advised to

ensure that they submit appropriate and relevant supporting documentation along with their proposal in the first

instance itself. Bids not complying with the requirements of this Tender are liable to be rejected without any further

3.1.9 The specifications provided with this Tender and with the Original Tender outline the functional requirements. The

Bidder must submit a proposal based upon its own assessment of the site, meeting those functional requirements.

3.1.10 Bidders shall deploy the latest state-of-the-art technology and must ensure that all goods supplied are new, unused,

of the most recent or current models and incorporate all recent improvements in design and materials.

3.1.11 Issuance of this Tender does not imply that the Bidder has been short-listed or qualified.

3.1.12 (A) The Company reserves the right to accept or reject any Bid and to annul the bidding process and reject all Bids

at any time prior to award of the Agreement, without assigning any reason thereof and without thereby incurring

any liability to the affected Bidder(s). (B) As the Bid for the said work is invited for rectification and completion

of works at the grid connected Floating Solar PV Power Project at the Water Reservoir of Gujarat State Energy

Generation (GSEG), Hazira, Gujarat, the LoA/WO will be placed by GERMI on the successful Bidder upon receipt

of the requisite approval.

3.1.13 The Company reserves the right to reject any Bid submitted with deviations beyond those specified and mentioned

in this Tender, and no time shall be given under any circumstance after opening of the Financial Proposal for

submission of documents missing from the Bid.

3.1.14 Any condition or qualification or any other stipulation contained in the Bid shall render the Bid liable to rejection

as a non-responsive Bid.

3.1.15 The Tender Issuing Authority reserves the right to cancel the NIT, to change the qualifying requirements, or to

reject any or all the tenders so received without assigning any reason.

3.1.16 The Site for the work is either available or shall be made available in parts in a manner so as not to hamper the

progress of work. As the Plant is live and generating, all works shall be planned in coordination with GSEGL so

as to minimise generation loss and to comply with the plant’s permit-to-work system.

3.1.17 Canvassing in connection with the Tender is strictly prohibited and the Tender submitted by Bidders who resort to

canvassing will be liable to rejection straightaway.

3.1.18 The Bid and all communications in relation to or concerning the Bidding Documents and the Bid shall be in the

English language.

3.1.19 All rates shall be quoted on the proper form, i.e., the Price Bid/BOQ supplied as part of the Tender documents on

the e-tender portal by the Department.

3.1.20 The Gujarat Energy Research and Management Institute (GERMI) does not bind itself to accept the lowest Bid and

reserves to itself the right to accept the whole or any part of the Tender, and the Bidder shall be bound to perform

the same at the rates quoted in this Tender.

3.2 Pre-Qualifying Requirements (PQRs)/ Eligibility Conditions

The Bidder must fulfil all of the following Pre-Qualifying Requirements. Documentary evidence in support of each

requirement, self-attested and signed with the official seal, shall be submitted along with the Technical Bid.

i. The Bidder shall be either a body incorporated in India under the Companies Act, 1956 or 2013 including any

amendment thereto, or a Partnership Firm having an executed Partnership Deed and registered as per Sections 58 &

59 of the Partnership Act, 1932, as amended, or a Limited Liability Partnership (LLP) Firm registered under Section

12 of the Limited Liability Partnership Act, 2008, as amended, or a registered Sole Proprietor under the applicable

law. The Bidder shall be engaged in the business of Solar PV Power projects and/or the erection, rectification and

O&M of Solar PV Power projects.

ii. The Bidder shall possess a valid Electrical Contractor’s Licence issued by the competent authority of the State of

Gujarat (or a licence valid for execution of work in the State of Gujarat), which shall remain valid throughout the

period of execution of the work.

iii. The Bidder shall hold valid statutory registrations, namely a Permanent EPF Account Number, ESIC registration (as

applicable) and GST Registration, and shall submit self-attested copies of the same along with a copy of the PAN

Card of the Bidder.

3.2.2 TECHNICAL

The Bidder must fulfil the following technical criteria for participating in this Tender:

i. The Bidder should have a minimum of two (2) years’ experience, as on the Deadline for Submission of Bid, in the

erection, rectification, testing and/or Operation & Maintenance of Solar Photovoltaic and/or Floating Solar

Photovoltaic (FSPV) systems in India.

ii. The Bidder should have acted as an EPC Contractor and/or O&M Contractor (Sole Bidder) for Grid-Connected Solar

Photovoltaic Power Plants in India, and should have executed or maintained at least one (1) Grid-Connected Solar

PV Power Plant of a minimum capacity of 50 kW or above (Industrial/Commercial) over the last three (3) financial

years as on the Deadline for Submission of Bid.

iii. Experience in floating solar structures, pontoon/floater systems, and anchoring/mooring works shall be given

preference, given the specialised nature of the balance scope of work. The Bidder should preferably have executed

or maintained at least one (1) grid-connected Floating Solar PV installation in India.

iv. The Bidder must have experience in procuring, supplying, erecting, testing, commissioning, and operating and

maintaining such solar power plants in India, within the specified capacities and timelines.

v. The Bidder shall submit documentary proof of achievement of targeted performance generation/CUF or Performance

Ratio (PR) Certificate for at least one (1) solar PV power plant of 50 kW (AC) or above installed in India, for which

the Bidder has completed a minimum of one (1) year of Operation & Maintenance, duly certified by the

Developer/Client/Owner of that particular solar PV power plant, within the last three (3) financial years.

vi. In support of the above Points (ii) and (iii), the Bidder shall submit the list of projects commissioned/maintained,

along with the corresponding Work Order/LoA and Completion Certificates from the concerned Authority

confirming completion of the plant. Details shall be furnished in the format at Appendix 3 of the Original Tender. In

case the Bidder wishes to meet the eligibility criterion through its own power plant, a certificate from a Chartered

Accountant to that effect shall be required to be submitted.

vii. The experience list shall include only projects executed by the Bidder itself as a turnkey contractor – covering the

entire engineering, procurement, supply and installation. The list of projects executed shall clearly mention the name

of the technology partner/licensee agreement company, and whether the same is valid as on date, with the date of

execution expertise and experience for the development, rectification and maintenance of Solar PV power plants.

Details of qualified technical staff shall be furnished as per the format at Appendix 8 of the Original Tender.

ix. The Bidder shall have, or shall arrange for, personnel trained and competent to carry out works over water (dead-

block hookup, pontoon platform installation, floater work) in accordance with a documented permit-to-work and safe

method statement, as required under Section 9 of this Tender.

3.2.3 FINANCIAL

i. The Bidder shall have a sound financial background with business in solar PV projects. The average annual turnover

of the Bidder in the last three (3) financial years shall not be less than Rs. [TO BE FILLED BY GERMI BASED ON

ESTIMATED VALUE] /-, being not less than one hundred per cent (100%) of the estimated value of the work under

ii. The Net Worth of the Bidder shall be positive in any two (2) out of the last three (3) financial years, wherein the Net

Worth shall be calculated as follows:

Net Worth = (Equity + Reserves) – (Revaluation reserves + intangible assets + miscellaneous expenses to the

extent not written off + carried forward losses).

The Bidder shall provide a copy of the audited annual report for each of the said financial years to ascertain its

turnover and net worth. A CA Certificate is mandatory and shall be submitted as per Appendix 13 of the Original

Tender No. GERMI/SOLAR-FSPV/GSEG-HAZIRA/RECT/01; 22nd September,

iii. The Bidder shall submit audited annual reports for the last two (2) financial years, together with the CA Certificate

as per Appendix 14 of the Original Tender.

iv. The Bidder shall not have been blacklisted/banned/de-listed/debarred/terminated from business by any State/Central

Government department, Government undertaking, PSU, GERMI or any other organisation, as on the date of Bid

submission. A self-declaration in this regard shall be submitted along with the techno-commercial bid as per

Appendix 7/Appendix 21 of the Original Tender.

Note: All the above Pre-Qualifying Requirements (PQRs)/ Eligibility Conditions under Clauses 3.2.1, 3.2.2 and 3.2.3

are mandatory, and a Bidder not satisfying these criteria will be technically disqualified.

The Tender of only those Bidders will be considered who produce documentary proof, self-attested, to meet the following

i. The Bidder shall have a valid Permanent EPF Account No. and GST No.

ii. The agency should have a valid licence under the Contract Labour (Regulation and Abolition) Act as applicable in

the State of Gujarat, or should give an undertaking that it will get itself registered within one month if the work is

allotted to it.

iii. The Bidder shall have attended the MANDATORY site visit and shall submit the site visit

attendance/acknowledgement issued by GERMI/GSEGL along with the Technical Bid.

iv. The Bidder shall ensure that all information, facts, figures and data provided in the Bid are accurate and correct.

GERMI reserves the right to confirm/verify any data or information through its own sources. GERMI may also

contact directly the references given for the projects executed, and may visit the site, manufacturing facilities and

sub-vendors’ works, etc., physically to ascertain the capabilities of the applicant, if it so desires, at its own cost. The

Bidder may have to facilitate GERMI for any such visit.

v. The Bidder shall furnish documentary evidence by way of copies of Contracts/Purchase Orders, Completion

Certificates or any other equivalent document, Audited Balance Sheets, and Profit & Loss Accounts, etc., along with

the Bid, to establish its experience/track record and financial capabilities meeting the Bid Evaluation Criteria.

vi. The Bidder, or its Proprietor/Partner(s)/Director(s), should not have been convicted by a Court of Law for an offence

involving moral turpitude in relation to business dealings during the past seven (7) financial years.

The Bidder should meet all the above eligibility criteria as on the Bid Due Date. The Bids of only those Bidders who meet

the Bidder’s Eligibility Criteria will be considered for further evaluation.

A Bidder with a poor performance record in GERMI’s past projects shall not be considered for evaluation and shall be

outrightly rejected without assigning any reason thereof.

Notwithstanding anything stated above, GERMI reserves the right to verify all statements/information submitted, to confirm

the Bidder’s claim on experience and to assess the Bidder’s capability and capacity to perform the contract, should the

circumstances warrant such an assessment in the overall interest of the Project.

Further, notwithstanding the above, GERMI reserves the right to accept or reject any Bid and to annul the process of

submission of Bids and reject all or any Bid, at any time, without assigning any reason thereof. GERMI shall in no way be

responsible or liable for any loss, damage or inconvenience caused to the rejected applicants whatsoever. GERMI shall be

under no obligation to inform the affected applicants of the rejection and/or the grounds for rejection.

3.3 Local Conditions and Mandatory Site Visit

3.3.1 Since the Plant is operational and floating on a live water reservoir, a MANDATORY site visit is required for all

intending Bidders prior to submission of the Bid. No claim for extra cost or time on account of site conditions not

accounted for, due to non-visit, shall be entertained.

3.3.2 The Bidder is advised to take prior permission of GSEGL, in coordination with GERMI, to visit and examine the

site conditions, traffic, location, surroundings, climate, water level and reservoir conditions, availability of power

and water, access to site, handling and storage of materials, weather data, applicable laws and regulations, and to

obtain for itself, on its own responsibility, all information that may be necessary for preparing the Bid and entering

into the Contract. The cost of visiting the Site shall be at the Bidder’s own expense.

3.3.3 The Bidder and any of its personnel or agents shall be granted permission by the Company to enter upon its

premises and lands for the purpose of such inspection, but only upon the express condition that the Bidder, its

personnel or agents shall release and indemnify the Company and its personnel and agents from and against all

liability in respect thereof, and shall be responsible for personal injury (whether fatal or otherwise), loss of or

damage to property and any other loss, damage, costs and expenses however caused, which, but for the exercise of

such permission, would not have arisen.

3.3.4 Failure to visit the Site or failure to study the Tender document shall in no way relieve the successful Bidder from

furnishing any material or performing any work in accordance with the Tender document.

3.3.5 In no case shall the date for Completion of the works be extended due to the failure of the Bidder to visit the Site.

3.3.6 It shall be deemed that, by submitting a Bid, the Bidder has: (a) made a complete and careful examination of the

Tender document and of the Original Tender; (b) received all relevant information requested from the Company;

(c) acknowledged and accepted the risk of inadequacy, error or mistake in the information provided; (d) satisfied

itself about all matters, things and information necessary and required for submitting an informed Bid and for

execution of the works; and (e) acknowledged and agreed that inadequacy, lack of completeness or incorrectness

of information provided, or ignorance of any of the matters referred to herein, shall not be a basis for any claim for

compensation, damages, extension of time, loss of profits, etc., from the Company.

4 SUBMISSION OF BID

4.1 General Terms

Bids shall be submitted in two parts – Technical Bid and Financial Bid (BOQ/Financial proposal as per Appendix-16) – in

the format and through the online mode only (through n-procure), following the same submission discipline on e-

procurement portal (nprocure) as the Original Tender.

4.2 Format and Signing of Bid

The Bidder shall submit the Tender Document and all amendments/corrigenda duly signed with the official seal on every

page. All enclosures shall be in the formats prescribed in the Appendices listed in Section 13 of this Tender. Bids that are

incomplete, conditional, or not signed and sealed as required are liable to be rejected.

4.3 Bid Due Date and Late Bids

Bids must be submitted on or before the date and time specified at Sr. vi of Table A (Important Dates). Any Bid received

after the Bid Due Date and time shall not be accepted, irrespective of the reason for the delay, including delay due to postal

services, and GERMI shall not assume any responsibility for late receipt.

4.4 Bid Opening, Evaluation and Selection

The Technical Bid shall be opened on the date specified at Sr. viii of Table A. Technical Bids shall be evaluated against the

Pre-Qualifying Requirements set out in Clause 3.2. The Financial Bid of only those Bidders found technically qualified and

reasonably responsive to GERMI’s terms, conditions and Scope of Work shall be opened, on the date to be intimated by

GERMI. Selection shall be made on the basis of the lowest evaluated responsive Bid, subject to GERMI’s rights under Clause

3.1.12 and Clause 3.12 of the Original Tender.

9 HEALTH, SAFETY AND ENVIRONMENT (HSE) REQUIREMENTS

• All works over water (dead-block hookup, pontoon platform installation, floater work) shall be carried out strictly

under a documented permit-to-work/safe method statement, with trained personnel wearing life jackets (minimum

120 kg capacity) at all times.

• The Contractor shall ensure adequate firefighting arrangements (minimum 5 Nos. fire extinguishers and adequate

sand buckets) are in place at Site throughout the execution period, in addition to the equipment being supplied as part

of the Scope of Work.

• The Contractor shall comply with all applicable safety, labour, and environmental statutes as per Clauses 6.7,

and 7.19 of the Original Tender.

• Adequate lighting arrangements shall be provided for any work carried out during low-light/night conditions, as per

the Clause under Module Mounting Structure requirements of the Original Tender.

Bidders shall quote a lump-sum, item-wise price for the complete Scope of Work in Section 5, in the BOQ format of

• Conformity of each quoted item with the approved drawings at Annexure-I (Layout, Dead Block Design and SLD);

climatological, and environmental conditions which may exist in the installations area. In full

cognizance and compliance with these aforesaid conditions and the regulations of local

government authorities, we the undersigned do hereby offer for the Engineering, Supply &

Procurement, Erection, Testing, and Commissioning for Total 50 kW (AC) Grid Connected

yourselves or your representative in conformity with the TENDER documents at the prices

It is a term of our Bid that the Project shall be handed over installed, interconnected, tested,

commissioned, and modified and shall achieve Commissioning not later than 30 (Thirty) days

from the date of NTP. This shall be the essence of the Contract between us.

We further agree and stipulate as follows:

1. Until the final Contract Documents are prepared and executed the TENDER documents

with any modifications, additions, deletions agreed with the Company(s) and your written

acceptance thereof, shall constitute a binding Contract between us, upon terms contained

2. That the Company will not supply any material. In all respects we shall be fully self-

sufficient in the performance of the work.

Performance Ratio (PR) - Test Procedure

1. One (1) month duration of Performance Ratio as determined through the Instantaneous

PR Test Procedure specified here should not be less than 75%.

2. The Instantaneous Performance Ratio Test to prove the guaranteed performance

parameters of the power plant shall be conducted at site by the Contractor in presence of

the Owner/Owner’s Engineer/Consultant. The Contractor's Engineer shall make the plant

ready to conduct such tests. The Instantaneous PR Test shall be commenced for a period

of One (1) month after successful Commissioning and, there will be continuous

monitoring of the performance for 30 days. These tests shall be binding on both the parties

to the Contract to determine compliance of the equipment with the guaranteed

performance parameters. This monitoring will be performed on the site under the

supervision of the Owner/ Owner's engineer/Consultant.

3. The test will consist of guaranteeing the correct operation of the plant over 30 days, by the

way of the efficiency rate (Instantaneous performance ratio) based on the reading of the

energy produced and delivered to the grid and the incident solar radiation. During this

period of 30 days, any 2 (Two) instances shall be taken to calculate the instantaneous

Performance Ratio. If the Instantaneous PR of these two instances is above 75%, then PR

Test shall be considered successful.

4. The successful bidder shall be required to meet minimum guaranteed generation with

Instantaneous Performance Ratio (PR) at the time of commissioning as per the GTI levels

of the location.

1. Site Location:

6.1.1 The proposed Total for Fast-Track Rectification, Completion of Pending Works,

Testing and Re-Commissioning Support for the already commissioned 50 kW (AC)

Grid-Connected Floating Solar Photovoltaic (FSPV) Project at Gujarat State Energy

Generation Ltd, Hazira, Surat, Gujarat.

The Site data of the Project is being provided only as a preliminary reference

document by way of assistance to the Bidders who are expected to carry out their

own surveys, investigations and other detailed examination of the Project before

submitting their Bids.

Bidder is required to economize the allocated space on the reservoirs for Floating

Solar Photovoltaic (FSPV) Project. In case the developer demonstrates that the

capacity from the survey is lower than the indicated capacities for which the

allocated reservoirs is not adequate, GERMI at its discretion may offer reduce or

additional/ alternate new reservoirs/space. After the LoA the Bidder has to carry

out a detailed survey of the sites and submit the calculation, and complete

engineering document for the approval of GERMI.

The sites are located at Latitude 21.163935, and Longitude 72.662392 Fire

Reservoirs Respectively Please refer indicative Plant Layout as attached

This is indicative plan and the location of Floating Solar PV system and accordingly

power interconnection point may change suiting to site condition

This Tender is issued for the limited purpose of rectification and completion of specifically identified

pending works at the already-commissioned 50 kW FSPV Project at GSEG, Hazira, and shall be read as

supplementary to, and in conjunction with, the Original Tender No. GERMI/SOLAR-FSPV/GERMI-

GSEG/01 dated 21st February, 2024. GERMI/GSEGL reserves the right to amend, clarify, or withdraw this

Tender at any stage, and to accept or reject any or all Bids without assigning any reason, in line with Clause

3.12 of the Original Tender.
