Vadodara Municipal Corporation has prepared this Request for Proposals for Purchase of (Part A –
Nos and Part B – 12 Nos) Litter Picker Machine Mounted On Electronic Vehicle having a capacity
of 1420 liter with operation and maintenance of 10 years.
The information contained in this Request for Proposal document (hereafter referred as the “RFP”) or
subsequently provided to Bidder(s), whether verbally or in documentary or any other form by or on
behalf of the Authority or any of its employees or advisors, is provided to Bidder(s) on the terms and
conditions set out in this RFP and such other terms and conditions subject to which such information is
This RFP is not an agreement and is neither an offer nor invitation by the Authority to the prospective
Bidder(s) or any other person. The purpose of this RFP is to provide interested parties with information
that may be useful to them in submitting Bids pursuant to this RFP. This RFP includes statements, which
reflect various assumptions and assessments arrived at by the Authority in relation to the Project. Such
assumptions, assessments and statements do not purport to contain all the information that each Bidder
may require. This RFP may not be appropriate for all persons, and it is not possible for the Authority, its
employees or advisors to consider the investment objectives, financial situation and particular needs of
each party who reads or uses this RFP. The assumptions, assessments, statements and information
contained in the Bidding Documents may not be complete, accurate, adequate or correct. Each Bidder
should, therefore, conduct its own investigations and analysis and should check the accuracy, adequacy,

Information provided in this RFP to the Bidder(s) is on a wide range of matters, some of which may
depend upon interpretation of law. The information given is not intended to be an exhaustive account of
statutory requirements and should not be regarded as a complete or authoritative statement of law. The
Authority accepts no responsibility for the accuracy or otherwise for any interpretation or opinion on law
expressed herein.
The Authority, its employees and advisors make no representation or warranty and shall have no liability
to any person, including any Bidder under any law, statute, rules or regulations or tort, principles of
restitution or unjust enrichment or otherwise for any loss, damages, cost or expense which may arise
from or be incurred or suffered on account of anything contained in this RFP or otherwise, including the
accuracy, adequacy, correctness, completeness or reliability of the RFP and any assessment,
statement or information contained therein or deemed to form part of this RFP or arising in any way for
participation in this Bid Stage.
The Authority also accepts no liability of any nature whether resulting from negligence or otherwise
howsoever caused arising from reliance of any Bidder upon the statements contained in this RFP.
The Authority may in its absolute discretion, but without being under any obligation to do so, update,
amend or supplement the information, assessment or assumptions contained in this RFP.
The issue of this RFP does not imply that the Authority is bound to select a Bidder or to appoint the
Selected Bidder for the Project and the Authority reserves the right to reject all or any of the Bidders or
Bids without assigning any reason and without any financial implications to VMC whatsoever.
The Bidder shall bear all its costs associated with or relating to the preparation and submission of its Bid
including but not limited to preparation, copying, postage, delivery fees, expenses associated with any
demonstrations or presentations which may be required by the Authority or any other costs incurred in
connection with or relating to its Bid. All such costs and expenses will remain with the Bidder and the
Authority shall not be liable in any manner whatsoever for the same or for any other costs or other
expenses incurred by a Bidder in preparation or submission of the Bid, regardless of the conduct or
outcome of the Bidding Process.

Vadodara Municipal Corporation invites detailed bid from interested parties for Purchase of (Part A –
11 Nos and Part B – 12 Nos) Litter Picker Machine Mounted On Electronic Vehicle having a
capacity of 1420 liter with operation and maintenance of 10 years.
1. Sealed tenders, for the above work are invited from the Bidders. The Bidder may be an individual,
proprietary firm, firm in partnership, Limited Company, Corporation applying to become eligible to
tender. Bid Document can be obtained from the website www.nprocure.com.
2. Hard copy of Tender fees, EMD and other detail as required shall be submitted to Executive
Engineer, Solid Waste Management Department, Vadodara Municipal Corporation, Tambekarno wado,
Old Ward no 13 Office, Raopura Vadodara,- 390001 by registered post/speed post only on or before as
mentioned in below table. These envelopes shall than be sealed in a single outer envelope and clearly

stipulated time. Any requests for clarifications after the indicated date and time may not be entertained

representation or warranty as to the completeness or accuracy of any response nor does it undertake to
answer all the queries that have been posed by the Bidders.
At any time prior to the last date for receipt of bids, may, for any reason, whether at its own initiative or
in response to a clarification requested by a prospective Bidder, modify the RFP Document by a
corrigendum. The Corrigendum (if any) & clarifications to the queries from all Bidders will be posted
on www.nprocure.com only. Any such corrigendum shall be deemed to be incorporated in to this RFP.
In order to provide prospective Bidders reasonable time for taking the corrigendum into account, VMC
may, at its discretion, extend the last date for the receipt of Proposals.
The Bidders are advised to read carefully the Instructions/Condition and Qualification Criteria contained
in the tender documents.

GENERAL INSTRUCTIONS
Vadodara Municipal Corporation (VMC) invites “Purchase of (Part A – 11 Nos and Part B –
Nos) Litter Picker Machine Mounted On Electronic Vehicle having a capacity of 1420 liter with
operation and maintenance of 10 years.”
1.0 The cost of Bid document i.e. Tender fee in the form of D.D. in favour of Municipal Commissioner,
Vadodara payable at Vadodara as evidencing purchase of the Tender Document along with qualification
documents. Tender offers without tender fees, Earnest Money Deposit (EMD) and which do not fulfil all
or any of the condition or submitted incomplete in any respect or conditional offer will be rejected.
Tender fees will not be refunded under any circumstances.
2.0 Conditional tender shall not be accepted and shall be liable for rejection.
3.0 Each Bidder shall submit only one (1) Bid, in response to this Tender Document. Any Bidder who
submits more than one Bid will be disqualified. The Bidder shall not transfer the Tender document to
another interested party.
4.0 Bid Validity
The Bid shall remain valid for a period not less than 120 days from the date of online price bid opening
(Bid Validity Period). VMC reserves the right to reject any Bid, which does not meet this requirement.
In exceptional circumstances, prior to expiry of the original Bid Validity Period, VMC may request
Bidders to extend the Bid Validity Period for a specified additional period. Bidders not extending the
Bid Validity Period when so requested would automatically be disqualified.
5.0 Earnest Money Deposit (EMD)
5.1 Each Bid shall be accompanied by DD for EMD
5.2 The EMD shall be in the form of a crossed demand draft/Pay Order in favour of Municipal
Commissioner of Vadodara Municipal Corporation issued by any nationalized bank or Scheduled Bank
as per list mentioned in GR of Finance Department, GR. No.: EMD/10/2018/18/DMO, Date:
16.04.2018, payable at Vadodara.
5.3 EMD will be consider submitted while prior attempt.
5.4 The EMD of successful bidder shall be refunded after submission of security deposit.
5.5 The EMD of all the unsuccessful Bidders, except two lowest Bidders would be returned within a
period of eight (8) weeks from the date of announcement of the successful Bidder. EMD of the second
lowest Bidder would be returned within a period of four (4) weeks from the signing of the contract with
the successful Bidder.
5.6 The EMD shall be forfeited in the following cases:
(a) If the Bidder withdraws it‟s Bid during the interval between the Bid Due Date and expiration of the Bid
Validity Period.
(b) If the successful Bidder fails to provide the Security Deposit within the stipulated time or any
extension thereof provided by VMC.
6.1 As part of the evaluation, the Bids shall be checked for responsiveness with the requirements of the
Tender Document and only those Bids which are found to be responsive would be further evaluated in
accordance with the criteria set out in this Tender Document.
6.2 VMC reserves the right to reject any Bid, if:
(a) If the tender is incomplete; and which does not contain the information / documents as set out in
(b) At any time, a material misrepresentation is made or discovered; or
(c) The Bidder does not respond promptly and diligently to requests for supplemental information
required for the evaluation of the Bid.
(d) Vadodara Municipal Corporation (VMC) reserves the right to accept or reject any or all tenders
without assigning any reason thereof and any financial implications to VMC. VMC reserves the right to
reject any Bid not submitted on time In case the Bid is found to be responsive, the Bid would be
evaluated in accordance with the Qualification Criteria as set out in Appendix
6.3 In case the Bid is found to be inadequate, VMC may request the Bidder to provide additional
information as may be required by VMC. As part of the evaluation of the Bid, VMC may also request
the Bidder to submit clarifications.
6.4 The Financial Quotations of only those Bidders, who meet the Qualification Criteria, would be

6.6 VMC may either choose to accept the Price Bid of the Preferred Bidder or invite him for further

7.0 The decision of lowest rate will be on the basis of sum of rates quoted

the Preferred Bidder as the Successful Bidder. VMC will notify the Successful Bidder through a Letter
of Award (LoA) that its Bid has been accepted.
9.0 No Price variation clause shall be applicable.
10.0 The technical specification/ scope of work for said work is given in Tender Doc., however Bidder
are advise to personally visit designated locations / site in Vadodara City, for better understanding of
requirement of VMC.
The approved Bidder shall be deemed to have carefully examined the total work; conditions,
specifications, size, make and drawings, scope of work, etc. of the goods/services to be supplied.
11.0 VMC will do necessary and required testing of material or any part of entire system, if required,
from government approved laboratory, as per instruction of Engineer in Charge for the same and cost of
the testing will be borne by the Bidder.
12.0 Entire System shall be inspected / verified by VMC/TPI agency with the specification of
VMC on successful supply, delivery, testing & commissioning and operational capabilities of the

14.0 Conditional offer will not be accepted and same will be treated as non-responsive. HOD, VMC
reserves the right to accept or reject such tenders without assigning any reason thereof and without any
financial implications to VMC.
This should also include such cases, which are in process/progress. The Bidder should provide accurate
information on any litigation history or arbitration resulting from contracts completed or under
execution by them over the last ten years.
A consistent history of awards against the Bidder may result in failure of the bid. In case the Bidder has
not provided such information and has come to the notice of the Authority the tender will be rejected at
whatsoever stage and in such case all the losses that will arise out of this issue will be recovered from
the Bidder/Contractor and he will not have any defence for the same.
15.0 No price preference will be given to SSI units or Khadi Gramudhyog Units.
16.0 Security Deposit for supply
The successful Bidder would be required to submit Security Deposit amounting to 5% of the supply
value for work of Part A & Part B in the form of a crossed demand draft / Bank Guarantee issued in
favour of Municipal Commissioner, Vadodara Municipal Corporation issued from any nationalized
bank or Scheduled Bank, payable at Vadodara.
The Security Deposit for supply will be paid back/refunded only after one year warrantee period without

The successful Bidder would be required to submit Security Deposit amounting to 5% of O&M value of
one year of Part A & Part B in the form of a crossed demand draft / Bank Guarantee issued in favour
of Municipal Commissioner, Vadodara Municipal Corporation issued from any nationalized bank
or Scheduled Bank, payable at Vadodara. Security should be valid till Warranty Period.
The Security Deposit for O&M should be submitted at time of commencement of O&M contract and
shall be paid back/refunded only after successful completion of entire Contract period without any

The successful Bidder would be required to submit Performance Security amounting to 5% of supply
value of Part A & Part B in the form of a crossed demand draft / Bank Guarantee issued in favour of
Municipal Commissioner, Vadodara issued from any nationalized bank or Scheduled Bank, payable at
Vadodara. Performance Security should be valid till warranty Period.
Irrevocable Bank Guarantee issued by a Nationalized bank or Scheduled Bank located in India in format
attached (refer Appendix 5) shall also be acceptable.
The performance guarantee shall be returned to the Contractor after one year warranty period.
19.0 Agreement:
The successful Bidder shall be required to enter into an agreement for due performance of the contract.
The successful Bidder shall enter into an Agreement with the VMC on Rs. 300/- non-judicial Stamp
Paper. Any stamp duty charges shall be to Bidder‟s account.
If the Bidder fails to submit the agreement deed in the stipulated time limit, the
E.M.D. for this contract will be forfeited and the Bidder will be blacklisted for this work of VMC.
This Tender notice shall form a part of contract document.
The Bidder at the time of entering into contract shall give a guarantee against technical and
manufacturing defects in materials supplied and free replacement of defective materials at his own cost.

SCOPE OF WORK FOR SUPPLY
1. SUPPLY AND DELIVERY SCHEDULE
Supply of (Part A – 11 Nos and Part B – 12 Nos) of Vehicle-Mounted Dry & Wet Garbage Suction
Machines, as per the technical specifications and requirements laid down by the Vadodara Municipal
Supply of EV Chassis:
The Bidder shall provide a suitable EV chassis conforming to the technical specifications prescribed in
RTO Registration:
The bidder shall ensure RTO registration of the EV chassis in the name of the Purchaser or as directed
by the Purchaser.
Commissioning and Training:
The selected bidder shall provide operational training to the Purchaser's designated personnel at the time
of commissioning. The supply and commissioning work for the ordered equipment should be completed
within a period of 150-Days from the issue date of the confirmed work order as per specification
required and the Bidder shall intimate department of VMC of the schedule of inspection at least 20 days
prior to scheduled delivery date. After intimation for inspection the TPI will be done within 10 days.
Contract period will be 150-days from the issuance date of work order in which third party inspection,
rectification suggested by TPI and delivery of whole equipment.

Bhutadi Zapa, Fatehpura, Vadodara - 390006, Gujarat at site specified by VMC
2. INSURANCE, TRANSPORTATION, TAXES & RTO FORMALITIES:
Bidder has to quote the total price, net including of all taxes, GST & duties etc. and for evaluation and
finalization purpose, the total price will be taken into consideration. Transportation, Packing,
Forwarding, Insurance and Registration charges are included in the indicated price.
● The Bidder is responsible for transit and all other insurances till the completed units are delivered at the
delivery location.
● Bidder must make their own arrangements to obtain import license if necessary.
● The Bidder shall be responsible for transit insurance including third party insurance till receipt of the
units at the premises of VMC and pay for RTO passing related charge. The Bidder shall be responsible
for Registration of the vehicle as per VMC‟s instruction and all the charges shall be to Bidder‟s account.
● A prototype certificate has to be produced by the manufacturer so that machine can be registered with
the local transport authority at the Bidder's cost.
(A) For the Equipment Submission of all relevant documents like; TPI reports, Registration Book,
comprehensive Insurance, all taxes, RTO Formalities, etc. at Office of the Executive Engineer, Solid
Waste Management Department, Vadodara Municipal Corporation, Vadodara –
However, the Bidder has to submit all necessary valid documents as per the requirements of local RTO,
Vadodara and have to cooperate at their level best to get the vehicle registered in time. If RTO will not
register vehicles due to design and/or other problem, same will be rejected by VMC.
3. INSPECTION, TESTING & DOCUMENTATION
Equipment inspection shall be carried out by authorized representative of VMC as per the terms
specified in Tender.
The duly authorized representative of VMC or Third Party Inspection Agency shall at all reasonable
time have access to the Bidders premises and shall have the power at all reasonable time to inspect and
examine the materials and workmanship of the equipment machineries during manufacturing process or
afterwards as may be decided The Bidder shall furnish complete address of premises of his office,
warehouse and workshop where inspection can be made together with name and address of the person
who is to be contacted for the purpose.
The Bidder shall make arrangement including lodging, boarding, Transportation for inspection of the
equipment by Third Party along-with VMC Official, before delivery, at factory site as required.
Inspection of the equipment will also be carried out at Vadodara at delivery sites specified by VMC. If
any discrepancy is found in the material supplied and technical specifications approved, the same lot
shall be rejected and Bidder will collect rejected material within seven days. No claim for the rejected
material shall be entertained. All the inspection charges shall be to Bidder‟s account.
An authenticated test certificate in confirmation to the specifications of the tender for which testing at
site is not possible has to be produced by the Bidder. The Bidder have to furnish all Drawings and
Certificates and Xerox copies of bills of materials those are required and demanded by Engineer-in-
charge of VMC/ VMC or Third Party Inspecting Agency.
Articles not approved during inspection or testing shall be rejected and will have to be replaced by the
Bidder at his own cost within the time.
4. MODIFICATION OR VARIATION
Any modification or variation or any changes in work or technical specifications done by VMC's
Engineer-in-charge or Third Party Inspecting Agency and Bidder have to follow these changes without
any dispute and argument. (No extra cost will be given for the modifications or changes).
If VMC does not purchase or issue work for any of the tender articles, work or purchases less than the
quantity indicated in the tender form, the Bidder should not be entitled for any compensation. The
indicated quantities can be increased/decreased depending upon the VMC requirement.
5. JURISDICTION
In the event of any dispute or difference arising out of this tender / contract, the jurisdiction of the Court
shall be Vadodara (Gujarat) only. While executing the agreement, the Bidder shall be governed at all
times by all laws, regulations etc., in force in Gujarat State.
In the event of any problem, dispute or difference arising out of or under this contract, the decision
of the Chairman, VMC / Municipal Commissioner (VMC), Vadodara, will be final and binding to
the parties to this contract.
7. STATUTORY VARIATIONS IN TAXES & DUTIES
The price of the equipment quoted by the Bidder will be on the basis of current taxes and levies. If there
is any statutory change in the statutory tax / levies Govt. on the finished products that will be to the
account of consignee i.e. VMC, and same will be paid by VMC on receipt of necessary documentary
evidence from the Bidder.
8. LIQUIDATED DAMAGES/PENALTY
If the Bidder fails to deliver any or all of the equipment as per the delivery schedule, VMC deduct from
the contract price as liquidated damages (Late delivery penalty) calculated on the basis of delayed days
for delayed quantum (delayed work amount) of work and rate of calculation will be 0.5% per week of
delivery price which will be recovered from the Bidder without any reference to the Bidder. The delay
shall include equipment installation (supply, testing, transport and delivery) and commissioning within
07 days of delivery (completion of field tests). The amount of Liquidated damages will be however
subject to the maximum of 10% of the total delivery price. Delay in excess of 180 days from the
scheduled date of delivery may be cause for termination of contract and forfeiture of all security for
The Authority reserves the right to impose financial penalty in case the work is not found up to the
mark, during the routine inspection/ during operation carried out by the VMC staff. The decision on
amount of penalty within the limit is sole discretion of the Municipal commissioner & maximum 10% of
the bill amount.
9. EXTENSION FOR DELAY-
If the supply is delayed by (1) Force Majeure,(2) Serious losses, damage by fire, (3) Strike, Band,
Curfew, lockdown, Rally, Heavy rains, Flood, Cyclone, Earthquake or Natural Calamities occurs, (4)
Electricity staggering, (5) Any other case, which is beyo nd the control of contractor, then the Municipal
Commissioner of VMC will decide period of delay extension.
10. PAYMENTS DUE FROM CONTRACTOR
The VMC shall be entitled to recover costs, damages, or expenses for which under the contract, the
Contractor is liable to the VMC from any money due or becoming due to the Contractor under the
contract or Municipal Commissioner will have the liberty to recover the amount from the Contractor.
11. The Contractor shall not assign or sub-let his contract any substantial part thereof to any other agency
without the written permission of Municipal Commissioner, VMC/ appropriate authority of VMC.
12. All articles supplied shall strictly conform to the specifications, trademark laid down in the tender form.
13. Any change in the constitution of the firm/association etc. shall be notified forthwith by the Contractor
in writing to the Corporation and such change shall not relieve any former member of the firm, etc., from
any liability under the Contract.
14. TRAINING OF VMC PERSONNEL
All personnel designated by VMC to be responsible for the operation and maintenance/repair of the
equipment shall be provided with practical training in the use and routine maintenance of the equipment
at Premises of VMC. The Bidder shall provide a training program of the purchaser‟s personnel
immediately after the delivery of the equipment. Apart from the above during the operation &
maintenance period the manufacturer or trained staff of O&M Contractor shall impart training to the
nominated staff of VMC / VMC on an annual basis. All costs for the Bidder‟s personnel involved in the
training and any incidental expenses shall be included in the Bidder‟s rate. All costs of the Purchaser‟s
personnel and provision of training shall be borne by the Bidder. At least two personnel w.r.t. each
vehicle/equipment shall be trained for operating and same numbers for maintenance/repairs. According
to the requirement VMC may change these numbers, which shall be binding to Bidder.
15. CONSUMABLE, SPARES AND REPAIRING
The Bidder will provide separate comprehensive lists of:
● The list of Fast moving and maintenance spare parts along with original technical brochures, parts
catalogues and O&M Manual ( in 02 copies) and,
● The details of all standard and specialized tools and equipment required within a one- year service
period for maintenance and repairs of the supplied equipment.
16. Schedule of equipment and technical specifications:
● The Bidders shall complete the schedule(s) and technical specifications for the goods and equipment to
be supplied in their entirety so as to demonstrate their compliance with the requirements of the bidding
● The materials, equipment and services to be supplied under the contract shall be like that use of such
materials, equipment and services shall not infringe or violate any industrial property or intellectual
property rights or claims of any third party.
The Bidder will submit drawings of the proposed equipment along with the technical bid. Successful
Bidder will be required to submit detailed drawings of all the equipment The bidder shall submit
technical details drawing of Hydraulic tipping mechanism (min 6 ft) & Hydraulic boom (with operating
arc and moments) as per the technical specifications of the proposed equipment along with the technical
18. SPECIFICATIONS AND STANDARDS
● The Bidder shall ensure that the goods and related services comply with the technical specifications and
other provisions of the contract.
● The goods and related services supplied under this contact shall conform to the
standards of the technical specifications, when no applicable standard is mentioned; the standards shall
be equivalent or superior to the official standard whose application is appropriate to the country of origin
of the goods and suitable to Indian (VADODARA) weather conditions and usage.
● Wherever references are made in the contract to codes and standards in accordance with which it shall
be executed, the edition or the revised version of such codes and standards shall be those specified in
technical Specifications. During contract execution, any changes in any such codes and standards shall
be applied only after approval by the Corporation and shall be treated in accordance with the conditions
19. PAYMENT TERMS
For Supply of equipment as per Appendix I
⮚ 100% of the supply of entire equipment within 45 days of satisfactory delivery at our site and after
release note by the TPI agency against satisfactory commissioning of entire equipment and on receipt of
commissioning certificate from Employer.
20. RIGHT TO ACCEPT OR REJECT TENDER
The right to accept the tender will rest with the VMC. VMC however, does not bind itself to accept the
lowest tender, and reserves to itself the authority to reject any or all the tenders received without
assigning any reason whatsoever and without any financial implications to VMC. Tenders in which any
of the particulars and prescribed information are missing or are incomplete in any respect and/or the
prescribed condition is not fulfilled are liable to be rejected. In addition to the above, the tender will also
be liable to be rejected outright if -
● The bidder proposes any alterations in the works specified or in the time allowed for carrying out the
work or any condition or correction made in any code or schedule or specifications.
● Any of the page or pages of the initialed tender submitted with the bid is/are removed or replaced or
● All corrections, additions or pasted slips are not initialed by the Bidder.
21. TAXES AND DUTIES
The quoted price should be inclusive of all taxes and duties for supplied equipment. Transportation,
Packing, Forwarding, Transit Insu., Comprehensive Insurance, RTO Registration charges, etc are
included in the indicated price. However, any change in the GST, govt. statutory levies on sales will be
considered at actual for which Contractor will have to submit necessary documentary proofs as required
22. WARRANTY PERIOD
Bidder shall warrant that the supply against faulty materials and workmanship for Vehicle Mounted
Dry & Wet Garbage Suction Machines including EV chassis for a period of 12 months or 1500 Hours
whichever comes earlier from the date of Commissioning & acceptance of the equipment by VMC.
The Bidder shall correct any defects covered by the warranty immediately on being notified by the
Purchaser of the occurrence of such defects.
Bidder undertakes that the Systems shall be warranted against faulty materials and workmanship and
shall confirm as per Technical Specifications specified in Tender.
Successful contractor must arrange to attend the complaint call within 24-hours and resolve it. If
supplier fails to carry out after sales service satisfactorily, VMC has the right to blacklist the contractor
for future work of corporation.
23. FORFEITURE OF SECURITY DEPOSIT
Security deposit in full or part may be forfeited in the following cases:-
● When any terms and conditions of the contract are breached
● When Bidder fails to make complete supply, installation, commissioning and testing of the equipment/
machinery satisfactorily. The decision of the Municipal Commissioner, VMC in this regard shall be final
and it shall be binding to the contractor.
24. FORCE MAJEURE
Force Majeure shall mean such an Event or Circumstance or combination of Events and Circumstances
which are beyond the reasonable control of the Affected Party and which the affected party could not
have prevented by Good Industry Practice or by the exerci se of reasonable skills and care for the
purpose of discharging its obligations under the Contract. The Force Majeure will tend to have material
adverse effect on the performance of such affected party.
Following shall be the events and circumstances of Force Majeure:
Act of War (whether declared or undeclared), invasion, armed conflict or act of foreign enemy,
blockade, revolution, riots, insurrection, civil commotion, act of terrorism, or sabotage;
The expropriation or Compulsory acquisition or seizure of the assets of the Contractor by any
Governmental Instrumentality, provided that this clause shall not apply where such Act constitutes a
remedy or sanction lawfully exercised as a result of a breach by the Contractor of any Indian law or
Indian Directive but excluding any change in law;
Act of Government;
Act of God, epidemic, lightning, earthquake, cyclone, whirlwind, flood, tempest, storm, drought, lack of
water or other unusual or extreme adverse weather or environmental conditions, action of the elements,
meteorites, fire or explosion to the extent generated from the source external to the Contractor or his
assets due to reasons other than, those caused by negligence of the Parties, chemical or radioactive
contamination or ionizing radiation.
Procedure for Calling Force Majeure: The affected party shall notify to the other party in writing of the
occurrence of the Force Majeure as soon as reasonably practicable, and in any event within 24 hours
(Twenty Four hours) after the Affected Party knew, or ought reasonably to have known, of its
occurrence and that the Force Majeure would be likely to have a material impact on the performance of
its obligations under the Contract.
The notice shall include full particulars of the nature of Force Majeure event, the effect it is likely to
have on the Affected Party‟s performance of its obligations and the measures, which the Affected Party
is taking, or proposes to take, to alleviate the impact of the Force Majeure Event and restore the
performance of its obligations. When the affected Party is able to resume performance of its obligations
under this Contract, it shall promptly give the other party written notice to that effect provided that in no
event shall the suspension of performance be of greater scope and of longer duration than is necessitated
by Force Majeure.
The rights and obligations of the Affected Party shall be suspended to the extent they are affected by the
Force Majeure. VMC shall not be liable to make any payments to the contractor for it being affected on
account of Force Majeure except for the charges specified in the RFP which shall be payable only for a
duration of not more than 15(Fifteen) days from the date Force Majeure is declared.
VMC reserves the right to terminate the contract if the Force Majeure continues for more than
(Fifteen) days at a stretch.
Notwithstanding the provisions of tender, the Bidder shall not be liable for forfeiture of its performance
security, liquidated damages or termination for default, if and to the extent that, its delay in performance
or other failure to perform its oblig ations under the Contract is the result of an event of Force Majeure.
For purposes of this Clause, “Force Majeure” means an event beyond the control of the Bidder and not
involving the Bidder's fault or negligence and not foreseeable. Such events may include, but are not
limited to, acts of the Purchaser either in its sovere ign or contractual capacity, wars or revolutions, fires,
floods, epidemics, quarantine restrictions and freight embargoes.
If a Force Majeure situation arises, the Bidder shall promptly notify the Purchaser in writing of such
conditions and the cause thereof. Unless otherwise directed by the Purchaser in writing, the Bidder shall
continue to perform its obligations under the Contract as far as is reasonably practical and shall seek all
reasonable alternative means for performance not prevented by the Force Majeure event.
25. TERMINATION OF CONTRACT
The Contract shall stand terminated at the end of the Contract period unless extended by the VMC in
writing. VMC has the right to terminate the Contract by giving prior written Notice of at least 60-days.
26. FORECLOSURE OF CONTRACT IN FULL OR IN PART
If at any time after acceptance of the tender VMC shall decide to abandon or reduce the scope of the
works for any reasons whatsoever and hence not require the whole or any parts of the works to be
carried out, he shall inform the Contractor in writing to that effect and the Contractor shall have no
claim to any payment or compensation or otherwise whatsoever, on account of any profit or
advantage which he might have derived from the execution of the works in full but which he did
not derive in consequence of the foreclosure of the whole or part of the works.
The Contractor shall be paid at the contract rates full amount of works executed, provided always that
nothing herein contained shall be deemed to render the Contractor is liable for or in respect of or to
indemnify VMC against any compensation or damage causes by the Excepted Risks.

SCOPE OF WORK FOR O&M
Online bids/e-tenders are invited from specialized agencies or reputed manufacturers for supply of
supply of Vehicle Mounted Dry & Wet Garbage Suction Machines (hereinafter referred as the
“Machine”) and carry out operation and maintenance of such machines. The agency selected through
this tender will be responsible for supply of Machine (Twenty three numbers.) as per mentioned
specifications defined in this tender document and allied equipment’s. The designated supplier shall also
be required to undertake operation and comprehensive maintenance including supply of manpower, fuel
and other allied works of these machines for a period of Ten Years duration.
The duration of the O&M contract shall be for period of 10 years from the date of allotment of
commissioned equipment. The contractor shall have to commence the work within 3 days from the date
of issuance of machines to them by VMC. The scope of work shall consist of full comprehensive
operation and maintenance of ordered equipment (i.e, (Part A – 11 Nos(For South Zone & West Zone
and Part B – 12 Nos(For East Zone & North Zone) Vehicle Mounted Dry & Wet Garbage Suction
Machines as per tender specification requirement) including all type of consumable and spares, Hose
pipe, Diesel and Engine oil and shall include services as per tender terms.
General Guidelines for operational work of contractual equipment
The agency is required to ensure the following: -
● To provide operation and maintenance facilities as specified in this tender document including and
obtaining of all the relevant pollution check certificates and fitness certificates from concerned Govt.
● Contractor shall have to provide experienced operator and workers.
● To Provide Services of at least one supervisor cum mechanic for all machines, one driver , one
operator, to all operational activities of the machine on each machine per machine including Technical
back up Support of Engineer/Technician as per requirements. Mobile phone shall have to be provided
for each machine driver and to the supervisor for effective communication.
● To provide insurance cover to the manpower and driving license of respective category.
● Ensure not to pose any problem/nuisance to the general public, public traffic. The Operator shall be
solely responsible for the behaviors and honesty of its workforce.
● Ensure not to dump or dispose of litter waste, garbage, or recyclables waste on any street, alley or
other publicly owned property unless expressly authorized by VMC.
● In the event of any accident/damage to third party by any of the vehicle/equipment of the Operator,
VMC shall be completely free from any liability of any nature occurred on account of the accident. The
Operator shall be fully and exclusively responsible for the liabilities arising on account of accident and
damage to the vehicle, manpower or to the third party. The Operator shall be fully and solely responsible
for any death or bodily injury to his staff member or any other person in the employment of the Operator
or to any other person during the performance of the contractual services. This includes any third- party

Mounted Dry & Wet Garbage Suction Machines. The Advertisement rights at all times during the work
tenure of this work shall be vested with VMC.
● Shall be liable for and shall indemnify, protect, defend and hold harmless VMC, VMC’s officers,
employees, etc. from and against any and all demands, claims, suits and causes of action and any and all
liability, costs, expenses, settlements and judgments arising out of the failure of the Operator to
discharge its obligations under this section and to comply with the provisions of Applicable laws and
Applicable permit.
● All machines deployed shall fulfill the legal requirements, statutory requirement in terms PUC, Tax
etc. The successful bidder is also required to submit fitness certificate of vehicle from RTO, time to time
as annually or required by Authority.
● The Contractor shall ensure that his personnel report to works every day at designated time and
continue working throughout the day. The Contractor shall make provision for presence of requisite
manpower during national holidays and festivals if required. Payment will be done as usual. No
separate/additional payments will be made by the VMC for working on holidays, national holidays and
festivals. The Contractor should ensure presence of his workforce at the specified time.
● The contractor shall employ all required staff including operation manager, technical experts, skilled
and unskilled labors, drivers, labor etc. required for such services.
● The contractor shall provide well-trained, disciplined, honest, and sincere workforce, throughout the
contract period and supervise their work regularly. They should not pose any problem, nuisance to the
● The Contractor shall have to take valid labour license if required & any other relevant license from
statutory bodies as required for this type of contract. Necessary documents shall be submitted by
● The contractor shall appoint at least one supervisor to ensure that services are rendered effectively.
They must be available on site &/or at their office during the working hours.
● The contractor must verify antecedents of the employees to be provided by the contractor before
deployment. The contractor shall engage no person having criminal record or who is not the citizen of India.
● Contractor shall pay salaries /wages etc. to his workforce adhering to the laws in force & all liabilities
and responsibilities in respect of persons engaged by him shall lie with the contractor.
● Planning of rendering the services shall be based on 8 hours operational shift. However based on
department requirement contactor has to provide machine for extra hours/shifts.
● Successful bidder will be paid for additional work/time done beyond the shift hours as per hourly
bases. Rate of additional work/time per 1 hour will be --- Rate of 1 hour = Rate of Shift of 8 hrs Devide
● The rate of the O & M is on the basis of shift/day. CLIENT will pay the bill of actual hours/shift to
the contractor. If machine is under repair or no requirement that particular day CLIENT will not pay the
General Guidelines for Maintenance work of contractual equipment
● The precise and regular timely maintenance plays the key role in keeping the machines in the
operative status at all the times and as such these activities are to be shouldered by the successful bidder
as described below;
● As regards servicing routine and scheduled maintenance of the each machine, the same shall be
carried out by the successful bidder through their maintenance staff preferably on Sundays in rotation/or
as per VMC instruction.
● They shall arrange for the laborers at their level and at their cost.
● They shall arrange for all the consumables, fuels, oil and spare components at their level and at their
own cost. The tentative schedule of their preventive and schedule maintenance which successful bidder
will be required to carry out as per as manufacturer’s recommendations and
in consultation Workshop, VMC.
● The O & M charge should include all electrical and Solid Waste Management parts repairing and
replacing with minor spares.
● Payment of road tax and insurance premium of the equipment to cover unforeseen events like theft,
accident, fire, riots, earthquake etc. in scope of contractor.
● Provide consumables such as lubricants, hydraulic oil, filters, suction hoses, tyres, battery, Diesel and
engine oil etc as & when required.
● All Minor and major repairs of machine including spares as per requirement.
● Routine maintenance and servicing of machine including replacement of filters for hydraulic oil,
engine oil etc as & when required.
● The contractor should have to attend the breakdown if any as early as possible and should have to
complete the work without unavoidable delay.
● The staff/drivers deputed by the Operator during the course of contract must behave decently with the
VMC's officer and staff. The Operator shall withdraw such person who is found to be indiscipline,
misbehaving, under or the influence of any intoxicant or whose services are considered detrimental to
VMC's Interest.
● VMC shall not be responsible for any accident/injury to the staff of the Operator. It is Operator's
responsibility to have medical insurance of his employee, medical facility, work compensation etc. as
per “Workmen’s Compensation Act 1923” and all other relevant laws.
● Further the VMC will not provide any insurance, medical facility, workman compensation, etc. to the
staff of Operator. Operator shall solely be responsible for all the prescribed work under this clause.
● The Operator shall keep stock of normal routine items like oil and parts like pipes, nuts, bolts,
washers and all electrical and hydraulic spares, etc. and any other spare parts and items which are
required to be changed under normal wear and tear.
Minor work: Routine service, replacement, Hose replacement, electrical work, external leakages (oil/
water/ Diesel), Solid Waste Management/hydraulic settings, vehicle & transmission related job, brake
job etc. These shall be carried out at site or at Operators parking place / at dept.’s site if available.
Major work: Structural damages, Major EV chassis repairing, Engine o/h related, Vacuum / suction
side major work including pump repairing/ replacement work, entire vacccum system repairing work
Other than above repair job (for minor/major), it will be decided by vehicle pool/workshop
department based on the job and will be binding to contractor. Decision of VMC for major/minor
work identification will be final & binding to contractor.
It means that all vehicles/machines have been kept up to date in perfect working condition to the
satisfaction of VMC by the contract.
Any machine which goes into breakdown shall have to be repaired within the stipulated period for major
& minor repairs. Non-availability of the machine beyond this stipulated duration shall be liable for penal
damages as specified in the contract.
The quality of all consumable and spare as per manufacture recommendation shall be made available at
site/workshop all the time.
The Contractor shall maintain separate checklist register for daily, weekly, fortnightly, monthly, quarter
yearly, half yearly and yearly activities. Also during checking if any abnormalities found it must be
brought to the notice of VMC officer in charge and have to been rectified by the contractor.
The contractor shall be responsible to carry out day-to-day as well as periodic maintenance, necessary to
ensure smooth and efficient performance/running of all equipment, machinery as per manufacturer’s
specification and maintaining the record of the same. Contractor has to keep enough spare/stand by units
for preventive and breakdown maintenance of all the
equipment as per the unit/equipment manufacturer’s guideline.
At the end of O & M contract period, Contractor has to hand over the machines in satisfactory working
conditions acceptable to Executive Engineer (Solid Waste Management) or his authorized
representative. Otherwise, penalty will be imposed by CLIENT at the discretion of Executive Engineer
(Solid Waste Management) & shall be binding to the contractor.
SAFETY PROVISIONS
● Contractor shall comply with all safety rules and regulations, and all inter disciplinary measures as
followed by the VMC.
● The contractor shall at his own expense arrange for the safety precautions as required by the
CLIENT/necessary for such services, in respect of all labour directly or indirectly employed for
performance of the works and shall provide all facilities in connection therewith. In case the contractor
fails to provide such facilities, the CLIENT shall be entitled to do so and recover the costs thereof from
the contractor.
● Contractor has to provide necessary security and safety provision at their own expense for machines
during the contract period at the work &/or parking place etc. provided to them.
● Each machine shall be provided with fire extinguisher and first aid kit along with other necessary
tool-tackles and accessories.
Responsibility of Authority
1. To provide parking space and space for setting up workshop for carrying out minor repair.
2. To provide a designated spot/location or vehicles for unloading of the material collected in the Machine
through vacuum collection.
3. Pruning of tree branches, removal of cables etc. or any obstruction which might create hindrance in

General Conditions
● All Central/State Government/Semi-Government/Local Body's Rules and Regulations pertaining to
this contract shall be strictly followed and observed by the contractor without any extra cost to the

injury / death pilferage to the Contractual vehicles, equipment’s, property, staff and any third party or the
property under any circumstances while providing services under the Contract.
● Contractor has to follow all rules and regulations applicable to rendering of such services including
Factory Act (if required), therefore, all statutory provisions, rules, regulations shall be Observed
including, provision of Environmental Quality Act, Government of India.
● Successful bidder will have to follow all the provisions of Labor laws, P.F. Act, E.S.I. Act, Minimum
Wages Act, etc & Miscellaneous Provisions Act & other Industrial & Labour Laws with latest
amendments related to this Operation & Maintenance Work & will have to inform accordingly to the
Department. Contractor will not be given any relaxation regarding these provisions.
● The Contractor shall not reassign the work under the contract to any other party without prior written
approval of the CLIENT
● In specific circumstances, Successful bidders have to supply other machinery/equipment with
manpower to VMC under this contract, If required by VMC.
● Due to strike by the contractor's employees, the operation and maintenance of machines must not be
affected and the property of VMC should not be damaged. In such case any dispute/discrepancy occurs,
the decision of Chairman, VMC will be final and will be binding to the contractor. Also, if any expense
is required to be made on this account by VMC, it will be deducted from Contractor's bill/SD.
● All these works shall be done as per standard practices and by following MSW rule, labor, factory,
electrical, GPCB, and all other old and new law and order, Indian standards etc. as applied by Local,
State and Central Govt. of India.
● In case the successful bidder fails to deliver the services as stipulated in the tender, the MUNICIPAL
COMMISSIONER reserves right to get it done from alternate sources at risk, cost and responsibility of
successful bidder.
● As far as parking arrangements of the machines are concerned, the parking place shall be made
available by the CLIENT.
● The security Deposit will be paid back only after One year of the date of completion of entire
Contract period without any interest.
● Successful bidders have to install GPS system on O & M contractual machinery at his own cost.

● Obtain any and all permits, necessary approvals, clearances and sanctions from the Competent
Authority(ies), for necessary facilities like power, firefighting, telecommunications, etc. as and when
required, for the Operator and its employees to fulfil their obligations under this work.
● Make own arrangements to obtain the import licenses, if required for the import of machines and
equipment at the Project Site, as required for this Project.
● Ensure that the services supplied conform to the standards of the technical specifications and where
no applicable standard is mentioned, the standards shall be equivalent or superior to the official standard
whose application is appropriate to the country of origin of the goods and suitable to Vadodara weather
conditions and usage.
● Provide all the benefits to its staff such as Medical Insurance, ESI/EPF Coverage, regular Medical
Checkup, Safety gears/Personal Protective Equipment (PPE) during operation of the project and any
other facilities with compliance to the Governing Law of India in relation to Labours Welfare.
● Ensure not to pose any problem/nuisance to the general public, public traffic. The Operator shall be
solely responsible for the behavior and honesty of its workforce.
● Ensure not to dump or dispose of litter waste, garbage, or recyclables waste on any street, alley or
other publicly owned property unless expressly authorized by VMC.
● In the event of any accident/damage to third party by any of the vehicle/equipment of the Operator,
VMC shall be completely free from any liability of any nature occurred on account of the accident. The
Operator shall be fully and exclusively responsible for the liabilities arising on account of accident and
damage to the vehicle, manpower or to the third party. The Operator shall be fully and solely responsible
for any death or bodily injury to his staff member or any other person in the employment of the Operator
or to any other person during the performance of the contractual services. This includes any third- party

registration charges and any other related legal documentation charges, if any, in respect of the said
Project, as leviable on the date of submission of Commercial Proposal.
● Shall have his Name and Logo printed along with VMC name and Logo on the Vehicle Mounted Dry
& Wet Garbage Suction Machines. The Advertisement rights at all times during the work tenure of this
work shall be vested with VMC.
Contract Price & Payment
● For O & M Contract Price will be as per the price bid and will be inclusive of all expenses necessary
for the continuance of O & M services under the contract. The scope of work and the price includes
providing necessary manpower for carrying out the waste collection operation of the machines including
disposal of accumulated silt to the designated sanitary landfill site / transfer station through Solid Waste
Management transport.
● Rates quoted by Contractor shall be exclusive of GST but inclusive of other taxes/duties etc. and
payments to RTA, Labour Authorities, Local and Municipal Authorities, Semi Govt., or any charges,
deposits, dues, taxes, fuel, oil, lubricants, levies, toll taxes, insurance (if any) etc., connected with the

The contractor shall be responsible for keeping up-to-date record of documents including day to day
work of all the vehicles put in use as per requirements of VMC. The contractor shall maintain and
update logbook, in which details of operational parameters are recorded in every shift and at regular
interval or as decided mutually.
● If it is observed that the Contractor carrying out the work fail to comply with instructions given by the
authorities during execution of work thrice, the work will be terminated and will be carried out at the
risk and cost of the contract & penal action will be taken against them. This decision will not be subject
to arbitration.
● The CLIENT has the right to charge the contractor for any damage caused to its assets and the same shall
be recovered from the contractor with immediate effect.
● The Contractor will ensure that the waste materials stored in the close containers' vehicles are not
dumped/emptied at any place other than the one specified by the CLIENT. Disposal of waste in any
other area will be termed as Deficiency of Service and CLIENT reserves the rights to charge penalty as
well as terminate the Contract for Deficiency of Service.
● The corporation has the right to charge the contractor for any damage caused to corporation assets and
the same shall be recovered from the contractor with immediate effect. It is unlawful for the contractor
to dump or dispose of solid waste garbage or recyclables upon any street, alley, or other publicly owned
property unless expressly authorized by the corporation for special collection programs.
● Contractor has to submit daily/weekly/monthly report of their work to the respective VMC department
● VMC reserves the rights to terminate the Contract for Deficiency of Service.
This work is also inclusive of painting of Machines at the once in three years (if Machine found dirty) in
normal case and as and when required in accidental/repairing situation. The Solid Waste Management
will verify this. However, if any unit/mechanism will found to have some defect in paint work at any
time, the Contractor has to repaint the same under the instruction of Solid Waste Management Engineer.
CONTRACT PERIOD
The contractor shall have to commence the work within 3 days from the date of commissioning of
machines/vehicles and shall have to scale it up to the expected level within 07 days. The O & M
Contract will be for a period of 10-years from the date of commencement of O&M work.
Cost of O & M work will be calculated on the basis of 312 shifts per year per machine set. The total

Garbage Suction Machines machine for 10 year contract.
The shift of one machine is for 8-hours/day (i.e. 312-shift/year/machine).
Formation of Special Purpose Vehicle (SPV) for Project Execution
The Selected Bidder must undertake and perform the obligations and exercise the rights of the
Selected Bidder under the Project including the obligation to enter into Agreement for the entire work of
this Project through its Special Purpose Vehicle (“SPV”).
a. Formation of SPV is compulsory and Bidder must submit the Name of Proposed SPV along with
Tender document at the time of technical bid submission, However the SPV can be formed after the
bidder receives the LOA.
b. The selected bidder & / or its Director shall hold major equity stake in the SPV at all times during
the term of the operation Period.
c. The SPV and Bidder, both will be equally liable for all tender conditions and regulation.
d. The bidder has to complete the formalities of the SPV once they receive the LOA , The Work order
will be released in the name of the SPV
e. Performance bank guarantee / security deposit for the entire work shall be submitted by the SPV
f. Any change in SPV structure, has to be approved by the Municipal Corporation Moreover, all the
administrative, legal & financial correspondence with the Municipal Corporation shall be done by SPV
AGREEMENT WITH MANUFACTURER FOR TECHNICAL BACKUP.
Tenderer shall have proper tie-up agreement with the manufacturer/authorized dealer/ agent/distributor
duly registered in India for the entire contract period, clearly stating that the manufacturer/authorized
dealer/agent/distributor will supply the spare parts, provide technical support and services and with
backup guarantee of the manufacturer/authorized dealer/ agent/distributor to VMC during the entire
contract period.
The VMC reserves the right to carry out inspection, as and when required without intimating the
contractor, of the various locations where work is in progress. Any shortcoming found during inspection
will be intimated to the contractor or his supervisor orally or in written which shall have to be attended
immediately by the contractor or his supervisor. The penalties imposed on the contractor from time to
time, shall be recovered from the Monthly Bill or adjusted against the security deposit. The corporation
reserves the right to treat continuous shortcomings as “Deficiency of Service” and terminate the
Contract after giving two months’ notice.
Force Majeure shall mean such an Event or Circumstance or combination of Events and Circumstances
which are beyond the reasonable control of the Affected Party and which the affected party could not
have prevented by Good Industry Practice or by the exercise of reasonable skills and care for the
purpose of discharging its obligations under the Contract. The Force Majeure will tend to have material
adverse effect on the performance of such affected party.
Following shall be the events and circumstances of Force Majeure:
Act of War (whether declared or undeclared), invasion, armed conflict or act of foreign enemy,
blockade, revolution, riots, insurrection, civil commotion, act of terrorism, or sabotage
The expropriation or Compulsory acquisition or seizure of the assets of The Contractor by any
Governmental Instrumentality, provided that this clause shall not apply where such Act constitutes a
remedy or sanction lawfully exercised as a result of a breach by the Contractor of any Indian law or
Indian Directive but excluding any change in law.
Act of God epidemic, pandemic, lightning, earthquake, cyclone, whirlwind, flood, tempest, storm,
drought, lack of water or other unusual or extreme adverse weather or environmental conditions, action
of the elements, meteorites, fire or explosion to the extent generated from the source external to the
Contractor or his assets due to reasons other than, those caused by negligence of the Parties, chemical or
radioactive contamination or ionizing radiation.
Procedure for Calling Force Majeure: The affected party shall notify to the other party in writing of the
occurrence of the Force Majeure as soon as reasonably practicable, and in any event within 24 hours
(Twenty Four hours) after the Affected Party knew, or ought reasonably to have known, of its
occurrence and that the Force Majeure would be likely to have a material impact on the performance of
its obligations under the Contract.
The notice shall include full particulars of the nature of Force Majeure event, the effect it is likely to
have on the Affected Party’s performance of its obligations and the measures, which the Affected Party
is taking, or proposes to take, to alleviate the impact of the Force Majeure Event and restore the
performance of its obligations. When the affected Party is able to resume performance of its obligations
under this Contract, it shall promptly give the other party written notice to that effect provided that in no
event shall the suspension of performance be of greater scope and of longer duration than is necessitated
by Force Majeure. The rights and obligations of the Affected Party shall be suspended to the extent they
are affected by the Force Majeure. VMC shall not be liable to make any payments to the contractor for it
being affected on account of Force Majeure.
VMC reserves the right to terminate the contract if the Force Majeure continues for more than
(Fifteen) days at a stretch.
PROVISION OF GPS MECHANISM
Contractor shall provide GPS (Vehicle tracking system) mechanism at his cost in each vehicle as well as
at control room location with required network (Hardware & Software) facility and have to provide
necessary data as per requirements of BMC during the contract period.
TERMINATION OF CONTRACT
The Contract shall stand terminated at the end of the Contract period unless extended by the corporation

ii) If it is observed that the Contractor carrying out the work fail to comply with instructions given by the
authorities at the Dy. Municipal Commissioners / Municipal Commissioner’s level during execution of
work thrice, the work will be terminated and will be carried out at the risk and cost of the contract &
penal action will be taken against them. This decision will not be arbitral at all.
iii) The above condition will be in addition to the relevant condition in General Conditions of Contract
regarding cancellation of full or part of the work, finality of the decision of the disputes, differences or
claims raised by the contractors relating to any matter arising out of the contract

Vehicles manufacturer/ supplier / dealer must supplied Collectively 30 Nos Machine as per specification
in last 7 year in India. Documentary Evidence in support of the same should be required from past
customer with detailed specification as per specification of tender. Necessary documentary proof shall
be attached with the tender.
I. The tenderer shall furnish satisfactory performance certificate for machine supply from the past
purchasers for at least total 2 customers of Vehicle Mounted Litter Picker Vehicles (as mentioned in PQ
for respective tender part) for Vehicle supply & its working together with self‐attested copies of purchase
orders received from those client/s.
J. The tenderer shall furnish a satisfactory performance certificate for service providing work from
the past/ current customers for at least One work with details & itʹs working together with self‐attested
copies of order/s received from those client/s.
K. All related duly self attested documents like work order, performance certificates, RTO Registration
Book etc. shall be submitted with the tender. The tenderer shall furnish satisfactory performance
certificate for the work executed by him. Necessary documentary proof shall be attached with the tender.
L. The tenderer shall furnish the list of Municipal corporations /ULBs /Institutions etc. with Address
& Tel. no. to whom equipment’s have been supplied during the preceding five years and the numbers of
equipment’s/vehicles such supplied.
M. The bidder must be submit Photographic evidence of the actual machine, highlighting key
features such as:

Hydraulic telescopic boom
Dust filtration system
N. Corporation reserves the right to seek NABL-accredited lab certification of the supplied
equipment at any stage. Non-compliance or failure to meet specifications may lead to rejection of
equipment or termination of contract.
O. The Corporation reserves the right to request a physical demonstration with Video recording
of the quoted equipment during the technical evaluation phase. The demonstration shall validate
compliance with all functional and performance parameters as defined under the technical specification
(Annexure B). Based on the performance observed during the demonstration, the corporation reserves the
right to accept or reject the bid. The demonstration of the Vehicle-Mounted Dry & Wet Garbage Suction
Machine shall be live video recorded by the corporation in presence of concerned officials. The complete
video footage shall be submitted to corporation as official proof of performance for evaluation by the
Department. The video must clearly capture functional aspects, including hydraulic tipping, hydraulic
boom, and dust filtration system, as demonstrated during the trial.
P. The Bidder Must be Submit MOU with OEM of vehicles as per tender
specification.(Annexure C)

R. Formation of Special Purpose Vehicle (SPV) for Project Execution
The Selected Bidder may undertake and perform the obligations and exercise the rights of the
Selected Bidder under the Project including the obligation to enter into Agreement for the entire
work of this Project through it’s Special Purpose Vehicle (“SPV”).
Formation of SPV is purely optional and if bidder wants to execute the project through SPV then Bidder
has to submit the Name of Proposed SPV along with Tender document at the time of technical bid
The selected bidder & / or its Director shall hold major equity stake in the SPV at all times during the
term of the operation Period.
The SPV and Bidder, both will be equally liable for all tender conditions and regulation.

A. By the Contract Agreement (“the Contract Agreement”) being entered into between VMC and

Suction Machines with Operation & Maintenance Contract for period of Ten Years as per VMC
tender conditions and requirements”, VMC (hereinafter referred to as “the Installation”).
B. In terms of Article 7.2 of the Contract Agreement, the Contractor is required to furnish to VMC,
an unconditional and irrevocable bank guarantee for an amount of Rs…………………

under the Contract Agreement, relating to final delivery of uniform by the Contractor.
C. At the request of the Contractor, the Guarantor has agreed to provide bank guarantee, being these

relating to the Project.
NOW THEREFORE THIS DEED WITNESSED AS FOLLOWS:
1. Capitalised terms used herein but not defined shall have the meaning assigned to them
respectively in the Contract Agreement.
2. The Guarantor hereby irrevocably guarantees the due and punctual performance by M/s.
(hereinafter called “the Contractor”) of all its obligations relating to the Installation and in
connection with final delivery by the Contractor in accordance with the Contract Agreement.
3. The Guarantor shall, without demur, pay to VMC sums not exceeding in aggregate
Rs…………………….- (Rupees… only), within five (5) calendar days of receipt of a written demand therefore
from VMC stating that the Company has failed to meet its obligations under the Contract Agreement. The
Guarantor shall not go into the veracity of any breach or failure on the part of the Contractor or validity of
demand so made by VMC and shall pay the amount specified in the demand notwithstanding any direction to
the contrary given or any dispute whatsoever raised by the Contractor or any other Person. The Guarantor‟s
obligations hereunder shall subsist until all such demands are duly met and discharged in accordance with the
provisions hereof.
4. In order to give effect to this Guarantee, VMC shall be entitled to treat the Guarantor as the
principal debtor. The obligations of the Guarantor shall not be affected by any variations in the terms
and conditions of the Contract Agreement or other documents or by the extension of time for
performance granted to the Contractor or postponement/non exercise/ delayed exercise of any of its
rights by VMC or any indulgence shown by VMC to the Contractor and the Guarantor shall not be
relieved from its obligations under this Guarantee on account of any such variation, extension,
postponement, non-exercise, delayed exercise of any of its rights by VMC or any indulgence shown by
VMC, provided nothing contained herein shall enlarge the Guarantor‟s obligation hereunder.
5. This Guarantee shall be irrevocable and shall remain in full force and effect until 3 unless
discharged/ released earlier by VMC in accordance with the provisions of the Contract Agreement.
The Guarantor‟s liability in aggregate is limited to a sum of Rs……………. (Rupees only).
6. This Guarantee shall not be affected by any change in the constitution or winding up of the
Contractor/the Guarantor or any absorption, merger or amalgamation of the Contractor/ the Guarantor
