08. All interested parties are requested to understand this Tender Document in detail

in order to comply with PGVCL’s requir ements including but not lim ited to the

f ees and deadlines, selection crit eria, selection methodolog y, scope of work, and

minimum technical st andards.

09. All interested parties requested to strict ly abide by all terms prescribed i n this

RFP Document and provide accurate inf ormation to the best of their knowledge

without misleading PGVCL to be consider ed f or participation in this Pr oject.

10. It shall be sole responsibilit y of the bidder that the uploaded scanned documents

(in PDF f rom) remain legible and should not be password protected.

11. In case short submission of documents with bid and / or clar if ication if any

required f rom the bidder, the required details / documents may be asked f rom

bidder in physical f orm / through mail.

12. The bidd ers are required to f ill up all the online appendices (annexure)/f orms.

This is intended f or transparency and speedy evaluat ion of the bids. Instead of

simply conf irming/attached in bid/ref er physical of f er, the bidder shall f ill in the

SECTION: INSTRUCTIONS TO THE BIDDER

1. General Instruction

1.1. The Superintending Engineer, PGVCL, Rajkot Rural C ircle f or and on behalf

of "PASCHI M GUJARAT VIJ CO MPANY LTD.", having its Off ice at Rajkot

Rural Circle off ice, off Nana Mava Main Road, Laxminag ar, Rajkot, hereaf ter

called the "PGVCL" intends to INVITE tender f or Bill printing w ork of LT

Consumers in all sub di vision offices of Rajkot Rural Circle for 02 Years .

1.2. Bids submitted af ter the time and date f ixed f or receipt of bids as set out in

the INVITATION to Bid shall be rejected.

1.3. The works ref erred herein shall cover the entire scope of the Tender.

1.4. The issuance of bid document would not mean that the bidder has qualif ied

f or the bidding. Hence bidders should ensure themselves of their credent ials

bef ore submitting their of f er.

1.5. First the tender f ee and EMD bid (Preliminar y Bid) will be opened and if the

payment of tender f ee and EMD are f ound in order then only online technical

bid will be opened f irst. All those who are f ound technically competent to

carry out the work will be considered as qualif ied bidders and only t hose

online f inancial bid s will be opened.

1.6. The Super intending Engineer, PGVCL, Rajkot Rural Circle reserves the r ight

to spread the order if required.

1.7. Does not anticipate change in the PGVCL ownership during the proposed

period of work.

2. Pre-Qualification Criteria / Eligibility Criteria For Technical

The bidder must submit / upload t he f ollowing all details / all documents ( as

mentioned) in online Technical Bid, which are mandator y. Due to Non Submission of

any details / any document as per requir ement, the bid will be rejected out right ly.

2.1. For experienced / Regular Contractor : Contractor must have experience of

bill pr inting work under or related to tender work along with sat isf actory work

completion cert if icate regarding execution of work from order issuing

author it y of any DISCO M of GUVNL or any Govt. /Private DISCO M of any

state of India. The documents f or considering the exper ience such as W ork

order copies, exper ience cert if icate indicating order number and value has

to be submitted. The Bidder has to also submit the detail s of Pending

Work orders as on date of biddi ng the T ender.

How ever, the w ork executed t hrough open / advertised tender shall

onl y be considered. The w ork done through limited tender shall not be

considered for experience .

2.1.1. Regular contractor must submit Exper ience of having successf ully

completed similar works through open/advertised tender anywhere in

India only dur ing last 7 years ending last day of month previous to the

one in which tenders are invited. New contractors not possessing any

exper ience of Bill Pr inting W ork can also participate in tender pr ovided

they f ulf il other eligibilit y cr iter ia at Sr. no. 2. 1.2 to 2.1.9 below.

3. Tender Fee (As per GUVNL/Tech -3/1586 Dt: 04-10-2023):

3.1. All the bidders will be required to pay Tender Fees plus applicable GST

as mentioned in the Tender documents ei ther in Cash (Up to Rs.

10,000/- only) at the office address specified in the Tender document

or by RTGS / NEFT / Online. As per modified clause for Tender Fee

& EMD (up to 5 Lakhs) no any physical documents w ith bids w ill be

required from bidders.

3.2. The Tender Fees is Non -refundable under normal circumstances.

However, if purchaser company decides to scrap/ cancel the tender, by

one or another reason, in which bidders are not responsible for

cancellation/ scrap of tender, in such case tender fee witho ut GST

amount may be refunded to bidder(s), at sole discretion of the

purchaser company.

3.3. The bidder can pay the tender fee plus GST as applicable in Cash at

Cash Counter, Office of The Superintending Engineer, PGVCL, Rural

Circle Office, Laxminagar, Rajko t (up to 10,000/- only) during working

day between 10:30 A.M. to 04:00 P.M. and on working Saturday

between 10:30 A.M.to 04:00 P.M. before the due date and time for

submission of tender, and upload the self -certified photocopy of Money

receipt online.

3.4. Tender fee Original Money receipt / Online Reference number must be

uploaded online, otherwise supplier’s offer is liable to be rejected and

online technical bid will not be opened.

3.5. Every bidder shall inform their GSTIN No. at the time of payment of

applicable f ees.

4. EMD (GUVNL/Tech- 3/DE-1/1586 Dt: 04- 10-2023):

4.1. As per modif ied clause, f or EMD amount up to Rs.3 Lakhs should be paid

by RTGS / NEFT / O nline mode only. No any Physical docum ents with bids

will be r equired and on complet ion of bid subm ission per iod, bids can be

4.2. The EMD is payable eithe r by Cash ( if amount is less than Rs. 10000.00) or

4.4. If the successf ul bidder f ails to submit a Secur it y Deposit within 15 days

f rom the date of LOA of the contract or f ails to sign the contract agreement,

then the EMD amount will be f orf eited by PGVCL with out any notice or proof

of damages etc.

4.5. The EMD of all unsuccessf ul bidders except that of the successf ul bidder

will be returned af ter the award of the contract. EMD of the tenderers will

be returned to RTGS/NEFT f or credit to bidder’s Bank Account. The bidder

shall have to give details of his bank account with a cheque duly cancelled.

No claim f or ref und of EMD against Original Money Receipt shall be

entertained by PGVCL. The details of ref und of EMD by RTGS with

transaction no. will b e inf ormed to respective bidders by let ter/email etc.

4.6. No interest will be payable by the PGVCL on the above Deposit.

4.7. EMD can be exempt ed as per Industries & Mines Department, GoG New

Purchase Policy Resolution No. SPO/1095/2636(97)/CH dat ed 23.

f or Small and Micro Scale Industries.

4.8. In cases, where EMD need not to be paid, valid exempt ion Certif icates duly

notarized has to be produced/attached in place of EMD documents as per

the Tender Terms and Condit ions.

4.9. The Micro and Small Scale Indus trial (manuf acturing) Units registered under

Small Scale Industries of Gujarat State and holding subsequent registration

with NSIC/ DGS&D, Registrat ion Certif icates f or the item under Tender will

be eligible f or exem ption f rom payment of EMD on submission o f attested

copies of their SSI (SSI/ MSME Part - II) & NSIC/DGS&D Registration

Certif icates and Udhyog Adhar Certif icate / Memorandum with EMD (in

Preliminar y Bid) . This benef it of exempt ion will not be admissible if they

4.10. The Certif icates should indicate the manuf acture/ser vice/ works of

items/ work off ered.

4.11. Earnest Money will be liable to be f orf eited, if (1) If Tender is withdrawing

during validit y of t he off er and (2) The Tenderer f ails to deposit the Secur it y

5. Submission of Technical Bid: -

Bidder has to upload scanned copies of original (Notar ized/ Self attested copies of

original – as specif ied in this Tender Documents). It shall be sole responsibilit y of

the bidder that the uploaded scanned documents (PDF Files only) remain legible and

should not be password protected.

Bidder ’s of f er is liable to be reject ed if they don’t upload any of the certif icates /

documents sought in the Bid document and amendment if any. The tender i s to be

6. Opening of Technical bids: -

6.1. The EMD documents & Technical bids shall be opened online on the due

date in the prese nce of all bidders / their representatives, if present. At f irst,

Note: The number of consumers is latest approximat e and it may change ever y

month. The contractor shall have to complete the w ork as per the billing dat a

The quantit y of consumers may increase due to addit ion of new consumers or

decrease due to per manent disconnect ion / creation of new sub division of f ices .

Approximate growth of consumers may be considered as approx. 8% t o 10% per

year. The bidder m ust take into account such possible variation f or print ing &

Distr ibut ion of bills at the time of preparation of Tender Bid.

2. Scope of w ork to be carried out as per Tender.

(i) The contractor shall collect the PGVCL bill print designed sample of LT bills

f rom Billing & Revenue sect ion and develop their own printed sample which

should conf orm to the PGVCL specif ication and obtain approval bef ore

commencement of Print ing of Bills.

(ii) The printing sites will be es tablished and managed by the contractor with his

own machiner y, printers, standby pr inters, material, manpower, electr icit y,

standby power supply, internet and inf ormation technolog y, etc. (bidder will

have to submit details of convenient pr int ing locat ion s in their t ender technical

bid and details proposal f or carrying out entire act ivit y of bill printing along

with necessar y documentar y proof ). PGVCL reser ves the right f or site

inspect ion of printing set -up bef ore f inalizing the contract or at any t ime

contractor himself and no work or part shall be sublet to subcontractor. The

contractor will have t o set up pr int ing sites and commence pr inting immediately

upon placement of orde r.

(iii) The contractor shall collect the blank stationar y as per the PGVCL

specif ication requir ed f or Monthly/Bi - monthly bill pr inting and maintain

suff icient st ock f or carrying out the work during the contract period. Also,

suff icient stock of A-4 size paper to be maintain f or bill printing during non -

availabilit y of blank stationar y.

(iv) The contractor shall make use of high speed dot matrix line pr inting technolog y

junior programmer ( JP) of respective cir cle will ensure the same. (Details of

print ing technolog y t o be subm itted by the bidders in the tender)

(v) The contractor shall print the bills with f ixed and variable bill data with f onts

in English language. During f urther period of contract when bill f ormat, design

is revised by PGVCL, contractor will have to ma ke necessar y changes on same

rate terms and conditions of the contract.

(vi) PGVCL – Sub Divisions will have sent the bills printing f iles cycle wise to the

contractor via web -portals/e-mail/pen dr ive as once in a month, bidders have

to f ix date and time of eac h Sub Division. The print ing data to be strict l y

maintain conf idential by bidder/contract or and af ter printing of bills same to

delete any sharing data by part y will attract legal actions and cost accor dingly.

(vii) The contractor will completer pr int ing of all the bills within 12 Hrs. of receiving

the f ile on the web portal/e -mails/pen dr ive. Af ter printing, the deliver y of bills

to Subdivision will have to completed wit hin next 12 Hr s., that is total window

time of 24 Hrs. is given f rom receipt of bill pr int up to deliver y of bills t o

Subdivision Off ice.

(viii) Bill print ing work will have to be carried out 24 X 7 except main public holidays

(26th Januar y, 15th August etc.). The contractor should be capable of handling

increase pr int load without af f ection the distri bution time specif ied.

(ix) The qualit y of print should be clear, visible, no words/f igure spread and with

100% readabilit y. In case need arise, PGVCL Rajkot Rural Circle will deput e

a person to monitor t he printing and dispatches of bills.

(x) Af ter the printing o f bills wit hin 12 Hrs, the contractor will have to sort

subdivision wise/ bill book wise bill book binding, pack and delivers t he bills

within next 12 Hrs to the concerned sub division as per given in details order.

Upon deliver y of printed bills to concerned subdivision, contr actor will obtain

necessar y acknowledgment to conf irm the record the time of deliver y. The

subdivision off ices will f eed the receipt acknowledgment of printed b ills

immediately on same day of deliver y. (Penalt y f or delay in printing of bills is

(xi) Contractor will maint ain clear record of activit y done and such record shall be

made available to PGVCL off icial on dem and f rom time to time. Contractor will

report by Email the quantit y of bills pr inted subdivision wise to concerned

SECTION IV: TERMS & CONDITIONS REGARDING IN DUSTRIAL

LAWS AND OTHER RELATED MATTERS

1. Wages to be paid at the time of payment etc. by the contractor.

(a) The contractor shall pay minimum prevailing rates per day or as may be

specif ied here af ter or rates f ixed under the Minimum Wages Act, whichever

is higher. The wages of every contract labour employed by him under this

contract shall be paid by him bef ore the expir y of 7 t h day of the month

irrespective of which the wages are payable i. e. wages of a last month have

to be paid by him in the f irst week of the next month). The payment shall be

distr ibuted in the presence of management representative dur ing the working

hours in f actory premises and the contr actor shall get the entries certif ied in

the register of wages by the representat ive of the Com pany. A ny def ault will

result in cancellat ion of contract f orthwith or also the contract shall be paid

punishable to the ext ent of ₹ 100/- f ine per each day.

(b) The contractor shall give his telephone number and address to the Compan y

so that in case of labour troub les etc. the contractor can be contracted. The

contractor shall arrange to have his off ice outside the f actory premises and

the contractor shall keep himself present throughout the working hours.

2. L ABO UR L AWS

(a) Person below the age of 18 years shall not be em ployed f or the work.

(b) No f emale worker shall be employed in the night shif t between 7 P. M. to

of any claim or disputes under the Industrial Disputes Act 1947 or any other

3. PROVIDENT FUND & F AMILY PENSION SCHEME : The contractor shall submit

along with his bill (month wise) a statement regarding deduct ion against

employees’ pr ovident f und and f amily pension scheme in r espect ive of each

concerned employee provident f und and f amily pension scheme at the rate at

admiss ible (or at the rate made applicable by the Gover nment f rom time to time)

of the wage. The contractor shall deposit the contractor ’s contribut ion and his

workers’ contribut ion towards provident f und and f amily pension scheme with

Regional Provident Fund Co mmissioner, Ahmedabad.

4. DEPO SI T LINKED INSUR ANCE SCHEM E : The contractor shall have to deposit

½% of the wages in respect of employees who is a member of the Provident Fund

as the contribut ion to the deposit. Linked Insur ance Scheme wit h Regional

5. ADMINISTR ATIVE CH ARG ES : The contract shall deposit adm inistrative charges

compensation and against all claims, demands, proceedings costs, charges and

expenses whatsoever in respective thereof in relation ther eto.

10. WORKER’S COMPENS ATION AND EMPLOYER’ S LI ABILI TY INSUR ANCE :

Insurance shall be eff ected f or all t he contractor ’s employee engaged in the

perf ormance of this contract if any of the work is subject the contractor shall

require the sub -cont ractor to provide workmen’s compensation and employers

liabilit y insurance f or th e letter’s employees unless such employees are covered

under the contractor ’s insur ance.

during its tendency without giving notice of termination or any reasons thereof .

16. P AYM ENT OF SECURI TY DEPOSI T The contractor will have to pay the Secur it y

Deposit as 5% of the order value bef ore placing the order and at the t ime of

execut ion of Agreement.

17. SIGNING AG REEMENT The contractor will have to sign an agreement as per

Company’s rules in the prescr ibed f orm of the P.G.V.C.L. attached with this

20. PGVCL does not accept any responsibilit y as Factor y Act, Minimum W ages Act,

W orkmen’s Compensation Act, Insurance Rules etc. or any other act, rules or

regulations that have to be obser ved by the contractor f or carrying out the work.

21. The contract will be governed by the company as per works terms & condit ions

of the company.

22. ACOUNTIBI LI TY OF PGVCL M ATERI ALS The contractor will be f ully answer able

and responsible f or all the Stat ionaries issued to him f or the work by the PGVCL,

any thef t and loss of pilf erage shall have to be borne by t he contractor.

23. Contractor will not be allowed to work af ter working hours e xcept in special case,

24. The contractor has to engage required st rength of skilled persons f or execut ion

of work and proper super visor to avoid complicat ion and unnecessar y delay to

complete work timely. The contractor will be solely responsible f or labour claims

arising out of the labour employed f or this job.

eff orts to complete the work within stipula ted time limit as may be given by the

Engineer in Charge depending upon emergency of work.

35. The contractor has to remain in contact with Engineer in Charge of work who in

turn shall issue detailed instruct ion f or the commencement of the work.

36. The contractor has to maintain site reg ister cover ing all aspects of Stationaries

received / utilized / printed f or day to day work and has to obtain signature of

Engineer in Charge.

37. A f resh and valid solvency certif icate to t he extent of 20% of the order ed value

will have to be produced by the contractor and party has to submit attested copy

of solvency certif icat e to the company bef ore commencing of work.

38. The contractor will be solely responsible f or any accident/damage either to

equipment or any human being during th e time of execution of work.

39. All ot her general t erms and condit ions as prevailing in the PGVCL shall be

applicable to this work contract.

40. Either Contractor or Contractor ’s authorized person should contact our Engineer

In Charge as well as Division Off ice, under Rajkot Rural circle daily f or the

availabilit y of materials or Stat ionaries required f or this work, failing to which this

work order shall be terminated without giving any notice.

41. Prior inst itution in wr iting f or starting the job will be given by PGV CL f or the work.

42. Contractor will have to make his own arrangement f or required all kinds of tools

and tackles required f or the execut ion of work.

43. The cost of damages, if any will be recovered f rom the Contractor’s bill. The

assessment of which will be done by Engineer In Charge in consultation with

division of f ice, and his sole discr etion and his decision shall be binding to the

contractor and shall be considered as f inal and unchallengeable.

44. The contractor will have to give indemnit y bond to PGVCL against any possible

claim of compensat ion f or damage to Contractor’s equipment or staff or any of

third part ies during the execution of work as per attached f ormat .

45. The Contractor will have to complete entire job as per direct ive and instruct ion

of Engineer in Charge. If he f ails to do so entire work will be carried out at the

risk and cost of Cont ractor.

46. The contractor must engage suff icient knowledgeable person round t he clock,

exclusively f or execution of work.

47. The Contract or will g overned by t he PG VCL general condit ions of works contract.

The Booklet will be available in the concerned of f ice in any working days. In the

event of placing order, the Contractor will be bound to the terms & conditions of

the booklet. All the usual terms and con ditions of the Company though the same

might have not been mentioned in this specif ication or contractor booklet will

applicable to this contract, and the decision of the Executive Engineer /

Super intending Engineer shall be binding on the Contractor.

48. Af ter complet ion of the work against each SW O, all the sur plus materials or

Stationar ies issued by the PGVCL shall be return ed by you to the respect ive Sdn

of the PGVCL as per instruct ion of super visor In Charge at contractor’s cost.

49. Specif ication in any items mentioned in tender are subject to change without any

prior notice and binding to the contractor.

50. The PGVCL shall deduct the Income -Tax and other taxes as per prevailing rules

of all relevant Govt. Author ities f rom the bill.

51. If the work is required to be carried out during f ix out age then the contractor has

to deploy adequate man power, material, tools etc. well in advance and has to

complete the ent ire work during this specif ic outage per iod only, f ailing to which

Company shall be at liable to deduct the amount of revenue loss due to prolong

54. For shortage of any materials or Stationaries issued by the PGVCL f or the work,

recover y shall be made f rom you, on the b asis of prices of the materials or

Stationar ies plus 15% super vision charges.

55. The contractor has to carry out all the works in accordance with revised and

latest pr ovision under I.T. Rule Act made there under and as per instruction of

Engineer In Charge.

56. The Superintending Engineer, Rajkot Rur al Circle, reser ve rig hts to reject any or

all the tenders without assigning any reasons thereof . Issuance of blank tender

does not automatically qualif y the tender ers f or award.

57. No tools, tackles, m anpower etc. will be provided by t he PGVCL.

58. The contractor has t o f ollow all labour laws, saf ety rules and regulat ions. The

PGVCL does not take any responsibilit y in case of accident or injur y to the

workers. The saf ety, securit y of men, materials and equipment shall be sole

responsibilit y of the contractor.

59. The compliances of all Central / State Govt. Rules, saf ety and insurance rul es

etc. and that of local body is a must condition f or the agency.

60. The bidder shall specif ically note that PGVCL will not pay any extra amount

towards any t ype of claim except f or the descr iption indicated in Schedule –A.

The party has to carry out all oth er addit ional requir ed activities / work as

directed by Engineer In Charge which is not mentioned in Schedule but required

to be completed as per the site condit ion and f or this work no extra paym ent shall

be made by PGVCL.

a) The interpret ation of s pecifications doubts etc.: - In case of any doubts

about what is mentioned in specif ication or schedule of elsewhere, the tenderer

should get all doubt s cleared f rom the Department in wr iting and in advance

bef ore f illing in the t ender. In case of dif feren ce of opinion about interpretat ion

of specif ication etc. the decision of The Super intendi ng Engineer, Rur al Circle

off ice, Rajkot will be f inal and shall be binding to the contract or.

b) The contractor has t o maintain site register, cover ing all the daily det ails of

Stationar ies receipt and ut ilization, progress of work etc. This register shall be

checked and s igned by Engineer In Char ge/ Deput y / Execut ive Engineer, of

62. The quantities mentioned in the accompanying Schedul e B are onl y

63. The tenders shall remain open f or accept ance at least f or a period of 120 da ys

f rom the date of opening of tenders f or processing the wor k order. PGVCL does

not bind itself to accept the lower or any tender. The Superintending Engineer,

Rajkot Rural Circle reser ves the right to reject any or all tender without assigning

any reasons whatsoever. The contractor should employ as a Super visor wit h

suff icient qualif icat ion and exper ience who could super vise the execution of work

64. WORKING D AYS: -

As regard damages to the Stat ionaries, materials, equipment, contractor himself

will be responsible. If there is any compensat ion to be paid in respect of

“W ORKMAN” Compensation Act or any o ther statutory provisions, the same will

be paid by contractor directly. If he thinks f it, he may take necessar y insurance

cover ing at his cost.

65. The Contractor shall co -operat e with the PGVCL f or taking measurement etc.

as ear ly as possible and he shall f u lf il the ent ire requirement which is necessar y

to f inalize the accounts.

66. The competent authorit y can delete any item in schedule of the tender if he

f eels that the rate quoted by the contractor f or the item is abnormally high when

compared to the estimated rates.

67. Time limit extensi on w ill be given if material is not supplied in time and

in any case of objection not cleared in t ime . But if materials gi ven in time and

there is no an y objection, then no time limit extension w ill be granted and

penalt y w ill be imposed as per rules .

68. DELI VERY OF PRE-PRINTED STATIONARY: Required material f or the work

as per Schedule shall be delivered f rom any stor e Centres of PGVCL jur isdiction

and contractor has t o take deliver y f rom these stores at his own only.

69. The contractor s hall not ref use to execut e this work order at any time and it

will be his sole responsibilit y to execute and complete this work as per the

instruct ion of Engineer in Charge.

70. TESTI NG & COMMISSIONING: You will ensure that completion of execution

of work i.e. all works connected wit h st ationar y pr int ing having been completed

correctly as per standard procedure. Any extra cost involved due to

incompleteness of work or bad workmanship f ound out subsequent ly shall be set

right with and by you at your own cost.

SECTION V: GENERAL TERMS AND CONDITIONS

Work Completion Period

In the event of placement of order, Contractor shall have to complete the

ordered w ork w ithin 730 Da ys from the Date of issue of Work Order.

1. In this deed of agreement/ Off er, unless the context ot her wise requires: -

PGVCL shall mean the Superintending Engineer of Paschim Gujarat Vij Co.

Ltd., at Rajkot Rural Circle , and shall includ e his successor s and assignees.

The Bidder shall mean the Bidder / Associate whose off er shall be accepted b y

PGVCL and shall include such Bidders / Associate heirs, legal representatives,

successors and assignees. Associate shall mean the business associat e

author ized and having valid agreement with Pub lic Sector Enterpr ise having

exper ience in f ield with of f ice in the State of Gujarat. The off er shall be

considered on behalf of the Public Sect or Enterpr ise and authorit y letter f or

submitt ing the tender shall be f urnished. If the Public Sector Enterpr ise directly

participates in the tender, Associate’s offer shall not be considered.

2. The Bidder shall be deemed to have caref ully exam ined all the papers,

drawings, etc. attached in the contract. If he has any doubt as to the meaning

of any portion of any cond ition/ specif ication, etc. he shall bef ore signing the

contract submit the particulars thereof to PGVCL in order that such doubts are

whose premises the work has to be done.

6. The Bidder shall not, without the consent in writ ing of PGVCL, transf er, assign

or sublet the work under this contract or any subst antial par t thereof to any

7. If the Bidder neglect s to execute the wor k with due diligence and expedition or

ref uses or neglect to comply with any reasonable orders within t wo days’ notice

given in wr iting to the Bidder and if he f ails to comply wit h the notice, then in

such a case PGVCL shall be at libert y to get the work o r any part of it, executed

through any other agency/ Bidder in the manner and on the terms it thinks

proper. If the cost of executing the work as af oresaid shall exceed the balance

due to the Bidder, and the Bidder f ails to make good the def iciency, PGVCL

may recover it f rom the Bidder in any lawf ul manner.

8. PGVCL shall have at all reasonable time access to the works being carried out

by the Bidder under this contract. All the works shall be carried out by the

Bidder to the sat isf action of PGVCL.

9. PGVCL may at any t ime by notice in writ ing to the Bidder either stop the work

altogether or reduce or cut it down. If the work is stopped altog ether, the Bidder

shall only be paid f or work done and expenses legitimat ely incurred by him as

on preparat ion of the execu tion of the wor k up to the date on which such notice

is received by him. Such expenses shall be assessed by PGVCL whose decision

shall be f inal and binding on the Bidder. If the work is cut down the Bidder shall

not be paid f or the work as so cut down, but in neither case shall be paid any

compensation what so ever f or the loss or prof it which he m ight have made if

he had been allowed to complete all the work included in the contract.

10. Notices, Statements and other communications sent by PGVCL through

registered post or telegram or telex or any other way of communication to the

Bidder at his specif ied address shall be deemed to have been delivered to the

13. The Bidder shall not display the photograph of the work and shall not take

advant age through publicit y of the work without wr itten perm ission of PGVCL.

14. The inspection as menti oned in above clause No. 9 of this section by PGVCL’s

represent ative shall not relieve the Bidder f rom f ull responsibilit y of complet ing

the work conf irming to the requirement of this contract.

15. Condit ional tenders shall not be accepted.

16. PRICE EV ALU ATION: No pr ice pr ef erence shall be given on any account. All

tenders must be submitted f irm price basis (Inclusive of all Taxes) and lowest

evaluated bid in the interest of the PGVCL, f or the complet e works covered

under these specif ications and documents. If more than one part y is to be

considered f or placement of order, they will have to match their end cost wit h

end cost of L-1 technically acceptable bidder. PGVCL (tender I nvit ing Authorit y)

may go to the L-2, L -3 and so on depending upon the requirement. If P GVCL

(tender Inviting Authorit y) f eels that ther e is lack of serious competit ion or an y

other reasons, PGVCL (tender Inviting Author it y) may negotiate with the L -1

party. PGVCL’s (tender Invit ing Authority) decision shall be f inal and binding

on all the parties.

17. QU ANTI TY DI STRI BUTION The Contract ors whether non -experienced / New or

exper ienced / Regular who have conf irmed /f ulf illed pr e eligibilit y criter ia will

only be considered for price evaluation. PGVCL will not consider the price bid

of any contracto r who does not conf irm / f ulf il the eligibilit y cr iteria.

[a] W hile placing the order, the quant it y distribution to each new contractors /

new f irms shall be restricted up to 30 % of the tender amount /Qty. f or all

such new bidders pr ovided the price of New contractor is lower than the

regular/experienced contractor. New cont ractor / new f irm will be considered

as a regular contractor only af ter f ull f iling experience criteria as mentioned

in Bidders qualif ying criter ia as per point no. 2 in Sect ion I i. e. Instructions

exper ience OR are not meeting prequalif ication criter ia of exper ience as

mentioned in point no. 2. 2 to 2.8 of Instructions to Bidder , shall be

considered as new contractor. No corresp ondence in this regard shall be

entertained af ter opening of bid.

unsat isf actory or not progressing as per schedule, then any action would be

taken by the PGVCL as may deemed f it to see that work is completed at the

risk and cost of contractor. The completi on time allow ed for each Sub Work

Order shall be strictl y observed.

 Penalt y is levied on the time limit of Sub Work Orders . If the work is not

completed within the scheduled period as prescr ibed in Sub Work Order

penalt y at the rate of 0.5 % per week or part thereof on delayed portion subject

to maximum up to 10 % of the sub w ork order Value w ith GST as per

applicable rate . This will be deducted f rom the bills payable either against

this contract or any bank guarantee or any other amount payable under an y

other contract with the PGVCL. For Penalt y calculat ions or Time limit

Extension, f ollowing points are to be observed.

 Time lim it of Each SW O should not be m aximum up to 15 Days.

 Start Date of Sub W ork Order f or Penalt y Calculat ion will be the Day/ Date on

w hich the first printed material is issued agai nst the Sub Work Order .

 TLE of Sub work order can be granted on the basis of above such documents

produced by Contractor.

 Time limit Extension Power is the next higher Author it y of Order issuing

Author it y of Sub W ork Order e.g. TLE can be granted by Executive Engineer

in case of SW O issued by SDO and so on.

 At the time of submission of Bill against SW O, all such Documents are to be

submitted by contractor f or wai ver of Penalt y if applicable.

 Time lim it of Annual W ork Order should be maximum up to 365 Days.

SECTION VI: GUIDELINES FOR BIDDERS

1. Letter of Intent (LOI)/Letter of Acceptance (LOA) shall be issued to the short listed

Bidders indicat ing the quantit y allocat ed to them and the securit y deposit amount

to be deposited by them with PGVCL. Short listed Bidders will be required to

deposit the r equisit e secur it y deposit within one week of issuance of LOI/LOA

f ailing which t he lett er of intent will st and cance lled. The det ail ed work order will

be issued to the short listed Bidders only af ter receipt of requisite Secur it y

2. Securit y Deposit:

Successful Bidders wi ll be requi red to depo sit the requisite secu rity deposi t within

da ys from the da te o f issuance of LOI/L OA) of an amount equi valen t to 5 % of the

end cost value of the wo rk order as a Sec urity Deposit for sa tis factory execution of

the o rdered . Such S ecurity Deposit will be pa yable ei ther through D.D. OR Bank

Guaran tees. Bank Gu arantees from Sched uled / Nationali zed Bank s as per Go vt. GR

No. FD/MSM/e-File/4 /2023/4020/D.M.O. da ted 11 -03-2024 will b e acceptable

In ca se, if the Bank Guaran tee is furnishe d / submitted, it shou ld ha ve a clear one -

time validity till the c ompletion of installati on and commissioning for all fencing.

Bank Guarantee fo r in terim pe riod will not be allowed . I f b y an y reasons the

completion of installation and commissioning for all fencing peri od is ex tended, then

supplier should unde rtak e to rene w the Bank Guarantee a t least one month before

the expiry of the validity failing which P GVCL will be at liberty to enca se the same.

CORPORATE GUARANTEES NOT ALLOW ED.

No interes t will be p aid on the Security Deposit. Security Deposit shall be sui tabl y

extended time to time as pe r requirement.

In the e ven t of awa rd ing the orde r of addi tional quanti ty, the Bidder will b e required

to deposit addi tional Securi ty Deposit on p rora te basis wi thin two week s of the

issuance of L OA /LOI for the addi tional o rde r quan tity. In the e ven t of failure to suppl y

and install fencing at location offered b y bidder and as acce pted b y them w hile

receiving the o rder, will lead to forfeiture of the Securi ty Deposit up to 100% and will

lead to disqualification of the bidde r to tra nsaction business with PGVCL for at leas t

TW O years o r the time dura tion as may be decided b y the Manag ing Director, PGVCL.

Security depo sit wi ll be re turned on after completion of installation and

commissioning of all fencing and afte r the furnishing of perf ormance guarantee

amount for the guara ntee pe riod.

3. The Bidder shall arrange to provide schedule of deliver y and suggested time f rame

required to carr y out the work.

4. IDENTI FIC ATION OF SI TE:

Details of each location shall be made available through Executive Engineer of

each concerned Divisions under above locations. The planning f or each locatio n

has to be prepared in consultat ion of the Deput y Engineer of the concer ned Sub

Division under whos e control the work is allocated. The work must be carried out

under Super vision of concerned S/dn Head or Author ized Staff appointed by SDO.

5. Payment terms shal l be as follow s:

6. In case of any type of misappropriations, cheat ing or intention of cheating, f rauds,

7. Price shall not be changed subject to any upward/downward revision on an y

account whatsoever through the per iod of contract.

8. Jurisdiction of Contract:

The law applicable to t he contract shall be the laws in f orce in India. The cour ts

of Rajkot shall have exclusive jurisdict ion in all matters arising under the contract.

9. For proper monitoring of Material inflow and Outflow , Contractor w ill be

issued onl y 3 ( Three) Sub w ork orders at a time. He w ill be issued Fourth Sub

Work Order onl y after the submission of Invent ory sheet w ith sketch and

material account statement for any of the three previ ousl y issued Sub Work

Orders as per the Clause No. 28 Section III .

SECTION VII: Commercial and legal terms and Condition

1.1. DEFINI TION

1.1 The "PGVCL" shall mean the Super intending/Execut ive Eng ineer , Rajkot Rural

Circle/ Division, PASCHI M GUJARAT VIJ COMPANY LTD., having its corporate

off ice at Nanamava Main Road, Laxm inagar, Rajkot. W ith expression shall unless

repugnant to the context include its permitted assigns or successor / author ized

represent atives.

1.2 The "Contractor" / Successf ul Bidders shall mean the Bidders, whose tender

has been accepted by the PGVCL f or award of the contract and shall include

his author ized representatives .

1.3 The "Engineer -in-Charge" shall mean the authorized of f icer of the PGVCL to

act as Engineer - in- Charge to super vise the work – f or the purpose of the

notif ying the contractor that his bid has been accepted.

1.12 “Date of Contract” Shall mean the dat e on which Letter of award has been

3.2 The amendment will be not if ied on W ebsite. PGVCL will bear no responsibilit y

or liabilit y ar ising out of noncompliance of the same in tim e or other wise.

3.3 Such amendments, clar if ication etc. shall be binding on t he bidders and will be

given due consider ation by the bidder s while they submit their bids and

invariably enclose such documents as a part of the bid.

4.1 The Bidders must ensure that all the schedules are completely f illed in their

tenders and the inf ormation called f or is given in totalit y. A set of complete

tender docum ents is required to be submitted duly signed and stamped by

author it y competent to sign on behalf of bidder on each page as a token of

uncondit ional acceptance to the conditions of various clau ses of tender

documents. The bidder's bid and the documents attached there to shall be

considered f or f orming part of the contract documents.

4.2 The outside of the envelope should also indicate clear ly the name of the Bidder

and his address. In addition, the lef t hand corner of the envelope or container

should indicat e the tender number and the bid opening date and time.

4.3 The Bidder has to send the Technical Bids and PRICE BID ONLINE only.

4.4 Bids submitted af ter the time and date f ixed f or the receip t of bids as set out in

the INVITATION to bid, shall be reject ed.

4.5 The PGVCL reser ves the right to reject any bid, which is not deposited accor ding

to the instructions, stipulated above.

5.0 Information required w ith the proposal :

5.1 The bids must clearly in dicate the name of the manuf acturer, the type and/or

model of each principal it em of equipment proposed to be f urnished and

erected. The bid should also contain drawings and descript ive materials

indicating general dimensions, mat erials f rom which the part s ar e

manuf actured, principles of operation, the extent of pre -assembly involved,

major construction equipment proposed to be deployed, method of erection and

the proposed erection organizat ional structure.

5.2 The above inf ormation shall be pr ovided by the Bi dder in the f orm of separat e

sheets, drawings, enclosed etc . in tw o copies along with sof t copy.

5.3 Any bid not containing suff icient descr iptive mater ial to describe accurately the

equipment proposed may be treated as incomplete and hence rejected. Such

descr iptive materials and drawings subm itted by the Bidder will be retained b y

the PGVCL. Any maj or departure f rom these drawings and descript ive mater ial

submitted will not be permitted during the execut ion of the Contract without

specif ic written perm ission of the PGVCL.

5.4 Oral statements made by the Bidder at any t ime regarding qualit y, quantit y or

arrangement of the equipment or any other matter will not be considered.

5.5 Standard catalogue pages and other documents of the Bidder may be used in

the bid to pr ovid e addit ional inf ormation and data as deemed necessar y by t he

equipment and materials which will be r equired f or the purpose of erection of

equipment and materials supp lied under the Contract.

5.7 In case the ‘Proposal’ inf ormation contradicts specif icat ion requirements, the

the technical commercial deviat ion schedule.

6.0 REJECTION OF TEND ER:

6.1 The Bidders is expected to examine all instructions, t erms, conditions,

schedules and other details called f or in this specif ication and keep himself f ully

inf ormed about all which may, in any way, aff ect the wor k, or cost thereof .

Failur e to f urnish the required inf ormation or submission of tender not as per

the specif ication will be at the Bidders risk may result in rejection.

6.2 The off er is liable summarily rejected if it contains.

a) Deviat ion/Addition/Alternations/Omissions in bidding schedules.

b) Deviat ion and contradict ions to the terms and condit ions specif ied in this

7.1 The PGVCL reser ves the right to terminate this contract or part thereof at any

time during its tendency without giving notice of Termi nation or the reasons

7.4 In case of any doubt or interpret ation of the terms and condition, the d ecision

of the Superintending , PASCHI M GUJARAT VIJ CO MPANY LTD. Rajkot Rural

Circle will be f inal and binding upon the Bidders and no dispute in this regar d

will be entertained.

7.5 PGVCL reser ves the right to accept any bid or reject any or all Tenders or

cancel / withdraw RE INVITATION to bid without assigning any reason. Such

decision of the PGVCL shall not be subject to question by any Bidders and the

PGVCL shall bear no liabilit y whatsoever f or such decision.

8.0 L ANG U AGE OF THE TENDER

All inf ormation in the bid shall be in English. Inf ormation in any ot her language

shall be accompanied by its translat ion in English. Failure to comply wit h this

may disqualif y a bid. In the event of any discrepancy in meaning, the English

language copy of all documents shall govern.

9.0 SIGN ATURE OF BIDDER

9.1 The bid must contain the name, residence, address and place of business of

the person or persons making the bid and must be signed and sealed by the

bidder with his usual signature. The nam e of all per sons signing should also be

typed or pr inted below the signat ure.

9.2 Bids by corporation/ company must be signed with the legal name of the

corporat ion/ company by the President, Managing Director or by the Secretar y

or other person or persons authorized to bid on behalf of such corporat ion/

company in the matt er.

9.3 A bid by a person who aff ixes to his signature the word 'President', 'Managing

Director' 'Secret ar y', 'or other designat ion without disclosing his principal will

way af f ect the W ork or the cost thereof . If any Bidder f inds discrepancies or

omissions in t he specif icat ions and documents or is in doubt as to the true

meaning of any part, he shall at once request in writ ing f or an

interpr etation/clarif ication by the PGVCL. The PGVCL, then, will issue

interpr etation and clarif ications as he may think f it of such interpretations and

clar if ications, the Bidder may subm it his bid but within the t ime and date as

specif ied in the INVI TATION to Bid. A ll such interpretat ions and clarif icat ions

shall f orm a part of the specif icat ions and documents, and accompany th e

bidder's proposal.

10.2 Verbal clarif icat ions and inf ormation given by the PGVCL or his employee(s)

or his repr esent ative(s) shall not in a ny way be binding on the PGVCL.

11.0 PRICE B ASIS CURRENCY AND P AYM ENTS

Bidder shall indicate bid pr ices in Indian Rupees only.

12.0 EFFECT AND V ALIDITY OF TENDER

The bid should be kept valid f or a period of 180 DAYS f rom the date set f or

opening of the technical bid.

13.0. EV ALU ATION AND COMP ARI SION OF TENDERS

13.1 Generally the bids r eceived and accepted will be evaluated by the PGVCL to

ascertain the best and lowest evaluated bid in the interest of the PGVCL, f or

the complete works covered under these specif icat ions and documents.

13.2 Bid price shall mean the bid price quot ed by each bidder in his bid f or the

complete scope of works including all duties and Taxes .

14.0 Arit hmetical Errors

Arithmet ical errors will be rectif ied on the f ollowing basis:

If there is a discrepancy bet ween words and f igures, the amount in words will

prevail. If there is discrepancy bet ween the unit price and the t otal pr ice which

is obtained by multiplying the unit price and quantity, or bet ween sub -total an d

the total price, the unit or sub -total price shall prevail, and the total price shall

be corrected. In case of discrepancy bet ween sub -total price obtained by

adding var ious prices in the schedule and the sub -total price indicated f or that

particular sch edule, t he sub -total obtained by addition of various arithmet ically

corrected pr ices would be considered f or evaluat ion.

However, the PGVCL shall be ent itled to award the contract at the lowest of

the prices arr ived at f rom various schedules, ident if ied f o r that purposes, in

the bid proposal sheets.

If the bidder does not accept t he correction of the errors as above, his bid will

15.0 AW ARD OF CONTRACT

15.1 Notif icat ion of awar d of contract will be made in wr iting to the successf ul

bidder b y the PGVCL.

15.2 The contract will be awarded to the best qualif ied and responsive bidder

off ering the lowest evaluated bid in conf ormity with r equir ements of these

specif ications and documents and PGVCL shall be the sole judge in this regard

and subject to the pr ovisions of these instructions to bidders and other terms

and conditions det ailed out in these documents and specif ications. A

responsive bid is one which accepts all terms and conditions of these

specif ications and documents without any modif icat ions.

15.3 PGVCL Reser ves the right to award separate contract to t wo or more parties

in line with the terms and condit ions specif ied in the specif icat ion.

18.0 COMPLI ANCES WI TH L AW:

• The Contract shall in all respects be int erpreted in accordance with the laws

in f orce in India, including any such laws passed or made or coming into f orce

during the period of the Contract.

• The Contractor shall be f ully responsible f or deducting the P.F. of the

emplo yees/ labour W orking under him as per statutor y regulations and

deposit ing the same with the concerned authorit ies.

• The Contractor shall comply with the relevant laws of India.

19.0 ACCI DENTS:

The Contractor shall be liable f or and shall indemnif y the Empl oyer against all

losses, expenses or claims arising in connection with the deat h of or injury to

any person employed of the Contractor or his subcontractors f or the purposes

20.0 FORCE M AJEURE:

Force Majeure means any circumstances beyond the contr ol of the parties

• W ar and other host ilities, ( whet her war be declared or not), invasion, act of

f oreign enemies, mobilization, requisit ion or embargo;

• Ionizing radiat ion or contaminat ion by radioactivit y f rom any nuclear f uel or

f rom any nuclear waste f rom the combustion of nuclear f uel, radioact ive toxic

explosive, or other hazardous pr opert ies of any explosive nuclear assembly or

nuclear components thereof ;

• Rebellion, revolution, insurrect ion, militar y or usurped power and civil war;

• Riot, commotion or disorder, except where solely restricted to employees of

the Contractor.

• Neither party shall be considered t o be in def ault or in breach of his obligations

under the Contract to the extent is that perf ormance of such obligations

prevented by any cir cumstances of Force Majeure that arise af ter the date of

the Not if ication of Award.

• If either part y considers that any cir cumstances of Force Majeure have

occurred which may aff ect perf ormance of his obligat ions he shall promptly

notif y the ot her p art y.

• Upon the occurrence of any circumstances of Force Majeure, the Contractor

shall endeavor to continue to perf orm his obligations under the Contract so f ar

as reasonably pr acticable. The Contractor shall not if y the Engineer -in- Charge

of the steps he pr oposes to take including any reasonable alt ernative means

f or perf ormance, which are not prevent ed by Force Majeure. The Contractor

shall not take any such steps unless dir ected so to do by t he Engineer -in-

period of 180 days, not withstanding, the Contractor may by reason thereof

having been granted an extension of Time f or Complet ion of the W orks, either

21.0 STATUTO RY V ARI ATION

Any statut or y increase in the taxes subsequent to your off er if it takes place

within the contract period will not be considered except GST. No statutor y

var iat ion will be given f or this work except GST.

22.0 H ANDING OVER OF ASSET (IF APPLICABLE)

Af ter successf ul complet ion of the lines and Transf ormers or any other

electrical equipment the ent ire newly created net work is t o be handed over to

the concern Deput y Engineer of PGVCL. The handing over note cover ing the

details of all the mat erials used and total work executed must be signed joint ly

by the bidder and PGVCL Engineer. Copy of handing over note must be

attached along with bill.

The contractor shall arrange to ha nd over the complete work immediately on

completion of entire work .

23.0 TAXS and Duties: GST

The prices are excluding GST and Cess as applicable which will be paid extra

on a given taxable goods and/or ser vices. The amount and % of GST and Cess

as applicable should clearly be indicat ed separately. (GST/Cess means all

applicable Tax/Cess under GST Laws. GST Laws means IGST Act, GST

(Compensation to the State f or Loss of Revenue) Act, CGST Act, UTGST Act

and SGSCT Act, 2017 and all related ancillar y legisl at ions).

Contractor shall have to submit a C.A Certif icate & duly authorized Signator y,

certif ying that you have not claimed Ref und of any applicable GST and Cess,

charged to COMPANY or shall not claim any such Ref und, on a f uture date,

f rom the concerned Author ities and if , any Ref und, in respect of such GST and

Cess, is claimed by you, it will be immediately passed on to the COMPANY,

without CO MPANY making any specif ic Claim, f or the same, either f rom the

Department or f rom you.

The off ers having price INCLUSI VE OF GST and Cess is likely to be rejected

if the rate of GST and Cess is not ment ioned clear ly unless the bidder has

opted f or Composit ion Scheme under GST Act, which should be clear ly

indicated in the price bid. CO MPANY may at its discret ion cons ider such off er

with presumption of highest applicable rate of VAT/GST/Cess prevailing when

the price quoted is inclusive of GST and Cess.

If the Contract or has opted f or the Composition scheme of GST, the same must

be clearly specif ied with valid Declarat ion & Certif icate f rom Department. In

the event of wit hdrawal/cessation of the Supplier f rom Composition scheme

during the tenure of the contract, the rat e mentioned in the price bid shall be

f inal and any additional GST will have to be borne by the tenderer. In no case

additional amount towards tax or otherwise will be paid / reimbursed t o

supplier/contract or. Further Stat utor y Variation clause will not be applicable

in case of Supplier / Contractor has opted f or Composition Scheme under GST.

Contractor should charge GST in Invoice at the rate as agreed to/ment ione d

in accept ance of tender only and any deviation in the same shall not be

accepted. Further, any addit ional liabilit y of GST (later on due to wrong

mentioning of GST rate, mis -interpretat ion of HSN/SAC Code, etc.) over and

above as charged in the invoice shall be borne by the Supplier/Contractor.

However, any ref und received by the supplier / contractor on account of GST

charged f rom the company; such ref und shall have to be passed on to the

company, along with interest if any. Such ref und along with interest needs to

be passed on suo -m oto by the contractor .

Further, the Company has a r ight to recover the amount of GST along wit h

penal interest at the rate of 15% per annum if GST charged is no t paid/short

paid to the governm ent or f ail to upload the details or uploads inaccurate

In case, Govt. revises the rate of GST rate / Code during the tenure of the

contract, the provision of GUVNL’s statutory var iat ion clause shall apply.

INPUT TAX CREDI T BENEFI T

In the event of any statutory increase in t he rate of Input Tax Credit and / or

due to inclusion of any other addit ional item of their inputs / input service s

under the ambit of the Input Tax Credit provisions under the GST Act,

subsequent to the date of submission of the of f er, the same should be passed

on to CO MPANY and you should inf orm such changes to CO MPANY f rom time

to time. PGVCL’s GST Registration No. is 24 AADCP1453C1ZZ

23.1 TAXES, PERMI TS & LICENCES :

The Contractor shall be liable and pay all f oreign taxes, dut ies, levies lawf ull y

assessed against the PGVCL or the Contractor in pursuance of the Contract.

In addit ion the Contractor shall be responsible f or payment of all Indian duties,

levies and t axes lawf ully assessed against the Contractor f or his personal

income & propert y only.

23.2 Income Tax - TDS

“Income-tax at sour ce at the prevailing rate will be deducted f r om bills in

accordance with the provision of Income -Tax Laws and to that eff ect a

certif icate will be issued to the contractor, however added as contractor has

to submit separate invoice f or supply parts item as well as works part item

separately, other wis e TDS will be deducted on entire invoice value.”

23.3 Applicable welf are cess will be deducted f rom contractors each bill by PGVCL

to pay the same to t he respect ive Govt. Department . Tax will be deducted as

per applicable st atut ory rules.

23.4 Statutory Deduction

Statutor y deduct ion will be made as per applicable rules & rates f or TDS, GST

TDS, welf are cess or any other taxes applicable time to time etc. All other

statutor y liabilities towards this contract will be on your part.

24.0. COMPLI ANCES IN LAW:

The successful bi dder w ill certify that he has complied w ith the

provisions of Industrial & Labo ur Law s including PF Act, ESI Act etc. as

may be applicable. Cop y of challans of PF related t o be submitted along

25.0 TAKING DELIVERY AND INSUR ANCE:

25.1 The contractor has to keep all materials in saf e custody and transport to the

respect ive sites and will be f ully responsible f or any damage to or loss of al l

materials at any stage during transport ation or er ection t ill taking over by

25.3 The Contractor shall have total responsibilit y f or the entir e materials stored,

loose, semi assembled and/or er ected by him at site in his custody. The

Contractor shall make suitable secur it y arrangements at his own cost to

ensure the pr otection of all materials, equipment and works f rom thef t, f ire

pilf erage and any other damages and loss. It shall be the responsibilit y of the

contractor to arrange f or securit y till the works are f inally taken over by the

26.0 STOR AG E-CUM-INSUR ANCE:-

The contractor shall take suitable storage -cum-erection insurance cover at his

cost to the extent of 100 % cost of materials, which are required to complete

the work. Contractor shall have to take comprehensive insurance policy

equivalent t o the Or der Value against any loss, damage, thef t, pilf erage, f ire

etc. f or the complete period of storage, erection and commissioning up to the

time of taking over by PGVCL. The Contr actor shall deal directly and pursue

the claim with the Insurance Company and shall be responsible in regard to

maintenance of all insurance coverage as well as f or settlement of claim. The

proof of insurance policy taken by the successf ul Contractor shall be f urnished

to Engineer -In-Char ge. In absence of the above insurance policy, R.A. Bill

payment will be withheld.

In the event of any damage, theft, loss, pilf erage, f ire etc., Contractor will be

responsible to lodg e, pursue and settle all the claims wit h the Insurance

Company f or all item s, materials and the PGVCL shall be kept inf ormed about

it. Contractor shall replace the lost / damaged materials / items prompt l y

irrespective of the settlement of the claim s by under wr iter and ensure that the

work progress is as per agreed schedule. The loss, if any, such replacement

will have to be borne by the Contra ctor and PGVCL will not ent ertain any claim

/ representation in this regard. However it will be contractor's r esponsibilit y t o

insure the ent ire proj ect is taken over by the PGVCL.

27.0 INSUR ANCE:

The Bidder’s insurance liabilit ies pertaining to the scop e of Works are detailed

out in Clauses tit led Insur ance Bidder’s attention is specif ically invited t o

these clauses. Bid price shall include all t he costs in f ulf illing all the insurance

liabilit ies under the Contract.

27.1 The Contractor at his cost shall arrange, secure and maintain all insurance as

may be pertinent to the W orks and oblig atory in terms of law to prot ect his

interest and int erest s of the PGVCL against all perils detailed herein. The

f orm and the lim it of su ch insurance as def ined herein together with the under -

wr iter in each case shall be acceptable to the PGVCL. However, irrespective

of such acceptance, the responsibilit y to maintain adequate insurance

coverage at all t ime during the per iod of Contract sha ll be of Contractor alone.

The Contractor ’s f ailure in this regard shall not relieve him of any of his

contractual responsibilit ies and obligations. The insurance covers to be taken

by the Contractor shall be in the name of the Contractor. The Contracto r shall,

however, be author ized to deal direct ly wit h Insurance Company or Companies

and shall be responsible in regard to maintenance of all insurance covers.

Further the insur ance should be in f reely convertible currency.

27.2 An y loss or damage to the equipment during handling, t ransportation,

storage, erection, putting into satisfact ory operation and all activities to

be performed till the successf ul completion of commissioning of the

equipment shall be to the account of the Contractor. The Contracto r shall

be responsible for preference of all claims and make good the damages

or loss by w ay of repairs and/or replacement of t he equi pment, damaged

or lost. The transf er of title shall not in any w ay relieve the Contractor

of the above responsibilities d uring the period of Contract. The

Contractor shall provide the PGVCL w ith copy of all insurance policies

and documents taken out b y him in pursuance of the Contract. Such

copies of documents shall be submitted to the PGVCL immediatel y after

such insuranc e coverage. The Contractor shall also inf orm the PGVCL in

wr it ing at least sixt y (60) days in advance regarding the expir y/cancellation

and/or change in any of such documents and ensure revalidation, renewal etc.,

as may be necessary well in time.

27.3 The perils requir ed t o be covered under the insurance shall include, but not

be limited to f ire and allied risks, miscellaneous accidents ( erection risks)

workman compensat ion risks, loss or dam age in transit, thef t, pilf erage, earth

quake, riot and strikes and malicious damages, civil commotion, weat her

conditions, accident s of all kinds, etc. The scope of such insurance shall be

adequate to cover the replacement/reinst atement cost of the equipment f or all

risks up to and including deliver y of goods and oth er costs till the equipment

is delivered at Site. The insurance policies to be taken should be on

replacement value basis and/or incorporat ing escalation clause.

Not withstanding the extent of insurance cover and the amount of claim

available f rom the und er wr iters, the Contractor shall be liable to make good

the f ull replacement/rectif ication value of all equipment/ materials and to

ensure their availabilit y as per project requirements.

27.4 All costs on account of insurance liabilities covered under the C ontract will be

on Contract or’s account and will be included in Contract Price, However, the

PGVCL may f rom time to time, dur ing the pendency of the Contract, ask the

Contractor in writ ing to limit the insurance cover age, risks and in such a case,

the parties to the Contract will agree f or a mutual sett lement, f or reduction in

Contract pr ice to the extent of reduced premium amount. The Contractor,

while arranging the insurance shall ensur e to obtain all discounts on premium

which may be available f or highe r volume or f or reason of f inancing

arrangement of the project.

27.5 The clause ent itled ‘Insurance’ covers the additional insurance requirements

f or the portion of the works to be perf ormed at the Site.

28.0 CONTR ACT QU ALI TY ASSUR ANCE:

28.1 The Bidder shall include in his proposal the Qualit y Assurance Program

containing the overall qualit y management and procedur es which he pr oposes

to f ollow in the perf ormance of the W orks during various phases as detailed

in relevant clause of the General Tech nical Condit ions.

28.2 At the time of Award of Contract, the detailed Qualit y Assur ance Pr ogram to

be f ollowed f or the execut ion of the Contract. PGVCL reser ve the r ight to

inspect the work at any stage of contract i.e. during the execution and af ter

the execution of wor k.

28.3 The Bidder shall clearly specif y the list of sub -vendors f rom whom the bought

out items ( if any) ar e being supplied. Such details shall be accompanied by

their list of previous supplies made perf ormance reports etc. However, in case

of orders are placed, specif ic approval shall be obtained f rom the PGVCL f or

the vendor supplied materials. The qualit y assurance pr ogram shall be

f urnished f or each material separately f or approval.

29.0 CH ANGE OF QU AN TI TY

29.1 During the execut ion of the Contract, the PGVCL reser ves the r ight to increase

or decrease the quantities of items under the Contract but wit hout any change

in unit price or other terms & condit ions. Such variations unless other wise

specif ied in the accom panying GCC and/ or Technical Specif ications, shall not

be subjected t o any lim itation f or the individual it ems but the total variat ions

in all such it ems under the Contract shall be limit ed to the extent of 30% (Thirty

Percent) of the contr act price by way of suitable amendment to the contract.

29.2 The Contract price shall accor dingly be adjusted based on the unit rates

available in the Cont ract f or the change in quantit ies as above. The base unit

rates, as ident if ied in the Contract shall however remain constant dur ing the

currency of the Contract, In case the unit rates are not available f or the change

in quant it y, the same shall be subjected to mutual agreement.

29.3 As this is an EPC contract, engineering work will be done by the Contractor.

Responsibi lit y of material will be that of the contract or.

30.0 LI ABILI TY FOR ACC IDENTS AND D AM AGES

Under the Contract, the Contractor shall be responsible f or loss or damage to

the line and Electr ical Equipment until the successf ul completion as def ined

elsewhere in the Bid document.

31.0 DEMURR AG E, WH ARF AG E, ETC .

All demurrage, wharf age and other expenses incurred due to delayed

clearance of the material or any other reason shall be to the account of the

32.0 TERMIN ATION OF CONTR ACT ON PGVCL’S INI TI ATI VE

32.1 The PGVCL reserves the right to te rminate the Contrac t eithe r in part or in full

due to reasons o ther than those mentione d under clause en titl ed ‘Contra cto r’s

Default’. The PGVCL shall in such an e ven t gi ve fifteen (15) days’ notice in

writing to the Con trac tor of his decision to do so.

32.2 The Contracto r upon receipt of such no tice shall discontinue the work on the date

and to the ex ten t sp ecified in the notice , mak e all reasonable efforts to ob tain

cancellation of all orders and Contract s to the exten t the y are rel ated to the wo rk

terminated and terms satisfac tory to the PGVCL, s top all furthe r sub -con trac ting

or purchasing ac ti vity related to the work terminated, and a ssist PGVCL in

maintenance, p rote ction, and disposi tion of the work s a cqu ired unde r the

Contract b y the P GVCL. In the e ven t of s uch a termination the Contractor shall

be paid compensatio n, equitable and reas onable, dic ta ted b y the circumstan ces

pre valent at the time of termination.

32.3 If the Contrac tor is a n individual or a pro prietary concern and the indi vidual or

the prop rieto r dies an d if the Contrac tor is a partne rship concern and one of the

partne rs dies then un less the PGVCL is sa tisfied tha t the legal represen tati ves

of the indi vidual Contracto r or of the p roprietor of the prop riety concern and in

the case of pa rtnersh ip, the su rvi ving pa rtners, a re capable of carrying ou t and

completing the Contract the PGVCL shall be entitled to cancel the Contrac t as to

its in completed part wi thout being in any wa y liable to p ay ment of an y

compensation to the es tate of deceased Contracto r and/o r to the survi ving

partne rs of the Contractor’s firm on ac cou nt of the cancella tion of the Con trac t.

The decision of the PGVCL that the le gal represen ta tives of the deceased

Contracto r or survi vi ng partners of the Contrac tor’s firm cann ot ca rry ou t and

complete the Contrac t shall be final and bi nding on the pa rties . In the e ven t of

such cancellation the PGVCL shall not hold the es ta te of the dece ased Contrac to r

and/or the survi ving p artne r s of the es ta te of the deceased Contracto r and /or the

survi ving partners of the Contrac tor’s firm liable to damages for not completing

33.0 DEL AYED AND L ATE TENDERS:

No tender shall be accepted/opened in any case w hich are recei ved after

due date and time of the receipt of tender irrespecti ve of delay due to

postal servi ces of any other reasons and company shall not assume an y

responsibilit y for late receipt of tender. An y correspondence in the matter

w ill not be entertained.

34.0 ARBI TR ATION:

Any question, disput e or diff erence what soever ar ises bet ween PGVCL and

Bidder, in connect ion with this agreement except as to matters, the decision

f or which has been specif ically provided, either part y may f orthwith give to the

other notic e in wr it ing of existence of such questions, dispute, dif f erence and

the same shall be r ef erred to the sole arbitrat ion of a person nom inated by

Managing Director, PGVCL. This ref erence shall be gover ned by I ndian

Arbitrat ion Act pr evailing at the time of dispute and the rules made there

under. The award in such arbitrat ion shall be f inal and binding on all the

parties. W ork under the agreement shall continue during the arbitration

proceedings unless t he PGVCL or the Ar bitrator directs other wise.

35.0 EMPLOYMENT OF LABOUR:

(a) Persons below the age of 18 years shall not be employed for the work. No

f emale worker shall be employed in the night shif t between 07.00 p.m. and

06.00 a.m. next day.

(b) Contractor shall maintain a valid labour license under the Co ntract Labour

(Regulat ion and abolition) Act f or employing necessar y manpower required by

him. In the absence of such a license, the contract shall be liable to be

terminated without assigning any reason thereof . Contractor should also

employ qualif ied and experiences persons as per requirement of Electricit y

Act and rules f or carrying out supply and erection work under this contract.

(c) In case PGVCL becomes liable to pay any wages or dues t o labour or an y

Gover nment agency under any of the provisions of the Minimum W ages Act,

Payment of W ages Act, Employee Compensat ion Act, Contract Labour

Regulation Abolition Act, Employee Provident Fund or any other law due to act

of omission of the Contractor, PGVCL may make such payment and shall

recover the same f rom the Contractor ’s bills.

36.0 PROVIDENT FUND AND F AMILY PENSI ON SCHEME

The Contract or shall submit along wit h his bills (month wise) a Stat ement

regarding deduction against employees Provident Fund and Family Pension

Scheme in respect of each concerned em p loyee. The contract or's contribution

and the workers’ contribut ion towards Provident Fund and Family Pension

Scheme shall be done at the rate made applicable by t he Government f rom

time to time and deposited by the contr actor with Regional Provident Fund

Commissioner, Rajkot.

37.0 DEPO SI T LINKED INSUR ANCE SCHEM E

The contractor shall have to deposit 1.2% of the wages in respect of

employees who are members of the Provident Fund as t he contribut ion to the

Deposit Linked Insurance Scheme wit h Regional Prov ident Fun d

Commissioner, Rajkot.

38.0 ADMINISTR ATIVE CH ARG ES

Administrat ive char ges f or maintaining Provident Fund Account shall be

deposited by the Contractor with Regional Provident Fund Commissioner,

Rajkot at the rates applicable.

39.0 P AID LE AVE F ACI LI TY

Paid Leave Facilit y at the rate of one day f or every t went y days worked by the

Contract Labour shall be provided by the Contractor to his, workers. He shall

maintain Leave Records, Leave Cards for individual labourer which shall be

duly ver if ied, appr oved and cert if ied by the Aut horized Of f icer of PGVCL.

Remuneration f or such leave period shall be f ully bor ne by the Contract or.

40.0 Workmen’s Compensation and Emplo yer’s Liabilit y Insurance

Insurance shall be aff ected f or all the Contractor's employees engaged in the

perf ormance of this contract.

41.0 Wages to be Paid & Time of Payment etc. by the Contract or

41.1 The Contract or shall pay m inimum wages per day to his Labours/ W orkers

as per rates f ixed under the Minimum W ages Act. The wages of ever y

Contract Labour employed by him under t his contract shall also be paid by

him bef ore the expiry of 7th day f rom the last day of the month in r espect

of which the wages are payable (i.e. wages of a month have to be paid by

him in the f irst week of the next month).

41.2 Any def ault will result in cancellation of contact f orthwith or else the

Contractor shall be punishable to the extent of ₹. 100/- f or each day of

41.4 The separat e P.F. code issued f rom RPFC is requir ed to be taken by t he

contractor and if it is not taken, off er of the f irm will not be considered. The

attested documentar y evidence to be submitted along wit h the off er.

41.5 The contractors who are having separate P.F. Code No. f rom RPFC, it

should be ensured t hat all the contract labourers ar e covered under the

provident f und scheme and employees’ pension scheme and their

contributions are remitted regularly to the concerned RPFC . The photo

copies of the Chelan in this regard should be collected f rom the concerned

contractor and kept in the f ile of the concern contractor.

The technical inf ormation, drawings, specif ications and other related

documents f orming part of the enquir y or Contract are pr opert y of PGVCL and

shall not be used f or any other purpose, except f or the execution of the

contract. All rights relat ed to the technical specif icat ions, drawings and

records are reser ved by PGVCL only and no part or partial should be

43.0 Stop Dealing:

Bidder/ Contractor shall be put under St op Deal due to fol low ing reasons.

 Has submitted f ake, f alse or f orged documents/certif icates

 Has revised/ withdrawn pr ice bid af ter opening of Techno: commercial bid,

until and unless it is sought f or

 Has ref used to accept Letter of Acceptance/Purchase Order/W ork Order

af ter the same is issued by the Company within the validit y period and as

per agreed terms and conditions

 Has comm itted breach of contract or has f ailed to perf orm a contract or has

abandoned the contract

 Has f ailed to pr ovide suitable expertise f or the work as per prescheduled

 Has f ailed to submit all the necessar y Test reports/documents within time

schedule / as per Company's time lim it, as mentioned in the LOA, if the

Letter of Acceptance (LOA) is placed subject to submission of type reports

/ documents to the f irm.

 Has indulged in construction and erection of def ective works.

 Has subst ituted materials In lieu of materials supplied by the Company or

has not returned or has short returned or has unauthor izedly disposed of

materials/ documents/ drawings/ tools or plants or equipment supplied b y

 Has involved in malpractices such as bribery, corrupt ion, f raud, canvassing

 Has unauthorizedly obtained off icial company inf ormation or copies of

documents, in relat ion to the Tender/Cont r act

 Has f ailed to f ollow the stipulated mode of communication, if specif ied by

the tender ing author ity/ purchaser.

 Any ot her ground f or which in the opinion of the Company makes it

undesirable to deal with the Firm, and

 In case the State Gover nment directs the Company to place a f irm in stop

Effect of putting a proprietor/firm for Stop dealing/ Banned for business

dealing are as below :

A. The proprietor/all the partners/ director s of the stop deal/ banned f or

business dealing/ blacklist ing f irm shall also be considered for stop deal/

banned f or business dealing .

B. Once the name of the f irm and/ or proprietor/ partner/ direct or of the f irm

appears in the list of Stop dealing / Banned f or business dealing in any

Company of GUVNL and its Subsidiar y Companies,

(i) No enquir y shall be issued to a f irm.

(ii) No bids / tender shall be consider ed f or evaluation and the bid submitted

by the Firm shall be returned.

C. Action to be taken, when a Firm and/or proprietor/ partner/ director of the

f irm is put on Stop dealing/ Banned f or business dealing by GUVNL or any

of its subsidiar y Companies, dur ing tender process: -

(i) Bef ore opening Technical bids, the bid submitted by the Firm will be

treated as “Disqualif ied Bid” and automat ically stand as “Rejected Bid ” at

the time of scrutiny of Preliminar y / Technical Bid.

(ii) Af ter opening Technical bid but bef ore opening the price bid, the price

bid of the Firm should not be opened and the bid submitted by the Firm

will be treated as “Disqualif ied Bid” and automatically stand as “Rejected

Bid” at the time of scrutiny of Technical Bid.

(iii) Af ter opening of price bid, the off er of the Firm should be ignor ed and will

not be f urther evaluated. The Firm will not be considered f or issue of

order even if its price is the lowest. In this situat ion, the next lowest

bidder shall be considered as L1.

(iv) The BG/EMD subm itted by the Firm wit h tender should be returned af ter

obtaining conf irmation f rom GUVNL and its other subsidiar y Companies

that there are no out standing dues recoverable f ro m the f irm.

D. If a Firm is put on Stop dealing / Banned f o r business dealing in one

Company and is alr eady execut ing wor k and/ or Letter of Acceptance/

purchase order awar ded to them by anot her Company, then the f irm should

be allowed to complete such awarded work / supply.

E. The amount of EMD/ SD/ any payment against supply withheld at the

instance of GUVNL or any of its subsidiar y Companies shall be appr opriated

against the dues recoverable f rom the f irm by GUVNL or any of its subsidiar y

Companies. EMD/ SD/ PG in the f orm of bank Guarantee shall be encashed

and appropr iated.

F. The Stop dealing/ Banned f or business dealing shall be Fir m - specif ic and

when a Firm is put on Stop dealing/ Banned f or business dealing , all the

manuf acturing works of the Firm shall be on Stop dealing/ Banned f or

business dealing f or GUVNL and its Subsidiar y Companies & f or all Ser vices

G. If the Firm placed on Stop Dealing/ Banned f or business dealing is a

Propr ietar y Concern, then all the Concerns of the same Propr ietor shall also

be considered to be on Stop Dealing/ Banned f or business dealing .

H. The Board of Dir ectors of the concerned Company may however, if he

considers it to be in t he interest of the Company, remove t he ban in respect

of any specif ic Ser vice f rom any Contract or f or that Company only.

Ever y bidder should, at the time of submissio n of bid, give a declaration as

per Annexure VI attached wit h this Tender, that bidder and/or propr ietor /

partner/ director of the f irm has not been placed on Stop dealing / Banned f or

business dealing / blacklist ing by GUVNL and it ’s any Subsidiary Companies.

execut ions, construction and completion of the works agreed to by the

contractor to pay all the claims of money as and when they become due and

f ull due to reasons other than those mentioned under clause entit led

‘Contractor ’s Def ault ’. The PGVCL shall in such an event give f if teen (15)

days ’ not ice in wr iting to the Contractor of his decision to do so.

5.) The Contract or upon receipt of such notice sha ll discontinue the work on the

date and to the ext ent specif ied in the notice, make all reasonable ef f orts to

obtain cancellat ion of all orders and Cont racts to the ext ent they are related

assist “The Company” in maint enance, protection, and disposit ion of the works

acquired under the Contract by the Company. In the event of such a

terminat ion the Contract or shall be paid compensation, equitable and

reasonable, dictated by the circumstances prevalent at the time of termination.

6.) If the Contractor is an individual or a proprietar y concern and the individual or

the proprietor dies and if the Contractor is a pa rtnership concern and one of

the partners dies then unless “the Company” is sat isf ied that the legal

represent atives of the individual Contract or or of the proprietor of the propriety

concern and in the case of partnership, the sur viving partner s, are capa ble of

carrying out and complet ing the Contract “the Company” shall be entit led to

cancel the Contract as to its in complet ed part without being in any way liable

to payment of any compensat ion to the estate of deceased Contractor and/ or

to the surviving partners of the Contractor’s f irm on account of the

cancellat ion of the Contract. The decision of the Company that the legal

represent atives of the deceased Contr actor or sur viving partners of the

Contractor ’s f irm cannot carr y out and complete t he Contr act shall be f inal and

binding on the parties. In the event of such cancellat ion the Company shall

not hold the est ate of the deceased Contractor and/or the surviving partner s

of the estate of the deceased Contractor and/or t he sur viving partners of the

Contractor ’s f irm liable to damages f or not complet ing the Contract.

The contract value extent of supply delivery dates, specif icat ions as other relevant

matters may be alter ed by mutual agreement and if so altered shall not be deemed

or constructed to m ean and to eff ect or alter other terms and condit ions of the

contract and the contract so altered or revised shall be and shall always be deem ed

to have been subject withou t prejudice to and stipulation.
