1. The Request for Proposal (RFP) is issued by Tourism Corporation of Gujarat Limited (TCGL) or
the “Authority”
2. The information contained in this RFP is selective and is subject to updating, expansion, revision and
amendment. It does not, and does not purport to, contain all the information that a Bidder may require.
Neither Authority nor any of their officers; employees nor any of its advisors / consultants undertakes
to provide any prospective bidder with access to any additional information or to update the
information in this RFP or to correct any inaccuracies therein which may become apparent. Each
prospective bidder must conduct its own analysis of the information contained in this RFP or to correct
any inaccuracies therein that may this RFP and is advised to carry out its own investigation into the
proposed Project, the legislative and regulatory regime which applies thereto and by and all matters
pertinent to the proposed Project and to seek its own professional advice on the legal, financial,
regulatory and taxation consequences of entering into any agreement or arrangement relating to the
proposed Project.
3. This RFP is neither an agreement nor an offer by the Authority to the prospective Bidders or any
other person. The purpose of this RFP is to provide interested parties with information that may be
useful to them in making / submitting their Bids (technical and financial bids) pursuant to this RFP.
This RFP includes statements, which reflect various assumptions and assessments arrived at by the
Authority in relation to the Project. Such assumptions, assessments and statements do not purport
to contain all the information that each Bidder may require. This RFP may not be appropriate for all
persons, and it is not possible for the Authority, its employees or advisors to consider the investment
objectives, financial situation and particular needs of each Bidder who reads or uses this RFP. The
assumptions, assessments, statements and information contained in the Bidding Documents, may
not be complete, accurate, adequate or correct. Each Bidder should, therefore, conduct its own
investigations and analysis and should check the accuracy, adequacy, correctness, reliability and
completeness of the assumptions, assessments, statements and information contained in this RFP
and obtain independent advice from appropriate sources.
4. Information provided in this RFP to the Bidder(s) is on a wide range of matters, some of which may
depend upon interpretation of law. The information given is not intended to be an exhaustive account
of statutory requirements and should not be regarded as a complete or authoritative statement of law.
The Authority accepts no responsibility for the accuracy or otherwise for any interpretation or opinion
on law expressed herein.
5. The Authority, its employees and advisors make no representation or warranty and shall have no
liability to any person, including any applicant or Bidder under any law, statute, rules or regulations
or tort, principles of restitution or unjust enrichment or otherwise for any loss, damages, cost or
expense which may arise from or be incurred or suffered on account of anything contained in this
RFP or otherwise, including the accuracy, adequacy, correctness, completeness or reliability of the
RFP and any assessment, assumption, statement or information contained therein or deemed to form
part of this RFP or arising in any way for participation in this bid stage.

6. The Authority also accepts no liability of any nature whether resulting from negligence or otherwise
howsoever caused arising from reliance of any Bidder upon the statements contained in this RFP.
7. The Authority may in its absolute discretion prior to the Bid Due Date, but without being under any
obligation to do so, update, amend or supplement the information, assessment or assumptions
contained in this RFP at any time during the Bidding Process.
8. The issue of this RFP does not imply that the Authority is bound to select a Bidder or to appoint the
Selected Bidder, as the case may be, for the Project and the Authority reserves the right to reject all
or any of the Bidders or Bids without assigning any reason whatsoever. Mere submission of a
responsive Bid does not ensure appointment of the bidder as Preferred / Selected Bidder.
9. The Bidder shall bear all its costs associated with or relating to the preparation and submission of its
Bid including but not limited to preparation, copying, postage, delivery fees, expenses associated
with any demonstrations or presentations which may be required by the Authority or any other costs
incurred in connection with or relating to its Bid. All such costs and expenses will remain with the
Bidder and the Authority shall not be liable in any manner whatsoever for the same or for any other
costs or other expenses incurred by a Bidder in preparation or submission of the Bid, regardless of
the conduct or outcome of the Bidding Process.

In the interpretation of this RFP, unless the context otherwise requires:
1. The singular of any defined term includes the plural and vice versa, and any word or expression
defined in the singular has the corresponding meaning used in the plural and vice versa.
2. Reference to any gender includes the other genders;
3. Unless otherwise stated, a reference to a Clause, Sub-Clause, Paragraph, Sub-paragraph, Annex,
Exhibit, Attachment, Schedule, or Recital is a reference to a Clause, Sub-Clause, Paragraph,
Subparagraph, Annex, Exhibit, Attachment, Schedule or Recital of this RFP;
4. A reference to any agreement is a reference to that agreement and all annexes, attachments,
exhibits, schedules, appendices, and the like incorporated therein, as the same may be amended,
modified, supplemented, waived, varied, added to, substituted, replaced, renewed, or extended, from
time to time, in accordance with the terms thereof;
5. The terms “include” and “including” shall be deemed to be followed by the words “without limitation”,
whether or not so followed;
6. Any reference to a person shall include such person’s successors and permitted assigns;
7. A reference to a “writing” or “written” includes printing, typing, lithography and other means of
reproducing words in a visible form;
8. Any date or period set forth in this RFP shall be such date or period as may be extended pursuant to
the terms of this RFP;
9. A reference to “month” shall mean a calendar month, a reference to “week” shall mean a calendar
week and a reference to “day” shall mean a calendar day, unless otherwise specified.
10. The terms “hereof”, “herein”, “hereto”, “hereunder” or similar expressions used in this RFP mean and
refer to this RFP and not to any particular Article, Clause or Section of this RFP. The terms “Article”,
“Clause”, “Paragraph” and “Schedule” mean and refer to the Article, Clause, Paragraph and Schedule
of this RFP so specified;
11. In the case of any conflict, discrepancy or repugnancy between the provisions of the RFP documents,
provisions of the Agreement shall prevail over and supersede the provisions of other documents;
12. The descriptive headings of Articles and Sections are inserted solely for convenience of reference
and are not intended as complete or accurate descriptions of content thereof and shall not be used
to interpret the provisions of the Agreement; and
13. All capitalized words and expressions used in the RFP but not defined therein shall have the same
meaning as ascribed to them in the Agreement.

1. Information to Bidders
1.1.1 Tourism Corporation of Gujarat Limited (“Authority” or “TCGL”) incorporated under Companies
Act, 1956 is a 100 (one hundred) percent subsidiary of Government of Gujarat. TCGL is engaged
in focused development of tourism and related infrastructure across the state of Gujarat. Some
of the focus areas of TCGL include destination development, infrastructure augmentation at
tourist locations, promotions and publicity, investment facilitation, providing policy framework &
planning, conducted tours and ground transport travels, conducting fairs and festivals. TCGL also
undertakes various initiatives for the development, management, monitoring and improvement
of tourist facilities and services at tourist destinations across Gujarat.
1.1.2 Pursuant to the same, the Authority has undertaken various initiatives for providing and
maintaining cleaning and sanitation services at tourist locations across the State of Gujarat.
The Authority now intends to engage a Third Party Inspection Agency to monitor and supervise
the cleaning and sanitation services being provided at various tourist locations, by acting as an
extended arm of the Authority and providing third-party inspection and monitoring services to
ensure that the cleaning activities are being initiated, undertaken and maintained as per the
requirements and prescribed standards of the Authority.
General Conditions
1.2.1 Bidders who wish to participate in the online tender will have to procure / should have a legally
valid Digital Certificate as per Information Technology Act - 2000 using which they can sign their
electronic bids. Bidders can procure the same from any of the license certifying Authority of India
or can contact (n)code solution-a division of GNFC Ltd., who are licensed Certifying Authority by
the Government of India.

1.2.3 Bidders shall furnish all relevant information, as per the formats provided in the Request for
Proposal (“RFP”).
1.2.4 Bids, as submitted by the Bidders, shall have a Bid Validity of 180 Days (or “Calendar Days”)
from the last date of Technical Bid Submission. The Authority will make its best effort to complete
negotiations within this period. Should the need arise, however, the Authority may request
Bidders to extend the validity period of their Bids.
1.2.5 Conflict of interest - A Bidder shall not have any conflict of interest that may affect its
independence, impartiality, or objectivity in carrying out the monitoring, inspection, and
supervision services under this tender. If a Bidder is found to have any such conflict of interest
at any stage of the Bidding Process, the Bid shall be disqualified. A conflict of interest shall

include, but not be limited to, situations where the Bidder, its associate, subsidiary, or any entity
under common control is directly or indirectly involved in providing, executing, supervising,
managing, or supporting the Cleaning and Sanitation Services covered under this tender, or has
any financial, commercial, contractual, or other relationship with the Cleaning Agency that may
affect the independent performance of the TPI services. The selected TPI Agency shall maintain
complete independence and impartiality throughout the contract period, and any Conflict of
Interest arising during the contract period shall be immediately disclosed to the Authority and
may result in termination of the Agreement, without prejudice to any other rights or remedies
available to the Authority under the Bidding Documents and/or Agreement.
Clarifications and Amendment of RFP Documents
1.3.1 At any time before the submission of Bids, the Authority may for any reason, whether at its own
initiative or in response to a clarification requested by a Bidder, modify the RFP documents by
amendment. Any such amendment shall be issued in writing through Corrigenda. Corrigenda
shall be uploaded on https://www.nprocure.com/ and shall be binding on all Bidders. The
Authority may also upload the Corrigenda on https://www.gujarattourism.com/. The Authority
may at its discretion extend the deadline for the submission of Bids. Queries, if any, proposed to
be raised at the pre-bid conference by the Bidder/s should be submitted in writing (over email or

1.3.2 A maximum of two representatives of each Bidder shall be allowed to participate on production
of Authorization letter from the Bidder.

Preparation of Bids
1.5.1 Bidders are required to submit the Technical Bid in both online and physical formats. All forms
and supporting documents must be uploaded online in clearly legible resolution. The evaluation
shall be conducted solely on the basis of the online submissions; physical copies will be retained
for reference and record-keeping purposes only. Bidders are advised to ensure that each
uploaded file is appropriately named to reflect its contents like Form nos, balance sheets years,
projects numbers / names etc (e.g., “Form 1, Audited Balance Sheet 2023-24, PAN Card,
Documentary Evidence for project 1-3 etc.), thereby facilitating accurate and efficient evaluation.
Mislabelled or ambiguous file names may lead to delays or inadvertent omissions, thus adversely
affecting the assessment.
1.5.2 The Bidders are required to submit the Bid in two parts in two separate envelopes / parts and put
together in one single outer envelope. The two parts shall be captioned as follows on the
respective envelopes:
(a) Part 1: Bid Processing Fee & EMD and
(b) Part 2: Technical Bid
The Financial Bid needs to be submitted online on https://tender.nprocure.com only
1.5.3 The Bid shall be written in English only. If the supporting documents and printed literature
furnished with the Bid are in a language other than English, official translated documents shall
be provided and should be duly authenticated and certified by the respective Bidder. Supporting
documents and printed literature submitted with the Bid, which are not translated into
English, may not be considered, for the purpose of interpretation and evaluation of the

1.5.4 Bids submitted without Bid Processing Fee and / or EMD shall be summarily rejected and will not

1.5.5 In preparing the Technical Bid, Bidders are expected to examine the submission documents /
format / enclosures etc., comprising this RFP in detail. Material deficiencies in providing the
information requested may result in rejection of the Bid.
1.5.6 The Technical Bid must provide the following information, using but not limited to the formats as
indicated below:
- Form 1: Technical Bid Submission Form
- Form 2: Format for Power of Attorney for Authorised Representative
- Form 3: Format for Financial Summary of the Bidder
- Form 4: Format for Letter of Undertaking
- Form 5: Format for Showcasing Experience
- Form 6: Format for Bank Guarantee (if applicable)
1.5.7 The Technical Bid must not include any financial information.
PART 3: FINANCIAL BID – to be strictly submitted online only
1.5.8 In preparing the Financial Bid, Bidders are expected to take into account the requirements and
conditions of the RFP documents. It should include all costs associated with the Project, including
(a) remuneration to the staff (onsite and offsite) and (b) rentals / fixed rates / reimbursable such
as subsistence (per diem, housing), transportation (for mobilization and demobilization), services
and equipment (vehicles, office equipment, furniture, and supplies), office rent, insurance,
printing of documents, surveys, training, software license, etc. as components of this Project.
1.5.9 The Financial Bid should clearly identify and include all the taxes, duties, fees, levies and other
charges imposed under the applicable law, on the Bidders, and their personnel, and include as
part of their offer, and show only GST separately.
1.5.10 Bidders have to express the price of their services in the format as indicated in the sample format
placed at Annexure 1: Financial Bid Submission Form (to be submitted online only on
https://tender.nprocure.com/).
1.5.11 Conditional Tenders / bids shall not be accepted.
Submission, Receipt and Opening of Bids
1.6.1 The original bid shall be prepared in indelible ink. It shall contain no inter-lineation or overwriting,
except as necessary to correct errors made by the Bidder. Any such corrections must be initialled
by the person who signs the Bids.
1.6.2 Each of the bids, along with their relevant enclosures should be bound, paginated, with an index
of submission on the first page.
1.6.3 An authorized representative of the Bidder shall initial all pages of Technical Bid. The
representative's authorization shall be in the form of a written power of attorney accompanying
the Bid, or in any other form demonstrating that the representative has been duly authorized to

1.6.5 The two separate envelopes containing the Bid Processing Fee & EMD and Technical Bid, should
be placed in one cover and addressed to Authority (as per the given detailed address) and
labelled the Project name clearly. The Bid shall be sent at the following address:

1.6.6 The completed Bid must be delivered / submitted on or before the submission time and date as
stated in Bidding Schedule. The Authority shall not be responsible for misplacement, losing or
pre-matured opening, if the outer envelope is not sealed and / or not marked as stipulated.
1.6.7 After the deadline for submission of Bids, the Technical Bid envelope shall be opened in the
presence of the Bidders / their Authorized Representatives who choose to attend on the date and
time indicated in the Bidding Schedule
Important Note:
a. Bidders are required to be upload Technical as well as Financial bid on
https://tender.nprocure.com/ as per terms of this RFP.
b. The complete set of the Technical Bid (including Forms, Letters, various documentary
proofs etc), as being uploaded by the Bidder shall also be submitted in the Hard copy,
along with a copy of the same in a pen drive along with the Bid Submission.
c. Financial Bids are to be uploaded on the website only as mentioned in the RFP.
• The Financial Bid shall not be submitted (in Hard Copy or in Pen Drive) with the
Technical Bid. Submission of Financial Bid (in Hard Copy or in Pen Drive) along with
Technical Bid will lead to the disqualification of the Bidder.
1.7.1 The bids shall be evaluated on a Least Cost Basis (L1). The Technically Qualified Bidder
quoting the lowest Financial Bid shall be declared as the Preferred Bidder (“L1 Bidder”) and
shall be considered for award of the Agreement. The L2 Bidder shall be the Technically Qualified
Bidder quoting the second-lowest Financial Bid.
The works shall be divided between the L1 and L2 Agencies as specified below, and the works
allocated to both Agencies shall be executed at the L1 quoted rates:
• L1 Agency: Central Gujarat, Kutch & South Gujarat Zones
• L2 Agency: North Gujarat & Saurashtra Zones
The details of the Zone wise locations are included in Annexure
1.7.2 TCGL or any of its agencies reserves the right to seek additional information and/or clarification
from the Bidders, if found necessary, during the course of evaluation of the Bids. Non-
submission, incomplete submission or delayed submission of such additional information and /

or clarifications sought by TCGL or any of its advisors / consultants, may be a ground for rejecting
the bid and / or evaluation at the discretion of the Authority.
1.7.3 The following procedure shall be adopted in evaluating the bids:
Stage 1: Test of Responsiveness
1.7.4 Prior to evaluation of the documents contained in the Technical Bid envelope, the Authority shall
determine whether each Bid is responsive to the requirements set out in this Tender. A Bid shall
be considered responsive only if:
▪ It is received by the Bid due date including any extensions thereof.
▪ The Part-1 submission (Cover-1) shall contain the Bid Processing Fee and EMD as defined
o Bid Processing Fee: Bidder has to furnish, as part of its submission, non-refundable
Bid Processing Fee amounting to Rs. 5,000/- (i.e. Rupees Five Thousand only).
The Bid Processing Fee shall be submitted in the form of a Demand Draft (DD) drawn
in favour of Tourism Corporation of Gujarat Limited, payable at Gandhinagar.
o Earnest Money Deposit: Bidder has to furnish, as part of its submission, Bid Security
/ Earnest Money Deposit amounting to Rs. 2,30,000 (Rupees Two lakh thirty
thousand only) in the form of either Bank Guarantee (BG) OR Demand Draft (DD)
OR Fixed Deposit Receipt (FDR). In case the EMD is being submitted in the form of
a BG, it should be substantially as per the format in Form 8 and from the List of Banks
in Annexure 2. The EMD of the unsuccessful bidders shall be returned, without any
interest, by the Authority preferably within 15 days of the signing of the Agreement
with the Successful Bidders.
The EMD of the successful bidders shall be returned upon submission of the
Performance Guarantee. The EMD of the unsuccessful bidders shall be returned,
without any interest, by the Authority preferably within 15 days of the signing of the
Agreement with the Preferred Bidder. The EMD of the Preferred Bidder shall be
returned upon submission of the Performance Guarantee.
▪ Demand Draft (towards Bid Processing Fee / Earnest Money Deposit) shall be
drawn in favour of Tourism Corporation of Gujarat Limited, payable at
▪ Bidders must ensure that the purchaser of the instruments towards Bid
Processing Fee and Earnest Money Deposit should be the Bidder only. DDs /
FDRs purchased under the hand/in the name of any purchaser other than the
Bidder may render the bid non-responsive.
▪ It does not contain any condition or qualifications, and it is not non-responsive in terms
Responsive Bids, fulfilling the criteria as given above, shall be evaluated as per Stage 2 given

▪ The validity period of the Bid Security, in case of DD, shall not be less than 60 (Sixty) days
from the Bid Due Date (which shall be extended on mutual agreement) and in case of a
BG or FDR, shall not be less than 180 (one hundred and eighty) days from the Bid Due
Date, and may be extended as may be mutually agreed between the Authority and the
Bidder from time to time.
▪ The validity period of the Bid Processing Fee, in case of Demand Draft, shall not be less
than 60 (Sixty) days from the Bid Due Date
▪ It is signed, sealed, bound together and marked as stipulated in this RFP document.
▪ It is received as per the formats prescribed in the Section 3 – Technical Bid Forms of the

Pre-qualification Criteria
Bidders who comply with the following basic criteria are eligible for participation in this tender:
1.8.1 The Bidder should be a Company (registered under the Company’s Act) or Partnership Firm
(including LLP) or a Proprietorship Firm or an Autonomous body registered under the
Societies Registration Act of 1860 and should be in existence in India for a minimum period of
five years as on the bid issue date. Joint ventures / Individuals are not eligible to
participate in this RFP.
1.8.2 The minimum average annual turnover (standalone turnover net of taxes) of the Bidder, in any
three consecutive financial years in the last four financial years (2022-23 to 2025-26) should be
INR 2.30 Crore (Rupees Two Crores Thirty Lakhs only).
1.8.3 The Bidder should have undertaken similar projects (either completed or ongoing with at
least 12 months of services being provided) for Government / Private Clients in the last
years, in India as on the bid issue date as below:
o At least one eligible project with a minimum project fee of Rs. 1.84 Crores (exclusive of

Bids qualifying as per the PQ Criteria, given above, will be eligible for the next stage of evaluation,
that is Stage 3: Technical Bid Evaluation.
Technical Bid Evaluation
1.9.1 The Authority will carry out evaluation of Technical Bids, based on the point / marks system as
specified in the Table below. Each pre-qualified bid shall be attributed a Technical Score.
1.9.2 Bidders who score at least 70 marks out of 100 marks in the technical evaluation and at least
15 marks out of 30 marks in the Technical Presentation, the “Technically Eligible Bidders”
shall be eligible for opening and evaluation of the financial bids.
1.9.3 The combined Technical Qualification and presentation would carry marks as below:

Stage 4: Financial Bid Evaluation:
1.10.1 After the evaluation of technical proposal is completed, the Authority may notify those Bidders
whose Technical proposals were considered non-responsive and not qualifying as per the
conditions of the RFP, indicating that their Financial Proposals will not be opened.
1.10.2 Bidders scoring at least 70 marks out of 100 marks in the technical evaluation and at least
marks out of 30 marks in the Technical Presentation, the “Technically Qualified Bidders”,
shall be eligible for opening of their Financial Bids.
1.10.3 The Financial Bids shall be opened through the n-Procure portal in the presence of the Bidders
/ authorized representatives who choose to attend the process. The name of the Bidders and the
quoted Financial Bid shall be announced and recorded at the time of opening of the Financial
1.10.4 The Bidders shall carefully assess the scope of work, site conditions, deployment requirements,
machinery requirements, statutory compliances, and all other obligations under the RFP before
submitting their Financial Bid.
1.10.5 Technically Qualified Bidder quoting the Lowest Rates (L1) is generally considered the
frontrunner. The second ranked bidder L2 will be asked to match the L1 price. In case L2 declines
to accept the offer to match the L1 price, the Authority will approach subsequently ranked bidders
to seek their confirmation on the same. The process will be repeated till 1 more bidder agrees to
work at rated quote by L1. The distribution of works between the final L1 & L2 bidders shall be
as per the details provided in Clause 1.7.1 above.
1.10.6 The Authority also reserves the right to award all the works to L1 bidder, in case clear
identification of 2 preferred bidders is not possible.
1.10.7 In the event more than two Bidders quote the same Financial Bid (the “Tie Bidders”), TCGL may
ask such Bidders to submit revised Financial Bids, which shall not be higher than the original
Financial Bid submitted by the respective Bidders. The Bidders quoting the lowest revised
Financial Bid shall be awarded the project subject to the terms and conditions of Clause 1.10.5.

1.11.1 After completion of negotiations with the Preferred Bidders, the Authority shall award the work to
the Preferred Bidders by issuing a Letter of Award each.
1.11.2 The Preferred Bidders with whom the Agreement (the “Agreement”) is signed is expected to
commence the Project on the date as indicated by the Authority during the negotiation meeting.
1.11.3 The Preferred Bidders shall be required to submit a Performance Guarantee which shall be equal
to 5 % of the Annual Fee, in the form of Bank Guarantee or Fixed Deposit Receipt as a pre-
requisite to signing of the Agreement. The Performance Guarantee shall be submitted within
days of the issue of the Letter of Award (the “LoA”) and shall be kept valid for 18 months from
the date of signing of Agreement. Preferred Bidder’s failure to adhere to the said conditions
might lead to the withdrawal of the Letter of Award by the Authority.
1.11.4 The Performance Guarantee, as submitted, shall have to be renewed by the Agency before its
expiry, if so desired.
1.12.1 Information relating to evaluation of Bids and recommendations concerning awards shall not be
disclosed to the Bidders who submitted the Bids or to other persons not officially concerned with
the process without the consent of the appropriate Authority.
1.12.2 The Agency , its Sub- Consultants and the Personnel of either of them shall not, either during the
term or within two years after the expiration or termination of this Agreement disclose any
proprietary information, including information relating to reports, data, drawings, design software
or other material, whether written or oral, in electronic or magnetic format, and the contents
thereof; and any reports, digests or summaries created or derived from any of the foregoing that
is provided by the Authority to the Agency , its Sub-Agencies and the Personnel; any information
provided by or relating to the Authority, its technology, technical processes, business affairs or
finances or any information relating to the Authority’s employees, officers or other professionals
or suppliers customers, or contractors of the Authority; and any other information which the
Agency is under an obligation to keep confidential in relation to the Project, the Services or this
Agreement ("Confidential Information"), without the prior written consent of the Authority.
1.12.3 Notwithstanding the aforesaid, the Agency, its Sub- Consultants and the Personnel of either of
them may disclose Confidential Information to the extent that such Confidential Information:
i. was in the public domain prior to its delivery to the Agency, its Sub- Consultants and the
Personnel of either of them or becomes a part of the public knowledge from a source
other than the Agency, its Sub- Consultants and the Personnel of either of them;
ii. was obtained from a third party with no known duty to maintain its confidentiality;
iii. is required to be disclosed by Applicable Laws or judicial or administrative or arbitral
process or by any governmental instrumentalities, provided that for any such disclosure,
the Agency , its Sub-Consultants and the Personnel of either of them shall give the
Authority, prompt written notice, and use reasonable efforts to ensure that such
disclosure is accorded confidential treatment; and

iv. is provided to the professional advisers, agents, auditors or representatives of the
Agency or its Sub- Consultants or Personnel of either of them, as is reasonable under
the circumstances; provided, however, that the Agency or its Sub- Consultants or
Personnel of either of them, as the case may be, shall require their professional advisers,
agents, auditors or its representatives, to undertake in writing to keep such Confidential
Information, confidential and shall use its best efforts to ensure compliance with such
Right of Rejection
1.13.1 Authority reserves the right to reject any or all Bids, to waive any informality in such Bids, to
request new Bids, to revise the RFP prior to, and including, the pre-bid meeting date, to proceed
to do the work otherwise, withdraw this RFP, not award the work, or not award a portion of work
1.13.2 The receipt of bids shall not in any way, obligate the Authority to enter into an Agreement, or any
other agreement of any kind with the Bidder. All submitted copies of the bids shall become the
property of Authority.
1.13.3 The bid will be rejected for award if it determined that the Bidder recommended for award has,
directly or through an agent, engaged in corrupt, fraudulent, collusive or coercive practices in
competing for the project in question.
1.13.4 A Bidder will be declared ineligible, either indefinitely or for a stated period of time, to be awarded
a project if Authority at any time determines that the Bidder has engaged in corrupt or fraudulent
practices in competing for or in executing, a project; and
1.13.5 A Bidder may be declared ineligible and/or blacklisted from further bidding with Authority for a
period as deemed fit by Authority, in case any misrepresentation of facts / details is found in the
bid as submitted by them at any point of time.
Liquidated Damages and Penalties
1.14.1 Liquidated Damages for delay: In case of delay in submission of any deliverable, liquidated
damages not exceeding an amount equal to 0.1% (zero-point one percent) of the Total Fee,
per day, subject to a maximum of 2.5% (two-point five percent) of the negotiated Total Fee will
be imposed and shall be recovered by appropriation from the Performance Security or otherwise.
However, in case of delay due to reasons beyond the control of the Agency, suitable extension
of time shall be granted, without any penalty, on written request justifying the cause of such act.
1.14.2 Encashment and appropriation of Performance Security: The Authority shall have the right
to invoke and appropriate the proceeds of the Performance Security, in whole or in part, without
notice to the Agency in the event of breach of this Agreement or for recovery of liquidated
damages specified in this Clause.
1.14.3 Penalty for deficiency in Services: In addition to the liquidated damages not amounting to
penalty, as specified in this Clause, warning may be issued to the Agency for minor deficiencies
on its part. In the case of significant deficiencies in Services causing adverse effect on the Project
or on the reputation of the Authority, other penal action including debarring for a specified period
may also be initiated as per the policy of the Authority. Substandard performance across any

of the indicators / parameters placed Annexure:3, shall attract a penalty of 0.1% of the
Annual fee, per incident. If major deficiency of significant nature in the services is observed, an
additional levy of penalty up to a maximum of 5% of the Total Annual Fee shall be made on
the Agency. In this regard, the decision of Authority will be final and binding.
1.14.4 The amount of penalties and damages shall be capped at 10% of the Total Fee. In case the
same is breached, the contract shall be terminated, and the Authority may forfeit the Performance
Service and the Retention Money and blacklist the Agency for further tenders.

2. Terms of Reference
Tourism is one of the key sectors contributing to the economic development of Gujarat, with the
State attracting a significant number of domestic and international tourists every year. To further
strengthen the tourism ecosystem and enhance visitor experience, the Government of Gujarat
has been undertaking various initiatives for the development, beautification, and maintenance of
tourism infrastructure across the State.
A total of 43 tourism sites, covering an aggregate area of approximately 23.54 lakh sq. m.,
have been identified for the purpose of providing Cleaning and Sanitation Services. The summary
of the sites and area by zone is as follows:

The Authority intends to engage agencies for providing Cleaning and Sanitation Services at
the identified tourism sites with the overall objective of maintaining cleanliness, hygiene, and
sanitation standards and thereby enhancing the visitor experience.
To ensure effective implementation, quality control, transparency, and accountability in the
delivery of these services, the Authority intends to appoint Third-Party Inspection (TPI)
Agencies for Monitoring and Supervision of Cleaning Services across various tourist
locations in Gujarat. The TPI Agencies shall undertake independent and impartial inspection
and monitoring of the Cleaning and Sanitation Services at the designated locations and assess
the performance of the cleaning agencies against the prescribed scope, service standards,
performance parameters, and contractual requirements.
2.1 Agreement Period
The Agreement Period shall be for a period of 1 year, from the date of signing of the Agreement.
The Agreement period can be extended for a period of another 2 year, provided the works of the
Agency has been satisfactory and as per administrative requirements.
2.2 Scope of work
The Broad scope of work includes:
• Preparation and Finalization of Monitoring & Evaluation Framework: The Agency shall
review, prepare and finalize a detailed Monitoring & Evaluation (M&E) Framework for monitoring
and evaluation of the cleaning and sanitation services, in consultation with the Authority and the
cleaning agencies.

• Day-to-Day Third-Party Monitoring: The Agency shall provide third-party monitoring and inspection
services for the cleaning and sanitation works on a day-to-day basis across the assigned locations.
• Deployment of Monitoring Resources: The Agency shall deploy adequate resources at the
assigned locations for regular monitoring of cleaning and sanitation services across two shifts.
In case of any special requirement, including emergencies, special visits, fairs, festivals, events
or any other requirement of the Authority, the Agency shall depute additional/full-time resources
at the concerned location(s), as required.
• Real-Time Monitoring System: The Agency shall develop / provide an online, real-time
monitoring and reporting system for capturing inspections, observations, photographs, videos,
deficiencies, corrective actions and other relevant information, with real-time access to
designated officials of the Authority.
• Verification of Cleaning Services and Performance: The Agency shall monitor and verify the
cleaning and sanitation services against the approved scope of work, service levels, performance
standards, SOPs, KPIs and other requirements prescribed by the Authority.
• Verification and Recommendation of Payments: The Agency shall review and verify the bills
submitted by the cleaning agency based on the actual services provided, applicable performance
standards, attendance/deployment records, supporting documents and other requirements
prescribed by the Authority. The Agency shall recommend the amount payable, along with details
and justification for any applicable deductions.
• Identification and Recommendation of Penalties: The Agency shall identify instances
warranting penalties in accordance with the approved performance standards and penalty
provisions and shall assist the Authority in recommending/actuating the applicable penalties or
• The Agency shall submit location-wise performance reports to the Authority at such frequency
as may be prescribed by the Authority, covering observations, deficiencies, corrective actions,
complaints, penalties/deductions, and other relevant information.
• Area Revision: In case of any revision in the cleaning area, including addition or deletion of any
area, the Agency shall provide necessary assistance towards identification, measurement and
demarcation of the revised area, as directed by the Authority.
• Coordination with Local Authorities: The Agency shall assist the Authority in coordinating with
the concerned local authorities and other stakeholders to ensure that the cleaning and sanitation
services are provided in accordance with the requirements of the tender and other directions
issued by the Authority from time to time.
The detailed scope of work is as below:
A. Preparation and Finalization of Monitoring & Evaluation Framework
• The Agency shall prepare and finalize a detailed Monitoring & Evaluation (M&E)
Framework for monitoring and evaluation of the cleaning and sanitation services, in
consultation with the Authority and the concerned cleaning agencies (based on cleaning
agency’s tender and commitments made in their respective bids and subsequent

• The M&E Framework shall define the parameters, indicators, service levels, KPIs and
methodology for monitoring and evaluating the performance of the cleaning agencies.
• The M&E Framework shall include, but not be limited to, monitoring of:
o Deployment and attendance of cleaning personnel;
o Availability and use of prescribed uniforms, identification cards and PPE, wherever
o Availability and utilization of cleaning equipment, machinery, tools and materials;
o Cleaning and sanitation standards and outcomes;
o Cleaning of toilets and other public facilities;
o Collection, segregation and disposal of waste;
o Deployment and cleanliness of dustbins;
o Cleanliness of internal and external areas;
o Compliance with prescribed cleaning schedules;
o Complaints, feedback and public perception;
o Corrective actions undertaken by the cleaning agency; and
o Any other parameter prescribed by the Authority.
• The monitoring shall be primarily outcome-based; however, the Agency shall also
monitor relevant inputs, including manpower deployment, equipment, machinery,
cleaning materials, PPE, cleaning schedules and other resources required for
satisfactory delivery of services.
• The M&E Framework shall include appropriate performance standards and penalty
slabs for deficiencies and sub-standard performance, as finalized in consultation with
• The M&E Framework shall include a detailed SOPs for inspection and monitoring,
including the methodology and rubrics for recording observations, deficiencies and
• The M&E Framework shall provide for capturing feedback/complaints received from the
Authority, local authorities, visitors/public and other relevant stakeholders regarding the

• The finalized M&E Framework shall be binding on the Agency for monitoring the cleaning
and sanitation services at all assigned locations, subject to modifications issued by the
Authority from time to time.
B. Development/Provision of Online Monitoring System
• The Agency shall provide an online, real-time and GPS-enabled monitoring
system/application for monitoring the cleaning and sanitation services.
• The system shall enable the Agency's field resources to record and upload inspection
observations, photographs, videos, documents, deficiencies, corrective actions and
other relevant information on a real-time basis.

• The Authority shall be provided with dedicated login credentials and real-time access
to the monitoring system for viewing the inspection status, observations, reports and
other relevant information.
• The Agency may develop its own monitoring application/system or integrate/dovetail with
an existing system of the Authority, subject to approval of the Authority.
• The reporting structure, inspection formats, data fields and reporting mechanism of the
system shall be finalized in consultation with and approved by the Authority.
C. Day-to-Day Monitoring and Reporting of Cleaning Activities
• The Agency shall undertake day-to-day monitoring and inspection of the cleaning and
sanitation services at the assigned locations.
• The Agency shall deploy resources on site for two shifts as follows:
• For sites with an area less than 50,000 sqm, at least one resource shall be
deployed per site per shift.
• For sites exceeding 50,000 sqm, the Agency shall deploy one resource for every
50,000 sqm per shift, with the number of resources rounded up to the next whole
• In case of any special requirement, including emergencies, special visits, fairs,
festivals, events or any other requirement of the Authority, the Agency shall
depute additional/full-time resources at the concerned location(s), as required.
No additional payment shall be made in this regard.
• The Agency shall ensure that the assigned areas are covered through regular field
inspections and that the cleaning services are being undertaken in accordance with the
approved scope, SOPs, performance standards and cleaning schedules.
• The Agency shall monitor and report, inter alia, the following:
o Shift wise turnout and attendance of the staff for cleaning works.
o Aspects like uniform, identification card etc. of the cleaning staff.
o Utilization of machines, tools and equipment
o Cleanliness outcome
o IEC materials and events being conducted as per the requirements
o Disposal of garbage
o Deployment of dustbins, signage.
o Public perception / feedback / complaints etc.
o Report on action taken by the cleaning agencies
o Photographic / videographic documentation of the cleaning outcome
• The Agency shall verify the PF and ESIC records and statutory compliance of the
manpower deployed by the Cleaning Agency and verify the same across the deployment
plan. The Agency shall also maintain and submit valid PF and ESIC-related documents
pertaining to its own deployed personnel, as and when required by the Authority.
• The Agency shall identify all major/visible deficiencies observed during inspections and
report the same through the approved monitoring system/format.

• In case any sub-standard service or non-compliance is observed, the Agency shall inform
the concerned cleaning agency and the Authority and shall follow up for necessary
corrective action.
• The Agency shall verify the corrective action undertaken by the cleaning agency before
closure of the reported deficiency.
• In case any complaint is received from the Authority, local authority or other relevant
stakeholder, the Agency shall verify the complaint, report its findings and follow up with
the cleaning agency for necessary corrective action.
• The Agency shall submit inspection observations on a daily basis or at such frequency
as prescribed by the Authority.
• The Agency shall submit a consolidated monthly report covering location-wise
performance, inspections conducted, deficiencies observed, corrective actions,
complaints, penalties/deductions and other relevant matters as prescribed by the

• The Agency shall review and verify the monthly bills submitted by the cleaning agency in
accordance with the terms and conditions of the cleaning services contract.
• The verification shall include, as applicable, actual service delivery, manpower
deployment/attendance, applicable performance standards, supporting documents,
deficiencies observed, corrective actions, penalties/deductions and other requirements
prescribed by the Authority.
• The Agency shall recommend the amount payable to the cleaning agency after due
verification and validation of the services provided.
• The Agency shall provide proper justification and supporting details for any deduction,
penalty or adjustment recommended in the bill.
• The Agency shall assist the Authority in identification and actuation of penalties in
accordance with the applicable performance standards and penalty provisions.
E. Reporting & Documentation
• The Agency shall maintain comprehensive records of all inspections, observations,
deficiencies, corrective actions, complaints, photographs/videos, bill verification and
other monitoring activities.
• The Agency shall submit daily/periodic inspection reports and location-wise
performance reports in the format approved by the Authority.
• The Agency shall submit a monthly consolidated report covering the overall
performance of the cleaning agencies across the assigned locations.
• The reports shall, inter alia, include:
o Inspection details;
o Location-wise performance;
o Deficiencies/non-compliances;

o Corrective actions and closure status;
o Complaints and feedback;
o Penalties/deductions, wherever applicable;
o Bill verification details; and
o Other observations/recommendations as directed by the Authority.
• The reporting frequency and formats may be modified by the Authority from time to time
based on project requirements
F. Area Revision
• Upon finalization or revision of the cleaning area, including addition or deletion of any
area, at any location, the Agency shall prepare duly signed and stamped maps/layouts
clearly indicating the finalized and demarcated area and submit the same to the Authority
and the concerned local authority. The Agency shall facilitate verification and clarification
of the demarcated area with the concerned stakeholders and shall update the relevant
monitoring records, system and reporting mechanism accordingly, as approved by the
• The Agency shall also coordinate with the local authorities like – Archaeology, Forest
Department, district administration for the demarcation of area, wherein the cleaning
services are to be provided.
• The Agency shall update the relevant monitoring records, system and reporting
mechanism based on the revised area, as approved by the Authority.
• Any corresponding adjustment in the payment for change in area shall be dealt with in
accordance with the provisions of the tender.
G. Coordination and Other Requirements
• The Agency shall assist the Authority in coordinating with the concerned local authorities,
site officials, cleaning agencies and other stakeholders for effective monitoring of the
cleaning and sanitation services.
• The Agency shall attend meetings, site visits and review meetings as and when required
by the Authority.
• The Agency shall provide additional resources at specific locations in case of
emergencies, special visits, fairs, festivals, events or other special requirements,
as directed by the Authority.
• The Agency shall undertake any other activity reasonably related to the monitoring,
inspection, verification and supervision of the cleaning and sanitation services, as may
be directed by the Authority from time to time.
Note: It is further clarified that the above stated scope of work has tried to cover the scope

2.3 Payment Terms & Timelines
2.3.1 The Selected Agencies shall be required to deploy resources and initiate the services as per the
requirements of this tender, within a maximum duration of 1 month from the date of signing of
2.3.2 During the period of 1 month, the Agency shall finalize the Performance Standards, M&E
Framework, Reporting Framework, Performance Standards of the Agency, reporting application
and all such activities that are pre-cursor to actual service delivery.
2.3.3 Following the deployment of resources, the Agency shall be paid on a monthly basis, following
the raising of the invoice. Payments shall be generally made within 15-20, following due
screening of bills
2.3.4 In an event any site is added or deleted or the area is modified, the payments shall be made on
a pro-rata basis, based on the discovered rates.
Important Note:
i. All submittals shall be made in at least 2 coloured printed copies and also submitted over
ii. The Authority shall endeavor to give feedback, if any, on each submittal within 15 days of
the submission, after which the Agency shall re-submit the revised reports/documents .
iii. A sum equal to 5% of the total bill amount from each invoice shall be retained by the Authority
("Retention Moneys"). Retention Money shall be released to the Agency on an annual basis,
or upon termination of the Agreement (other than termination due to an event of default by
the Agency), provided there are no outstanding claims of the Authority against the Agency.
Any outstanding claims of the Authority may be adjusted from the Retention Moneys.

other forbearance, act or omission on the part of TCGL or any indulgence by TCGL to the said
Bidder or by any change in the constitution of TCGL or its absorption, merger or amalgamation
with any other person or any other matter or thing whatsoever which under the law relating to
sureties would but for this provision have the effect of releasing the Bank from its such liability.
7. Any notice by way of request, demand or otherwise hereunder shall be sufficiently given or made
if addressed to the Bank and sent by courier or by registered mail to the Bank at the address set

Annexure 3: Performance Standards & Penalty Provisions
The Agencies shall be required to develop the Monitoring & Evaluation Framework for monitoring the
services being provided by the cleaning agencies. The performance standards for the TPI Agencies
shall also be linked to the same. However, the standards mentioned below are indicative in nature, and
subject to the finalization of the Monitoring & Evaluation Framework.

1 Site Inspection including Daily
covering of all sites
2 Verification of Cleaning Services Daily
3 Identification of Deficiencies with 100% of major/visible deficiencies observed during
Geo-tagged Evidence inspection shall be recorded and reported
4 Reporting of Major Deficiency to Daily basis, including Action Taken Report of the Cleaning

5 Follow-up with the Cleaning Daily basis until the deficiency has been addressed

15 KPI Report KPI scorecard shall be submitted along with the monthly
report, unless the report is sought at an earlier frequency
Substandard performance across any of the indicators / parameters placed above, shall attract a penalty
of 0.1% of the Annual fee, per incident. The total annual penalties shall be capped at 10% of the
Annual fee, the breach of which shall form grounds of termination, in addition to other measurers like
blacklisting and / or penal action.
