AS PER THE NOTICE OF THE INVITATION OF TENDER (NEWS PAPER
ADVERTISEMENT), THE TENDER IS INVITED ON E-TENDERING (ON – LINE) SYSTEM,
FOR WHICH FOLLOWING CONDITIONS ARE MANDATORY AND ANY DEVIATION WILL

INSTRUCTION TO BIDDERS
Tender fee is Non-refundable.
The Bidders are forbidden from furnishing their own printed / typed commercial and
other terms and conditions.
One single bidder will not get the whole order, company may have a rights to split the
order quantity amongst the two or three bidders if they match the L1 rate.
The Bidders shall specifically note that the Tenders are invited for Annual Rate Contract
for Onsite Maintenance of 11/0.250 KV, 1-Phase & 11/0.433 KV 3-Phase Distribution
Transformers of various ratings on item wise rate under VISHWAMITRI EAST DIVISION of
MGVCL. Estimated rates are furnished and bidders have to quote their rates in %
above or below the estimated rates excluding GST.
The Bidders shall specifically note that the quantities of Onsite Distribution Onsite
transformer Maintenance are based on population of Transformers in the Division
Jurisdiction. However the priority of maintenance will be based on Old Aged & outside
guarantee period transformers existing in the field. For bidders information the capacity
wise population of transformers under Division as on Jan-2025 is given as under.

One employee will be avail from company side for arrangement of outage for
Onsite transformer maintenance.
The Bidders shall have to submit complete documents sets of their offer in On-Line
Electronic forms.
The Bidders will ensure submission of all the Tenders documents should be uploaded in
online electronic form.
Bidders are not allowed to transfer their offer to other firm who have not purchased the
tender document nor to the firms who have purchased the tender document.
Seal and Signature with date at all pages of all documents / Annexure are must. The bid
which is not opened due to any reason/s in that case the same will not be returned to
the bidder in any case / circumstances and no any communication for that.
Bidder has to upload scanned copies of original (Notarized/ Self-Attested copies of
original- as specified in tender document) documents in online electronic forms
(e-tendering) in scheduled time with bid and physical documents not required;

In absence of any of the above, techno-Commercial bid will not be opened / the
opening of tender of the party will be at the discretion of the MGVCL.
DELAYED AND LATE TENDERS :
The bidders are requested to submit their bids by on line through our service provider M/s(n)
Code Solutions before one day of the due date to avoid complication / dispute at later stage.
No tender shall be accepted / opened in any case which are received after due date
and time of the receipt of tender irrespective of delayed due to postal service or any
other reasons and MGVCL shall not assume any responsibility for late receipt of
tender. Any correspondence in this matter will not be entertained.
Tender evaluation: L1 bidders (irrespective of new or existing agency) offer shall
be considered as base offer for placement of order.
After opening of the tender and within the validity period no reduction or enhancement
in offer price by the tenderer will be entertained. On the other hand, it will make the
tender liable for rejection. However management reserves the right for negotiation of
rates & terms from among the eligible bidders.
Conditional Offers shall not be accepted.
IMPORTANT CONDITIONS
(1) The documents, as mentioned given here under, should be uploaded in online
electronic form. Bidder should pay EMD/Tender Fee by RTGS/NEFT/online. The receipt
of online mode payment transfer through RTGS / NEFT must be uploaded in preliminary stage.
Otherwise the offer will not be considered and no further communication in the matter will
be entertained.
(2) Any deviation found in Data / Details / Documents between on line offer (e-tendering)
and physically submitted documents (Tender document fee, EMD as applicable, Technical
and commercial documents etc.) of bidder, offer of the same bidder will not be considered
and no any further communication in the matter will be entertained.
(3) Bidders are requested to submit price – bid (Schedule–B) & Technical Bid should be
uploaded in online electronic form, it is mandatory
(4) It is mandatory for all the bidders to submit their tender documents (technical bid) in
online electronic form (e – tendering).
(5) The Techno-Commercial bid shall be opened on-line at date and time mentioned in the
tender notice, if possible. Technical and pre-qualification bid details specification will be
opened first and subject to evaluation based on the qualification criteria contained in the
individual bid document. Price bids of bidders who are assessed and declared as
substantially technically responsive on evaluation of the technical bid will be opened for
commercial evaluation.
All the bidders must pay Tender fees (Non-refundable) plus applicable GST as mentioned in the
tender document either in cash (up to 10,000/-only) at the office address specified in the tender
document i.e at ,“Madhya Gujarat Vij Company Ltd. (MGVCL), VISHWAMITRI EAST DIVISION
Office at Cash counter during working day between 11.00 A.M. to 15.00 P.M. and on working
Saturday between 11.00 A.M. to 12.30 P.M. before the due date and time for submission of tender
or by RTGS/NEFT/ON LINE, otherwise bid shall be ignored out rightly. Indian Postal Orders (IPO’s) &
Cheques are not acceptable. And bidder must have to enclose Money receipt in original / self-
certified copy in Tender fee stage at “tender Fee details” ONLINE MODE ONLY. This is mandatory
otherwise the tender may be rejected.
Bidder also can pay Tender Fee by RTGS/NEFT/online mode on the given MGVCL
account number. The receipt of online mode payment transfer through RTGS/NEFT must
be uploaded in preliminary stage.
(7) EARNEST MONEY DEPOSIT:-
Bidder / contractor have to pay E.M.D. at a rate of 1 % of the total cost of the qty. of the works offered. The
E.M.D. is payable either in Cash (up to Rs 10,000 only) at the office address specified in the tender document
i.e at , “Madhya Gujarat Vij Company Ltd. (MGVCL), VISHWAMITRI EAST DIVISION Office OR by
RTGS/NEFT/ON LINE.
If the EMD amount is more than Rs.3 Lac, it should be paid either by RTGS/NEFT/ON LINE or
Demand Draft or Banker’s Cheque or pay order or Bank Guarantee (from any Scheduled/Nationalized
Banks notified by Government time to time, in a Standard format prescribed by MGVCL attached here
with bid documents).Demand Draft should be in favor of the Madhya Gujarat Vij Company Ltd. on
any Scheduled / Nationalized Banks payable at Vadodara. If paid by cash (Up to Rs. 10,000 only), the
bidder must enclose Money receipt in original / self-certified copy in the EMD stage at “EMD FEE
DETAILS” ON LINE. The copy of money receipt of cash payment (whenever applicable) must be
UPLOADED online; otherwise the bid will be rejected.

No relaxation shall be given to the Gujarat based bidders having only one registration
number from Government of Gujarat but no subsequent registration with NSIC
registration certificates for the item under tender.
All the “SSI” and “NSIC/CSPO/DGS&D” registration certificates Documents furnished
along with the tender submitted by the bidders online having Small, Cottage & Tiny
industrial units registered under small scale industries of Govt. of Gujarat should have
clear validity as per the tender and should invariably be renewed as per the norms of
“SSI” and “NSIC/CSPO/DGS&D” registration certificates Otherwise they shall have to
pay E.M.D. and no exemption will be granted. Tenders submitted without Earnest
Money Deposit by the contractor/firms, who are not eligible for any exemption, will be

guarantee is Stipulated as 10% & 5%, the same shall be relaxed to 6% & 3%

Note: The Banks shall be the Banks recognized / notified by the Finance Department,
Government of Gujarat (GoG) from time to time.
Qualifying requirements of the bidders
(A) Bidders who fulfill any of the following criteria are eligible for offering the bid.
1. Gujarat State firms or outside Gujarat state firms, who have got experience in Repairing and
Maintenance of distribution Transformer of 1-ph OR 3ph 11 OR 22 /0.433 KV capacities
transformers against Purchase Orders issued by MGVCL/ DGVCL//PGVCL/ UGVCL/ SEBs/ Privet
Power Utilities (MGVCLs) or may be repaired or done maintenance of Distribution transformers of
at least 100 nos for the privet entity during last three financial years.
2. Any new entrepreneur who is willing to start onsite Distribution onsite transformer Maintenance
work with MGVCL they also to be allow by considering as new bidder. To ascertain their ability for
Maintenance of transformers, they will be awarded the contract on “Trial basis” for the 120 days
only, during this 120 days their work Techniques, workmanship quality of works and
performance of Maintained transformers will be observed, accordingly if found satisfactorily
than after order will be finalized at discretion of MGVCL. However the new agency should
require to higher at least one of the experience labour for the same work in his labour team
and the proof in the matter may be required to furnish in technical bid. Also how the
Maintenance will be performed with each task labour wise (expertise of labours) that all
process should also to be submit with technical bid (It is Mandatory). Accordingly the
qualification may be finalized, on non-submission of this documents bidder will be consider as
disqualified for this tender.
Addition to above following additional valid documents are also required by new bidder.
1. Copy of valid E. P. F. Registration in the name of bidder.
2. Copy of valid PAN card in the name of bidder
4. Copy of valid Labour License, labour Insurance Policy
5. Latest bank solvency certificate from any nationalized bank
6. Electrical Supervisor / contractor’s licence
7. Valid qualification of ITI in Electrical grade OR valid Government OR privet institution
training certificate of at least 3 months (will be consider only of Last 3 years) in
Transformer Design, repairing, Testing or Maintenance.
The agencies which are debarred/ blacklisted/ stop deal by GUVNL Group companies will
not be eligible for offering the bid.
Bidder will have to submit latest solvency certificate from scheduled Bank as per
prevailing Government of Gujarat Norms (Not more than three months old) for amount
of 20% of tender value from any nationalized Bank.
MGVCL reserves the right to call for any additional requirement and also reserves the
right to reject the proposal of any bidder, if in the opinion of the MGVCL, the
qualification data is incomplete or the bidder is found not qualified to satisfactorily
perform the works.
For all the above, attested documentary evidence should be furnished.
(C) Conflict of Interest among Bidders/ Agents:
A Bidder shall not have conflict of interest with other bidders for particular quoted item.
Such conflict of interest can lead anti-competitive practices to detriment of procuring
Entity’s inter4ests. The bidder found to have a conflict of interest shall be disqualified. A
bidder may be considered to have conflict of interest with one or more parties in this
bidding process for particular quoted item, if:
a) They have proprietor/ partner(s) / Director(s) in common; or
b) They receive or have received any direct or indirect subsidy / financial stake from
any of them; or
c) They have the same legal representative / agent for purposes of this bid; or
d) They have relationship with each other, directly or through common third parties,
that puts them in position to have access to information about or influence on the
bid of another bidder; or
e) Bidder participates in more than one bid in this bidding process. Participation by
abider in more than one bid will result in disqualification of all bids in which the
parties are involved. However, this does not limit the inclusion of the components /
sub-assembly / assemblies from one bidding manufacturer in more than one bid.
f) In cases of agents quoting in offshore procurements, on behalf of their principal
manufacturers, one agent cannot represent two manufacturers or quote on their
behalf in a particular tenderer enquiry. One manufacturer can also authorize only
one agent/ dealer. There can be only one bid from the following:
1. The principal manufacturer directly or through one Indian agent on
his behalf; and
2. Indian / foreign agent on behalf of only one principal.
g) A bidder or any of its affiliates participated as a consultant in the preparation of the
design or technical specifications of the contract that is the subject of the Bid;
h) In case of holding company having more than one independently manufacturing
units, or more than one unit should quote. Similar proactively declare such sister/
common business/ management unit in same/ similar line of business.
i) Bidder shall not act in contravention/ violation to the provisions of competition act,
as amended from time to time.
Every bidder should, at the time of submission of bid, give a declaration, that bidder
shall not have conflict of interest with other bidders, where bidders are asked to
quote rates for all tender items i.e. rates are called on % age basis, as above.
(D) Relationship with employee:-
Every bidder should, at the time of submission of bid, give a declaration as under,
“if in any Bidder company/firm, the interest(i.e. Shareholding in company and share in
partnership firm) of any employee of the tendering company or his/her relative as defined in
section 2(77) of the company’s Act 2013 is 10% or more, the tendering company will not
deal with such company/firm at all.
Tenderer therefore, must specifically disclose this fact in his technical Bid, on-disclosure of
such facts would immediately disqualify the tenderer for further dealing with the tendering
(E) Minimum Tender quantity to be Offered / Quoted:-
Minimum tender quantity per month to be maintained shall be offered by the bidder which
shall not be less than 100 nos of Transformers per month. Company shall not consider
the bid of any firm and their bid will be rejected, who quotes for lesser quantity that the
minimum quantity mentioned in the tender documents.
General Condition of Contract
The "MGVCL" shall mean the MADHYA GUJARAT VIJ COMPANY LTD., having its
DIVISION office at VISHWAMITRI EAST DIVISION. With expression shall unless
repugnant to the context include its permitted assigns or successor / authorized
representatives.
The "Contractor" / Successful Bidders shall mean the Bidders, whose tender has
been accepted by the MGVCL for award of the contract and shall include his
authorized representatives.
The "Engineer-in-Charge" shall mean the authorized officer of the MGVCL to act as
Engineer-in-Charge to supervise the work – for the purpose of the contract.
The "Specification" shall mean the tender forming a part of the contract along with
Performa, schedules, Annexure and drawings.
The "Order" shall mean the official letter issued by the MGVCL, informing the bidder
that his tender has been accepted.
The "Contract" shall mean the agreement to be entered into by the MGVCL with the
contractor and shall include the commercial technical and general conditions,
schedules, Annexure, drawings and any other conditions specifically agreed
between the parties forming a part of the contract.
The "EMD" shall mean Earnest Money Deposit.
The "Contract Value" shall mean the total amount indicated in the contract

indicated in the tender.
The "Guarantee Period" shall mean the period during which the Contractor shall
remain liable for Onsite Maintenance of any defective parts / work performed by the
Contractor under the contract.
The "Completion Period" shall mean the period starting from the date of issue of
"Order" and required to complete the work in all respect as specified in the Scope of
The "Work" shall mean activities to carry out for Onsite Maintenance of Distribution
“Inspector” shall mean the any person nominated by MGVCL from time to time to
inspect the equipment’s, material stores or Maintenance works under the contract
and/or duly authorized representative of the MGVCL.
“Notice of Award of Contract/Letter of Award” shall mean the official notice issued
by the MGVCL notifying the contractor that his bid has been accepted.
“Date of Contract” Shall mean the date on which notice of award of contract /Letter
of award-A/T has been issued.
“Month” shall mean the calendar month day or days unless herein otherwise
expressly defined shall mean calendar day or days of 24 hours each.
“A Week” shall mean the continuous period of seven days.
HV means High Voltage, HT means high Tension.
LV means Low Voltage, LT means low Tension.
2. INVITATION OF TENDER:
The EXECUTIVE ENGINEER (O&M), MGVCL for and on behalf of “MADHYA
GUJARAT VIJ COMPANY LTD.", having its DIVISION Office at VISHWAMITRI EAST
DIVISION, hereafter called the "MGVCL" intends to INVITE Tender for Annual Rate
Contract for Onsite Maintenance of 11/0.250 KV , 1-Phase & 11/0.433 KV 3-Phase Distribution
Transformers of various ratings on item wise rate under VISHWAMITRI EAST DIVISION
Bids submitted after the time and date fixed for receipt of bids as set out in the
INVITATION to Bid shall be rejected.
The works referred herein shall cover the entire scope of the Tender which
include Annual Rate Contract for Onsite Maintenance of 11/0.250 KV , 1-Phase & 11/0.433
KV 3-Phase Distribution Transformers of various ratings on item wise rate under
VISHWAMITRI EAST DIVISION of MGVCL.
The issuance of bid document would not mean that the bidder has qualified for the
bidding. Hence bidders should ensure themselves of their credentials before
submitting their offer.
Tender fee and EMD shall be paid in online mode and a receipt shall be uploaded with
preliminary bid submission, if payment of tender fee and EMD are found in order then
only technical bid will be opened. All those who are found technically competent to
carry out the job will be considered as qualified bidders and only their financial bid i.e.
price bid will be opened.
The bidder shall quote in the appropriate schedule-B of bid form on transformer rating
wise rate for scope of the works as specified separately in the schedule-B in % up or
down or at par.
4. AMENDMENT TENDER
At any time prior to the deadline for submission of bids, MGVCL may, for any reason,
whether at its own initiative or in response to a clarification requested by a respective
bidder, modify the bidding documents by amendments.
The amendment will be notified on N-procure Website. MGVCL will bear no
responsibility or liability arising out of non-compliance of the same in time or otherwise.
In order to afford prospective bidder’s reasonable time in which to take the amendment
into account in preparing their bids, MGVCL may at its discretion, extend the deadline
for the submission of bids.
Such amendments, clarification etc. shall be binding on the bidders and will be given
due consideration by the bidders while they submit their bids and invariably enclose
such amended documents as a part of the bid.
5. SUBMISSION OF TENDER :- (online electronic form only in E-Tender)
The Bidders must ensure that all the schedules and Annexure are completely filled in
their tender and the information called for is given in totality. A set of complete tender
documents is required to be submitted duly signed(online mode) and stamped by
bidder or by authorized person in way of power of attorney (Notarized Copy) to sign
on behalf of bidder on each page as a token of unconditional acceptance to the
conditions of various clauses of tender documents. The bidder's bid and the
documents attached there to shall be considered for forming part of the contract
Tender fee and EMD shall be paid in online mode and a receipt shall be uploaded with
preliminary bid submission.
The bids will be opened at the time and date set for opening of bids.
The MGVCL reserves the right to reject any bid, which is not deposited according to
the instructions and condition of bid stipulated above.
The Price Bid & Techno-commercial Bid is to be submitted ON LINE only in
online electronic form.
Note: - Bidders are requested to submit price – bid (Schedule – B) & Techno-
commercial Bid on-line only and not to submit the same in physical form. This
REJECTION OF TENDER:
The Bidders is expected to examine all instructions, terms, conditions, schedules and
other details called for in this specification and keep himself fully informed about all
which may, in any way, affect the work, or cost thereof. Failure to furnish the required
information or submission of tender not as per the specification will be at the Bidders
risk may result in rejection.
The offer is liable to be out rightly rejected in case the bidding schedules are not filled
and if the prices and particulars are not given in format prescribed in the tender
Further the offer is liable summarily rejected if it contains.
a) Deviation and contradictions to the terms and conditions specified in this tender.
b) Revision of prices or any commercial terms affecting the price after opening of
technical bids shall not be considered and will be ignored.
6. LANGUAGE OF THE TENDER
All information in the bid shall be in English. Information in any other language shall be
accompanied by its translation in English. Failure to comply with this may disqualify a
bid. In the event of any discrepancy in meaning, the English language copy of all
documents shall govern.
7. SIGNATURE OF BIDDER
The bid must contain the name, residence address of persons making the bid and must
be signed and sealed by the bidder with his usual signature. The name of all persons
signing should also be typed or printed below the signature.
Bid by a partnership must be furnished with full names of all partners and be signed
with the partnership name, followed by the signature (s) and designation (s) of the
authorized partner (s) or other authorized representative(s).
Bids by corporation/ company must be signed with the legal name of the corporation/
company by the President, Managing Director or by the Secretary or other person or
persons authorized to bid on behalf of such corporation/ company in the matter.
A bid by a person who affixes to his signature the word 'President', 'Managing Director'
'Secretary', 'Agent' or other designation without disclosing his principal will be rejected.
Satisfactory evidence of authority of the person signing on behalf of the Bidder shall
be furnished with the bid.
The Bidder's name stated on the tender shall be exact legal name of the firm.
Erasures or other changes in the bid documents shall be over the initials of the person
signing the bid.
Bids not conforming to the above requirements of signing shall be disqualified.
8. DOCUMENTS COMPRISING THE TENDER
The bidder should submit the required information asked in tender document
Oral statements made by the bidders at any time regarding nos of labour requirements,
quality, quantity or arrangement of the materials or any other matter will not be

to provide additional information and data as deemed necessary by the Bidder
The bidder shall also submit documentary evidence to establish that the bidder meets
the qualification requirement
9. POLICY FOR BIDS UNDER CONSIDERATION
Bids shall be deemed to be under consideration immediately after they are opened and
until such time official intimation of award/rejection is made by the MGVCL to the
bidders. While the bids are under consideration, bidders and/ or their representatives or
other interested parties are advised to refrain from contacting by any means the MGVCL
and/ or his employees/ representatives on matters related to the bids under
consideration. The MGVCL, if necessary, will obtain clarifications on the bids by
requesting for such information from any or all the bidders, either in writing or through
personal contact, as may be necessary. Bidder will not be permitted to change the
substance of the bid after the bid has been opened.
10. EFFECT AND VALIDITY OF TENDER
The submission of any bid connected with these documents and specifications shall
constitute an agreement that the bidder shall have no cause of action or claim, against
MGVCL for rejection of his bid. The MGVCL shall always be at liberty to reject or accept
any bid or bids at his sole discretion and any such action will not be called into question
and the bidder shall have no claim in that regard against the MGVCL.
The bid should be kept valid for a period of 120 DAYS from the date set for opening of
Technical bids.
MGVCL may ask for extension in validity period. The bidder will be at liberty to accept
it or not. In case bidder agrees to extend the validity period without changing his
original offer, he will be required to extend validity period of the Bank Guarantee
(Submitted against the EMD) suitably.
11. SCHEDULE PRICE BID
BIDDER is requested to offer the price in schedule- B. No partial work to be offered
and if offered same will not be considered.
The prices quoted shall be Exclusive of GST and the GST component should be clearly
mentioned in the price breakup.
The rate quoted shall be inclusive of Transportation, loading, unloading of the material
utilized for the onsite Maintenance work, insurance covering loss / damage due to theft,
accidents, etc.
The quoted price of the tender shall be firmed price % up/down/at par.
The contractor at his cost shall arrange, secure and maintain all insurance as may be
pertinent to the work and obligatory in terms of law to protect his interest and interests
of MGVCL. Responsibility to maintain adequate insurance coverage at all time during
the period of contract shall be of contractor alone. The contractor’s failure in this regard
shall not relieve him from any contractual responsibilities and obligations. Any loss,
theft or damage to the equipment during handling, Testing and all activities to be
performed till the successful completion of commissioning of the equipment shall be to
the account of the contractor. The transfer of title shall not in any way relieve the
contractor from above responsibilities during the period of Contract. The contractor
shall provide with copy of all labour insurance policies and documents taken out by
him in pursuance of the Contract to MGVCL immediately after such insurance
coverage. The Contractor shall also inform the MGVCL in writing at least sixty (30)
days in advance regarding the expiry/cancellation and/or change in any of such
documents and ensure re-validation, renewal etc, as may be necessary well in time.
13. UNLAWFUL ACTIVITIES
The contractor shall have to ensure that none of its employees are engaged in any
unlawful activities (whether covered under the Scope of the present General condition
of the contract or Not).
14. CHANGE/VARIATION ORDER
During execution of the contract, MGVCL reserves the rights to increase or decrease
the scope of services envisaged under the contract. Such increase or decrease in the
scope of services shall be governed by the rates agreed under the contract.
Contractor and its employees or representatives thereof shall strictly maintain the
confidentiality of all data’s , documents, papers, correspondence and any other
information relating to the MGVCL, its business, operations, divulge or communicate
to any third party or use for its own purpose any above mentioned information, etc.
The Contractor shall neither disclose nor use the above for any purpose whatsoever
without prior written approval to MGVCL. In case of violation of this clause, the
Contractor is liable to pay compensation and damages as may be determined by the
competent authority of the MGVCL.
16. ASSIGNMENT OR SUBCONTRACTING
Contractor shall not assign in part or otherwise any portion of this contract. No work
shall be subcontracted without MGVCL Engineer-in-Charge prior written approval. The
contractor should also ensure that sub-contractor or any of the personnel deployed is
not an employee of MGVCL.
17. SUSPENSION OF WORKS
In the event of any obstruction/ exigency at site, or change in the scheme, or due to
any other reason, if work is suspended on the instructions of the company, extension
of the time may be considered by the MGVCL on merit and on the written request of
the Contractor and entirely at the company’s sole discretion only. No claim for any
compensation on this account will ever be entertained.
18. REPLACEMENTS
MGVCL has right to instruct the Contractor to change the Sub-Contractor or skilled/
unskilled workers in case the conduct, the workmanship or speed of the work is not
19. CANCELLATIONS
Company reserves the right to cancel, at its sole discretion, all or any terms of this
General condition of the contract or any contract, order or terms agreed between the
parties in pursuance, without assigning any reasons and without any compensation to
the Contractors.
20. UNSATISFACTORY PERFORMANCE/ TERMINATION
In the event of Contractor not being in a position to execute the contract or any part
thereof, to the company’s satisfaction, or any other similar reason, the company will
be entitled to make alternative arrangements to invite the OTHER bidder if matched
with L1 rate for completion of the balance works and executing the remaining contract
period at Contractor’s costs, risks and responsibility and/or terminate the contract at
its sole discretion, and claim damages as deemed fit by the MGVCL.
21. MGVCL'S RIGHT
The MGVCL reserves the right to terminate this contract or part thereof at any time
during its tendency without giving notice of Termination or the reasons thereof.
The MGVCL will be entitled to deduct directly from the bills to be paid to the contractor,
any sum or sums payable by him and which sum/sums the MGVCL is required to pay
as a principal employer on account of contractors default in respect of all liabilities
The Bidders shall specifically note that any overwriting or corrections or manuscript in
the bid shall be ignored and will not be considered authentic unless same are signed
with Bidder's Stamp/Seal.
In case of any doubt or interpretation of the terms and condition, the decision of the
EXECUTIVE ENGINEER (O&M), MADHYA GUJARAT VIJ COMPANY LTD,
VISHWAMITRI EAST DIVISION will be final and binding upon the Bidders and no
dispute in this regard will be entertained.
MGVCL reserves the right to accept any bid or reject any or all Tenders or cancel
/withdraw INVITATION to bid without assigning any reason. Such decision of the
MGVCL shall not be subject to question by any Bidders and the MGVCL shall bear no
liability whatsoever for such decision.
MGVCL reserves the right to change, increase or decrease the Nos. as well as rating
of transformers for maintenance depending upon the exigency of work.
22. UNDERSTANDING, CLARIFICATIONS ON DOCUMENTS AND SPECIFICATIONS.
The Bidder is required to carefully examine the specifications and documents and fully
inform himself as to all the conditions and matters which may in any way affect the
Work or the cost thereof. If any Bidder finds discrepancies or omissions in the
specifications and documents or is in doubt as to the true meaning of any part, he shall
at once request in writing for an interpretation/clarification by the MGVCL in triplicate.
The MGVCL, then, will issue interpretation and clarifications as he may think fit of such
interpretations and clarifications, the Bidder may submit his bid but within the time and
date as specified in the INVITATION to Bid. All such interpretations and clarifications
shall form a part of the specifications and documents, and accompany the bidder's
Verbal clarifications and information given by the MGVCL or his employee(s) or his
representative(s) shall not in any way be binding on the MGVCL.
23. ARITHMETICAL ERRORS
The bidder will correct arithmetical errors during evaluation of price proposals on the
following basis:
(a) If there is a discrepancy between the unit price and the total price that is obtained by
multiplying the unit price and quantity, the unit price shall prevail and the total price
shall be corrected unless in the opinion of the Purchaser there is an obvious
misplacement of the decimal point in the unit price, in which case the total price as
quoted shall govern and the unit price shall be corrected:
(b) If there is an error in a total corresponding to the addition or subtraction of subtotals,
the subtotals shall prevail and the total shall be corrected; and
(c) If there is a discrepancy between words and figures, the amount in words shall prevail.
However, where the amount expressed in words is related to an arithmetic error, the
amount in figures shall prevail subject to (a) and (b) above.
(d) If there is a discrepancy between percentage and figures related to various taxes or
levies, the percentage shall prevail over figure mentioned.
However, where the amount expressed in percentage is related to an arithmetic error,
the amount in figures shall prevail subject to (a) and (b) above. It should also be noted
that at time of payment, the prevailing tax/levy rates will be used as on the date of
approval of payment.
(e) Except as provided in sub-clauses (a) to (d) herein above, the Purchaser shall reject
the price proposal if the same contains any other computational or arithmetic
discrepancy or error.
If the Bidder that submitted the lowest evaluated Bid does not accept the correction of
errors, its Bid shall be disqualified and its Bid Security shall be forfeited.

24. AWARD OF CONTRACT
Notification of award of contract will be made in writing to the successful bidder by the

lowest evaluated bid in conformity with requirements of these specifications and
documents and MGVCL shall be the sole judge in this regard and subject to the
provisions of these instructions to bidders and other terms and conditions detailed out
in these documents and specifications. A responsive bid is one which accepts all terms
and conditions of these specifications and documents without any modifications.
The MGVCL shall have right to obtain the agreement, order and other conditions
entered into by the contractor with any of the sub-contractor/s. The technical
particulars of the work to be executed by sub-contractor shall be subject to approval
25. SIGNING OF CONTRACT
a. At the same time as MGVCL notifies the successful bidder that its bid has been
accepted, MGVCL will send the detailed letter of award to bidder.
b. Within 15 days of receipt of the detailed letter of award, the successful bidder shall
sign with date the same and return it to MGVCL.
26. MANNER OF EXECUTION OF CONTRACT
a. MGVCL after the issue of the letter of award to the contractor will send one copy of the
final agreement to the contractor for his scrutiny and approval.
b. The agreement unless otherwise agreed to shall be signed within 15 days of the
acceptance of the letter of award, at the office of The Executive Engineer of respective
Division office on a date and time to be mutually agreed.
c. The contractor shall provide for signing of the contract, performance guarantee,
appropriate power of attorney and other requisite materials. In case the contract is to
be signed beyond the stipulated time, the bid guarantee submitted with the tender will
have to be extended accordingly. Agreement will be signed in two originals copy and
the contractor shall be provided with one signed original and the rest will be retained by
27. COMPLETION PERIOD:
The Bidders should agree with onsite transformer Maintenance work in all respect as
per terms and conditions of the scope of work mentioned separately.
28. DOCUMENTS FOR APPROVAL
The contractor should upload the following documents online in electronic form.
(1) Government approved Certificate of Electrical supervisor/Contractor
(2) Labour license, labour insurance and provident fund supporting documents
(4) Details of qualified Maintenance, repairing & Testing operators & total No of Staff
available with their expertise in work.
(5) List of safety instrument will be utilized by workers for initiating the work
(6) Valid Past work experience certificate in the similar work
(7) Police verification of Labours
29. DEDUCTIONS FROM CONTRACT PRICE
All costs, damages or expenses with the MGVCL may have paid for which under the
Contract the Contractor is liable, will be recovered by the MGVCL. The MGVCL may
deduct the amount, from any monies due or becoming due by him to the Contractor
under the Contract or any other contract between the MGVCL and Contractor or may
be recovered by the actions of law or otherwise.
30. CONTRACTORS DEFAULT
If the contractor shall neglect to execute the Works with due diligence and expedition
or shall refuse or neglect to comply with any reasonable orders given to him, in writing,
by the MGVCL in connection with the work or shall contravene the provisions of the
contracts, the MGVCL may give notice in writing to the contractor to make the good the
failure, neglect or contravention complained of. Should the contractor fail to comply with
the notice within 15 days from the date of service thereof, then and in such case the
MGVCL shall be in liberty to employ other workmen and forthwith execute such part of
the works as the Contractor may have neglected to do or if the MGVCL shall think fit it
shall be lawful for him, without prejudice to any other right he may have under the
contract, to make the works wholly or in part out of the Contractor’s hands and re
contract with any other person or persons, complete the works or any part thereof and
in that event the MGVCL shall have free use of all Contractor’s equipment that may
have been at the time on the site in connection with the works without being responsible
to the Contractor for fair wear and tear thereof and to the exclusion of any right of the
Contractor, over the same and MGVCL shall be entitled to retain and apply any balance
which may otherwise due on the Contract by him to the Contractor, or such part thereof
as may be necessary, to the payment of the cost executing the said part of the works
or executing a part thereof is aforesaid shall exceed the balance due to the Contractor,
the Contractor shall pay such excess. Such payment of excess amount shall be
independent of the liquidated damages for the delay which the Contractor shall have to
pay if the completion of works is delayed.
The termination of the Contract under this clause shall not entitle the Contractor to
reduce the value of the Performance Guarantee nor the time thereof. The performance
Guarantee shall be valid for the full value of the full period as originally stipulated in the
31. PAYMENTS IF CONTRACT IS TERMINATED
If the contract shall be terminated as aforesaid, the Contractor shall be paid by the
MGVCL (Insofar as such amounts shall not have already been covered by payments on
account made to the Contractor) for all work executed and accepted by the MGVCL prior
to the date of termination at the rates and prices provided in the Contract and in addition:
(a) The amount payable in respect of any preliminary items, so far as the work or service
comprised therein has been carried out or performed and an appropriate portion as
certified by the MGVCL of any such items of the work or service comprised which has
been partially carried out or performed.
In the event of any dispute in regard to the price of the works and portion of the payment
to be made to the Contractor, the decision of the MGVCL shall be final.
32. TERMINATION OF THE CONTRACT BY THE MGVCL
The MGVCL may terminate the Contract after giving seven (7) days’ notice if any of the
following occurs:
a) If the Contractor commits any “Acts of Insolvency” or shall be adjudged an insolvent, or
shall make as assignment or composition for the greater part in number of amounts of
his creditors , or shall enter into a deed of Assignment with his creditors , or being an
Incorporated Company shall have an order made against him or pass an effective
Resolution for winding up either compulsory or subject to the supervision of the Court or
Voluntary , or if the Official Assignee of the Contractor shall repudiate the Contract, or if
the Official Assigner or the Liquidator in any such winding up shall be unable, within the
seven days after notice to him, requiring him to do so, to show, to the reasonable
satisfaction of the MGVCL that he is able to carry out and fulfill the contract and if required
by the MGVCL to give security thereof if the Contractor (whether Individual firm or
Incorporated Company) shall suffer any payment under the contract to be attached to by
or on behalf of any of creditors of the Contractor or if the Contractor shall assign or sublet
the contract without obtaining through consent in writing of the MGVCL or if Contractor
shall charge or encumber this contract for any payment due or which may become due
to the contractor there-under.
b) Has abandoned the contract or
c) Has failed to commence the work or has without any lawful excuse under these
conditions , suspended the progress of the works for seven (7) days after receiving from
the MGVCL / Engineer written notice to proceed, or
d) Has failed to proceed with the works with such due diligence and failed to make sue
progress as would enable the works to be completed within the time agreed upon , or
e) Has neglected or failed persistently to observe and perform all or any of the acts, matters
or things by this contract to be observed and performed by the Contractor for seven (7)
days after written notice shall have been given to the Contractor requiring the Contractor
to observe or perform the same, or
f) On termination of the contract for any cause the Contractor shall see the orderly
suspension and termination of operations, with due consideration to the interest of the
MGVCL with respect to the Completion, safeguarding or storing of equipment produced
for the performance of the Contract and the salvage and resale thereof or any other
lawful reason which deems fit to the MGVCL.
33. GRAFT & COMMISSION ETC.
Any graft, commission, gift or advantage given, provided or offered by or on behalf of the
Contractor or his partner, agent, officers, director, employee or servant or any one on
his or their behalf in relation to the obtaining or to the execution of this or any other
contract with the MGVCL, shall, in addition to any criminal liability which may incur,
subject to contractor to the cancellation of this and all other contracts and also to
payment of any loss or damage to the MGVCL resulting from any cancellation. The
MGVCL shall then be entitled to deduct the amounts so payable from any money
otherwise due to the Contractor under the Contract or any other Contract
34. LANGUAGES AND MEASURES
All documents pertaining to the Contract including specification, schedule, notices,
correspondence, operating and Onsite Maintenance instructions, drawings or any other
writing shall be written in English language. The metric system of measurement shall be
used exclusively in the Contract
35. RELEASE OF INFORMATION
The Contractor shall not communicate or use in advertising, publicity, sales, releases or
in any other medium, photographs or other reproduction of the works under this contract
or description of the site, dimension, quantity, quality or other information, concerning
the works unless prior written permission has been obtained from the MGVCL.
36. JURISDICTION OF CONTRACT
The laws applicable to the contract shall be the laws in force in India. All questions/
disputes or differences arising under, out of or in connection with the tender/contract if
concluded shall be subject to the exclusive jurisdiction of the Court under whose
jurisdiction the place from which the tender/acceptance of tender issued, is situated i.e.
VISHWAMITRI EAST DIVISION area
37. ENFORCEMENT OF TERMS:
The failure of the either party to enforce at any time any of the provisions of this contract
or any rights in respect thereto or to exercise any option therein provided, shall in no way
be construed to be a waiver of such provisions, rights or options or in any way to affect
the validity of the contract. The exercise by either party of any of its rights herein shall
not preclude or prejudice either party from exercising the same or any other right it may
have under the contract.
38. FORCE MAJUERE
"D.G.S. & D. FORCE MAJUERE CLAUSE"
"If, at any time during the continuance of this contract, the performance in whole or any
part by either party of any obligation under this contract shall be prevented or delayed
by reason of any war, hostility, act of the public enemy, civil commotion, sabotage fires,
floods, explosion, epidemics. Quarantine restrictions, strikes, lock-outs or acts of god
(hereinafter referred to as event)" then provided notice of the happening of any such
event is given by either party to the other within seven days from the date of occurrence
there of neither party shall be reason of such event be entitled to terminate this contract
nor shall either party shall have any claim for damages against the other in respect of
such nonperformance or delay in performance, and deliveries under the contract shall
be resumed as soon as practicable after such event has come to end or ceased of exist,
and the decision of the Managing Director as to whether the deliveries have been so
resumed or not shall be final and conclusive.
Provide further that if the performance in whole or part of any obligation under this
contract is prevented or delayed by reasons of any such event for a period exceeding
30 days, either party may at its option terminate the contract provided also that if the
contract is terminated under this clause, the Principal agency shall be at liberty to take
over from the Contractor at a price to be fixed by the Managing Director, which shall be
final, all used undamaged and acceptable materials brought out components and stores
in course of manufacture in the possession of the contractor at the time of such
termination or such portion thereof as the Purchaser may deem fit excepting such
materials, brought out components and stores as the contractor may with concurrence
of the Purchaser elect to retain."
Notwithstanding any provision mentioned above, the MGVCL shall not be in any way be
liable for non-performance either in whole or in part of any contract or for any delay in
performance thereof in consequence of strikes, shortages, combination of labour or
workman or lockout, breakdown or Accident to machinery or accidents of whatever
The Contractor or the MGVCL shall not be liable for delays in performing their respective
obligations resulting from any force majeure causes as defined above.
39. ARBITRATION
For Works Contracts and Composite Contracts, the following Arbitration clauses shall be
applicable for agreements:
(1) Amicable Settlement
Any dispute, difference, controversy or claim between the
Parties arising out of or relating to this contract with
reference to the construction, interpretation, breach,
termination or validity thereof (hereinafter referred as
"the Dispute") shall, upon the written request of either
Party be referred to the authorized representatives of the
Disputing Parties for resolution. The authorized
representatives shall promptly meet and attempt to
negotiate in good faith a resolution of the Dispute within
thirty days of the service of the request.
(2) Arbitration
If the Parties fail to amicably resolve the disputes or
differences or contrary claims as indicated herewith in sub
clause (1) of Clause 39, arising under or in connection with
the present works contracts, whether pertaining to works
contracts alone or works and procurement both, the same
shall be referred to arbitration under the Gujarat Public
Works Contracts Disputes Arbitration Tribunal Act, 1992."
40. EMPLOYMENT OF LABOUR
Persons below the age of 18 years shall not be employed for the work. No female
worker shall be employed in the night shift between 07.00 p.m. and 06.00 a.m. next
Contractor shall maintain a valid labour license under the Contract Labour (Regulation
and abolition) Act for employing necessary manpower required by him. In the absence
of such a license, the contract shall be liable to be terminated without assigning any
reason thereof. Contractor should also employ qualified and experienced persons as
per requirement of Electricity Act and rules for carrying out Maintenance work under
In case the MGVCL becomes liable to pay any wages or dues to labour or any
Government agency under any of the provisions of the Minimum Wages Act, Payment
of wages Act, employee Compensation Act, Contract Labour Regulation Abolition Act,
employee provident fund or any other law due to act of omission of the Contractor, the
MGVCL may make such payment and shall recover the same from the Contractor’s
41. COMPLIANCE WITH LABOUR REGULATION:
During continuance of the contract, the contractor and his sub-contractors shall abide at
all times by all applicable existing labour enactments and rules made there under,
regulations, notifications and bye laws of the state or central government or local
authority and any other labour law (including rules) regulations, bye laws that may be
passed or notification that may be issued under any labour law in future either by the
state or the central government or the local authority. The employees of the contractor
and the sub-contractor in no case shall be treated as the employees of the MGVCL at
any point of time.
42. CONTRACTORS TO INDEMNIFY THE MGVCL
The Contractor shall indemnify the MGVCL and every officer and employees of the
MGVCL including, Engineer-in-charge and his staff against all actions, proceedings,
claims, demands, cost and expenses whatever, arising out of or in connection with the
matters referred herein above and elsewhere and against all actions, proceedings,
claims, demands, costs and expenses which may be made against the MGVCL or
Government for or in respect of performance of its obligation under the contract
43. WORKMAN’S COMPENSATION AND EMPLOYERS LIABILITY INSURANCE
Insurance shall be affected for all the Contractor's employees engaged in the
Performance of this contract. If any of the work is sublet, the Contractor shall require the
Sub-Contractor to provide workmen's employer's liability insurance for the latter's
employees and ensure that such employees are covered under the Contractor's
44. WORK & SAFETY REGULATIONS
The contractor shall ensure proper safety of all the workmen, materials, plant and
equipment belonging to him or to the MGVCL or to others, working at the site. The
contractor shall also be responsible for provision of all safety notices and safety
equipment required both by the relevant legislations and the engineer, as he may deem
• The contractor shall provide suitable safety equipment of prescribed standard to all
employees and workmen according to the need, as may be directed by the engineer who
will also have right to examine these safety equipment to determine their suitability,
reliability, acceptability and adaptability.
• No repair work shall be carried out on any live equipment. The equipment must be
declared safe by the engineer and a permit to work shall be issued by the engineer before
any repair work is carried out by the contractor. While working on electric
lines/equipment, whether live or dead, suitable type and sufficient quantity of tools will
have to he provided by the contractor to electricians/workmen/officers.
• In case any accident occurs during the construction/erection or other associated
activities undertaken by the contractor thereby causing any minor or major or fatal injury
to his employees due to any reason, whatsoever, it shall be the responsibility of the
contractor to promptly inform the same to the engineer in prescribed form and also to all
the authorities envisaged under the applicable laws.
• It is mandatory for the contractor to observe during the execution of the works,
requirements of safety rules.
• The contractor shall follow and comply with the employer's safety rules relevant
provisions of applicable laws pertaining to the safety of workmen, employees, plant and
equipment as may be prescribed from time to time without any demur, protest or contest
or reservations. In case of any discrepancy between statutory requirement and
employer's safety rules referred above, the latter shall be binding on the contractor unless
the statutory provisions are more stringent.
45. Penalty for violating safety rules: During the execution of Work, if Contractor/Labour are
found violating the Safety rules and Regulations, then Engineer-in-Charge will serve the
warning Notice on first Instance. On second Instance the amount of Fine will be Rs. 500.00 or
0.1 % of amount of SWO (Whichever is higher) with GST and cess. Even If after above two
instances, still Contractor found violating Safety Rules and Regulations then Procedures for
Stop dealing shall be initiated against him as per rules and regulations.
46. Contractor's general responsibilities
The contractor shall with due care and diligence (to the extent provided in the contract) execute
and complete the work and remedy any defects therein in accordance with the provisions of the
contract. The contractor' shall provide all supervisory, labour, materials, plant, construction
equipment and all other things, whether of temporary or permanent nature, required in and for
such design, execution, completion and remedying of any defects, so far as the necessity for
providing the same is specified in or is reasonably to be inferred from the contract. The contractor
shall provide the same in specified form which is reasonably to be inferred from the contract. The
contractor shall promptly notify the Owner and the Engineer-in-charge of any effort, omission, fault
or any other defect in the design or specifications for the work which he discovers when reviewing
the contract documents or in the process of execution of the works. The contractor shall take the
full responsibility for the adequacy, stability and safety of all site operations and methods of
construction, provided that the contract shall not be responsible (except as stated hereunder or as
may be otherwise agreed) for the specification of works, not prepared by the contractor. Whereas
this contract expressly provides that all of the components of this work shall be designed by the
contractor, he shall be fully responsible for all the works, notwithstanding any approval by the
Engineer-in-charge.
47. Inspection of site
The contractor shall deem to have inspected the site and examined its surroundings and collected
information available in connection therewith and to have satisfied himself (so far as is practicable,
having regard to considerations of cost and time, at his own responsibility and expense) before
submitting his bid, as to:
(a) the form and nature thereof, including the sub surface conditions
(b) the hydrological and climatic conditions
(c) the extent and nature of work, labour and materials necessary for speedy execution of the works,
their availability and other related matters and remedying of any defects therein, and
(d) The means of access to the site and accommodation he may require. And in general, shall be
deemed to have obtained all necessary information as above mentioned, as to risks, contingencies
and all other circumstances which may influence or affect his bid.
The price bid submitted by the contractor shall include all duties, taxes, insurance, freight etc., and
any other taxes that may be levied in accordance with the laws and regulations.
2.1 The successful bidder shall be deemed to have carefully examined all the papers,
drawings, etc. attached & if has any doubt as to the meaning of any portion of any
condition / specification, etc. he shall before signing the contract submit the particulars
thereof to MGVCL in order that such doubts are removed.
2.2 The successful bidder shall not, without the consent in writing of MGVCL, transfer,
assign or sublet the work under this contract or any substantial part thereof to any other
2.3 Notices, Statements and other communications sent by MGVCL through registered post
or telegram or telex or any other way of communication to the successful bidder at his
specified address shall be deemed to have been delivered to the successful Bidder. The
work shall be carried out by the successful bidder with prior approval of MGVCL. Work
carried out without MGVCL’s approval shall not be accepted and the MGVCL shall have
right to reject it and to recover the cost from the successful bidder. He will be liable
against all losses, expenses or claims arising in connection with the death of or injury to
any person employed by the successful bidder or his subcontractors for the purposes of
2.4 The successful bidder shall be responsible for any damage to the equipment during
transit due to improper or inadequate packing, handling, loading and unloading. The
cases containing easily damageable material shall be very carefully handled. Adequate
protection must be provided for outdoor storage at site in tropical humid climate,
wherever necessary. The successful bidder without any extra cost shall supply any
material found short inside intact store area.
2.5 If the successful bidder neglects to execute the work with due diligence and expedition
or refuses or neglect to comply with any reasonable orders within two days’ notice given
in writing to the successful bidder and if he fails to comply with the notice, then in such
a case MGVCL shall be at liberty to get the work or any part of it, executed through any
other agency/Bidder in the manner and on the terms it thinks proper. If the cost of
executing the work as aforesaid shall exceed the balance due to the Bidder, and the
Bidder fails to make good the deficiency, MGVCL may recover it from the Bidder in any
2.6 MGVCL shall have at all reasonable time access to the works being carried out by the
Bidder under this contract and stores where material issued by MGVCL is stored. All the
works shall be carried out by the Bidder to the satisfaction of MGVCL.
2.7 The quantities mentioned in the accompanying schedule B are only approximate same
may decrease or increase. The MGVCL reserves the right for revising or omitting any of
the quantities. The actual work executed by the successful bidder will be calculated at
the rate given in the contract schedule of the rates binding to the successful bidder.
2.8 No higher rate or revised rate will be application for the work, if work is held-up/closed
due to whatever so reasons.
2.9 Price shall not be changed subject to any upward/downward revision on any account
whatsoever through the period of contract.
2.10 All other general terms and conditions as prevailing in the MGVCL shall be applicable to
this work contract.
2.11 The successful bidder has to co-ordinate and co-operate fully with Engineer In Charge
and for execution of the works.
2.12 Either successful bidder or successful bidder’s authorized person should contact our
Engineer In Charge as well as Division Office, VISHWAMITRI EAST DIVISION daily for the
availability of materials required for this work, failing to which this work order shall be
terminated without giving any notice.
2.13 The successful bidder has to maintain site register covering all aspects of material
received/utilized/dismantled for day to day work and has to obtain signature of
Engineer in Charge.
2.14 In case of any dispute doubt, the decision of Superintending/Executive Engineer _
Circle/Division shall be unchallengeable and final, which will be binding to the
2.15 The successful bidder will be solely responsible for any accident/damage either to
equipment or any human being during the time of execution of work.
2.16 The successful bidder will have to make his own arrangement for required all kinds of
tools, tackles, required for the execution of work.
2.17 The cost of damages, if any will be recovered from the successful bidder’s bill. The
assessment of which will be done by Engineer In Charge in consultation with division
office, and his sole discretion and his decision shall be binding to the successful bidder
and shall be considered as final and unchallengeable.
2.18 The successful bidder will have to complete entire work, as mentioned in Schedule-B of
contract awarded to him, as per directive and instruction of Engineer In Charge. If he
fails to do so entire work will be carried out at the risk and cost of Contractor.
2.19 The contractor must engage sufficient knowledgeable person round the clock,
exclusively for execution of work.
2.20 Specification in any items mentioned in tender are subject to change without any prior
notice and binding to the contractor.
2.21 The MGVCL shall deduct the Income-Tax and other taxes as per prevailing rules of all
relevant Govt. Authorities from the bill.
2.22 If the work is required to be carried out during fix outage then the successful bidder has
to deploy adequate man power, material, tools etc. well in advance and has to complete
the entire work during this specific outage period only, failing to which Company shall
be at liable to deduct the amount of revenue loss due to prolong outage.
2.23 The tender includes all minor accessories and items of work which may not have been
specifically mentioned in the specification / Schedule etc. but are essential for
completion of work. The contractor will not be eligible for any extra payment in respect
of such minor accessories and item of work.
2.24 The successful bidder shall not refuse to execute the work order at any time and it will
be his sole responsibility to execute and complete this work as per the instruction of
Engineer in Charge.
2.25 The successful bidder has to carry out all the works in accordance with revised and latest
provision under I.E. Rule Act made there under and as per instruction of Engineer in
2.26 All the materials issued by MGVCL shall be transported to the work site on same day
and to be preserved in safe custody failing to which MGVCL shall initiate Police action.
Similarly, as per instruction of Engineer in Charge, you have to credit the material at
MGVCL store without any loss of time failing to which MGVCL shall initiate Police action.
2.27 Any delay causing extension of outages shall be successful bidder’s responsibility and
appropriate amount (in term of Rupees) as decided by Superintending/Executive
Engineer, VISHWAMITRI EAST Division shall be recovered from successful bidder’s bill
as a penalty with applicable GST.
2.28 No tools, tackles, manpower, crane facilities etc. will be provided by the MGVCL.
2.29 The contractor has to follow all labour laws, safety rules and regulations. The MGVCL
does not take any responsibility in case of accident or injury to the workers. The safety,
security of men, materials and equipment shall be sole responsibility of the contractor.
2.30 The compliances of all Central / State Govt. Rules, safety and insurance rules etc. and
that of local body is a must condition for the successful bidder.
2.31 The contractor shall be responsible for breakages, losses and a theft of material during
transit or erection after the materials issued from the stores till the completion of work
and is taken over by the MGVCL.
2.32 As regard damages to the materials, equipment, successful bidder himself will be
responsible. If there is any compensation to be paid in respect of “WORKMAN”
Compensation Act or any other statutory provisions, the same will be paid by contractor
directly. If he thinks fit, he may take necessary insurance covering at his cost.
2.33 The competent authority can delete any item in schedule of the tender if he feels that
the rate quoted by the contractor for the item is abnormally high when compared to
the estimated rates.
2.34 The erection work should be carried out according to the specification as per
instructions and programmed laid out by the Engineer in charge. Contractor has to
ensure safe shifting and erection of all accessories / equipment as per standard norms.
2.35 The Bidder shall not display the photograph of the work and shall not take advantage
through publicity of the work without written permission of MGVCL.
2.36 Under the Contract, the Contractor shall be responsible for loss or damage to the line
and Electrical Equipment until the successful completion as defined elsewhere in the Bid
2.37 All demurrage, wharf age and other expenses incurred due to delayed clearance of the
material or any other reason shall be to the account of the Contractor.
2.38 The law applicable to the contract shall be the laws in force in India. The courts of
_________ shall have exclusive jurisdiction in all matters arising under the contract.
2.39 The contractor shall submit the CAR (Contractor All Risks) policy for the awarded value
of work and valid for the entire duration of the work including extending period of work,
if any. The contractor shall provide to the Owner, copy of insurance policies and
documents taken out by him, in pursuance of the contract, immediately after such
insurance coverage. If the contractor fails to effect and keep in force insurance, as per
the term of contract, the Owner may effect and keep in force such insurance and pay
such premium or premiums as may be necessary for that purpose and from time to time
deduct the amount so paid by the Owner as aforesaid, from any money due or which
may be come due to the contractor, or recover the same as debit due from the
2.40 The contractor shall be responsible for preparing all claims and make good for all
damages or Loss by way of repairs and or replacement of portion of any works damaged
or lost. The transfer of title shall not in any way relieve the contractor of his
responsibility during the period of contract including the defect liability period.
2.41 The contractor shall abide by the local laws and regulations governing labour and
applicable from time to time. During continuance of the contract the contractor shall
abide at all times by all existing labour enactments and rules made their under,
regulations notification and byelaws of State and Central Govt. of Local authority and
any other labour law (including rules, regulations bylaws that may be passed or
notifications that may be issued under any labour in future either by the state or the
central govt. or the local authority)
2.42 Nothing shall be paid for any loss or damage done due to rains, floods, or any other act
of God during the execution period, trial run & defect liability period. The payment shall
be made only for material/works acceptable to the Department.
2.43 Material purchased in excess shall not be measured and paid for and if not removed
from the site within one month after completion of work, the material shall become the
property of MGVCL and no claim on this account shall be entertained.
2.44 The contractor shall provide suitable measuring equipment /arrangement at site for
checking of various material supplied by him.
2.45 In case of duplicity/variations/contradiction of terms and condition in the printed Bid
documents and special terms and conditions, the terms and conditions mentioned in
the special terms and conditions shall prevail.
2.46 The Owner reserves the right of modification of layout plans, if found necessary, before
actual execution of work even after designing the same, nothing extra shall be payable
to the firm for these changes in the layout plan.
2.47 Contractual agency shall bear the cost of repairing the damages of other utility services
like water, telecom, road or sewerage during excavation of electrical cable trench.
Suitable measures to be adopted during road crossing and cutting of metaled portion of
the road including taking prior permission from the concerned department. MGVCL will
not involve in the coordination with the other utility services although for the sake of
the progress of the project they may take initiatives.
49. ENGINEER-IN-CHARGE'S REPRESENTATIVE
(i) The Owner will appoint any of his officers or any agency as the case may be as engineer-in-charge
to deal with all the matters related to the execution and operation of contract.
(ii) However, the Owner/Owner's representatives reserves the right in checking/tests checking of
the operation of the contract in respect of quality, testing, and measurement of works either
directly or through a separate agency or both.
(iii) The Engineer-in-charges representative may appoint any number of persons to assist the
Engineer-in- Charges Representative in carrying out of his duties. He shall notify to the contractor
the names, duties and the scope of authority of such persons. Such assistants shall have no authority
to issue any instructions to the contractor save in so far as such instructions may be necessary to
enable them to carry out their duties and to `secure their acceptance of materials plants or
workmanship as being in accordance with the contractor, and any instructions given by any of them
for those purpose shall be deemed to have been given by the Engineer-in-charge's Representative.
50. Work to be in accordance with contract
Unless it is legally or physically impossible, the contractor shall execute and complete the works and
remedy any defects therein in strict accordance with the contract to the satisfaction of the Engineer-
in-charge. The contractor shall comply with and adhere strictly to the Engineer-in-charge's
instruction on any matter, whether mentioned in the contract or not, touching or concerning the
work. The contractor shall take instructions only from the Engineer-in-Charge or from the Engineer-
in-charges representative.
51. Engineer-in-charge at Liberty to Object
The Engineer-in-charge shall be at liberty to object to and require the contractor to remove
forthwith from the works any persons provided by the contractor who, in the opinion of the Owner/
Engineer-in- charge, misconducts himself or is incompetent or negligent in the proper performance
of his duties, or whose presence on site is otherwise considered by the Engineer-in-charge to be
undesirable, and such persons shall not be again allowed upon the works without the consent of
the Engineer-in-charge. Any person so removed from the works shall be replaced as soon as
52. Setting out
The contractor shall be responsible for:
(a) The accurate setting out of the works in relation to original points, lines and levels, of reference
given by the Engineer-in-charge in writing based on approved survey data.
(b) The correctness of the position, levels, dimensions and alignments of all part of the works.
(c) The provision of all necessary instruments, appliances and labour in connection with the forgoing
responsibilities, if, at any time during the execution of the works any error appears in the position,
levels, dimensions or alignment of any part of the works the contractor on being required to do so
by the Engineer-in-Charge, shall at his own cost rectify such error to the satisfaction of Engineer-in-
Charge, unless such error is based on incorrect data supplied in writing by the Engineer-in-Charge.
(d) The checking of any setting - out or of any Line or level by the Engineer-in-Charge shall not in
any way relieve the contractor of his responsibility for the accuracy thereof and the contractor shall
carefully protect and preserve all bench marks sight - rails, pegs and other things used in setting out
53. Safety, Security and Protection of the Environment
The contractor shall throughout the execution and completion of the works and the remedying of
any defects therein;
(a) Have full regard for the safety of all persons entitled to be upon the site and keep the site (so far
as the same is under his control) and the works (the same are not completed or occupied by the
Owner) in an orderly state appropriate to the avoidance of danger to such persons.
(b) Provide and maintain at his own cost all lights, guards, fencing, warning signs and watching,
when and where necessary or required by the Engineer-in-Charge or by any duly constituted
authority, for the protection of the works or for the safety and convenience of the public or others.
(c) Take all reasonable steps to protect the environment on and off the site and to avoid damage or
nuisance to persons or to property of the public or others resulting from pollution, noise or other
causes arising as a consequence of his methods or operation. In case of the failure on the part of
the contractor on above accounts, the consequences of the same shall be borne by the contractor.
Alternatively, the Engineer-in-Charge may take reasonable steps to comply with the above at the
risk and cost of the contractor.
54. Care of works
The contractor shall take full responsibility for the care of the works and materials and plant for
incorporation therein from the commencement date until the date of issue of the taking over
certificate for the whole of the works, when the responsibility for the said care shall subject to pass
to the Owner provided that;
(a) If the Engineer-in-Charge issues a taking over certificate for any section or part of the works, the
contractor shall cease to be liable for the care of that section or part from the date of issuing of the
taking over certificate, when the responsibility for the care of that section shall pass to the Owner,
(b) The contractor shall take full responsibility for the care of any outstanding works and materials
and plant for incorporation therein he undertakes to or is otherwise required to finish during the
defects liabilities period along with the defects if any until such outstanding works have been
55. Responsibility to Rectify or Damage
If any loss or damage happens to the works or any part thereof, or materials or plant for
incorporation therein, during the period for which the contractor is responsible for the care thereof,
from any cause whatsoever, other than the risks defined in sub clause 5.11 of Instructions to Bidder,
the contractor shall at his own cost, rectify such toss or damage so that the works confirm in every
respect with the provision of the contract to the satisfaction of the Engineer-in-Charge.
56. Owner’s Risks
(a) The Owner's risks are;
1) War, hostilities (whether war be declared or not) invasion act of foreign enemies.
2) Rebellion, revolution, insurrection or military or usurped power or civil war.
3) Pressure waves caused by aircraft or other Arial devices traveling at sonic or
supersonic speeds.
(b) Loss or damage due to the use or occupation by the Owner of any section of part of the
works except as may be provided for the contract.
(c) Any operation of the forces of nature (in so far as it occurs on the site) such as earthquakes,
tornado, lightening and unprecedented floods etc. against which an experienced contractor
could not reasonably have been expected to take precautions.
57. CONTRACTOR’S FIELD OPERATION
a. The Contractor shall keep the Engineer informed in advance regarding his field activity plans
and schedules for carrying-out each part of the works. Any review of such plan or schedule or
method of work by the Engineer shall not relieve the Contractor of any of his responsibilities
towards the field activities. Such reviews shall also not be considered as an assumption of any
risk or liability by the Engineer or the Owner or any of his representatives and no claim of the
Contractor will be entertained because of the failure or inefficiency of any such plan or schedule
or method of work reviewed. The Contractor shall be solely responsible for the safety, adequacy
and efficiency of plant and equipment and his erection methods.
b. The Contractor shall have the complete responsibility for the conditions of the Work-site
including the safety of all persons employed by him or his Sub– Contractor and all the properties
under his custody during the performance of the work. This requirement shall apply
continuously till the completion of the Contract and shall not be limited to normal working
58. CO-OPERATION WITH OTHER CONTRACTORS
The Contractor shall co-operate with all other Contractors or tradesmen of the Owner, who may be
performing other works on behalf of the Owner and the workmen who may be employed by the
Owner and doing work in the vicinity of the Works under the Contract. The Contractor shall also so
arrange to perform his work as to minimize, to the maximum extent possible, interference with the
work of other Contractors and their workmen. Any injury or damage that may be sustained by the
employees of the other Contractors and the Owner, due to the Contractor’s work shall promptly be
made good at the Contractor’s own expense.
59. PROGRESS REPORT
The Contractor shall furnish three (3) copies each to the Engineer of progress including if any,
photographs of the work done at Site.
The weekly progress report detailing-out the progress achieved on all erection activities shall
highlight comparison to the schedules. The report shall also indicate the reasons for the variance
between the scheduled and actual progress and the action proposed for corrective measures,
wherever necessary.
60. MAN-POWER REPORT
The Contractor shall submit to the Engineer, on the first day of every month, a man hours schedule
for the month, detailing the man hours scheduled for the month, skill-wise and area-wise.
61. PROTECTION OF WORK
The Contractor shall have total responsibility for protecting his works till it is finally taken over by
the Engineer. No claim will be entertained by the Owner or by the Engineer for any damage or loss
to the Contractor’s works and the Contractor shall be responsible for complete restoration of the
damaged works to original conditions to comply with the specification and drawings.
62. FIRE PROTECTION
The work procedures that are to be used during the erection shall be those, which minimize fire
hazards to the extent practicable. Combustible materials, combustible waste and rubbish shall be
collected and removed from the Site at least once each day. Fuels, oils and volatile or inflammable
materials shall be stored away from the construction and equipment and materials storage areas.
All the Contractor’s supervisory personnel and select number of workers shall be trained for
firefighting. Enough of such trained personnel must be available at the Site during the entire period
of the Contract.
The Contractor shall have total responsibility for all equipment and materials in his custody/stores,
loose, semi-assembled and/or erected by him at Site. The Contractor shall make suitable security
arrangements ensure the protection of all materials, equipment and works from theft, fire, pilferage
and any other damages and loss.
64. PAYMENT TERMS
The payment to the Contractor for the performance of the works under the Contract will be made
by the Owner as per the guidelines and conditions specified herein. All payments made during the
Contract shall be on account payments only. The final payment will be made on completion of all
Works / Order and on fulfillment by the Contractor of all his liabilities under the Contract.
Currency of Payment
All payments under the Contract shall be in Indian Rupees only.
Mode of Payment
All payments under the Contract shall be made after the issue of work certificates by the Engineer
in charge, for the quantum of work completed.
Deductions from Contract Price
All costs, damages or expenses which the Owner may have paid, for which under the Contract the
Contractor is liable, or any other retention award will be claimed by the Owner. All such claims shall
be billed by the Owner to the Contractor regularly as and when they fall due. Such bills shall be
supported by appropriate and certified vouchers or explanations, to enable the Contractor to
properly identify such claims. Such claims shall be paid by the Contractor within thirty (30) days of
the receipt of the corresponding bills and if not paid by the Contractor within the said period, the
Owner may then deduct the amount, from any monies due or becoming due by him to the
Contractor under the Contract or may be recovered by sections of Law or otherwise.
Terms of Payment
The owner shall pay to the Contractor as per the terms of payment mentioned hereunder:
1. The bidder shall raise sub work order wise bills only after completion of all the specified activities
complete for each sub work order.
2. Bills will be processed and paid within 30 days after submission bills.
3. Contractor will be issued only 3 (Three) Sub work orders at a time. He will be issued Fourth Sub
Work Order only after the submission of Inventory sheet with sketch and material account
statement and bills thereof for any of the three previously issued Sub Work Orders.
4. The order value is based on the quantity, unit rates and values quoted and shall be subject
adjustment based on actual quantities executed and certified by the Engineer – in – Charge.
5. Payment of the actual material used and work done will be paid on above basis.
Presentation of Bills
The bills along with required documents for work executed including cost of material
consumed is to be prepared in Quadruplicate and submitted 03 copies to the concern
Deputy Engineer of Sub Division Office. These bills shall be serially numbered.
At the time of issue of invoice the same has to be uploaded with supporting documents in
VMS system as per MGVCL circular. For more details, please visit https://vms.guvnl.com
web site and follow the procedure for registration".
Contractor has to submit Bills along with required documents for work executed including
cost of material consumed material account along with quantities of work executed for each
item. Location wise inventory of all the material used is to be submitted in detail. All required
documents including EPF should be produced by the contractor along with bills.
For non-submission or part submission of above information, no bills shall be processed.
65. DEFENSE OF SUITS
If any action in court is brought against the MGVCL or the Engineer or an officer or
agent of the MGVCL for the failure, omission or neglect on the part of the contractor to
perform any acts, matters, covenants or things under the Contract or for damage or
injury caused by the alleged omission or negligence on the part of the Contractor, his
agents, representatives or his SUB VENDOR/ SUB CONTRACTOR: or in connection
with any claim based on lawful demands of SUB VENDOR/ SUB CONTRACTOR,
workmen, suppliers or employees, the Contractor shall in all such cases indemnify and
keep the MGVCL or the Engineer and/or his representatives harmless from all losses,
damages, expenses or decrees arising out of such action.
The MGVCL shall have full power and right at his discretion to defend or compromise
any suit or pay claim or demand brought or made against him as aforesaid whether
pending or threatened, as he may consider necessary or desirable and shall be entitled
to recover from the Contractor all sums of money including the amount of damages
and compensation and all legal cost, charges and expenses in connection with any
compromise or awards which shall not be called into question by the Contractor and
shall be final and binding upon him.
The technical information, drawings, specifications and other related documents
forming part of the enquiry or Contract are property of MGVCL and shall not be used
for any other purpose, except for the execution of the contract. All rights related to the
technical specifications, drawings and records are reserved by MGVCL only and no
part or partial should be reproduced, copied or alter without prior permission to the
MGVCL in writing. In the event of the breach of this provision, MGVCL can claim the
damages caused by such events.
The Contractor shall be liable for and shall indemnify the Employer against all losses, expenses or
claims arising in connection with the death of or injury to any person employed of the Contractor
or his sub- Contractors for the purposes of the Works.
- To conduct comprehensive maintenance of Distribution Transformers (DTRs) across
various sub-divisions under the VISHWAMITRI EAST Division, ensuring to increase in life
span of transformers, reliable performance, safety, and operational efficiency with
minimizing disruptions.
- The maintenance activities will be performed for DTRs across all the Sdns under
VISHWAMITRI EAST Division. The priority may be decide by TMS Engineer under the
guidance of SDO or EE (O&M) of Division.
1.2 PERIOD OF CONTRACT:
The contract for Maintenance of failed distribution transformer shall be for one year
from the date of execution of agreement and based upon the performance, necessary
extension shall be given on mutual discussion and as per agreement.
The rates for various activity of work required for onsite Distribution transformer
Maintenance shall be as per the Schedule-B attached. The price bids will be “as
above / below /at par the rates.”
3.0 TRANSFORMER RATING:
11 KV / 250 V, 1-Phase Transformer - 5 KVA
11 KV / 433 V, 3-Phase Transformer - 10 to 500 KVA
The Transformers will be either sealed or bolted type and either with copper or aluminum
4.0 TECHNICAL KNOW HOW:
At least one full time qualified and having minimum one year experienced as
Transformer Maintenance, Repairing OR Design Engineer with back ground
qualification of Diploma or ITI in Electrical grade to supervise various activities
pertaining to Maintenance of Distribution Transformers. Each & every Maintenance
report should be signed by him.
Full payment shall be made by concerned Division Office, normally within 15 days
from the date of submission of the bills, which will have to be submitted on completion
of each work. While submitting the bills for repairs of transformers, following
procedure shall have to be adhered to:
I Each and every bill for Maintained Transformers shall be submitted along with
Material purchased, tested and used details duly signed by representative of
onsite Maintenance supervisor and Company's representatives.

6.0 EXTENSION OF CONTRACT PERIOD:
The contract for Maintenance of failed distribution transformer shall be for one year
from the date of execution of agreement and based upon the performance, necessary
extension shall be given on mutual discussion and as per agreement. Company
reserves the right to cancel the contract in between also.
7.0 SETTLEMENT OF DISPUTE
In case of any dispute, the decision of the Executive Engineer of concerned Division
will be final and binding to Maintenance agency. All questions, disputes or differences
arise under, out of or in connection with the tender / contract if concluded shall be
subject to the exclusive jurisdiction of the court under whose jurisdiction the place
from which the tender / Acceptance of tender is issued, is situated i.e. VISHWAMITRI
EAST Division area.
8.0 The contract or any part thereof shall not be sublet to any other agency/individual.
No bidder will remove the original nameplate. The original nameplate of the
manufacturer shall also be retained. If the original nameplate is missing, MGVCL will
provide the additional nameplate and it shall be duly riveted on the other side of tank
over and above nameplate of original manufacturer by bidder. The record of such
details - Sr. No. of transformer, date of dispatch shall be maintained. On the basis of
this, guarantee period of transformer shall be reckoned.
If MCCB needs replacement, the same shall be replaced. In other condition is the
MCCB is working however, re-wiring or ampere set up is required that may be carried
out looking to the safe working loading limit of transformer as per prevailing MGVCL
If bushing needs replacement, same shall be replaced at the time of Maintenance. It
should be replaced by MGVCL approved make and rating.
12.0 METAL PARTS:-
All the aluminum/ damaged metal parts shall be removed and brass metal parts are
HV & LV terminal studs shall be used as per following size only:
HV (11KV & 22KV)-140mm X 12mm, LV (up to 100KVA)-205mm X 12mm, LV (above
100KVA & up to 200KVA)-260mm X 20mm
Transformer top cover shall be provided with special bolt nut of sheared type bolt of
stainless steel to avoid oil theft. Transformer drain valve shall be removed/ sealed.
13.0 TRANSFORMER OIL: -
If on observation, the transformer oil may be required for Top-up or for filtered, then
the sample oil shall be arrange for test electrically for BDV values and on approval of
TMS Engineer Or EE (O&M) of Division, If possible on site it may be Top up or
replaced with filtered oil or may be report for replacement to save it from failure in
14.0 WORK ALLOTMENT:
Allotment of transformer are purely based on Old age Population of transformers of
the particular Division and based on Outage for lines or for transformers available.
This may be extend upto same Division or nearby Division if the Maintenance
performance are satisfactorily. Else it will be limited to the same Division only.
15.0 Maintenance Activities
a. HT/LT Bushing Maintenance
- Replacement of HT bushing goatees and rubber washers.
- Replacement of LT bushing goatees and rubber washers.
- Inspection and tightening of bushing connections to prevent power losses and failures.
b. Transformer Oil Filtration and Testing
- Testing the dielectric strength (BDV) of transformer oil.
- Filtering transformer oil to remove moisture and impurities.
- Replacement of oil if BDV falls below the acceptable threshold.
c. Cooling System Maintenance
- Cleaning of radiator fins and transformer tank to ensure efficient heat dissipation.
- Creepers/climbers (Vela's) & any other plants developed and became obstacle in climbing on
transformer OR repairing work at Distribution box work in surrounding the Transformer Centre
must be removed.
d. Maintaining the Health of Transformers
- Insulation resistance testing using a megger.
- Tightening and securing all winding connections.
-Replacement of Silica Gel in the breather if it is become pink or may be replace whole breather
e. Transformer Body Maintenance
- Tightening of bolts, nuts, and flanges.
- Replacement of gaskets to prevent oil leakage.
- Application of anti-corrosion paint on the transformer body.
-Balancing the Body of Transformer, if tilted due to un-level of support Angle/Channel.
-Providing Breather if not found installed.
f. Earthing and Safety Checks
- Inspection and repair of earthing systems (Neutral, Body & LA earthing) to ensure proper
- Testing of D.O., fuses and MCCB to confirm operational safety. If required may be replace.
- Providing New Earthing with insulated Pipe
-Tightening of the Loose Guy Set
-Providing LA on DTR
-Cleaning of Transformer Bushings, surrounding area of DT Centre, trimming of tree branches,
removing of creepers etc

g. Load Testing and Monitoring
- Conducting load tests e.g. Short circuit, open Circuit, verification of ratio to verify transformer
performance under operational conditions.
- Rectifying load imbalances as required. For that, if required additional circuit to be provide on LT
side or connection may be change from one phase to other phase.
16.0 Material and Labour
- Materials: The contractor will supply all required materials, such as bushings, washers, gaskets,
meeting specified standards.
- Labour: Skilled personnel will perform all tasks while adhering to safety and operational
17.0 Steel Material Handling
1. Any steel material removed during the replacement process should be credited to the SDN.
2. The contractor is required to carry out work under various SDNs under the Division.
3. The contractor is responsible for collecting all the required materials (if provided from company)
as instructed from EE (O&M) of Division and also for crediting dismantled materials to store at their

18.0 Safety and Risk Management
1. The party is required to work at their own risk. However they have to work under the instruction
of company nominated supervisor.
2. All tools and tackles, with safety gadgets should be provided from the contractors / Agency to
their workers / labours for carrying out the Maintenance work.
3. All materials utilized for the maintenance work must conform to IS standards and the same
make and rating should be applicable to the respective Distribution transformer on work.
19.0 Frequency of Maintenance
- Routine Maintenance:
Contractors have to provide 01 Gangs per Sub Division under the division for Daily maintenance of
at least 08 nos of DTR per Sub Division to perform maintenance on non-Outage feeder, while during
Outage day on Staggered day or any other day may as decided by SDO and permitted from EE
(O&M) of Division, on that day the contractor should provide at least 03 Gangs per Sub Division,
each Gang should carryout minimum 08 Nos of Distribution transformers,
Further contractor should plan to reach upto end locations and complete 100% Distribution
Transformer Maintenance at least once in a Financial Year.
20.0 Emergency Maintenance:
-Conducted as required to address urgent situations, contractors will have to provide their Gangs to
attend the emergency situation till the Replacement of that unit not avail. For that they may require
to perform the changeover activity from one transformer to other transformer (Only LT side change
over work) under the guidance of Sub Division OR Division Engineer as nominated for the work.
21.0 Compliance and Standards
- All activities must comply with the Electricity Act, IS/IEC standards, and MGVCL standard norms.
Safety protocols and industry best practices must be followed throughout the maintenance

- Contractor should have to provide their Labour details including Aadhar Card and Police
verification of all labours, their expertise in the Distribution transformer work, safety gadgets
provided to them and ID card / Work permit issue for the work in the following format.

23.0 Reporting and Documentation
The contractor will have to provide detailed reports for each DTR serviced, including:
- Photographic Documentation: Geo Camara Photos with latitude/longitude of the DTR before and
after maintenance, with location name, date, and time stamp, must be submitted to the concerned
TMS Engineer (in three set i.e. one set for Payment procedure, One set for SDO and One Set for
Division Office). A soft copy of these photos is also to be preserve and to be submit with Hard copy.
- Pre- and post-maintenance condition assessments.
- A list of materials used and components replaced.
- Observations and recommendations for future action.

24.0 Deliverables

25.0 Transportation
Contractor shall arrange Vehicle for their labours to move from one location to other or any
location under Division jurisdiction, company will not be responsible to arrange transportation
of labour. Because of this reasons if contractor fail to complete per day Target then contractor
will himself responsible.
(A) Contractors have to provide 01 Gangs per Sub Division under the division for Daily
maintenance of at least 08 nos of DTR per Sub Division to perform maintenance on non-
Outage feeder, while during Outage day on Staggered day or any other day may as decided
by SDO / EE (O&M) of Division, on that day the contractor should provide at least 03 Gangs
per Sub Division, each Gang should carryout minimum 08 Nos of Distribution transformers
maintenance, failing which bidder may become liable to pay penalty of Rs. 500.00 per
Gang and Rs. 300 per Transformer per day for the first month and then after also, it
will be continue then the penalty will be applicable of Rs. 1000.00 per Gang and Rs.
500 per Transformer per day for all other tender period.
(B) On part of mishandling of any parts and items installed on transformers or connections/
wiring, earthing and due to this if transformers performance found weaker/damage/fail,
then contractors is liable to pay penalty of Rs.5,000/1,000/10,000 respectively per
On part of non-availing outage, not providing no’s of maintenance location for the
maintenance or not providing supervisor from company side, which may be attributed to
MGVCL, hence for such cases the penalty may not be applicable.
(C) Penalty for non-submission of bills timely: Sub work order wise bill along with excess material
credited to store to be submitted by contractor within 30 days from the date of work completion.
If the bill for the work, after reconciling inventory given to contractor and depositing back the
surplus material to respective RSO / Divisional Stores, is not submitted within three months from
the work completion date as per work completion date, then penalty @ Rs. 500 per week or part
thereof plus applicable GST subject to maximum of 10% of order value plus applicable GST will be
27.0 FAILURE TO EXECUTE ORDER.
A) In case of failure on the part of the bidder to cope up with the work within the
specified period, company will have a rights to executed through other agency or
re-invite the tender which ever suitable to the company.
B) In case of poor progress in Maintenance of transformers, Company reserves the
right to curtail the quantity amongst the other bidder. If performance is too poor,
then cancellation of order with L1 will be carried out and the quantity allotted to
him may be distribute to other agency. The Company reserves the rights for
cancellation without giving any reasons.
C) The bidder shall have to complete all formalities of agreement and payment of
security deposit, Performance Guarantee & indemnity bond etc, prior to
contract order placed (before A/T issue), otherwise contract order shall be
automatically treated as cancelled and no further correspondences in this regards
will be entertained.

We are hereby giving undertaking regarding, the Purchaser Company will observed the
technicality and quality of works in Maintenance for 120 days’ time limit from the date of
LOI/LOA then after purchaser company shall be free to redistribute the quantity amongst the
other bidder for acceptance of Tender of full tender quantity OR partial as deem fit by
purchaser on non/poor performance of new onsite Distribution transformer maintenance team
OR purchaser company may have a rights for inviting new tender in the matter and may cancel the
issued A/T and I will not be liable for any legal complaint also not object the decision of purchaser
If we will fail to prove the Maintenance quality, we agree that our EMD & SD shall stand forfeited.
We are also submitting solvency certificate from nationalized Bank for Rs.________20% of Tender
amount with Tender Documents.

(5) Upon breach by the Bidder of any of the conditions of this Agreement, the Purchaser

without prejudice to the right of the Purchaser company to claim damages for antecedent
breaches thereof on the part of the Bidder and also to claim reasonable compensation / risk
& cost purchase for the loss occasioned by the Purchaser Company due to failure of the
Bidder to fulfill the Order as certified in writing by the Purchaser for which Certificate shall
be conclusive evidence of the amount of such compensation payable by the Bidder to the
(6) The Purchaser Company shall not be bound to take the whole or any part of the ordered
quantity herein or therein mentioned in the LOA / AT and may cancel the contract at any
time after giving 15 DAYS NOTICE IN WRITING without compensating the Bidder.
(7) The Purchaser Company shall be free to invite OTHER bidder for acceptance of Tender
of full tender quantity OR partial as deem fit by purchaser on non/poor performance of
L1 bidder if OTHER bidder match the rate of L1 bidder.
(8) This Agreement shall remain in force till the expiry of satisfactory performance of the Supply
during Guarantee / Warranty period including for the quantity mentioned in the repeat
order, if any as per the terms & conditions of the LOA / AT.
(9) Any Notice in connection with the repair including the Notice for termination may be given
by the Purchaser or any Authorized Officer for the said purpose as per the Commercial Terms
& Conditions of the LOA / AT.
(10) If subject to the circumstances beyond control i.e. Force Majeure conditions, the bidder
fails to deliver the materials/services, the same shall be governed as per the Tender
(11) The agreed value, extent of repair, specifications, and other relevant matters may be
altered by mutual agreement as per the policy of the purchaser Company and if so altered
shall not be deemed or construed to mean or apply to affect or alter other general /
commercial terms & conditions of the agreement and the agreement so altered or revised
shall be and shall always be deemed to have been adhered subject to and without prejudice
to said stipulation.

In consideration of the MADHYA GUJARAT VIJ COMPANY LTD., herein after known as the
COMPANY having given contract for the work of
as per A/T No. , dated and all future contract that may be
awarded to me in the next one year and in terms of the condition in instruction to bidder clause
of the COMPANY’s tender and contract for work.
I residing at by this Bond bind myself responsible for and shall pay compensation to my
workmen payable under the workmen’s compensation ACT – 1923 (viii of 1923) hereinafter called
the said Act for death or injuries caused to the workmen engaged by this presents, if such
compensation is paid by the COMPANY as principal under such sub-section (1) of section 12 of the
said Act on behalf of me, to pay such amount of compensation on demand within 48 hours to the
COMPANY that it might have to spend as legal and other incidental charges in defending any suit
or action arising out of the death of injuries in regard to compensation paid to the workmen or heirs
of the deceased workmen.
Now the condition of the above written Bond is such that any suit of action arising out of the death
or injuries to the workmen engaged by me. During the execution of work of said contract and all
future contracts that may be awarded to me in the next one year is filed by the worker against the
COMPANY, I shall imbrues to the COMPANY such sum that the COMPANY is required to spend
as legal and other incidental charges in defending such suit or action and also the amount that may
be ordered to be paid to the worker / or his heirs as compensation and that the above written bind
shall remain in full force and virtue till the COMPANY is required to defend such suit or action filed
by the workers and or heirs against the COMPANY. Further it is applicable on death of contractor
himself also. No any compensation will be claimed by legal heirs of contractor.
