NOTICE INVITING TENDER

The Municipal Commissioner, Ahmedabad Municipal Corporation, Ahmedabad (AMC)

invites tender in two bid system (volume – I: Technical Bid and Volume – II: Price Bid) from

the prosperous, experienced bidders and who qualify the eligibility criteria, as mentioned in

Section – I of Tender for Comprehensive Operation and Maintenance of Existing Grid-

Connected Rooftop Solar PV Systems having a Total Installed Capacity of 500 kWp at

Seven (07) AMC Locations for a Period of Three (03) Years.

1.3 Tender along with conditions of contract will be available from the website

https://tender.nprocure.com/ Bidder shall have to present D.D. in favour of

Municipal Commissioner payable at Ahmedabad of Rs. 1500/- (Rupees Fifteen

Hundred only) as tender fee along with the tender submission.

1.4 The bidder is required to check the AMC website for Addendum if any before 48 hours

of tender submission date and time. The bidder who quotes the tender without

attaching the addendum will be rejected.

1.5 Earnest Money Deposit in the form of Demand Draft (List of Banks as mentioned in the

tender document.), and payable to Municipal Commissioner, Ahmedabad for Rs.

30,000/- (Rupees Thirty Thousand Only). All the bidders have to submit the earnest

money along with the tender document. Tender received without Earnest Money shall

be considered as Non-Responsive and shall stand rejected outright.

1.6 The Earnest Money Deposit of all the bidders except first lowest, second lowest and

third lowest will be returned normally within 30 days after opening of price bid.

1.7 The successful bidder shall have to pay Security Deposit equivalent to Five percent

(05%) amount of the 30 Lac value for a period of 39 months from work order. The SD

in form of DD/BG (List of Banks as per Annexure -4A of the tender document.) and

payable to Municipal Commissioner, Ahmedabad.

1.9 The tender shall be accompanied with the Income tax return copy of the last three

financial years.

1.10 One set (One Original + One photocopy) of tender documents (Volume I and

addendums if any), Physical submission of PRICE BID will disqualify the bidders.

Offers only in physical form will not be accepted in any case. The tender duly

completed in all respects shall be submitted as described further, so as to reach at the

following address on or before the date and time mentioned in tender notice.

1.11 The bidder shall clearly state in the forwarding letter (in duplicate) to be enclosed

with the tender documents, the deviations from Tender Terms and Conditions, if

any with cross-references. If no such letter is received, it will be presumed that

the bidder agrees entirely with the Tender Terms and Conditions.

1.12 Tender Fee (D.D.) and Earnest Money Deposit in the form of Demand Draft should be

sealed in separate envelope and the same shall be enclosed along with Two sets

(One Original + One photocopy copy) of tender documents duly signed and sealed

(Volume I with addendums if any).

1.13 Both envelop then be sealed in one large envelope. On all these envelopes, the

name of bidder, name of work, tender id shall be written invariably.

1.14 The technical bids from the bidders received, will be opened in the presence of the

bidder’s representatives; who choose to attend at the office of the tender officer, Block

– B, Central record office, Mezzanine floor, Ahmedabad Municipal Corporation,

Sardar Patel Bhavan, Khamasa Gate, Ahmedabad at the time and date mentioned in

tender notice and the technical bids will be scrutinized by AMC for satisfying various

eligibility criteria prescribed for the bidders for this work.

1.15 After this, the online financial bids – Volume – II of the technically responsive bidders

only will be opened. The actual date of opening of financial bids will be

communicated to technically responsive bidders at a later date.

1.16 Tenders received without Earnest Money will be considered as non-Responsive and

will be rejected outright.

1.17 The conditional tender will not be accepted and will be rejected outright, unless,

the nature of condition(s) put up by the bidder is acceptable to AMC. Any suggestions

/ alterations from the tender, if suggested in specifications, must be mentioned

in the main forwarding letter.

1.18 Acceptance of the tenders will rest with the Municipal Commissioner, who does not

bind himself to accept the lowest tender and reserves the right to reject any or all

tenders without assigning any reason thereof. AMC also reserves to right to place

order on more than one bidder at lowest discovered price as per its discretion.

1.19 The tender for the work shall remain open for a period of One Hundred and Twenty

(120) Days from the date of opening of Price Bid. The tender and the bidder shall not

be allowed to withdraw or modify the offer on his own during this period any

modifications or additions in terms and conditions of his tender not acceptable to the

Addl. Chief Engineer (Light), Light Department Ahmedabad Municipal Corporation shall

without prejudice to any right or remedy, be at liberty to forfeit said earnest money

1.20 Incomplete tender that does not fulfil any of the above conditions will be liable for

rejection. Tender will also be liable to be rejected if –

i. The bidder proposes any alteration in the work specified or in the time

allowed in carrying out the works or make corrections in Schedule of Quantities.

ii. Any of the page or pages in the tender is / are removed or replaced.

iii. The bidder does not initial all corrections, additions or pasted slips.

iv. Any erasure is made in the tender.

v. The bidder or in the case of a firm, each partner or the person holding the

power of attorney thereof does not sign or the signature(s) is (are) not attested

by the witness, wherever it is required.

vi. Earnest money for required amount is not paid with the tender.

vii. The bidder returns the tender document without signing relevant pages of the

bid and amendments in duplicate copy, if any.

viii. Data sheet by the bidder in annexures must be furnished.

1.21 In the event of a discrepancy between description in words and figures in total offered

amount by the bidder, the description in words shall prevail.

1.22 In the event of any calculation error found in the bid of submission, the rate will be

considered as final and accordingly the amount will be corrected.

1.23 The AMC reserves the right to reject all the tenders of the lowest or any other tender

which is the judgment of the AMC and also does not appear to be in its best interest

and the bidders shall have no cause of action or claim against the AMC of its officers,

employees, successors for assignees for rejection of its tender.

1.24 It must be clearly and distinctly understood that the conditions of contract and

specifications shall be rigidly enforced and no relaxation on the grounds of customs

prevailing shall be allowed.

1.25 The quoted rates in the Financial Bid (Volume – II) shall remain firm inclusive of all

taxes and binding till completion of the contract in all respect. The rates shall not be

subject to escalation. Rates shall be deemed to include and cover all costs, expenses,

taxes, duties, levies, royalties, foreign exchange variation, etc. and liabilities of every

description and all risks associated in execution, completing and handing over the work

to the Owner by the Contractor. However, any increase in statutory taxes, levies / fees

or newly imposed taxes/change in law would be charged extra (with submission of

documentary proof). Similarly, due credit would be given to Owner in case of

withdrawal or reduction in applicable taxes / fees / duties.

1.26 It is considered that the bidder is fully acquainted himself with the local situations

regarding materials, labour and other factors pertaining to work and studied the

drawings, estimates and tender documents before submitting the tender. Further,

Bidders are to consider Ahmedabad city.

1.29 It will be the responsibility of the bidder to arrange for necessary import license and

clearance of Government of India in time, if required, so that the imported plant or

equipment could be utilized for the proposed work. The bidder has to assure AMC that

he is in a position to import the plant or equipment at the time of commencement of

proposed work. It is the responsibility of the successful bidder to arrange all necessary

approvals from the concern dept. and must possesses licence issued by competent

authority/Government so as to complete the work safely and satisfactorily.

1.30 The bidder shall carefully read the eligibility criteria, general conditions of

contract, special condition of contract, ITB, tender documents etc. and furnish

the details and satisfy the same; otherwise, the tender will be rejected without

assigning any reason.

1.31 This notice will form part of the Contract.

1.33 The Municipal Commissioner reserves the right to terminate the contract at any time

during the contract period if the work is not found satisfactory.

1.34 In case of any delay / deviation of our standard term of payment no interest or any

extra charges will be paid to bidder by AMC.

1.35 On the occurrence of any accident on site while working, which results in death of

workman, employed by the contractor or any disability likely to be occurred, in respect

of which compensation may become payable under workmen’s compensation Act has

to be borne by the contractor.

INSTRUCTIONS TO BIDDERS

1.0 Introduction

1.1 Ahmedabad Municipal Corporation (AMC) wants to Comprehensive Operation and

Maintenance for 3 years work (Within the limit of Amount Rs.30 lacs) for Total 500 KW

Existing Solar Rooftop System installations of AMC at Seven locations.

1.2 All the project location under this project is in Ahmedabad city which is largest in State

of Gujarat. It is away from 32 km from Gandhinagar that is a state capital.

1.3 The city has an excellent connection by International and Domestic Airport, Rail link

and road transport.

1.4 AMC wish to use the generated electricity units as captive usage (or may be applicable

from time to time).

1.5 Bidder shall submit the GST registration certificate along with the technical bid.

1.6 Instruction to bidder is part of the tender and clauses mention in it shall be binding on

2.1 The Additional chief engineer (Light), Light department AMC for and on behalf of the

Ahmedabad Municipal Corporation, Ahmedabad, hereinafter referred to as the AMC,

will receive tenders for Comprehensive Operation and Maintenance for 3 years work

(Within the limit of Amount Rs.30 lacs) for Toal 500 KW Existing Solar Rooftop System

installations of AMC at Seven locations.

2.2 Physical copy of Tenders will not be accepted after the hour and date fixed for

receiving of tenders. Telegraphic tenders will not be accepted under any circumstance.

Physical copy of Tenders received after the hour and date so fixed will not be

considered. Physical copy of Tenders will be received by RPAD/Speed Post/ Hand

delivery on or before due date and time as mentioned in tender notice. Bidder’s

authorized representatives may attend the tender opening. The tenders shall be

opened at the date and time as mentioned in tender notice.

2.3 The AMC does not bind himself to accept the lowest or any tender. If the bidder wishes

to offer discount in the event of the entire work, he shall state so in the tender. AMC

also reserves to right to place order on more than one bidder at lowest discovered

price as per its discretion.

After awarding contract and during contract implementation if govt. taxes increases or

any type of govt. taxes added then the same rise/addition will be payable to contractor

upon submission of necessary documents as mentioned below.

However, during implementation of work if any types of taxes reduces or any type of

govt. taxes is removed then the same will be recovered from the contractor. However,

i. To change, alter or to waive any technical or commercial terms, conditions, and

ii. To reject all the tenders or the lowest or any other tender in part or full without

assigning any reason whatsoever

iii. For making changes / relaxation in eligibility criteria at any time

iv. To split the tender in two or more agencies

The bidders shall have no cause of action or claim against the corporstion or its

officers, employees, successors or assignee for rejection or split of tender.

2.4 Tender documents are not transferable.

3.0 Tender Validity Period

3.1 The tender shall be kept valid for acceptance for a period of One Hundred and

Twenty (120) Days from the date of Price bid opening.

4.0 Language of Tender

4.1 Tenders shall be submitted in English, and all information in the tender shall be in

English. Information in any other language shall be accompanied by its translation in

English. Failure to comply with this may disqualify a tender. Only English text shall be

earnest money shall be forfeited and the bidder may be disqualified from tendering for

further works with the Ahmedabad Municipal Corporation.

6.4 After the awarding of contract has been finalized, the Earnest Money will be returned to

the respective bidder, with the exception of the successful bidder.

6.5 The successful bidder’s earnest money will be retained as part of the security deposit

after signing the contract and for making of the contract deposit, and rest amount of the

security deposit shall be submitted in the form of demand draft or bank guarantee,

which will be released after satisfactory completion of the entire contract.

6.6 No interest will be paid on any tender deposit.

7.0 Income Tax Return

7.1 In case of domestic bidders, the tender must be accompanied by an Income-Tax

clearance Certificate for the last three financial years. In case it is not possible to

furnish such a certificate, the bidder should submit with the tender, information

regarding the Income-tax, circle or ward of the district in which he is assessed for

Income Tax, reference number of the assessment and the assessment year.

8.0 Submission of Tenders

8.1 Tenders shall be submitted together with the other documents that form the tender. In

the event of a Contract, the tender and the documents attached thereto shall be

considered as forming part of the Contract Documents.

8.2 Two sets (One Original + One photocopy copy) of tender documents (Volume I with

addendums if any), Physical submission of PRICE BID will disqualify the bidders,

Offers only in physical form will not be accepted in any case. The tender duly

completed in all respects shall be submitted as described further, so as to reach

at the following address on or before the date and time mentioned in tender notice.

8.3 The sealed envelopes tender document shall show on the outside, the name of the

bidder and his address.

8.4 The tender shall be considered non-responsive if not complete in all respect. Bidders

are requested to present the tenders well in time before stipulated date and time of

receipt; so as to avoid rush at the closing hours.

8.5 The tender document shall be accompanied by the following documents:

(a) DD for tender fee

(b) The tender in duplicate copy with duly signed. (Only Volume I including

addendums if any)

(c) The work completed by bidder during last seven (7) years, he should submit

satisfactory completion certificate from the owner.

(d) A covering letter (in duplicate) stating any other matter in relation to this tender

which the bidder considers should be drawn to the particular notice of the AMC

or Consulting Engineers if any. In addition, the original tender shall be

accompanied by:

(e) DD for EMD.

8.6 Erasures and other changes shall be noted over by the initials of the person signing the

9.0 General Performance Data

9.1 Bidder shall present the following information along with their tenders in duplicate:

(a) Evidence of financial capacity to execute a contract of this magnitude in terms of

solvency certificate, annual turnover and price of same magnitude jobs carried

out. CA Certificate

(b) The bidders are requested to furnish requisite information to enable the

competent authority to decide the technical and financial capability of the bidder,

based on which, the bidder shall be evaluated.

(c) Experience of similar works and equal or required magnitude as asked in the

tender magnitude with names of authorities for which the works were executed

along with completion / performance certificate from the owner with specific

mention that work is completed in time and it is completed satisfactorily.

(d) List of current jobs of comparable nature along with starting date and likely

completion dates with their contract values.

(e) The extent of responsibilities carried by Contractors associated with the bidder.

(f) General detail of bidders’ organization, management, staff and personnel,

Facilities for design and execution.

9.2 Tenders will not be considered if the above information is not provided or is considered

to be unsatisfactory.

10.0 Signing of Tender Document

10.1 Bidders are requested to quote the total offered value of the tender.

10.2 If the tender is submitted by a proprietary firm, it shall be signed by the proprietor

above his name and the name of his firm with its current address.

10.3 If the tender is made by a limited company or a limited corporation, it shall be signed by

a duly authorized person holding the power of attorney for signing the tender, in which

case, a certified copy of the power of attorney shall accompany the tender. Such

limited Company or Corporation may be required to furnish satisfactory evidence of its

existence before the contract is awarded.

10.4 The tender submitted by Joint Venture is not acceptable.

10.5 The bidder shall sign and affix the official seal on every page of the tender document,

including all annexures, schedules, declarations, amendments (if any), and all

documents submitted as part of the bid. Unsigned or unstamped pages may render the

bid liable for rejection.

11.0 Interpretation of Documents

11.1 Bidder shall carefully examine the Tender Documents and fully inform themselves as to

all the conditions and matters that may in any way affect the work or the cost thereof.

Should bidder find discrepancies in or omission from the specification or other

documents, or should be in doubt as to their meaning, he should at once address a

query to the Addl. Chief Engineer (Light), Light department AMC. Any resulting

interpretation of the Tender Documents will be issued to all bidder as an Addendum.

Verbal clarification and/or information given by the Addl. Chief Engineer (Light), Light

department shall not be binding on the AMC.

12.0 Errors and Discrepancies in Tenders

12.1 Should the Price Bid and Rates submitted with the tender be found to contain errors, or

discrepancies, the owner/engineer will not permit any bidder to change the substance

or price of his bid after the bid opening. In case of discrepancy in the quoted rate and

the corresponding amount the rate quoted in words in all cases shall govern. Also the

bidder will not be permitted to correct or withdraw material deviations or reservations

once bids have been opened.

13.0 Clarification of Tender Documents

13.1 A prospective Bidder requiring any clarification of the Tender Document may notify the

Purchaser in writing or by telex or fax at the Purchaser’s mailing address as indicated.

14.0 Amendment of Tender Documents

14.1 Modifications of specifications and extension of the closing date of the tender, if

required, will be made by an Addendum which will be put up on

https://tender.nprocure.com/website before 48 hours of tender submission date and

time. These shall be signed and returned by the bidder and shall form a part of the

tender document.

14.2 The bidder shall not add to or amend the text of any of the documents except in so far

as may be necessary to comply with the Addendum.

15.0 Eligible Criteria

This invitation for Tenders is open to all Contractors who must have the following

Eligible criteria:

15.1 Tender Eligibility Criteria

15.1.1 Qualification will be based on meeting all the following minimum pass / fail criteria

regarding the bidder’s general and particular experience, personnel and equipment

capabilities and financial position. The AMC reserves the right to waive minor

deviations, if they do not materially affect the capability of a bidder to perform the

15.1.2 Tenderer must have to submit demand draft of banks mentioned in Annexure-4A

only in favour of “Municipal Commissioner, AMC” Payable at Ahmedabad of

Rs.1500/- as tender fee along with the tender.

15.1.3 Tenderer must have to submit Earnest Money Deposit (E.M.D.) in the form of

demand draft in favour of “Municipal Commissioner, AMC” payable at

Ahmedabad from banks mentioned in Annexure-4A only of Rs. 30,000/- with

their tender documents.

15.1.4 The tenderer must possess current validity valid Electrical Contractor License from

Gujarat State or Any State Licensing Board of India.(Copy of license must be

attached along with tender).

15.1.5 Experience of having successfully completed similar works during last 7 years ending

last day of month previous to the one in which tenders are invited should be either of

(i) One similar work completed having work order capacity not less than

400KW (80% of the our project capacity.) OR

(ii) Two similar works completed having work order capacity not less than

250KW (50% of the our project capacity.) OR

(iii) Three similar works completed having work order capacity not less than

200KW (40% of the our project capacity.)

Definition of similar work

Similar works mean experience of at least 1 year Comprehensive O and M work of Solar

rooftop Installation (Copies of Work order and work completion certificate &

BOQ/details of nature of work must be submitted with tender in proof of above

Average annual financial turnover during the last 3 years, ending 31st march of the

previous financial year, should be at least Rupees 9,00,000/-.

15.3 Litigation History

The bidder should provide accurate information on any litigation history or

arbitration resulting from contracts completed or under execution by him over

the last five years. This should also include such cases, which are in

process/progress. A consistent history of awards against the bidder or any partner of a

joint venture may result in failure of the bid. In case the bidder has not provided such

information and has come to the notice of the Authority, the tender will be rejected at

whatsoever stage and in such case all the losses that will arise out of this issue

will be recovered from the bidder / contractor and he will not have any defence

15.4 Solvency Certificate: -

The tenderer must possess solvency certificate of value not less than Rs. 6,00,000/-

from Nationalized / Scheduled Bank only. Solvency Certificate should not prior to one

year old from last date of tender submission.

16.0 Evaluation of Tenders:

If all the eligibility criteria meet with all the documentary evidence and other tender

terms are met then overall lowest bidder will be successful.

17.0 Policy for tenders under consideration

17.1 Tenders shall be deemed to be under consideration from the opening of tenders, until

such time as an official announcement of award is made.

17.2 While tenders are under consideration, bidder and their representatives, or other

interested parties, are advised to refrain from contacting by any means any AMC

personnel or representatives on matters relative to the tenders under study. The

Engineer’s Representative, if necessary, will obtain clarification of tenders by

requesting such information from any or all the bidder either in writing or through

personal contact, as may be necessary. The bidder will not be permitted to change the

substance of his tender after tenders have been opened. This includes any post tender

price revision or major modification as defined in Clause No. 13. Non-compliance with

this provision is a cause for disqualification.

18.0 Cost of Tendering

18.1 The Bidder shall bear all costs associated with the preparation and submission of its

Tender and Ahmedabad Municipal Corporation (AMC), hereinafter referred to as “the

Purchaser”, will in no case be responsible or liable for those costs, regardless of the

conduct or outcome of the Tendering process.

19.0 Award of Contract

19.1 Notification of award will be made in writing to the successful bidder.

19.2 The contract will be awarded to the technically and financially qualified and responsive

bidder offering the lowest overall evaluated tender or tenders in conformance with

specifications. Evaluation of tenders and policy for tenders under considerations,

mentioned earlier.

19.3 A responsive tender is one which accepts all the terms and conditions of the Tender

Documents without any major modifications. A major modification is one which affects

in any way the price, quality, quantity or completion of works or which limits in any way,

any responsibilities or liabilities of the bidder or any rights of the AMC, as specified in

the Tender Documents. The AMC may waive any minor informality in a tender which

does not constitute a major modification. However, the failure of successful bidder to

pay ‘Security Deposit’ and signing the contract shall constitute sufficient grounds for

annulment of the award of contract and forfeiture of the earnest money deposit, in

which case the Owner/Engineer may award the contract to the next lowest evaluated

responsive bidder. In the event of not finding any such bidders, the employer is

empowered to call for new bids.

19.4 In case, the tender is found technically responsive, bidder will be intimated accordingly.

20.0 Signing of Contract

20.1 The successful bidder shall be required to execute the Contract within 15 days of

receipt of intimation to execute the Contract. If the contractor will not pay security

deposit and will not sign agreement within 15 days after issuing the first letter from the

authority of AMC, his EMD shall be forfeited and such bidder shall be disqualified for

getting further any work in AMC. Also, their registration will be kept in abeyance for

20.2 The person to sign the contract documents shall be the persons as detailed in tender

document i.e. signing of tender documents.

21.0 Stamp Duty and Legal Charges

21.1 It shall be incumbent on the successful bidder to pay stamp duty on the contract and

legal charges for preparation of the contract agreement.

22.0 Tender Security (Earnest Money Deposit)

22.1 Bidder shall furnish, as part of its Tender, Tender security for the amount as indicated

in the form and it shall be submitted in cover with tender.

22.2 The Tender security is required to protect the Purchaser against the risk of Bidder’s

conduct which would warrant the security’s forfeiture

22.3 The Tender security shall be denominated in the currency of the Tender. A DD issued

by a bank acceptable to the Purchaser, in the form provided in the Tender Document.

22.4 Any Tender not secured in accordance with above clause no: 22.1 to 22.3 will be

rejected by the Purchaser as nonresponsive, pursuant to Clause

22.5 Unsuccessful Bidder’s Tender security will be discharged / returned as promptly as

possible, tentatively Thirty (30) days after the expiration of the period of Tender

prescribed by the Purchaser

22.6 The successful Bidder’s Tender security will be discharged upon the Bidder executing

the Contract and furnishing the security deposit.

22.7 The Tender security may be forfeited:

a) if a Bidder withdraws its Tender during the period of Tender validity specified by

the Bidder on the Tender Form’ or

b) in the case of successful Bidder, if the Bidder fails:

c) to sign the Contract in accordance with Clause 25; or

d) to furnish performance security in accordance with Clause

22.8 No interest will be paid on Tender security.

23.0 Period of Validity of Tenders

23.1 Tenders shall remain valid for One Hundred and Twenty (120) Days from the date

of opening of Price Bid prescribed by the Purchaser, pursuant to Clause 3 of ITB. A

Tender valid for a shorter period i.e. less than 120 days may be rejected by the

Purchaser as non-responsive.

23.2 In exceptional circumstances, the Purchaser may solicit the Bidder’s consent to an

extension of the period of made in writing (or by fax / telex). The Tender security

provided under Clause 22 shall also be suitably extended. A Bidder may refuse the

request without forfeiting its Tender security. A Bidder granting the request will not be

required nor permitted to modify its Tender.

25.0 Security Deposit for Work

25.1 Within 15 days after the issuing work order for the work, The successful bidder shall

have to pay DD as security deposit for equivalent to five percent (05%) amount of

the 30 Lac value for a period of 39 months from the work order. The security

deposit (SD) in form of DD or BG (List of Banks as per Annexure -4A of the tender

document) and payable to Municipal Commissioner, Ahmedabad.

25.2 The proceeds of the security deposit shall be payable to the Purchaser as

compensation for any loss resulting from the Bidder’s failure to complete its obligations

under the Contract

25.3 The security deposit shall be denominated in Indian Rupees and shall be in the

prescribed format

25.4 In case of delay beyond the stipulated period of 15 days, interest at the rate of 4% per

annum on the amount of the Security Deposit shall be recovered for the delayed

period, calculated on a day-to-day basis, until the date of submission of the Security

Deposit. If the Security Deposit is not submitted within the extended period permitted

by AMC, the Letter of Intent/Work Order shall be liable to be cancelled and the Earnest

Money Deposit (EMD) shall be liable to be forfeited without any further notice.

26.0 Defect Liability Period - The Contractor shall be responsible for item replaced or newly

supplied by the Contractor under this contract shall be warranted against defects in

material and workmanship as per the respective manufacturer, and the Contractor shall

facilitate replacement of such defective items without any additional cost to AMC during

the warranty period and shall ensure that such replacement is arranged and completed

by the Contractor in all circumstances, irrespective of any delay or issue from the

SPECIAL CONDITIONS OF CONTRACT

1.1 The following Special Conditions of Contract shall supplement the General

Conditions of Contract. Whenever there is a conflict, the provisions herein shall

prevail over those in the General Conditions of Contract.

1.2 The bidder shall identify any PV module failure covered under the manufacturer's

warranty and shall process the warranty claim with the manufacturer, including all

necessary testing, documentation, coordination, removal, reinstallation, testing, and

commissioning of the replacement module. No additional payment shall be made for

processing the warranty claim.

1.3 The bidder shall arrange, at its own cost, all tools, tackles, ladders, safety

equipment, cleaning equipment, water hoses, consumables, transportation, and

all other resources required for carrying out Module cleaning Operation and

Maintenance activities at all project locations throughout the contract period.

1.4 Any approval, permission, inspection, testing, or statutory compliance required during

the Operation and Maintenance period from GEDA, CEIG, DISCOM, Torrent Power,

or any other competent authority shall be in the scope of the bidder. AMC shall

provide the necessary documents, authorization letters, and records available with

AMC, wherever required.

1.6 The bidder shall take due care of all existing rooftop structures, water pipelines,

air-conditioning units, flag posts, advertisement/hoarding structures, and any

other existing utilities while carrying out cleaning operation and maintenance

activities. The bidder shall ensure that no damage is caused to these existing

installations during inspection, servicing, cleaning, repair, replacement, or

maintenance works. In case of any damage caused due to the bidder's

negligence, the same shall be repaired or restored at the bidder's own cost to the

satisfaction of AMC. The bidder shall also ensure that the integrity, safety, and

aesthetic appearance of the existing rooftop solar installation and surrounding

infrastructure are maintained throughout the contract period.

1.10 During the Operation and Maintenance (O&M) period, the bidder shall be responsible

for cleaning the Solar PV modules and associated equipment to ensure optimum

system performance. The bidder shall clean the PV modules at least once (01)

every month, or more frequently if required due to dust accumulation, bird

droppings, pollution, or other site conditions affecting power generation. The bidder

shall maintain a monthly cleaning record and submit the same to AMC along with

photographs or other documentary evidence, if required by AMC.

1.11 During the Operation and Maintenance (O&M) period, the bidder shall ensure

continuous functioning of the Remote Monitoring System (RMS) at all project

locations. The bidder shall be responsible for the operation and maintenance of the

RMS, including all associated hardware, software, communication devices, and

connectivity throughout the contract period. The bidder shall also be responsible for

timely SIM/data recharge and all related charges required for uninterrupted

operation of the RMS.

1.13 AMC may at any time by notice in writing to the Bidder either stop the work

altogether or reduce or cut it down. If the work is stopped altogether, the Bidder shall

only be paid for work done and expenses legitimately incurred by him as on

preparation of the execution of the work up to the date on which such notice is

received by him. Such expenses shall be assessed by AMC whose decision shall be

final and binding on the Bidder. If the work is cut down the Bidder shall not be paid

for the work as so cut down, but in neither case shall be paid any compensation

whatsoever for the loss or profit which he might have made if he had been allowed

to complete all the work included in the contract.

1.14 Conditional Tenders will be rejected.

1.15 In case of any type of misappropriations, cheating or intention of cheating, frauds,

irregularities, malpractice, etc. The AMC reserves the right to cancel the order

without giving reasons thereof and forfeit the security deposit.

1.17 The rates quoted by the bidder shall be exclusive of GST but inclusive of all other

costs, duties, levies, labour charges, transportation, insurance, tools, tackles,

consumables, and all incidental expenses required for the satisfactory execution of

the work. GST shall be paid extra by AMC at the applicable rate, subject to

submission by the Contractor of a valid GST tax invoice and all other documents,

declarations, returns, or records as required under the applicable GST laws and

AMC procedures.

1.18 If the system is found uninstalled and false report of installation and commissioning

is submitted to AMC for claiming payment, Commissioner, AMC is empowered to

forfeit Security Cum Performance Guarantee Deposit up to 100% and to terminate

the contract wherever applicable.

2.0 DEFINITIONS:

2.1 The Purchaser or Client is Ahmedabad Municipal Corporation (AMC)

2.2 Ahmedabad Municipal Corporation (AMC) shall mean the Purchaser.

2.3 ‘Contractor / Supplier’ shall mean individual or firm or company undertaking the work

and shall include their legal representative.

2.4 ‘Engineer’ shall mean the officer or representative of the Ahmedabad Municipal

Corporation (AMC) who may be authorized by Ahmedabad Municipal Corporation

(AMC) to carry out the work.

2.5 ‘The Engineer’s Representative’ shall mean any Engineer, Consulting Engineer, or

Assistant to the Engineer appointed from time to time by the Engineer to perform the

duties delegated.

3.0 At the end of the contract period, all Solar Rooftop PV Systems at all project

locations shall be in satisfactory working condition, free from pending

defects attributable to the bidder, and shall be handed over in complete

operating condition along with all keys, accessories, manuals, warranties,

software/login credentials, and other items related to the systems, wherever

applicable and all pending complaints shall be resolved.

4.0 The successful bidder shall commence the Comprehensive Operation and

Maintenance work immediately upon receipt of the Work Order. The bidder shall

deploy qualified and experienced personnel and shall provide the name,

designation, mobile number, and email address of the authorized contact

person/site supervisor to AMC before commencement of the work. The bidder

shall maintain adequate tools, testing equipment, consumables, and essential

spare parts to ensure uninterrupted operation of the systems throughout the

contract period.

5.0 O&M SECURITY:

5.1 The successful bidder shall have to pay Security Deposit for work equivalent to five

percent (05%) amount of the 30 Lac value (or as per the latest circular of AMC) for a

period of 39 months from work order.

S.D. in the form of DD/BG from the banks mentioned in Annexure-4A only in favour

of “ Municipal Commissioner, AMC” Ahmedabad.

6.0 DELIVERY AND DOCUMENTS :

6.1 The Supplier shall mail the following documents to the Purchaser on or before

clamming the Payment:

(a) Generation data of the month indicating day wise units.

(b) Module cleaning record with Photographs of sites for at least once in a month.

(c) Preventive maintenance checklist

7.1 Payment for Goods and Services shall be made in Indian Rupees.

7.2 Mode of Payment :

Payment during O and M period will be released on monthly basis at the end of each

month on pro rate basis provided necessary documents.

Documents Required

A. Bills in triplicate copies

B. Certified copies/photos for O&M activities including cleaning of modules.

C. Certified Unit Generation Data.

8.0 Liquidated Damages: In case the work under Comprehensive Maintenance Contract

(CMC) is found unsatisfactory, a penalty of Rs. 5,000/- (Rupees Five Thousand

only) per month per Location shall be imposed. The penalty amount shall be

recovered from the Running Account Bills and/or the Final Bill of the contractor.

9.0 Insurance of Labour and Third Party in Scope of contractor wherever

9.1 In case of any Claim for Third Party, the Settlement in all respect of claim is in the

Scope of contractor. The period of third party insurance coverage has to be decided

separately by AMC during O & M.

GENERAL INSTRUCTIONS

1. The Contractor shall remain responsible for workmen’s compensation, if any, when

such ase occurs. The contractor shall arrange all necessary needs and shall be

responsible for any damage of life and limb or property, if any happens, during the

work. In case of dispute for unseen or overlooked items, the decision of Municipal

Commissioner, AMC shall be final.

2. Contractor shall be fully responsible for compliance of the various provisions under

Contract Labor Act, 1970 and latest addendum and the Rules frames there under.

The Contractor should obtain necessary permissions, license & registrations from

labour commissioner, as per labour law.

3. All the precautionary measures for safety are to be taken by the contractor during

execution of work at site. No Contractor shall employ any child heaving age 5 years

to 14 years, as it is prohibited by the Child Labour Prohibition and Regulation Act,

1986.The Hon. Supreme Court has given certain guidelines and as per the

guidelines, if employment of child labour is detected on the site work, the employer

i.e. the Contractor shall have to deposit Rs.20,000/- (Rupees Twenty Thousand only)

in the Child Labour welfare Fund. If the employer refuses to deposit, then action will

be taken for contempt of Court of the Supreme Court Judgement and also will be

prosecuted by the concerned authority.

4. AMC will not be responsible for any accidents (In case of the death of a person or an

injury) occurred in the any premises of AMC Area due to the above reason and the

compensation for the family of the person affected. It will be in the scope and

responsibility of the contractor to deal with the legal proceeding such as court matter,

police case compensation etc which arises due to the above reason.

5. The Contractor shall supply at his own cost all materials(except such special

materials if any, as may, in accordance with the contract of be supplied from the

AMC Stores), plant, tools, appliances, implements, ladders, cordage, tackle,

scaffolding and any temporary works which may be required for the proper execution

of the work whether in the original, altered or substituted from and whether included

in the specifications, or other documents forming part of the contract or referred to in

these conditions or not and which may be necessary for the purpose of satisfying or

complying with requirements of the Engineer-in-charge as to any matter or to which

under these conditions he is entitled to be satisfied or which he is entitled to require

together with carriage therefore to and from the work.

6. The Contractor shall promptly respond to all instructions issued by the Engineer-in-

Charge and shall remain available to attend the site whenever required. All works

assigned by the Engineer-in-Charge shall be commenced immediately and

completed within the prescribed time limit. Failure to comply with such instructions

may attract penalties as per the provisions of this tender.

1. Preventive Maintenance and do necessary work for it :

i. Inspection of the entire solar system, including modules, mounting structures, wiring,

inverters, and safety devices.

ii. Cleaning of PV modules (as per agreed frequency – at least One time per month)

using Approved methods to ensure maximum power output.

iii. Checking and tightening of all mechanical connections and fasteners in the module

mounting structures.

iv. Inspection of cabling, connectors, and junction boxes for damage, corrosion, or

overheating signs.

v. Verification of earthing and lightning protection system integrity and continuity.

vi. Functional check of inverter for any error messages or abnormal operating

vii. Inspection of AC and DC distribution boards for loose connections, fuse/breaker

health, and dust accumulation.

2. Corrective Maintenance :

i. Troubleshooting faults and rectifying issues that do not require component

ii. Re-commissioning after resolving minor operational issues.

iii. arranging necessary spare parts if replacement is required.

3. Performance Monitoring :

i. Measurement and recording of daily, monthly, and annual energy generation (via

inverter logs).

ii. Identification and reporting of performance deviations from expected generation.

iii. Preparation of maintenance and inspection reports after each visit.

4. Safety Compliance :

i. Ensuring all maintenance activities follow electrical safety norms (IS/IEC standards).

ii. Use of proper PPE (gloves, helmets, harness, insulated tools).

iii. Immediate reporting of any hazardous conditions and do necessary all kind of action

5. Bidder should be submitting Monthly performance summary such as Energy Generation

Data, Downtime Records, Maintenance Activities, System Observations, Supporting

Documentation, photographs etc.

6. After Completion of DLP & Non-CMC Period the all-Solar roof top system and its

accessories which are installed by Bidders must in working condition. The AMC reserve

and Rights They not accept Faulty System or improper Working System. During handing

over time. If bidder does not comply in such case AMC full rights and reserve forfeits his

Deposits and Black list to bidders by AMC.

7. Any up gradation in software or any other factor the bidders must be responsible to the

system Must be run without interrupting entire system. And make sure installed all

equipment and cable and all accessories are in keep working condition during Entire

Contract Period.

8. Contractor must be attend any kind of fault will be attend within 24 hours after receiving

of complaint and be self vigilant for any fault at any seven site.

AMC to report the contractor by Registered mail/contact number for three times to attend

or solve the complaint and If contractor will fail to solve or attend complain AMC will

forfeit security deposit and also blacklist the contractor at a time without any report.

9. Penalty : In case the work under Comprehensive Maintenance Contract (CMC) is found

unsatisfactory, a penalty of Rs. 5,000/- (Rupees Five Thousand only) per month per

Location shall be imposed. The penalty amount shall be recovered from the Running

Account Bills and/or the Final Bill of the contractor.

i. If unsatisfactory performance continues for three (03) consecutive months OR

occurs repeatedly despite written three (03) notices, AMC reserves the right to

terminate the contract and forfeit the Security Deposit, in addition to recovering

the applicable penalties, in accordance with the contract conditions.

10. AMC will offer the Comprehensive Operation and Maintenance for 3 years work (Within

the limit of Amount Rs.30 lacs) for Total 500 KW Existing Solar Rooftop System

installations of AMC at Seven locations. As per the requirement of AMC O&M of

following equipments and cleaning of PV modules as per standard but not limited to

a. AC Distribution Board

b. Protective Relays and Control Panel (if needed)

c. AC and DC Power Cables with accessories

d. Earthing System

e. Metering System (ABT)

f. Circuit Breakers

g. Lighting /Surge Arrestor

h. Solar Inverter

i. RMS system with facility to monitor the same

11. Any other material and services (whether specifically mentioned in the document or

not) require to full fill the stated scope of work shall be deemed to be included in the

scope of the work.

12. Insurance of Labour and Third Party in Scope of contractor wherever applicable. In case

of any Claim for Third Party, the Settlement in all respect of claim is in the Scope of

contractor. The period of third party insurance coverage has to be decided separately by

AMC during O & M.
