The information contained in this Request for Proposal document (hereafter
referred as the “RFP”) or subsequently provided to Bidder(s), whether verbally or
in documentary or any other form by or on behalf of the Authority or any of its
employees or advisors, is provided to Bidder(s) on the terms and conditions set
out in this RFP and such other terms and conditions subject to which such
information is provided.
This RFP is not an agreement and is neither an offer nor invitation by the
Authority to the prospective Bidder(s) or any other person. The purpose of this
RFP is to provide interested parties with information that may be useful to them
in submitting Bids pursuant to this RFP. This RFP includes statements, which
reflect various assumptions and assessments arrived at by the Authority in
relation to the Project. Such assumptions, assessments and statements do not

may not be appropriate for all persons, and it is not possible for the Authority, its

The Authority may in its absolute discretion, but without being under any
obligation to do so, update, amend or supplement the information, assessment
or assumptions contained in this RFP.
The issue of this RFP does not imply that the Authority is bound to select a
Bidder or to appoint the Selected Bidder for the Project and the Authority
reserves the right to reject all or any of the Bidders or Bids without assigning any
reason whatsoever.
The Bidder shall bear all its costs associated with or relating to the preparation
and submission of its Bid including but not limited to preparation, copying,
postage, delivery fees, expenses associated with any demonstrations or
presentations which may be required by the Authority, or any other costs
incurred in connection with or relating to its Bid. All such costs and expenses will
remain with the Bidder and the Authority shall not be liable in any manner
whatsoever for the same or for any other costs or other expenses incurred by a
Bidder in preparation or submission of the Bid, regardless of the conduct or
outcome of the Bidding Process.
The statements and explanations contained in this RFP are intended to provide a

1. BACKGROUND OF THE PROJECT:
The Statue of Unity (SoU), dedicated to Sardar Vallabhbhai Patel, is one of India’s premier
tourism destinations, attracting millions of visitors annually from across the country and
abroad. The Statue of Unity Area and its surrounding attractions comprise a wide range of
tourism, hospitality, recreational, landscape, and public utility facilities supported by
extensive electrical infrastructure and systems.
The development of Ekta Nagar as an integrated world-class tourism destination has
resulted in the establishment of various attractions, gardens, public areas, visitor facilities,
administrative buildings, roads, parking areas, illumination systems, electrical installations,
and other allied infrastructure. These facilities require reliable and continuous electrical
services to ensure safe, efficient, and uninterrupted functioning, particularly considering the
high visitor footfall and extended operating hours.
The electrical infrastructure across various locations includes LT/HT electrical installations,
transformers, DG sets, electrical panels, distribution systems, cables, lighting
systems, façade and architectural lighting, garden and landscape lighting, street
lighting, illumination systems, pumps, motors, electrical equipment, control systems,
and other allied electrical installations. Regular preventive maintenance, corrective
maintenance, breakdown response, inspection, testing, and timely rectification of electrical
faults are essential for maintaining the operational reliability and safety of these facilities.
Considering the scale and diversity of electrical installations, it is imperative to have
adequate, technically qualified, and dedicated manpower deployed at various locations
for carrying out routine electrical maintenance and attending to breakdowns and emergency
requirements. The availability of trained manpower is particularly important during peak
visitor hours, holidays, festivals, special events, and other periods of high occupancy, when
uninterrupted operation of electrical systems is essential.
The proposed deployment of manpower shall support the Electrical Maintenance Division /
M&E Division in carrying out day-to-day electrical maintenance activities, preventive and
breakdown maintenance, fault identification and rectification, operation of electrical systems,
routine inspection, monitoring, and other related works at various locations under the
jurisdiction of the Statue of Unity Area Development and Tourism Governance Authority
(SoUADTGA), Ekta Nagar.
The manpower shall be deployed as per the requirement of the Authority and shall work
under the direction and supervision of the designated officers of the Authority. The agency
shall ensure that all deployed personnel possess the required technical qualifications,
experience, discipline, safety awareness, and competency to undertake the assigned
electrical maintenance works.

need for uninterrupted functioning of various attractions and facilities, it is proposed to
engage a technically competent and experienced agency for Deployment of Manpower for
Electrical Maintenance and Related Works at Various Locations.
The selected agency shall be responsible for providing suitable and qualified manpower and
ensuring their regular deployment, attendance, discipline, safety compliance, and
performance in accordance with the requirements and instructions of the Authority.

1.2 Objectives of this RFP
The objective of this RFP is to engage a technically competent, experienced, and
professionally managed agency for the deployment of adequate, skilled, and qualified
manpower for electrical maintenance and related works at various locations under the
jurisdiction of the Statue of Unity Area Development and Tourism Governance Authority
(SoUADTGA), Ekta Nagar.
The purpose of the assignment is to:
Ensure Reliable Electrical Maintenance
Provide adequate and technically qualified manpower for routine, preventive,
corrective, and breakdown maintenance of electrical installations and systems at
various locations to ensure their reliable and efficient operation.
Ensure Continuous and Uninterrupted Electrical Services
Ensure timely availability of manpower for attending to electrical faults,
breakdowns, emergencies, and operational requirements, particularly during
visitor hours, weekends, holidays, festivals, and special events.
Maintain Electrical Infrastructure and Installations
Ensure proper operation, inspection, monitoring, maintenance, and upkeep of
electrical installations including electrical panels, transformers, DG sets, LT/HT
systems, cables, lighting systems, pumps, motors, façade/architectural lighting,
garden lighting, street lighting, and other allied electrical systems, as assigned
by the Authority.
Ensure Safety and Compliance
Carry out electrical maintenance activities in accordance with applicable electrical
safety standards, statutory requirements, fire and safety provisions, and
instructions issued by the Authority, while ensuring the safety of visitors, staff,
workers, and electrical installations.
Optimize Maintenance Response and Minimize Downtime
Ensure prompt deployment of manpower and timely rectification of electrical faults to
minimize equipment downtime and service interruptions and maintain the
operational readiness of various attractions and facilities.
Support Various Attractions and Facilities

Ensure that all electrical maintenance and related activities are carried out in
accordance with the quality, safety, operational, and maintenance standards
prescribed by SoUADTGA and the instructions of the designated officers of the
1.3 Terms of Reference & Conditions
1.3.1 SCOPE OF WORK
The scope of this RFP covers the deployment of adequate, technically qualified, skilled,
experienced, and trained manpower for electrical maintenance and related works at
various locations under the jurisdiction of the Statue of Unity Area Development and
Tourism Governance Authority (SoUADTGA), Ekta Nagar.
The selected agency shall provide manpower as specified by the Authority and shall be
responsible for ensuring their regular deployment, attendance, discipline, safety, supervision,
and performance. The deployed manpower shall work under the overall direction and
supervision of the designated officers of SoUADTGA.
The scope shall include, but shall not be limited to, the following activities:
1. Deployment of Skilled Electrical Manpower:
The agency shall deploy suitable and qualified manpower such as Electricians, Wiremen,
Technicians, Helpers, Supervisors, and other electrical maintenance personnel as
required by the Authority.

The manpower shall possess the required technical qualifications, experience, competency,

2. Routine Electrical Maintenance:
The deployed manpower shall carry out routine inspection, operation, monitoring, servicing,
and maintenance of electrical installations and systems at various locations, including:
LT/HT electrical installations and distribution systems.
Electrical panels, MCCs, PCCs, DBs, SMDBs, control panels, etc.
Transformers and associated electrical equipment.
DG sets and associated electrical systems.
Cables, cable trays, cable trenches, junction boxes, and terminations.
Internal and external lighting systems.
Street lighting and pathway lighting.
Garden and landscape lighting.
Façade, architectural, decorative, and attraction lighting.
Electrical supply arrangements for tourism attractions and public facilities.
Pumps, motors, starters, control systems, and allied electrical equipment.
UPS systems, battery systems, and other electrical backup systems.
Electrical installations in buildings, offices, visitor facilities, utility areas, parking areas,
gardens, and other locations as directed by the Authority.
3. Preventive Maintenance:
The agency shall assist the Authority in carrying out preventive maintenance of electrical
installations to minimize failures and breakdowns. Activities shall include:
Regular inspection and checking of electrical installations.
Checking of electrical connections, terminals, switches, breakers, contactors, relays,
and protective devices.
Tightening of electrical connections wherever required.
Checking of abnormal heating, noise, vibration, smell, or other indications of electrical

Identification and reporting of potential defects before failure.

Assistance during major breakdowns and emergency restoration works.
Maintaining adequate manpower during peak hours, holidays, festivals, special
events, and other important occasions as directed by the Authority.
5. Lighting Maintenance
The manpower shall undertake maintenance and operational support for various lighting
installations, including:
Street lights.
Garden and landscape lights.
Pathway and pedestrian lighting.
Architectural and façade lighting.
Decorative and thematic lighting.
Attraction lighting.
Internal and external building lighting.
LED fixtures, drivers, control gear, timers, contactors, sensors, and related
The agency shall assist in identifying non-functional lighting points and ensure timely
restoration as directed by the Authority.
6. Operation of Electrical Systems:
The deployed personnel shall operate electrical systems and equipment as per the
instructions of the Authority, including:
Operation of electrical panels and distribution systems.
Operation of DG sets and changeover systems, wherever assigned.
Operation of pumps, motors, starters, and associated electrical systems.
Monitoring of electrical supply and load conditions.
Operation of lighting control systems and timers.
Switching ON/OFF of electrical systems as per approved operating schedules.
7. Inspection and Monitoring
The manpower shall undertake regular rounds and inspections of assigned locations and

Electrical faults and abnormalities.
Non-functional lighting fixtures.
Damaged cables or accessories.
Loose or overheated connections.
Tripping of breakers/protection devices.
Abnormal operation of electrical equipment.
Safety hazards and unsafe electrical conditions.
Any other defect noticed during inspection.
8. Assistance in Testing and Commissioning:
The deployed manpower shall assist the Authority and authorized agencies during testing,
commissioning, shutdown, maintenance, repair, modification, installation, and trial
operation of electrical systems and equipment.
9. Shutdown and Restoration Activities:
Whenever electrical shutdowns are required for maintenance or other works, the manpower
shall assist in:
Isolation of electrical supply.
Safe switching and shutdown procedures.
Providing necessary manpower during shutdown activities.
Restoration of electrical supply after completion of work.
Ensuring that equipment is safely restored to normal operation.
All such activities shall be carried out under the direction of the designated officer/authorized
10. Electrical Safety
The agency shall ensure that all deployed manpower strictly follows electrical safety
practices, including:
Use of appropriate PPE.
Safe isolation and switching procedures.
Use of insulated tools and suitable equipment.
Maintaining safe working distances.
Proper barricading/signage wherever required.
Compliance with applicable electrical safety rules and statutory requirements.
Immediate reporting of unsafe conditions to the Authority.

11. Complaint and Breakdown Response:
The agency shall maintain an effective system for receiving and attending to electrical
complaints. The manpower shall respond within the time prescribed by the Authority and
maintain records of:
Date and time of complaint.
Nature of fault.
Action taken.
Materials/spares used, if applicable.
Time of restoration.
Pending issues, if any.
12. Assistance for Special Events and Peak Visitor Periods:
Considering the high visitor footfall at Ekta Nagar, additional manpower may be required
Weekends and public holidays.
Festivals and vacation periods.
Special events and VIP visits.
Major tourism programmes.
National and state-level events.
Special illumination and celebration programmes.
The agency shall deploy manpower as directed by the Authority during such requirements
within the contractual scope.
13. Coordination with Authority and Other Agencies:
The deployed manpower shall coordinate with:
Electrical/M&E Division of SoUADTGA.
Other departments of SoUADTGA.
Authorized contractors/agencies.
Security and facility management teams.
Other agencies engaged for operation and maintenance of attractions.
Such coordination shall be carried out as directed by the designated officers.
14. Tools, Equipment and Consumables:
The agency shall provide/manpower shall come equipped with the basic hand tools and
safety equipment required for carrying out routine electrical maintenance, as specified by

Major materials, electrical spares, replacement equipment, and specialized testing
instruments, wherever required, shall be arranged/provided as per the terms and conditions
of the RFP and instructions of the Authority.
15. Documentation and Reporting:
The agency shall maintain proper records of manpower deployment and maintenance
activities, including:
Daily attendance.
Shift-wise manpower deployment.
Daily maintenance activities.
Breakdown reports.
Preventive maintenance records.
Complaint registers.
Equipment inspection records.
Material/spare consumption records, wherever applicable.
Monthly performance reports.
Any other records required by the Authority.
16. Housekeeping of Electrical Work Areas:
After completion of maintenance activities, the deployed manpower shall ensure that the
work area is left in a clean, safe, and orderly condition. Waste materials, damaged
accessories, cable pieces, packing materials, and other debris generated during the work
shall be properly collected and disposed of as directed by the Authority.
In addition, the deployed manpower shall carry out housekeeping and cleanliness
activities at other attractions/locations under SoUADTGA, as and when assigned by
the Authority from time to time. Such housekeeping activities shall include cleaning of the
work/operational areas, removal of waste and debris, maintaining cleanliness around
equipment and installations, and any other related housekeeping work as directed by the
Engineer-in-Charge/Authorized Representative of SoUADTGA.
17. Deployment Schedule and Working Hours:
The manpower shall be deployed as per the shift pattern, working hours, locations, and
manpower requirement specified by the Authority. The agency shall ensure adequate
replacement in case of absence, leave, sickness, or non-availability of any deployed
personnel so that the required manpower strength is maintained at all times.
18. Supervision and Discipline:
The agency shall ensure proper supervision and discipline of all deployed manpower. The
personnel shall:

Report on time.
Wear prescribed uniform/PPE, wherever applicable.
Carry valid identification.
Follow instructions of authorized officers.
Maintain professional conduct.
Not leave the assigned location without permission.
Maintain confidentiality and security of Authority's installations and information.
19. Additional Electrical Maintenance Works
The Authority may assign other electrical maintenance and allied works of similar nature
at any location under its jurisdiction, as may be required from time to time. The deployed
manpower shall undertake such works within their competency and qualification under the
direction of the Authority.
20. General Responsibility of the Agency
The selected agency shall be responsible for ensuring that the manpower deployed under
this RFP remains qualified, competent, physically fit for the assigned duties, properly
trained, adequately supervised, and available throughout the contract period.
The agency shall comply with all applicable labour laws, statutory requirements, safety
provisions, minimum wage requirements, EPF/ESIC and other applicable regulations relating
to the deployed manpower.
The entire scope shall be executed with the objective of ensuring safe, reliable, efficient,
and uninterrupted operation of electrical installations and infrastructure at various
locations under SoUADTGA.
21. Penalty for Non-Performance:
In case of short deployment/absence of manpower, deployment of unqualified
manpower, delay in attending breakdowns, poor maintenance, safety lapses, or
non-compliance with the instructions of the Authority, a penalty of ₹5,000/- per
day per instance shall be imposed.
For continued non-compliance beyond 48 hours, the penalty shall continue until
satisfactory compliance/rectification.
The Authority may arrange manpower or carry out the required work through a third
party at the risk and cost of the Contractor, recoverable from pending bills/security
The maximum penalty shall be limited to 10% of the monthly contract value. Repeated
or continuous non-compliance for three consecutive months may result in further
action, including termination of the contract and/or forfeiture of Performance
Security, as per the RFP terms.

1.3.2 Performance Security:
The selected bidder shall, within 15 (fifteen) days from the execution date of this O&M
Contract or LoA provided (whichever is earlier) provide the Authority with an
irrevocable and unconditional bank guarantee equivalent to 5% of the Contract
Value in the form specified in Annexure J ("Performance Security"). Until the
Performance Security is furnished and becomes effective, the Bid Security shall
remain in force. Upon the provision of the Performance Security, the Authority shall
release the Bid Security to the selected bidder. The selected bidder shall be
responsible for the submission of the performance security and signing of the
contract within 15 working days from the date of LoA Acceptance Day.
The term of the Performance Security shall be for the entire contract duration from the
day of Letter of Award. In case of the renewal of the Performance Security, the
selected bidder shall replace the existing performance security with the renewal of the
performance security. During the entire contract period, the authority must have the
5 % of the Contract Value of the performance security under this contract.
In the event of a default by the selected bidder during the Term, the Authority, without
prejudice to its other rights and remedies, shall have the right to encash and
appropriate relevant amounts from the Performance Security as damages for such
default. Following any partial encashment, the selected bidder must replenish the
Performance Security to its original amount within 30 (thirty) days. If the entire
Performance Security is appropriated, the selected bidder must provide a fresh
Performance Security within the stipulated period, failing which the Authority may
terminate this O&M Contract. Upon replenish mentor provision of a new Performance
Security, the selected bidder shall be granted an additional 90-day Cure Period to
remedy the default. If the default is not cured within this period, the Authority may
again en cash the Performance Security and proceeds with termination.
1.3.3 Compliance Report Submission
The selected bidder shall be responsible for submitting a compliance report for the
previous month during first week of every month, which shall include the following
i. Manpower Deployment: A report on the deployment of manpower,
including their attendance records and current designation.
ii. Operations and Maintenance Compliance: A track record demonstrating
compliance with the operations and maintenance duties.
iii. Financial Transparency: A transaction statement, including bank copies,
to ensure transparency in financial transactions.
iv. Other Financial Transactions: A detailed account statement of all other

financial transactions conducted by the bidder, under the full scope of the
1.3.4 Sub contracting for Partial or Full Scope of Work
Under this RFP, there is no provision for the partial or full subcontracting of the scope of
work by the selected bidder.
1.3.5 Taxes and Statutory Permission Responsibilities during Contract:
The selected bidder shall be solely responsible for all applicable taxes, duties, EPF,
ESIC, labour laws, insurance, licenses, registrations, and statutory compliances
related to the deployed manpower.
The bidder shall obtain and maintain all required permissions, licenses, and certificates
and undertake necessary liaison with concerned authorities.
Any non-compliance shall be the sole responsibility of the bidder and may attract penalty
and/or termination of the contract as per the RFP terms.
1.3.6 Termination of the Contract
a) By the authority: The AUTHORITY shall have the right to terminate this
agreement on any one or more of the following grounds:
Subject to Force Majeure, the Selected Bidder fails to commence
commercial operation of the scheduled property within 15 (Fifteen days)
from the date of signing the Agreement.
The scheduled property is used by the Selected Bidder for purposes
other than those specified in this Agreement.
Subject to Force Majeure, the Selected Bidder fails to substantially
perform or comply with any commitment, agreement, covenant, term, or
condition of this Agreement.
If the Selected Bidder fails to remedy any act of default as stipulated in
this Agreement within 30 (Thirty) days after receiving written notice of
default from the Authority.
If any representation or warranty made by the Selected Bidder is
intentionally false or misleading in any material respect when made, and
such false or misleading representation or warranty either has a
material adverse effect on the Development or has resulted in an unfair
competitive advantage materially benefiting the Selected Bidder in the
offer selection process, considering the Selected Bidder 's response to
the offer in total.
b) By the Selected Bidder: The Selected bidder shall have right to terminate this
agreement with penalty of the encashment of the performance security

submitted by the bidder under following conditions:
The selected bidder shall have the option to terminate the agreement at
any time before its expiry by providing clear written notice of 6 (Six)
months to the authority, intimating its intention to do so. However, the
selected bidder shall not be released from its obligations under this
agreement unless and until it restores the use of the entirety of the
property, makes payment of all sums payable to the authority under this
agreement,anddischargesallliabilitiesunderanyapplicableruleorlaw. The
selected bidder shall continue to fulfill its obligations and maintain
operation of the property until it is officially released from its obligations
by the authority.
In the event that the recovery amount, damages to the property,
restoration costs, or misconduct by the selected bidder exceed the
performance security amount, the authority shall have the right to
recover the excess amount in full without any further obligations.
1.3.7 Force Majeure
Force Majeure under this O&M Contract shall mean any occurrence within India of
Non-Political Events, Indirect Political Events, or Political Events, that affects the
performance of obligations by the Party claiming Force Majeure (the “Affected Party”).
The event must:
Be beyond the reasonable control of the Affected Party.
Not be preventable or overcome by the Affected Party through due
diligence and adherence to Good Industry Practice.
Have a Material Adverse Effect on the Affected Party.
a) Non-Political Event
1. Natural occurrences such as acts of God, epidemics, extreme
weather conditions, earthquakes, floods, volcanic eruptions,
chemical or radioactive contamination, and fires.
2. Strikes, boycotts, arson, or theft disrupting services for more than24
continuous hours and exceeding 7 days in an Accounting Year,
provided these do not involve the Service Provider or their
representatives.
3. Failures or delays by a Contractor caused by Non-Political Events,
excluding any compensation payable to the Service Provider.
4. Judgments or orders against the Service Provide run related to non-
compliance with laws, contracts, or the O&M Contract.
5. Events analogous to the above.

b) Indirect Political Event
1. Acts of war, invasion, armed conflict, foreign enemy actions,
blockades, embargoes, riots, insurrections, terrorism, civil
commotion, or politically motivated sabotage.
2. Industry-wide or State-wide strikes or industrial actions lasting over
24 continuous hours and exceeding 7 days in an Accounting Year.
3. Failures or delays by a Contractor caused by Indirect Political
Events, excluding any compensation payable to the Service
4. Indirect Political Events causing Non-Political Events.
5. Events analogous to the above.
c) Political Event
1. Compulsory acquisition or expropriation of rights by a Government
Instrumentality.
2. Unlawful or unauthorized revocation, denial, or refusal to grant
renewals or approvals necessary for the Service Provider to perform
under the O&M Contract.
Upon the occurrence of a Force Majeure Event, the Affected Party shall immediately
notify the Authority, providing full particulars of the event. The notice must detail the
nature and extent of the Force Majeure Event, supported by evidence; the estimated
duration and the actual or probable impact on the Affected Party’s performance under
this O&M Contract; the measures being taken or proposed to mitigate the effects of the
event; and any other relevant information pertaining to the Affected Party’s claim.
As soon as reasonably practicable but not more than 48 (forty-eight) hours following
the date of commencement of any event of Force Majeure, an Affected Party shall
notify the other Party of the event of Force Majeure setting out, interalia, the following
in reasonable detail:
The date of commencement of the event of Force Majeure.
The nature and extent of the event of Force Majeure.
The estimated Force Majeure Period,
Reasonableproofofthenatureofsuchdelayorfailureanditsanticipatedeffect upon
the time for performance and the nature of and the extent to which, the
performance of any of its obligations under the Agreement is affected by the

alleviate/mitigate the impact of the Force Majeure and to resume the
performance of such of its obligations affected thereby.
Any other relevant information concerning the Force Majeure and/or the rights
and obligations of the Parties under the Agreement.

1.3.8 Jurisdiction and Dispute Resolution
In the event that the Parties are unable to agree in good faith about the occurrence or
existence of a Force Majeure Event, such Dispute shall be finally settled in
accordance with the Dispute Resolution Procedure; provided that the burden of proof
as to the occurrence or existence of such Force Majeure Event shall be upon the
Party claiming relief and/or excuse on account of such Force Majeure Event.
The parties to this agreement hereby expressly confer exclusive jurisdiction on the
courts of Rajpipla to entertain any proceedings arising out of or related to this
1.3.9 Handover of the Assets at the End of the Contract
All Movable/immovable property, including those upgraded by the selected bidder,
shall be handed over to the authority, free of cost, in an "as-is-where-it-is" condition
with all assets fully operational, with all working conditions, guarantee, warrantee
certificates and insurance, permissions, licenses and certificates.
The selected bidder indemnifies and holds the authority harmless from and again stall
liabilities, losses, claims, damages, costs, and expenses that may be incurred or
asserted against the authority, or any liability accrued by the selected bidder during
the period of this agreement.
1.4 Brief description of bidding Process
The Authority has adopted a single-stage two envelope process (the “Bidding
Process”) for identification of the Selected Bidder. All bidders (The “Bidder”, which
expression shall, unless repugnant to the context, shall simultaneously submit their
relevant qualification details for the purpose of meeting the Eligibility Criteria and
Technical and Financial Capacity; along with the Technical Document (defined later)
submission (all fore going submissions collectively referred to as the “Technical Bid”),
and The Financial Proposal shall be evaluated based on the Lowest Rate (L1)
offered by the bidder over and above the estimated rate, for the Deployment of
Manpower for various Electrical maintenance work under the jurisdiction of
SoUADTGA, Ekta Nagar.
1.4.1 Package One
In the first step, Technical Bids of all Bidders shall be evaluated to determine as to
whether they are responsive in terms of Clause 3.2 and whether they meet the
minimum eligibility criteria, and Technical and Financial Capacity as set forth in
Clause 2.2.2 of this RFP for undertaking the Project.
1.4.2 Package Two
In the next step, the Bidders meeting the Minimum Eligibility Criteria and the Financial

1.4.3 Qualified Bidders
Only those Bidders, who meet the minimum eligibility criteria, comply with all
submission requirements and prescribed forms outlined in the RFP, and have

1.4.5 Bid Security & Tender Fee

fees of INR 2950 (Indian Rupes Two Thousand Nine Hundred and Fifty Only) in
the name of ‘SoUADTGA’ in the form of DD.
In terms of the RFP, a Bidder is required to deposit, along with its Bid, a bid security
equivalent to an amount of INR 85,000 (Indian Rupees Eighty Five Thousand only)
as the Bid Security (“Bid Security”).The Bid Security will be refundable, not later than
180 (One Eighty) days from the Bid Due Date except in the case of the Selected
Bidder whose Bid Security shall be retained till it has provided a Performance
Security under the Contract. The Bidders will have to provide Bid Security in the form
of a Bank Guarantee format set out in Annexure E OR DD or FD in Favor of
“SoUADTGA” payable at Ekta Nagar acceptable to the Authority, and the validity
period of the Bank Guarantee, shall not be less than180 (One Eighty) days from the
Bid Due Date, and maybe extended as may be mutually agreed between the
Authority and the Bidder from time to time. The Bid shall be summarily rejected if it is
not accompanied by the Bid Security. The original copy of the Demand Draft shall be
submitted along with the Enclosures of Proposal and the scanned copy of the DD
shall be uploaded along with the Technical Proposal on the n-Procure Portal.

For avoidance of doubt, it is clarified that the Bid shall be submitted on or before the

2.1.6 The Financial Bid shall be submitted on the n-Procure Portal as per the format
specified therein. The format provided at Appendix-II is for illustrative purposes
only. The Financial Proposal (the “Financial Bid”) shall clearly indicate the amount
quoted by the bidder (above/below) on estimated cost of the RFP, in both figures
and words, in percentage value, and signed by the Applicant’s Authorized
Representative.
In the event of any difference between figures and words, the percentage indicated
in words shall prevail.
2.1.7 The Bidder shall deposit a Bid Security in accordance with the provisions of
this RFP. The Bidder has to provide the Bid Security in the form of a Bank
Guarantee as per format set forth in Annexure-E of Appendix-I or in the form of DD,
acceptable to the Authority.
2.1.8 The validity period of the Bank Guarantee shall not be less than 180 (One

2.1.9 The Bidder should submit a Power of Attorney as per the format set forth in

2.1.13 A Bidder shall not have a conflict of interest, as more specifically described
below (the “Conflict of Interest”) that affects the Bidding Process. Any Bidder
found to have a Conflict of Interest shall be disqualified. In the event of
disqualification, the Authority shall forfeit and appropriate the Bid Security or
Performance Security, as the case may be. The Bidder acknowledges and agrees
such forfeiture and appropriation of the Bid Security or Performance Security (as the
case maybe) is reasonable and represents the mutually agreed genuine pre-
estimated loss and damages likely to be suffered and incurred by the Authority and
not by way of penalty for, inter alia, the time, cost, and effort of the Authority,
including consideration of such Bidder’s proposal (“Damages”). The Bidder
acknowledges and agrees that such forfeiture and appropriation of the Bid Security
or Performance Security (as the case may be) is without prejudice to any other right
or remedy that may be available to the Authority hereunder or otherwise.
Without limiting the generality of the above, a Bidder shall be considered to
have a Conflict of Interest that affects the Bidding Process, if:
i) The Bidder, its Member or Associate (or any constituent thereof) and
any other Bidder, its Member or Associate (or any constituent thereof)
have common controlling shareholders or other ownership interest;
provided that this disqualification shall not apply in cases where the
director indirect shareholding of a Bidder, its Member or an Associate
thereof or any shareholder thereof having a shareholding is more than
25% (twenty five percent)of the paid up and subscribed share capital of
such Bidder, Member or Associate, as the case may be, in the other
Bidder(s), its Member or Associate is not more than 25% (twenty five
per cent)of the paid up and subscribed equity share capital thereof;
provided further that this disqualification shall not apply to any
ownership by a bank, insurance company, pension fund or a public
financial institution referred to in section 2 (72) of the Companies Act,
2013. For the purposes of this Clause 2.1.13, indirect shareholding held
through one or more intermediate persons shall be computed as
follows: (aa) where any intermediary is controlled by a person through
management control or otherwise, the entire shareholding held by such
controlled intermediary in any other person (the “Subject Person”) shall
be taken into account for computing the share holding of such
controlling person in the Subject Person; and (bb) subject always to

subscribed and paid up equity shareholding of such intermediary; or
ii) A constituent of such Bidder is also a constituent of another Bidder; or
iii) such Bidder, its Member or any Associate thereof receives or has
received any direct or indirect subsidy, grant, concessional loan or
subordinated debt from any other Bidder, its Member or Associate, or
has provided any such subsidy, grant, concessional loan or
subordinated debt to any other Bidder, its Member or Associate; or
iv) such Bidder has the same legal representative for purposes of this Bid
as any other Bidder; or
v) such Bidder or any Associate thereof has a relationship with another
Bidder or any Associate thereof, directly or through common third
parties, that puts them in a position to have access to each other’s
information about, or to influence the Bid of either or each of the other

person, whether by operation of law.
2.1.14 Any award of the Project shall be subject to the terms of Bidding Documents.
A Bidder shall be liable for disqualification and forfeiture of Bid Security if any legal,
financial or technical adviser of the Authority in relation to the Project is engaged by

herein or in the LOA or the Contract and without prejudice to any other right or remedy
of the Authority, including the forfeiture and appropriation of the Bid Security or
Performance Security, as the case may be, which the Authority may have there under
or otherwise, the LOA or the Contract, as the case may be, shall be liable to be
terminated without the Authority being liable in any manner whatsoever to the
Selected Bidder or Service Provider for the same. For the avoidance of doubt, this
disqualification shall not apply where such adviser was engaged by the Bidder, its
Member or Associate in the past but its assignment expired or was terminated prior to
the Bid Due Date. Nor will this disqualification apply where such adviser is engaged
after a period of 3 (three) years from the date of completion of the Project Term.

Annexes, the certificate(s) from its statutory auditors specifying the Net Worth of the
Bidder at the close of the financial year preceding the Bid Due Date and also
specifying that the methodology adopted for calculating such Net Worth conforms to
the provisions of Clause 2.2.2. In case the annual accounts for the latest financial
year are not audited and therefore the Bidder cannot make it available, the Bidder
shall give an undertaking to this effect and the statutory auditor shall certify the
same. In such a case, the Bidder shall provide the audited financial statements for
the financial year proceeding the latest financial year for which the audited annual
report is not being provided.
2.2.6 No alteration/Changes in the bid
No change in the composition of the submitted bids is allowed subsequent to the
submission of the Bid during the Bidding Process or incase of the Selected Bidder
during the Term of the Project, otherwise the bid shall be disqualified and Bid Security

2.5 Sites visit and verification of information

communication in writing by the Authority to the Bidder, without the Authority
being liable in any manner whatsoever to the Bidder or Selected Bidder, as the
case may be. In such an event, the Authority shall have a right to forfeit and
appropriate the Bid Security or Performance Security, as the case may be, as
compensation and Damages payable to the Authority for, inter alia, time, cost,
and effort of the Authority, without prejudice to any other right or remedy that

2.8 Clarifications
Bidders requiring any clarification on the Bidding Documents including the RFP
may notify the Authority in writing e-mail in accordance with Clause 2.1. They
should send in their queries before the date mentioned in the schedule of
Bidding Process specified in DATA SHEET. The Authority shall endeavor to
respond to the queries within the period specified therein, but no later than
5(five) days prior to the Bid Due Date. The responses will be uploaded on the

2.9 Amendment of RFP
At any time prior to the deadline for submission of Bids, the Authority may, for
any reason, whether at its own initiative or in response to clarifications
requested by a Bidder, modify the RFP by the issuance of an addendum

2.10 Format and Signing of Bid

Authority will evaluate only those Bids that are received in the required formats

signatory of the Bidder who shall also initial each page, in blue ink. In case of
printed and published documents, only the cover shall be initialed. All the
alterations, omissions, additions, or any other amendments made to the Bid
shall be initialed by the person(s) signing the Bid.
2.11 Sealing and Marking of Bids
The Bidder shall submit the Technical Bid online on the n-Procure Portal with
all scanned pages (in proper resolution) numbered serially and by giving an
index of documents. Each page of the documents shall be initiated by the
Authorized Representative of the Bidder as per the terms of the RFP. In case
the Proposal is submitted on the document downloaded from Official Website,
the Bidder shall be responsible for its accuracy and correctness as per the
version uploaded by the Authority and shall ensure that there are no changes
caused in the content of the downloaded RFP document. In case of any
discrepancy between the downloaded or photocopied version of the RFP and
the original RFP issued by the Authority, the latter shall prevail.
The Financial Proposal shall be submitted online on the n-Procure Portal
only. There shall be no physical hard copy submission of the Financial
Proposal under any circumstance. Any submission of the Financial
Proposal in hard copy shall lead to the Proposal being rejected /
disqualified in its entirety and declared as non-responsive.
One Copy of the Technical Bid shall be placed in binding and the pages shall
be numbered serially. Each page thereof shall be initiated by the authorized
signatory. This document shall be placed in a separate envelope and marked
“COPY OF DOCUMENTS”. The envelopes, specified in Clauses 2.11 shall be
placed in an outer envelope, which shall be sealed. All the envelopes shall
clearly bear the following identification:

Each of the envelopes shall be addressed to the address mentioned in the
RFP. If the envelopes are not sealed and marked as instructed above, the
Authority assumes no responsibility for the misplacement or premature
opening of the contents of the Bid submitted. Bids submitted by telegram, or e-
mail shall not be entertained and shall be rejected.
2.12 Bid due Date and Time
Bids should be submitted on or before the time specified in DATA SHEET on
or before the Bid Due Date at the address provided in RFP Document in the
manner and form as detailed in this RFP.
The Authority may, in its sole discretion, extend the Bid Due Date and
specified time by issuing an Addendum in accordance with Clause
uniformly for all Bidders.
Bids received by the Authority after the specified time on the Bid Due Date
shall not be eligible for consideration and shall be summarily rejected and
returned unopened.
2.14 Contents of the Bid
The Technical Bid for the Project shall be furnished in the formats provided
under Appendix– I. The Financial Bid shall be submitted online only on the n-
Procure Portal. The Financial Proposal shall not be submitted physically in

2.15 Modifications/ Substitution/ Withdrawal of Bids

substituted, or withdrawn by the Bidder on or after the Bid Due Date.

2.16 Rejection of Bids
If any Bid received by the Authority is found not signed and/or sealed and/or
marked as stipulated in Clauses 2.10 and 2.11, and/or not accompanied by the
Bid Security, it may be summarily rejected. Not with standing anything
contained in this RFP, the Authority reserves the right to reject any Bid and to
annul Bidding Process and to reject all Bids at any time without any liability or
any obligation for such acceptance, rejection, or annulment, and without
assigning any reason whatsoever. In the event that the Authority rejects or
annuls all the Bids, it may, in its discretion, invite fresh Bids hereunder.
The Authority reserves the right not to proceed with the Bidding Process at any
time, without notice or liability, and to reject any Bid without assigning any

The Bids shall be valid for a period of not less than 180 (One Eighty) days from

Information relating to the examination, clarification, evaluation, and
recommendation for the Bidders shall not be disclosed to any person who is
not officially concerned with the Bidding Process or is not a retained
professional advisor advising the Authority in relation to or matters arising out
of, or concerning the Bidding Process. The Authority will treat all information,
submitted as part of the Bid, in confidence and will require all those who have
access to such material to treat the same in confidence. The Authority may not

assert any right or privilege of the statutory entity and/ or the Authority or as
may be required by law or in connection with any legal process.
2.19 Correspondence with the Bidder
The Authority shall not entertain any correspondence with any Bidder in
relation to acceptance or rejection of any Bid.

2.20 Bid Security
The Bidder shall furnish as part of its Bid, a Bid Security in the form of a bank
guarantee or DD or FD issued by a Scheduled Bank in India, in favor of the
Authority in the format set (in case of Bank Guarantee) forth in Annexure E of
Appendix–I (the “Bank Guarantee”) and having a validity period of not less than
180 (One Eighty) days from the Bid Due Date, as may be extended by the
Bidder from time to time. For the avoidance of doubt, “Scheduled Bank” shall
mean a bank as defined under the finance department order. Guarantees issued

All the eligible banks are instructed to collect the original documents / papers of

to pay any interest on the Bid Security deposit so made and the same shall be

The Authority shall be entitled to forfeit and appropriate the Bid Security as
Damages inter alia in any of the events specified in Clause 2.20 herein below. The
Bidder, by submitting its Bid pursuant to this RFP, shall be deemed to have
acknowledged and confirmed that the Authority will suffer loss and damage on
account of withdrawal of its Bid or for any other default by the Bidder during the Bid
validity period. No relaxation of any kind on Bid Security shall be given to any
Bidder. The Bid Security shall be forfeited and appropriated by the Authority as
Damages without prejudice to any other right or remedy that may be available to

3. EVALUATION OF BIDS
3.1 Opening and Evaluation of Bids
3.1.1 The Authority shall open the Technical Bid at the prescribed time in DATA
SHEET, at the office of the following authority and record the names of the
Bidders from whom Bids are received.
3.1.2 The Authority will subsequently examine and evaluate the Bids in
accordance with the provisions set out in this RFP.
3.1.3 To facilitate evaluation of Technical Bid, the Authority may, at its sole
discretion, seek clarifications in writing from any Bidder regarding its
3.2 Tests of responsiveness
As part of the evaluation of Technical Bids, the Authority shall determine
whether each Bid is responsive to the requirements of the RFP. A Bid shall be
considered responsive only if (as applicable):
It is received as per the format at Appendix–I.
It is received by the Authority on or before the specified time on the Bid Due
Date including any extension there of pursuant to RFP and Corrigendum (if

3.2.1 The Authority reserves the right to reject any Bid which is non-responsive and
no request for alteration, modification, substitution, or withdrawal shall be
entertained by the Authority in respect of such Bid.
3.3 Selection of Bidder
3.3.1 The Bidders considered as responsive in terms of Clause 3.2 and fulfilling the
Minimum Eligibility Criteria as set forth in Clause 2.2.2 shall be further
evaluated based on the evaluation criteria set forth in the RFP.
3.3.2 Financial Bids of only Qualified Bidders shall be considered for evaluation and
shall be invited for the opening of Financial Bids.

3.3.3 Public Procurement process to be followed is Lowest (L1) Cost based

Security of such Bidder as Damages on account of failure of the Selected
Bidder(s) to acknowledge the LOA, and the next eligible Bidder may be

4. FRAUD AND CORRUPT PRACTICES
4.1 The Bidders and their respective officers, employees, agents, and advisers
shall observe the highest standard of ethics during the Bidding Process and
subsequent to the issue of the LOA and during the subsistence of theContract.
4.2 Notwithstanding anything to the contrary contained herein, or in the LOA or
the Contract, the Authority shall reject a Bid, withdraw the LOA, or terminate
the Contract, as the case may be, without being liable in any manner
whatsoever to the Bidder or successful Bidder, as the case maybe, if it
determines that the Bidder or successful Bidder, as the case may be, has,
directly or indirectly or through an agent, engaged in corrupt practice,
fraudulent practice, coercive practice, undesirable practice or restrictive
practice in the Bidding Process. In such an event, the Authority shall forfeit and
appropriate the Bid Security or Performance Security, as the case may be, as
Damages without prejudice to any other right or remedy that may be available
to the Authority hereunder or otherwise.
4.3 Without prejudice to the rights of the Authority under Clause
hereinabove and the rights and remedies which the Authority may have under
the LOA or the Contract, if a Bidder or service provider, as the case may be, is
found by the Authority to have directly or indirectly or through an agent,
engaged or indulged in any corrupt practice, fraudulent practice, coercive
practice, undesirable practice or restrictive practice during the Bidding
Process, or after the issue of the LOA or the execution of the Contract, such
Bidder or service provider shall not be eligible to participate in any tender or
RFP issued by the Authority during a period of 2 (two) years from the date
such Bidder or service provider, as the case may be, is found by the Authority
to have directly or indirectly or through an agent, engaged or indulged in any
corrupt practice, fraudulent practice, coercive practice, undesirable practice or
restrictive practices, as the case may be.
4.4 For the purposes of this Clause 4, the following terms shall have the
meaning hereinafter respectively assigned to them:
a) “Corrupt practice” means the offering, giving, receiving, or soliciting, directly or
indirectly, of anything of value to influence the actions of any person connected
with the Bidding Process(for avoidance of doubt, offering of employment to or
employing or engaging in any manner whatsoever, directly or indirectly, any
official of the Authority who is or has been associated in any manner, directly
or indirectly with the Bidding Process or the LOA or has dealt with matters
concerning the Contractor arising there from, before or after the execution
thereof, at any time prior to the expiry of one year from the date such official
resigns or retires from or otherwise ceases to be in the service of the Authority,

shall be deemed to constitute in fluencing the actions of a person connected

b) “Fraudulent practice” means a misrepresentation or omission of facts or
suppression of facts or disclosure of incomplete facts, in order to influence the
Bidding Process.
c) “Coercive practice” means impairing or harming, or threatening to impair or
harm, directly or indirectly, any person or property to influence any person’s
participation or action in the Bidding Process.
d) “Undesirable practice” means (I) establishing contact with any person
connected with or employed or engaged by the Authority with the objective of
canvassing, lobbying or in any manner influencing or attempting to influence
the Bidding Process; or (ii) having a Conflict of Interest; and
e) “Restrictive practice” means forming a cartel or arriving at any understanding
or arrangement among Bidders with the objective of restricting or manipulating
a full and fair competition in the Bidding Process.

5. PRE-BID CONFERENCE (Offline).
5.1 Pre-bid conferences of the Bidders shall be convened at the designated date,
time and place provided in the DATA SHEET of the RFP. A maximum of
(two) representatives of each Bidder shall be allowed to participate on
production of authority letter from the Bidder.
5.2 During the course of pre-bid conference, the Bidders shall be free to seek
clarifications and make suggestions for consideration of the Authority. The
Authority shall endeavor to provide clarifications and such further information
as it may, at its sole discretion, consider appropriate for facilitating a fair,
transparent, and competitive Bidding Process.
5.3 There would additionally be a site visit organized on the date of pre-bid.

6. MISCELLANEOUS
6.1 The Bidding Process shall be governed by, and construed in accordance with,
the laws of India and the Courts at Rajpipla, Gujarat shall have exclusive
jurisdiction over all disputes arising under, pursuant to and/or in connection
with the Bidding Process.
6.2 The Authority, in its sole discretion and without incurring any obligation or
liability, reserves the right, at any time, to.
a) Suspend and/or cancel the Bidding Process and/or amend and/or supplement
the Bidding Process or modify the dates or other terms and conditions relating
b) Consult with any Bidder in order to receive clarification or further information.
c) Retain any information and/or evidence submitted to the Authority by, on
behalf of, and/or in relation to any Bidder; or
d) Independently verify, disqualify, reject and/or accept any and all submissions
or other information and/or evidence submitted by or on behalf of any Bidder.
6.3 It shall be deemed that by submitting the Bid, the Bidder agrees and releases
the Authority, its employees, agents and advisers, irrevocably, unconditionally,
fully and finally from any and all liability for claims, losses, damages, costs,
expenses or liabilities in any way related to or arising from the exercise of any
rights and/ or performance of any obligations hereunder, pursuant hereto and/
or in connection herewith and waives any and all rights and/ or claims it may
have in this respect, whether actual or contingent, whether present or future.
7. NEGOTIATIONS
7.1 Negotiations will be held at the address indicated in the Data Sheet. The invited
Bidder(s) will, as a pre-requisite for attendance at the negotiations, confirm
availability of all Professional staff. Failure in satisfying such requirements may
result in SoUADTGA proceeding to negotiate with the next- ranked Applicant.
Representatives conducting negotiations on behalf of the Bidder(s) must have
written authority to negotiate and conclude a Contract.
7.2 Technical Negotiations: Negotiations will include a discussion of the Technical
Proposal, the proposed technical approach and methodology, work plan, and
organization and staffing, and any suggestions made by the Bidder(s) to improve
the Terms of Reference. SoUADTGA and the Bidder(s) will finalize the Terms of
Reference, staffing schedule, work schedule, logistics, and reporting. These
documents will then be incorporated in the Contract as “Description of Services”.

assignment. SoUADTGA shall prepare minutes of negotiations which will be
signed by SoUADTGA and the selected Applicant.
7.3 Conclusion of the negotiations: Negotiations will conclude with a review of the
draft Contract. To complete negotiations SoUADTGA and the selected Bidder(s)
will initial the agreed Contract. If negotiations fail, SoUADTGA will invite the
Bidder(s) whose Proposal received the second highest score to negotiate a
contract or to cancel the bidding process at any stage.
8. Award of Contract:
8.1 After completing the negotiations, the letter of award (LOA) /Work Order shall be
given to the Bidder(s) who shall quoted Lowest (L1) Cost based Selection during
the evaluation of the proposal.
8.2 If the selected Bidder(s) fails to execute a contract with the SoUADTGA with
required Security Deposit within 15 business days, the SoUADTGA may elect to
cancel the selection and award to the next highest-ranking (L2) Applicant.
8.3 The SoUADTGA reserves the right to contract for all or a partial list of services
offered in the proposal. The tender and the selected Bidder(s) proposal will become
part of the contract between the SoUADTGA and the selected Applicant.
8.4 The selected Bidder(s) is expected to commence work once a letter of award
(LOA) /Work Order has been issued or the contract has been signed, whichever is
8.5 Contract Duration
The contract shall remain valid for a period of 12 (Twelve) months from the date of
commencement of the contract. The contract may be extended for a further period of
up to 12 (Twelve) months, subject to satisfactory performance and mutual agreement
between the Bidder/Agency and SoUADTGA.
During the extended period, the contract rates shall remain the same, except that the
amount payable towards manpower shall be revised proportionately in accordance
with the revision/increase in the Minimum Wages notified by the Government of
Gujarat from time to time, as applicable to the manpower deployed under this contract.
No other escalation or increase in the contract rates shall be admissible.
9. Payment Schedule
Payments to the selected bidder shall be made on a Monthly O&M Basis, linked to SLA
compliance, manpower deployment, and performance reports.

Society/Firm } incorporated under relevant laws of or from outside India

18. I/We hereby irrevocably waive any right which we may have at any stage at law
or howsoever otherwise arising to challenge or question any decision taken by
the Authority in connection with the selection of the Bidder, or in connection

claimed is due to the Authority by reason of failure of the Bidder to fulfil and
comply with the terms and conditions contained in the Bidding Documents
including inter alia the Failure of the Bidder to:
(a) Keep its Bid valid and open during the Bid validity period, as set forth in
the said Bidding Documents, for any reason whatsoever.
(b) Sign the Letter of Award and/or the Contract, within the specified time

(d) Any such demand made on the Bank shall be conclusive as regards amount

winding up of the Bidder or the Bank or any absorption, merger or

5. In order to give full effect to this Guarantee, the Authority shall been titled to
treat the Bank as the principal debtor. The Authority shall have the fullest liberty
without affecting in any way the liability of the Bank under this Guarantee from
time to time to vary any of the terms and conditions contained in the said
Bidding Documents or to extend time for submission of the Bids or the Bid
validity period or the period for conveying acceptance of Letter of Award by the

sufficiently given or made if addressed to the Bank and sent by courier or by

7. We undertake to make the payment on receipt of your notice of claim on us

provisions of the O&M Contract.

Provider is in default shall be final, and binding on the Bank, notwithstanding any
differences between the Authority and the Service Provider, or any dispute between
them pending before any court, tribunal, arbitrators or any other authority or body, or
by the discharge of the Service Provider for any reason whatsoever.
6. In order to give effect to this Guarantee, the Authority shall be entitled to act
as if the Bank were the principal debtor and any change in the constitution of
the Service Provider and/or the Bank, whether by their absorption with any
other body or corporation or otherwise, shall not in any way or manner affect
the liability or obligation of the Bank under this Guarantee.
7. It shall not be necessary, and the Bank hereby waives any necessity, for the
Authority to proceed against the Service Provider before presenting to the
Bank its demand under this Guarantee.
8. The Authority shall have the liberty, without affecting in any manner the
liability of the Bank under this Guarantee, to vary at any time, the terms and
conditions of the O&M Contract or to extend the time or period for the
compliance with, fulfillment and/ or performance of all or any of the obligations
of the Service Provider contained in the O&M Contract or to postpone for any
time, and from time to time, any of the rights and powers exercisable by the
Authority against the Service Provider, and either to enforce or for bear from
enforcing any of the terms and conditions contained in the Contract and/or the
securities available to the Authority, and the Bank shall not be released from
its liability and obligation under these presents by any exercise by the
Authority of the liberty with reference to the matters aforesaid or by reason of
time being given to the Service Provider or any other forbearance, indulgence,
act or omission on the part of the Authority or of any other matter or thing

for this provision have the effect of releasing the Bank from its liability and
obligation under this Guarantee and the Bank hereby waives all of its rights
under any such law.
9. This Guarantee is in addition to and not in substitution of any other guarantee
or security now or which may hereafter be held by the Authority in respect of
or relating to the O&M Contract or for the fulfillment, compliance and/or
performance of all or any of the obligations of the Service Provider under the

of this Contract. On successful completion of Term and upon request made by
the Service Provider for release of the Performance Security along with the
particulars required hereunder, duly certified by a statutory auditor of the
Service Provider, the Authority shall release the Performance Security
