12. Bids without Tender fees or Earnest Money Deposit (EMD) or Both, and which does not fulfill all

or any of the conditions as mentioned in Clause 13 & 14 of Part-3 of Bid Document or is submitted

incomplete in any respect, shall be rejected.

13. Conditional Bids with any Deviation shall not be accepted.

14. DGVCL reserves the right to reject any or all the Bids or split the work between more than one

Bidder without assigning any reason thereof.

is already executing work and/ or Letter of Acceptance/ purchase order awarded to them by

another Company, then the firm should be allowed to complete such awarded work / supply.

● The amount of EMD/ SD/ any payment against supply withheld at the instance of GUVNL or

any of its subsidiary Companies shall be appropriated against the dues recoverable from the firm

by GUVNL or any of its subsidiary Companies. EMD/ SD/ PG in the form of bank Guarantee

shall be encashed and appropriated.

● The Stop dealing/ Banned for business dealing/ blacklist shall be Firm- specific and when a Firm

is put on Stop dealing/ Banned for business dealing/ blacklist, all the manufacturing works of the

Firm shall be on Stop dealing/ Banned for business dealing/ blacklist for GUVNL and its

Subsidiary Companies & for all Services of the Firm.

● If the Firm placed on Stop Dealing/ Banned for business dealing/ blacklist is a Proprietary

Concern, then all the Concerns of the same Proprietor shall also be considered to be on Stop

Dealing/ Banned for business dealing/ blacklist. The Managing Dirctor of the concerned

Company may however, if he considers it to be in the interest of the Company, remove the ban

in respect of any specific Service / Supply, for his Company only.

18. Offers of only those firms or individuals, who are themselves technically capable and sound for

providing such services as per Part-2 eligibility Criteria and who give satisfactory evidence of such

experience, shall only be considered.

19. Self-certified copies of documents shall be submitted in support of claims made by the party and the

party shall provide the original copies of documents for verification by DGVCL officials, if asked.

Details of similar work done ONLY in the last three Financial years along with copies of the orders

and Work Completion Documents/certificates from the customers are to be attached with the Bid

Documents as per Part-2 of Bid Document.

20. Bidder Shall mandatory Submit the Check list as per Annexure 17 of the Tender Document and also

Submit Supporting Documents with Physical Bid Documents.

21. An online Pre-Bid Meeting shall be organized to address bidder clarifications; the meeting link, date,

and time shall be published exclusively on the official DGVCL website (https://dgvcl.com/) at least

five (5) working days prior to the scheduled meeting. A dedicated Google Sheet shall be made

available on the same website at least two (2) working days prior to the meeting for submission of

queries. Only queries duly entered in the designated Google Sheet within the stipulated timeline

shall be entertained and discussed during the meeting; queries submitted via email, phone, or any

other medium, or received after the cut-off, shall not be considered.

Part - 2: Eligibility Criteria for Bidders

1. Legal Entity and Registration:

The Bidder shall be a body corporate incorporated in India under the Companies Act, 1956 or

(including amendments thereto), and shall submit a certified copy of its Certificate of Incorporation along

with the Bid. Proprietorship and Partnership firms having valid registration from the concerned

Government authorities shall also be eligible to participate, subject to fulfilling all terms and conditions

of this Bid, including submission of partnership deed/registration certificate and authorized signatory

details. Any entity found to be fictitious, deregistered, or under liquidation shall be summarily disqualified.

2. Project Experience:

The Bidder shall have cumulative experience as specified herein below for the design, supply, installation,

commissioning & Maintenance of Grid-Connected Solar Rooftop Projects executed within the State of

Gujarat only. Experience from projects outside Gujarat shall not be considered for eligibility evaluation.

The aggregate experience shall be computed based on successfully completed and commissioned of Grid-

Connected Solar Rooftop Projects only, which can be verified with documentary proofs .Experience as a

primary bidder is required..Subcontracted work is strictly excluded .

3. Financial Eligibility – Turnover and Net Worth:

(a) The Bidder's minimum average annual financial turnover for the last three (3) financial years

(MAAT) shall meet or exceed the threshold specified in the table below.

(b) The Bidder's Net Worth shall have been positive in each of the last three (3) financial years (i.e.

DGVCL reserves the absolute right to physically verify, cross-check with beneficiaries, or request third-

party validation of any project claimed for eligibility. If any claimed project is found to be non-existent,

non-functional, misrepresented, or not commissioned within the stipulated timeframe, the Bidder's

credentials for such project(s) shall be disregarded for evaluation. If the disallowed projects cause the

Bidder to fall below the eligibility threshold, the Bid shall be summarily rejected. Further, such

misrepresentation may attract consequences as per Clause No. 12 of Part-3 of Bid Document. DGVCL's

assessment of a Bidder's capability and experience shall be subjective, final, and not open to challenge.

5. Mandatory Licenses and Registrations:

The Bidder shall hold and submit valid, current copies of the following statutory registrations/licenses,

failing which the Bid shall be summarily rejected:

(a) GST Registration: Valid GSTIN certificate, with the Bidder's legal name matching the Bid

(b) EPF/ESI Compliance: Proof of registration under the Employees' Provident Funds and

Miscellaneous Provisions Act, 1952, and Employees' State Insurance Act, 1948 (if applicable).

(c) Electrical Contractor License: Valid Electrical Contractor License issued by the concerned State

Authority, authorizing the Bidder to undertake electrical works. The license shall be valid at the time

of Bid submission and throughout the contract period. Bidder shall also submit an undertaking on

company’s letterhead as per annexure -13 regarding the same.

6. The Bidder Should Be Empaneled with DISCOM/GUVNL (e.g. PM-SGMBY) for installation of solar

rooftop systems, and/or should have valid experience in DGVCL for the same work. Current proof of

such registration (e.g., portal screenshot for verification of the details) must be submitted with the

Technical Bid. Failure to provide satisfactory, verifiable evidence shall result in summary

disqualification.

7. Bidder shall submit duly signed and stamped undertaking as per Annexure-4 on company’s letter head.

Part - 3: General Terms and Conditions

1. Definitions and Interpretation:

(a) "DGVCL" shall mean the Dakshin Gujarat Vij Company Limited, acting through its Managing

Director or duly authorized representative, having its registered office at “URJA SADA” Corporate

Office, Nana Varachha Road,Kapodara Char Rasta, Surat – 395006, and shall include its successors,

assignees, and authorized representatives.

(b) "Bidder" shall mean the entity who has submitted an Offer to DGVCL.

(c) “TPI” shall mean Third Party Inspection Agency Nominated/Authorized by DGVCL.

2. Deemed Examination, Clarifications and Acceptance of Tender Documents:

The Bidder shall be deemed to have carefully examined, understood, and accepted all documents,

specifications, terms, and conditions forming part of this Tender. If the Bidder identifies any discrepancy,

omission, or ambiguity in the Tender Document or has any doubt regarding the meaning, interpretation,

or application of any provision, the Bidder shall immediately intimate DGVCL in writing and seek

clarification within seven (7) calendar days from the date of Tender announcement and, in any case, prior

to bid submission. No representation, query, or request submitted after this period shall be entertained,

and clarifications issued by DGVCL shall be final and binding.

3. Bidder's Responsibility to Understand Scope:

Before submission, Bidders shall satisfy themselves fully regarding the scope of work, technical

requirements, specifications, site conditions and all other relevant factors. Ignorance or misunderstanding

shall not constitute a ground for deviation, claim, or dispute at any later stage.

4. Submission of Offers – Mode & Timelines:

Technical Offer documents of tender documents must be uploaded in the technical stage online mode

5. Superscription of Physical Bid Envelopes:

Physical bid documents, if submitted, shall be placed in sealed envelopes clearly superscribed with:

7. Mandatory Signing, Stamping & Authentication:

(a) Every page of the Tender document shall be duly signed and stamped by the Bidder or its

authorized signatory as a token of acceptance of all terms and conditions herein.

(b) Any erasure, overwriting, or correction shall be duly initiated, signed, and stamped by the

authorized signatory(ies).

(c) Failure to sign/stamp any page, or unauthenticated changes, shall render the Offer non-compliant

and liable for rejection at DGVCL's sole discretion.

8. Prohibition on Influence:

Any attempt by the Bidder, its representative, or agent to influence the decision regarding the Offer,

whether officially or otherwise, shall render the Offer liable to summary rejection.

9. Relationship with DGVCL Employees:

The Bidder shall mandatorily submit an undertaking on the company’s letterhead stating that the Bidder,

its partners, Directors, and key personnel are not related to any employee of DGVCL, as specified in

Annexure-4. Non-submission of the same shall render the Offer liable to summary rejection.

10. Document Submission, Verification & Evidence:

(a) Bidders shall submit self-certified copies of all documents supporting their claims, qualifications,

and experience.

(b) Original documents must be produced for verification by DGVCL officials upon request.

(c) Details of similar work executed only within the last three (3) years, along with copies of work orders

and completion certificates from clients, must be attached.

(d) DGVCL's verification and acceptance of documents shall be final. Submission of false, forged, or

misleading documents shall attract consequences under Clause No.12 of Part-3 herein.

11. “No Deviations” Declaration Mandatory:

(a) Any deviation from Tender bid document shall not be accepted.

(b) Bidder shall submit the under taking on company’s letter head regarding No deviation for Tender

bid document as per Annexure-5.

12. Consequences of Misrepresentation, Fraud or Withdrawal:

(a) If any information furnished by a Bidder is found to be false, concealed, suppressed, or incorrect at

any stage—including during Tender finalization, evaluation, or post-award the Offer may be liable

for immediate rejection.

(b) The Bidder may be debarred from participating in all business with DGVCL for a period of three (3)

years from the date of such finding, and the EMD shall stand forfeited absolutely.

(c) This is without prejudice to any other legal or contractual remedies available to DGVCL, including

civil/criminal proceedings.

13. Tender Fee & Earnest Money Deposit (EMD)

(a) All Tenders shall be accompanied by the requisite Tender Fee & EMD as mentioned in the Tender

(b) Any Tender not accompanied by adequate Tender Fee & EMD, or with Tender Fee & EMD in non-

conforming format, shall be summarily disqualified. (Format for EMD in the form of bank Guarantee

“Annexure-10”).

(c) EMD shall be submitted as Demand Draft/Bank Guarantee per Clause 14 herein.

14. Submission of Tender Fee & EMD – Format & Bank List:

(a) The requisite Tender Document Fee shall be submitted in favour of Dakshin Gujarat Vij Company

Limited, payable at Surat, in the form of a Demand Draft.

(b) The requisite EMD shall be submitted in favour of Dakshin Gujarat Vij Company Limited, payable

at Surat, either in the form of a Demand Draft or a Bank Guarantee issued by any of the banks listed

in Annexure-I of the Bid Document. The Bank Guarantee, if submitted, shall be valid for a period of

Six months with an additional grace period of two months.

(c) Non-compliance shall result in Bid rejection.

15. Return of EMD to Unsuccessful Bidders:

(a) The EMD of unsuccessful Bidders shall be returned without interest after finalization of the Tender

process, subject to deduction of any applicable banking charges.

(b) DGVCL shall not be liable for any delays in return arising from banking procedures, force majeure,

or reasons beyond its reasonable control.

16. Offer Validity:

The offer validity shall be up to 31st March

17. Right to Accept, Reject or Modify:

(a) DGVCL reserves the absolute, sole, and unconditional right to reject any or all Offers, or to accept

any Offer in whole or in part, without assigning any reason thereof.

(b) DGVCL further reserves the right to place orders on one or more Bidders at the lowest discovered

price or otherwise, as per its sole discretion.

(c) The decision of DGVCL in all matters relating to this Tender shall be final, binding, and not subject

18. No Automatic Entitlement Based on Price:

DGVCL shall undertake a comprehensive evaluation of all submissions, considering technical capability,

financial eligibility, commercial terms and other relevant criteria. The submission of the lowest financial

offer shall not, in itself, confer any automatic entitlement to the award. DGVCL reserves the right to reject

any offer that is determined to be materially unrealistic, commercially unviable, or non-compliant with

the stated eligibility requirements. In such instances, DGVCL may, at its sole discretion, decline the offer

and initiate appropriate consequential actions as deemed fit under the applicable tender guidelines. The

decision of the competent authority of DGVCL, in this regard, shall be final and binding.

19. Consequences of Failure to Accept Work Order or Withdrawal:

In the event the successful Bidder fails to accept the Work Order within the stipulated time, withdraws

its Offer during the validity period, or fails to proceed with the award for any reason whatsoever,

competent authority of DGVCL reserves the right to forfeit EMD/Security Deposit and to initiate further

action as deemed fit, including debarring from participation in all business with DGVCL for a period of

three (3) years from the date of such finding.

20. Letter of Intent (LOI) :

(a) Discovered Bidders shall be issued a Letter of Intent (LOI).

(b) The LOI is conditional and does not constitute a binding contract. A formal Work Order shall be

issued only upon satisfactory completion of all required formalities.

(c) Failure to comply with LOI conditions within stipulated time may result in automatic cancellation,

forfeiture of EMD, and eligibility for debarment as per Clause No.19 herein.

21. Force Majeure:

Delay arising solely from events beyond the Bidder's reasonable control and without its fault or

negligence—including acts of God, war, civil commotion, governmental action in sovereign capacity,

floods, epidemics, strikes, lockouts or any other reasonable valid reasons may be considered for extension

only if: (i) The Bidder notifies DGVCL by telephone/email/fax within 48 hours of occurrence; (ii) Written

confirmation with documentary evidence is submitted within seven (7) days of commencement and

cessation. Grant of extension of time, if any, shall be solely at the discretion of the competent authority

of DGVCL. No Bidder shall have any automatic right to claim extension of time, and the decision of the

competent authority, DGVCL, in this regard shall be final and binding.

22. Compliance with Laws, Regulations & Statutory Requirements:

(a) Obligation to Comply with Applicable Laws:

The Bidder shall, at its sole cost and expense, strictly comply with all applicable Central, State, and

Local laws, statutes, rules, regulations, by-laws, notifications, circulars, guidelines, orders, and

statutory requirements (hereinafter collectively referred to as "Applicable Laws") in force from time

to time, pertaining to the execution, supervision, safety, quality, environmental standards, labour

welfare, taxation, insurance, and completion of the Works under this Contract.

(b) Compliance with Premises-Specific Requirements:

Without prejudice to the generality of the foregoing, the bidder shall also adhere to all administrative

directives, security protocols, operational guidelines, and site-specific regulations issued by the

Concerned Organization , as communicated by DGVCL or directly by such Concerned Organization.

The bidder shall obtain all necessary permissions, clearances, and no-objection certificates required

for entry, mobilization, and execution of works at such premises.

(c) Continuing Obligation – Amendments and Updates:

The bidder's obligation under this Clause shall be continuing and dynamic. The bidder shall promptly

adopt and implement any amendments, modifications, substitutions, or re-enactments of Applicable

Laws, as well as any new guidelines, circulars, or regulatory directives issued by any competent

authority during the term of the Contract, even if such changes occur after the date of bid submission

or contract award.

23. Sub-letting:

The Bidder shall not transfer, assign, sublet, or delegate the Contract or any substantial part thereof to

any third party.

24. Default in Performance & Remedial Action by DGVCL:

If the Bidder neglects to execute the work with due diligence, refuses to comply with reasonable written

instructions, or fails to rectify deficiencies within seven (7) days of written notice, DGVCL shall be at

liberty to execute the work or any part thereof through any other agency on such terms as it deems fit.

Such costs and expenses incurred shall be recoverable from the Bidder through any lawful manner,

including deduction from pending bills, encashment of securities, and/or legal action.

25. Access, Inspection & Quality Assurance:

(a) DGVCL and its authorized/nominated representatives/Third Party Inspection Agencies shall have

unconditional access, at any times, to inspect any work, material, or process undertaken under this

(b) DGVCL's acceptance or inspection at any stage shall not relieve the Bidder of its obligations or

liability for latent defects, non-conformity, or future failures.

26. Authorized works and execution:

Any work shall be commenced or executed only upon allocation by DGVCL. Any work undertaken

without such allocation shall be considered unauthorized and will not paid for. DGVCL reserves the right

to instruct its removal at the Bidder’s risk and cost. All expenses incurred towards removal shall be borne

27. Variation, Suspension or Termination:

DGVCL reserves the right, at any time during the contract period and by written notice to the Bidder, to

stop the work altogether, reduce the scope, or cut down specific portions of the allocated work; provided

that in the event the Successful Bidder fails to fulfill any criteria/clause of Scope of Work of this Tender

Document and/or not complete the work within the time stipulated in the Work Order and/or and any

other work related issue/dispute, DGVCL shall be at liberty to stop, reduce, or terminate the work, and

such failure shall constitute a default entitling DGVCL to execute the remaining work through any other

agency. Also, DGVCL may debar such bidder from participating in all business with DGVCL for a period

of three (3) years from the date of such finding, as per discretion of competent authority , DGVCL.

28. Packing, Marking, Transit & Delivery Responsibility:

(a) All equipment and materials shall be packed in accordance with best industrial practices and relevant

standards to withstand transport, handling, and outdoor storage in tropical humid conditions.

(b) The Bidder shall be solely responsible for any loss, damage, or deterioration arising from inadequate

or improper Packing, Transport & Delivery.

(c) Packages shall be clearly marked with caution symbols, weight, order number, contents, handling

instructions, and orientation arrows.

(d) The Bidder shall ascertain and comply with all transport limitations prior to shipment.

29. Publicity, Confidentiality & Intellectual Property Restriction:

(a) The Bidder shall not use, publish, display, or use any photograph, testimonial, case study, or

publicity material relating to this work or DGVCL without DGVCL's prior permission.

(b) Breach of this clause shall entitle DGVCL to seek injunctive relief, claim damages, and/or terminate

the Contract without prejudice to other remedies.

(c) Bidder shall submit an undertaking regarding the same as per annexure-16 of the Tender Document.

30. Dispute Resolution & Arbitration:

(a) In the event any question, dispute, or difference arises between DGVCL and the Bidder(s)

concerning the Work Order—except for matters for which a specific decision-making mechanism

has been expressly provided under this Agreement—either party may notify the other in writing of

such dispute. The dispute shall, in the first instance, be referred to the Add. Chief Engineer of

DGVCL for resolution,

(b) The arbitration proceedings shall be governed by the provisions of the Arbitration and Conciliation

Act, 1996 (or any statutory modification or re-enactment thereof in force at the time of the dispute),

along with the rules made thereunder. The arbitral award shall be final, binding, and enforceable

upon all parties.

(c) Subject to arbitration, the courts at Surat, Gujarat, shall have exclusive jurisdiction over any legal

proceedings arising from this Project.

(d) Following standard Arbitration Clause shall become operative post award of contract to the successful

(e) For Procurement of Goods or Services and Non-Works Contracts, the following Arbitration clauses are

required to be inserted in the respective agreement:

arbitrator and thereupon , the Centre Shall appoint a sole arbitrator and conduct the arbitration proceedings

in accordance with its rules. If the parties unanimously agree to appoint three arbitrators, then in that case,

each party shall appoint one arbitrator from the panel of arbitrators of the Centre, and the Centre shall apoint

the third arbitrator, who will act as the Presiding Arbitrator. Such arbitrator shall be the sole and exclusive

remedy between the parties for all disputes arising under or in connection with this agreement. The

arbitration shall take place at the Arbitration Centre, Ahmedabad, High Court Complex, Sola, Ahmedabad,

Gujarat, in accordance with the provisions of the Arbitration and Conciliation Act, 1996 as amended from

time to time, and the processing shall be conducted in English. The arbitration award shall be final and

binding on the parties

31. Service of Notices:

Any notice, statement, or communication sent by DGVCL to the Bidder via registered post, speed post,

courier, or email at the address provided in the Bid shall be deemed duly served and complied as per

DGVCL’s requirement.

32. Amendments:

DGVCL reserves the right to amend, modify, or supplement these Tender Document at any time by

issuing a corrigendum/addendum. Bidders are advised to regularly check the website for updates and

should be well aware of such changes before submission of bid.

33. Project Reporting & Monitoring Compliance:

The bidder shall promptly submit all reports, progress updates, technical data, compliance certificates,

and any other documentation as requisitioned by DGVCL for project monitoring and execution tracking.

Such submissions shall be made strictly in the format, medium, and within the timelines specified by

DGVCL from time to time. Adherence to all reporting directives shall constitute a fundamental obligation

under this Contract. Failure to comply shall be deemed a material breach, entitling DGVCL to withhold

payments, impose penalties, or initiate corrective/termination proceedings, without prejudice to any other

contractual or statutory remedies.

34. Conflict of Interest. Among Bidders /Agents:-

A bidder shall not have conflict of interest with other bidders for particular quoted item.

Such conflict of interest can lead to anti-competitive practices to the detriment of Procuring Entity's

interests. The bidder found to have a conflict of interest shall be disqualified. A bidder may be considered

to have a conflict of interest with one or more parties in this bidding process for particular quoted item,

a) they have proprietor/ partner(s)/ Director(s) in common;

b) they receive or have received any direct or indirect subsidy/ financial stake from any of them;

c) they have the same legal representative/ agent for purposes of this bid;

d) they have relationship with each other, directly or through common third parties, that puts them in a

position to have access to information about or influence on the bid of another bidder;

e) Bidder participates in more than one bid in this bidding process. Participation by a bidder in more than

one Bid will result in the disqualification of all bids in which the parties are involved. However, this does

not limit the inclusion of the components/ sub-assembly/ assemblies from one bidding manufacturer in

more than one bid.

f) in cases of agents quoting in offshore procurements, on behalf of their principal manufacturers, one

agent cannot represent two manufacturers or quote on their behalf in a particular tender enquiry. One

manufacturer can also authorise only one agent/ dealer. There can be only one bid from the following:

1. The principal manufacturer directly or through one lndian agent on his behalf;

2. lndian/ foreign agent on behalf of only one principal.

g) a Bidder or any of its affiliates participated as a consultant in the preparation of the design or technical

specifications of the contract that is the subject of the Bid;

h) in case of a holding company having more than one independently manufacturing units, or more than

one unit having common business ownership/management, only one unit should quote. Similar

restrictions would apply to closely related sister companies. Bidders must proactively declare such

sister/common business/ management units in same/ similar line of business.

i) Bidder shall not act in contravention/ violation to the provisions of competition

act, as amended from time to time.

Every bidder should, at the time of submission of bid, give a declaration, that bidder shall not have conflict

of interest with other bidders for particular quoted item, as above.

Goods and Service Tax (GST):

The F.O.R. Destination prices are excluding GST and Cess as applicable which will be paid extra on a

given taxable goods and/or services within the original contractual delivery period. The amount and % of

GST and Cess as applicable should clearly be indicated separately. (GST/Cess means all applicable

under GST Laws. GST Laws means IGST Act, GST(Compensation to the State for Loss of Revenue) Act,

CGST Act, UTGST Act and SGSCT Act, 2017and all related ancilliary legislations).

You shall have to submit a C.A Certificate& duly authorized Signatory of successful bidder, certifying

that you have not claimed Refund of any applicable GST and Cess, charged to COMPANY or shall not

claim any such Refund, on a future date, from the concerned Authorities and if, any Refund, in respect of

such GST and Cess, is claimed by you, it will be immediately passed on to the COMPANY, without

COMPANY making any specific Claim, for the same, either from the Department or from you.

The offers having price INCLUSIVE OF GST and Cess is likely to be rejected if the rate of GST and

Cess is not mentioned clearly unless the bidder has opted for Composition Scheme under GST Act, which

should be clearly indicated in the price bid. COMPANY may at its discretion consider such offer with

presumption of highest applicable rate of VAT/GST/Cess prevailing when the price quoted is inclusive

of GST and Cess.

If the Supplier/Contractor has opted for the Composition scheme of GST, the same must be clearly

specified with valid Declaration & Certificate from Department. In the event of withdrawal/cessation of

the Supplier from Composition scheme during the tenure of the contract, the rate mentioned in the price

bid shall be final and any additional GST will have to be borne by the tenderer. In no case additional

amount towards tax or otherwise will be paid / reimbursed to supplier/contractor. Further Statutory

Variation clause will not be applicable in case of Supplier / Contractor has opted for Composition Scheme

Supplier/Contractor should charge GST in Invoice at the rate as agreed to / mentioned in acceptance of

tender only and any deviation in the same shall not be accepted. Further, any additional liability of GST

(later on due to wrong mentioning of GST rate, mis-interpretation of HSN/SAC Code, etc.) over and

above as charged in the invoice shall be borne by the Supplier/Contractor. However, any refund received

by the supplier / contractor on account of GST charged from the company; such refund shall have to be

passed on to the company, along with interest if any. Such refund along with interest needs to be passed

on suo-moto by the supplier / contractor.

Further, the Company has a right to recover the amount of GST along with penalinterest at the rate of 15%

per annum if GST charged is not paid / short paid to the government or fail to upload the details or uploads

inaccurate particulars on GSTIN portal by the Supplier / Contractor within the stipulated time limit.

In case, Govt. revises the rate of GST rate / Code during the tenure of the contract, the provision of

GUVNL’s statutory variation clause shall apply.

GST-TDS as per GST act if applicable, will be deducted from bill amount.

INPUT TAX CREDIT BENEFIT

In the event of any statutory increase in the rate of Input Tax Credit and / or due to inclusion of any other

additional item of their inputs / input services under the ambit of the Input Tax Credit provisions under

the GST Act, subsequent to the date of submission of the offer, the same should be passed on to

COMPANY and you should inform such changes to COMPANY from time to time.

Employment of Labour

Persons below the age of 18 years shall not be employed for the work. No female worker shall be

employed in the night shift between 07.00 p.m. and 06.00 a.m. next day.

Contractor shall maintain a valid labour license under the Contract Labour (Regulation and Abolition)

Act for employing necessary manpower required by him. In the absence of such a license, the contract

shall be liable to be terminated without assigning any reason thereof. Contractor should also employ

qualified and experiences persons as per requirement of Electricity Act and rules for carrying out supply

and erection work under this contract.

In case DGVCL becomes liable to pay any wages or dues to labour or any Government agency under any

of the provisions of the Minimum Wages Act, Payment of Wages Act, Employee Compensation Act,

Contract Labour Regulation Abolition Act, Employee Provident Fund or any other law due to act of

omission of the Contractor, DGVCL may make such payment and shall recover the same from the

Contractor’s bills.

The Contractor will be expected to employ on the work only his regular skilled employees with experience

of his particular work. The contractor is required to maintain the minimum work force at site to execute

this work, as determined by the Engineer in charge. The work force shall also be required for the operation

and maintenance of the services during defect liability period.

Contractor shall have to follow and comply all the rules & regulations for employment of the labours as

applicable like:

Part - 4: Technical Specifications

1. COMPLIANCE AND DGVCL'S RIGHTS

1.1. Mandatory Compliance:

All proposed projects shall be designed, supplied, installed, and commissioned strictly in accordance with

the technical specifications contained herein, the GERC Net Metering Regulations (as amended),

DISCOM connectivity norms, applicable statutory requirements and their time to time amendments. Any

deviation, shortfall, or non-conformity shall entitle DGVCL to reject the offer, cancel the Work Order in

full or in part, impose penalties, or debar the bidder from participating in all business with DGVCL for a

period of three (3) years from the date of such finding, and the EMD/SD shall stand forfeited absolutely,

DGVCL may exercise its right for such entitlement, if required.

2. DEFINITIONS & SYSTEM SCOPE

2.1. Grid connected Solar Rooftop System:

A battery-less Solar Rooftop System comprises of: (a) PV Array (crystalline modules); (b) Module

Mounting Structure (MMS); (c) Power Conditioning Unit (PCU) with MPPT, inverter, controls &

protections; (d) DC and AC distribution boards; (e) interconnect cables, junction boxes, earthing &

lightning protection; (f) solar meter, bi-directional energy meter, and isolation switches. The system shall

supplement grid power during daytime.

2.2. Component Compliance:

All components (modules, structures, cables, inverter, etc.) shall conform to the latest applicable

BIS/IEC/international standards. Submission of valid test certificates from NABL-accredited or IEC-

authorized laboratories is mandatory. Non-submission or submission of invalid/expired certificates shall

render the Technical Bid non-compliant.

2.3. System Configuration: The SPV system shall include:

● Solar PV modules (Monocrystalline , ≥550 Wp, Indian Make, DCR Complaint, ALMM-listed)

● Mounting structures

● Junction boxes with SPDs

● DC and AC distribution panels with surge protection

● Earthing, lightning protection, and islanding protection

● UV-resistant, sized cables with proper routing

● Solar meter, bi-directional meter, and check meter (if required).

3. SOLAR PHOTOVOLTAIC MODULES – MANDATORY REQUIREMENTS

3.1. Make, Origin & Domestic Content Requirement (DCR):

(a) Modules shall be crystalline or advanced upgraded technology, ≥550 Wp each, as per latest standards

mentioned in IEC 61215/IS

(b) PV cells and modules shall be of INDIAN MAKE. The Bidder shall submit a self-declaration from

the module manufacturer confirming "Made in India" status before commissioning.

(c) Modules and cells shall be Compliant with the Domestic Content Requirement (DCR) is mandatory,

as per the Ministry of New and Renewable Energy (MNRE) Office Memoranda: No. 283/54/2018-

Grid Solar-Part (1) dated 30.12.2021; No. 283/5/2018-GRID SOLAR dated 20.02.2018 &

16.10.2023; F.No. 283/16/2024-GRID SOLAR dated 09.05.2024; F.No. F.No.

283/43/2024-GRID SOLAR dated 19.06.2024 ; No. 283/59/2024-GRID SOLAR dated

19.12.2024; 283/106/2017-GRID SOLAR dated 10.07.2025 and F.No. 283/41/2024-GRID

SOLAR dated 01.03.2026 and its subsequent amendments.

(d) Use of non-ALMM & non-DCR components may result in summary rejection and debarment from

participating in all business with DGVCL for a period of three (3) years from the date of such finding,

and the EMD/SD shall stand forfeited absolutely.

3.2. Technical Qualification & Testing:

(a) Modules shall qualify to IEC 61215/IS 14286 (design qualification) and IEC 61730 Parts 1 & 2 /

equivalent IS (safety qualification).

(b) For installations in corrosive atmospheres, modules shall additionally qualify to IEC 61701 (salt

mist corrosion testing).

(c) Module efficiency shall be ≥19.50%; wattage <550 Wp shall not be accepted. The temperature

co-efficient power of the PV module shall not be less than -0.45% / °C.

(d) Modules shall be tested and certified by IEC-authorized test centres ; certificates shall be

submitted with before commissioning.

(e) It shall perform satisfactorily in relative humidity up to 85% with temperature between - 40°C to

+85°C and shall withstand adverse climatic conditions, such as high-speed wind, blow with dust,

sand particles etc. for wind speed of 150 km/hr on the surface of the panel as per IEC

(f) Module frames shall be corrosion-resistant, preferably anodized aluminum.

3.3. Electrical Tolerances & Identification:

(a) Rated output power tolerance: + 3% only. No negative tolerance in the rated capacity of solar

PV module is allowed.

(b) Peak-power point voltage/current variation across modules/strings: ≤2% from arithmetic mean.

(c) Junction box: IP65-rated, hinged weatherproof lid with captive screws or sealed type, with

bypass diode provision.

(d) I-V curves at STC shall be provided for each module model.

3.4. Traceability Labelling (Mandatory on Each Module):

Modules deployed must use a RF identification tag, each module shall bear a durable, weather-

resistant label containing:

● Manufacturer name (module & solar cell)

● Month & year of manufacture (separate for cell & module)

● Country of origin (separate for cell & module)

● I-V curve parameters: Wattage, Im, Vm, FF

● Unique serial number & model number

● Date of IEC certification & name of test lab

● Traceability information per ISO 9001 & ISO 14001 Non-compliance with labeling shall result

in rejection of the consignment at site.

3.5. Warranties:

(a) Material Warranty: ≥10 years from date of commissioning, covering all defects including repair

and replacement.

(b) Performance Warranty: Power degradation ≤10% after 10 years; ≤20% after 25 years from

(c) Warranty cards in the format of Annexure-8 shall be supplied with each system.

4. MODULE MOUNTING STRUCTURE (MMS) – DESIGN & INSTALLATION

4.1. Material & Corrosion Protection:

(a) The mounting structure steel shall be as per latest IS 2062: 2011 and hot dip galvanization of the

mounting structure shall be in compliance of latest IS 4759 with coating of minimum 80 microns

or Cold Rolled Pre galvanized structure material is also allowed as per IS 277:2003 with minimum

60 microns of galvanization.

(b) Aluminum structures (if used) shall be anodized/coated for corrosion resistance and shall remain

compatible with module frames.

(c) All bolts, nuts, panel mounting clamps fasteners shall be of stainless steel of grade SS 304/316

and must sustain the adverse climatic conditions.

4.2. Structural Design & Certification:

(a) Structures shall withstand wind speed of 150 km/hr (Gujarat Wind Zone III/IV) as per IS

(Part 3) and as per IEC

(b) Bidder shall submit a Structural Stability Certificate from a licensed Structural Engineer in the

format of Annexure 11 & 12. Non-submission shall render the Bid non-compliant.

(c) Design shall allow easy module replacement and minimize roof space usage without

compromising output.

(d) Tilt angle: 19°–24° as per site solar geometry; may be adjusted to accommodate capacity and

optimum generation requirements.

4.3. Foundation & Roof Compatibility:

(a) Bidder shall assess roof load-bearing capacity and design foundations accordingly to avoid

structural damage.

(b) Foundations: RCC blocks (M25 grade, min. 400×400×300 mm) secured with 12 mm diameter

anchor fasteners (min. 100 mm length), with waterproofing and bonding.

(c) Minimum clearance of panel bottom edge from roof: 300–1200 mm as per site requirement.

(d) The Rectangular/ square/ circular hollow pipe section used for the structure should have a

minimum thickness of 2.0 mm. Other than above, the material thickness should be minimum

(e) Rafter - Structure rafter should be minimum 2MM in Lip section / 3MM in C-Channel section.

The minimum section should be 70MM in Web side (y-axis) and 40MM in flange side (x-axis).

(f) Purlin - Structure purlin should be minimum 2MM in Lip section. The minimum section should

be 60MM in Web side and 40MM in flange side in Lip section.

(g) Grouting: PCC 1:2:3; anchoring to withstand 150 km/hr wind pressure.

(h) Any additional cost for structural reinforcement due to roof condition shall be borne by the

Bidder and shall NOT be claimed as a variation.

(i) The structure shall be designed to allow easy replacement of any module and shall be in line

with site requirement. The gap between modules should be minimum 30MM.

(j) Base Plate – Base plate thickness of the Structure should be 5MM for this segment.

(k) Column – Structure Column should be minimum 2MM in Lip section / 3MM in C-Channel section.

The minimum section should be 70MM in Web side and 40MM in flange side in Lip section.

5. JUNCTION BOXES, DC AND AC DISTRIBUTION BOARDS

5.1. Junction Boxes (JBs):

a. Material: GRP/FRP/powder-coated aluminum/cast aluminum alloy; IP65-rated;

dust/water/vermin-proof.

b. Termination: Copper bus bars/terminal blocks; cable lugs; single/double compression glands;

EPDM rubber gasket; hinged door.

c. Protection: Each Junction Box shall have High quality Suitable capacity Metal Oxide Varistors

(MOVs) / SPDs, minimum three (03) nos. of Reverse Blocking Diodes. The Junction Boxes shall

have suitable arrangement monitoring and disconnection for each of the groups.

d. For array junction box/ PV combiner box, Bidder may also provide polyamide glands and MC4

Connectors. The rating of the junction box shall be suitable with adequate safety factor to

interconnect the Solar PV array.

e. Mounting: ≥5 feet height for accessibility; ferrules and markings for identification.

f. Copper bus bars/terminal blocks housed in the junction box with suitable termination threads

Conforming to IP65 standard and IEC 62208 Hinged door with EPDM rubber gasket to prevent

water entry. Single /double compression cable glands.

5.2. DC Distribution Board (DCDB):

a. Enclosure: IP65, dust/vermin-proof; copper bus bars of adequate size; designed for 45°C ambient,

80% humidity, dusty conditions.

b. Protection: DC MCBs/MCCBs, It Should be meet IEC

Surge Protection Devices; Surge Protection Devices (SPDs) must comply with IEC

61643;isolation provision.

c. Function: Receive DC from array; feed to inverter with overcurrent/overvoltage protection.

d. Installation of DCDB is mandatory while installation of solar rooftop system.

5.3. AC Distribution Board (ACDB):

(a) Enclosure: Metal-clad, floor-mounted, IP54 (indoor) / IP65 (outdoor); designed for 45°C ambient,

80% humidity, dusty conditions.

(b) Components: Switches/circuit breakers conforming to IEC 60947 / IS 60947 Parts I–III; surge

Protection Devices; changeover switches.

(c) MCB shall be used for currents up to 63 Amperes, and MCCB shall be used for currents greater

than 63 Amperes. RCCB shall be used by the Agency if required for successful operation of the

(c) Grid Interface: Interconnection to LT bus bar; compliance with Indian Electricity Act & Rules

(latest amendment).

(d) Operational Tolerance: Voltage ±10%; Frequency ±3 Hz.

6.1. Capacity & Configuration:

(a) Combined inverter wattage ≥ rated plant capacity at Standard Testing Conditions.

(b) MPPT integrated to maximize energy yield; PCU/array sizing ratio optimized for site

(c) Single-phase/Three-phase as per site requirement; phase-balancing arrangement mandatory

for single-phase inverters in three-phase systems.

6.2. Technical Parameters (Minimum):

6.2.1. The inverter shall have an RS-485 interface and support communication of its operational

parameters and logs over Modbus protocol. The register mapping/memory mapping of the inverter

data shall be made available by the Empanelled Agency from the inverter supplier to the

6.4. Functionality:

7.GRID INTEGRATION, METERING & CONNECTIVITY

7.1. Grid Synchronization & Safety:

(a) Inverter output shall synchronize with grid frequency/voltage; automatic disconnection upon

grid failure, under/over voltage, or frequency deviation.

(b) RCCB at utility end for manual disconnection during maintenance.

(c) Compliance with GERC Net Metering Regulations and DISCOM technical standards for

interconnection.

7.2. Metering Requirements:

(a) Solar meter and bi-directional energy meter (accuracy class as per DISCOM/GERC norms) shall

be installed for import/export measurement. The check meter and any other components required

as per DISCOM/GERC norms shall be installed by the installer.

(b) Bidder shall obtain DISCOM approval/NOC for connectivity, technical feasibility, and

synchronization before commissioning and submit proof to DGVCL. Non-submission shall delay

payment and attract penalties.

(c) Reverse power relay and no-volt relay (second line of protection) shall be mandatory to be

installed on 10 KW and above capacity and as per DISCOM/Statutory requirements.

7.3. Power Flow Priority:

Generated power shall prioritize internal consumption; excess power shall be exported to grid as

per prevailing regulations.

8.PROTECTION SYSTEMS

a. Lightning Protection:

1) The SPV power plant shall be equipped with a comprehensive lightning and overvoltage

protection system to safeguard all PV modules, inverters, and associated electrical subsystems.

2) The primary objective of the protection system shall be to limit overvoltage to a safe and tolerable

level before it reaches sensitive equipment, thereby preventing damage and ensuring system

3) Overvoltage sources shall include, but not be limited to: Direct lightning strikes

Indirect/induced lightning effects Atmospheric disturbances Switching transients

4) The entire area occupied by the SPV array shall be adequately protected against lightning by

installing an optimized number of lightning arrestors to ensure complete coverage.

5) Lightning protection design and installation shall comply with the requirements of IEC

(latest edition).

6) Suitable types of lightning protection devices shall be used, including:

● Franklin Rod type Lightning Arrestors

● Any other approved equivalent technology

7) Protection against induced overvoltages shall be provided using:

● Metal Oxide Varistors (MOVs)

● Surge Protection Devices (SPDs) installed at DCDBs, ACDBs, inverter terminals, and

other critical points

8) SPDs shall be deployed in distribution boards and at all locations where surge protection is

required to protect equipment from transient overvoltages.

9) A dedicated, separate, and maintenance-free earthing system shall be provided for lightning

protection to ensure safe and effective dissipation of surge currents into the ground.

10) The lightning current shall be safely diverted to earth through low-impedance paths, ensuring that

transient energy does not pass through sensitive equipment.

11) Down conductors connecting lightning arrestors to earth pits shall:

● Have adequate current carrying capacity as per IEC

● Be routed through the shortest and straightest path possible

● Be mechanically protected against damage

12) As per IEC 62305 requirements for LPS Class III, the minimum conductor size shall be:

● Copper conductor with a cross-section of 16 mm², or

● Equivalent material with matching electrical and mechanical properties

All components of the lightning protection system shall be properly bonded and

integrated with the overall plant earthing system to ensure equipotential conditions.

13) The complete system shall be designed to provide a reliable alternate path for lightning and

induced transients, minimizing risk to plant infrastructure and ensuring long-term operational

b. Surge Protection:

(a) Internal SPDs: Three MOV-type arrestors in Y-configuration (+ve, -ve to earth).

(b) SPDs at DCDB, ACDB, and inverter input/output.

a) The complete earthing system for the SPV power plant shall be designed, installed, and

commissioned in accordance with the latest revisions of IS 3043, CEA (Measures relating to

Safety and Electric Supply) Regulations, and relevant IEC standards.

b) The system shall ensure personnel safety, equipment protection, and reliable operation under

normal and fault conditions.

2. Earthing of PV Array Structures

a) Each module mounting structure (MMS) and array structure within the PV yard shall be

effectively grounded as per IS

b) All array structures shall be interconnected and connected to designated earth pits through

properly sized earthing conductors.

c) Each string/array shall be grounded to ensure electrical continuity and safety.

3. Earthing of Equipment and Systems

a) All electrical equipment including inverters, junction boxes (ACDB/DCDB, LT panels,

transformers, and switchgear shall be properly earthed.

b) The LT power system and switchyard shall be connected to a properly designed earthing grid.

c) All metallic enclosures, cable trays, conduits, and structural steel shall be effectively bonded and

d) Earthing of all equipment shall comply with CEA Safety Regulations.

4. Lightning Protection Earthing

a) Lightning arrestors/masts installed in the PV field shall be connected to dedicated earth pits.

b) Lightning protection earthing shall be kept separate from DC and AC earthing systems to avoid

surge propagation.

c) The design shall ensure safe dissipation of lightning currents into the ground.

5. Type of Earthing System

a) All earthing installations shall be of maintenance-free type using approved electrodes (e.g.,

copper bonded/GI/chemical earthing).

b) The earthing electrode shall have a minimum length of 1.5 meters or as required to achieve

desired earth resistance.

c) Backfill material shall be of high conductivity and long-lasting nature.

6. Earth Resistance Requirements

a) Earth resistance values shall be maintained as low as possible to meet safety and protection

b) Earth resistance shall be tested during commissioning and periodically thereafter.Earthing Grid

a) The complete earthing system shall be mechanically robust and electrically continuous.

b) All joints shall be made using exothermic welding/approved clamps to ensure long-term

8. Provision for Testing & Maintenance

a) Each earthing pit shall be provided with a bolted disconnecting (test) link for periodic

measurement of earth resistance.

b) Inspection chambers with covers shall be provided for easy access.

9. Earthing Busbar/Cable Arrangement

a) Earthing busbars/cable shall be provided in all switchgear and control panels.

b) The earthing busbar/cable shall be connected at both ends to the main earthing grid for

10. Segregation of Earthing Systems

a) The contractor shall submit earthing design calculations, layout drawings, and test reports.

b) All materials and installation practices shall comply with relevant IS/IEC standards.

c) Proper records of testing and commissioning shall be maintained.

d. Islanding Protection:

● Inverters shall incorporate anti-islanding per IEC 62116; automatic disconnection upon grid

● Additional protection for under/over voltage conditions. ( Separate RCCB switch at utility

end for maintenance safety.

9. CABLES & CABLE MANAGEMENT SYSTEM FOR SPV POWER PLANT

1. Conductor Material & Construction

a) All cables shall be of multi-stranded, annealed, high-conductivity copper conductors to

ensure low resistance and high reliability.

b) For AC applications, aluminium conductor cables may be used subject to design approval

and compliance with applicable standards.

2. Insulation & Sheathing

a) Cables shall be provided with PVC Type ‘A’ pressure extruded insulation or XLPE

insulation, suitable for the rated voltage and operating conditions.

b) The outer sheath shall be UV-resistant PVC/XLPE, suitable for prolonged outdoor exposure

in solar plant conditions.

c) Insulation and sheath shall be resistant to moisture, heat, abrasion, and environmental

a) All cables shall be suitable for a working voltage of up to and including 1100 V or higher as

per system requirements.

b) DC cables used in PV arrays shall be specifically designed for solar applications, with

enhanced UV and ozone resistance.

4. Armouring & Installation

a) Cables intended for underground installation shall be armoured (GI wire/strip armouring or

equivalent) to provide mechanical protection.

b) Armouring shall comply with relevant standards and be suitable for site conditions.

5. Cable Routing & Management

a) A complete cable management system shall be provided, including: Cable trays, Cable

ladders, Tray covers (where required for protection)

b) Cable trays shall be hot-dip galvanized or equivalent corrosion-resistant material suitable for

outdoor installation.

c) Proper segregation shall be maintained between DC, AC, and communication cables.

6. Standards & Compliance

a) All cables shall conform to the latest editions of applicable IEC and BIS (IS) standards.

b) The following standards (or their latest revisions/equivalents) shall be applicable: IS 694 /

IEC 60227 – PVC insulated cables up to 1100 V, IS 7098 (Part 1) / IEC 60502-1 – XLPE

insulated power cables up to 1100 V, IEC 60228 – Conductors of insulated cables, IEC

– Flame retardant properties, UV resistance requirements for outdoor installation (as per

relevant IEC standards)

c) Cables shall also comply with general test and measuring methods as per applicable IS/IEC

7. Testing & Quality Assurance

a) All cables shall be factory tested and supplied with test certificates.

b) Routine, type, and acceptance tests shall be carried out as per relevant standards.

c) Visual inspection and site testing shall be conducted prior to commissioning.

8. Safety & Performance Requirements

a) Cables shall be flame retardant, low smoke (FR/FRLS/LSZH as applicable), and suitable for

safe operation in solar power plants.

b) Voltage drop and current carrying capacity shall be within permissible design limits.

c) Proper identification, tagging, and termination practices shall be followed.Multi Strand,

11.1. Technical Documentation:

(a) Two sets of engineering drawings, single-line diagrams, installation manuals, and O&M

manuals in English and Gujarati shall be supplied.

(b) Module layout drawings, shadow analysis reports and licensed electrical contractor certificates

shall be submitted to DGVCL for each site prior to commissioning.

11.2. Beneficiary Handover:

(a) Use r-friendly instruction manual in Gujarati per system, covering operation, safety,

maintenance, and troubleshooting.

(b) Ha nds-on training for beneficiary representative on primary troubleshooting, Do's & Don'ts,

and complaint lodging.

12. BILL OF MATERIAL & SHADOW ANALYSIS

12.1. Bill of Material (BoM):

Bidder shall submit a detailed BoM with quantities, makes, models, and standards for all

components along with the Offer.

12.2. Shadow Analysis:

Bidder shall conduct site-specific shadow analysis after site allotment and asses site conditions prior

to installation of solar rooftop systems to minimize shading losses; failure to account for shadows

leading to performance shortfall shall be Bidder's liability. If any change in the design is required

after installation of the system due to shadow effect, bidder shall make appropriate changes for such

design on its own cost & and no reimbursement shall be paid by DGVCL.

13. SAFETY, DISPLAY & FINAL PROVISIONS

13.1. Electrical Safety:

Bidder shall assume full responsibility for electrical safety of installation, grid connectivity, and

compliance with Electricity Act 2003, CEA guidelines, and IS 732. Any accident or loss due to

Bidder's negligence shall be its sole liability.

13.2. Display Board:

A GI sheet display board (12"×6", 20 SWG) with manufacturer details, contact information, and

emergency numbers shall be installed near solar meter and inverter.

13.3. Final Provision:

By submitting the Bid, the Bidder unequivocally accepts all specifications, acknowledges DGVCL's

discretionary rights, and agrees that any ambiguity shall be interpreted solely by DGVCL. No claim

of ignorance, oversight, or implied waiver shall be entertained.

Part - 5: Scope of Work

1. Turnkey Basis:

The work under the this tender with tentative cumulative capacity of 2.47 MW (approximately INR

crores) shall be executed on a strict "Turnkey Basis", wherein the Successful Bidder shall assume full,

sole, and unconditional responsibility for: survey, design, TFR & CEI Charges and its payments, supply

of Solar Rooftop Systems with all accessories and equipment, metering, installation, testing,

commissioning, insuring and Comprehensive Maintenance Contract (CM services for ten (10) years,

including free Replacement, Service & Maintenance of spare parts against defects for the entire CMC

period. The quoted rates shall be all-inclusive as per Financial Bid Guidelines mentioned in Part - 9; no

additional claims for scope items shall be entertained.

2. Regulatory Approvals & Permissions:

The Scope expressly includes obtaining all necessary approvals, clearances, and payments related to:

(a) Concerned DISCOM: TFR, net-metering connectivity agreements, grid synchronization approval,

connectivity charges, meter procurement/testing charges, SMC box charges, and network

strengthening charges as per GERC Regulations and any other charges applicable as per statutory

(b) Chief Electrical Inspector (CEI): Drawing Approval, Charging Approval, any other compliance

certificates & its payment applicable as per statutory guidelines.

(c) The Bidder shall bear all costs, fees, and procedural delays associated with obtaining these approvals.

It is Bidder’s sole responsibility to secure approvals within stipulated timelines. If any delay in project

arises due to reasons arising from aforementioned approvals and payment shall be considered as

bidder’s negligence and shall attract consequential actions on DGVCL’s part as it deemed fit.

3. Site Survey & Feasibility Verification:

(a) The Bidder shall conduct physical visit for technical and documentary verification of allotted sites. It

shall be bidder’s sole responsibility to verify structural feasibility, shadow analysis, roof load

assessment, beneficiary ownership, Beneficiary’s Consent Letter documents, and any other

documentation required for the project.

(b) All survey findings shall be documented and submitted to DGVCL within fifteen (15) days of site

allotment. Inaccurate or misleading survey reports shall constitute misrepresentation, and DGVCL

may take appropriate actions as deemed fit.

4. Portal Registration & Statutory Compliances:

The Bidder shall register each project on the GEDA online portal/designated portal, pay requisite fees,

upload technical documents, and maintain portal compliance throughout the project lifecycle.

5. Design, Supply, Installation & Commissioning:

The Bidder shall execute design, civil work, supply, erection, testing, installation and commissioning of

grid-connected Solar Rooftop System strictly as per the Technical Specifications mentioned in Part –

of the Bid document.

6. Metering & Protection Systems:

Installation of solar meter, bi-directional energy meter, check meter, second-line protection devices

(reverse power relay, no-volt relay) and any other equipment’s required as per prevailing

DISCOM/GERC norms or any other applicable statutory guidelines.

7. Documentation and Digital Submissions:

(a) The Bidder shall, for the purposes of site allotment, payment processing, progress monitoring, and

any other requirement under this Project, submit all requisite documents, records, reports, and

supporting materials as may be prescribed by DGVCL from time to time.

(b) All such submissions shall be made within the timelines stipulated in the Project, work orders, or as

otherwise communicated by DGVCL. The Bidder expressly acknowledges that adherence to these

timelines is of the essence of the Contract.

(c) DGVCL reserves the right to require the Bidder to upload or submit the aforesaid documents through

any designated digital platform, portal, or system as may be informed. The Bidder shall ensure strict

compliance with all such requirements, including format, manner, and timelines of submission.

(d) It shall be bidder’s sole responsibility to submit the required documents within the prescribed

timelines or through the designated platform. Any delay in the Project Completion Timeline due to

such negligence may result in consequential actions as deemed fit by DGVCL.

(a) The total timeline for the completion of the work order under this Tender is One Hundred and Twenty

(120) Calendar Days.

(b) Strict Adherence to Timeline: The bidder shall strictly complete all works pertaining to each phase

within the timeline specified in the respective Work Order. Failure to adhere to the stipulated phase-

wise completion schedule shall constitute a breach of contract, entitling DGVCL to take consequential

actions, as deemed fit by DGVCL.

(c) The issuance of subsequent Work Orders or phases shall not, by itself, entitle the bidder to any

extension of time for previously awarded phases, unless expressly granted by DGVCL.

9. Performance Assurance:

(a) The Scope expressly includes the regular cleaning, washing, and preventive maintenance of the Solar

PV Modules to ensure a Quarterly Performance Ratio (PR) of not less than 70% throughout the ten

(10) year CMC period. In the event this target is not met, DGVCL reserves the right to take remedial

actions in accordance with Clause 24 of Part 3 of the General Terms and Conditions.

(a) Quarterly Maintenance & Servicing Reports in Annexure-9 format shall be submitted without fail for

each quarter from date of system commissioning; non-submission shall be treated as performance

default, entitling DGVCL to take consequential actions, as deemed fit by DGVCL.

(b) DGVCL may integrate remote monitoring systems or other devices for monitoring the installed solar

rooftop system, and the bidder shall comply with all monitoring-related requirements as directed by

DGVCL from time to time.

10. Insurance Coverage:

(a) The Bidder shall, at its own cost, procure and maintain an All-Risk Insurance Policy covering: supply,

transit, storage, installation, testing, commissioning, grid connectivity, and the entire 10-year CMC

(b) Coverage shall include: material damage, third-party liability, fire, theft, natural calamities, electrical

faults, and public liability.

(c) Lapse of insurance shall constitute breach of contract and entitling DGVCL to invoke applicable

remedies, as deemed fit by DGVCL.

11. Warranty & Defect Liability:

(a) The Bidder shall provide free replacement warranty on all spare parts against defects for ten

(10) years from commissioning.

(b) Defects reported during CMC shall be rectified within 7 days of written complaint; failure entitles

DGVCL to take necessary action as deemed fit.

(c) Warranty cards in Annexure-8 format shall be supplied with each system.

12. Beneficiary Handover & Training:

The Bidder shall handover each commissioned system to the beneficiary with: instruction manual in

Gujarati, training on operation/troubleshooting, and copy of warranty card.

13. No Implied Waiver or Ambiguity:

(a) By submitting the Bid, the Bidder explicitly accepts the entire Scope as defined herein. Any ambiguity

shall be interpreted solely by DGVCL and its decision shall be final and binding to bidder.

(b) Scope items not explicitly mentioned but necessary for successful commissioning and 10-year

performance shall be deemed included in the Turnkey obligation.

14. Capacity Variation up to -15% :

DGVCL reserves the right to adjust the final installation capacity up to -15% based on physical space

constraints, shading issues, or structural integrity limitations discovered during the site feasibility

assessment. The successful bidder is obligated to execute the work order as per the terms, conditions,

and unit rates of this tender within this -15% variation threshold.

If the total feasible capacity falls below the -15% threshold, DGVCL shall formally request the

successful bidder to indicate their preferred course of action. The bidder may choose to either:

1. Exercise their existing option under the original tender framework, or

2. Continue and execute the newly modified capacity under mutually acceptable terms

Part - 6: Tender Evaluation Criteria

SECTION A: PRELIMINARY COMMERCIAL ELIGIBILITY:

1. A non-refundable Tender Fee must be submitted in the form of an Online mode payable to Dakshin

Gujarat Vij Company Limited, Surat.

2. The Bidder must submit the Earnest Money Deposit (EMD) in the prescribed form (RTGS or NEFT

or Demand Draft or Bank Guarantee).

3. The Bidder must be a legally recognized entity, either incorporated in India under the Companies Act,

1956 or 2013, or a registered Proprietorship/Partnership firm holding valid government registration,

supported by the submission of a Certificate of Incorporation, Partnership Deed.

4. The Bidder must possess a valid Electrical Contractor License.

5. The Bidder must maintain valid statutory registrations, including GSTIN, EPF Registration and ESI

Registration (where applicable).

6. The entire bid document must be duly signed, stamped, and sequentially numbered on every page

by the authorized signatory, in spiral binding.

7. The Bidder must submit a duly filled Declaration in Annexure-4.

8. The Bidder should not deviate from any part of the tender document and submit a duly filled

SECTION B: TECHNICAL ELIGIBILITY

1. The Bidder must provide documentary proof of experience as per Part – 2 Eligibility Criteria.

2. The Bidder must have executed and commissioned an aggregate capacity and Nos. of Sites of grid-

connected solar rooftop systems strictly within the State of Gujarat, meeting the threshold for

experience specified in accordance with Part – 2 Eligibility Criteria with corresponding portal

3. The Bidder must demonstrate adequate technical capability by providing brief bio-data of key

technical personnel in Annexure-3 format, ensuring readiness for both project execution and the 10-

year CMC obligation, as per Technical Specifications.

4. The Bidder must submit a comprehensive list of owned or accessible plant, machinery, testing

equipment, and tools in Annexure-6 format.

SECTION C: FINANCIAL ELIGIBILITY

1. The Bidder’s average annual financial turnover for the last three financial years must meet or exceed

the threshold as per Part – 2 Eligibility Criteria.

2. The Bidder’s Net Worth must have remained positive for the last three financial years, calculated

strictly using the formula: Net Worth = (Equity + Reserves) – (Revaluation Reserves + Intangible

Assets + Miscellaneous Expenses not written off + Carried Forward Losses), and must be certified by

an original Chartered Accountant certificate.

Part - 7: Post Evaluation Process

SECTION A: Work Allocation

1. Discovery/Selection of Bidder by reverse auction:

(a) The bidder shall quote a single consolidated rate in ₹/KW applicable for the implementation of the entire total

capacity quoted in the price bid.

(b) Financial bids shall not be evaluated independently for each category. The lowest quoted rates in the

entire capacity shall be identified as the L1 rates. Upon request by DGVCL, the discovered bidder(s)

has to submit a detailed cost breakup along with justification of the quoted rates for scrutiny and

verification in accordance with Clause 18 of Part-3 of the General Terms and Conditions.

(c) The bidders will have to submit a single bid for the entire, absolute notified tender capacity quoting

the rate per kW for the project. Rates can be quoted up to two places of decimal only.

(d) If the rate quoted is the same for two or more bidders for the entire capacity, then all the bidders with

the same rate shall be considered of equal rank / standing in the initial merit order.

(e) The bidder(s) shall be selected in ascending order of quoted rate total tender capacity of the solar roof

top through reverse auction e-bidding. Say, a bidder who has quoted the lowest rate shall be awarded

solar capacity for which bid is submitted .

(f) The bidder(s) who have quoted the highest rate for the entire capacity shall be disqualified from

participating in the e-reverse bidding for the entire capacity. Moreover, subject to the condition that

after excluding the highest rate quoted bidder(s), the remaining qualified bidders are 5 nos or more.

(g) Reverse Auction :

Shortlisted bidders for the Reverse Auction will be able to log into the designated e-bidding portal

minutes before the start time of the reverse auction.

i) During the 15 minutes prior to the start of the reverse auction process, the respective initially quoted

rate for the entire project capacity shall be displayed on the bidder's window.

ii) The minimum decrement value for the rate shall be ₹ 100 per kW. The bidder can mention its

revised rate, which must be at least the minimum decrement value less than its current rate.

iii) Bidders can only quote a value lower than their previous quoted rate. At any stage, an increase in

the rate will not be permissible. Bidders improve their standing strictly by outbidding the lowest active

rate on the platform.

iv) Because this tender is for the entire absolute capacity without split-allocations, no capacity

adjustment inputs exist during the auction. Bidders are competing dynamically for 100% of the

contract award.

v) In the bidder’s bidding window, the following information can be viewed:

1. Its rate as their initial start price and thereafter its own last quoted rate.

2. The list of all competing bidders displayed via Pseudo Identities along with their last quoted

vi) The initial auction period will be 30 (thirty) minutes with a provision of auto-extension by 5 (five)

minutes from the scheduled/extended closing time. Such auto-extension shall be effected if a Bidder

drops their rate within the last 5 minutes of the auction, displacing the active L1 position. If no change

in the top L1 position occurs during the final 5 minutes, the e-reverse auction process will

automatically close.

(h) This tender follows a single-winner framework for the entire capacity. The single lowest quoting

bidder (Final L1) at the absolute conclusion of the e-reverse auction shall be selected as the sole

successful bidder and shall be awarded the 100% full notified capacity of the solar rooftop

installation project.

(i) Tie-Breaking Conditions Post e-Reverse Auction

If two or more bidders end the e-reverse auction with the exact same final quoted rate for the entire capacity,

the single successful bidder will be isolated using the following sequence:

1. Condition 1 (Chronological Submission Order): The award goes to the bidder who

logged/submitted that final lowest rate earliest in the system (determined by the system

timestamp down to the millisecond).

2. Condition 2 (Initial Financial Bid Preference): If the final submission timestamps are also

identical, the tie will be broken by looking back at Step-2. The award will be given to the

bidder who entered the reverse auction stage with the lower initial rate in the online Price-bid.

3. Condition 3 (Draw of Lots): If a tie still persists after Conditions 1 and 2, the final sole winner

for the entire capacity will be determined via a transparent draw of lots conducted by DGVCL.

(j) Negotiations :

 The Competent Committee appointed by DGVCL shall have full powers to undertake negotiations

exclusively with the Final L1 bidder if required.

 Negotiations shall not make the original offer made by the final L1 bidder inoperative.

 In the event of an unsatisfactory rate achieved from the winning bidder, the Competent Committee

may choose to make a written counter-offer with a revised lower target rate per kW to that single

 If the final project rate per kW—even after extensive negotiation with the L1 bidder—is

considered unviable or aggressively high by DGVCL, the tender will be canceled and fresh bids

shall be invited for the entire capacity.

(k) The Competent Authority, DGVCL, at its sole discretion, may distribute the work capacity among

the successful/eligible bidders in any proportion deemed appropriate, as per Clause 2 of Section-A in

Part-7 herein. Such allocation shall be final, binding, and not subject to challenge.

(l) Bidders shall be required to match the lowest discovered rates for entire tender capacity, failing which

their bids shall be rejected.

(m) The Competent Authority, DGVCL, also reserves the right to accept or reject any or all offers without

assigning any reason thereof.

(n) The rates quoted by bidders and subsequently discovered through this tender process are specific to

the scope, site conditions, contractual framework, and implementation timeline defined under

DGVCL's Tender for Financial 2026-27. Accordingly, such rates shall be applicable solely to projects

awarded under this specific tender reference and shall not be construed as binding, precedential, or

automatically extendable to any other procurement initiative, future tender, or implementing agency.

2. Site Allocation:

(a) DGVCL reserves the absolute, sole, and unconditional right to allot individual site(s) across the area

of DGVL based on administrative necessity.

(b) If a Bidder fails to achieve approved milestones (survey, approval, installation, commissioning) for

any allotted site(s) within the stipulated timelines and/or performance of the L1 bidder is found to be

unsatisfactory, DGVCL reserves the right to re-allocate such site(s) to another successful Bidder.Such

alternative bidder shall be considered for the allocation of work, provided they explicitly agree to

match the discovered L1 bidder's rate and adhere to all terms and conditions of the tender.

3. Site Feasibility Protocols:

(a) Upon allotment of sites (whether individual or more), the Bidder shall conduct physical, technical,

and documentary verification of all allotted sites within fifteen (15) days and submit consolidated

reports with supporting documents as desired by DGVCL(e.g. Beneficiary Consent letter, etc).

(b) If any allotted site(s) are found non-feasible due to structural constraints, shading, grid limitations, or

any other valid justifiable reasons, the Bidder shall immediately intimate DGVCL with site-wise

supporting evidence. DGVCL may, at its discretion, re-allocate alternative sites.

(c) The final capacity of installation shall be verified considering site feasibility after the issuance of the

Letter of Award (LoA)/ Wo.

(d) Failure to report non-feasibility of the site(s) within the stipulated time shall deem all allotted site(s)

technically feasible and bidder shall have to complete the work execution as per terms and conditions

of the tender documents and the time line mentioned in the work order.

4. Service Network:

Bidders must have a well established network of service centre(s) within the DGVCL and shall have

adequately trained staff available at service stations for repair and maintenance of Solar Rooftop Systems.

Bidders will ensure that necessary spares are always available at their service centre(s) to provide

necessary after sales service during the CMC period. Bidders shall have to provide the Registered

Addressed and Contact No. for the same to DGVCL.

5. Beneficiary Coordination & Site Access:

(a) The Bidder shall coordinate directly with allotted beneficiaries/departments for each site or sites

regarding site access, documentation, and handover.

(b) It shall be the responsibility of the Bidder to coordinate with beneficiaries, resolve site-related issues,

ensure their cooperation, and complete the entire documentation process within the stipulated

timelines. DGVCL shall not be liable for any delay arising on account of site-related issues, non-

cooperation, or documentation-related lapses.

6. Additional Work Order:

(a) DGVCL may, subject to administrative necessity and in accordance with the provisions of the Gujarat

State Procurement Policy, 2024 and applicable guidelines issued thereunder, award additional work

orders to the successful Bidder(s).

(b) In the event of such work, the Bidder shall be required to furnish additional Security Deposit on a

corresponding to the value of the additional work order.

SECTION B: Payment Terms:

1. Mandatory Security Deposit:

(a) The Successful Bidder shall deposit an unconditional Security Deposit in form of Bank Guarantee, in

favor of Dakshin Gujarat Vij Company Limited, Surat, within the stipulated time period as specified

(b) The value of Mandatory Security Deposit shall be 5 % of the total work order value for all the bidders.

(c) DGVCL may forfeit the Earnest Money Deposit (EMD) if bidder fails to submit the Security Deposit

within the stipulated time period as specified by DGVCL.

(d) The Security Deposit shall be returned without interest after successful completion of the

commissioning work and release of total payment of the given work order.

(e) The BG towards SD shall be submitted within 15 days from the date of issue of LOA.

(f) Bank Guarantee for interim period will not be allowed. If by any reasons the supply & commissioning

period is extended, then supplier should undertake to renew the Bank Guarantee at least one month

before the expiry of the validity failing which DGVCL will be at liberty to encash the same.

CORPORATE GUARANTEES NOT ALLOWED.

2. Payment Structure – Bidder's Option Selection:

Payment will be made by the Corporate Office after submission of necessary document in triplicate at

concerned Division Office of DGVCL & after on-site verification ,inspection,by concerned office .

Payment shall be released to the bidder upon successful Supply, Installation, and Commissioning of

the Solar Rooftop System, including Solar PV Modules, structure, foundation, inverter, cabling,

bidirectional meter, solar meter, and all associated components completed in all respects for per

The bidder shall submit photographs with the beneficiary, duly signed and stamped by both the

beneficiary and the bidder, confirming commissioning of the Solar Rooftop System, along with the

completion certificate duly signed by the beneficiary as well as the installer. The system shall also be

subject to Third-Party Inspection by representatives nominated by DGVCL.

In case any deficiencies or queries are observed during the Third-Party Inspection, the bidder shall

rectify the same at its own cost and submit documentary evidence of such rectification.

The Bidder shall also furnish a Performance Security equivalent to 20% of the total Order Value,

effective from the date of commissioning and covering the entire ten (10) year CMC period. Such

security may be submitted either in the form Bank Guarantee valid for the full ten

(10) years from the date of commissioning

3. Return of Performance Security:

The Performance security shall be returned without interest upon successful completion of the 10-year

CMC period, subject to submission of Quarterly Maintenance Reports in the format prescribed under

Annexure-9 for each quarter of the entire CMC period and maintaining the system Performance Ratio

(PR) above 70% in each quarter throughout the 10-year CMC period.

4. Other Payable Charges:

a) The system cost shall be inclusive of the supply, installation, and commissioning of Solar Technical

Specifications mentioned in Part- 4 of the Tender document. However, the quoted rate shall include

supply and installation of AC cable up to a maximum length of 50 meters per system. In cases, where

the length of the used AC cable from Inverter to Solar Meter is more than 50 meters, charges for cable

length exceeding 50 meters shall be payable separately on a case-to-case basis as actual upon duly

verification by Third Party Inspection Agency.

b) In case of HT connections, supply, installation, and commissioning of the HT bidirectional meter and

other associated electrical components, such as modem, TTB, CT coils, ferrules, etc., as per DISCOM

norms, shall be within the scope of the bidder. However, such charges shall be reimbursed by Dakshin

Gujarat Vij Company Limited (DGVCL) to bidder on actual basis at standard market rates.

c) Charges related to TFR, connectivity charges, network strengthening charges and any other applicable

charges payable to DISCOM as per GERC Regulations, arising upon generation of the estimate after

issuance of the Technical Feasibility Report (TFR), shall initially be paid by the bidder. However,

such charges shall be reimbursed by DGVCL on actual basis upon submission of valid payment

receipts and supporting documents.

The work shall be completed within the completion period as mentioned in the work order, failing which

penalty at the rate of 1 % per week, subject to maximum of 10 % of order value shall be imposed as time

is the essence of the contract. If the Bidders fails to complete the work within ten weeks after completion

period mentioned in order, DGVCL may terminate the Work Order, forfeit the Security Deposit/BG and

take any other consequential actions as deemed fit by DGVCL.

11. Annexure-11: Under Taking for Structural Integrity

Subject: Structural stability, sustainability against wind pressure and safety related

aspects of mounting structure deployed in solar rooftops.

Respected Sir/Madam,

<Name of the Solar Installer Agency/ Company/Firm> (the “Company/Firm”) is SUCCESSFUL

BIDDER of DGVCL for implementation of the solar roof tops programme in Government sector by the

virtue of being technically qualified for solar roof top Tender floated by DGVCL during year 2026-27

(the “Tender”). I, the undersigned <Name>, <Designation>, the Owner of Company/Firm have also

agreed to abide by the terms and conditions and the technical specifications of the solar roof top PV

system provided in the Tender document.

In accordance with the provision of the Tender, the minimum ground clearance of the bottom most edge

of solar panel from roof level has been specified as 300 mm to 1200mm. Further that the structure design

shall be such that it withstands the wind speed of 150 km/hr and that the thickness of the structure material

shall not less than 2.0 mm in case of GI Rectangular / Square / Circular hollow Pipe section and other

than above the material thickness should be minimum 2.5 mm as per tender terms and conditions.

I/we hereby declare that the module mounting structure and all its components including but not limited

to fixing of the solar panels to the structure, welded joints, fasteners, zinc spray, grouting/fixing of the

structure to the roof surface etc. installed by us at all the solar roof systems registered with DGVCL under

the Tender, have been designed to provide adequate stability to bear the load and to withstand the wind

speed of 150 km/hr. Further I/we certify that I/we have ascertained and vetted the design of the structure

ourselves and by a Structural Engineer to ensure stability and safeness of each of the installations to

sustain the wind pressure throughout the lifespan of the installation.

In this regard, we have also obtained the certificate of the Structural Engineer for the installation at <Full

of the structure and its strength to sustain a wind speed of 150km/hr. The copy of the certificates of the

8. Bid Evaluation and L1 Determination Criteria

● The Lowest (L1) bidder shall be identified based on the total quoted price exclusive of GST.

● All comparative evaluation of bids shall be conducted strictly on the base price (excluding

GST) to ensure a uniform assessment framework. However, 70 % of the quoted rates

(excluding GST) shall be considered as supply, installation and commissioning of Solar

Rooftop system and remaining 30 % of quoted rates (excluding GST) shall be considered as

CMC cost for 10 years.

● In accordance with Clause No. 1 of Section-A in Part-7 of Tender Document, DGVCL reserves

the right to invite multiple qualified bidders to match the lowest discovered per kW rate (L1).
