1. Introduction & Background
1.1. About Surat Municipal Corporation
Surat is one of the oldest municipalities of India established in 1852. Later, in 1966, it was
converted into a Municipal Corporation under the Bombay Provincial Municipal Corporation
(BPMC) Act, 1949. Surat Municipal Corporation functions as a local self-government, carrying
out all the obligatory and discretionary duties assigned under the GPMC Act.
Surat Municipal Corporation (SMC) perceives its role as the principal facilitator and provider
of services to provide a better quality of life for the city of Surat. SMC has responded to the
challengers of fastest population growth and high-speed economic development by adopting
the best urban management practices.
1.2. About Surat Smart City Development Ltd (SSCDL)
As per the GoI guidelines, Surat Municipal Corporation has formed a separate Special Purpose
Vehicle (SPV) as Surat Smart City Development Ltd. (SSCDL) for the implementation of projects
under the Smart City Mission for the city of Surat.

3. Broad Scope of Work
SSCDL is looking for agencies eligible for providing manpower service on outsourcing basis
with comprehensive set of skills, experience, and proven track record to carry out the work.
The broad scope of the work will be as under:
3.1. Talent Sourcing and Identification
3.1.1. Proactively source potential candidates through various channels including, but
not limited to, job portals, social media, referrals, and the agency's own
3.1.2. Target suitable candidates based on specific job requirements provided by

3.2.1. Conduct preliminary screenings, such as resume evaluations and initial
interviews, to ensure candidates meet the minimum experience and
qualification requirements.
3.2.2. Shortlist candidates based on predefined criteria, including educational
qualifications, experience, skillsets, etc. for the organization.
3.3. Candidate Engagement and Coordination
3.3.1. Ensure consistent communication with shortlisted candidates throughout the
recruitment process, from application to onboarding.
3.3.2. Coordinate interviews between candidates and the organization, providing
guidance and preparing candidates as needed.
3.4. Assessment and Interview Support
3.4.1. Arrange technical, psychometric, or other relevant assessments as required for

3.7.1. Ensure compliance with all applicable labor laws and organizational policies.
3.7.2. Maintain strict confidentiality of all candidates and organizational data

4. Eligibility Criteria
The companies/firms interested in being considered for ‘Bid for Hiring of an Agency for
Providing Manpower Services’ must fulfill the following minimum criteria:
1) The bidder should be a company registered under the Companies Act, 1956 or registered
LLP as per the LLP Act 2008 or a registered Partnership Firms and should be in operation
for at least 5 years as on 31.12.2025 and should have their registered offices in India.
2) The bidder shall have an average annual turnover not less than Rs. 5 Crores (Rs. Five
Crores) for the last three financial years. For this purpose, turnover figures as pre last three
audited balance sheets are to be considered. For this purpose, last financial year would be
considered as the one ended on 31.03.2025.
3) The bidder shall have at least 5 years of experience of providing similar services as on
date of publication of tender.
4) The bidder should have undertaken at least THREE projects pertaining to hiring of experts
(especially Engineers, IT professionals, analysts, managers, incubators, senior management
positions, etc.) for Central Government / State Government / State or Central Government
Owned Agencies / State or Central Government PSUs / Departments of State or Central
Government / ULBs / SPVs established by State or ULB in last 5 Years as on date of
publication of tender.
5) The bidder should have undertaken projects pertaining to hiring of minimum 20 experts
(especially Engineers, IT professionals, analysts, managers, incubators, senior management
positions, etc.) for Central Government / State Government / State or Central Government
Owned Agencies / State or Central Government PSUs / Departments of State or Central
Government / ULBs / SPVs established by State or ULB in last 5 Years as on date of
publication of tender.
6) The Bidder should not have been blacklisted /debarred by any of the Government or
Public Sector Units in India as on the date of bid submission. The bidder should not be
insolvent, in receivership, bankrupt or being wound up, not have its affairs
administered by a court or a judicial officer, not have its business activities suspended and
must not be the subject of legal proceedings for any of the foregoing reasons.

5. Instructions for the Bidder
5.1. Availing Bid Documents
Blank bid documents can be downloaded from the web site
https://smctender.nprocure.com upto the date and time mentioned in the Online Bid
Invitation Notice SSCDL/ADV/NO.05.
5.2. Addenda & Corrigenda
If required the Addenda and Corrigenda will be issued pursuant to the pre-bid
conference and the same will form the part of the original bid documents and shall
override any contradicting effects in the original bid papers.
5.3. Submission of Price Bid and Technical BID
The price bid and the technical bid containing all the relevant supporting documents
must be submitted online only on https://smctender.nprocure.com on or before the last
date of submission of the bid. No documents except the Bid Fee and EMD to be accepted
in hardcopy. It is advised to keep the softcopy of the relevant documents ready and
upload the same in advance on https://smctender.nprocure.com with respect to this
tender to avoid issues if any.
All the relevant softcopy should invariably follow the (n)Code portal's specific
requirements pertaining to file types, file size, file name length, etc.
o File Types: Files with only .pdf, .doc, .txt, .xls, .ppt, .pps, .png, .gif, .jpg, .zip, .rar
extension can be uploaded.
o File name: It should not be more than70 characters. Special Characters Like ( ' %
@ < > : * ? | & ~ ^) are not permitted.
o File size: Single file size should not be more than 3 MB.
The bid document (duly signed and stamped) in hard copy shall be submitted by the
successful bidder upon intimation from SSCDL.
5.4. Authorized Signatory
For the purpose of submission of the bid, the bidder may be represented by either the
Principal Officer (MD/CEO/Company Secretary) or his duly Authorized Representative, in
which case he/she shall submit a certificate of authority along with the technical bid. All
certificates and documents (including any clarifications sought and any subsequent
correspondences) received hereby, shall, as far as possible, be furnished and signed by
the authorized representative or the principal officer.
5.5. Bid Fee & Earnest Money Deposit (EMD)
• The bidder should pay non-refundable Bid Fee of Rs. 4248/- and EMD of Rs.
1,00,000/- by separate Demand Draft or Banker's Cheque of any
scheduled/nationalised bank payable at Surat in favour of Surat Smart City
Development Limited.
• Failure to submit Bid Fee and EMD as required shall lead to the tender being rejected

5.6. The bidder will be bound by the details furnished to SSCDL, while submitting the tender
or at subsequent stage. In case, any of such documents furnished by the bidder is found
to be false at any stage, it would be deemed to be a breach of terms of contract making
him/her liable to legal action besides termination of contract.
5.7. Online Submission of the Technical Bid:
The bidder will be required to upload the duly signed, stamped and notarized colour
scanned copy of below mentioned documents in the same order of sequence online on
smc.nprocure.com during e-tendering process. The indicative list of documents to be
submitted is as per Section –
5.8. Demand Draft for E.M.D. & Tender (Bid) fee shall be submitted in electronic format
through online mode (by scanning) while uploading the bid. This submission shall
mean that E.M.D. & tender fee are received for purpose of opening of the bid.
Accordingly offer of those shall be opened whose E.M.D. & tender (bid) fee is
received electronically. However, for the purpose of realization of D.D. bidder shall
send the D.D. in original through RPAD / Speed post so as to reach to Chief
Accountant, SMC on or before 01/04/2026 upto 18:00 hrs. Penal action for not
submitting D.D. in original to shall be initiated and action shall be taken for
abeyance of registration and cancellation of E-tendering code for one year. Any
documents in supporting of bid shall be in electronic format only through online
(by scanning) & hard copy will not be accepted separately.
5.9. All documents must be coloured scanned to be seen as original. Scanning in black
and white or gray shall not be acceptable.
5.10. All documents must be notarized with clearly-displaying stamp, number and name

5.12. Punitive Action in case of non-submission of EMD, Tender (Bid) Fee & Affidavit
a) Demand Draft for E.M.D. & Tender (Bid) fee shall be submitted in electronic format
through online mode (by scanning) while uploading the bid. This submission shall
mean that E.M.D. & tender fee are received for purpose of opening of the bid.
Accordingly offer of those shall be opened whose E.M.D. & tender (bid) fee is received
electronically. However, for the purpose of realization of D.D. bidder shall send the
D.D. in original through RPAD / Speed post as per Clasue-3.7 so as to reach to Chief
Accountant, SMC within 7 days from the last date of online submission of the bid as
per tender notice or addenda thereto.
b) Punitive action will be taken for not submitting original Demand Draft of EMD
& Tender Fee to the Account Department of Surat Municipal Corporation within
period as mention in tender notice or Addenda thereto for the first time as
mentioned below.

5.13. Late Bids: Bids not reaching on or before the specified time limit will not be accepted.
5.14. Withdrawal of Bids
Bid once filled in, submitted shall not be allowed to be withdrawn till the validity of the
bid remains in force or else the EMD shall be liable for forfeiture.
5.15. Period of Validity
The offer should be valid for acceptance for a minimum period of 180 days from the
date of opening of the Price Bid. If required, SSCDL may request the bidder to have it
extended for a further period.

5.16. Bid Currency: Prices shall be expressed in Indian Rupees only.
5.17. Language of Bids
The bids prepared by the bidder shall be in the English language. The supporting
documents in language other than English/Hindi/Gujarati must have its English
translation (which is to be duly attested by the bidder), for purposes of interpretation of
the bid, the English translation shall govern.
5.18. Right To Accept Or Reject Any Bid Or All Bids
SSCDL reserves the right to accept or reject any bid and annul the bidding process and
reject all bids at any time prior to award of contract, without thereby incurring any
liability to the affected bidder or bidders or any obligation to inform the affected bidder
or bidders of the ground for SSCDL’s action.
5.19. Firm Prices
Prices quoted must be firm and final and shall not be subject to any upward
modifications, on any account whatsoever. The bid prices shall be indicated in India
Rupees (INR) only.
5.20. Costs tobe Borne by Bidder
All costs and expenses (whether in terms of time or money) incurred by the bidder in
any way associated with the development, preparation and submission of the bid,
including but not limited to attendance at meetings, discussions, demonstrations, etc.
and providing any additional information required by SSCDL, will be borne entirely and
exclusively by the bidder.
5.21. Acceptance of Terms & Conditions
The bidder will, by taking participation in the bidding process and submitting the bid
documents, be deemed to have thoroughly read, studied and understood the bid
documents including scope of work, the terms and conditions, instructions, etc. referred
there in and the same are acceptable to the bidder.
5.22. All entries in the tender form should be legible and filled clearly. If the space for
furnishing information is insufficient, a separate sheet duly signed by the authorized
signatory may be attached. However, the interlineations, erasures or overwriting, if any,
in the Technical Bid Application must be attested by the person authorized to sign the

7. Terms and Conditions
1. The purpose of this tender is to empanel a reputed consulting organisation who has proven
experience and necessary expertise to render Recruitment Services includes sourcing,
screening, hiring of high-quality candidate for SSCDL.
2. The agency will be expected to bring in market expertise, speed, and efficiency to support
the organization's talent acquisition needs.
3. Nodal Authority: Surat Smart City Development Limited (SSCDL) is issuing this Tender as
the Nodal Authority. The rates, terms, conditions, scope of services under this Tender shall
be applicable to SSCDL and its affiliated/associated entities as defined herein.
4. Beneficiary Entities: For the purpose of this Tender, “Beneficiary Entities” shall include
Surat Municipal Corporation, AIC SURATi iLab and any other Special Purpose Vehicle (SPV),
municipal undertaking, subsidiary, or institution controlled, owned, or administratively
linked with SSCDL or SMC, as may be notified during the Contract Period.
5. Scope Extension to Beneficiary Entities:
(i) The Selected Agency shall provide recruitment, screening, talent search, evaluation,
background verification, and related manpower sourcing services to SSCDL and to any
Beneficiary Entity as per requirement.
(ii) All services rendered to Beneficiary Entities shall be governed by the same terms, rates,
SLAs, penalties, and terms & conditions as applicable to SSCDL under this tender.
6. Manpower requirements may be communicated directly by SSCDL on behalf of a
Beneficiary Entity; or by the Beneficiary Entity with intimation to SSCDL
7. The selected agency is required to meet the following performance standards:
(i) Reduce the average time taken from requisition to onboarding, aligning with
company’s needs and timelines. Ensure quality by recommending candidates who
meet or exceed performance expectations and align well with the organizational
(ii) Provide a positive and professional experience to candidates, regardless of the
outcome of their application, reflecting well on the organization’s employer brand.
(iii) Submit weekly/monthly progress reports detailing the status of each requisition.
(iv) Conduct thorough verification of candidate credentials, references, and backgrounds

9. Requirement on Need Basis (No Minimum Commitment)

(i) The manpower requirement under this Tender is indeterminate and requirement-
(ii) The Selected Agency shall be required to source, screen, and onboard manpower
strictly on an “as and when required” basis, upon written or electronic communication
by SSCDL or its authorized Beneficiary Entity.
10. No Minimum Guarantee
(i) Issuance of this Tender does not guarantee:
• Any minimum number of positions
• Any assured value of work
• Any fixed monthly engagement
• Any exclusive recruitment mandates
(ii) The Selected Agency acknowledges that deployment volumes may vary depending on
project needs, administrative approvals, funding availability, or policy decisions.
(iii) No claim for idle charges, loss of business, or anticipated profit shall be entertained
on account of non-issuance or reduction of requisitions.
(iv) SSCDL reserves the right to increase or decrease the requirements as well as the
compensation from time to time and the same will be binding to the agency.
11. Rate Applicability
(i) The rates quoted in the Financial Bid shall remain firm and applicable irrespective of:
• Number of positions
• Frequency of requisitions
• Urgency of requirement
• Beneficiary Entity concerned
(ii) No escalation in rates shall be permitted on account of low volume or sporadic
12. Right to Alternative Recruitment: SSCDL or its beneficiary entities reserves the right to
cancel or modify any requisition or defer recruitment or adopt alternate recruitment
methods in exceptional cases without assigning reasons and without liability.
13. The requirements in this bid are tentative. The exact requirements will be communicated
by SSCDL or beneficiary entity by way of indent/intimation by providing the details of the
openings along with job description, roles & responsibilities, qualification & experience
requirements, compensation range to the empaneled agency. Based on the requirement,
the selected agency will carry out initial screening of candidates through resume evaluation
and initial interviews to ascertain qualification compliance, experience relevance, skill
suitability and submit the profiles of the shortlisted candidates to SSCDL or beneficiary
entity. Such shortlisted candidates will be selected based on the written exam and/or
personal interview by SSCDL or beneficiary entity. On selection a written/official email
communication will be provided to the selected agency. Selected agency will promptly
onboard such candidate and deploy it at SSCDL or beneficiary entity. The payment liability
will start from the deployment date of such selected candidate.

14. The Selected Agency shall raise all invoices to SSCDL, and SSCDL may internally apportion
costs to the concerned Beneficiary Entity. Under no circumstances shall differential rates
be charged to different Beneficiary Entities.
15. Based on the screening by SSCDL, only shortlisted candidates will be called for written test,
personal interview or both. The selected agency will coordinate the same and ensure
availability of shortlisted candidate for this.
16. DECISION ON REASONABILITY OF SERVICE CHARGE:
(i) The bidders are required to quote only “Per Resource Service Charge in Percentage
(%) of Gross Monthly Salary excluding GST”. To ensure financial viability, statutory
compliance, and quality service delivery, the minimum permissible Service Charge
shall be Three Percent (3%) of the Gross Monthly Salary (excluding GST). Tenderers
quoting charges below 3% shall be DISQUALIFIED.
(ii) SSCDL reserves right to take a view on the reasonability of the rate of service charge.
The decision of SSCDL in this regard shall be final and binding. No representation will
be entertained and replied to.
17. Only the commercial bids of technically qualified bidders would be considered. The agency
whose commercial bid is the lowest would be considered as successful and awarded the
contract. In case of tie (commercial bids of two or more bidders being equal), bidders
having higher average turn-over (in the last 3 financial years) will be offered the contract.
By submitting a bid for the tender, the agency implicitly agrees to the above condition.
18. The relationship of parties under this Agreement is on “Principal to Principal basis”. The
agency shall provide, carry out and perform the services under this Agreement, as an
independent entity. The execution of the Assignment or the performance of the Services
under the contract, shall not be construed to create or intend to create a partnership, or a
joint venture or Client employee relationship between the Parties.
19. The selected agency shall be solely responsible for any loss or damage due to accident
caused to the life and property of the selected agency including its employees, workers,
representatives, agents etc. during the execution of the Assignment and in no case the
SSCDL shall be liable/ responsible for the ‘same.
20. The manpower deployed by the selected agency for the execution of the contract shall be
the employees of the selected agency for all intents and purposes and in no case, there
shall be any relationship of employee and employer between the said persons and SSCDL
either implicitly or explicitly.
21. The selected agency shall be liable for payment of salary and all other dues within the
stipulated time to the persons so deployed under this tender which the selected agency is
liable to pay under the various Labour Regulations and other statutory provisions. SSCDL
shall be absolved from any such liability at its own level.
22. The selected agency must comply with all the laws, rules, orders, notifications, etc. whether
central or state or local as applicable to it or to this contract from time to time at its cost.
23. The Contractor shall have a valid license obtained from Licensing Authority under the
Contract Labour (Regulation & Abolition) Act,

24. The Contractor shall submit the EPF code number obtained from the authorities concerned
under the Employees provident Fund and Miscellaneous Provisions Act,
25. The Contractor shall maintain all records/registers required to be maintained by him under
various labour laws mentioned above and produce the same before the Statutory
Authorities when required.
26. The selected agency undertakes to comply with all statutes, rules, regulations, and bylaws,
during the entire period of this contract.
27. The selected agency shall maintain all statutory registers under the applicable Law. The
agency shall produce the same on demand to SSCDL any other authority under Law.
28. In case, the agency fails to comply with any statutory / taxation liability under appropriate
law, and as a result thereof SSCDL is put to any loss / obligation, monetary or otherwise,
SSCDL will be entitled to get itself reimbursed out of the outstanding bills or the
Performance Security Deposit of the agency, to the extent of the loss or obligation in
monetary terms.
29. The Contractor undertakes to obtain any license, permit, consent, sanction etc. as may be
required or called for from/by local or state or central or any other authority for doing such
work. The Contractor shall comply with all applicable laws, rules and regulations in force.
The Contractor undertakes to obtain such permission/license as may be required under
the Central Contract Labour (Regulation and Abolition) Act, 1970. The Contractor
undertakes to produce the license/permission etc. so obtained to IISc or furnish copies
thereof as and when required by SSCDL. The Contractor also undertakes to keep and get
renewed such license, permission etc. from time to time. The Contractor shall be
responsible for any contravention of the local, municipal, central, state, any other laws,
rules, regulations, etc.
30. The selected agency shall not be allowed to transfer, assign, pledge or sub-contract its
rights and liabilities under this contract.
31. In case, the person employed by the successful bidder commits any act of omission
/commission that amounts to misconduct /indiscipline/ incompetence / security risks, the
selected agency will be liable to take appropriate disciplinary action against such persons,
including their removal from work, failing which it would be assumed as breach of contract
which may lead to cancellation of contract. Such person/staff who had committed an act
of omission / commission that amounts to misconduct /indiscipline/ incompetence /
security risks shall not be redeployed in SSCDL or beneficiary entities in future.
32. The persons deployed / proposed for deployment should not have any Police Records/
Criminal cases against them. The agency should make adequate enquiries about the
character and antecedents of the persons whom they are recommending.
33. The transportation, food, medical and other statutory/ legal requirements (if any) in respect
of each staff of the agency shall be the responsibility of the agency as per the prevailing

34. For all intents and purposes, the selected agency shall be the “Employer” within the
meaning of different Labour Legislations in respect of manpower so employed and
deployed at SSCDL or beneficiary entities, for contractual services.
35. The manpower deployed by the selected agency for providing the services shall not have
any claims of Master and Servant relationship vis-a-vis SSCDL or beneficiary entities nor
have any principal and agent relationship with or against the SSCDL or beneficiary entities.
36. The selected agency shall be solely responsible for the redressal of grievances / resolution
of disputes relating to person deployed. SSCDL or beneficiary entities, shall in no way, be
responsible for settlement of such issues whatsoever. SSCDL or beneficiary entities shall
not be responsible for any damages, losses, FINANCIAL or other injury claims to any person
deployed by service providing agency in the course of their performing the
functions/duties, or for payment towards any compensation.
37. The manpower deployed by the contractor for the contract shall not be entitled for claim,
pay, perks and other facilities which may be admissible to casual, ad-hoc regular /
confirmed employees of SSCDL or beneficiary entities, during the currency or after expiry
of the contract. In case of termination of the contract also, the persons deployed by the
contractor shall not be entitled to or and will have any claim for absorption or relaxation
for absorption in the regular / otherwise capacity in SSCDL or beneficiary entities. The
Contractor should communicate the above to all the manpower deployed in SSCDL or
beneficiary entities by the contractor.
38. The selected agency will indemnify SSCDL and beneficiary entities from all legal,
FINANCIAL, statutory, taxation, and associated other liabilities.
39. The selected agency shall be responsible for proper maintenance of decorum, punctuality,
discipline and work output.
40. The illustrative list of manpower with approximate cost to the office through outsourcing
to be engaged by SSCDL or beneficiary entities during the period of contract is as per
Annexure-A. The requirement there at is only tentative and may vary depending upon the
volume of work, functional requirements etc. Any additional requirement/variation of
manpower including qualifications shall be communicated to the Agency at the sole
discretion of SSCDL as and when the need arises during the period of contract.
41. The selected agency shall issue identity cards to staff deployed under this contract.
42. Along with the payment invoice, the selected agency will certify that the monthly salary
invoice of all categories of contractual employees deployed by it is complete and no
person has been left and no supplementary bill will be submitted thereafter. The proof of
disbursement of salary is to be attached along with the invoice.
43. The Agency shall disburse salary to its staff deployed under this tender before 5 th of each
month through their bank accounts (e-transfer mode only and not in cash or cheque). The
agency shall submit the monthly bill after disbursing the wages along with attendance
sheet and the same shall be paid by SSCDL after applying usual checks and also after
deduction non-deployment charges, penalty, applicable taxes or/and other dues, if any. In
the bill, the agency will clearly indicate the break-up of monthly payment details of each

outsourced staff alongwith the Agency's service charges. The agency will clearly indicate
the gross salary etc., each & every deduction made and net payment made to each person.
Documentary proof has to be provided that the bank has transferred the amount in the
accounts of each worker and also the receipt of EPF And ESIC of previous month with the
claim raised for reimbursement. The payment will be made on reimbursement basis only
and not in advance. On receipt of the bills with all necessary supporting documents, SSCDL
will try to release the payment on priority basis. However, the agency will not link the
payment by SSCDL with the payment to the staff and shall ensure to pay the wages in time
irrespective of delay in payment of Bill by SSCDL for whatever reason.
44. The personnel deployed under this contract shall maintain proper secrecy and shall not
disclose any secret official information to any unauthorized person.
45. In case of any loss, theft, sabotage etc. caused by or attributable to any of the personnel
deployed by the selected agency, SSCDL or beneficiary entities shall have the right to claim
the damages from the selected agency.
46. The staff deputed by the selected agency for the working in SSCDL or beneficiary entities
will be dedicated full time staff. After successful completion of 1 year of the given resource,
the competent officer/authority of SSCDL or beneficiary entity will take a decision w.r.t.
increment and its percentage, based on the performance of the concerned deputed staff.
The decision of SSCDL or beneficiary entity with regards to continuation of deputed staff
for further period and the salary will be final and binding to the selected entity.
47. All the monitoring and reporting aspects of the deputed staff will be under the control and
supervision of the concern reporting officer of SSCDL or beneficiary entity as the case may
be. The staff will be required to work under such reporting officer and carry out tasks
assigned by the concern reporting officer.
48. Leave cannot be claimed as deputed staff’s right. Except in case of emergencies, all leave
will be granted subject to organization’s requirements. However, the decision of the
reporting officer in case of approval of a leave will be final and binding.
49. The selected agency shall be liable for various human resources activities like monthly
checking of attendance, salary calculation for the month, etc. For executing this work with
ease and for smooth functioning of the manpower, it is required that the agency shall
nominate dedicated HR executive/ manager as SPOC without any cost to SSCDL or
beneficiary entities for the carrying out the day-to-day activities and act as the Nodal point
for SSCDL and the staff deployed.
50. In case any of the person so deployed by the Agency does not come up to the mark in
terms of general discipline or does not perform her/ his duties properly or indulges in
any unlawful activity including riots or disorderly conduct, the Agency on the request of
SSCDL or beneficiary entities, shall immediately withdraw such person(s). SSCDL or
beneficiary entities shall have the right to discontinue the services of such staff deployed
by the agency at any point of time and without assigning any reason.
51. The requirement given in the scope of work is only indicative. SSCDL reserves the right
either to increase or decrease it as per requirement. The decision of SSCDL in this regard
shall be final and binding on the Contractor.

52. The bidder shall depute a person on its staff at SSCDL or beneficiary entities only after the
person is interviewed / screened using any selection procedure by SSCDL or beneficiary
entities and/or its any representative(s) and the sanction for the same is given in writing.
Moreover, the bidder shall remove a person from its staff at SSCDL or beneficiary entities
if instructed to do so. All persons deputed shall be on the payroll of the Bidder’s
53. The bidder shall depute additional professional(s) on written demand by SSCDL or
beneficiary entities, or if SSCDL or beneficiary entities instructs shall drop a
professional/professionals.
54. If required, the selected agency will be required to provide the additional resources for a
shorter period also in case of any exigencies as per the requirement of SSCDL or beneficiary
55. The personnel deputed under this tender will generally observe the work-time and work-
days of SSCDL or beneficiary entities. The start and closing time may vary or be changed
as per the requirement and the staff should be ready to work for a duration of 8.5 hours
including 0.5-hour break per day as per the requirement. The staff may also be called upon
to perform duties on weekly off or on holidays. No extra salary/wages will be paid for such
instance, but the same may be compensated in the form of "off-hours" or “compensatory
off” from the normal working schedule. The personnel deployed must report to designated
office/place on or before the duty start time, delay in which will result in deduction.
56. Twelve leaves of absence per year will be admissible; additional leaves would be liable to
57. The deputed staff at SSCDL/SMC/beneficiary entity will take the permission for leave of
absence from the concern head of the department for leaves more than 3 days.
58. In case of personnel deputed under this tender by bidder is on a leave of absence for more
than five working days,
(i) then a competent substitute, fully conversant with the systems of SSCDL or beneficiary
entity as the case may be will have to be provided by the bidder.
(ii) if the substitute is not provided for more than 5 days than such leaves after fifth day
will be considered as if a person is not deployed by the bidder and monetary deduction
and penalty will be made accordingly.
59. The resources deployed shall have to use the biometric attendance system or mobile app-
based attendance system used by SSCDL or beneficiary entity for the purpose of
monitoring the attendance and timing of the deputed staff. The deputed staff will be
required to register the in-out time through the biometric device or mobile app-based
attendance system.
60. Necessary working space, system, etc. will be provided by SSCDL or beneficiary entity.
61. The staff deployed will be required to visit any of the offices or any other places as per the
directions of the Head of the concern department. They will need to have their own vehicle

/ arrangements for this purpose and the bidder shall have to bear the cost for this and
SSCDL or beneficiary entity will not make additional payment in this regard.
62. The staff deputed must possess mobile phone for easy communication. The bidder shall
have to bear the cost for this and SSCDL or beneficiary entity will not make additional
payment in this regard.
63. Any document / project report / study / system / database / data / etc. generated /
developed / created under this contract will be the sole property of SSCDL or beneficiary
entity and the bidder will have no claim over it.
64. The bidder shall not use its name/logo/symbol anywhere for any work delivered by the
deputed staff under this contract.
65. The bidder shall not use any information (including but not limited to data, records), the
name or the logo of SSCDL or beneficiary entity except for the purpose of providing the
service as specified under this contract.
66. Intellectual Property Rights (IPR):
(i) Work carried out under this contract will remain the sole property of SSCDL or
beneficiary entity. Neither the bidder nor its personnel, involved in service delivery
under this RFP will claim any intellectual property rights on such works. Bidder or its
personnel shall make no attempt to unlawfully reveal, misuse or encroach upon the
intellectual or private data / information /computer systems at SSCDL or beneficiary
entity to which they may have access to, as part of the work carried out.
(ii) All inventions, discoveries, improvements, copyrightable material, concepts, the final
products, all documents, report, information, data etc. collected and prepared by
selected agency in connection with the scope of Services submitted to the SSCDL or
beneficiary entities shall be deemed to be the sole property of the SSCDL or
beneficiary entities and the selected agency hereby waives any right, title or interest,
if any in the same, in favour of the SSCDL or beneficiary entities.
(iii) The selected agency shall not be entitled either directly or indirectly to make use of
the documents, reports given by the SSCDL or beneficiary entities for carrying out of
any Services with any third parties.
(iv) The selected agency shall not without the prior written consent of the SSCDL or
beneficiary entities be entitled to publish studies or descriptive article with or without
illustrations or data in respect of or in connection with the performance of services
(v) The selected agency’s obligations under this Clause will survive even after expiration
/ termination of this Contract.
67. The bidder or its deputed staff shall not copy/transfer any content in full or part, in physical
or electronic form, without the prior written permission of SSCDL or beneficiary entity and
transfer it to person / institution outside SSCDL or beneficiary entity unless it is available
in public domain.
68. The staff deputed must work closely and coherently with other agencies working for SSCDL
or beneficiary entity.

69. SSCDL or beneficiary entity will raise the manpower requirement and provide the details
of the openings along with job description, roles & responsibilities, qualification &
experience requirements, compensation range to the empaneled agency. Based on the
requirement, the selected agency will carry out initial screening of candidates through
resume evaluation and initial interviews to ascertain qualification compliance, experience
relevance, skill suitability and submit the profiles of the shortlisted candidates to SSCDL or
beneficiary entity within 15 working days. In case of delay, a penalty at the rate of Rs.
500/day will be made applicable for each day’s of delay upto delay of 15 days and post
which penalty at the rate of Rs. 1000/day will be made applicable for each day’s delay.
70. Once the candidate is selected, the selected agency will complete the onboarding process
and depute the selected candidate at SSCDL or beneficiary entity. The selected agency will
make sure that the selected candidate is onboarded and deputed within 15 working days
of such intimation. In case of delay, a penalty at the rate of Rs. 500/day will be made
applicable for each day’s of delay upto delay of 15 days and post which penalty at the rate
of Rs. 1000/day will be made applicable for each day’s delay.
71. Any leave beyond 5 days will be subject to deduction and leavy of penalty at the rate of
Rs. 500/day for leaves upto 15 days and Rs. 1000/day for leaves beyond it.
72. The Agency shall provide the experience certificate to the deployed personnel at the time
of their resignation or conclusion of the contract as the case may be. Non-issuance of the
offer of appointment, experience certificate beyond 10 calendar days shall lead to levy of
penalty @Rs.500/day.
73. The disbursement of salaries/wages/dues of the person deployed will be through
RTGS/NEFT by 5th of every month, failing which a penalty of Rs. 1000/day will be made
applicable for each staff whose disbursement is not made.
74. In case the bidder fails to deliver service as depicted in the scope of work, penalty will be
imposed generally upto 10% of the consideration of contract depending upon the nature
of failure or the short-fall.
75. Should the awarded bidder fail to deliver the scope of work in due time, SSCDL reserves
the right to get the development work done from third party at the bidder’s risk and cost.
76. The decision of SSCDL or beneficiary entities will be final and binding in case of the
percentage of penalty to be applied, imposed in all the above cases to the bidder.
77. In case of continued failure or short-falls from the established standard, the contract shall
be terminated and no payments will be made nor will any damages be paid to the bidder
besides forfeiting Security Deposit.
78. The selected agency shall submit a Proof of payment made to all personnel deployed along
with their monthly bill. The proof of payment submitted shall be of the past month, in
absence of which the payment for current month might be withhold.

Liabilities, Control, etc. of the persons deployed
79. The bidder on its part and through its own resources shall ensure that the goods, materials
and equipment etc. are not damaged in the process of delivering the services and shall be
responsible for acts of commission and omission on the part of its staff and its employee
etc. If SSCDL or beneficiary entities suffers any loss or damage on account of negligence,
default or theft on the part of the employee/staff of the bidder then the bidder shall be
liable to reimburse to SSCDL or beneficiary entities for the same. The bidder shall keep
SSCDL or beneficiary entities fully indemnified against any such loss or damage.
80. The persons deployed by the bidder shall not claim nor shall be entitled to pay, perks and
other facilities admissible to casual, ad-hoc, regular/confirmed employees of SSCDL or
beneficiary entities during the contract period or, after expiry of the contract.
81. The bidder’s personnel shall not divulge or disclose to any person, any details of office,
operation process technical know-how, administrative/ organizational matters as all are
82. The bidder’s personnel’s working should be polite, cordial, positive and efficient, while
handling the assigned work and his/her actions shall promote goodwill and enhance the
image of SSCDL or beneficiary entities. The bidder shall be responsible for any act of
indiscipline on the part of persons deployed by him.
83. The bidder shall be solely responsible for the redressal of grievances/resolution of disputes
relating to persons deployed. SSCDL or beneficiary entities shall, in no way, be responsible
for settlement of such issues whatsoever.
84. The transportation, food, medical and other statutory requirements in respect of personnel
of the service provider shall be the responsibility of the bidder.
85. The bidder needs to strictly adhere and comply with various central/state government
rules/regulations/laws pertaining to the manpower deployed by it under this contract
including but not limited to labour laws, minimum wages act, PF, etc. The bidder shall also
ensure compliance with any other rules/regulations/laws that may be modified/newly
introduced during the contract period.
86. Agreement, Surety & Undertaking
The Bidder shall enter into a written agreement, Surety and Undertaking with SSCDL for
this work on a stamp paper of appropriate value of Government of Gujarat at the
Bidder's own cost within 15 (fifteen) days period from the date of Notice of Award.
87. Solvency Certificate
Along with the technical bid documents, the bidder should submit Solvency Certificate
amounting to minimum Rs. 20,00,000/- (Rupees Twenty Lakh) or more from a scheduled/
nationalized bank. The Solvency Certificate should valid and should not be older than
one year from the bid start date.
88. Security Deposit

The successful bidder shall place Security Deposit amounting to Rs. 5,00,000/- by Demand
Draft or Banker's Cheque Payable at Surat in favour of Surat Smart City Development
Limited of any nationalised bank within 15 days of the Notice of Award of Contract. The
EMD placed may be considered for conversion towards the security deposit and amount
falling short shall be payable within fifteen days of the date of Notice of Award of Contract.
Failing which a penalty at 0.065% of the amount of security deposit will be imposed for
delay of each day. In case the yearly estimated cost increases above Rs. 1 cr. the selected
bidder will be required to pay additional Security Deposit as per the intimation by SSCDL.
89. No interest shall be paid on Earnest Money Deposit (EMD) and/ or Security Deposit (SD)
90. The contract shall be governed by the Laws in India and shall be subject to the jurisdiction
91. The right to reject or accept any/all bid(s) without assigning any reason thereof is reserved.
92. Any bid not meeting the terms and conditions mentioned herein before and after would
be liable for rejection without assigning any reason thereof.
93. Bid once filled in, submitted shall not be allowed to be withdrawn till the validity of the
period of this bid remains in force or else the EMD shall be liable for forfeiture.
94. Along with the bid documents, the bidder should submit attested photocopies of the, past
experience certificate(s), Income-tax PAN(s), Commercial tax Registration Nos., etc.
95. The Bidder is NOT allowed to form consortium/Joint Venture for any specific service within
the scope of the tender. Sub-contracting is also NOT permitted.
96. Neither will the contract be awarded to nor will the payment be made to any other
person/agency/institution other than the bidding agency/institution.
97. Limitation of Liability
a) Except in case of gross negligence or willful misconduct on the part of the bidder
or on the part of any person or Firm acting on behalf of the bidder in carrying out
the Services, the Bidder, with respect to damage caused by the Bidder to the SSCDL
or beneficiary entities, shall not be liable to the SSCDL or beneficiary entities:
I. for any indirect or consequential loss or damage; and
II. for any direct loss or damage that exceeds a fixed amount equal to total
contract value.
b) However, that this limitation shall not apply to any liability for damages arising from
(a) willful misconduct (b) gross negligence or (c) indemnification against third party
claims for infringement; caused by the bidder or any person or Firm acting on behalf
of the bidder in carrying out the Services or any obligation of the bidder as part of

its officers, employees and agents(each a “Indemnified Party”) promptly upon demand at
any time and from time to time, from and against any and all losses , claims, damages,

liabilities, costs (including reasonable attorney’s fees and disbursements) and expenses
(collectively, “Losses”) to which the Indemnified Party may become subject, in so far as
such losses directly arise out of, in any way relate to, or result from
(i) any mis-statement or any breach of any representation or warranty made by the
Selected bidder or
(ii) The failure by the selected bidder to fulfil any covenant or condition contained in
this Agreement, including without limitation the breach of any terms and conditions
of this Agreement by any employee or agent of the selected bidder. Against all
losses or damages arising from claims by third Parties that any Deliverable (or the
access, use or other rights thereto), created selected bidder pursuant to this
Agreement, or any equipment, software, information, methods of operation or other
intellectual property created by selected bidder or its representative pursuant to this
Agreement, or the SLAs (I) infringes a copyright, trade mark, trade design
enforceable in India, (II) infringes a patent issued in India, or (III) constitutes
misappropriation or unlawful disclosure or use of another Party's trade secretes
under the laws of India (collectively, "Infringement Claims") or
(iii) any compensation / claim or proceeding by any third party against SSCDL or
beneficiary entities arising out of any act, deed or omission by the selected bidder
(iv) Claim filed by a workman or employee engaged by the selected bidder for carrying
out work related to this Agreement. For the avoidance of doubt, indemnification of
Losses pursuant to this section shall be made in an amount or amounts sufficient to
restore each of the Indemnified Party to the financial position it would have been in
had the losses not occurred.
(v) Any payment made under this Agreement to an indemnity or claim for breach of
any provision of this Agreement shall include applicable taxes.
99. Third Party Claims
(a) Subject to Sub-clause (b) below, the Selected bidder (the "Indemnified Party") from
and against all losses, claims litigation and damages on account of bodily injury,
death or damage to tangible personal property arising in favor or any person,
corporation or other entity (including the Indemnified Party) attributable to the
Indemnifying Party's performance or non-performance under this Agreement or
(b) The indemnities set out in Sub-clause (a) above shall be subject to the following
i. The Indemnified Party, as promptly as practicable, informs the Indemnifying
Party in writing of the claim or proceedings and provides all relevant evidence,
documentary or otherwise;
ii. The Indemnified Party shall, at the cost and expenses of the Indemnifying Party,
give the Indemnifying Party all reasonable assistance in the defense of such
claim including reasonable access to all relevant information, documentation

and personnel. The indemnifying party shall bear cost and expenses and fees
of the Attorney on behalf of the Indemnified Party in the litigation, claim.
iii. if the Indemnifying Party does not assume full control over the defense of a
claim as provided in this Article, the Indemnifying Party may participate in such
defense at its sole cost and expense, and the Indemnified Party will have the
right to defend the claim in such manner as it may deem appropriate, and the
cost and expense of the Indemnified Party will be borne and paid by the
Indemnifying Party.
iv. The Indemnified Party shall not prejudice, pay or accept any proceedings or
claim, or compromise any proceedings or claim, without the written consent of
the Indemnifying Party;
v. selected bidder hereby indemnify & hold indemnified the SSCDL or beneficiary
entities harmless from & against any & all damages, losses, liabilities, expenses
including legal fees & cost of litigation in connection with any action, claim,
suit, proceedings as if result of claim made by the third party directly or
indirectly arising out of or in connection with this agreement.
vi. all settlements of claims subject to indemnification under this Article will: (a) be
entered into only with the consent of the Indemnified Party, which consent will
not be unreasonably withheld & include an unconditional release to the
Indemnified Party from the claimant for all liability in respect of such claim; &
(b) include any appropriate confidentiality agreement prohibiting disclosure of
the terms of such settlement;
vii. the Indemnified Party shall take steps that the Indemnifying Party may
reasonably require to mitigate or reduce its loss as a result of such a claim or
viii. In the event that the Indemnifying Party is obligated to indemnify an
Indemnified Party pursuant to this Article, the Indemnifying Party will, upon
payment of such indemnity in full, be subrogated to all rights & defenses of the
Indemnified Party with respect to the claims to which such indemnification
ix. in the event that the Indemnifying Party is obligated to indemnify the
Indemnified Party pursuant to this Article, the Indemnified Party will be entitled
to invoke the Performance Bank Guarantee, if such indemnity is not paid, either
in full or in part, & on the invocation of the Performance Bank Guarantee, the
Indemnifying Party shall be subrogated to all rights & defenses of the
Indemnified Party with respect to the claims to which such indemnification
100. The rates quoted online in Price Proposal shall be exclusive of GST but inclusive of any
other directly or indirectly applicable taxes. GST as applicable shall be payable by the

Authority to the Selected Bidder based on invoice raised and on submitting the
evidence of payment of such GST. Any deviations due to change in the rate of directly
applicable taxes and duties except GST would be Liability of the Selected Bidder. If any
other tax is introduced by the Government replacing the GST, the same will be made
applicable accordingly.
101. The Authority shall be entitled to deduct tax at source as may be applicable. The TDS
certificate(s) shall be submitted as per the due date specified in the Income Tax Act.
102. GST (Goods & Service Tax) has come in existence from 1st July 2017. Contractor /
Successful Bidder is bound to pay any amount of GST prescribed by the Govt. of India
as per the Terms of Contract agreed upon during the course of execution of this
During the course of execution of Contract, if there is any change in Rate of GST
(Goods & Service Tax) by the Government, the same shall be reimbursed / recovered
separately by SSCDL, subject to the submission of Original Receipt / Proof of the
amounts actually remitted by the Successful Tenderer / Contractor to the Competent
Authority along with a Certificate from Chartered Accountant of Contractor /
Successful Bidder certifying that the amount of GST paid to the Government and the
same shall be intimated / submitted / claimed within 30 (Thirty) Days from the date
of payment. Remittance of GST within stipulated period shall be the sole
responsibility of the Successful Bidder / Contractor, failing which SSCDL may recover
the amount due, from any other payable dues with SSCDL and decision of Municipal
Commissioner shall be final and binding on the Contractor / Successful Bidder in this
regard. Further, the non-payment of GST to the Government may lead to the
termination of contract and forfeiture of Security Deposit / Performance Guarantee

103. Force Majeure: The bidder shall not be liable for any delay or failure of performance
of any of its obligations under or arising out of this contract, if the failure or delay is
the result of an event of Force Majeure. “Force Majeure” means an event beyond the
control of the bidder and not involving the bidder’s fault or negligence, and not
foreseeable. Such events may include, but are not restricted to, acts of the End
customer in its sovereign capacity, wars or revolutions, riot or commotion, earthquake,
fires, earthquake, floods, epidemics, quarantine restrictions. The bidder shall continue
to perform its obligations under the Contract as far as is reasonably practical and
