SPECIAL TERMS AND CONDITIONS
1. Contract period would be for a period of Six months (tentatively from 1st April 2023). It may be extended
for the period as BPCL may decide in its own discretion, if required. Rate should be valid for entire
contract period.
2. Rate quoted should be exclusive of GST. Percentage of GST applicable should be separately mentioned
in the space provided in the Tender.
3. Contractor is required to deposit 3% of the contract value as SD in the form of DD (as per the recent
ministry guidelines).
4. Un-skilled category contract employees (THREE Persons) should be deployed.
5. Rate should be quoted on monthly lumpsum basis for Housekeeping Services as per scope of work
which is inclusive of holiday working & overtime but excludes Sunday working. Daily Housekeeping area
shall be 3600 Sqm. Rate should be quoted considering Contract Employee Salary, PF, ESI, Admin charges,
Bonus (8.33%), Leave wages (6.73%), PPE/uniform charges (2.5%), Service Charges, Leave, Over time,
Holiday working, Compensatory off, minimum wage increase, prevailing market demand, any other
statutory requirements/ payments etc.
6. Incase of housekeeping services extended for extra area beyond scope of work, proportionate payment
can be claimed for the extra area. Incase of unattended areas, deduction shall be made proportionately.
Payment for extra area or deduction for unattended areas will be calculated based on area considering
quoted rate is for the area of 3600 sqm per day x 26 days (i.e 93600 sqm). Reliever has to be arranged
incase of leave/absence of the contract employee failing which proportionate amount will be deducted
from the monthly bill for the absence/leave period on the basis of 1200 Sqm area to be executed per
man-day (8 hrs).
7. Payment to the contract employees should not be less than Minimum wages (Central Govt Wage or
State Govt Wage whichever is higher). Provision of Leave, Reliever, Compensatory Off, Weekly Off,
Bonus, Holiday working, Double Payment for over time, etc should be in accordance with the rules and
regulations of statutory authorities and it will be within the scope of the contractor, hence the same
should be paid by contractor to the contract employee in line with the statutory requirements. No extra
payment will be paid by BPCL for leave, leave wages, reliever, bonus, overtime, holidays working, etc.
Incase of sunday working & extra assignment other than the scope of work, it shall be paid extra in
contract (Refer scope of work).
8. The rate quoted will be valid during tenure of the contract. Contractor has to ensure payment of any
increase in minimum wages from time to time and the same will be within the scope of the contractor.
9. Payment would be made on monthly basis subject to production of bills, vouchers, documents required
etc or as may be agreed upon between the parties from time to time, for the services rendered by the
Contractor to its fullest satisfaction as per the contract.
10. In case the Contractor does not render any of the services as contemplated, the Company shall be
entitled to deduct such amount as deemed appropriate as may be decided by the Location In-charge
(whose decision will be final) in respect of the default from the amount payable to the Contractor.
11. The Company reserves the right to get the work done by any external agencies, if the Contractor fails to
get the job done within the stipulated time as mentioned. The cost incurred by the Company in doing so
shall be levied along with the penalty applicable to the Contractor in his subsequent payments or the
deposit amount.
12. The Contractor shall undertake to complete the whole of work as per the scope of work. Engagement of
the workers by the Contractor shall be in order to complete the entire work assignment. Sufficient
manpower has to be deployed for the work as communicated, in case of insufficient manpower,
company reserves the right to deduct the payment for unattended services as per scope of work.
13. In case the Company feels that any or all the persons deployed at Company premises is not suitable for
carrying out the job then the same is to be replaced immediately.
14. The Contractor shall maintain Register of workmen, Muster roll Register, Register of wages, Leave wages
Register, Overtime wage register, Register of Fines & Deductions, All statutory records etc as applicable
and produce the updated records whenever required by Employer/ Statutory Authorities.
15. The Contractor shall be responsible for payment of any compensation / settlement of any liability arising
out of any death or injury caused to the person employed by him for rendering the jobs on contact
either under the Employees Compensation Act or any other applicable Act in force at that time.
16. In the absence of ESI coverage, the Contractor shall obtain insurance to cover against any claims made
under the Employees Compensation Act.
17. The Contractor shall comply with all Acts, laws under CL (R&A) Act 1970 and EPF and Misc Prov Act
& ESI Act 1948, Payment of Wages Act, Minimum Wages Act 1948, Payment of Gratuity Act 1972, Equal
Remuneration Act 1976, Payment of Bonus Act, or other Statutory Rules, regulation with their latest
amendments by-laws or which might become applicable to the said premises with regard to the
performance of the work included herein or touching this Contract from time to time.
18. No staff of the Contractor shall be deployed at the premises without him/her having ESI & PF number. A
copy of the ESI card shall be deposited with the Company before submission of the first bill of services.
19. Contractor is required to furnish documentary proof of salary payment deposited by NEFT to the bank
account of staff for each month. Such proof shall be attached with same month’s bill. Contractor is
required to furnish documentary proof of ESI & PF contributions deposited for each month. Such proof
shall be attached to following month’s bill along with the registers required in line with Factory Act/
CLRA Act (Register of Workmen, Muster roll Register, Wage Register, Leave Register, Overtime Register,
Register of Fine & Deductions etc).
20. The contractor shall be responsible for ensuring and observing all Health, Safety, Security &
Environmental precautions.
21. In case the Contractor assigns or sub-assigns this contract without written approval of the Company and
or attempts to do so or in case the performance of Contractor is found to be unsatisfactory or violated /
contravened any of the terms and conditions contained herein and schedule hereto, the Company shall
have the right to terminate the agreement without giving any notice to the Contractor and without
prejudice to its right to recover damages caused to the Company from the amount payable or
22. The performance of the Contractor may be reviewed on monthly basis and in case the services are not
found up to the mark the contract will be terminated even before the expiry of contract period by giving
one month’s notice.
23. The Contractor undertakes to obtain any license, permit, consent, sanction etc. as may be required or
called for from / by local or any other authority for doing such work. The Contractor also undertakes to
keep and get renewed such license, permission etc. from time to time. The Contractor shall be
responsible for any contravention of the local, municipal, central, state, any other laws, rules,
regulations, etc.
24. The employees of the Contractor, their management, control, duty rosters, administration, etc. will be
dealt with and be decided exclusively by the Contractor being their employer and engaged by them.
25. Location In-charge shall be the sole authority to decide and judge the quality of the service rendered by
the Contractor.
26. The Contractor will be responsible for proper maintenance and safety of all furniture & fixtures,
materials, goods, files, books, periodicals lying in Company premises, etc. The cost of missing/ damaged
items etc. will be deducted from the monthly payments / any others sum / deposit due to the
27. The qualifications, citizenship, age proof etc of all staff employed under this contract may be sought by
the Company at any time. A copy of all relevant documents for the same shall be maintained at the
28. The Contractor will pay salary, allowances, etc. to his employees as per the service conditions agreed
between himself and his employees. The Company shall not be responsible to make good of any
benefits under the clause of the terms of the service conditions entered into between the Contractor
and his employees if the Contract fails to honor the same.
29. The Contractor shall pay wages/ payments to the staff deployed by him for the purpose of this contract
on or before the 7th of the month even in the event of want of release of bill from the Company.
30. Recommended PPE & uniform as instructed time to time should be used by the workers employed by
the Contractor while working in the premises. Vendor would require providing cotton boiler suits to the
contract employee, if requires. Ensuring and providing PPE & uniforms to the workers is within the
scope of the contractor.
31. The Company shall have the right to withhold reasonable sums from the amounts payable to the
Contractor under this contract or the security deposit or the proceeds of guarantee if the Contractor
commits breach of any of the terms and conditions of this agreement or fails to produce sufficient proof
to the satisfaction of the Company, of payment of all statutory and other dues or compliance with other
32. On termination of the contract by the Company for any reason whatsoever, the Company shall be
entitled to engage the services of any other person, agency or Contractor to meet its requirement,
without prejudice to its rights including claim for damages against the Contractor.
33. The workers engaged by the Contractor shall not be below the age of 18 years or above the age of
and contractor has to produce police verification certificate for all workers.
34. The contractor to ensure all the labourers engaged by him to undergo medical examination before
commencement of contract and once in six months thereafter and produce fitness certificate from an
authorized medical practitioner.
35. Contractor to take suitable accident / life insurance policy for the workmen like Pradhan Mantri Jeevan
Jyoti Bima Yojana (PMJJBY) & Pradhan Mantri Suraksha Bima Yojana (PMSBY) or equivalent and produce
the documents to the employer within a month of the grant of LOI. Company will not pay any premium
amount. Contractor will encourage his employees for the Atal pension yojana enrollment to get a
minimum pension.
36. Incase any changes made by BPCL in the scope of work, BPCL shall have right to finalize fresh contract.
37. Incase of any conditional bids, abnormal quote, any deviation from the tender conditions/important
clauses/scope of work, etc, your offer will be liable for rejection. All the enclosures of E-tender enquiry
will be considered as read & accepted by you along with your quoted bid.
