LETTER OF CREDIT (LC):- The Special conditions are furnishedbelow for tenderer to take payment from Indian Railway throughLetter of Credit (LC) arrangements. (i) For all the tenders havingadvertised cost of Rs 10 lakh or above, the contractor shall havethe option to take payment from Railways through a letter ofcredit (LC) arrangement. (ii) This option of taking paymentthrough LC arrangement has to be exercised in IREPS (IndianRailway Electronic Procurement System - the e- application onwhich tenders are called by Railways) by the tenderer at thetime of bidding itself, and the tenderer shall affirm having readover and agreed to the terms and conditions of the LC option.(iii) The option so exercised, shall be an integral part of thebidder's offer. (iv) The above option of taking payment throughLC arrangement, once exercised by tenderer at the time ofbidding, shall be final and no change shall be permitted,thereafter, during execution of contract. (v) In case tendereropts for payment through LC, following shall be the procedure todeal release of payment through LC:- (a) The LC shall be a sightLC. (b) The contractor shall select his Advising/Negotiating bankfor LC. The incidental cost towards issue of LC and its operationthereof shall be borne by the contractor. (c) SBI, New Delhi, MainBranch will be the nodal branch for issue of LCs based on onlinerequests received from Railway Accounts Units for tendersopened in financial year 2026-27. SBI branches where therespective Railway Accounts Office has its Account (local SBIbranch) will be the issuance/reimbursing branch for LC issuedunder this arrangement. The Bank shall remain same for thistender till completion of contract. The incidental cost @ 0.15%per annum of LC value, towards issue of LC and operationthereof shall be borne by the contractor and shall be recoveredfrom his bills. (d) The LC shall be opened initially for duration of180 to 365 days in consultation with contractor. The LC shall beextended time to time as per the progress of the contract, on therequest of the contractor. The value of LC to be opened initiallyas well as extended thereafter shall be finalized by the engineerin consultation with the contractor on the basis of expectedprogress of work. (e) The LC terms and conditions shall inter-aliaindemnify and save harmless the Railway from and against alllosses, claims and demands of every nature and descriptionbrought or recovered against the Railways by reason of any actor omission of the contractor, his agents or employees, inrelation to the Letter of Credit (LC). All sums payable/ borne byrailways on this account shall be considered as reasonablecompensation and paid by contractor. (f) The LC terms andconditions shall inter-alia provide that Railways will issue aDocument of Authorization after passing the bill for completedwork, to enable contractor to claim the authorized amount fromtheir bank. (g) The acceptable, agreed upon document forpayments to be released under the LC shall be the Document ofAuthorization. (h) The Document of Authorization shall be issuedby Railway Accounts Office against each bill passed by Railways.(i) On issuance of Document of Authorization, a copy ofdocument of Authorization shall be posted on IREPS fordownload by the contractor. A digitally signed copy of Documentof Authorization shall also be sent by Railway Accounts Office toRailway's bank (Local SBI Branch).
The contractor shall take print out of the Document ofAuthorization available on IREPS and present his claim to hisbank (advising Bank) for necessary payments as per LC termsand conditions. The claim shall comprise of copy of Document ofAuthorization, Bill of Exchange and Bill. (k) The payment againstLC shall be subject to verification from Railway's Bank (Local SBIBranch). (I) The contractor's bank (advising bank) shall submitthe documents to the Railway's Bank (Local SBI Branch). (m) Therailway's bank (issuing bank) shall, after verifying the claim soreceived w.r.t. the digitally signed Document of Authorizationreceived from Railway Accounts Office, release the payment tocontractor's bank (advising bank) for crediting the same tocontractor's account. (n) Any number of bills can be dealt withinone L.C provided the sum total of payments to contractor iswithin the amount for which LC has been opened. (0) The LCshall be closed after the release of final payment including PVCamount, if any, to the contractor. (p) The release of performanceguarantee or security deposit shall be dealt directly by railwaywith the contractor i.e., not through LC, The contractor will fill up& update the details of contracts, contractual labour employedby him/her & related details as required by railway on "contractlabour management portal" or any other portal or in register-asdirected by engineer-in-charge for which no extra paymentsshall be made.
Bid Security: - (A) (a) The tenderer shall be required to submit the Bid Security with the tender for the due performance with the stipulation to keep the offer open till such date as specified in the tender, under the conditions of tender. The Bid Security shall be 2 % of the estimated cost of the work. Note:- (i) The Bid Security shall be rounded off to the nearest Rs. 100. This Bid Security shall be applicable for all modes of tendering. (ii) Any firm recognized by Department of Industrial Policy and Promotion (DIPP) as 'Startups' shall be exempted from payment of Bid Security detailed above. (iii) Labour Cooperative Societies shall submit only 50% of above Bid Security detailed above. (b) It shall be understood that the tender documents have been issued to the tenderer and the tenderer is permitted to tender in consideration of stipulation on his part, that after submitting his tender he will not resile from his offer or modify the terms and conditions thereof in a manner not acceptable to the Engineer. Should the tenderer fail to observe or comply with the said stipulation, the aforesaid amount shall be liable to be forfeited to the Railway. (c) If his tender is accepted, this Bid Security mentioned in sub para (a) above will be retained as part security for the due and faithful fulfillment of the contract in terms of Clause 16 of the Standard General Conditions of Contract. The Bid Security of other Tenderers shall, save as herein before provided, be returned to them, but the Railway shall not be responsible for any loss or depreciation that may happen thereto while in their possession, nor be liable to pay interest thereon. (B) The Bid Security shall be deposited either in cash through e- payment gateway or submitted as Bank Guarantee bond from a scheduled commercial bank of India or as mentioned in tender documents. The Bank Guarantee bond shall be as per Annexure VIA (format attached in the uploaded tender document at document section) and shall be valid for a period of 90 days beyond the bid validity period.
(C) In case, submission of Bid Security in the form of BankGuarantee, following shall be ensured: i. A scanned copy of theBank Guarantee shall be uploaded on e-Procurement Portal(IREPS) while applying to the tender. ii. The original BankGuarantee should be delivered in person to the officialnominated as indicated in the tender document before closingdate for submission of Bids (i.e. excluding the last date ofsubmission of bids). iii. Non submission of scanned copy of BankGuarantee with the bid on e-tendering portal (IREPS) and/ornonsubmission of original Bank Guarantee within the specifiedperiod shall lead to summary rejection of bid. iv. The TenderSecurity shall remain valid for a period of 90 days beyond thevalidity period for the Tender. v. The details of the BG, physicallysubmitted should match with the details available in thescanned copy and the data entered during bid submission time,failing which the bid will be rejected vi. The Bank Guaranteeshall be placed in an envelope, which shall be sealed. Theenvelope shall clearly bear the identification "Bid for the *****Project" and shall clearly indicate the name and address of theBidder. In addition, the Bid Due Date should be indicated on theright hand top corner of the envelope. vii. The envelope shall beaddressed to the officer and address as mentioned in the tenderdocument. viii. If the envelope is not sealed and marked asinstructed above, the Railway assumes no responsibility for themisplacement or premature opening of the contents of the Bidsubmitted and consequent losses, if any, suffered by the Bidder

Performance Guarantee: - (a) The successful bidder shall have tosubmit a Performance Guarantee (PG) within 21 (Twenty one)days from the date of issue of Letter of Acceptance (LOA).Extension of time for submission of PG beyond 21 (Twenty one)days and up to 60 days from the date of issue of LOA may begiven by the Authority who is competent to sign the contractagreement. However, a penal interest of 12% per annum shallbe charged for the delay beyond 21 (Twenty one) days, i.e. from22nd day after the date of issue of LOA. Further, if the 60th dayhappens to be a declared holiday in the concerned office of theRailway, submission of PG can be accepted on the next workingday. In all other cases, if the Contractor fails to submit therequisite PG even after 60 days from the date of issue of LOA,the contract is liable to be terminated. In case contract isterminated railway shall be entitled to forfeit Bid Security andother dues payable to the contractor against that particularcontract, subject to maximum of PG amount. In case a tendererhas not submitted Bid Security on the strength of theirregistration as a Startup recognized by Department of IndustrialPolicy and Promotion (DIPP) under Ministry of Commerce andIndustry, DIPP shall be informed to this effect. The failedContractor shall be debarred from participating in re- tender forthat work. (b) The successful bidder shall submit thePerformance Guarantee (PG) in any of the following forms,amounting to 5% of the original contract value:- (i) A deposit ofCash; (ii) Irrevocable Bank Guarantee; (iii) GovernmentSecurities including State Loan Bonds at 5% below the marketvalue; (iv) Pay Orders and Demand Drafts tendered by anyScheduled Commercial Bank of India; (v) Guarantee Bondsexecuted or Deposits Receipts tendered by any ScheduledCommercial Bank of India; (vi) Deposit in the Post Office SavingBank; (vii) Deposit in the National Savings Certificates; (viii)Twelve years National Defence Certificates; (ix) Ten yearsDefence Deposits; (x) National Defence Bonds and (xi) UnitTrust Certificates at 5% below market value or at the face valuewhichever is less. Also, FDR in favour of FA & CAO (free from anyencumbrance) may be accepted.
c) The Performance Guarantee shall be submitted by thesuccessful bidder after the Letter of Acceptance (LOA) has beenissued, but before signing of the contract agreement. This P.G.shall be initially valid up to the stipulated date of completion plus60 days beyond that. In case, the time for completion of workgets extended, the Contractor shall get the validity of P.G.extended to cover such extended time for completion of workplus 60 days. (d) The value of PG to be submitted by theContractor is based on original contract value and shall notchange due to subsequent variation(s) in the original contractvalue. (e) The Performance Guarantee (PG) shall be releasedafter physical completion of the work based on 'CompletionCertificate' issued by the competent authority stating that theContractor has completed the work in all respects satisfactorily.(f) Whenever the contract is rescinded, the PerformanceGuarantee already submitted for the contract shall be encashed.(g) The Engineer shall not make a claim under the PerformanceGuarantee except for amounts to which the President of Indiaisentitled under the contract (not withstanding and/or withoutprejudice to any other provisions in the contract agreement) inthe event of: (i) Failure by the Contractor to extend the validityof the Performance Guarantee as described herein above, inwhich event the Engineer may claim the full amount of thePerformance Guarantee. (ii) Failure by the Contractor to payPresident of India any amount due, either as agreed by theContractor or determined under any of the Clauses/ Conditionsof the Agreement, within 30 days of the service of notice to thiseffect by Engineer. (iii) The Contract being determined orrescinded under clause 62 of these conditions.
1) Security Deposit: The Security Deposit shall be 5% of thecontract value. The Bid Security submitted by the Contractorwith his tender will be retained/encashed by the Railways aspart of security for the due and faithful Fulfillment of thecontract by the Contractor. Provided further that, if Contractorsubmits the Cash or Term Deposit Receipt issued from aScheduled commercial bank of India or irrevocable BankGuarantee Bond from a Scheduled commercial bank of India,either towards the Full Security Depositor the Part SecurityDeposit equal to or more than Bid Security, the Railway shallreturn the Bid Security, to the Contractor. Balance of SecurityDeposit may be deposited by the Contractor in cash or TermDeposit Receipt issued from Scheduled commercial bank of Indiaor irrevocable Bank Guarantee bond issued from Scheduledcommercial bank of India, or may be recovered at the rate of 6%of the bill amount till the full Security Deposit is recovered.Provided also that in case of defaulting Contractor, the Railwaymay retain any amount due for payment to the Contractor onthe pending "on account bills" so that the amounts so retained(including amount guaranteed through Performance Guarantee)may not exceed 10% of the total value of the contract. TheIrrevocable Bank Guarantee submitted towards Security depositshall be initially valid up to the stipulated date of Maintenanceperiod plus 60 days and shall be extended from time to time,depending upon extension of contract granted in terms ofClause 17A and 17B of the Standard General Conditions ofContract. Note: Security Deposit deposited in cash by theContractor or recovered from the running bills of a Contractor orsubmitted by contractor as Term Deposit Receipt(s) can berefunded/returned to the contractor, in lieu of irrevocable BankGuarantee bond issued from scheduled commercial bank ofIndia, to be submitted by him, for an amount equal to or morethan the already available Security Deposit, provided howeverthat, in a contract of value less than Rs. 50 Crore, such refund/return of the already available Security Deposit is permitted upto two times and in a contract of value equal to or more than Rs.50 Crore, such refund / return of the already available SecurityDeposit is permitted up to three times. (2) (i) Refund of SecurityDeposit: Security Deposit mentioned in sub clause (1) aboveshall be returned to the Contractor along with or after, thefollowing: (a) Final Payment of the Contract as per clause 51.(1)and (b) Execution of Final Supplementary Agreement orCertification by Engineer that Railway has No Claim onContractor and (c) Maintenance Certificate issued, on expiry ofthe maintenance period as per clause 50.(1), in case applicable.(ii) Forfeiture of Security Deposit: Whenever the contract isrescinded as a whole under clause 62 (1) of these conditions, theSecurity Deposit already with railways under the contract shallbe forfeited. However, in case the contract is rescinded in partor parts under clause 62 (1) of these conditions, the SecurityDeposit shall not be forfeited. (3) No interest shall be payableupon the Bid Security and Security Deposit or amounts payableto the Contractor under the Contract, but Government Securitiesdeposited in terms of Sub-Clause (4)(b) of this clause will bepayable with interest accrued thereon.
Before submitting a tender, the tenderer will be deemed to havesatisfied himself by actual inspection of the site and locality ofthe works, that all conditions liable to be encountered during theexecution of the works are taken into account and that the rateshe entered in the tender form are adequate and all inclusive toaccord with the provisions in clause-37 of the General Conditionsof Contract 2022 (Works) for the completion of work to the entiresatisfaction of the engineer.
The intending tenderer is advised to study the tender paperscarefully and also acquaint himself with the nature of work andthe matters pertaining there to. Submission of tender shall bedeemed to have done after careful study and examination oftender papers with full understanding of implications thereof.
This tender is governed by Indian Railways Standard GeneralCondition of Contract-2022(Works) issued by Railway with latestamendment and Special condition of contract. The GeneralCondition of Contract-2022 can be seen on Railway board [civilEngineering directorate] website www.indianrailways.gov.in. Thespecial condition of contract is uploaded in Document Section ofthis tender. Wherever the terms of GCC contradicts the Specialcondition of Contract, in such case Special condition of contractwill prevail. Tenderer must go through these conditions beforequoting this tender.
The Inspecting officer/Inspector means Engineer or hisauthorized representative to inspect the work on his behalf.Engineer shall mean Sr. Divisional MechanicalEngineer/Divisional Mechanical Engineer/Asst. DivisionalMechanical Engineer, Adra, S.E. Railway. Consignee shall meanSr. Section Engineer, Carriage & Wagon, Adra.
The tenderers shall keep the offer open for a minimum period asmentioned in NIT from the date of opening of the tender, withinwhich period the tenderers cannot withdraw their offer, subjectto the period being extended further if required, by mutualagreement from time to time. Any intervention of the abovecondition will make the tenderer liable for forfeiture of his BidSecurity for due performance of the foregoing stipulations.
If the tenderer(s) deliberately give/gives wrong information inhis/their tender or create/creates circumstances for theacceptance of his/their tender, the Railway reserves the right toreject such tender at any stage.
If the date of opening happens to be a BANDH or Holiday orNatural calamities etc., the tender will be opened at the sametime on the following working day.
The tenderer(s) must keep themselves updated through thewebsite www.ireps.gov.in regarding corrigenda, if any, to theNotice Inviting Tender along with tender documents, which shallbe uploaded in the same website and also published in thenewspaper.
Tenderers are requested to submit their offer well within theclosing time of tender and Railway will not be responsible forany last minute technical snag whatsoever in submission of bid.
The rates are inclusive of Goods & Services Tax (GST). Thetenderers should take care in submission of tender as perClause-6 of Indian Railways Standard General Condition ofContract for works-2022.
The tenderers should abide by the provisions of Payment ofWages act & Minimum Wages act in terms of Clause - 54 & 55 ofIndian Railways Standard General Condition of Contract forworks-2022.
It is to be clearly understood that the schedule of item andquantities are only a rough assessment. The RailwayAdministration reserves the right either not to award any or allthe works to the contractor or to increase or decrease thevolume of work to the contractors without assigning any reasonsfor any such curtailment or increase in the volume of work andcontractor will not be entitled to any compensation what-soever.
