Comprehensive asset management of Traction Control System of HHP Locos including Capital equipment rehabilitation -Make: SIEMENS of Diesel Loco Shed, Raipur through SINGLE Tender from OEM for one year. Qty:10 Locos.

Minimum Eligibility Criteria - NIL (as it is a Single tender) , NOTE: For firms who are either OEMs or sources approved by RDSO for works contract of AC-AC Traction Control System for 4500hp HHP Diesel- Electric Locomotives, eligibility criteria (Technical and financial criteria) is dispensed as per Railway Board's letter no. 2011/M(M&P)/7/2/Guidelines, dt. 23.01.2020.

Work Experience: The bidder should have satisfactorily completed* in the last three previous financial years and the current financial year up to the date of opening of the tender, one similar single service contract** for a minimum of 35% of advertised value of the bid. *Completed service contract includes on-going service contract subject to payment of bills amounting to at least 35% of the advertised value of the bid. ** Similar service contract means any contract that is so specified by the competent authority. Work experience certificate from private individual shall not be accepted. Certificate from public listed company/private company/Trusts having annual turnover of Rs 500 crore and above subject to the same being issued from their Head office by a person of the company duly enclosing his authorisation by the Management for issuing such credentials. Notes: The bidder shall submit details of work executed by them in the prescribed format alongwith bid for the service contracts to be considered for qualification of work experience criteria clearly indicating the nature/scope of contract, actual completion cost and actual date of completion for such contract.

Financial Standing: The Bidders will be qualified only if they have minimum financial capabilities as below - (i) T1- Financial Turnover: The bidder should have an aggregate financial turnover not less than 1.5 times the advertised Bid value during the last three previous financial years and in the current financial year up to the date of opening of the tender. The audited balance sheet reflecting financial turnover certified by chartered accountant with her stamp, signature and membership number shall be considered. (ii) T2 - Liquidity: The bidder should have access to or has available liquid assets, lines of credit and other financial means to meet cash flow that is valued at 5% of the estimated bid value net of applicant's commitments for other contracts. The audited balance sheet and/or banking reference certified by chartered accountant with her stamp, signature and membership number shall be submitted by the bidder along with bid. Banking reference should contain in clear terms the amount that bank will be in a position to lend for this work to the applicant/member of the Joint Venture/Consortium. In case the Net Current Assets (as seen from the Balance Sheets) are negative, only the Banking references will be considered. Otherwise the aggregate of the Net Current Assets and submitted Banking references will be considered for working out the Liquidity. The banking reference should be from a Scheduled Bank in India and it should not be more than 3 months old as on date of submission of bids. In Case of JV firms overall liquidity of JV firm shall be assessed by arithmetic sum of liquidity of all members of JV.

Bid Evaluation of Technical Criteria is merely indicative and provided for illustrative purposes only as per Annexure - I of GCC Service Contract- 2018 with latest amendments.

Evaluation of Technical Bid

The bidder shall submit along with the Bid document, documents in support of their claim to fulfill the minimum eligibility criteria as mentioned in the bid. In two packet system of bidding, each bidder shall be assigned score for their technical bid. The score of technical bid should be more than or equal to minimum qualifying marks as mentioned in bid document. The system of assigning score shall be as per the bid document.

Each page of the copy of documents / certificates in support of credentials, submitted by the bidder, shall be self-attested by the bidder or authorized representative of the bidding firm. Self-attestation shall include signature, stamp and date (on each page). Only, those documents will be considered for evaluating bid, which are duly self- attested as above.

The bidders shall submit an affidavit on a stamp paper to the effect that all the documents submitted by her along with her bid are true. This shall be mandatory in all bids. The bid shall be summarily rejected if the bidder fails to submit this undertaking along with the bid. After opening the financial bid, the tender committee shall verify the credentials of the bidder who is declared as the lowest bidder (L1) for their authenticity. In case the credentials of L1 are not found to be in order, her bid shall be treated as technically unresponsive and thus invalid. The process shall be repeated for the next higher bidder till the valid L1 is established. If any document (or copy thereof) submitted by a bidder is found to be false / forged: a)The bidder / each partner / member of the bidding firm shall be liable to legal actions apart from punitive actions, as decided by competent authority of Railways. In such an eventuality, the bid (bid) shall also be summarily rejected. b)If the contract has already been awarded, or Letter of Acceptance (LOA) has been issued and any, the contract shall be terminated, irrespective of the stage of progress in execution of the work. In such an eventuality, Security Deposit (SD), Performance Guarantee (PG) and partial/full payments otherwise due to the contractor, in respect of the partial/full work executed by the contractor, shall be forfeited by the Railways. c)Other punitive actions, like banning the bidder and partners / members of the biding firm for future dealings with Indian Railways and / or the Government of India may also be taken by the Railway / Govt. of India authorities.

Evaluation of Financial Bid: The financial proposal shall be evaluated to determine the lowest bidder. In case, the evaluated financial offers of two or more technically qualified bidders are Lowest and same, then the Bid of the bidder who is technically more sound (having scored higher marks in evaluation of technical bid as per clause 2.1.3) shall be considered as the lowest. If the marks in the evaluation of technical bids of the lowest bidders are also found to be equal, then the bid of the bidder with the higher cumulative annual financial turnover over the last three years and the current financial year shall be considered as the lowest.

Consignee: Sr. Section Engineer (Diesel)/ Raipur.

Location: Diesel Loco Shed, Near WRS Colony, Raipur.

Completion Period: 01 (One) year from the date of commencement of work.

The cost of travel and lodging and boarding of the service engineer is to be borne by the contractor and no extra payment or arrangement in this regard will be made by the railway.

While signing the tender papers, the tenderer should specify whether he is a sole proprietor or is he a partner or is he signing on behalf of the firm as an attorney (in the case of power of attorney, the copy in prescribed form should be submitted). In case of a partnership, a copy of the partnership deed should also be furnished for verification.

Inspection: The inspection of maintenance work done, shall be carried out by authorized representatives of Sr.DME(D)/R. They shall have free access to inspect the progress of work at any time with or without prior intimation to check the quality of w o r k . A joint inspection shall be carried out during each scheduled maintenance visit of the service engineer after completion of work. A final joint inspection will be prepared and jointly signed by the authorized railway representative and t e n d e r e r. However, the decision taken by the Railway representative will be final and binding on the contractor. The contractor shall have to accept all reasonable suggestions that may be made by the Railway's authorized representative(s) during the progress of work, provided such suggestions do not involve any financial implication.

This contract shall be covered by "General Conditions of Contract (GCC) for Services 2018" of Railway with the latest amendments. In executing this contract it would be deemed that the contractor has kept himself fully informed of the provisions of the GCC including all corrections and amendments. In the event of any conflict or inconsistency between General terms and Conditions of Contract and Special Terms and Conditions of Contract, the later will prevail. No cost addition or alteration in respect of materials, tools, and transportation will be entertained during the currency period of the contract. SVC will only be acceptable on Taxes, Duties, etc which will be imposed by Central or State Govt. New/any variation during the execution period of the contract on production of valid documentary evidence regarding the increase in existing or newly imposed by Central or State Govt.

The Tenderer should carefully read all the conditions about the nature of work involved as per technical specifications and scope of work. No excuses for delay of work on this account shall be entertained at later stage. All decisions on behalf of the Railway Administration will be taken by Sr.DME (D)/Raipur.

Sr.DME (D)/Raipur reserves the right to reject/accept the whole or part of the offer or for the portion of the quantity indicated in the offer without assigning any reason thereupon and vary the quantity of work up to +25% and the right to open negotiations and to call for revised offers or to alter or to modify any of the conditions or to incorporate any new conditions as found necessary till the contract is finally executed.

Two Bid System/Two Packet System: This method of evaluation shall be used for all service contracts having bid value exceeding Rs. 50 Lakh. The procedure detailed below shall be adopted for dealing with 'Two Packets System' of Bidding: With a view to assess the bids technically without being influenced by the financial bids, 'Two Packets System of Bidding' shall be adopted. In this system, the Bidders shall submit their quotations! offers in two sealed envelopes; with one envelope containing the Technical bid (First packet) and the other envelope containing the Financial Bid (Second packet). The first packet shall be with the objective of scrutinizing the capability, financial strength, experience etc. of the bidders. If the technical offers are found acceptable by meeting the minimum qualifying marks as provided in the technical criteria, the second packet shall be opened and the bids shall be processed for finalization in the normal manner (eligible lowest bidder). Those bidders who do not meet this criterion shall not be considered for opening their financial bids. However, if on the basis of information contained in the first packet, the Tender Committee needs clarification regarding processes, specifications etc.; communication can be initiated with the bidders. In seeking clarifications, all communications with bidders shall be properly recorded so that an adult trail is maintained. Clarifications shall be confined to the documents/information already submitted by the bidder.

The submission of the tender will be deemed to imply that the memorandum and all documents enclosed have been studied and understood, that the tenderer is aware of the full scope of the work to be done and the conditions affecting the execution. In token of this, the tenderer or his authorized representative signing the tender documents will be required to sign/initial on each page of the tender schedule at the bottom.

The quantities shown in the attached schedule are given as a guide and are approximate only and are subject to variation according to the needs of the Railway. The Railway does not also guarantee work under each item of the schedule.

Validity of contract The above contract (with rates and terms & conditions) shall be valid for 1 year (from the date of commencement of work) unless otherwise extended or terminated by Railway. Both the parties shall take up jointly the inventory of eligible locomotives to be maintained under this contract. For the purpose of billing and payment, AMC takes effect with signing of agreement between Railway and Contractor and taking up of joint inventory of eligible locomotives to be maintained. Note: Validity of contract mentioned in RDSO Specification No: MP.MISC-326(Rev-00) Dated 11.07.2017 should be ignored which was for 03 years.

Penalty Clause: As per RDSO Specification No: MP.MISC-326 (Rev-00) Dated 11.07.2017.

If any staff will be found without identity Card and uniform, a penalty of Rs.100/- (Rupees One Hundred only) per occasion will be charged.

While working, contractor's personnel at shed premises should not smoke or consume any liquor or be in a state of intoxication. In case if it is noticed any time that they are either smoking or under influence of liquor penalty of Rs.500/- (Rupees Five Hundred only) per person per incident will be imposed and concerned authority will be intimated to initiate necessary legal action.

A penalty of Rs. 500/- (Rupees Five Hundred only) will be levied on contractor on each occasion if contractor's staff found working without safety measures at shed premises.

Besides penalties specified above, Sr.DME(Diesel)/Raipur reserves the right to impose any other penalty/penalties for non- compliance of any of the terms & conditions of the contract or unsatisfactory work. However, the total penalty for a billing period shall be limited to 20% of the billing amount (As per clause no. 11 of RDSO Specification No: MP.MISC-326 (Rev-00) Dated 11.07.2017).

All the penalties are at the discretion of Sr.DME (Diesel)/Raipur depending upon the merits of the case. Decisions of Sr.DME (Diesel)/Raipur, regarding imposition/waiving off any penalty shall be final and binding on the contractor.

Repeated non-performance of work and delay in start of work will be treated as poor performance and more penalties may be imposed as per decision of Sr. DME (D)/Raipur. If the performance continues to be unsatisfactory, the contract will be terminated by the Senior Divisional Mechanical Engineer (Diesel), Diesel Loco Shed, Raipur as per the stipulated works condition as well as the general condition of the contract.

Any damage to the Railway equipment/property during working in shops, offices, transportation, etc. on the part of the contractor shall be recovered from bill. Decision of damage & its cost calculation will be decided by Sr. DME(D)/Raipur or his representative.

Sr.DME(Diesel)/Raipur reserves the right to impose suitable penalty for non compliance of training clause of scope of work.

Decision of the Senior Divisional Mechanical Engineer (Diesel), Diesel Loco Shed, Raipur or his authorized representative as to the amount of penalty will be final and binding in all cases.

Payment Clause: As per RDSO Specification No: MP.MISC-326 (Rev-00) Dated 11.07.2017. 17.1. Railway reserves the right to make any of the following deductions: i. Any statutory deduction as applicable as per the orders of the Govt. of India or the State Govt. ii. Fines as per the terms of contract. 17.2 Contractor should submit the bills in GST format duly bifurcating the work done and GST component. 17.3 GST as applicable will be paid/reimbursed as notified by the Government of India time to time on submission of proof for the same being deposited. The contractor shall be responsible for depositing GST (as applicable) and all legal obligations related to GST. 17.4 Sr.DME (D)/DLS/Raipur will be "Bill passing" officer and Sr.DFM/Raipur will be "Bill Paying" officer. 17.5. Mode of Payment: i) Tenderer to give consent in a mandate form for receipt of payment through ECS/EFT. ii) Tenderer to provide the details of Bank A/c in line with RBI guidelines for the same. These details will include Bank Name, Branch Name & address, account type, Bank A/c No. and Bank & Branch Code as appearing on MICR cheque issued by the bank. iii) Tenderer to attach a certificate from their bank certifying the correctness of all the above- mentioned information (as mentioned in Para (ii) above). iv) In case of non-payment through ECS/EFT or where ECS/EFT facility is not available, Payment will be released through cheque. NOTE: The contractor has an option to take payment from Railways through a letter of credit (LC) arrangement as per Railway Board Letter No: 2018/CE-I/CT/9, New Delhi, dated: 04.06.2018. Please refer to the copy of the Railway Board's letter as uploaded along with the tender.

Safety Measures: a. The contractor will take all safety measure necessary for safety of his workers. The contractor will provide all necessary personal protective safety equipments such as hand gloves, helmet, safety shoes etc to all his workers. All the engaged workers of contractor shall wear above personal protective safety equipments at work place. If contractor's workers found working without safety measures then penalty will be imposed on contractor as per penalty clause no. 16.3 of this tender. b. The contractor shall at all times adopt such safe methods of work as will ensure the safety of the structure, equipment and staff. If at any time the Railway finds the safety arrangements are inadequate or unsafe, the contractor shall take immediate corrective action as directed by the Railway's representative at site. Any direction in the matter shall in no way absolve the contractor of his sole responsibility to adopt safe working methods. The Contractor should take utmost care to ensure that no damage to the locomotive/Railway property takes place due to any act of workmen, while carrying out the work under this Contract. It will be the responsibility of the contractor to ensure that all his workmen observe Industrial safety rules, procedures, methods, practices, etc. The Railway Administration shall not be liable for any accident, injuries, etc. to his workmen. c. DLS/Raipur is phasing towards the electrification of traction, hence, i. Whenever any work is to be carried out either on 25 KV OHE or in and around the OHE the tenderer should work only after duly taking permit to work from Railways. ii. If the loco is energized and the precautions as indicated by section in-charge should be strictly followed. No live parts of 25 KV OHE are to be approached or coming in contract with stick, rods etc., which will endanger to men. iii. The contractor shall take all pre-cautionary measures not only to ensure protection of his own personnel moving around or working on the Railway premises but also confirm to the rules and regulation of the Railways in this respect. Information about OHE, safe distance, movement of locos in yards, movement of material by cranes are to be advised to the employees of contractor provided under this contract with precaution to be taken and their acknowledgement should be obtained by the contractor. iv. The contractor shall warn strictly all his workmen not to climb to the roof of loco on any situation/condition without the knowledge of Sr. Section Engineer, Diesel Loco Shed, Raipur.

"No any compensation" will be awarded by the Railway administration to the labour of contractors in case of any accidental injury or death within Railway premises during the execution of the work.

Income Tax: In terms of Income-tax act 1961, as amended from time to time, the Railway administration shall at the time of arranging payment to the contractor for carrying out the work under this contract is entitled to deduct income tax at the prevailing rate. The Railway administration shall furnish a certificate to the extent of income tax deducted at source under this contract.

The contractor shall be responsible for the general conduct and discipline of his representatives. Railway administration reserves its right to take necessary action as deemed fit in all cases of misconduct/indiscipline. Tenderer shall ensure good credential of staffs engaged for this work in shed. If any staff of the tenderer is found in misconduct/indiscipline/illegal activities, then he will be immediately removed from the work.

Inspection of Site: The Contractor before tendering shall inspect the site of work, examine the nature of work, and check up the availability of the working space. The tenderer/contractor is required to inspect the site of works and acquaint him with the site conditions, availability, and approaches for transporting materials, space, and other factors relating to the work, etc before quoting his rates

E-Way Bill: E-Way Bill generation if required shall be the responsibility of the contractor. For the generation of E-Way Bill, GST No. of the Consignee will be provided by Railway.

The contractor shall be liable to pay for direct losses, damages caused to the Railway Administration by him or his workmen knowingly or unknowingly while they are in Railway premises working or not working. The amount so recovered will be determined by Sr.DME (D)/DLS/Raipur.

Care of Staff: No quarters will be provided by the Railway for the accommodation of the contractor or any of his staff employed on the work. The contractor shall not be allowed to erect any staff camps for housing the staff at or near the work on available Railway land. No passes or privilege tickets will be issued to the contractor or any of his staff by the administration.

The contract will remain in force for a period of 01 year from the commencement of the work. However, Railway Administration may terminate the agreement by giving to the contractor duly notice without assigning any reason thereof and in the event of a breach of any condition therein, committed by the contractor in the event of any misconduct on the part of the contractor or his workman, it shall be lawful for the Railway Administration to terminate this agreement forthwith without any notice and to forfeit the whole or part of the security deposit at his discretion without being liable to the contractor for any loss and damage whatsoever.

Place of work: 4000/4500hp HHP Microprocessor based locomotives are based / proposed to be based at Diesel Loco Shed Raipur (SECR). However, contract shall cover any other shed/place nominated during the currency of the contract. The contractor shall arrange required men and material at the designated sheds with immediate effect. The maintenance / breakdown repairs shall normally be carried out by the contractor through its nominated Service Engineers at designated shed only. However, in case of failure on equipment under AMC, at any location within that zonal railway the maintenance / breakdown repair may be carried out at trip sheds also. If it is not possible to bring the loco to the designated sheds, the contractors service engineer shall reach the spot immediately by any means of transport on receiving the advice from the shed. Necessary travel authorizations for the service engineer to undertake such travel as applicable would be provided by the respective zonal railways. After examination of the loco at out station, in case, the loco cannot be repaired / attended the locomotive can be moved to shed for further attention. Necessary support and resources required shall be provided by that shed. Power failures such as but not limited to IGBT, Crowbar module, DCL reactor, Blower motors shall be attended at base sheds only. If a loco is transferred from one shed to another, the subject AMC shall be valid without any further amendment.

Conservancy Cess Charges: As per Railway Board letter No. F(X)1/95/1/1 Dated: 07.09.2021, "Conservancy Cess Charges" will be deducted at the rate given below from the contractor's bills based on the average number of labourers/workmen employed per day by the contractor for the work. The contractor shall remain liable for theft of any Railway material by his staff and he must take necessary proceeding against each staff to prevent such occurrence and shall reimburse to the administration for the loss suffered if any. In the event of this being reported cases, the contract shall be terminated by giving notice and the contractor shall be liable for the damage suffered by the administration.

It should be the sole responsibility of the firm to pay all the taxes which are implemented by the state or central government.

The above taxes and any other taxes if applicable are indicative and may vary as per the applicable tax laws from time to time.

The Contractor should not employ children below age 14 as staff directly or through the petty contractors or subcontractors for the execution of the work. Under no circumstances, the staff employed by the contractor will have any claim for employment in the Railways.

The Contractor should complete the whole of the work in all respects on or before the date fixed by the Railway or any authorized extension thereof. The Railway administration is entitled to recover penalty as stipulated in the general conditions of the contract, if the contractor is in default. It should be ensured that minimum inconvenience is caused to users while for executing the work. For this the work shall be programmed in such a way in consultation with the authorized representative of Sr.DME (D)/DLS/Raipur.

A fee per legal document, like partnership deed or power of attorney executed before or after the execution of the contract, will be recovered from the contractor for obtaining legal advice from Law Officer.

Trespass: The contractor shall all time be fully responsible for any damages of trespass committed by his agents or workmen in carrying out the work even if such trespass is unauthorized by the engineer.

Arrangements for permits and license: for arrangements for permits and licenses for materials, the contractor will have to make his arrangements. Also no import license shall be arranged by the Railway for this work. The contractor should make his arrangements for the required vehicles, such as tractors, trailers, road lorries, etc and other tools and plants, etc for the expeditious progress of work at his own cost with men and consumable stores The contractor should bring the mater]al for the work, to work spot with proper RPF gate entry.

Damage to railway property or Life: The contractor shall be responsible for all risk to the works and trespass and shall make good at his own expense all loss or damage whether to the works themselves or to any other property of the railway or the lives persons or property of the others from what so ever causing connection with the works. This is governed by para 4.24 of the General Conditions of Contract (GCC) for service 2018.

Procedure for settling of disputes with contractor: The provision of clauses 7.4 & 7.5 of VII and VIII of the general condition of the contract will be applicable for settlement of claims or disputes between the contractor and Railway administration.

Statuary Variation Clause (SVC): SVC will be applicable. Any statuary variation in Taxes and Duties or any fresh Taxes and duties imposed by the Central or State Government during the execution of the contract will be paid by railway on submission of documentary evidence of such payment.

Goods and Service Tax (GST): a)All the bidders/tenderers should ensure that they are GST compliant and their quoted tax structure/rates are as per GST Law. b)GST will be reimbursed as applicable, on the production of authentic documentary evidence. c)In case there is any further change in the GST tax structure till the date of completion of work or any error is noticed in the calculation of the amount payable recoverable till the release of Final Bill amount to the contractor, the same shall be paid by the Railways or recovered from the contractor's bills/security deposit or any other dues of the contractor with the Govt. of India. d) If the firm is liable to be registered under CGST/IGST/UTGST/SGST Act shall submit GSTIN along with other details required under CGST/IGST/UTGST/SGST Act to railway immediately after the award of contract, without which no payment shall be released to the contractor. The contractor shall be responsible for deposition of applicable GST to the concerned authority. e) In case the firm is not liable to be registered under CGST/IGST/ UTGST/SGST Act, the railway shall deduct the applicable GST from his/their bills under reverse charge mechanism (RCM) and deposit the same to the concerned authority. f)GST has been levied @ 18%, this will be subjected to revision as per Government guidelines henceforth. g) GST will be reimbursed as applicable, on production of authentic documentary evidence. h) In case there is any further change in the GST tax structure till the date of completion of work or any error is noticed in the calculation of amount payable recoverable till the release of Final Bill amount to contractor, the same shall be paid by the Railways or recovered from the contractor's bills/security deposit or any other dues of contractor with the Govt. of India. i) Any reduction in rate of tax on any supply of goods or services or the benefit of input tax credit shall be passed on to the recipient by way of commensurate reduction in prices. j) TDS on GST will be made as the clauses of relevant acts. k) Payment of GST will be made as prevalent on the date of execution of work.

Railway Board's letter no. 2010/RS(G)/779/5, dated: 03.08.2017 & 27.12.2017 or latest for Public procurement Policy of goods produced and services rendered by micro and Small Enterprises(MSEs) by central Ministries/Departments/Public sectors undertakings (PSUs) will be followed.

Right of Railway to determine the contract: As per "General Conditions of Contract (GCC) for Service 2018" clause VII, the Railway shall be entitled to determine and terminate the contract at any time should, in the Railway's opinion, the cessation of work becomes necessary owing to paucity of funds or from any other cause whatever.

Errors and omissions and discrepancies:- The tenderer shall not take any advantage of any misinterpretations of the conditions due to typing or any other error and if any contradiction, only the printed rules and books should be followed and no claims for the misinterpretation shall be entertained.

All decisions on behalf of Railway administration will be taken by Sr.DME (D)/Raipur, S.E.C. Railway and shall be final and binding on the contractor.
